COMPLAINT NAMES JACOB F. BUTCHER, OTHERS

The Atlanta Regional Office filed a complaint on November 9 in the U.S. District Court for the Eastern District of Arkansas against Jacob F. Butcher, of Orlando Florida former chief executive officer of the failed United American Bank in Knox;ille, Te~nes-see (UABK), George W. Ridenour, Jr., formerly a UABK director and General Counsel, and Jesse A. Barr, a consultant to Butcher, both of Knoxville, Tennessee. The complaintseeks preliminary and permanent injunctions against future violations of the antifraud provisions of the securities laws in the offer and sale'of UABK Series B common stock and the offer of yet to be authorized UABK preferred stock.

The complaint alleges that the defendants, in violation of the antifraud proviSions,made misrepresentations and omitted to state material facts about the financial condi-tion of UABK, particularly its need for millions in new capital, and self-dealing by the defendants. CRIMINAL PROCEEDINGS

RICHARD OPPENHEIM SENTENCED

Edward S.G. Dennis, Jr., U.S. Attorney for the Eastern District of pennsylvania, and the Washington Regional Office announced that on November 1 Richard M. Oppenheim of Holmdel, New Jersey, a broker for certain tax shelter syndications sold by the Fidelity America Mortgage Company (FAMCO), was placed on five years probation, ordered to pay $30,000 in fines and ordered to perform three years of community service. In imposing sentence, Daniel H. Huyett 3rd, U.S. District Judge for the Eastern District of Pennsylvania, cited Oppenheim's cooperation with the Government in the FAMCO inves-tigation as being important in not imposing a prison term.

Oppenheim was indicted on November 8, 1982 on one count of conspiracy to defraud the Internal Revenue Service and two counts of tax evasion in his attempt to avoid $134,175of taxes on commissions of $272,570 received from FAMCO during 1979 and 1980. Oppen-heim is the fourth person to have been sentenced to date in the Fidelity America Finance Company (FAPCO/FAMCO) frauds. The FAFCO/FAMCO schemes involved fraud in the sale of Wmortgage secured notesW and industrial development bonds issued by FAMCO bet-ween 1978 and 1981, fraud in the sale of a real estate tax shelter syndication, and various charges involving tax evasion. The American Stock Exchange, Inc. filed Amendment No. 2 to a proposed rule change(SR-Amex-82-27) to allow an options specialist to make recommendations for the pur-chase or sale of securities underlying the specialist's specialty options if such recommendations are contained in research reports similar to those allowed under para-graph (b) of Rule 139 under the Securities Act of 1933 and if the options specialist makes certain disclosures in those research reports regarding their status as an options specialist.
