The complaint seeks preliminary and permanent injunctions against future violations of the antifraud provisions of the securities laws in the offer and sale'of UABK Series B common stock and the offer of yet to be authorized UABK preferred stock. The complaint alleges that the defendants, in violation of the antifraud proviSions, made misrepresentations and omitted to state material facts about the financial condi- tion of UABK, particularly its need for millions in new capital, and self-dealing by the defendants. Oppenheim of Holmdel, New Jersey, a broker for certain tax shelter syndications sold by the Fidelity America Mortgage Company (FAMCO), was placed on five years probation, ordered to pay $30,000 in fines and ordered to perform three years of community service. In imposing sentence, Daniel H. Huyett 3rd, U.S. District Judge for the Eastern District of Pennsylvania, cited Oppenheim's cooperation with the Government in the FAMCO inves- tigation as being important in not imposing a prison term. Oppenheim was indicted on November 8, 1982 on one count of conspiracy to defraud the Internal Revenue Service and two counts of tax evasion in his attempt to avoid $134,175 of taxes on commissions of $272,570 received from FAMCO during 1979 and 1980. RICHARD OPPENHEIM SENTENCED

Edward S.G. Dennis, Jr., U.S. Attorney for the Eastern District of pennsylvania, and the Washington Regional Office announced that on November 1 Richard M. Oppenheim of Holmdel, New Jersey, a broker for certain tax shelter syndications sold by the Fidelity America Mortgage Company (FAMCO), was placed on five years probation, ordered to pay $30,000 in fines and ordered to perform three years of community service. In imposing sentence, Daniel H. Huyett 3rd, U.S. District Judge for the Eastern District of Pennsylvania, cited Oppenheim's cooperation with the Government in the FAMCO inves-tigation as being important in not imposing a prison term.

Oppenheim was indicted on November 8, 1982 on one count of conspiracy to defraud the Internal Revenue Service and two counts of tax evasion in his attempt to avoid $134,175of taxes on commissions of $272,570 received from FAMCO during 1979 and 1980.
