ARTICLE I: NAME 9 10 The name of this association is the Frisco Independent School District Council of Parent Teacher 11 Associations, Area 15 PTA of the Texas Congress of Parents and Teachers (Texas PTA), a branch of the 12 National Congress of Parents and Teachers (National PTA). 13 14 15

23 ARTICLE III: PURPOSES 24

25 Section 1. The Purposes of the Frisco Independent School District Council of Parent Teacher Associations, 26 in common with those of the National PTA and the Texas PTA, are: 27 28

a. To promote the welfare of children and youth in home, school, community, and place of worship. 29 30 b. To raise the standards of home life. 31

32 c. To secure adequate laws for the care and protection of children and youth. 33

34 d. To bring into closer relation the home and the school, that parents and teachers may cooperate 35

intelligently in the education of children and youth. 36 37

e. To develop between educators and the general public such united efforts as will secure for all 38 children and youth the highest advantages in physical, mental, social, and spiritual education. 39

The Purposes of the National PTA, the Texas PTA and this Council PTA are promoted through 41 an advocacy and educational program directed toward parents, teachers and the general public; developed 42 through conferences, committees, projects and programs; and governed and qualified by the basic policies 43 set forth in Article IV. 44 45 Section 3. The association is organized exclusively for the charitable, scientific, literary or educational 46 purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code or corresponding section of 47 any future federal tax code (hereinafter referred to as "Internal Revenue Code"). 48 49 50

This policy shall be reviewed by the Frisco ISD Council of PTAs executive board annually and may only be changed by a majority vote of membership at a regular meeting. PTA ETHICS/CONFLICT OF INTEREST POLICY

AREA # COUNCIL

LOCAL PTA/PTSA

PRESIDENT Members of the board of directors (board members) of this Council or Local PTA/PTSA (hereinafter referred to as “PTA”) serve in a fiduciary capacity and owe a duty of care, a duty of obedience, and a duty of loyalty to this PTA. Board members shall conduct themselves with integrity and honesty and act in the best interests of this PTA. Disclosure by a board member of any potential or actual conflict of interest is required by the standard of good faith and for the benefit of the PTA and protection of each individual.

In consideration of our PTA affiliation with the Texas Congress of Parents and Teachers (the Texas PTA), for the protection of its integrity and its 501(c)(3) status, and for our protection, we, the undersigned officers, individually, during our terms of office, shall:

1. Abide by and represent our PTA bylaws, the Texas PTA policies, positions, procedures and National PTA purposes and mission statement;

2. Discharge the duties and responsibilities of our individual offices with fidelity, integrity, and honesty and declare any and all personal and/or extended family conflicts of interest when PTA issues, decisions, and funds are involved;

3. Not misuse the PTA’s federal tax-exempt status or exemption from sales tax for personal or unauthorized purposes nor disburse funds for any purpose other than authorized, budgeted PTA programs, projects, and activities.

4. Refrain from making slanderous or defamatory comments regarding any individual or organization.

5. Follow the Texas PTA and school district guidelines for fund-raising.

6. Abide by the following conflict of interest policy:

! A conflict of interest exists when a board members would have to participate in the deliberation or decision of any issue of this PTA while, at the same time, the board member and/or his/her extended family has financial, professional, business, employment, personal and/or political interests outside the PTA that could predispose or bias the board member to a particular view, goal or decision.

! Board members shall declare to the officers of this PTA conflicts of interest (stating the nature of the conflict and pertinent information as appropriate) between their duties of this PTA and their and/or their extended families’ financial, professional, business, employment, personal and/or political interests.

! When a conflict of interest is declared, the board members shall not use his/her personal influence of position to affect the outcome of this vote and shall leave the room during deliberations and the vote.

! The minutes of the meeting shall reflect that a conflict of interest was declared.

! Board members shall not during the term of office and thereafter;

a. Use PTA’s name, influence, or resources for their benefit or gain when running for any public elected office or while serving as an elected official;

b. Directly or indirectly use their PTA position, the PTA name or organization for or against any specific candidate for elected public office, which is contrary to federal tax laws and the guidelines and policies of the PTA.

o  Keep an accurate record of attendance at meetings

o  Correspondence

o  Give reports of the executive board at regular meetings

o  Vote, file motions, and nominate candidates (yes, the secretary may do all these things in a meeting!)

o  Distribute meeting agendas, minutes, notices at president’s request

o  Sit next to the president and read the minutes (if not distributed already)

o  Confirm quorum, count a rising vote, have ballots available

o  May NOT be a signer on the bank account

•  What are minutes, exactly? o  A legal document recording what action

was taken

o  A record of the business of the PTA

•  What AREN’T minutes? o  NOT a report of who said what

o  NOT a summary of the discussion of others

o  NOT a record of personal opinions, especially your own

•  Always report business in the order it occurred, even if it strays from the agenda.

•  If you record the minutes by hand, have a hard copy of the agenda for reference.

•  If you record the minutes on a computer, use a soft copy of the agenda as your guide.

order on September 17, 2013 at 10:03 a.m. at the FISD CTE

legislative action and outstanding PTA. • Local PTAs were recognized for 2012-2013 gold awards. • Council is still looking for a hospitality chair. • Council board adopted six goals for 2013-2014:

1. Develop and foster closer relationships with surrounding councils and units without a council.

2. Provide opportunities for local units to partner on programs, fundraising and other common activities.

3. Provide leadership training and support to all local units. 4. Develop and foster community awareness by participation in promoting healthy

lifestyles on FISD campuses. 5. Continue and develop TX PTA and Council sponsored and/or assisted projects such as

Reflections, Watch D.O.G.S., SAGE, Inclusiveness and Environmental. 6. Educate and empower FISD families and community to increase participation and

understanding of the legislative process.

Environmental:

• Molly Kinson presented environmental goals: o Improve campus recycling o Support efforts of staff and students o Organize fall environmental events

• International Walk to School Day is October 9th. Molly ordered flag banners for schools to use on WTS days.

• Tricks and Treats reuse drive for the Frisco Humane Society is 14-25 of October. Special Committee Reports

Financial Reconciliation Committee:

• Lizeth LoCicero presented the 2012-2013 Financial Reconciliation report, attached hereto. • Debbie Pasha moved to accept the FRC report as read. The motion was seconded and

carried. Guest Speaker

• Patrice Dunn, FISD Parental Support Coordinator, spoke about communicating with parents, family engagement and parenting.

Unfinished Business Conflict of Interest Policy: • Kathy Mecom obtained remaining board member signatures

New Business Record Retention Policy: • Susan Thomas presented additions to Record Retention Policy:

o Bright PTA - two boxes of financial records to Council storage unit

o Council - additional records to storage unit • Anne McCausland moved to accept the changes to the RRP as

read. The motion was seconded and carried.

Recording a Motion

•  Record that the motion was seconded. •  Do not include the name of the person who

seconded the motion.

“The motion was seconded.”

Recording a Motion

•  If a motion is amended during discussion and the amended motion passes, the amended motion then becomes the motion of record.

•  Do not record the original motion at all. •  If the amendment does not pass, it does not get

recorded.

“The motion was carried by voice vote.”

Approving the Minutes •  Minutes are approved by the body that created

them

•  Minutes are reviewed/corrected and approved at the beginning of the subsequent meeting after the call to order

•  Three ways to present minutes for review

o  Email draft copy to members prior to the next meeting

o  Distribute a hard copy at the meeting or post a soft copy on screen at the meeting for those present to read

o  Secretary stand and read the minutes aloud

Turning Scribbles into Minutes •  Create draft copy as soon as possible

o  Each page has “DRAFT” watermarked or written on it.

o  Submit to president for informal approval before distributing.

o  Distribute for review within a few days after meeting.

o  Errors that are reported in this early stage of review can be corrected without red markings as if the error never existed.

o  Once the minutes are presented to the body for approval just prior to or at the subsequent meeting, corrections must be marked in red.

After Minutes Are Approved •  Approved copy

o  Remove “DRAFT” from each page.

o  If there are corrections, make sure they are marked in red.

o  Sign as the secretary that you wrote the minutes.

o  Initial and date that the minutes have been approved.

o  If approved by committee, all reviewers sign and date.

Time For Binding •  Minutes must be bound in such a way that pages may

not be added or removed.

•  All pages must be numbered in sequential order.

•  Agendas are not required.

•  Board and regular meeting minutes should be bound separately.

•  Original FRC report should be bound with the minutes of the year in which it is approved.

•  Handouts and committee chair reports need not be included unless the minutes reference that they are attached.
