Asia TV USA Ltd., a Company doing business in media and entertainment which owns the television channel

Zee TV USA (together with its Program producers, designees, parent companies, affiliates, agents and

assigns, hereinafter referred to as Zee) is conducting a search for talented singers over the age of 16 years to

participate in the auditions for a spot as a contestant in the popular Indian television series SAREGAMAPA (the

Program), which is produced in India. If selected, entrants will be trained and will compete with other

talented singers in India for the opportunity to become the next SAREGAMAPA star. If you would like to take

the first steps to see if you have what it takes, follow the instructions below. Please note that all rules and

procedures are subject to change at Zees sole and absolute discretion.

1. ELIGIBILITY: The auditions are open to male and female singers over the age of 16 years on July 31,2012 from any geographic location in the Americas. Entrants must have a basic knowledge of the Hindi

language. Entrants should be able to sing both Hindi songs and Bollywood-style music. Knowledge of classical

Indian music will be an added advantage. You may, although you need not, be a professional singer. Winners

will be required to submit proof of age and proof that they are citizens or legal residents (not visitors) of any of

the nations, territories, possessions and commonwealths comprising North, South and Central America,

including without limitation the Caribbean Basin and the Virgin Islands. You are ineligible if you, or any

member of your immediate family and/or anyone living in your household, is an employee, officer, director,

agent and/or representative of Asia TV USA Ltd. or its affiliates and associates the Zee networks, any other

member of the Essel Group of Companies, any sponsor of the of the Program, any exhibitor of the Program,

advertising agencies, corporate sponsors, or any person or entity connected with production, administration or

exhibition of the Competition, or any of the parent companies, affiliates, subsidiaries, agents or

representatives of any of the foregoing entities. In order to enter, Entrants must not be bound by any

professional management, recording, performing and/or merchandising contracts, commercial or sponsorship

agreement or other contract or arrangement or limited in any other way that would prevent them, if chosen as

a participant in the Program or as the Program winner, from entering into a management contract, performing

or recording contract and/or merchandising contract or other arrangements in respect of his/her musical or

performing abilities or the products thereof or in respect of his/her name, likeness, image or biography which

might compete with or prevent the Entrant from participating in the Program or the broadcast, promotion,

exploitation or sponsorship thereof. Entrants under the age of eighteen (18) invited to become participants in

the Program, if any, must be accompanied by a parent or legal guardian. All Entrants must be able to travel

freely between their homes and India as evidenced by current, valid documentation and must be eligible for

and able to procure necessary visas, and must be able to remain in India (at Producers expense) for a period

of up to four months during the Final Round auditions and production of the Program, in all cases, if selected.

Zee reserves the right to disqualify participants, if they become ineligible due to a relationship with a sponsor

acquired subsequent to submission of an audition package.

2. HOW TO ENTER: Entrants must register to participate in the first round of the Competition by

submitting a package containing the following: (i) two copies of an audition DVD as specified below; (ii) 2

passport size photos, (iii) a signed, completed copy of this Audition Application Form, (v) the signed Release

Form (attached) and (vi) proof of birth date, addressed to: SAREGAMAPA c/o ASIA TV USA Ltd., One Penn

Plaza, Suite 3501, 250 W 34th

Street, New York, NY 10119. Audition packages must be received by Zee not

later than July 31,, 2012. Unsigned and incomplete applications and late entries will not be considered for the

Regional Auditions. Winning entries will become the property of Zee and may be exhibited at various times on

Zee TV network.

3. FIRST ROUND AUDITIONS: Each Entrant must submit an audition DVD demonstrating the Entrant

singing two different songs, in different styles, a maximum of three minutes each in length. Songs are to be

performed a cappella (without music). Audition DVDs with musical accompaniment (whether recorded or live)

will be disqualified. Up to two Entrants in the First Round Auditions will be selected to go to India to compete

against other Entrants from around the world in the actual auditions for the television program SAREGAMAPA

(the India Round). Entrants who have been selected to participate in the India Round will be notified as soon

as reasonably practicable after the First Round Auditions. Zee may not notify those Entrants who have not

been selected. There is no guarantee that any Entrants will be selected from the United States to participate in

the India Round. Winners of the First Round Auditions (and their parents or legal guardians, if under age 18)

will be required to travel to and from India at their own cost and expense and procure their own lodging and

boarding.

4. THE INDIA ROUND AND FINAL ROUND AUDITIONS: The Entrants selected to go to India will perform, as

part of a group, a pre-selected song chosen at Zees discretion and may be required to perform individually all

or a portion of a song as well. The make-up of each group shall be at Zees discretion. From all the Entrants

selected to appear in the India Round Auditions, approximately 100 will be invited to participate in the Final

Round of the Competition, from which fifteen (15) Entrants will be selected to appear as competitors in the

television series SAREGAMAPA (the Final 15). At each stage, Entrants will be notified as to who has been

selected by Zee to proceed to the next round or become one of the Final 15 as soon as possible after

conclusion of the competition round. Additional rules and procedures for the Final Round will be distributed

prior to commencement of the round. The India Round and the Final Round performances may be recorded

and the performances (or portions thereof) on audition DVDs and in the recorded India Round and Final

Round auditions may be included as background or color in creation of the television series and for related

programming. Producer reserves the right to change the rules and procedures at any time.

5. WINNERS: After the Final Round, approximately fifteen (15) Entrants will be selected to participate in the

reality television program, SAREGAMAPA and to compete to become the SAREGAMAPA Star. The specifics

for the conduct of the Program shall be provided to the winners following their selection. The SAREGAMAPA

Star will have the opportunity to enter into various promotional and creative agreements and appearances, which

shall be announced at the time that the SAREGAMAPA Star is selected. Participants and the SAREGAMAPA Star

may be required by Zee to fill out, sign and agree to the terms and conditions of additional forms, including a

talent management contract, recording contract, and/or merchandising contract. Participants also may be

subject to a thorough background investigation and other examinations, at Zees sole and absolute discretion.

ALL FORMS MUST BE FILLED OUT COMPLETELY AND TRUTHFULLY. FAILURE TO COMPLETE ANY FORM,

PROVIDING ANY FALSE INFORMATION, OR FAILURE TO REVEAL ANY PERTINENT INFORMATION, MAY

DISQUALIFY ENTRANTS FROM THE AUDITION PROCESS AND/OR CONTINUED PARTICIPATION IN THE

COMPETITION.

BEING CHOSEN TO AUDITION AND/OR COMPETE AT ANY LEVEL IN THE PROCESS DOES NOT ENSURE THATYOU WILL BE SELECTED TO CONTINUE TO THE NEXT STAGE.

ZEE RESERVES THE RIGHT TO DISQUALIFY AND/OR EXCLUDE, IN ITS SOLE AND ABSOLUTE DISCRETION, ANY

INDIVIDUAL FROM ANY OF THE AUDITIONS AND FROM THE PROGRAM PRODUCTION FOR ANY REASON,

INCLUDING, WITHOUT LIMITATION, VIOLATION OF ANY PORTION OF THESE RULES, OR TAMPERING WITH

THE ENTRY PROCESS OR THE AUDITION PROCESS. ZEE ALSO RESERVES THE RIGHT TO EXCLUDE FROM THE

PROCEEDINGS ANY PERSON ACCOMPANYING A NON-MINOR ENTRANT FOR ANY REASON WHATSOEVER.

BOTH THE INDIA ROUND AND THE FINAL ROUND OF AUDITIONS, AS WELL AS THE PROGRAM COMPETITION

WILL BE CONDUCTED IN THE HINDI LANGUAGE.

ALL DETERMINATIONS CONCERNING ENTRANTS AND CONDUCT OF THE COMPETITION AND THE PROGRAM

ARE AT PRODUCERS SOLE AND ABSOLUTE DISCRETION.

6. GENERAL CONDITIONS: (i) By submitting this Audition Application Form and participating in the audition

process, you agree to be bound by these rules (including the attached General Rules of the Competition, and

the rules and decisions of Zee and of the Programs producers, which shall be final and binding; (ii) The

presence at the auditions and/or the shooting of the Program, of Entrants friends, family members, and

anyone else accompanying Entrants, constitutes their consent and agreement to the recording and use of their

performance, appearance, name, voice, likeness and any musical or sound effects produced by them in anymedia, in connection with any television program, motion picture or on or over the Internet for all purposes

(including advertising, marketing, promotion, merchandising and the exploitation of any and all ancillary and

subsidiary rights), as the same may be edited, in all media now known or hereafter created, throughout the

universe, in perpetuity for no compensation, unless otherwise required by law (the Content Rights). If

Entrants friends, family members, or anyone else accompanying Entrants to the auditions or the Program

production, do not wish to be photographed, or do not agree with these terms, THEY SHOULD NOT ATTEND.

Their attendance during the auditions/production and/or shooting of the Program will be conclusively deemed

to be a waiver of any and all claims for infringement of any rights whatsoever including, without limitation,

invasion of privacy, right of publicity, and libel, slander and defamation; (iii) All federal, state and local laws

apply; (iv) PRODUCTION DATES AND LOCATIONS ARE SUBJECT TO CHANGE; (v) Neither Zee, the sponsors ofthe Program, production personnel for the Program, participating distributors or exhibitors of the Program,

advertising agencies and persons and entities connected with the production, administration or judging of the

auditions or the Program, nor any of their respective parent companies, affiliates, subsidiaries, successors and

assigns and the respective officers, directors, employees, agents, contractors, partners, shareholders,

attorneys, representatives and members of each of the foregoing entities, shall be responsible for or have

liability in connection with: technical failures, failure of mail or other delivery media or any other failure, for

any reason, of any audition DVD to reach Zee by the date indicated, or of any Short-listed Entrant to appear at

any designated site of auditions, the Program production, or to appear before the judging panels; any injuries,

losses or damages of any kind encountered traveling to or from the Program audition or production sites,

being present at the Program production site, participating in production of the Program, or being selected to

or disqualified from continuing in production of the Program; or any printing, typographical or technological

errors in any materials associated with the auditioning process or with production of the Program; (vi) . Zee

also reserves the right, in its sole discretion and without liability, to bar and/or remove from the premises any

person accompanying an Entrant for any reason whatsoever.

7. LIABILITY: Each Entrant acknowledges that the competition shall be physically taxing and that Entrants

shall be exposed to physical challenges in the course of their participation in the auditions and, if successful,

the Program. Each Entrant acknowledges that he or she is participating voluntarily and at his/ her own risk,

represents to Zee that s/he is in good health as determined by a medical examination within the prior three

months, and shall have no claim against Zee or any other party on any account whatsoever in relation to the

auditions and/or the Program. Zee shall not be responsible for any loss or injury that occurs to any Entrant or

third parties on account of their participation in the auditions or the Program, or in traveling to, from or about

the competition venues. Zee shall not be responsible for cancellation or postponement of the auditions and/or

the Program, or damage, loss, accident, injury or death incurred by the participant or any person

accompanying him/her. By submitting an entry form and participating in the auditions (and in the Program, if

successful), each Entrant on behalf of themselves, their heirs, estates, successors and assigns agrees to release

and hold harmless from all liability of every nature whatsoever, including without limitation, for bodily injury,

death, injury to property and other financial losses, Asia TV USA Ltd., the Zee TV networks, the Essel Group of

Companies, any sponsor of the Program, production personnel for the Program, distributors or exhibitors of

the Program, advertising agencies, corporate sponsors, or any person or entity connected with production,

administration or judging of the auditions for the Program, or any of the parent companies, affiliates,

subsidiaries, agents or representatives of any of the foregoing entities.

8. OWNERSHIP: All right, title and interest in and to the results and proceeds of Entrants auditions,

interviews, performances and any embodiments thereof, including, without limitation, all DVDs submitted by

Entrants, all taping, filming, photography and/or recording of Entrants and all materials created and/or provided

by Entrants and the copyrights therein (collectively, the Materials) and all rights therein, and the use and

exploitation thereof shall be the sole and exclusive property of Zee, and Entrants shall have no claim or

interest therein. Entrant agrees to promptly execute and deliver to Zee all documents reasonably requested for

Zee to secure copyright protection in the Materials and the Content Rights, and to carry out the purposes

hereof.

9. USE; PROMOTION: By submitting an Audition Application Form and participating in the auditions (and

in the Program, if successful in the auditions), each Entrant grants Zee the worldwide, perpetual right to exhibit

and authorize the exhibition of such Entrants name, likeness, voice, performance and biographical material as it

appears in the Materials and the Program and for advertising, promoting and publicizing such Participant s

appearances hereunder, any programming incorporating such appearances and the exhibitors of the Programs,

provided that Network will not authorize any direct endorsement by Participants of any other product or service

without Participants prior written consent. Entrants will not authorize any publicity of any kind relating to their

participation hereunder without Zee prior written consent.

GENERAL RULES OF THE COMPETITION

A. Zee reserves the right to change the structure of the Competition including without limitation by adding

audition rounds to the Competition or requesting additional performances from the Entrants or changing the

anticipated Competition schedule. Entrants must make themselves available to participate in the Competition,

sign the attached Release Form (and have those accompanying them sign a release form provided by Zee or

the Program producers as well) and abide by all the terms and conditions of such Release Form and the rules,

regulations, terms and conditions as devised from time to time by Zee including without limitation the

Competition Rules.

B. As part of Final 15 contribution to the Program, Zee may request Entrants to participate in online and/or

interactive activities relating to the Program, including without limitation web-casts, interviews and

participation in so-called chat-rooms.

C. Entrants may not wear any clothing items or adornment bearing designer or sports logos or bearing the

name or likeness of a celebrity, living or dead, during any part of the Competition.

D. Entrants must not at any stage of the Competition have discussions with or take advice from any judge off-

camera on any matters relating to their participation in the Program including, without limitation, their

performance, appearance or choice of song.

E. Zees and judges decisions (or, where appropriate, the decision of the voting public, as recorded by the

voting service provider) are final and the Entrants acknowledge that the interests of the Program shall override

those of any Entrant and/ or contributor.

F. Zee reserves the right to ask the Entrant to perform a specified song or song from a specified genre of its

own choice. At all times during the Competition Zee reserves the right of veto over the choice of song, even

where Entrants are permitted to select the song they wish to perform and all songs selected by any Entrant

shall be subject to the prior approval of Zee.

G. Zee has the right at any time to require proof of identity and/or eligibility. Failure to provide such proof

within a reasonable time could result in disqualification from the Competition. All personal details and

information requested by and supplied to Zee by each Entrant must be truthful, accurate and in no way

misleading. Zee reserves the right to disqualify any Entrant from the Competition or auditioning process in its

sole discretion, should the Entrant at any stage supply untruthful, inaccurate or misleading personal details

and/or information.

H. Zee will have no liability to a Entrant who is unable to attend or take part in the Competition for whatever

reason and Zee shall be entitled to disqualify, and at the discretion of Zee replace, any such Entrant from the

Competition at anytime.

I. Zee reserves the right to amend the Competition Rules or terminate the Competition at any time without any

liability to any Entrant. Zee further reserves the right to replace at its discretion any Entrant who for any

reason fails or is disqualified from or unable to participate in the Program and/or Competition with a

replacement Entrant, notwithstanding that such replacement Entrant may have been previously eliminated

from the Competition and each Entrant agrees to participate in the Program and/or Competition as and when

required by Zee to do so.

J. There is no obligation on the part of Zee to record or broadcast any Program in which a Entrant has

appeared or any part of his / her contribution to a Program.

K. Entrants shall at all times behave appropriately when taking part in the Competition and observe the

Competition Rules and any other rules or regulations in force at the studios and/or locations. Zee reserves the

right in its absolute discretion to remove from the Competition, studio premises or location any Entrant who

breaks such rules and/or fails to behave appropriately and to disqualify such Entrant. Zee also reserves the

right, in its sole discretion and without liability, to bar and/or remove from the premises any person

accompanying an Entrant for any reason whatsoever.

L. In the event that as a result of the public vote in any round, there is a tie between two (or more) Entrants,

Zee shall be entitled to determine in its absolute discretion which Entrant is eliminated and/or which Entrantgoes through to the next round (as appropriate) and for this purpose it shall be entitled to make such

arrangements or request such further performances from the Entrants as it in its absolute discretion deems

necessary.

In the event of any dispute concerning the operation of any element of the Competition or these Competition

Rules, the decision of Zee will be final.

M. These rules are additional to and do not supersede any and all release forms signed by the Entrant and in

the event of any conflict between any Release Form and these Competition Rules, the Release Form will

prevail.

Entrant represents and warrants to Zee that the Entrant has the full legal capacity to participate in the

Competition in accordance with these Competition Rules.

N. The conduct of the Competition and the Program contest are strictly confidential and must be maintained in

absolute secrecy throughout the conduct and airing thereof. No Entrant shall at any time before, during or

after the Competition and the exhibition thereof, without the prior written approval of Zee, speak to the press

or any other media nor give any interviews or make any comments relating to the Competition. The Entrant

shall not disclose any information whatsoever relating to Zee. ENTRANTS SHALL NOT BLOG OR IN ANY OTHER

WAY PROVIDE INFORMATION ABOUT ANY ASPECT OF THE COMPETITION WITHOUT THE EXPRESS WRITTEN

CONSENT OF PRODUCER/CHANNEL.

O. The selection and number of Judges, and the manner in which the Competition is judged at each stage of

the Competition shall be at Zees sole and absolute discretion and Zees, the Judges and/or Producers

decision (including, where appropriate, the decision of the voting public) at all stages of the Competition is

final. No enquiries, appeals, verbal or written, shall be entertained. The Entrants shall accept and abide by any

and all decisions made by Zee and/or the Judges (including, where appropriate, the decision of the voting

public) concerning, without limitation, the rules of the participation, these Competition Rules and any and all

other rules, procedures and regulations of the Competition, each and every stage of the Competition and any

other matters relating to the Competition including the production thereof.

P. Zee, the Judges, the advertising agencies and any person or entity connected with the production (including

the format owners and the broadcasters of the Programs), administration or judging of the auditions, the

Competition or the Program (collectively, all of the foregoing, the Relevant Parties) shall be under no liability

whatsoever to the Entrants or anyone accompanying the Entrants (Contributors), in respect of any loss,

damage suffered by the Entrants or Contributors arising from or pursuant to the Competition or for any and all

loss, damage, cost, expense or injury to life or property sustained by the Entrants or Contributors at any stage

of the Competition and during production thereof whether or not caused by (1) the administration (including

scheduling) of the Competition including any failure of transportation or inability for any reason to appear

before the judging panels; (2) the Entrants or any third partys participation in the auditioning process, or

being selected or disqualified; (3) as a result of the decisions of Zee, the Judges, Producer or public voting; (4)

as a result of any comment, remark, judgment, view, criticism, critique, opinion and/or observation made

and/or passed by any of the Judges and/or Producer/Channels; and/or (5) any printing, typographical or

technological errors in any materials associated with the Competition. Notwithstanding the generality of the

foregoing, the Relevant Parties expressly disclaim liability for (i) all direct, indirect, incidental and

consequential loss or damage, including but not limited to loss or damage to equipment or property, or for loss

of profit, business, revenue, goodwill or anticipated savings pursuant to the Competition, whether or not the

Relevant Parties were aware of the possibility thereof; and (ii) for damages attributable to the Entrants; or (iii)

circumstances beyond the Relevant Parties reasonable control.

Q. These Competition Rules and the Competition shall be governed by and construed in accordance with the

laws of India and the Entrants submit irrevocably to the jurisdiction of the Courts in Delhi[s1]. If any provision ofthese Competition Rules is held by any court or other competent authority to be void or unenforceable in

whole or part, the other provisions of these Competition Rules and the remainder of the affected provisions

shall continue to be valid.

R. No weapons, alcohol or illicit substances will be permitted at any premises at any time and/or during any

part of the Competition.

S. Each Entrant agrees not to disclose to any third party or entity any confidential information of Zee,

including but not limited to descriptions and/or outcomes of any round of auditions or the Competition,

possible changes in the cast, information about the final reward, information concerning the Program, the

production, the producer, or its programming or other services or any projects or productions whetherpast, current or future, or the terms and conditions of this Agreement. Each Entrant also agrees not

to make any public statement of any nature whatsoever, in, on or over any media including but not

limited to, on television, in print, on radio and on Internet sites.

ZEE SHALL NOT BE LIABLE NOR RESPONSIBLE FOR ANY DAMAGES, LOSSES, COSTS OR EXPENSES INCURRED

BY ANY ENTRANT WHO IS NOT SELECTED.

SA RE GA MA PARELEASE

In full and complete consideration of Zee (Producer) allowing me to audition for a spot as a participant in

the new season of the television series entitled Sa Re Ga MA Pa (the Program), without any further

consideration due from Zee or any third party to me, and with the understanding thatZee, in its sole discretion,

may choose whether or not to include me in the Program, I hereby agree as follows:

1. I grant to Producer, and its successors, licensees and assigns, the irrevocable right, but not the obligation, withor without my knowledge, to film, tape and/or photograph, record, exhibit, edit and otherwise use my

appearance, name, likeness, voice, singing voice, conversation, sounds and biographical data (collectively,

Record or Recording) on or in connection with the Program in any manner in Producers sole election and

discretion, which use shall not entitle me to receive any compensation whatsoever.

2. I agree that Producer is the sole owner of the Program and of all results and proceeds of the Recording,including, but not limited to, all film, tape, photography and/or recording of my appearance thereon. Producer,

its successors, assigns, and licensees, forever and throughout the universe, shall have the right to use the

foregoing and any portion thereof in any and all media, whether now known or hereafter devised, including,

without limitation, motion pictures, television, the Internet and print, and in connection with the advertising,

sale, promotion, marketing, merchandising, distribution, publicizing and all other types of exploitation of the

Program or any part thereof, or in any manner whatsoever.

3. I agree that Producer shall have the unrestricted right, in its sole and absolute discretion, to edit theRecordings and the content and text of the Program in any manner.

4. In addition to the rights granted elsewhere in this Release, I understand and agree that, if my appearance,name, likeness, voice, singing voice, conversation, sounds and/or biographical data are used in connection with

the Program, I may be required, at Producers election, to enter into either or both of the following

agreements with Producer and/or Producers designee(s), the terms of which shall be subject to good faith

negotiation: (a) an agreement for the management of my career in the entertainment industry (including, but

not limited to, my acting, singing, songwriting, or other services); and (b) an agreement for the use of my

name, likeness and biography in connection with advertising, endorsements, merchandising, and/or

sponsorship. Even if I sign such agreement(s) I understand and agree that such agreement(s) shall become fully

effective only at the election of Producer and/or Producers Designee(s) and that neither shall have the

obligation to use my services thereunder. I understand that, if I am asked to participate in the Program, as of

the date I arrive at the Production site, I will be require to represent and warrant that: (i) I am not a party to

any management and/or talent agent representation contract, music recording contract (either alone or as a

member of a talent group), acting contract, modeling contract, songwriting contract, merchandisingagreement, or any other arrangement which prevents me, or might prevent me, from entering into any

contracts described in (a)and (b) of this Paragraph 4, and (ii) I will not enter into any such agreement(s)

without Producers prior written consent, in its sole absolute discretion. I acknowledge that Producer may

require me to sign further documents as a condition of my participation in the Program.

5. I understand that I may reveal, and other parties may reveal, information about me that is of a personal,private, embarrassing or unfavorable nature, which information may be factual and/or fictional. I further

understand that my appearance, depiction and/or portrayal in the Program may be disparaging, defamatory,

embarrassing or of an otherwise unfavorable nature which may expose me to public ridicule, humiliation or

condemnation. I acknowledge and agree that Producer shall have the right (a) to include any or all such

information and appearances, depiction or portrayals in any manner whatsoever in any and all media now

known or hereafter devised, or for any other purpose, throughout the universe in perpetuity.

6. In the event that I perform or display any original material on the Program that has been written or otherwisecontrolled by me (for example, music, choreography, photography, lyrics, clothing etc., collectively called the

Material), I hereby grant to Producer, without charge, all rights necessary to perform and/or display such

Material on the Program, and the rights required to exploit the Program and the ancillary rights therein,

inclusive of the Material, in any and all media now known or hereafter devised, and for any other purpose,

throughout the universe in perpetuity.

7. I agree to follow all Producers rules, direction and instructions in all matters relating to the Program, whichrules are subject to change, at any time, at Producers sole discretion. I will accept any and all decisions of

Producer on discretionary matter (including, but not limited to, the audition process and contestant selection)

as final and acknowledge that the interest of the Program shall override those of any participant, including

myself. I agree that my selection to participate as a contestant on the Program is within Producers sole

discretion and Producer is not obligated to grant me a spot. I acknowledge that Producer reserves the right,

exercisable at any time in its sole and absolute discretion, to disqualify me from the Program should I, at any

stage, supply untruthful, inaccurate e misleading personal information, fail to abide by the rules or regulations

of the Program, or for any other reason or for no reason at all. If I am selected, I agree that Producer is not

obligated to have me appear on, or to broadcast my appearance on, the Program, and that Producer may

disqualify me at any time in its sole discretion.

8. I recognize that Producer is relying on my representations herein and that a breach by me hereunder wouldcause Producer irrevocable injury and damages that cannot reasonably or adequately be compensated by

damages in an action at law; and, therefore, I hereby expressly agree that Producer shall be entitled to

injunctive and other equitable relief to prevent and/or cure any breach or threatened breach of this Release by

me.

9. I hereby release, discharge, and hold harmless Producer, all Program sponsors, production personnel for theProgram, participating distributors or exhibitors of the Program, advertising agencies, corporate sponsors, or

any person or entity connected with the production, administration or judging of the auditions for the

Program, or any of the parent companies, affiliates, subsidiaries, agents and representatives of any of the

foregoing entities, and the officers, directors, employees, agents, and representatives of each of the foregoing

(collectively, the Released Parties), from any and all liability or claims arising out of or in any way resulting

from my participation in the Program and the use or reuse of my appearance, name, voice, singing voice,

likeness and/or biographical information. I agree not to make any claim against Producer or the Released

Parties as a result of my participation in the Program and in connection with any use or reuse of my

appearance, voice, singing voice, likeness and/or biographical information (including, without limitation, any

claim based upon defamation or invasion of privacy and/or publicity).

10. In addition, I agree to indemnify Producer and the other Released Parties, and to hold each of them harmless,from any and all liability, claim, action, damage, expense (including reasonable attorneys fees), and loss of any

kind caused by or arising out of any statement, action or failure to act by me during or in connection with my

participation in the Program. In no event shall I have any right to injunctive or other equitable relief against

any of the Released Parties in connection with the Program.

11. I acknowledge that there is a possibility that, after my execution of this Release, I will discover facts or incur orsuffer claims which were unknown or unsuspected at the time this Release was executed and which, if known

by me at that time, may have materially affected my decision to execute this Release. I acknowledge and agree

that by reason of this Release, I am assuming any risk of such unknown facts and such unknown and

unsuspected claims.

12. I affirm that neither I, nor anyone acting for me, gave or agreed to give anything of value to any member of theproduction staff, anyone associated in any manner with Producer, or any representative of any television

network or station for Producers undertaking hereunder. I understand that Producers policy prohibits such

payments, and further understand that it is a federal offense, unless disclosed to Producer prior broadcast, for

any such arrangement or my acceptance or agreement to accept anything of value to promote any product,

service or my venture on the air. I am also aware that it is an offense to use any prepared material containing

such a promotion where I know the writer received consideration for it and to fail to disclose this information

if any person attempts to induce me to violate the foregoing prohibition or to do anything dishonest.

13. I agree to keep all information related to the Program in strictest confidence, and not to disclose or discusssuch information, or to authorize any third party to do the same, without Producers prior written approval in

its sole and absolute discretion. I shall not directly or indirectly issue or permit the issuance of any publicity

whatsoever with respect to the Program in any way at any time without Producers prior written approval, in

its sole and absolute discretion, in each instance.

14. I agree that if I am selected as a participant, I shall make my own travel arrangements at my owncost and expense including, without limitation, arranging air flights to and from India, and obtaining

an appropriate Indian Visa. I understand that once I arrive at the airport in Mumbai then Producer

will provide housing arrangements and transportation for me and my accompanying parent or legal

guardian. I will be responsible for living expenses
