CSE CIRCULAR INCORPORATION OF ENFORECEMENT PROCEDURES TO BE IMPLEMENTED ON LISTED PUBLIC COMPANIES VIOLATING LISTING REQUIREMENTS OF THE COLOMBO STOCK EXCHANGE
By way of a letter dated 13th October 2017, the Securities and Exchange Commission of Sri Lanka (SEC) has directed the Colombo Stock Exchange (CSE) to give effect to the enforcement procedures to be implemented on listed companies in relation to the following, which are enclosed as Annexure I thereto; a) Violation of Corporate Governance Requirements; b) Late submission or non-submission of interim financial statements; c) Late submission or non-submission of annual reports; d) Incidence of modified audit opinions in the audited financial statements; and
e) Incidence of an emphasis of matter on going concern in the audited financial statements The said Directive of the SEC [Ref: SEC/LEG/17/10/22] has been uploaded to the CSE Website (www.cse.lk). The Enforcement procedures set out in the said Directive of the SEC will be effective from 01st January 2018. The enforcement procedures in respect of 'modified audit opinions' and 'emphasis of matter on going concern' will be effective for all Annual Reports and Audited Financial Statements released after 01st January 2018. Further, the Default Board of the CSE will be renamed as the 'Watch List' with effect from 01st January 2018. The CSE would take steps to incorporate the aforesaid enforcement procedures to the CSE Listing Rules in due course.

The “Invest Sri Lanka Investor Forum” organized by the Colombo Stock Exchange (CSE) and the Securities and Exchange Commission of Sri Lanka (SEC) in association with CSE Member Firms, Listed Companies and supported by Asia Securities (Event Sponsor) and the Oxford Business Group (Exclusive Publication Partner) drew a strong interest among the investor community in New York. A Sri Lankan delegation including senior representatives of the CSE, SEC, Stock Broker Firms and Listed Companies attended the Forum to make a collective case on the Sri Lankan capital market as an investment destination. Remarks made by policy makers and capital market leaders on the economic outlook for the country and investment opportunities surrounding progressive reforms were well received by participants, who expressed their confidence in the way forward for Sri Lanka. One-on-one/group discussions between investors which included representatives of the largest frontier and emerging market funds and Sri Lankan listed companies, were well attended and featured John Keells Holdings PLC, Commercial Bank PLC, Sampath Bank PLC, Tokyo Cement (Lanka) PLC, Teejay Lanka PLC, Dialog Axiata PLC, People’s Leasing & Finance PLC, MTD Walkers PLC and Sunshine Holdings PLC. Addressing the forum as the keynote speaker and at the backdrop of the IMF reaching a staff-level agreement on the third review of Sri Lanka’s Extended Fund Facility, the Governor of the Central Bank of Sri Lanka Dr. Indrajit Coomaraswamy stated that the macroeconomic stabilization of the economy is broadly on track and that the structural reforms implemented over the past two years are showing signs of gaining traction. The Governor added that the Central Bank is well advanced in putting in place a flexible inflation targeting regime and added “The narrative is that the macroeconomics are improving, you have a tremendous location, you have a shift to a growth model which is capable of giving you more sustainable growth and the policies are being put in place to support that growth model. The growth framework is being strengthened through action in terms of the investment climate, investment promotion, trade facilitation and trade policy complemented by a pipeline of very ambitious projects. Commenting on the capital market’s role in contributing to the national agenda, CSE Chairman Mr. Ray Abeywardena stated that the CSE is fully geared to creating capital raising opportunities for both the public and private sector, which is set to make a vital contribution to the Government’s Vision 2025 and empowerment of private investment based growth. He added that providing a platform for state-owned enterprise reform through the stock market, facilitating the growth of SMEs through the introduction of an SME Board and providing other equity and debt capital raising opportunities to spur growth among Sri Lankan corporate entities remains to be a key priority at the CSE. A development drive focused on all investor segments, product diversification, improvements to governance and market infrastructure and further improvements to risk management were presented by Mr. Abeywardena as key facets of the way forward for the Sri Lankan stock market. Commenting on the key attractions of Sri Lanka as a frontier market, he noted that Sri Lanka offers a more diversified economy, compared to other oil and commodity heavy frontier markets. A fully functioning democracy, an improving balance of payments situation, independent institutions, the rule of law, promising social aspects, the absence of capital controls and Sri Lanka’s strategic location and external growth opportunities surrounding it were identified as key factors that could pursue foreign investors to consider Sri Lanka going forward. Adding to the positive sentiments expressed, NASDAQ Vice Chairman Mr. Meyer “Sandy” Frucher said “We believe in the Sri Lanka story, which is why we are represented here at this forum. The Benchmark All Share Price Index (ASPI) has made a 2.78% gain in October alone and a 6.31% gain year-to-date, while the S&P SL 20 index, which features the CSE’s 20 largest and most liquid stocks has also improved consistently, making a 5.74% gain in October and a 11.50% gain since the start of 2017. The positive growth of the indices mark a reversal of the declining trend recorded in 2015 and 2016, during which the ASPI recorded a decline of 5.54% and 9.66% respectively. The performance of the market has also resulted in an improved involvement among investors, where the Daily Average Turnover is recorded at Rs. 943 million year-to-date, which is a 28% increase from Rs. 737 million in 2016. Commenting on market performance, CSE CEO Mr. Rajeeva Bandaranaike stated “2017 has offered encouragement as far as market performance is concerned and investors are starting to recognize long term value in the market. The Colombo Stock Exchange (CSE) and Korea Exchange (KRX) announce the signing of a memorandum of understanding (MoU) to establish a collaborative relationship focused on mutual development opportunities in the Sri Lankan and Korean capital markets. The MoU was signed by KRX Chairman Mr. Jiwon Jung and CSE Chairman Mr. Ray Abeywardena in Seoul on Monday, 20th November 2017 in the presence of H.E. Ms. Manisha Gunasekara, the Sri Lankan Ambassador to South Korea. In a development that is of particular interest to the Sri Lankan capital market, the MoU paves the way for collaboration between the CSE and KRX in the areas of new product development in equity and financial derivatives, new technology, business strategy and post-trade technology and systems. Speaking to mark the signing of the MoU, Mr. Jiwon Jung, Chairman at KRX said “Under the spirit of today's MoU, KRX will utilize its experience and technology in market development to closely collaborate with CSE in facilitating further capital market growth of both countries." Commenting on the MoU, CSE Chairman Mr. Ray Abeywardena said “The MoU with KRX would assist in synergizing efforts on capital market development and business opportunities between the two countries. We are pleased to be working with KRX, which we believe strengthens our avenues for cooperation and mutual development with leading exchanges and capital markets.” KRX presently has over 2,000 listed securities and contributes to the development of the Korean economy by providing corporations with capital for growth, and offering individuals opportunities for wealth accumulation. With a population of approximately 50 million, a GDP of US$1.6 trillion and GDP per capita of $32,800, Korea is one of the largest and most prominent consumer markets in Asia. Korea Stock Exchange, Korea Securities Dealers Automated Quotation and Korea Options and Futures Exchange consolidated in 2005 to establish KRX under the Korea Stock and Futures Exchange Act. The KOSPI market, which is a benchmark stock market of Korea, has listed global corporations such as Samsung Electronics, Hyundai Motor, POSCO and LG Electronics. The CSE is the nucleus of Sri Lanka’s capital market as the licensed operator of the stock market. The CSE is regulated by the Securities and Exchange Commission of Sri Lanka and was incorporated as a company limited by guarantee in 1985. The CSE acts as a conduit of both equity and debt capital and provides the necessary market infrastructure to buyers and sellers in order to transact.

Foreign investment in the stock market hits an all-time high in 2017
In what continues to be a promising year for foreign investor involvement in the stock market, 2017 has recorded an all-time high in foreign purchases during a year, with Rs. 105.1 billion (year-to-date) in foreign purchases this year passing the record of Rs. 104.7 billion set in 2014. The development follows signs of renewed foreign interest in the stock market in mid-2017, during which foreign purchases recorded for the first half of 2016 doubled in 2017 and recorded an all-time high for foreign purchases in the first half of a calendar year. Such foreign purchases have contributed to a net foreign purchase figure of Rs. 18.9 billion year-to-date, a figure that is substantial compared to foreign activity in 2015/16. Growing foreign interest in the market has also contributed to a 30% improvement in the Daily Average Turnover, where the figure has improved to Rs. 955 million (year-to-date) from Rs. 737 million in 2016. The record continues to indicate that foreign investors have been quick to identify buying opportunities in Sri Lankan stocks. An attractive market valuation (P/E), encouraging performance among listed entities, dividend payments, and capital gains tax exemptions offered to share transactions are considered to be defining factors in attracting the level of foreign investor interest the market has witnessed in 2017. Commenting on the development, the Head of Market Development at the Colombo Stock Exchange (CSE) Mr. Niroshan Wijesundere stated that improving levels of foreign investor involvement has provided the CSE an opportunity to create awareness on the stock market across all investor segments. He went on to add that in the midst of a number of positives so far this year, the market continues to trade at a discount compared to regional peers and offers further opportunities for investors - with a market P/E recorded at 10.72 as of today and a majority of listed companies trading below book value. “The macroeconomic outlook continuing to improve will also offer both foreign and local investors further confidence in the Sri Lankan stock market.” Mr. Wijesundere added. The CSE in association with the Securities and Exchange Commission of Sri Lanka (SEC) resumed a concentrated effort to create awareness on the opportunities in the capital market in key foreign markets this year, through ‘Invest Sri Lanka’ Forums in Sydney, Melbourne, Auckland and most recently in New York. Foreign Institutional Investors and Sri Lankans living abroad present at these events indicated a sense of optimism on the investment opportunities surrounding progressive economic reforms presently being implemented in the country. In a related development, foreign purchases in the stock market originating from Australia in a particular year recorded an all-time high in 2017, with a figure of Rs. 651 million by the week that ended 17th November 2017. A strong community of individuals with a Sri Lankan origin eager to look at new Sri Lankan investment opportunities and the celebration of 70 years of diplomatic ties between Sri Lanka and Australia presented the CSE with a unique opportunity to promote the capital market in Australia this year. The CSE and SEC have also launched an island-wide local retail investor focused Investor Forum campaign to create awareness on the record foreign investment and the potential opportunities in the market for local investors. The local investor forum series has been supported through over 500 awareness programmes conducted through the CSE branch network so far in 2017. The Colombo Stock Exchange (CSE) announces the appointment of Mr. Dilshan Wirasekara as a Director of the CSE Board with effect from 21st November 2017. Mr. Wirasekara is an investment banker and the Director/Chief Executive Officer of First Capital Holdings PLC. He is an experienced professional with a career spanning over 22 years, comprising diversified expertise in financial services including, treasury and investment management, capital market strategy and corporate finance advisory. Having joined First Capital in 2013, Mr. Wirasekara steered the Company to establish itself as a key contributor to the local capital market industry. He was the former General Manager of Softlogic Capital PLC guiding investment and trading portfolio management across subsidiaries inclusive of the Group’s Licensed Finance Company, Composite Insurer and Equity Brokerage; prior to which he was Head of Treasury at Nations Trust Bank PLC. He is an Alumnus of INSEAD having successfully completed his Executive Professional Education at INSEAD Business School in Fontainebleau, France.

The Colombo Stock Exchange (CSE) announces the following changes in S&P Sri Lanka 20 index constituents made by S&P Dow Jones Indices at the 2017 year-end index rebalance.
A revision of the S&P SL 20 methodology in March 2017 established the practice of a semiannual rebalance of the index (previously conducted annually), which is set to take place during the months of June and December each year. The revision also established the
inclusion of non‐voting ordinary shares listed by the respective companies of the S&P SL 20 Index, provided that such shares meet relevant liquidity requirements.
The exclusions and inclusions as announced by S&P Dow Jones Indices, effective from 18 December 2017 (after the market close of 15 December 2017) are presented below in alphabetical order.

The constituents are weighted by float-adjusted market capitalization, subject to a single stock cap of 15%, which is employed to reduce single stock concentration. The S&P SL 20 index has been designed in accordance with international practices and standards. All stocks are classified according to the Global Industry Classification Standard (GICS®), which was co-developed by S&P Dow Jones Indices and MSCI and is widely used by market participants throughout the world.
