Illinois Quarter Horse Association Stallion Service

Auction and Breeders’ Futuritywww.ilqha.com

The SSA is open to any AQHA registered stallion or jockey club stallion.

Proceeds from the SSA are distributed and allocated to the breeders’ futurity as funds for the open, non-pro and breeders’ divisions for weanlings,

yearlings, two year olds and three year olds.

The purpose of the IQHA breeders’ futurity is to promote, exhibit and showcase american quarter horses resulting from all illinois quarter horse association members breeding programs.

If you are a stallion owner, please consider nominating your stallion to our SSA. Thank you to all stallion owners who have donated your stallion’s service in our past auctions. We really do appreciate it. Visit our ILQHA website to download the contract and information sheet to officially nominate your stallion.

Nominations/questions: contact the ILQHA futurity secretary, Connie McLaughlin at 217/825-8763 or via e-mail at [email protected].

Thank you to all the mare owners who have purchased stallion service breedings via our SSA. It is your support that is providing this organization the opportunity for a successful SSA/Futurity Program. If there is a certain stallion that you are interested in breeding to and would like to have him in our SSA, please advise Connie McLaughlin. Live auction bids start at one-half of the advertised breeding fee or $300, whichever is greater, plus $50. Private treaty fees start at $350.

Closed breeders’ futurity entries for halter and performance classes are limited to mare purchasers through our SSA and stallion owners, whose stallion’s service sells through our SSA. The ILQHA breeders’ futurity is held the third weekend of September.

Purse payout: closed breeders’ = 50%; non-pro = 40%; and, open = 10%

Come and join us by promoting your stallion and/or to breed your mare and have the opportunity to participate in our breeders’ futurity show.

ARTICLE I PURPOSE

Section 1: Promotion of the Quarter Horse

The purpose of the corporation shall be to promote the American Quarter Horse in the State of Illinois. To achieve this purpose the Corporation shall conduct itself in harmony with the policies and activities of the American Quarter Horse Association (hereinafter referred to as the “AQHA”)

Section 2: Activities of Corporation

Among the activities in which the Corporation shall endeavor in order to achieve its purposes shall include, but shall not be limited to:

a. Promoting interest in the public, and the members of the Corporation, in riding, breeding, raising, training, exhibiting and racing of the American Quarter Horse, and

b. Education of the public and the members of the Corporation in proper and safe methods in doing the acts described in Paragraph 1, and

c. Organizing, promoting and sanctioning competitive events for Quarter Horses and their owners.

ARTICLE II REGISTERED AGENTS

The Corporation shall have and continuously maintain in this State a registered office and a registered agent whose office is identical with such registered office. The Secretary of the Corporation shall serve as the registered agent.

ARTICLE III FISCAL YEAR

The fiscal year of the Corporation shall be contiguous with the calendar year.

ARTICLE IV MEMBERSHIP

Section 1: Classes of Membership

The Corporation shall have two classes of members. Designation of such classes and the qualifications of members for such class shall be as follows:

a. Resident Members. Membership shall be open to any legally recognizable entity whose principal residence or principal place of business is within the state of Illinois.

b. Non-Resident Members. Membership shall be open to any legally recognizable entity whose principal residence or place of business is located outside the State of Illinois.

Section 2: Application for Membership

a. Any party wishing to become a member of the Corporation shall make application for admission as a member by completing an application for membership.

b. All applications for membership shall be filed with the Secretary of the Corporation.

c. A person may only apply for membership once each fiscal year.

Section 3: Types of Membership

There shall be three types of membership.

a. Single Membership – Single memberships are for one person.

b. Family Membership – Family memberships shall include a legally married husband and wife, and, if applicable, all of their children age 18 and under. A child’s age shall be determined in accordance with the AQHA provisions for determining eligibility in the Youth Activity Events.

c. Partnership, Firm, or Corporation Membership. – this type of membership is for a business entity.

Section 4: Duration of Membership

Each class and type of membership shall be available in the following durations.

a. Annual Memberships – An annual membership shall run contiguous with the fiscal year of the Corporation.

b. Life Memberships – Life membership shall last for the natural life a member. Life memberships are not available to corporations, firms, or partnerships.

c. Family Life Memberships – Family life memberships shall last for the natural life of both adult members of the family. Children shall be considered non-voting members until the child reaches 18 years of age.

d. Business Entities – Business entities may only obtain annual memberships.

Section 5: Rights, Duties, and Responsibilities of Members

All shall obey and be bound by the by-laws, rules and regulations of the Corporation and the AQHA except where there is an inconsistency. If there is an inconsistency between the IQHA by-laws, rules or regulations and the AQHA by-laws, rules or regulations, the IQHA by-laws, rules or regulations shall prevail. The entire 1986 AQHA Handbook is incorporated by this reference as if stated herein. Each subsequent AQHA handbook or amendment shall be incorporated by-laws.

a. Rights of Members

1. While in good standing, all members shall have equal rights, interests and responsibilities with respect to the Corporation and its property.

2. Membership in the Corporation is a privilege and not a right.

3. Membership or application of membership therefore, may be terminated or rejected by the Board of Directors for any cause or no cause, in the sole discretion of the Board of Directors.

4. Any termination, or application of membership, which is rejected under this paragraph, shall be conducted in accordance with the Corporation’s disciplinary procedures outlined in Article IV, Sections B and C.

5. Each resident member shall be entitled to one vote on each matter which is submitted for a vote to the members. There shall be no votes by proxy. Non-resident members, children under 18 years of age who are part of a family membership, and partnership, firm, or corporation members shall not have voting rights.

6. Reinstatement. A suspended or terminated member may petition the Board on each fiscal year for reinstatement. The Board of Directors, in its sole discretion shall grant or deny reinstatement of membership.

Section 6. Automatic Termination of Suspension of Membership

The Board of Directors may suspend or terminate membership, without notice to the member, for the following reasons:

a. Termination or suspension of membership in the AQHA – If the IQHA suspends or terminates membership pursuant to this provision, the period of suspension or termination shall not exceed the suspension or termination imposed by AQHA.

b. Default in the payment of dues – Payment of an obligation to the IQHA with a check or other negotiable instrument which is later dishonored.

Section 7. Termination or Suspension of Membership with Notice

The Board of Directors may suspend or terminate membership pursuant to the Articles of Incorporation and provisions regarding imposition of sanctions contained in Article IV, for any or no reason, including an act in violation of AQHA rules or regulation or any other act or omission which is determined, in the sole discretion of the Board of Directors to be contrary to the purposes and goals of the IQHA. Any sanctions imposed pursuant to this Section may only be imposed with notice and a hearing conducted pursuant to the provisions of Sections 11, 12, and 13 of this Article.

Section 8. Resignation

Resignations may be made by the filing of a written resignation with the Secretary of the Corporation. Such resignation does not relieve the member of any of his or her obligations already accrued to the Corporation. No refunds on a pro-rata basis will be allowed to resigning members.

Section 9. Transfer Membership

Membership in the Corporation is not transferable or assignable.

Section 10. Sanctions for Violations of Rules and Regulations

The Board of Directors may impose sanctions for a violation of a rule or regulation of the Corporation. Such sanctions shall be determined in accordance with the rules of AQHA and may include, but are not limited to, the imposition of monetary fines, suspension of membership or any other action, which the Board may deem appropriate.

Section 11. Rules for Disciplinary Hearings of the Illinois Quarter Horse Association

a. Parties

1. The Illinois Quarter Horse Association (IQHA) is a party to all disciplinary hearings.

2. All hearings shall be open to members of the IQHA. Other interested parties, upon request, may attend.

3. These rules may apply to any disciplinary hearings conducted by the IQHA where the IQHA chooses not to use the AQHA rules for hearings as guidelines.

b. Counsel

The parties shall have the right to be represented by counsel, or a representative of their choice, to be present, to cross-examine witnesses, and to participate in any hearing held pursuant to those rules.

c. Hearing Officer

1. All disciplinary hearings shall be conducted consistent with these rules by an attorney admitted to the Illinois Bar who is appointed by the IQHA Board of Directors and who shall serve as the administrative hearing officer (“hearing officer”).

2. The hearing officer may consolidate several complaints for purposes of hearing when it is found that the proceedings are related.

d. Powers and duties of hearing officer

1. The hearing officer shall have authority consistent with these rules and the by-laws to govern the hearing and to admit or exclude testimony or other evidence.

2. The hearing officer shall rule on all proper motions and objections by any party from the time the hearing officer is assigned to the matter until the decision or final order on the hearing is filed with the Board of Directors of

the Corporation.

e. Continuances

1. The hearing officer may grant continuances for good cause shown. Cause shall include, but is not limited to, the unavailability of a witness, attorney or a representative, necessary to the hearing. Failure to employ counsel in a timely manner shall not constitute cause.

2. Requests for continuances shall be made, in writing, to the hearing officer sufficiently in advance of the scheduled hearing to permit reasonable notice to all parties. Reasonable notice shall not be less than two (2) days written notice, unless an emergency arises.

3. All hearings, once commenced, shall continue on successive days until completed.

f. Form of pleadings and other papers

1. All documents shall be typewritten. Photocopies are acceptable provided they are reproduced by a clear printing or duplicating process.

2. Each document shall have on the first page the title and number of the matter in which the document is filed. Each document shall contain on the final page the name, address, and phone number of the attorney representative or of the party if appearing pro se.

3. The original and one copy of each document shall be filed with the hearing officer.

4. A copy of each document filed and a proof of service shall be served on all parties.

Section 12. Complaint, Answer and Disclosure

1. The notice of a hearing to a respondent shall serve as a complaint. The notice shall specify the conduct which is the subject of the hearing and the by-laws or rules on which the IQHA bases its claim.

b. Service of Notice

1. The notice of the hearing shall be served on the respondent by certified mail, return receipt requested.

2. The notice shall be mailed no less than fifteen (15) days prior to the date set for the hearing.

3. Notice of service of any other documents required by these rules is deemed to have been made upon proper mailing.

c. Answer

1. The respondent may answer the notice, but is not required to do so. Where no answer is filed, the facts in the notice will be taken as denied.

2. Any answer shall contain:

a. A specific admission or denial to each allegation, or an assertion that the respondent is without sufficient knowledge or information to form a belief with respect to each allegation; and

b. A statement of any matter constituting a defense to any allegation.

d. New Matter in Answer

1. Any allegation to new matters, which are contained in the answer, shall be deemed denied without the necessity of a reply thereto.

e. Amendments to Pleadings

1. The hearing officer shall have complete discretion to allow amendments to pleadings.

f. Required Disclosure

1. The IQHA shall notify respondents, in writing, no less than ten (10) days prior to the hearing of all witnesses to be called on direct examination.

2. The IQHA shall serve as respondent, no less than ten (10) days prior to the hearing, copies of all documents which they intend to introduce as evidence at the hearing.

3. No continuances shall be granted on the grounds that a party has not served disclosure in a timely fashion.

4. The hearing officer, at his discretion, may refuse to admit any documents or testimony not disclosed in accordance with this section.

g. Production, Inspection, Copying, and Photocopying of Documents and Other Tangible Things.

1. The respondent(s) may request inspection and reproduction of documents and other things. A respondent requesting reproduction shall, at their own expense, arrange for reproduction of the documents requested. The documents shall be made available to the respondent party within three (3) days after receipt of the request for production of documents. If a request is made by telephone, the respondent shall file an affidavit attesting to the substance of the conversation.

h. Discovery Control

1. The hearing officer may, at any time, on its own motion or on the motion of any party or witness, make such protective orders as equity and fairness may require, denying, limiting, conditioning or regulating discovery to prevent unreasonable annoyance, expense, embarrassment or disadvantage.

2. All matters that are privileged against disclosure in civil cases in the courts of the State of Illinois shall be privileged against disclosure in a disciplinary hearing.

Section 13. Hearing Procedure

a. Adverse Witnesses.

1. At the hearing a witness may be called and examined as under crossexamination in the same manner and circumstances as provided under the rules of evidence under the State of Illinois.

b. Testimony and Evidence

1. All testimony and other evidence shall be under oath of affirmation.

2. All testimony and other evidence shall be admitted on basis of whether a prudent person would find the evidence presented credible and relevant in the ordinary conduct of its affairs.

3. The IQHA shall present its case in chief prior to the respondent presenting any defense.

4. The IQHA must prove, by a preponderance of the evidence, that the respondent committed the acts, which constitute conduct subject to disciplinary action.

5. The IQHA shall arrange for a court reporter to record all oral testimony.

c. Stipulations

1. Written stipulations signed by the parties to be bound may be introduced

as evidence. Oral stipulations may be made on the record at the hearing.

d. Supplementary Pleadings

1. The hearing officer may, in his sole discretion, permit the parties to argue orally and/or submit such briefs as deemed appropriate.

e. Settlement

1. If at any time after issuance of notice the parties agree to terms of settlement, such terms shall be reduced to writing, signed by the parties and submitted to the Board of Directors of the IQHA for approval.

f. Issuance of Final Order

1. As provided in the by-laws of the IQHA, the Board of Directors’ decision shall be final.

ARTICLE V MEETING OF MEMBERS

Section 1: General Membership Meeting

Annual meeting of the resident members of this Corporation shall be held during the first of each calendar year.

a. Location and Date The location and date of this meeting shall be determined by the Board of Directors.

b. Notice of General Membership Meeting The Board of Directors shall cause minutes of the General Membership Meeting to be given to resident members by regular mail at the address of the member currently on file with the Corporation. Said notice may be given by publishing in the official newsletter of the Corporation.

c. Purpose of the Annual Meeting The purpose of the General Membership meeting shall be to transact business of the Corporation which requires membership approval.

Section 2: Quorum

Fifty resident members shall constitute a quorum in any meeting. If a quorum is not present in any meting of the members, the majority of the members present may adjourn the meeting to a future date without further notice.

Section 3: Notice of Meetings

Notice of any meeting must be given not less than five (5) days nor more than forty (40) days prior to the meeting date. Notice of a special meeting shall contain the purpose for which the meeting is convened.

Section 4: Special Meetings

A special meeting of the resident members may be called by the President and five (5) members of the Board of Directors, or 20% of the resident members.

Section 5: Informal Action by Members

Any action that members may take at a general or special meeting of the Corporation may be taken without a meeting if written consent to inform the action is signed by all of the members entitled to vote.

ARTICLE VI BOARD OF DIRECTORS

Section 1: General Powers

a. The affairs of the Corporation shall be managed by its Board of Directors.

b. A member may be charged with a violation of the rules and regulations solely in the discretion of the Board of Directors.

c. The Board of Directors shall have the power to designate geographical boundaries of the districts to be served by an elected district director. Additionally, the Board shall divide the state into three (3) regions consisting of the Northern, Central, and Southern region.

Section 2: Number, Tenure, and Qualifications of Directors

a. The Board of Directors shall consist of all of the officers of the Corporation, two (2) past Presidents of the Corporation, the AQHA National Director(s) and all elected Directors.

b. Tenure of Directors – All members of the Board of Directors shall serve for one (1) fiscal year.

c. Qualifications – The Board of Directors shall be Illinois resident members of IQHA in good standing at both the time of nomination to and seating on the Board of Directors.

d. There shall be 12 Directors, one (1) from each of the 12 districts. Each year, at the General Membership meeting, the newly elected Board of Directors shall evaluate the existing geographical boundaries and reapportion the Districts for the subsequent elections.

e. The Director shall appoint an alternate Director from their District. The alternate is to have voting power at regular Board of Directors’ meetings only when elected directors are absent. Alternates will have the same term and duties as the Director and will serve on a standing committee.

Section 3: District Director Vacancies (2014 amendment)

The Board of Directors by majority vote shall be responsible for filling any District vacancy. The vacancy created for whatever reason shall be filled by an active IQHA member residing anywhere within Illinois for a period of one year or until the next Board of Director election.

Section 4: Regular Meetings

a. Annual – An annual meeting of the Board of Directors shall be held without further notice, immediately after and at the same place of the annual meeting of the members.

b. Other Meetings – The Board of Directors may provide by resolution, either within or without the State of Illinois, for holding of additional meetings. Notice of other meetings of the Board of Directors shall not be made other than by resolution.

Section 5: Special Meetings

The President and any five (5) Directors collectively may call a special meeting with the Board of Directors. A special meeting of the Board of Directors may be held at any location.

Section 6: Emergency Meetings

When the President and any seven (7) Board members feel there is cause for an emergency meeting, the notice provision for meetings may be waived for the limited emergency purpose. Any action taken at an emergency meeting must be ratified by the Board at a special meeting within fifteen (15) days of the emergency meeting or such action shall be null and void NUNE PRO TUNC the date of the action.

Section 7: Notice of Regular Meetings

a. Regular Meetings – Notice of any meetings of the Board of Directors shall be the notice section of these by-laws.

b. Special Meetings – any notice of a special meeting must state the purpose for this special meeting and no other business except that which is related to the purpose of this special meeting may be transacted.

Section 8: Emergency Meetings

One third of the members of the Board of Directors shall constitute a quorum for the transaction of business at any meeting of the Board except at a special meeting where a quorum of one-half is required.

Section 9: Resolutions

a. All resolutions shall be written out prior to adoption. In addition to active language of the resolution, in the preamble, the Board shall outline the facts and circumstances which necessitate the Board’s actions. Where there is a question of interpretation of a resolution of the Board of Directors, the Board or any other entity reviewing the action shall first review the preamble of the resolution for guidance. If the preamble does not clarify the ambiguity, then the minutes of the meeting should be consulted.

b. Resolutions, unless separately voted upon, do not become effective until published, in written form, in the official newsletter of the Corporation or through individual written notification to each member. Any objection to the content of the written version must be made within ten (10) days after publication in writing pursuant to the notice provisions contained in these by-laws. If an objection to the content is filed, then the resolution shall be placed on the agenda at the next Board meeting.

c. The President has the sole discretion to review objections, consider their merits, and reject any objection which does not specifically identify a substantial error in the recording of the resolution. Resolutions may be adopted by a majority of those Board members present.

Section 10: Automatic Removal from Board

a. Whenever an Officer or Director fails to attend two (2) regular Board of Director’s meetings in one calendar year, then the Officer or Director shall be deemed to be automatically removed from the Board. Automatic removal disqualifies the officeholder for election at the next annual election.

b. The applicable provisions of these by-laws shall apply in the event of a vacancy.

Section 11: Salaries

Directors and Officers shall not receive any stated salaries or reimbursement for expenses, unless voted upon and ratified by the general membership.

Section 12: Telephone Action

Any meeting described in this section may be conducted by wire, video, telephone, or other electronic transmission.

Section 13: Proxies

There shall be no proxies for Board of Directors’ votes.

Section 14: Quorum and Manner of Acting

Fifty-one percent (51%) or more of the seated Board members (does not include vacant positions) constitute a quorum. The act of a majority of the Directors present at a meeting at which a quorum is present shall be the act of the entire Board of Directors. The Board of Directors may appoint a committee of two (2) or more Directors or members or any combination thereof to perform any act or acts in the stead of the Board of Directors. Such designation of a committee shall not relieve the Board of Directors or any individual Director of any responsibility imposed upon it by these by-laws or applicable law.

Section 15: Point System and Award Classification

The officers and Directors shall determine the point system and award classification for the following years’ horse shows by notice to the Corporation in the fall of each year.

Section 16: Dues

The Board of Directors shall determine the due date and the amount of membership dues for each year.

ARTICLE VII OFFICERS

Section 1: Term and Duplicate Offices

The Corporation shall have a President, Vice-president, three (3) Regional Vicepresidents, a Secretary, and a Treasurer.

a. Terms of Office – Each officer shall hold office for a term of one (1) year or until their successors are elected and qualify.

b. Duplicate Offices – No person shall hold more than one office in the Corporation except that one person may be both Secretary and Treasurer.

Section 2: Officers Duties

a. President – The President shall preside at all meetings of the members and/or Board of Directors. The President shall have no voting authority any greater than any other officer or member of the Board of Directors. The President shall have the additional power listed in the previous Article.

b. Vice-president – In the absence of the President or in the event of the President’s inability or refusal to act, the Vice-president shall perform the duties of the President.

c. Treasurer – The Treasurer shall be charged with the responsibility of management of the Association’s financial affairs. The responsibilities shall include but are not limited to investment of funds, payment in collection of bills, and the Treasurer shall be required to report to the Board of Directors at each regular meeting and upon such reasonable request as made. The Board of Directors shall require that the Treasurer be bonded. Any such requirement shall be paid for by the Board of Directors.

d. Secretary – The Secretary shall keep the minutes of the meetings of the members and the minutes of the meeting of the Board of Directors. The Secretary shall supervise the mailing of all necessary notices upon proper request from members or officers. The Secretary shall be the custodian of the vote of the corporate records of the Corporation. The Secretary shall have the authority to make such disbursements from petty cash and general funds of the Corporation for the operation of the administrative office.

e Regional Vice-presidents – The three (3) regional Vice-presidents shall supervise any local and district meetings held for the purpose of furthering the interest of the Corporation, obtaining additional members, obtaining more and better recognized shows and other acts to service the regional members.

f. Limited Purpose Officers – The Board of Directors may designate persons to act as assistant Treasurer or Secretary if deemed appropriate. These specifically designated officers shall perform only such duties as designated by the Board of Directors in a written resolution.

g. Vacancies – The vacancy in any office because of death, resignation, removal, or any other reason must be filled by the President of the Corporation within 30 days, and ratified by the Board of Directors at the next regularly scheduled meeting for the unexpired portion of the term.

h. Removal – Any officer may be removed by the Board of Directors when, in the sole discretion of the Board of Directors, the officer is not fulfilling his duties responsibly.

ARTICLE VIII ELECTIONS

Section 1: Frequency

An election shall be held each year for each office and position on the Board of Directors.

a. Voter Eligibility – Each voting member in good standing may vote in the election for officers to serve in the year subsequent to the membership.

b. Number of Votes – Each eligible member shall be entitled to one (1) vote only for the candidate of his or her choice.

c. Voting for Regional Offices – Each member shall be allowed to vote only for the Regional Vice-president or Director from his or her Region and District.

Section 2: Nomination Meeting

The Board of Directors shall make nominations to the ballot no later than October of each year.

Section 3: Automatic Nominations

The Secretary, or if the offices of Secretary and Treasurer are combined, the Secretary/Treasurer shall be automatically re-nominated for that post each subsequent year. The Vice-president shall automatically be nominated to the office of President unless the incumbent President is re-nominated.

Section 4: Discretionary Nominations

In addition to the preceding nomination provisions, the Board shall nominate a minimum of one person for each office, and at least two, but not more than five persons from each District for the office of Director or Regional Vice-president.

Section 5: Ballots

a. Design - The Board of Directors shall design the ballot and shall choose all ballot positions by lottery.

b. Counting of Ballots - The board of Directors shall designate a committee of disinterested parties to tally the ballots.

c. Ties - The President of the Corporation serving in the year that the election was held will have the power to break all ties, in his or her sole discretion, in any elected position except for the office of President. In this situation the tie breaking vote will be conducted by secret ballot of the Board of Directors minus the President.

d. Transfer of Office - The officers shall be given the authority of their positions at the annual meeting as designated by the Board of Directors.

ARTICLE IX STANDING COMMITTEES

Section 1: Purpose

The day-to-day operation and substantive work of the IQHA is primarily accomplished by its Standing Committee structure.

Section 2: Committees and Terms

There shall be six standing committees of the corporation: Futurity Committee, Show Committee, Annual Meeting and Convention Committee, Awards Committee, Grievance Committee, and Finance Committee.

Section 3: Membership of Standing Committees

a. The President of IQHA shall serve as an ex-officio member of all standing committees.

b. All Board of Directors members shall serve on at least two of the standing committees based on their interest and individual requests.

c. All other members of standing committees shall be IQHA members who volunteer to participate on any of the committees.

d. The chairman of each standing committee shall be nominated by the IQHA President and approved by the Board of Directors.

e. Each Standing Committee shall have a vice-chair to be nominated and approved by the committee members. The vice-chair shall be responsible for recording the minutes of the committee

f. A Committee chairman with the approval of the Board of Directors can move to limit the number of voting members of any committee to twelve (12). No more than 50% of those voting positions shall be Board of Director members.

Section 4: Committee Duties and Responsibilities

a. Futurity Committee

1. The Futurity Committee shall manage and operate all aspects of the Illinois Quarter Horse Breeders’ Futurity in compliance with the Futurity by-laws.

2. The Futurity Committee functions and responsibilities shall be: recruitment of stallions for the stallion service auction; advertising the Futurity and Stallion Service auction; appropriate distribution of funds received from the auction and entry fees as required in the Futurity by-laws; appropriate procedures for exhibition of Futurity entries at the Fall show; payment of Futurity financial awards; and annual financial reporting to the Board of Directors of all Futurity division expenditures and balances.

3. The Futurity Committee shall coordinate and collaborate with the Show Committee for all aspects of the Futurity Class scheduling and exhibition during the Fall show and Futurity.

4. The Futurity Committee shall recommend to the Board of Directors approval of changes in the Futurity by-laws.

b. Show Committee

1. The Show Committee shall manage and operate all aspects of each horse show sponsored by the IQHA in compliance with AQHA show and management rules and regulations.

2. The Show Committee functions and responsibilities shall be: selection of show sites; advertising for shows; contracting of necessary facilities, personnel, equipment and supplies; securing necessary approvals from national associations; appropriate distribution and management of Show Committee funds; and, financial reporting to the Board of Directors of Show Committee expenditures and fund balances.

3. The Show Committee shall coordinate and collaborate with the Futurity Committee for all aspects of Futurity class scheduling and exhibition at the Fall show and Futurity.

4. The Show Committee shall recommend to the Board of Directors approval of changes to the number, format, locations and types of shows to be provided each year by IQHA.

c. Annual Meeting and Convention Committee

1. The Annual Meeting and Convention Committee shall manage and arrange for all aspects of the Annual Convention and General Membership Meeting.

2. The Annual Meeting and Convention committee functions and responsibilities shall be: location of appropriate facility; scheduling of necessary space for all convention and meeting functions; advertising and registration; manage Hall of Fame activities; negotiate with the hosting facility; and contract for all convention functions.

3. The Annual Meeting and Convention Committee shall coordinate and collaborate with the Awards Committee, Futurity Committee, Show Committee, and Board of Directors for the purpose of scheduling time and space for their respective functions.

4. The Annual Meeting and Convention Committee shall recommend to the Board of Directors, one (1) year in advance, approval of meeting location, time, and budgetary needs.

d. Awards Committee

1. The Awards Committee shall manage all aspects of the IQHA awards program in compliance with the Board of Directors approved policies and procedures.

2. The Awards program shall, in part, be funded by the fees received from the managers of those Illinois shows that have sought and received IQHA approved status.

3. The Board of Directors may financially enhance the funds available for the annual awards program at their sole discretion.

e. Grievance Committee

1. The Grievance Committee shall manage the policies and procedures adopted by the Board of Directors concerning grievances.

2. The Grievance Committee functions and responsibilities shall be: to receive written and signed grievances from IQHA members; to investigate and deliberate the substance of each grievance; and recommend to the Board of Directors actions to be taken.

f. Finance Committee

1. The Finance Committee shall oversee and review all financial aspects of the IQHA.

2. The Finance Committee shall be the President, Vice President, Secretary, Treasurer, and immediate Past President.

3. The Finance Committee’s functions and responsibilities shall be: to periodically review the various financial accounts of the IQHA, suggest improvements in the accounting procedures, seek sponsorships for various IQHA activities, and respond to Bank of America and other requests for proposals (RFP’s).

4. The Finance Committee shall recommend to the Board of Directors approval of the IQHA outside independent auditor who prepares IQHA’s annual audit report and files tax returns.

Section 5: Financial Responsibilities

The Futurity Committee and Show Committee shall maintain and manage their individual financial accounts with financial reports given to and approved at the regular Board of Directors meetings. The other four standing committees shall manage their financial affairs based upon a Board of Directors approved annual budget.

Section 6: Financial Reporting

The Futurity Committee and Show Committee shall have copies of their monthly financial activities sent to the IQHA Treasurer by the financial institution utilized by the respective committees. The IQHA Treasurer shall record and maintain from these monthly statements a duplicate accounting of revenues, expenditures, CD accounts, and balances.

Section 7: Signatures on Committee Accounts

The Show Committee and the Futurity Committee shall have a Treasurer position that can be combined with either the Chairman or Vice-Chair position. The Chairman, Vice-Chair, and the Treasurer of the Association shall be listed as signatories.

Section 8: Sub committees

Any function of a Standing Committee can be assigned to a Sub Committee of the whole committee.

ARTICLE X AD HOC COMMITTEES

Section 1: Purpose

The Board of Directors may from time to time establish ad hoc committees to perform specific duties or responsibilities at the discretion of the Board.

Section 2: Terms

The purpose and functions of the Ad Hoc Committee shall be defined by the Board of Directors with its work to be accomplished within a defined period of time.

Section 3: Committee Members

All Ad Hoc Committees shall include at least one (1) Board of Director member and as many other general members as may be needed to accomplish the purpose established by the Board.

ARTICLE XI NOTICE

A. Notice on Corporation

Any notice to be served on the Corporation pursuant to any section herein shall be served by registered mail at the Corporation Secretary’s address and by serving the President at the address available from the Corporation Secretary.

B. Notice on Member

Any notice to be served on a member pursuant to any provision there under shall be served by regular mail at the address provided on the membership application. Changes in address of members only effective by service on Corporation as described above. All notices shall be given by mailing not less than ten (10) days in advance unless otherwise prescribed within these by-laws.

C. Waiver of Notice

Appearance by a member or his or her representative, at a hearing or meeting, constitutes waiver of any objection to notice.

ARTICLE XII AMENDMENTS TO BY-LAWS

These by-laws may be altered, amended, or repealed and new by-laws may be adopted by a majority of a quorum of members present at any meeting, provided that at least two (2) days written notice is given of intention to alter, amend, repeal, or draft new by-laws at such meeting.

ARTICLE XIII BOOKS AND RECORDS

The Corporation shall keep correct books and records of account and shall also keep minutes of the proceedings of its members, Board of Directors, and committees. All books and records may be inspected by any member or his agent or attorney for any proper purpose at any reasonable time with two (2) days written notice given to the Corporation.

ARTICLE XIV A.Q.H.A. DIRECTORS

A nominee for the position of AQHA Director must be a past or present Officer or Director of the Illinois Quarter Horse Association.

ARTICLE XV INDEMNIFICATION OF OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS

The Corporation shall indemnify its officers, Directors, employees, and agents to the fullest extent permitted by the General Not-For-Profit Corporation Act of 1986, as amended (the “Act”), provided however, that the indemnification provided by or granted pursuant to the Act shall not be deemed exclusive of any other rights to which those seeking indemnification may be entitled under any bylaw,

agreement, vote of disinterested Directors, or otherwise, both as to action in his or her official capacity and as to action in any other capacity while holding such office, and provided, further that the indemnification provided hereunder shall not apply to any officer, Director, employee or agent if such person has been adjudged to be liable for negligence or misconduct in the performance of his or her duty to the Corporation, unless, and only to the extent that the court in which such action or suit was brought shall determine upon application that despite the adjudication of liability, but in view of all the circumstances of the case, such person is fairly and reasonable entitled to indemnity for such expenses as the court shall deem proper. The indemnification shall continue as to a person who has ceased to be a Director, officer, employee or agent, and shall inure to the benefit of the heirs, executors, and administrators of such a person.

Only current members of IQHA may participate in the Year End Awards Program. Registered owners of nominated horses must be in good standing with IQHA and hold one or more of the following membership types:

• Family membership (includes children 18 years or younger – for open and lead line points only)

• Single membership

• Partnership (as horse are registered)

• Corporations (as horse are registered)

• Youth membership (IQHAYA (Only youth points tabulated)

• Amateur membership – (included in Open membership)

Only nominated horses will be considered for year-end awards!

Nominations must be completed at the IQHA approved shows or mailed to the IQHA Office before points can be accumulated. This nomination must include horse’s AQHA registered name, registration number and year foaled. If mailed make sure the postmark is before the show in which points are to start counting.

Year End Awards will be based on the points earned from January 1 through December 31 of each year.

IQHA Year End Awards Nominations forms will be mailed to all current members along with their annual membership renewal. Life members will receive Nomination Form at the beginning of each membership year.

Horses may be nominated for class awards in each of the following Divisions:

• Open • Amateur • Amateur Select • Amateur Novice • Youth 13 and under • Youth 14 to 18 • Novice Youth • Small Fry

IQHA Year End Award points will be given in the following Division Classes at shows which have sought and received official approval by both AQHA and IQHA. All nominated horses must be registered or eligible for registration with the AQHA (i.e. weanlings).

If a nominated horse in transferred to another owner during the year:

a. New owner must be a member in good standing in the IQHA for points to continue to accumulate after transfer. The IQHA office must be notified immediately of such change.

b. If an amateur or youth horse is sold to another amateur or youth, points earned in the amateur or youth classes prior to sale cannot be transferred to new owner.

The new owner must be a member in a good standing with the IQHA in order for points to begin to accumulate after transfer. The IQHA office must be notified immediately of such change.

Points will be tabulated only in Categories approved by IQHA and only from IQHA approved shows or event.

The point system will be set by the IQHA Board of Directors and from year to year and may be changed.

Point System Allocation Procedures:

Points will be awarded on the basis of records submitted by show management to AQHA for shows approved by IQHA. IQHA is not responsible for errors or omissions on entry forms or show results.

• An exhibitor may petition for corrections of error of any reports on any show results by filing a request and proof of error with the IQHA Board of Directors. The petition must be filed within five (5) days after the standings are published by IQHA, prior to the annual point audit.

• The Board of Directors shall be the governing body in all matters pertinent to the IQHA Points System.

• Points will be awarded through the nine places required by AQHA on judge’s card.

• No horse will be given more points than it actually earned merely because the horse placing ahead of it was not eligible for points.

• If a horse becomes ineligible to compete in the nominated class (Stallion is gelded – Mare is sprayed) the points earned prior to change will stay in class accumulated.

• The Grand Champion of each sex division will receive one point more than any other horse in its division, and the Reserve Champion will receive points equal to the highest point earned in its division.

• All placings of IQHA approved horse shows for each horse in each class will be counted in determining all Year-end Class Awards.

o In the event of a tie for the high point for any class award the exhibitor and/or horse with the greatest number of first place winnings will be declared the year end high pint winner. Should a tie still exist after counting all first place winnings the greatest number of the next highest placing will be counted until the tie is broken.

o In the event of a tie for any subsequent placing, duplicate awards will be given.

• To qualify for class awards, a horse must show in the same class in at least five (5) IQHA approved shows.

• Bonus points may be awarded for special events, shows, or classes at the direction of the IQHA Board of Directors. Bonus points thus awarded will be counted toward Year-end Class Awards.

• Only horses exhibited by the IQHA MEMBERS will receive year end award points, with the exception of the Open Division.

• Only horses owned by IQHA members will receive points. Points will be counted after the postmarked date of membership payment and receipt of nomination form.

• In the event that the nomination form and a membership payment are paid at an IQHA approved horse show, points will start accumulating after the show secretary receives payment of the membership. Additionally, payment for membership must be received prior to the start of, or participation in, an event in which the exhibitor wishes to receive points. As such, an exhibitor cannot make payment at the completion of a day’s event or the end of a horse show and retroactively receives points for classes in which they previously participated.

• An IQHA family membership includes the named member, his or her spouse, and minor children eligible as AQHA Youth exhibitors. There must be a family membership in IQHA for a horse owned by a youth to receive points in open classes. Name and birth dates of youth exhibitors must be listed on family membership applications.

• Youth points will be tabulated only if there is an IQHA Youth membership.

• Farms and corporations must have a separate membership in order to nominate horses owned in farm or corporate names. If a horse is co-owned, both or all owners must be IQHA members in order to nominate that horse.

• Any falsified information will cause forfeiture of all fees and points. The members will be entitled to a hearing by the IQHA Board of Directions and decision will be made by the Board of Directors.

• Year –end awards will be given to first and second place nominated horses in both halter and performance classes.

• To qualify for class awards, a horse must show in the same class in at least five (5) IQHA approved shows.

• All placing of each horse in each class will be counted to determine Year-end Awards.

• Any show that is doubled judged counts as two (2) separate shows – two sets of points (the same applies to multi judged events – one set of points for each show/judge).

High Point All-Around Division Awards

• High Point Awards will be given in nine division categories: Halter, Open, Amateur, Novice Amateur, Amateur Select, Novice Youth, Youth 13 and under, 14-18 Youth and Small Fry.

• High Point Halter Horse:

o Horse of any sex or age earning the greatest number halter point

o To qualify for this award, the horse must have shown in the same class in a minimum of five (5) shows

o Although a horse may not have qualified for year-end awards in addition or separate halter classes, the points earned in those classes will count towards the year end High Point Halter Horse.

• Horse earning the greatest number of points in each division will receive that division’s high point all around award.

• To qualify for this award, the horse must have shown in the same class or classes in a minimum of five (5)shows

• A contestant may exhibit more than one horse; however the points earned by the Amateur/Youth/Novice with each horse will be complied separately.

Points will be compiled on a one-horse, one-owner basis in amateur and youth classes.

• Although a horse may have not qualified for year-end awards in a specific class, the points earned in that classes will count towards the year end high point halter horse award.

o In the event of a tie for the high point award the exhibitor horse with the greatest number of first place winnings will be declared the year end. Should a tie still exist a counting all first place winnings the greatest number of the next highest placing will be counted until the tie is broken.

o In the event of a tie for any subsequent placing. Duplicate awards will be given.

High Point Performance Horse:

o Points will be compiled on a one-horse, one-owner basis in amateur events.

o IN order for an Amateur to receive the All Around or Reserve All Around award he/she must score a minimum of 5 points each in at least 3 events.

Qualifiers

• ANY FIRST PLACE HORSES OR PERSONS IN A CLASS OR DIVISION CATEGORY THAT HAS 10 OR LESS YEARLY POINT, MAY RECIVE A LESSER YEAR END AWARD.

• TO BE ELIGIBLE FOR A YEAR-END AWAARD IN ANY CATEGORY THE HORSE OR PERSON MUST HAVE SHOWN IN AT LEAST FIVE (5) IQHA APPROVED SHOWS .

ARTICLE I NAME AND PURPOSE

Section 1. Name: This organization shall be named the Illinois Quarter Horse Youth Association, in affiliation with the American Quarter Horse Youth Association and within the scope of the rules, by laws, and regulations of the American Quarter Horse Association. The parent organization shall be the Illinois Quarter Horse Association.

Section 2. Purpose: The objectives and purposes of the Illinois Quarter Horse Youth Association HEREAFTER referred to as the ILQHYA: shall be as follows:

a.) To improve and promote the American Quarter Horse.

b.) To improve and develop the capabilities of youth, both individually and through group participation, in the breeding, raising, and exhibition of Quarter Horses.

c.) To develop and improve scholarship, leadership, and community interest and participation of youth.

d.) To encourage sportsmanship, cooperation, and high moral character of young horseman.

e.) To acquaint youth members with the parent organization, the Illinois Quarter Horse Association, its structure and function.

ARTICLE II MEMBERS

Section 1. Classes of Members: The organization shall be open to any persons eligible to be a member of the AQHYA.

a.) Resident Members: Membership shall be open to any youth residing in the State of Illinois and only resident members shall be elected to Officers.

b.) Non-Resident Members: Membership shall be open to any youth residing outside the State of Illinois. Non-Residents Members shall be eligible to represent Illinois on the World and or NYATT Team provided they meet the requirements outlined in Article VII.

Section 2. Application for Membership: All applications for membership shall be filed with ILQHA on a membership form.

Section 3. Voting Rights: Each member shall be entitled to one vote per matter submitted to a vote of the membership. No Member shall be permitted to vote by proxy.

Section 4. Termination of Membership: Termination or suspension of a member by the AQHA, AQHYA, or the ILQHA will constitute an automatic termination or suspension from the ILQHYA.

Section 5. Resignation: Any officer or board member may resign by filing a written resignation with the Secretary, but such action shall not relieve the member of any obligation to pay dues, assessments, or other charges unpaid.

Section 6. Transfer of Membership: Membership in this organization is not transferable.

ARTICLE III MEETING OF MEMBERS

Section 1. Annual Meeting: An annual meeting of the membership of the ILQHYA shall be held in conjunction with the ILQHA annual meeting. Notification of date, times, and places, etc. shall be sent to the General Membership in accordance with Section 5. The purpose of this General Membership Meeting shall be to conduct any business of the organization. Election of the Adult Advisor(s) will be confirmed at this meeting. The number of Adult Advisors will be at the discretion of the Board of Directors.

Section 2. Regional Meetings: Each of the three (3) regions is to conduct a minimum of one (1) meeting for that Region's membership during the calendar year. These Regional meetings are to be called by the Regional Directors and the Adult Advisor(s).

Section 3. Special Meetings: There may be other meetings called during the course of the year. The Adult Advisor(s), along with the Presidents, may call the meeting.

Section 4. Place of Meeting: The Board of Directors may designate any place either within or out of the State of Illinois, as the place of meetings called by the Adult Advisor(s) and the President.

Section 5. Notice of Meetings: Printed notice stating the place, date, and time of the meetings may be delivered by mail, e-mail and website notification, to notify each member entitled to vote at such meetings, not less than fifteen (15) days before the date of such meeting. The purpose of such meeting should be stated in the notice. If mailed, the notice of such meeting shall be deemed delivered when deposited in the United States mail, addressed to the member at his/her address as it appears on the records of ILQHYA with the postage thereon prepaid.

Section 6. Quorum: A majority of the members present may adjourn the meeting if a quorum is not present. Not less than five (5) members shall constitute a quorum at any membership meeting.

ARTICLE IV BOARD OF DIRECTORS

Section 1. General Powers: The Board of Directors shall. manage the affairs of the organization.

Section 2. Number, Tenure, and Qualifications: The Board of Directors shall be made up of the following persons, all of whom must be members of the and residents of the State of Illinois; the President, Vice- President, Secretary, Treasurer, Reporter, and six (6) Regional Directors. The term on the Board will start with the Board Meeting following the Annual Meeting.

3. Regular Meetings: A regular meeting of the Board of Directors shall be held immediately after and at the same locations as the annual meeting. The Board of Directors may provide the time and place, either within or out of the State of Illinois, for holding of additional regular meetings of the Board of Directors. The Board of Directors shall meet as often as they determine business warrants.

4. Special Meetings: Special Meetings of the Board of Directors may be called or at the request of the Adult Advisor(s), and the President.

5. Notice: Any special meeting of the Board of Directors shall be given at least fifteen (15) days prior notice. Notice may be sent by mail, e-mail and /or website notification.

6. Quorum: Not less than 5 members of the Board of Directors shall constitute a quorum for the transaction of business at any meeting of the Board.

7. Vacancies: A vacancy in any office or directorship of the ILQHYA shall be deemed to exist whenever the person holding that office fails to attend two (2) consecutive regular Board of Directors meetings. The President along with the Adult Advisor shall fill any such vacancy.

8. Any meeting described in this section may be conducted by wire, video, telephone or other electronic transmission.

ARTICLE V OFFICERS

Section 1. Officers: The officers of the ILQHYA shall be President, Vice-President, Secretary, Treasurer, and the Reporter. Officers shall hold office for one (1) year or until their successors are elected. The Board may create and fill other offices that it shall deem desirable with such offices to have the authority and responsibility designated by the Board. In no event shall these offices carry voting privileges and/or membership status on the Board of Directors. No person may hold more than one office at the same time.

2. Election and Term: The Board of Directors shall meet during the fall each year and nominate a slate of Officers and Adult Advisors to be elected.; the ILQHA office shall mail/e-mail to each member an appropriate ballot. Only members in good standing may vote in the election of the ensuing year's Officers and Directors. Each member is entitled to one vote, but is only able to vote for Regional Directors from his/her region. The nominee receiving the most votes for each office or directorship shall become that officer. In the event of a tie, the Officers of the Board of the ILQHYA shall be responsible for breaking the said tie through a 3/5vote. The results of the election shall be announced at the annual meeting, with the new Officers being notified. The installation of the Adult Advisor(s) will take place along with the officers at the Annual Membership Meeting.

3. Removal of Officers: The Board of Directors may remove any Officer appointed by the Board of Directors.

4. Removal of Adult Advisors: The Board of Directors may remove the Adult Advisor(s).

5. Vacancies: A vacancy in any office because of resignation, removal, disqualification, death, or otherwise may be filled by the President and Adult Advisor(s) for the remaining portion of the term.

6. President: The President shall be the principal officer of the ILQHYA and shall in general supervise and control all of the business and affairs of the ILQHYA. He/She shall preside at all meetings of the members and of the Board of Directors. He/She in general shall perform all duties incident to the office of President.

7. Vice-President: In the absence of the President or in the inability of his/her presence or refusal to act, the Vice-President shall perform all the duties of the President. When so acting the Vice-President shall have all power and be subject to all the same restrictions upon the President. The Vice-President shall be the official Chairman of the working committees. The Vice-President should also carry out other duties that shall from time to time be assigned by the President of the Board of Directors.

8. Secretary: The Secretary shall keep the minutes of the meetings of the members, and of the Board of Directors in books provided for the purpose and see that all notices are duly given in accordance with the by-laws.

9. Treasurer: The Treasurer shall be responsible for recording all funds and duties as the Board directs or he/she sees fit with the consent of the Adult Advisor. A current Treasurer's report should be available for each meeting of the Board.

We, the members of the Illinois Quarter Horse Youth Association Officers and Board of Directors, recognize the importance to represent the American Quarter Horse Association, the Illinois Quarter Horse Association and the Illinois Quarter Horse Youth Association, with honor, pride and integrity and to follow the governance set forth by the ILQHYA.

By agreeing to serve as an officer and board member, I agree to the following:

• To improve and promote the American Quarter Horse

• To uphold all of the rules pertaining to membership of the ILQHYA, ILQHA and AQHA.

• To ensure that the welfare of the American Quarter Horse is paramount and that every American Quarter Horse shall at all times be treated humanely and with dignity, respect and compassion.

• To encourage community service amongst members

• To be courteous to all exhibitors, members and visitors

• To present a positive attitude while participating in activities

• To avoid any action conducive to discrediting other members, the ILQHA, ILQHYA and AQHA, through social media or other actions that maybe perceived as negative in nature.

• To encourage others to join and participate in ILQHYA activities through breeding, raising and showing the American Quarter Horse

10. Reporter: The Reporter shall have responsibility of reporting on the activities of the association and of individual members of ILQHYA to the Reporter of the AQHYA, and the ILQHA website. The Reporter shall serve as, historian for the ILQHYA adding to the scrapbook for presentation at the AQHYA World Show and whatever other duties the Board of Directors shall designate.

11. Regional Directors: The State of Illinois shall be divided into three (3) regions by action of the Board of Directors and two (2) Directors shall serve each Region. This Director shall be in charge of recruiting additional members from the Region and represent that Region on the Board of Directors.

12. State Adult Advisors: The Adult Advisor(s) shall supervise the activities and programs for the ILQHYA. The State Adult Advisor(s) shall be elected yearly. The Adult Advisors of the Board of Directors shall appoint additional adults, where desired to specific projects. If the Adult Advisor is traveling to either the Youth World or Quarter Horse Congress, and their sole purpose is for the Illinois Youth Association, she/he will be reimbursed for their expenses up to $500.00. Receipts must be submitted.

13. Delegates: The Delegates for the AQHYA Convention/Leadership Conference will be the President, Vice President, Secretary, and the Treasurer. The Reporter will be the alternate.

14. AQHYA Y.E.S.: If funds are available, the ILQHYA shall reimburse its members up to $100 dollars for the expenses incurred in transit to the AQHYA. Y.E.S. Seminar.

ARTICLE VI POINT SYSTEM, AWARDS, METHOD OF TEAM SELECTION

Section 1. General Rules: The Officers and Directors shall present to the membership at each annual meeting the point system and award classification system for the current year.

ILQHYA REQUIREMENTS AND METHOD OF TEAM SELECTION FOR THE YOUTH WORLD TEAM AND NYATT TEAM

1. Membership: Must be a current, paid member of ILQHYA. Points will start counting from the date of membership received.

2. Nominations: Horse must be nominated with ILQHA before points will count.

3. Sponsorships: Team members must sell at least six (6) Illinois Quarter Horse Youth Association AQHA Show Sponsorships per team (World and/or Congress, 6 for each team), per horse. Sponsorships are to be sent to the Adult Advisor. Sponsorships must be postmarked on or before May 1st or on the subsequent business day or through E-Mail. Working Horse participants need to have their sponsorships in before the first (1st) qualifying show for the Youth World.

4. Letter of Intent: Youth must submit Letter of Intent to Adult Advisor due no later than March 1.

5. Each youth must work at least two (2) qualifying hours before the close of the Illinois Quarter Horse Youth Association AQHA Shows in order to be considered for a team.

6. State Qualifying for the AQHYA Youth World Show Team: January 1st through May 31.

7. Dates for State Qualifying for the NYATT Team: From January 1st through July 31st.

8. Entries per class will be the state leaders in that event for the AQHYA World Show Team and NYATT Team. The categories where the ILQHYA has two age groups, the two age groups will be combined, and the individuals with the most points will be considered the state leaders, regardless of age.

9. At the AQHYA Youth World Show each team member may show in a maximum of two (2) performance classes unless asked to fill an open spot. Showmanship is considered a performance class.

10. ILQHYA will send four (4) entries per class to the Youth World Show. All four (4) entries will be the first four (4) state leaders in that division. If one of these four state leaders for any reason cannot represent ILQHYA in this particular event then the next highest point earner, down to sixth (6) place will be eligible to go in that event. If no member is eligible or does not want to participate then a member who is qualified may go in more that two (2)

For the NYATT Team, ILQHYA will send fourteen (14) individual representatives to participate in seven (7) youth events. The participants will be decided by state leaders of the specific events. If one of these state leaders for any reason cannot represent ILQHYA then the next highest point earner, down to sixth (6) place, will be eligible to go in the event. If no member who is eligible or does not want to participate, then a member who is qualified may go in more than one (1) event, but not more than two (2) events.

The state leaders will be determined in cases of ties by using the following tiebreakers:

A.) the most entries beat B.) the most wins. C.) the most AQHYA points earned, and D.) The most seconds (2nds) won.

If there are no state leaders, then the representative will be chosen by the Adult Advisor.

SUMMARY FOR TEAMS: ILQHYA will provide the stall rental and one entry fee for the team members that participate in all of the following: they are required to stall together, assist with putting up and/or taking down the stall decorations, march in the parade of state, have six (6) sponsorships per horse per show turned in to the Adult Advisor by May 1, and work the two (2) qualifying hours at Illinois Quarter Horse Youth Association AQHA Shows. If a team member should fail to comply with the above stated rules, the ILQHYA will not reimburse said team members for fees and expenses involved in their team participation.

POINT SYSTEM

State points will be awarded through nine (9) places in each class. The 1st place horse in a class of 9 will receive 9 state points, 2nd 8 state points and so on down to 1 state point for 9th place. In a class with less than 9 horses you will receive points for however many in the class. Example: in a class with 5 horses, 1 place would receive 5 points and so on.

This point system is used for qualifying all youth teams and year-end awards.

YEAR END AWARDS

Year end points will start on January 1of each year through the end of December. The Board of Directors shall announce each January to the membership the classifications for Year-end Awards. Year-end awards shall be presented to the high point horses or youth in each classification as well as the top all around and reserve for the 13 and under division, 14-18 division and novice division for the year.

KEN FREEMAN AWARD

Each year the membership shall present the Ken Freeman award to the adult who they feel has contributed the most during the current year to the ILQHYA and/or to its members. This award shall be non-retiring and revolving so that the recipient shall possess if for the ensuing year. There shall be an award to the recipient to keep permanently. It will be presented at the Annual Awards Banquet.

AQHYA/ILQHYA SCHOLARSHIPS

The American Quarter Horse Association and the Illinois Quarter Horse Association has made available scholarships to the AQHYA/ILQHYA members who are enrolled in or are planning to enroll in college, university or trade school. Member must be a full time student during the semester for which the scholarship is granted. Applications can be obtained from the AQHYA or the ILQHYA State Advisors.

ARTICLE VII BOOKS AND RECORDS

Section 1. Books and Records: The association shall keep correct and complete books and records of account and shall also keep minutes of proceedings of it members, Board of Directors, and Committees having any of the authority of the Board of Directors, and shall keep at the principle office a record giving the names and addresses/e-mail addresses of the members entitled to vote. All books and records shall be available to any member or his agent to inspect for any proper purpose at reasonable time.

ARTICLE VIII FISCAL YEAR

Section 1. Fiscal Year: The fiscal year of ILQHYA shall begin on the first day of January and end on the last day of December in each year.

ARTICLE IX DUES

Section 1. Annual and Life Dues: The Board of Directors may determine from time to time the amount of payable ILQHYA to the association by the members. The Treasurer of the ILQHYA shall record dues.

Section 2. Payment of Dues: Dues of a new member must be paid in full.

ARTICLE X AMENDMENTS OF BY LAWS

Section 1. Amendments: These by-laws may be altered, amended, or repealed and new by-laws may be adopted by a majority of the members present at any regular meeting or at any special meeting, provided that at least fifteen (15) days written notice is given of intention to alter, amend, or repeal or to adopt new bylaws at such meeting.

ARTICLE XI REGIONS

Section 1. Regions: The state shall be divided into three (3) regions of somewhat equal population as directed by the Board of Directors. Each region shall be composed of logical groups of one or more whole counties.

ARTICLE XII SPECIAL ADULT COMMITTEES

Section 1. Special Adult Committees: The President of ILQHYA shall have the power to choose a

chairperson for Special Adult Committees: these committees shall have the responsibilities to advise, and/or supervise the youth in various ILQHYA functions and projects throughout the year. The ILQHYA Board of Directors shall have the power of authority over any such appointed committees.

o Scholarship applications are available May 30th each year and are due with a postmark of no later than November 30th of the application year.o The amount of the ILQHYA Scholarship will be determined by the ILQHYA Board of Directors with consensus with the ILQHA Board of

Directors. One scholarship in the amount of $500.00 will be awarded unless determined otherwise by the Boards.o The recipient of this scholarship shall be a full time undergraduate student enrolled in an accredited two year or four year institution (minimum

of 12 credit hours per semester).o Application for the scholarship must be made within one year of graduation from high school.o Application for the scholarship is open to any youth that has been a member of the ILQHYA for at least two years and holds a current

Process of review for scholarship selection:

• The scholarship applications will be sent out to a designated scholarship committee made up of ILQHA and ILQHYA members as a blind evaluation (no names attached).

• The applications will be evaluated using a rubric with a numeric grid with each application being given a final numeric score.• ILQHA and ILQHYA designated board members will review the final blind evaluations and determine the recipient for the scholarship.• The individual awarded the scholarship will be identified and a check drawn to their name to be used toward college education expenses.• The scholarship will be awarded at the ILQHA Award Ceremony at the annual convention.Submit the following to ILQHA, P.O. ILLINOIS QUARTER HORSE HALL OF FAME HORSE & HUMAN BIOGRAPHICAL INFORMATION FOR NOMINEE

Without a doubt, to be inducted into the Illinois Quarter Horse Hall of Fame is IQHA’s most prestigious honor bestowed on an individual, whether person or horse.

Anyone can nominate an individual. If you have a horse or person in mind who you think is deserving of Hall of Fame status, here are the basic facts and the steps necessary to begin the process. Nominations are due each year by October 1.

CRITERIA

PERSON: Inductee into the IQHA Hall of Fame must have been outstanding over a period of years either as a breeder, competitor, or contributor to IQHA. Inductee should have been a member of IQHA or AQHA if his or her activities were during the existence of IQHA. Inductee may be either living or deceased.

HORSE: Inductee into the IQHA Hall of Fame must have been outstanding for a period of years as a sire, dam, competitor, or must have brought exceptional visibility to the American Quarter Horse and/or IQHA. Inductee must be deceased.

NOMINATION PROCESS

Complete the form in its entirety. You may use additional paper if needed. Information pertaining to the criteria is more important than photos and copies of ads. Photos are needed later if individual is selected. Personal letters of recommendation from others are helpful, unless copies of the same letter just signed by another individual. Once nominated, the individual will be eligible from year to year if not selected. Additional updates may be sent in by October 1 for those individuals not selected.

If nominee is selected for induction, they will be inducted into the Hall of Fame at the IQHA convention in January the next year. If selected, the nominees will be notified in late November.

To ensure that older, deserving individuals worthy of Hall of Fame status are not forgotten, IQHA Hall of Fame committee will research candidates who were influential to the growth of the association. The committee may select candidates from this list also.

This includes 4-H/FFA Fairs, Saddle Club Shows, Ranch Horse Association Shows, Open shows, etc. Approved Breed shows, (with classes for Quarter Horses) including Palomino, Buckskin, Paint & Pinto, etc. are excluded 1. All shows must be held within the geographical

boundaries of Illinois 2. Horse must be a registered Quarter Horse. 3. Horse does NOT have to be owned by the exhibitor to

participate. 4. Exhibitor must be a current IQHA member prior to the

show dates. A family membership entitles all family members to participate in the Open Show Program.

5. Points are awarded per horse/exhibitor team. 6. There is no nomination fee, but a fee of $1 per horse/

exhibitor team per show will be charged. Participants should send in $1 with the point form. No tabs will be allowed.

7. For 2016 the point year will run from Jan. 1st to Oct. 31st. Points will not carry over from year to year.

8. Participants should send in point forms within 30 days of the show date. A showbill from the show should accompany the point form. Only points sent on the official point form will be counted.

9. No maximum number of points at a single show. 10. Any show that is double judged counts as 2 separate

shows, with 2 sets of points. Submit 2 forms, one for each show/judge.

11. Champion and Reserve Champion Halter classes also count. Two points are awarded for each Grand Championship and one point is awarded for each Reserve Championship in the Halter classes.

12. A minimum of 15 points must be earned in a division in order to qualify for a year end award.

13. The ages of youth are based on ages as of January 1.

DIVISIONS

1. Small fry (9 & under as of Jan. 1st of the year) Eligible classes: 9 & under halter/showmanship, walk only, walk-trot, leadline or any class not requiring a canter. Participants may not enter other divisions. 2. Youth halter/showmanship (18 & under) Eligible classes: any halter or showmanship. 3. Youth western performance (18 & under) Eligible classes: western pleasure &/or horsemanship, bareback pleasure &/or horsemanship, trail, reining, western riding. 4. Youth hunt seat performance (18 & under) Eligible classes: hunt seat pleasure, English pleasure, equitation, hunter hack, fence classes, equitation over fences, bareback pleasure equitation. 5. Youth speed performance (18 & under) Eligible classes: any barrels, poles, stake race, flags, keyhole, roping, team penning, or any timed event. 6. Adult halter/showmanship (19 & over) Eligible classes: any halter or showmanship. 7.
