PART I – SERVICES. INTRODUCTION Tremonton City and the Tremonton City Redevelopment Agency (RDA) seek to identify qualified Branding Consultants interested in helping the City and RDA develop a distinct brand identity. The successful branding would allow the City and RDA to successfully promote all phases of the City government including, but not limited to: economic development to recruit larger manufacturing industries, main street revitalization, other economic development, the City’s Redevelopment Agency, and generally provide City residents with a sense of community and pride. Part VI – Appendix 1 gives some additional introduction and insight into Tremonton City as a community. REQUEST FOR STATEMENT OF QUALIFICATIONS Tremonton City and RDA is requesting Branding Consultants to submit Statement of Qualifications to provide Branding Services. It is the City and RDA’s intention to select a Branding Consultant to perform work for the City and RDA through the Statement of Qualifications process. BRANDING PROCESS Tremonton City and RDA is desirous of a Branding Consultant who can facilitate a branding process that may include, but is not limited to, the following elements:

• Research. Organize and research associated with stakeholders to capture the data necessary to create a cohesive brand that is reflective of the community.

• Consensus Building. The comprehensive approach will require the facilitation of public input, consensus building, and decision making among stake holders.

• Testing of Preliminary Brand. Testing of the preliminary brand prior to launching to ensure that the brand will successfully represent the City and RDA.

PROJECT DELIVERABLES Tremonton City and RDA desires to have the Branding Consultants create a cohesive brand that includes logo, messaging, tagline, branding identity and standards guide, and design/artwork that communicates the brand through a variety of mediums. Some of the specific primary deliverables that the City and RDA desires are as follows:

• Billboards Copies. The City and RDA desires to have a specific marketing message that will be effective in encouraging people to exit from the Interstate into Tremonton or to promote Tremonton in a way that provides an economic benefit. The City also desires to have a marketing message or brand for Main Street Tremonton that is suitable for use on billboards. Part VII – Appendix 2 gives some additional information regarding Tremonton City’s billboards.

• Website Design. The City and RDA desires to have new skin for its website design that incorporates the newly created City branding efforts.

• City Gateway Signage. The City and RDA desires to have sign specifications for gateway signs that incorporate the newly created brand for the City. Part VII – Appendix 2 gives some additional information regarding Tremonton City’s existing gateway signage.

• Signage for Parks and City Facility. The City desires to have sign specifications for park and City Facilities that incorporates the newly created City branding efforts.

• Vehicle Marking. The City and RDA desires to have sign specifications for vehicles that incorporate the newly created City branding efforts. The vehicles typically include passenger vehicles, police vehicles, fire vehicles, and public works vehicles.

• Style Guide. The City and RDA desires to have a comprehensive guide that ensures that the City and RDA is able to consistently replicate its brand for use on different mediums.

• Corporate Materials. The City and RDA desires to have corporate materials which include

letterhead, business cards, email signatures, and marketing materials to prospective businesses to locate in Tremonton City.

• Electronic and Ownership Copies. The City desires to have all materials provided in a reproducible form which will allow the City and RDA to replicate with the City and RDA owning all rights for the materials.

Some ancillary materials that the City and RDA may want to explore with the selected Branding Consultant include the following deliverables:

o Flag. The City and RDA may want to have some assistance in developing a City flag. o Banners. The City and RDA may want to have design assistance in developing utility pole

banners that incorporates the newly created City brand. o Wall Murals. The City and RDA may want to have some assistance with identifying images

that can be painted in downtown Tremonton City that reinforce the City’s newly created branding.

o City Events. The City and RDA may want to have assistance in creating the types of events that the City may host that are specific to its brand identity.

o Corporate Seal. The City and RDA may want to have some assistance in the development of a corporate seal to be used to certify original Tremonton City documents.

TIMEFRAME The City and RDA would like to have a Branding Consultant complete all the work contained and contemplated in this document by June 30, 2014. Tremonton City and RDA reserves the right to immediately terminate the relationship with the Branding Consultant at any time for the convenience of Tremonton City and RDA, without penalty or recourse, by giving written notice. COMPENSATION Selection of the Branding Consultant shall be made based upon Respondent’s qualifications that are determined to be the most advantageous to Tremonton City and RDA, taking into consideration compensation paid to the Branding Consultant for services. The City and RDA will negotiate the compensation with the Branding Consultant as part of agreeing to contractual terms for the project.

PART II – RESPONDING TO REQUEST FOR STATEMENT OF QUALIFICATIONS. STATEMENT OF QUALFICATIONS DEADLINE Please send or deliver ten (10) copies of Statement of Qualifications in a sealed envelope properly addressed to Tremonton City and RDA, care of Darlene Hess and clearly marked with 1) “Sealed Statement of Qualifications for Branding Services” and 2) Branding Consultant’s name and address on the envelope. Tremonton City and RDA will not be responsible for late delivery of improperly addressed envelopes. All Statement of Qualifications must be completed in ink or typewritten. Fax and email copies will not be accepted. Responses must be received in Tremonton City’s Recorders Office for consideration no later than 5:00 p.m., Wednesday, January 22, 2014. Statement of Qualifications received after this date will be disqualified regardless of postmark. All materials become the property of Tremonton City and RDA. STATEMENT OF QUALIFICATIONS OPENINGS Statement of Qualifications shall be opened in private by two representatives from the Recorder’s Office. Qualifications shall be opened so as to avoid disclosure of contents to competing Respondent during the selection and negotiation process. A register of Respondents shall be retained by the Recorder’s Office in accordance with Utah Code and in conjunction with the Utah Municipal General Recorders Retention Schedule and shall be open for public inspection after contract award. INSTRUCTION FOR RESPONDING TO THIS REQUEST FOR STATEMENTS OF QUALIFICATIONS It is incumbent upon each Respondent to carefully examine these specifications, terms, and conditions contained in this document. Any clarification or additional information shall be made in writing to the appropriate person called out on the cover page. When appropriate the City and RDA will respond through written means. If it becomes necessary to revise or amend any part of this Request for Statement of Qualifications, notice will be given to all Respondents who are registered. To register please send an email to [email protected] with contact information sufficient to forward any amendments. Respondents must acknowledge receipt of the amendment in their Statement of Qualifications. Each Respondent should ensure that they have received all amendments to this Request for Statement of Qualifications before submitting their Statement of Qualifications. Please check the Tremonton City web site at www.tremontoncity.com for any amendments. QUALIFICATION STATEMENTS The Statement of Qualifications shall be limited to 10 printed pages, single or double spaced, one side of the printed sheet only. The Respondent may add additional information (printed pages) in an appendix for which there is no page limit; however, the City and RDA emphasis in reviewing the Statement of Qualifications will generally be on the first 10 pages. Statement of Qualifications shall include the following contents:

o Requested Services. Explanation of Branding Consultant’s ability to provide services and the quality of services offered requested in this document.

o Personnel Qualifications. Explanation of the primary people assigned to the project including a description of the background, education, and experience of each individual. Include a Bio of the person or persons and the respective assigned responsibility to the project. Bio should include the number of years performing this service, education, certifications, etc.

o Overview of Branding Process. Description of Branding Consultant’s process on obtaining research from the stakeholders, including elected and appointed officials, stakeholders, and members of the public, and how this data will be analyzed. The overview of the branding process which may also include, but is not limited to, the following:

o Consensus Building. The comprehensive planning approach will require the facilitation of public input, consensus building, and decision making among stake holders.

o Tools and Resources. Description of Branding Consultant’s qualifications, tools, and resources that will be used to help Tremonton City and RDA create a cohesive brand.

o List of Clients. Inclusion of a list of clients for which the Branding Consultant has provided services. For each client please list the services provided.

o References. Inclusion of at least eight references of current or previous clients. Please provide as many past clients that are City or RDA in which Branding Consultant has provided services for. Provide for each reference: Name of client or City/RDA, contact name and title, email address, and telephone number.

o Unique Qualifications and Services. Explanation of unique qualifications and services that qualify Branding Consultant to serve Tremonton City and RDA and differentiate the Branding Consultant from others.

o Example of Previous Brands Processes and Deliverables. Inclusion of examples from previous processes and deliverables from past clients.

o Compensation Rates. Inclusion of proposed Compensation Rates to Perform the Work contained in this document.

o Public Record Law Forms. Inclusion of completed FORM 1 Public Records Law that is contained in this document.

FORM 1 Public Records Law

THIS FORM MUST BE COMPLETED AND RETURNED WITH STATEMENT OF QUALIFICATIONS

Upon selection of the Branding Consultant, submittals become “public records” and shall be subject to public disclosure consistent with the Governmental Records Access Management Act. Those who submit must invoke the exemptions to disclosure provided by law in the response to the solicitation, must identify the data or other materials to be protected, and must state the reasons why such exclusion from public disclosure is necessary. If you submit information exempt from public disclosure, you must identify with specificity which page(s)/paragraph(s) of your Statement of Qualifications package is (are) exempt from the Governmental Records Access Management Act and identify the specific exemption section that applies to each. The protected information must be submitted to the City in a separate envelope marked accordingly. By submitting an offer in response to this solicitation, you specifically agree to defend and indemnify Tremonton City/RDA, City Council and RDA Board, and its officers, employees and agents, and hold them harmless from any claim or liability and defend any action brought against them for their refusal to disclose copyrighted material, trade secrets, or other proprietary information to any person making a request therefore. PART III – SELECTION PROCESS. SELECTION PROCESS Each Statement of Qualifications will be reviewed by an Advisory Committee that may include, but is not limited to, elected and appointed officials, City and RDA staff members, and invitees of the City and RDA. The Advisory Committee will evaluate submitted Statement of Qualifications on the considerations contained in this document. The City and RDA may create a short list of the top Respondents based upon requirements set forth in this document, whereby the City and RDA may discuss the Respondent’s qualifications and cost for provider services. Respondents on the short list shall be afforded fair and equal treatment with respect to any opportunity for discussion. In conducting discussions, there shall be no disclosure of any information derived from qualifications submitted by competing Respondents. A recommendation from this Advisory Committee will be forward to the City Council and/or RDA Board for a Branding Consultant. The City Council and/or RDA Board may elect to conduct several interviews with the top Respondents also. The final selection of the Branding Consultants will be dependent upon the City Council and/or RDA Board agreeing to contractual terms with the Branding Consultant. For a sample agreement of professional services please see Part VII – Appendix 3. AREAS OF CONSIDERATION IN THE SELECTION PROCESS Selection of the Branding Consultant shall be made based upon Respondent’s qualifications that are determined to be the most advantageous to Tremonton City and RDA, taking into consideration price for services and other stated factors contained in this document. The selection of the Branding Consultant will be based upon, but is not limited to, the following criteria:

o Demonstrated approach in creating a cohesive brand that includes logo development, messaging, tagline, branding identity and standards guide, and design/artwork that communicates the brand through a variety of mediums, taking into consideration compensation paid to the Branding Consultant for services.

o Demonstrated ability to create a successful brand for comparable past clients (governmental entities experience preferred).

o Demonstrated ability to establish an effective working relationship with clients and satisfaction of client(s).

o Demonstrated abilities of personnel assigned to Tremonton City and RDA’s project, their experience, and qualifications.

o Demonstrated ability to provide Tremonton City and RDA with the primary and secondary deliverables noted in this document.

o Demonstrated attention to detail and compliance to the requests contained in this document. o Demonstrated understanding of Tremonton City’s branding services needs and anticipated

needs. o Determination of meeting all the requirements contained in this document. o Agreed upon contractual terms for the project. o All other criteria deemed pertinent by the Advisory Committee and City Council/RDA Board in

review of the Statement of Qualifications. DISCLAIMER Tremonton City and RDA reserves the right to disqualify incomplete Statement of Qualifications, waive minor defects, as it deems applicable, in the Statement of Qualifications, to request additional information from any Respondent, change or modify the scope of the project at anytime, without any penalty, negotiate with one or more of the Respondents, reject any or all Statement of Qualifications, without a penalty, and take any steps necessary to act in the City and RDA’s best interest.

Though not likely, Tremonton City and RDA reserves the right to award items in the Project Deliverables to various Branding Consultants or not at all. Tremonton City and RDA reserves the right to terminate the relationship with the Branding Consultant at anytime for the convenience of Tremonton City and RDA, without penalty or recourse, by giving written notice to the selected Branding Consultant. Tremonton City and RDA shall not provide any reimbursement for the cost of developing or presenting materials in response to this Request for Statement of Qualifications.

PART IV – REQUIREMENTS/STANDARDS GOVERNING STATEMENT OF QUALIFICATIONS. SCOPE: The following terms and conditions, included in Part IV – Requirements/Standards Governing Statement of Qualifications, shall govern the submission of Statement of Qualifications. Any conflict with the terms and conditions contained in Part IV – Requirements/Standards Governing Statement of Qualifications and any other document shall be controlled by the stricter term or condition. The City and RDA reserves the right to reject any Statement of Qualifications, which takes exception to the terms or conditions in this document. COMPLETING STATEMENT OF QUALIFICATIONS: Statement of Qualifications must be submitted with the required forms herein and all forms must be completed in accordance with the instructions. Any and all corrections and/or erasures must be initialed and dated by the Respondent. Each Statement of Qualifications must be manually signed in ink by an authorized Respondent and all required information must be provided. Each Respondent may submit only one (1) Statement of Qualifications. CONFIDENTIALITY OF STATEMENT OF QUALIFICATIONS INFORMATION: Each Statement of Qualifications must be securely sealed to provide confidentiality of the Statement of Qualifications information prior to the time when the information becomes public. The submitted Statement of Qualifications envelope must be prominently marked in the lower left hand corner “Sealed Statement of Qualifications for Branding Services”. Failure to mark Statement of Qualifications envelopes as required is cause for Statement of Qualifications at the City’s election to reject the submission as it may be inadvertently opened as routine correspondence prior to the time and date set for the Statement of Qualifications submission. All Statement of Qualifications become public information after the Statement of Qualifications are opened and are available for inspection by the general public at the appropriate time in accordance with the Government Records Access Management Act. REQUEST FOR INFORMATION: Any request for clarification or additional information deemed necessary by any Respondent to present a proper Statement of Qualifications shall be submitted in writing to Tremonton City, 102 S. Tremont St., Tremonton UT 84337. To be considered, any such request must be received in time to allow the City and RDA sufficient time to prepare and disseminate a written response. When appropriate, as determined at the sole discretion of Tremonton City and RDA, valid requests received in accordance with the foregoing will be responded to in writing from the City in the form of an addendum addressed to all prospective Respondents. ADDENDUM: All changes in connection with this request for Statement of Qualifications will be issued by the City and RDA in the form of a written addendum. Signed acknowledgment of receipt of each addendum should be submitted with the Statement of Qualifications response. TAX EXEMPT: Tremonton City is exempt from federal and state taxes. DO NOT include taxes in the Statement of Qualifications. CONDITIONAL STATEMENT OF QUALIFICATIONS: Conditional Statement of Qualifications is subject to rejection in whole, or in part, at the sole discretion of Tremonton City. LATE STATEMENT OF QUALIFICATIONS AND MODIFICATIONS OR WITHDRAWALS: Statement of Qualifications received after the date and time indicated on the cover sheet shall not be considered and may be returned (unopened if sealed) if the Respondent is identified on the Statement of Qualifications envelope. Statement of Qualifications may be withdrawn or modified in writing prior to the Statement of Qualifications submission deadline. Statement of Qualifications that are resubmitted or modified must be sealed and submitted to the City prior to the Statement of Qualifications submission deadline. After Statement of Qualifications opening, no changes in Statement of Qualifications or other provisions of Statement of Qualifications prejudicial to the interest of the City or fair competition shall be permitted. STATEMENT OF QUALIFICATIONS BINDING: All Statement of Qualifications submitted shall be binding upon the Respondent if accepted by Tremonton City within ninety (90) calendar days of the Statement of Qualifications submission date. Negligence upon the part of the Respondent in preparing the Statement of Qualifications confers no right of withdrawal after the submission deadline of Statement of Qualifications. NEGOTIATION: The City reserves the right to negotiate any and all elements of this Statement of Qualifications. TIME LIMIT: The Respondent must successfully execute or take the necessary action required by the City and RDA within the specified time after the City and RDA’s notification. If the Respondent fails to execute or take the

necessary action within the required time, award to that Respondent may be withdrawn and award made to another Respondent. CODES AND REGULATIONS: All deliverables and work within the scope of this request shall be completed by the Respondent in conformance with all applicable codes and regulations. SAFETY: All practices and goods furnished as a result of this request shall comply with the federal Occupational Safety and Health Act, as well as any pertinent federal, state, and/or local safety or environment codes. NON-LIABILITY: The Respondent shall not be liable for delay or failure to deliver services when such delay or failure is the result of fire, flood, strike, act of God, act of government, act of an alien enemy, or by any other circumstances which, in Tremonton City and RDA’s opinion, is beyond the control of the Respondent. Under such circumstances, however, Tremonton City and RDA may cancel the relationship if such action is deemed to be in the best interest of the City and RDA. ASSIGNMENT OF RIGHTS: Successful Respondent shall not assign, transfer, convey or otherwise dispose of any rights derived from this request or its right, title, or interest in or to the same, or any part thereof, without the previous written consent of Tremonton City and RDA. COLLUSIVE STATEMENT OF QUALIFICATIONS: The Respondent certifies, by submission of a Statement of Qualifications, that their Statement of Qualifications is made without any previous understanding, agreement, or connection with any person, firm, or corporation making a Statement of Qualifications for the same products or services with prior knowledge of competitive prices, and is in all respects fair, without outside control, collusion, fraud, or otherwise illegal action. Any evidence of collusion among Respondents and prospective Respondents acting to illegally restrain freedom of competition by agreement to offer a fixed price, or otherwise, will render the Statement of Qualifications of such Respondent(s) void. CONFLICT OF INTEREST: The award hereunder is subject to provisions of Utah State Statutes and Tremonton City Ordinances and policies. All Respondents must disclose with their Statement of Qualifications the name of any officer, director, or agent who is also an employee or official of Tremonton City, Utah. Further, all Respondents must disclose the name of any Tremonton City employee or official who owns, directly or indirectly, any interest in the Respondent’s firm or any of its branches. No person involved in making the award decisions may have personal investments in any business entity that will create a substantial conflict between their private interests and their public duties. Any person involved in making procurement decisions is guilty of a felony if the person asks, receives, or offers to receive any emolument, gratuity, contribution, loan, or reward, or any promise thereof, either for the person’s own use or the use or benefit of any other person or organization from any person or organization interested in selling to the City and RDA. DISCLAIMER OF LIABILITY: Tremonton City and RDA or any of its agencies will not hold harmless or indemnify any Respondent for any liability whatsoever. HOLD HARMLESS: The Respondent agrees to protect, defend, indemnify, and hold the Tremonton City and RDA, and its officers, council members, commissions, board members, employees, and agents free and harmless from and against any and all losses, penalties, damages, settlements, costs, charges, professional fees, or other expenses or liabilities of every kind and character resulting from the error, omission, or negligent act of the Respondent, its agents, employees or representatives, in the performance of the Respondent duties under any agreement resulting from award of this Statement of Qualifications. The Respondent further shall agree to investigate, handle, respond to, provide defenses for, and defend any such claims, etc., even if such claim is groundless, false, or fraudulent. INSURANCES: The Respondents awarded the work shall provide evidence that they have acquired and maintain comprehensive general liability coverage, including liability insurance covering the work concerned. Tremonton City and its officials, employees, and agents must be named as “additional insured” on the liability insurance policy. Tremonton City shall require evidence of Workers Compensation insurance (or evidence of qualified self -insurance) from all Respondents awarded the work. Tremonton City shall have the contractor show evidence of the contractor's Workers Compensation coverage to Tremonton City. ANTI-DISCRIMINATION CLAUSE: No Respondent on this Statement of Qualifications request shall in any way, directly or indirectly, discriminate against any person because of age, race, color, handicap, sex, national origin, or religious creed.

ACCURACY OF STATEMENT OF QUALIFICATIONS: It is necessary that any and all information presented is accurate and will be that by which the Respondent will complete the services associated with this request. PUBLIC RECORD: Tremonton City and RDA is governed by the Governmental Record Access Management Act (except from exemptions allowed by state law). Respondent’s information or data pertinent to the Statement of Qualifications that is of a confidential nature must be bound and placed in a separate sealed envelope and included with each copy of the Respondent's Statement of Qualifications. Tremonton City and RDA requests that a minimal amount of confidential material be used by the Respondent in preparing responses to the Statement of Qualifications. Materials consisting merely of general descriptive information will not be considered confidential under any circumstances. SUBSTITUTIONS: No substitutions will be accepted for goods proposed after award, without the prior approval of Tremonton City and RDA. DISCOUNTS: Any and all discounts must be incorporated as a reduction in the Statement of Qualifications price and not shown separately. The price as shown on the Statement of Qualifications shall be the price used in determining award or awards. INCURRED EXPENSES: This Statement of Qualifications does not commit Tremonton City and RDA to make an award, nor shall the City or RDA be responsible for any cost or expenses which may be incurred by any Respondent in preparing and submitting any offer or expenses incurred by any Respondent. SILENCE OF SPECIFICATIONS: The apparent silence of these specifications or any supplemental specifications as to details or the omission from same of any detailed description concerning any point shall be regarded as meaning that only the best commercial practices are to prevail and that only materials of first quality and correct type, size, and design are to be used. All workmanship shall be first quality. All interpretations of specifications shall be made upon the basis of this statement. All specifications shall seek to promote overall economy and best use for the purpose intended and encourage competition in satisfying the City and RDA’s needs. NO WAIVER OF FUTURE RIGHTS: No provision in this document or in the Respondent’s Statement of Qualifications shall be construed, expressly or by implication, as a waiver by Tremonton City or RDA of any existent or future right and/or remedy available.

STATEMENT OF QUALIFICATIONS DISCLAIMER: Tremonton City and RDA reserves the right to disqualify incomplete Statement of Qualifications, waive minor defects, as it deems applicable, in the written Statement of Qualifications, to request additional information from any Respondent, change or modify the scope of the project at any time, without any penalty, negotiate terms with one or more of the Respondents, reject any or all Statement of Qualifications, without a penalty, and take any steps necessary to act in the City and RDA’s best interest. The City and RDA also reserves the unilateral right to order, in writing, changes in the work within the scope of the services. SUSPENSION & TERMINATION: Through written notification the City and RDA may order an immediate suspension of work with or without cause. Tremonton City and RDA reserves the right to immediately terminate the relationship with the Branding Consultant at any time for the convenience of Tremonton City or RDA, without penalty or recourse, by giving written notice.

PART VI – APPENDIX 1. The following information is provided to give the Respondent some background information and perspective regarding Tremonton City as a community. City Location. Tremonton City is located in Box Elder County, 75 miles north of Salt Lake City, Utah at the north end of the Wasatch Mountain Range. It is 18 miles north of Brigham City, the county seat, approximately 20 miles south of the Idaho border, and just east of the northern tip of the Great Salt Lake. The City has all the advantages of a rural life style and yet its residents may take advantage of all the amenities of the surrounding metropolitan areas. Tremonton City is the crossroads of the northwest where Interstates 15 and 84 meet. City History. Near the turn of the 20th century, German families from Illinois, as well as a number of families from Nebraska, moved into what is now known as the Bear River Valley. Many built homes where Tremonton’s Main Street now runs, leading to the founding of the City in 1903. In finding a name for the new town the German settlers, in honor of the town they had left in Illinois, suggested Tremont, Utah which was adopted. However, four years later, and due to mix-ups in mail delivery between Tremont and Fremont, Utah, an “on” was added to the name making it Tremonton. In July 1918 Tremonton was incorporated as a city in the State of Utah. City Celebrations or Events. Annually Tremonton City hosts the “Tremonton City Days”, which occurs on the weekend closest to Pioneer Day. There is no central theme of the “Tremonton City Days”. Other annual City events include the Fire Department Steak Fry, Candy Cane and Easter Egg Hunts, Trick-or-Treat on Main Street, and the Turkey Trot. By far the biggest event that occurs in Tremonton is the Box Elder County Fair which is a 4-day event that includes a parade, rodeo, exhibits, live entertainment, carnival rides and games. Bear River High School athletic events are also an important element of the community. Tremonton City RDA. The Tremonton City Redevelopment Agency is a separate government entity established pursuant to the Redevelopment Agencies Act. Its purpose is to prepare and carry out plans for the improvement, rehabilitation, and the development or redevelopment of economic developments, retail development, and blighted areas that have been targeted for development or redevelopment within the territorial limits of Tremonton City. The members of the Tremonton City Council are also the board members of the Tremonton Redevelopment Agency. The Board approves the Redevelopment Agency budgets, agreements, and resolutions. The Tremonton City RDA has been successful in the past in attracting economic development projects into the incorporated limits of Tremonton City, which have brought both jobs and taxable value. Specifically, the RDA has attracted Malt-O-Meal and West Liberty Foods. Economic Information. Agriculture is a large industry within and surrounding Tremonton City. Population Figures. Below is a chart that shows Tremonton City’s population growth over the past decade.

Form of Local Government. Utah Code classifies Tremonton City’s form of government as a Six Member Council found in Utah Code. In this role of government, the Mayor is the Chief Executive Officer and the City Council is the legislative body. Through Ordinance, the City Council has created the position of the City Manager and delegated specific duties to this position. The City Manager is the Chief Administrative Officer. Regional Setting & Influences. In the north end of Box Elder County, Tremonton City is the commercial and employment center for this region and provides municipal services such as aging services, fire protection, wastewater treatment, and parks and recreation to surrounding communities. Geography/Topography. Tremonton City lies in the Bear River Valley. Most of the City topography is flat with little variance in elevation. There are the lowlands of the Malad River in the center of the City. To the east near the edge of the incorporated limits of the City is the Bear River. Both the Malad River and Bear River flow to the Great Salt Lake. On the west side of the City limits is the foothills of the BR Mountain. SDAT Process- Branding Recommendation. The City recently underwent a Main Street revitalization and visioning process facilitated by the American Institute of Architects’ Sustainable Design Assistance Team (SDAT). One of the recommendations of this Main Street visioning process was to brand Tremonton City and Main Street. It is anticipated that the brand would be similar, if not the same. As noted in the SDAT presentation, there is many departments within the City that have their own logo. It was recommended by the SDAT Team that the City hire a professional to help develop a brand and to get “buy-in” from all stakeholders. The objectives and outcomes noted below are taken or are adapted from Jane Jenkins, an SDAT team member’s, portion of the SDAT presentation. Ms. Jenkins recommended that branding objectives and outcomes include the following: Objectives:

• Obvious and pervasive throughout the community. What someone else thinks of you, not what you say you are. Be who you are.

• Balance that your brand is regional, but it should reflect your competitive advantage.

• Embrace your geography.

• Successful brands do not appeal to everyone.

• A feeling. In this case a feeling that makes you want to go there. Current and Past City Logo and Tagline. The City's current logo and tag line (left side) is approximately 5 years old. It was developed by a graphic artist and is meant to depict the fact that Tremonton City has fiber optic networks. The City logo on the right was used for approximately 30 years and was developed by a local high school student.

In addition to the logos noted above, the City has several departments that use their own logo that appear to have no correlation to the City’s current logo. It is the desire of the City to consolidate and consistently use the same logo, or the same logo with only slight variations, to represent a specific department. Moreover, the City has on occasion used the Utah League of Cities and Town’s branding campaign of “Making Life Better”, which was aimed at branding Utah cities across the state into one company. The City would like guidance on if and how to use the “Making Life Better”.

CITY ENTRY SIGNAGE. Currently, there are three entry signs welcoming people into the City. The entry signage into the City is old and lacks visual appeal, giving the wrong impression of the City. Entrances into Tremonton City have signage that needs to be updated. Text boxes adjacent to images give a narrative of the issue or condition.

1100 West Main Entry Sign As you will note, the sign structure is made from old telephone poles, one of which is warped. The sign structure seems to be more dominate than the sign copy. It is unknown if the City has an easement from the landowner to have the sign in this location. In addition to upgrading the sign copy and structure, the City may want to find a new location.

900 East Main Entry Sign This entry sign has been in existence for some time. The City and RDA would like to update the sign copy and sign structure. It is unknown if the City has an easement from the landowner to have the sign in this location. In addition to upgrading the sign copy and structure, the City may want to find a new location.

1000 North 1000 West Entry Sign This sign is at the entrance of the City’s industrial park. In addition to this entry sign, there are various signs of civic groups planted in close proximity. It is unknown if the City has an easement from the landowner to have the sign in this location. The City may want to find a new location for the sign. If the sign stays in the current location, the City may want to improve and screen the background view.

Part VII – Appendix 3. In addition to the terms and conditions included in Part IV – Requirements/Standards Governing Statement of Qualifications, this Appendix also includes terms and conditions that, when appropriate, may be a part of a contract with the selected Branding Consultant. 14. CONTRACTS.

A. Cost-plus-a-percentage-of-cost Contracts prohibited. Subject to the limitations of this section, any type of contract, which will promote the best interests of Tremonton City may be used, provided that the use of a cost-plus-a-percentage-of-cost Contract is prohibited and so long as the contract does not violate UCA 13-8-101 et seq. “Unenforceable Agreements”.

B. Miscellaneous Required Contract clauses. The following clauses shall be included in

Contracts:

(1) The unilateral right of Tremonton City to order, in writing, changes in the work within the scope of the Contract and changes in the time of performance of the Contract that do not alter the scope of the contract work.

(2) Variations occurring between estimated quantities of work in a contract and

actual quantities.

(3) Suspension of work ordered by Tremonton City. C. Indemnity/Hold Harmless Clause. Each contract with an independent contractor shall

contain indemnity/hold harmless clauses which provide that: (1) All contracts must contain indemnity and defense provisions in which the

independent contractor assumes all liability arising out of work performed by the contractor or their officers, employees, agents, and volunteers. In accordance with Utah Code Annotated 13-8-1 and 13-8-2, this provision does not apply to construction and design professionals.

(2) All Vendors shall provide evidence that they have acquired and maintain

comprehensive general liability coverage, including liability insurance covering the contract concerned, prior to the execution of the contract. Tremonton City and its officials, employees, and agents must be named as “additional insured” on the liability insurance policy and a copy of the policy shall be given to the Accounts Payable Clerk.

D. Workers Compensation Clause. Each contract with an independent contractor should

contain provisions that ensure the contractor is carrying Workers Compensation insurance coverage.

(1) Tremonton City shall require evidence of Workers Compensation insurance

(or evidence of qualified self-insurance) from all contractors prior to the contract for services being signed.

(1) Tremonton City shall have the contractor show evidence of the contractor's

Workers Compensation coverage to Tremonton City and a copy shall be maintained by the Accounts Payable Clerk.

A. Fiscal Funding Clause for Lease. Pursuant to Utah Code Annotated § 10-1-202, the

City has the authority to enter into contracts, including purchase contracts. However,

Section 3(1) Article XIV of the Utah Constitution in essence states that, purchase contracts secured by property taxes only, and not approved by a direct vote of the City’s citizens, may not have a term in excess of one (1) fiscal year. Based on the aforementioned statutory authority, there is a conflict in lease and/or purchase contracts for which no bonding takes place and for which the term of the contract is in excess of one (1) year. Frequently a problem between the two statutory authorities occurs with purchase or lease contracts for office equipment, yard equipment, and computer equipment as companies with which the City typically contracts for these types of purchases and drafts term agreements in excess of the one (1) year allowed by the State Constitution. To remedy this situation, the State of Utah Uniform Accounting Manual has suggested the following: "Governmental units frequently obtain needed assets through lease-purchase agreements. These agreements need to contain a 'fiscal funding' or cancellation clause which permits the governmental unit to terminate the agreement on an annual basis to ensure the debt restrictions set forth in Article XIV Section 3 of the State constitution are not violated." All lease agreements over a period of one (1) year shall have the fiscal funding or cancellation clause to comply with the applicable Utah Constitution Section.
