IPA Subsdy Contract (version 02)6) on 3rd August 2011, th MA launched th Cali for Proposals under th Programme Priority 1Economie, Social and Institutional Cooperation, receiving an Application Form for th project calledCollaborative platform to support research and technology transfer with acronym NEXT,hereinafter referred to as "th Project";7) on 26th July 2012, th Joint Monitoring Committee of th Programme approved th ranking listof Projects admitted to th Programme grants, among which th Project with th code n2 ora/0023/0;8) in th Partnership Agreement for implementing th Project, th final beneficiaries haveconfirmed as lead beneficiary th Marche Regional Authority - Innovation, Research andCompetitivness of productive sectors Unit hereinafter referred to as "th Lead Beneficiary", whilefinal beneficiaries other than Lead Beneficiary hereinafter referred to as "th Project Partners".The parties agree as follows:Artide 1- Importance of th annexesThe conventional framework of th IPA Subsidy Contract includes th following annexes:a) Annex I: General conditions of th IPA Subsidy Contract;b) Annex II: Copy of th Project Application Form;e) Annex III: Originai copy of Projects Partnership Agreement;d) Annex IV: The funding allocation letter (FAL);e) Annex V: The update of Projects time pian and th budget revision where required (section 4, 5 and 6 of th Project Application Form);f) Annex VI: Project Lead Beneficiary banks account identification notice;g) Annex VII: Projects Lead Beneficiary legai status notice. Artide 2 - Subject matter1. In compliance with th financing decision of th JMC, th MA awards th Communitycontribution to th Lead Beneficiary for th implementation of th Project.2. The Community contribution is granted under th terms and conditions set up in th EuropeanUnion legai framework, in th national law applicatale, in th rules of Project Cali for Proposals, inth Programme Management and Contro! Manual, in th Guidance for FLCOs and in this Contractand its annexes, which th Lead Beneficiary hereby declares to know and accept.3. The present Contract determines th funding conditions for th whole final beneficiaries,partners of th Project, hereby represented bythe Lead Beneficiary. This Contract does not provide th obligation to assign and transfer th National Public co-financing contribution to th Project final beneficiaries. Artide 3 - Duration of Contract1. Without prejudice to th provisions concerning th implementation of th Project and theligibility of expenditure, this Contract enters into force following th rule set out under Art. 23Entry into force, and expires th first day following th receipt of th final payment to th LB,while obligations arising from Community and national legislation stili apply.2. The Project implementation period is 32 months in accordance with th approved ApplicationForm, which was updated at th current date of Projects starting.Artide 4 - Project financing rate1. The total budget of Euro 2.999.180,00 allocated to th Projects Partnership for th Projectimplementation activities is composed by th Programme contribution and own additionalcontribution, where applicable. The Programme financial contribution to th Project amounts toEuro 2.999.180,00, with th following composition:a) Community financial contribution amounting to a maximum of Euro 2.549.303,00, equivalent to 85% of th total Programme contribution;b) National co-financing amounting to Euro 449.877,00, equivalent to a co-financing rate of 15% of th total Programme contribution. Artide 5 - Responsibilities of th Lead Beneficiary1. The Lead Beneficiary shall implement th Project under its own responsibility and in accordancewith th Project Application Form, its revision and th Partnership Agreement, ali of themannexed to this Contract, in order to achieve th objectives laid down therein.2. The Lead Beneficiary and th Managing Authority are th only Contracting Parties (th"Parties") envisaged in th IPA Subsidy Contract. Nevertheless, this Contract producesautomatically its effects also on ali Lead Beneficiarys Project Partners and, only for recovery ofundue amounts, on th Participating Countries that host th Project Partners thereto as well.4. In accordance with article 96, paragraph 1 of Regulation (EC) 718/2007, for th purposes of thIPA Subsidy Contract, th Lead Beneficiary is th main responsible for carrying out a correct andprompt implementation of th Project. Notwithstanding, each Project Partner is responsible forown irregularities incurred duringthe Project implementation activities.5. The Lead Beneficiary shall transfer th Community contribution to each Project Partner bankaccount within th timeframe specified in th Project Partnership Agreement here annexed, fromth date it receives th funding. The funds transfer will be made according to th Project PartnerDVE reimbursed or, in th case of th funds for pre-financing, th transfer will be done inaccordance with th rule set out under Article 9 of th Partnership Agreement. In accordance withArticle 39 of Regulation (EC) 718/2007, th Project Partners shall receive th total amount of thCommunity contribution in due time and in full. No specific charge or other charge with equivalenteffect shall be levied which would reduce these amounts. 6. The Lead Beneficiary declares that it and th other Projects Partners have not received and will not receive additional funding for th whole or part of th Project from any third ED fund throughoutthe implementation period of th Project.Article 6 - Terms of Funding - Eligibility of Expenditure - Project timetable 1. Funding is granted exclusively for th implementation of th Project as described in th Application Form and its revisions and in th FAL, in accordance with th General Conditions listed in Annex "I". 2. Final beneficiaries implement th Project and th costs incurred by them are eligible under th same eligibility rules as th Lead Beneficiary. Only th expenditures relating to th Project preparation and implementation are eligible for th Community contribution, in th terms of th Projects description approved by th Joint Monitoring Committee. Eligibility rules are specified by th European Regulations as well as by th national rules as described by th provisions of th Programme and relative documents (Programme Implementation Manual, Cali for Proposals,x REGIONE MARCHEServizio Industria Artigianale istruzione Formazione eRF. IPA Subsidy Contmct (versonApplicanti Manual, Guidance for FLCOs and Programme Management and Control Manual)enforced.3. Preparation costs are included in th total eligible budget, if they are incurred in accordancewith eligibility rules and are directly related to th preparation of th Project.4. The Lead Beneficiary undertakes th obligation to implement th Project and th expenditurerelated to it, in accordance with th approved Project timetable described in th Annex V of thisContract. Any change of th Project implementation timetable, not approved according to thprocedures specified in th Annex I, will be deemed by th Managing Authority as partial or totalnon-fulfilment of th Project. In this case, th Managing Authority may exercise its right to de-commit th Community contribution (in part or for th total amount) allocated to th Project or torecover such contribution, if already paid. The amount that shall be de-committed or recoveredwill be calculated on th basis of th Projects implementation and expenditure progress.5. Sub-granting of funding received by th Programme is not allowed. Artide 7 - Pre-Financing Payment1. A pre-financing is granted to th Project equal to 20% of th Community contribution assignedto th Project, amounting to Euro 509.860,60, in th terms set out in Artide 16.6 of GeneralConditions of this Contract and if th MA has received th 2 originai copies of th IPA SubsidyContract, duly signed by th LB and if th MA has yet received by th European Commission thProgramme pre-financing, according to th Artide 128 of Reg. (EC) 718/2007.2. In compliance with Artide 36 of Reg. (EC) 718/2007, if th pre-financing payment accruesinterests in Euro, they must be considered as recipients property and not revenue of th Project.The interests accrued are considered as National co-financing contribution and must be declaredto th MA in th last Application for Reimbursement. In this event, th LB shall identify thamounts of pre-financing payment received in th bank account specified in th Annex VI of thisContract, and th related interests accrued. In case this is not possible, th accounting methodsadopted by th LB must enable to check th pre-financing payment disbursed and th interests orother gains produced.3. The pre-financing amount will be deducted in a due share from th AR. The final deduction willbe made with th last AR.4. If th pre-financing is not deducted before th payment of balance or before th Contracttermination, th respective amounts must be returned to th Managing Authority in th sameterms set out under Artide 18 Recovery Procedure of th General Conditions of th IPA SubsidyContract in force. IPA Subsidy Contract (version 02)1. The Lead Beneficiary must fili in th AR based on th DVEs issued by th FLCOs.2. The Joint Technical Secretariat receives and processes th AR as described in th Managementand Control Manual. The Managing Authority has th final responsibility of providing its approvaito th Certifying Authority in order to enable th latter to certify th expenditures listed in th AR.3. The Joint Technical Secretariat, th Managing Authority, th Certifying Authority, th NationalAuthorities/Coordinator for th Programme in th Participating Countries and th EuropeanCommission may at any time ask for supplementary information concerning payment claims or thProject implementation progresses.4. The Community contribution will be transferred to th bank account indicated by th LeadBeneficiary in th Annex VI.5. Artide 16 of th General Conditions of th IPA Subsidy Contract shall here apply. Artide 9 - Lead Beneficiarys reporting obligations1. As concern th monitoring implementation of th Project, th Lead Beneficiary must submit aProject Progress Report to th Managing Authority at least twice per year: by 31st October and30th Aprii.2. In accordance with th obligation set out under Artide 3.3 of th General Conditions of th IPASubsidy Contract, th Lead Beneficiary provides th Project Progress and Final Report inaccordance with th template properly supplied by th JTS.3. Where th Lead Beneficiary fails to submit a Project Progress Report by th end of th 6 monthdeadline, th Lead Beneficiary must inforni th Managing Authority of th reasons of suchinconvenience. However, it has to provide with th motivation a summary on progress done in thProject following th former Project Progress Report. If th Lead Beneficiary fails to justify thbreach of this obligation, th Managing Authority may suspend any application for reimbursementor terminate th IPA Subsidy Contract in conformity with Artide 12 "Termination of th Contract"of th General Conditions of th IPA Subsidy Contract.4. The Lead Beneficiary has to submit th Project Final Report not later than 6 months from thProject expiration term and in any case in due time enabling th Programme closure.5. The Lead Beneficiary undertakes to send to th MA a copy of any publicity and informationmaterial produced during th implementation of th Project by any of its Projects partners.Artide 10 - Mutual and explidt termination of contract1. The Lead Beneficiary and th MA may agree that this Contract can no longer be executedeffectively or appropriately, and terminate th IPA Subsidy Contract with a prior notice of 2months. Without any prejudice of cases envisaged under Artide 12 "Termination of th contract" of thGeneral Conditions of th IRA Subsidy Contract, th Managing Authority may require thtermination of this Contract, without giving prior notice to th Lead Beneficiary and without beingobligated to pay damages of any kind for doing so to any Projects final beneficiary in th followingcases:a) where without any reasonable motivation, th Lead Beneficiary didnt submit a Project ProgressReport to th Managing Authority, at th 6 month deadline;b) where th Lead Beneficiary breach, without justification, any of its obligations and, after beinggiven notice by letter to comply with those obligations, and stili fails to do so or to provide asatisfactory explanation within 30 days from th notification date.3. The proposai of termination of this Contract has to be previously accepted by th JointMonitoring Committee of th Programme under a request of th Managing Authority. Artide 11 - Retention of documents1. For th purpose of Art. 134 of th IPA Implementing Regulation, th Managing Authority andth Lead Beneficiary undertake to preserve th confidentiality of any document, information orother materia! communicated among th Parties and to make them available for at least a periodof 3 years following th closure of th IPA Adriatic CBC Programme.2. This period shall be interrupted either in th case of legai proceedings or upon justified requestby th European Commission.3. The documents and records shall be kept in accordance with th detailed provisions onavailability of documents laid down in Art. 134, paragraphs 2 to 7 of IPA Implementing Regulation. Artide 12 - Interpretation dause1. Subject to any expressed provision contrary to this Contract, th terms used in this Contractshall bear th same meaning as attributed to them in th European regulations applicable, in thGeneral Conditions of th IPA Subsidy Contract, in th Programme Management and ControlManual and in th Guidance for FLCOs. In case of divergence, th document which is th highest inth hierarchy prevails.2. Any following agreements that replace or give a different or contrary interpretation of provisionof this Contract, shall be understood as amending, supplementing or replacing th specificprovision, while th rest of this Contract will bind th Parties.3. Any references to th Council or th Commission Regulations are meant for th valid versionenforced of these regulations. Headings in this Contract have no legai significance and do not affect its interpretation.5. Any generai reference to days in this Contract is meant as calendar days.6. The contracting language is English and in case of conflict of language interpretation, Englishlanguage prevails on th national languages of th Parties.7. Where there is conflict between th European Union rule and th national rule, th EU rule shallprevaii.8. Where th project envisages Serbian final beneficiaries, th elegibility period of th expenditureincurred by these beneficiaries corresponds to th time limits laid down by th in force ruleapplicatale to th ProgrammeArtide 13 - Partial invalidity and unintentional gaps1. If a provision of this Contract is or becomes invalid or if this Contract contains unintentionalgaps or misprints, this will not affect th validity of th other provisions of this Contract. TheParties will replace any invalid provision by a valid provision that is as dose as possible to thpurpose and intent of th invalid provision.2. The Parties will fili any unintentional gap or misprint by a provision that better suits th purposeand intent of this Contract, in compliance with th rules applicatale. Artide 14 - Review and Amendments1. Any amendment to this Contract, including th Annexes thereto, must be set out in writing andduly signed as an addendum to th Contract document. If an amendment is requested by th LeadBeneficiary, it must submit th requirement to th Managing Authority 1 month before th dateon which th amendment should enter into force, unless it is urgent and not predictable.2. The addendum cannot be contrary to th JMC granting decision or to th enforced rules.3. Should any provision in this Contract be entirely or partly ineffective, th Parties will replaceineffective provision by an effective provision which matches as dose as possible to th purpose ofth ineffective provision. Artide 15 - Personal data treatment1. According with Artide 62 (2) of IPA Implementing Regulation, th MA shall process and usepersonal data of persons involved in th Project, in compliance with th requirements of thRegulation (EC) No. 45/2001 and enforced rules.
