Editor’s Notes

ON SEEING THE 2007 YEARBOOK, a friend remarked that its"Editorial" did not, as is customary, discuss some aspect of thebusiness or prospects of the Association.

However, I prefer to write of the pleasures and vicissitudes ofediting this annual record of the Association's activities, so theheading of this piece is now as above.

Previous editors have confirmed my finding, during my shorttenure, that the self-imposed annual deadline of delivering thecompleted Yearbook to the Fixtures Meeting is more than a littleoptimistic. Holidays, missed deadlines for copy, uncompletedcompetitions and, perforce, an ever later grading list all usuallyconspire to cause an error-prone and stressful rush to print.

However this year, despite my fears, the above have not comebetween me and a timely delivery to our Printer. For a large partthis is due to contributors replying promptly to my editorial queriesand I am grateful to them all.

The team of Susan Lalic and Graeme Buckley willingly bear aheavy load and without them some items would be absent.

Charles Cronin and Mike Laker have generously checked theproof and found more errors than I ever thought possible!

This edition’s lay-flat comb-binding has allowed me to increasethe number of pages, mainly to set out the grading list in a morereadable form, and also improve the layout of game pages.

Finally, on a traditional "Editorial" note, I am pleased to recordthat our one hundred and twenty-fifth year was marked in highlysuccessful and fitting style, as reported within these pages.

THE ANNIVERSARY CELEBRATIONS CONSISTED OF A FIVE ROUND

rapidplay competition, a Victorian buffet and, finally, a team quiz.

Origins – President’s AddressIn between the rounds of the rapidplay tournament in the

afternoon and before the quiz in the evening I revealed some of theearly history of the SCCA which I had managed to find – mostly fromthe pages of the Chess Player’s Chronicle & Journal of Indoor andOutdoor Amusements (a magazine founded by Howard Staunton in1841 which ceased publication in 1893.)

The editorial of the Chess Player’s Chronicle dated 15 August1883 praised the proposed formation of a Surrey Chess Associationand reprinted a letter to the “Croydon Guardian” by Leonard P Reessetting out the case for its formation. Leonard Rees was a man whoset up many chess organisations: he was the founding secretary of theSCCA, the SCCU (the Southern Counties Chess Union) in 1892 andthe BCF (the British Chess Federation) in 1904. I have seen himdescribed, in the late 1920s, as a “senior official of FIDE (ourinternational federation)” so I suspect he had a hand in setting that uptoo.

The first meeting of the SCCA was held at the “Dingwells”,Wellesley Road, Croydon, the home of J Steele (President of CroydonChess Club) on 9 October 1883. J Steele was elected first Presidentof the SCCA, Leonard Rees was elected Secretary and EJ WinterWood, Treasurer. A constitution and rules were adopted and acommittee was formed. It was reported that there were nearly thirtyindividual members and six chess clubs “adhered”, namely Croydon,South Norwood, New Cross, Wallington, “Endeavour” of NorthBrixton, and Bermondsey. Every member paid an initial subscriptionof two shillings and sixpence (12.5p) and the annual subscription wasto be the same.

As today, some aspects of the constitution and rules of the SCCAproved to be controversial, and the controversy started even beforethe Association was formed. The editor of the Chess Player’s

Chronicle argued in an editorial that the rights of individual members ofthe SCCA were to be unfairly restricted. Individual members could takepart in SCCA meetings and competitions, but only individual members whowere also a member of one of the constituent clubs had the additional rightof being able to attend and play at other clubs. Rees dealt with thiscriticism in a typically deft (and noncommittal) letter, but it was not clearfrom the report of the founding meeting whether the rights of memberswere extended (one suspects not).

The activities of the SCCA in its first year included an individualchampionship (the Challenge Cup), a club competition (the Surrey Trophy)and two county matches (against Sussex, home and away). The ChallengeCup was won by Herbert Jacobs (and therefore the first Surrey champion)with a score of 12 out of 13, one point ahead of Wyke Bayliss. Only threeteams competed for the inaugural Surrey Trophy, Croydon, “Endeavour”and South Norwood, the winners being Croydon. The first match wasplayed on 4 February 1884 at Oliphant’s Café when South Norwooddefeated “Endeavour” by 5½ to 3½. The final match was played atNorwood when Croydon defeated South Norwood by the same score.These are the only two matches reported in the Chess Player’s Chronicleso I presume that at least one more match (with Croydon defeating“Endeavour”) also took place.

The report of the first match states that it started at 7 p.m., three gameshad concluded by 9 p.m. and the remaining games were adjudicated (on thespot) at 10.30 p.m. Chess clocks had just been used for the first time in aninternational tournament (London, 1883) and it seems unlikely that theywould have been in use in club chess. The Chess Player’s Chroniclediscusses the widespread problem of players refraining from moving 20 or30 minutes before the finishing time “in the hope the adjudicator might findsome method of escape”. Adjudication was just as unpopular in 1883 as itis now. An editorial on the subject in the Chess Player’s Chronicle finishedwith the words “The adjudicator’s task is a very unthankful one at the best,and we are convinced that those who have filled the office will be amongthe foremost to advocate its abolition, while we are sure that a generaldesire on the part of match players to avoid appeals for adjudication will gofar to put an end to the evil.”

Clearly in the nineteenth century considerations of transport were anissue in arranging chess matches even more than they are now. The firstminutes book of Guildford Chess Club (formed in 1896) shows matchesplayed only against towns with which there was a direct rail connection(Woking, Redhill, Farnham and so on). Possibly transport was easier (with

horse buses and hansom cabs) nearer to central London. The two Countymatches against Sussex were also played near the rail connection, the homematch being played at the Institute, George Street, Croydon on 19 January1884 and the away match being played in the King’s Room of the Pavilion,Brighton on 3 May. Surrey won both matches, the home by 17 points to 15and 24½ to 17½ away. The second match results show that it was playedover twenty-five boards and that most players managed to play two gamesin the afternoon session (both of which counted towards the match score).

At the end of its first year it is reported that the SCCA had proved to bea great success and that its membership was now “nearly 70” and sufficientfunds had been accumulated to purchase a trophy for either the individualor club competition. To give the final word to the Chess Player’sChronicle “It stands out as an example of what can be accomplished byenergy and perseverance, and we most sincerely hope it will be copied andrecopied throughout the country until every province has its Association,with subordinate clubs working under each, and all vieing [sic] with eachother as to who shall do most for the good of the game”.

The BuffetWhile the chess was in progress, there gradually took shape in the

Marshall Room an impressive buffet lunch, its theme the plentiful countryfare of the prosperous Victorian age into which the Association was born.

Ray and Pauline ("Chess Bites"), abetted by James, assembled this feastwhile also running their tea, coffee and snacks service during the day.Quite by chance, of course, I enjoyed several glimpses of these carefulpreparations and I must confess that the steadily growing array of temptingdishes really tried my patience!

Coronation chicken...a huge salmon...beetroot soup...meats of all kinds..an array of dressings...puddings galore...how well we ate, while a punchfountain provided the plentiful means to wash down the fine repast.

It was noted that some of our younger members in particular showedmuch interest in this recall of Victorian days.

Seemingly not content with all his efforts, Ray added to our enjoymentduring the evening by hosting the quiz which was won by "The Wallies"from Wallington.

SURREY REACHED THE ECF U175 FINAL AFTER GAINING SECOND

place in the SCCU competition (our best ever). Progressing through theknock-out stages with a quick-finish walkover versus Suffolk, and acomfortable semi-final victory over Yorkshire for the second yearrunning, Surrey opened the final promisingly by losing the toss.

Although closely matched over the top ten boards, we were heavilyout-graded on the bottom six.

The first completed games took two and a half hours and were winsfor Shepley and Clegg. These were soon followed by two Essex wins.After several draws, at the first time control the score was 4.5 all.Surrey moved ahead with a win from Barasi who had sacrificed theexchange for a white square mating attack with queen and bishop.

Essex equalised again, but Turner put Surrey ahead winning theexchange in his game. At this point it was clear we were ahead ontiebreak if required, but I could only see us reaching 7 or 7.5 points.Moving into the last thirty minutes of play the scores were level. In thelast three games we were worse in two and the exchange up in thethird.

Sedgwick then created perpetual-check chances in a queen ending,but his opponent avoided this by walking into a self-mate. Surrey wereagain back in front. Smart meanwhile had turned his unpleasantposition into a study-like ending of knight plus bishop plus advanced g-pawn versus rook and a posse of queen-side pawns. The clock wasticking down while the Essex player sought a solution. Eventually hebailed out by giving perpetual check with the rook.

With 8 points Surrey had won the trophy. Alcock agreed a draw inthe final minute of play to end a close-fought match in which Surreynever trailed.

CROYDON & District CHESS LEAGUE2007-2008

The Croydon League continues to expand. CCF joined the League inall three divisions and Battersea joined Division 3 for the first time.The Croydon Shield, which is open, was tightly contested between CCFA and Streatham A, with Streatham clinching the title in their last matchof the season. The Martin Cath Trophy was won by CCF B and theLuckin Trophy by West Wickham A. The best individual performancewas by Tom Chivers, Streatham, who scored 4/5 and exceeded hisgrade by 25 pts. The Bielski Five Minute Team Competition was wonby South Norwood and the ten second Trost Trophy by CallumKilpatrick with an awesome 6/6. David Hodgson

Challenge Cup

ENTRIES FOR THE 2008 COMPETITIONS WERE STATIC AT FORTY-FIVE.

The Challenge Cup was retained by Stephen Berry.

Athough some sections are not quite finished as the Yearbook goesto press, section winners are known.

In the Slater-Kennington Cup competition, Joe Skielnik won atWimbledon and Adam Fysh-Foskett at South Norwood. Paul Durrantwon the first game of the Surbiton section play-off from Paul Shepherd;the second game is yet to be played. There will then be a play-offbetween the three section winners.

Mike Williams (South Norwood section) won the Felce Cup play-off from Krishna Mehendale (Ashtead section) and Chris Dunne(Wimbledon section).

The Wernick Cup winner will come from David Howes (SouthNorwood section), Julian Walker (Ashtead section) and VincentoGiannattasio (Wimbledon section).

Briant Poulter League 2007- 8

WE ARE THE LARGEST SECONDARY SCHOOL LEAGUE IN THE

country, and schools from all parts of Surrey are represented. Matches areplayed on Friday evenings, with playing sessions being two and a halfhours long.

The Division 1 winners for 2007-8 were Hampton who lost only onematch. They consistently won matches by a small margin, only oncewinning by more than 4 – 2. RGS Guildford were close behind Hamptonfor most of the season until losing to them. Wilson’s, playing in the topdivision for the first time, just pipped Whitgift to third place by the closestof margins.

In Division 2 Caterham continued their relentless progression throughthe divisions since they joined the league three years ago – and they are yetto lose a match. Kingston Grammar, also newly promoted, came a clearsecond.

Division 3 was very close throughout the season, with there often beingonly one point between the leading five teams. However Hampton pulledaway at the end to claim a second title, before losing to Emanuel in theirlast match.

In Division 4 newcomers Homefield proved too strong for the otherteams and were clear winners, whilst there was a close battle for secondwhich George Abbot won.

For the 2008-9 season we are very sad to lose St Paul’s, who after manyyears playing in the league are finding the travel to/from Hammersmithincreasingly difficult. We are pleased to welcome Reigate Grammar, whowill be filling a gap in Division 2. Promotions and relegations are made onthe basis of the league results, but also on agreement between the schoolsdepending on how many good players they are losing.

ROLE AND DUTIES OF MATCH CAPTAINS - SCCA

THESE NOTES ARE INTENDED FOR THE ASSISTANCE OF MATCH CAPTAINS IN

the SCCA and apply only to events held under SCCA auspices.

IntroductionThe role of team captain is mainly administrative whether or not he plays

in the match. The duties may vary according to the specific competitions butthese notes are intended to cover only matches that form part of SCCAcompetitions. There is some information about the team captain's role in theFIDE Handbook and also some specific references in the Bye Laws of theSCCA, which, where relevant, have been incorporated. However they arenot comprehensive, problems have occurred in practice and it is thereforeconsidered appropriate to provide more detailed guidance.

The details shown below incorporate some of what has already beenpublished for the sake of uniformity and to keep cross-referencing to aminimum. They are for guidance and are not necessarily binding but it ishoped they will be of particular help to captains newly in their role yet willalso be useful to experienced captains in dealing with some of the awkwardsituations that sometimes arise in practice.

GeneralThe captain should encourage his team to abide by the Laws of Chess as

amended by the Bye Laws of the SCCA both in letter and spirit. Thisincludes good conduct and sportsmanship and courtesy at all times. Thehome captain has the responsibility to ensure that an up to date copy of theLaws of Chess, the SCCA Bye Laws and a grading list are available forconsultation.

A captain shall abstain from any intervention during play except whereprovided for in the list of duties below. He shall give no information to aplayer concerning the position on the chessboard, nor consult any otherperson as to the state of the game. Players are subject to the sameprohibitions.

The captain may, when approached by a member of his team to provideadvice about whether to make or accept an offer of a draw or to resign agame, advise the team member about the state of the match but not whetherto accept or offer a draw or resign.

The player has the final say over the conduct of his own game and is notcompelled to follow the advice of his team captain. The captain cannot acton behalf of a player and his game without the knowledge and consent of that

player except as allowed in duty 12 below.

Duties

Before the match1. Be aware of the competition and eligibility rules (see bye laws

3.1,3.2,3.3.1,3.8 and 3.10).2. Select the team in order of playing strength (see bye laws

2.6,2.7,3.2.3 and 3.2.4)3. Ensure team members are aware of the date, start time, venue, time

limits, type of game finishes, action to take in respect of unfinishedgames and that they should refer any problem/dispute to theircaptain.

4. For away games check the up to date address of the venue and asthe Surrey Year Book does not always show the latest venue alsouse the SCCA website.

5. For home games set up boards, chess pieces, clocks, score sheetsand have envelopes available for sealed moves (where there may beadjourned games) in readiness so that the match can commence ontime.

6. Refer to the FIDE Laws of Chess for information on adjournedgames.

At the match7. Exchange the team list with the opposing captain including details

of players' gradings, toss for colour, approve the team order andensure that it is in compliance with the rules. It is essential that acopy of the current grading list is available for this purpose. Makesubstitutions where necessary and provide details to the opposingcaptain and Inter-Club Tournaments Director.

8. Agree a start and end time for the match in compliance with SCCABye Law 3.5 Starting a Match. Ensure clocks are started at theagreed time and the times on the home teams clocks are adjusted ifthey are late starting the match. Default players who arrive after 30minutes of the agreed start time.

9. Check that players are on the correct side of the board and have theright colours especially if the boards are not in a continuous row orhave had to be moved say for poor lighting or noise. In the event ofa game starting with the colours reversed if it is noticed within 10minutes of the start and there is sufficient time the game can berestarted provided both players agree. Otherwise play shouldcontinue with the colours reversed.

10. The home team captain should remind all players to turn off their

mobile phones before the start of play and warn that failure to do mayresult in the players at fault losing their games.

During the match11. Both captains are to act as arbiters in the event of disputes between

players and have a responsibility to ensure the Laws of Chess asamended by the Bye Laws of the SCCA are upheld. Where a problemwith a game arises and it is necessary for the captains to assist inresolving it, they should if at all possible do so without stopping theclocks in their own games. In the event of a major problem, whichdoes not admit a straightforward solution, the captains may stop theirown clocks for the minimum period strictly necessary.

12. In respect of Bye Law 2.8 Mobile Telephones the opposing teamcaptain may intervene and claim the game in respect of a playerwhose mobile phone sounds, including beeping, during play, or if aplayer uses the phone in the playing area. This exception to thegeneral rule that a captain shall not intervene during play isspecifically allowed as the intrusion created by the mobile phone mayaffect the whole team.

After the match13. Collate the match result, agree it with the opposing captain and

using the appropriate, preferably electronic, forms send details tothe Inter Clubs Tournaments Director within 14 days as requiredunder Bye Law 3.7. This should include the positions for games,which are to be adjudicated.

14. For adjourned games check that the players who have to make asealed move have done so and placed them in sealed and signedenvelopes. Try to ensure the second session is completed within 28days.

Some examples of the type of problems that a captain may have to resolve aregiven below.

1. Adopting the recommended procedure in the event of a player not

recording moves as required under the Bye Laws/Laws of Chess.*2. Advising the correct action in the event of a player making an illegal

move.*3. Ensuring spare clocks are available in case any used are faulty.4. Providing advice when needed to team members about time controls,

resetting of clocks, types of finish and so on.5. The home side should provide basic refreshments where possible.6. Captains must refrain from pointing out flag falls in respect of other

team members’ games.

MEMORANDUM OF ASSOCIATION OF SURREY COUNTY CHESSASSOCIATION

1 The Company's name is SURREY COUNTY CHESSASSOCIATION.

2 The Company's registered office is situated in England and Wales.

3 The Company's objects are:-

(a) to encourage the study and practice of chess throughout the Countyof Surrey and the London Boroughs of Croydon, Kingston-upon-Thames, Lambeth, Merton, Richmond-upon-Thames, Southwark,Sutton and Wandsworth;

(b) to represent Members by affiliating to the English Chess Federation(“ECF”), the British Chess Federation (“BCF”) and the SouthernCounties Chess Union (“SCCU”);

(c) to organise teams to compete in the ECF and SCCU Inter-CountyCompetitions and the County and District Correspondence ChessChampionship;

(d) to organise competitions for Members;

(e) to organise or sanction an annual congress;

(f) to do such acts and to expend such moneys for matters concernedwith chess as shall be similar to those listed above and of a similarnature thereto.

4 In furtherance of the above objects but not further or otherwise theCompany shall have the following powers:-

(a) to acquire part of or the entire undertaking of the unincorporatedassociation known as the Surrey County Chess Association;

(b) to borrow and raise money for the furtherance of the objects of theCompany in such manner and on such security as the Companymay think fit;

(c) to raise funds and to invite and receive contributions from anysource by way of subscription, donation or otherwise, withoutprejudice to the ability of the Company to disclaim any gift, legacyor bequest in whole or in part;

(d) to lend money and give credit to, to take security for such loans orcredit from, and to guarantee and become or give security for theperformance of contracts and obligations by, any person or

company;

(e) to draw, make, accept, endorse, discount, execute and issuepromissory notes, bills of exchange, bills of lading, warrants, andother negotiable, transferable, or mercantile instruments;

(f) to subscribe for, either absolutely or conditionally, or otherwiseacquire and hold, shares, stocks, debentures, debenture stock orother securities or obligations of any other company;

(g) to invest the moneys of the Company not immediately required forthe furtherance of its objects in or upon such investments, securitiesor property as may be thought fit;

(h) to purchase, take on lease or in exchange, hire or otherwise acquireany real or personal property and any rights or privileges and toconstruct, maintain alter or develop any buildings;

(i) subject to Clause 5 hereof, to employ and pay solicitors and otherprofessional persons, workmen, clerks and other staff as arenecessary for the furtherance of the objects of the Company;

(j) to make payments towards insurance for any Director, officer,Independent Examiner or auditor against any liability as is referredto in Section 310(1) of the Companies Act 1985;

(k) to subscribe to, become a member of, or amalgamate with any otherorganisation, institution, society or body not formed or establishedfor purposes of profit (whether incorporated or not) whose objectsare wholly or in part similar to those of the Company and which byits constitution prohibits the distribution of its income and propertyamongst its members to an extent at least as great as is imposed onthe Company under or by virtue of Clause 5 hereof, and to purchaseor otherwise acquire and undertake all such part of the property,assets, liabilities and engagements as may lawfully be acquired orundertaken by the Company of any such organisation, institution,society or body;

(l) to do all or any of the things hereinbefore authorised in conjunctionwith any other organisation, institution, society or body with whichthe Company is authorised to amalgamate;

(m) to pay all or any expenses incurred in connection with thepromotion, formation and incorporation of the Company;

(n) to do all such other lawful things as are necessary for the attainmentof the above objects or any of them.

5 All assets of the Company shall be applied solely towards the promotionof its objects as set out herein, and no portion of such assets shall be paidor transferred, directly or indirectly, by way of dividend, bonus orotherwise howsoever by way of pure profit to members of the Company.

PROVIDED ALWAYS that nothing contained in this Memorandum ofAssociation shall prevent any payment being made by the Company ingood faith as follows:-

(a) as reasonable and proper remuneration to any member, Director,officer or servant of the Company for any services rendered to theCompany;

(b) as interest on money lent by any member of the Company or by anyDirector at a reasonable and proper rate per annum;

(c) of reasonable and proper rent for premises demised or let by anymember of the Company or any Director to the Company;

(d) of reasonable and proper fees, remuneration or other benefit inmoney or money's worth to any company of which a Director mayalso be a member; and

(e) to any Director of reasonable and proper out of pocket expenses(provided proper evidence of the payment of such expenses isprovided).

6 The liability of the members is limited.

7 Every member of the Company undertakes to contribute such amount asmay be required not exceeding £1 to the Company's assets if it should bewound up while he is a member, or within one year after he ceases to bea member for payment of the Company's debts and liabilities contractedbefore he ceases to be a member, and of the costs, charges and expensesof winding up, and for the adjustment of the rights of the contributoriesamong themselves.

8 If upon the winding up or dissolution of the Company there remains,after the satisfaction of all its debts and liabilities, any propertywhatsoever, the same shall not be paid to or distributed among themembers of the Company, but shall be given or transferred to some otherinstitution or institutions that promote chess, such institution orinstitutions to be determined by the members of the Company at orbefore the time of dissolution.

We, the subscribers to this Memorandum of Association, wish to be formed into aCompany pursuant to this Memorandum of Association.

INTERPRETATION

1.1 In these Articles:-

"the Act” means the Companies Act 1985, but sothat any reference to any provision ofthe Act shall be deemed to include areference to ny statutory modification orre-enactment of it for the time being inforce.

“the Annual Finance Meeting” means the General meeting at whichMembership Fees are determined inaccordance with Article 12.

“the Annual General Meeting” means the Annual General Meeting to beheld each year in accordance withArticle 9.1.

“the Annual League Composition Meeting” means the General Meeting of theCompany at which the composition ofthe Main League competition isdetermined in accordance with Article13.

“the Board” means the Board of Directors of theCompany, acting collectively.

“the Bye Laws” means Bye Laws made by the Companyin General Meeting pursuant to Article63.

“Club Member” means a Member of the division referredto in Article 4(3).

“Director” means a Director of the Company.“electronic communication” has the meaning given to it in the

Electronic Communications Act 2000.“Full Member” means a Member of the division referred

to in Article 4.2.“Main League” means the annual league organised by

the Company for competition betweenMember Organisations defined in Bye

Law 3.1.1(b).“Individual Member” means a Member of the class referred to

in Article 3(2).“Member” means member of the Company, and“membership” shall be construed accordingly.“Membership Fees” means the fees payable respectively by

Members pursuant to Article 8.1.“Member Organisation” means a Member of the class referred to

in Article 3(1) and the division referredto in Article 4.1.

“Representative Member” means an individual nominated to acton behalf of a Member Organisationpursuant to Article 3(1).

“SCCA” means the unincorporated associationknown as Surrey County ChessAssociation.

"the Seal" means the common seal of theCompany.

"the Secretary" means the person appointed to performthe duties of the Secretary of theCompany.

1.2 Expressions referring to writing shall, unless the contrary intentionappears, be construed as including references to printing, typewriting,lithography, photography, facsimile, e-mail and other modes ofrepresenting or reproducing words in a visible form.

1.3 Unless the context otherwise requires, words or expressions contained inthese Articles shall bear the same meaning as in the Act.

1.4 In these Articles “address” in relation to electronic communicationsincludes any number or address used for the purpose of suchcommunication.

OBJECTS

2 The Company is established for the objects expressed in theMemorandum of Association.

MEMBERS

3 The subscribers to the Memorandum of Association and such otherpersons admitted to membership in accordance with Article 6 shall bemembers of the Company. There shall be two classes of Members:

(1) Member Organisations, being chess clubs and other organisations,each of which shall nominate one, or where so entitled, more thanone individual as its Representative Member(s) to act on its behalf.A Representative Member shall be nominated or replaced by notice

in writing given to the Secretary signed by a senior officer of thebody appointing him.

(2) Individual Members, being Full Members and Club Members.

Every Member shall either sign a written consent to become a member orsign the register of members on becoming a member, and in the case of aMember Organisation the written consent or the register of membersshall be signed by a Representative Member on its behalf.

4 There shall be the following divisions of members:

(1) Member Organisations;

(2) Full Members, currently being Vice Presidents (includingHonorary Life Vice Presidents) Life Members, Honorary LifeMembers and Individual Subscription paying members; and

(3) Club Members, being individual members of MemberOrganisations, who do not in that capacity pay subscriptions to theCompany.

A Member may belong to both the categories of Full Members and ClubMembers.

5. The divisions of members shall have the following class rights:

(1) A Member Organisation is entitled to nominate from its ownmembership the number of Representative Members equal to oneplus the number of teams accepted from that Member Organisationin the Main League of the Company’s Club Competitions at thepreceding Annual League Composition Meeting, each of whomshall be entitled to one vote at all General Meetings of theCompany in accordance with Article 25. The nominations shall bemade annually following the Annual League Composition Meetingby written list provided by the Member Organisation to theSecretary, and if any of its teams shall withdraw from the MainLeague, the number of Representative Members entitled to a votefrom the date of such withdrawal shall decrease by the number ofteams so withdrawing and it shall be presumed in the absence ofcontrary written instructions from the Member Organisation thatthe last name(s) on the original list shall lose the vote.

(2) Full Members and Club Members are entitled to attend all GeneralMeetings and to speak thereat, but subject to Article 27, shall notbe entitled to a vote at the same unless they are RepresentativeMembers. Individual Members shall also be entitled to play in theCompany’s Individual competitions.

6.1 Except as provided by Articles 6.2, 6.3 and 6.4 below, a Member may beadmitted to membership only by the Board on receipt of writtenapplication, and only after having deposited at the registered office of theCompany a written undertaking pursuant to Clause 7 of theMemorandum.

6.2 Every club affiliated to the SCCA, a Representative Member of which,by 30 June 2007 or such later date as may be specified by the Board, soapplies shall be admitted as a Member Organisation on the basis that anyaffiliation or competition entry fees paid to the SCCA shall be deemed tobe Membership Fees paid to the Company.

6.3 Every Full Member of the SCCA who, by 30 June 2007 or such laterdate as may be specified by the Board, deposits at the registered office ofthe Company a written undertaking pursuant to Clause 7 of theMemorandum shall become a Full Member on the basis that anymembership fees paid to the SCCA (whether before or after the date ofsuch deposit) shall be deemed to be Membership Fees paid to theCompany.

6.4 Every member of a Member Organisation who, by 30 June 2007 or suchlater date as may be specified by the Board, deposits at the registeredoffice of the Company a written undertaking pursuant to Clause 7 of theMemorandum shall become a Club Member.

6.5 Member Organisations shall submit a current list of their members to theSecretary as he may from time to time require.

7 A Member shall cease to be a Member:

(a) if the Member resigns by giving notice to the Company; or

(b) for an Individual Member, upon his death; or

(c) for a Member Organisation, upon its dissolution; or

(d) if any Membership Fee due to the Company remains outstandingfor more than three months unless the Board otherwise determines;or

(e) for a Club Member, if the relevant Member Organisation ceases tohold that status, unless the Member is also an Full Member or amember of another Member Organisation at the time of suchcessation; or

(f) if the Member is removed from membership by the Board inaccordance with Article 34.

MEMBERSHIP FEES

8.1 Membership Fees for Member Organisations and Full Members shall bedetermined annually at the Annual Finance Meeting, except for LifeMembers, Honorary Life Vice-Presidents and Honorary Life Memberswho shall pay no Membership Fee.

8.2 No Membership Fees shall be payable by the Directors in that capacity,but they shall not be entitled to be elected, re-elected, appointed or re-appointed unless they are Individual Members at the time of suchelection or appointment.

GENERAL MEETINGS

9.1 Subject to the provisions of any elective resolution of the Company forthe time being in force and to Article 10.1 below, the Company shall:(a) in June of each year hold a General Meeting as its Annual General

Meeting; and(b) in August of each year hold a General Meeting as its Annual

Finance Meeting and its Annual League Composition Meeting;in addition to any other meetings in that year, and shall specify themeetings as such in the notices calling them.

9.2 General Meetings shall be held at such time and place as the Board shallappoint. All General Meetings other than Annual General Meetings,Annual Finance Meetings and Annual League Composition Meetingsshall be called Extraordinary General Meetings.

10.1 Annual Finance Meetings and Annual League Composition Meetingsshall not be held before the Company has acquired the undertaking of theSCCA.

10.2 In the year in which the Company acquires the undertaking of the SCCA,the decisions of the immediately preceding SCCA August CouncilMeeting as regards finance and league composition shall respectively bedeemed to have been taken by an Annual Finance Meeting and an AnnualLeague Composition Meeting held on that date. A team accepted into theSCCA's club competitions at that meeting shall remain eligible toparticipate after the transfer notwithstanding that the club concerned maynot yet have become a Member Organisation under Article 6.

11 At the Annual General Meeting, in addition to the usual business ofsame, the following business shall be transacted:

(a) The election of Directors who shall, unless the meeting resolvesotherwise, hold office until the end of the Annual General Meetingnext following; and

(b) The appointment of an Independent Examiner;

(c) Such other matters which are:

(i) proposed by or on behalf of the Board; or

(ii) proposed otherwise, in which case notice in writing must begiven to the Secretary by a Director or by two MemberOrganisations to arrive not later than 30 days before theAnnual General Meeting.

12 At the Annual Finance Meeting the following business shall betransacted:

(a) Presentation on behalf of the Board of the Company’s budget forthe year commenced on 1 May; and

(b) Determination of Membership Fees.

13 At the Annual League Composition Meeting the following business shallbe transacted:

(a) Acceptance of entries into the Company’s Club Competitions forthe following season; and

(b) Allocation of teams into the various divisions of the Main League.

14 An Extraordinary General Meeting may be convened by the Board as itthinks fit, and an Extraordinary General Meeting shall also be convenedon requisition by, or in default may be convened by, such RepresentativeMembers entitled to a vote as are required by Section 368(2) of the Act.If for a period of not less than 28 days there are not within the UnitedKingdom sufficient Directors capable of acting to form a quorum, anyDirector or any two Member Organisations may convene anExtraordinary General Meeting in the same manner as nearly as possibleas that in which meetings may be convened by the Board.

NOTICE OF GENERAL MEETINGS

15.1 Subject to Article 15.2 below, an Annual General Meeting and a generalmeeting called for the passing of one or more special resolutions shall becalled by twenty one clear days’ notice in writing at the least, and anyother general meeting shall be called by fourteen clear days' notice inwriting at the least. The notice shall be exclusive of the day on which itis served or deemed to be served and of the day for which it is given, andshall specify the place, the day and the hour of meeting and, in the case ofspecial business, the general nature of that business and shall be given inmanner hereinafter mentioned or in such other manner, if any, as may beprescribed by the Company in General Meeting, to such persons as areunder the Articles of the Company, entitled to receive such notices fromthe Company.

15.2 Notwithstanding that it is called by shorter notice than that specifiedArticle 15.1 above, a general meeting shall be deemed to have been dulycalled if it is so agreed:

(a) in the case of a meeting called as the Annual General Meeting, byall the Members entitled to attend and vote thereat; or

(b) in the case of any other meeting, by a majority in number ofMembers having a right to attend and vote at the meeting, being amajority together representing (subject to the provisions of anyelective resolution of the Company for the time being in force) notless than ninety five per cent of the total voting rights at thatmeeting of all the Members entitled to attend and vote thereat.

16 The accidental omission to give notice of a meeting to, or the non receipt

of notice of a meeting by, any person entitled to receive notice shall notinvalidate the proceedings at that meeting.

17 The Secretary shall publish a register of voting entitlement for eachgeneral meeting which shall be sent out with the notice of the meeting.

PROCEEDINGS AT GENERAL MEETINGS

18 No business shall be transacted at any General Meeting unless a quorumof Members is present. Save as herein otherwise provided, any twelveRepresentative Members entitled to a vote present in person or by proxy,provided that they include members of at least three MemberOrganisations, shall be a quorum. If within half an hour from the timeappointed for the meeting a quorum is not present or if during a meetingsuch a quorum ceases to be present, the meeting, if convened upon therequisition of Members, shall be dissolved; in any other case it shallstand adjourned to such other day and at such other time and place as theBoard may determine.

19 The President, or failing him the Deputy President, shall preside aschairman at every General Meeting of the Company, or if he shall not bepresent within fifteen minutes after the time appointed for the holding ofthe meeting or is unwilling to act, those Representative Members presentin person or by proxy shall elect the chairman of the meeting.

20 The chairman may, with the consent of any meeting at which a quorum ispresent (and shall if so directed by the meeting), adjourn the meetingfrom time to time and from place to place, but no business shall betransacted at any adjourned meeting other than the business leftunfinished at the meeting from which the adjournment took place. Whena meeting is adjourned for thirty days or more, notice of the adjournedmeeting shall be given as in the case of an original meeting. Save asaforesaid, it shall not be necessary to give any notice of an adjournmentor of the business to be transacted at an adjourned meeting.

21 At any General Meeting a resolution put to the vote of the meeting shallbe decided on a show of hands unless a poll is (before or on thedeclaration of the result of the show of hands) demanded:-

(a) by the chairman; or

(b) by twelve Representative Members present in person or by proxy.

Unless a poll be so demanded, a declaration by the chairman that aresolution has on a show of hands been carried or lost, unanimously, orby a particular majority, together with an entry to that effect in the bookcontaining the minutes of proceedings of the Company, shall beconclusive evidence of the fact, without proof of the number orproportion of the votes recorded in favour of or against such resolution.

The demand for a poll may be withdrawn.

22 If a poll is duly demanded, it shall be taken in such manner as thechairman directs, and the result of the poll shall be deemed to be theresolution of the meeting at which the poll was demanded.

23 A poll demanded on the election of a chairman, or on a question ofadjournment, shall be taken forthwith. A poll demanded on any otherquestion shall be taken at such time as the chairman of the meetingdirects, and any business other than that upon which a poll has beendemanded may be proceeded with pending the taking of the poll. Voteson a poll shall be counted by tellers appointed by the meeting who maythemselves vote if so entitled. Tellers shall, unless directed otherwise bythe chairman, keep confidential the details of all votes cast except for thetotals thereof and shall at the end of the meeting deliver any ballot papersto the Secretary.

24 In the case of an equality of votes whether on a show of hands or on apoll the chairman shall be entitled to a casting vote in addition to anyother vote he may have.

VOTES OF MEMBERS

25 Only Representative Members may vote at General Meetings. EachRepresentative Member present in person or by proxy so entitled shall beentitled to one vote.

26 No Representative Member shall be entitled to vote at any GeneralMeeting unless all Membership Fees presently payable to the Companyby his nominating Member Organisation have been paid by the date onwhich the Secretary shall publish a register of voting entitlement for thatGeneral Meeting.

27.1 A Representative Member shall be entitled to appoint another member ofhis nominating Member Organisation as proxy to attend and vote insteadof him, but such appointee may act as proxy for only one RepresentativeMember at any meeting, including an adjournment thereof. A proxy shallbe valid only if the appointee is himself a Club Member at thecommencement of the meeting.

27.2 On a poll votes may be given either personally or by proxy.

28.1 The instrument appointing a proxy shall be in writing and signed by theappointor. Electronic communications shall not be valid for this purpose.

28.2 The instrument appointing a proxy shall be delivered at the meeting tothe Chairman of the meeting and an appointment of proxy which is not sodelivered shall be invalid.

28.3 An instrument appointing a proxy shall be in the following form or aform as near thereto as circumstances admit:-

29 The instrument appointing a proxy shall be deemed to confirm authorityto demand or join in demanding a poll.

30 A vote given in accordance with the terms of an instrument of proxy shallbe valid notwithstanding the previous death or insanity of the principal orrevocation of the proxy or of the authority under which the proxy wasexecuted, provided that no intimation in writing of such death, insanity orrevocation as aforesaid shall have been received by the Company at itsregistered office before the commencement of the meeting or adjournedmeeting at which the proxy is used.

THE BOARD OF DIRECTORS

31.1 Unless otherwise determined by ordinary resolution the number ofDirectors shall be subject to a maximum of seven persons but shall not beless than three. Subject to the provisions of Articles 8.2, 37, 40, 41 and42, all Directors shall be elected at an Annual General Meeting and shallhold office until the following Annual General Meeting.

31.2 The Directors shall be:

(a) The President

(b) The Deputy President

(c) The Treasurer

(d) The Administrative Director

(e) The Interclub Tournaments Director

(f) Two non-executive directors

31.3 No Director shall serve on the Board in more than one capacity. Noperson shall be capable of being appointed a Director unless at the timeof his appointment he has attained the age of 18.

BORROWING POWERS

32 The Board may exercise all the powers of the Company to borrowmoney, and to mortgage or charge its undertaking and its property, or anypart thereof, and to issue debentures, debenture stock and othersecurities, whether outright or as security for any debt, liability orobligation of the Company or of any third party subject to such consentsas may be required by law.

POWERS AND DUTIES OF THE BOARD

33 The Company shall be managed by the Board, which may pay allexpenses incurred in promoting and registering the Company, and mayexercise all such powers of the Company as are not, by the Act or bythese Articles, required to be exercised by the Company in GeneralMeeting, subject nevertheless to the provisions of the Act, these Articlesand to such Bye Law, being not inconsistent with the aforesaidprovisions, as may be prescribed by the Company in General Meeting;but no Bye Law made by the Company in General Meeting shallinvalidate any prior act of the Board which would have been valid if thatBye Law had not been made.

34.1 Any Member may be removed from membership in accordance with thisArticle but by no other method.

34.2 A Member may be removed if, in the opinion of the Board, he has actedor has threatened to act in a manner which is substantially contrary to theinterests of the Company as a whole or if his conduct (whether as aMember or otherwise) is likely to bring the Company, or any or all of itsDirectors or Members into disrepute.

34.3 If at a meeting of the Board a resolution is passed to remove a Member,the Board must serve a notice on the Member stating that the Board hasresolved to invoke the provisions of these rules and giving a statement ofthe reasons for the Board's decision.

34.4 The notice to the Member must also give the member the opportunity tomake representations to the Board in writing or in person as to why heshould not be removed as a Member. The Board must consider anyrepresentations made by the Member and, if the representations are notmade by the Member at a Board meeting, the Board must consider therepresentations at the next Board meeting.

34.5 After the Board meeting at which the representations are considered, theBoard must serve a notice on the Member informing him of the decision.If the decision is to remove the Member, this must be reflected in theregister of Members as soon as reasonably practicable.

34.6 There will be no right of appeal from a decision of the Board to remove aMember. After the removal of the Member has been noted in the registerof members he will have no right to attend and vote at general meetingsof the Company and he will cease to be entitled to any other benefits ofmembership. He will not be entitled to a refund of any Membership Feepaid by him for his membership of the Company.

34.7 The Board's proceedings and the statement of reasons for removal will beconfidential and the Board must make no statement to the other Membersconcerning the Member's removal unless the Member himself chooses tomake public the issue of his removal, or to make it a matter of interest tothe Members as a whole.

35 All cheques, promissory notes, drafts, bills of exchange and othernegotiable instruments, and all receipts for moneys paid to the Company,shall be signed drawn, accepted, endorsed or otherwise executed, as thecase may be, in such manner as the Board shall from time to time byresolution determine.

36 The Board shall cause minutes to be made in books provided for thepurpose:

(a) of all appointments of officers of the Company made or ratified bythe Board;

(b) of the names of the Directors and others present at each meeting ofthe Board and of any committee of the Board;

(c) of all resolutions and proceedings at all meetings of the Company,and of the Board and of committees of the Board.

37 A Director shall cease to be a Director:-

(a) if he resigns his directorship by giving notice to the Company;or

(b) if he dies, becomes bankrupt, becomes mentally incapable ofmanaging his own affairs, or is convicted of an indictableoffence for which he is sentenced to a term of imprisonment; or

(c) if he is removed by a simple majority of the RepresentativeMembers following the procedure laid down in Section 303 ofthe Act; or

(d) if he is disqualified under the Company DirectorsDisqualification Act 1986 or otherwise.

38 Provided he has declared his interest in accordance with Section 317 ofthe Act, a Director shall be entitled to vote in respect of any contract inwhich he is interested or any matter arising therefrom.

39 The Company may from time to time by ordinary resolution increase orreduce the number of Directors.

40 The Board shall have power at any time to appoint any person to be aDirector, either to fill a casual vacancy or as an addition to the existingDirectors, but so that the total number of Directors shall not at any timeexceed any maximum number fixed in accordance with these Articles.Any Director so appointed shall hold office only until the next followingAnnual General Meeting, and shall then be eligible for re-election. TheBoard shall also have power at any time to fill a casual vacancy arising inrespect of the Independent Examiner to hold office only until the nextfollowing Annual General Meeting.

41 The Company may by ordinary resolution, of which special notice hasbeen given in accordance with Section 379 of the Act, remove any

Director before the expiration of his period of office, notwithstandinganything in these Articles or in any agreement between the Company andsuch Director.

42 The Company may by ordinary resolution appoint another person inplace of a Director removed from office under Article 41. Withoutprejudice to the powers of the Board under Article 40, the Company inGeneral Meeting may appoint any person to be a Director either to fill acasual vacancy or as an additional Director.

PROCEEDINGS OF THE BOARD

43 The Board may meet (including meetings conducted by telephone andvideo conference) and may despatch business, adjourn, and otherwiseregulate their meetings, as it thinks fit. Questions arising at any meetingshall be decided by a majority of votes. In the case of an equality ofvotes the chairman shall have a second or casting vote. A minimum oftwo Directors may at any time, and the Secretary on the requisition of aminimum of two Directors shall, summon a meeting of the Board. Itshall not be necessary to give notice of a meeting of the Board to anyDirector for the time being absent from the United Kingdom.

44 The quorum necessary for the transaction of the business of the Boardshall be one half of its members. If during a meeting such a quorumceases to be present the meeting shall stand adjourned to such time andplace as the Directors shall determine.

45 The continuing Directors may act notwithstanding any vacancy in theirbody, but, if and so long as their number is reduced below the numberspecified by Article 31.1 as the minimum number of Directors, thecontinuing Director or Directors may act for the purpose of increasingthe number of Directors to that number, or of summoning a GeneralMeeting of the company, but for no other purpose.

46 The President, or failing him the Deputy President, shall preside aschairman of the Board but if at any meeting he is not present within fiveminutes after the time appointed for holding the same, the Directorspresent may choose one of their number to be chairman of the meeting.

47 The Board may delegate any of its powers to committees consisting ofone or more members of their body as it thinks fit, with power also toappoint non Board members. Any committee so formed shall in theexercise of the powers so delegated conform to any regulations that maybe imposed on it by the Board and shall report all acts and proceedings tothe Board as soon as reasonably practicable. The Board may overrule adecision of such committee, and may at any time dissolve suchcommittee, or remove or replace any of its members, provided that thecommittee includes at least one Board member at all times.

48 A committee may elect a chairman of its meetings; if no such chairman iselected, or if at any meeting the chairman is not present within five

minutes after the time appointed for holding the same, the memberspresent may choose one of their number to be chairman of the meeting.

49 A committee may meet and adjourn as it thinks proper. Questions arisingat any meeting shall be determined by a majority of votes of the membersof the committee present, and in the case of an equality of votes thechairman of the committee shall have a second or casting vote.

50 All acts done by any meeting of the Board or of a committee of theBoard, or by any person acting as a Director or member of a committeeof the Board, shall notwithstanding that it be afterwards discovered thatthere was some defect in the appointment of any such Director ormember of a committee of the Board, or that they or any of them weredisqualified, be as valid as if every such person had been duly appointedand was qualified to be a Director or member of a committee of theBoard.

51 A resolution in writing, signed by all the Directors for the time beingentitled to receive notice of a meeting of the Board, shall be valid as if ithad been passed at a meeting of the Board duly convened and held.

SECRETARY

52 Subject to Section 13(5) of the Act, the Secretary shall be appointed bythe Board for such term at such remuneration and upon such conditionsas the Board may think fit; and any Secretary so appointed may beremoved by it.

53 A provision of the Act or these Articles requiring or authorising a thingto be done by a Director and the Secretary shall not be satisfied by itsbeing done by or to the same person acting both as a Director and as, orin place of the Secretary.

THE SEAL

54 If the Company has a seal the Board shall provide for its safe custody andit shall only be used by the authority of the Board or of a committee ofthe Board authorised by the Board in that behalf, and every instrument towhich the seal shall be affixed shall be signed by a Director and shall becountersigned by the Secretary or by a second Director or by some otherperson appointed by the Board for the purpose.

ACCOUNTS

55 The Board shall cause accounting records to be kept in accordance withthe provisions of the Act.

56 The accounting records shall be kept at the registered office of theCompany or, subject to the provisions of the Act, at such other place orplaces as the Board thinks fit, and shall at all reasonable times be open tothe inspection of the Directors.

57 The Board shall from time to time determine whether and to what extentand at what times and places and under what conditions or regulationsthe accounts and books of the Company or any of them shall be open tothe inspection of Members not being Directors, and no Member (notbeing a Director) shall have any right of inspecting any account or bookor document of the Company except as conferred by statute or authorisedby the Board or by the Company in General Meeting.

58 Subject to the provisions of any elective resolution of the Company forthe time being in force, the Board shall from time to time in accordancewith the provisions of the Act, cause to be prepared and to be laid beforethe Company in General Meeting such profit and loss accounts, balancesheets, group accounts (if any) and reports as are referred to in thoseprovisions.

59 Subject to the provisions of any elective resolution of the Company forthe time being in force, a copy of every balance sheet (including everydocument required by law to be annexed thereto) which is to be laidbefore the Company in General Meeting, together with a copy of theIndependent Examiner’s report, and Board's report, shall not less thantwenty one days before the date of the meeting be sent to every Memberof the Company and any other person entitled to receive notice ofGeneral Meetings of the Company. The accounting information to begiven to the Members pursuant to this Article may be given usingelectronic communication to an address for the time being notified forthat purpose by the person entitled to the information.

NOTICES

60 Any notice to be given to or by any person pursuant to these Articles(other than a notice calling a meeting of the Directors) shall be in writingor shall be given using electronic communication to an address for thetime being notified for that purpose to the person giving the notice.

61 Notice of every General Meeting shall be given in any mannerhereinbefore authorised to:-

(a) each Representative Member and each Full Member, exceptthose Members who have not supplied to the Company anaddress within the United Kingdom for the giving of notices tothem;

(b) the secretary of each Member Organisation.

No other person shall be entitled to receive notices of General Meetings.

DISSOLUTION

62 Clause 8 of the Memorandum of Association relating to the winding upand dissolution of the Company shall have effect as if the provisionsthereof were repeated in these Articles.

BYE LAWS

63.1 The Company in General Meeting may from time to time make, add to,alter and repeal such Bye Laws as it may deem necessary or expedient orconvenient for the proper conduct and management of the Company.

63.2 The Company shall adopt such means as it deems sufficient to bring tothe notice of Members of the Company all such Bye Laws which so longas they shall be in force, shall be binding on all Members of theCompany, provided nevertheless, that no Bye Law shall be inconsistentwith, or shall affect or repeal anything contained in, the Memorandum orArticles of Association of the Company.

63.3 Changes to Bye Laws governing the Company’s competitions shall notbe effective as regards a competition already in progress. For thispurpose, the Company’s Club Competitions are deemed to havecommenced at the conclusion of the preceding Annual LeagueComposition Meeting.

INDEMNITY

64.1 Every Director or other officer or Independent Examiner of the Companyshall be indemnified out of the assets of the Company against all losses orliabilities which he may sustain or incur in or about the execution of theduties of his office or otherwise in relation thereto, including any liabilityincurred by him in defending any proceedings, whether civil or criminal,in which judgment is given in his favour or in which he is acquitted or inconnection with any application under Section 727 of the Act in whichrelief is granted to him by the Court, and no Director or other officershall be liable for any loss, damage or misfortune which may happen toor be incurred by the Company in the execution of the duties of his officeor in relation thereto, but this Article shall only have effect in so far as itsprovisions are not avoided by Section 310 of the Act.

64.2 The Directors shall have power to purchase and maintain for anyDirector, officer or Independent Examiner of the company insuranceagainst any such liability as is referred to in Section 310(1) of the Act.

In these Bye Laws:

· “Articles” shall mean the Articles of Association of theCompany, and the term “Article” shall be construedaccordingly except where the context otherwise requires;

· the expressions defined in the Articles shall have themeanings therein ascribed to them;

· “Laws of Chess” shall mean the FIDE Laws of Chesscurrently in force;

· “Club Competition” shall have the meaning given in ByeLaw 3.1.1; and

· “Club” shall mean a Member Organisation accepted intoone of the Company’s Club Competitions pursuant to ByeLaw 3.1.2.

BYE LAWS

WHEREAS Article 63 gives power to the Company in GeneralMeeting to make Bye Laws, the following were made at anExtraordinary General Meeting of the Company held on 20 April 2007[and amended at the Annual General Meetings of the Company heldon 16 June 2007 and 22 June 2008]1.

GENERAL BYE LAWS

1.1 Fees for Member Organisations

The Treasurer shall by 31 October issue to each MemberOrganisation an invoice in respect of its Membership Fees forthe current financial year. Payment received by 30 Novembershall entitle such Member Organisation to a discount of 5%,but payment received after 31 January shall incur a 10%surcharge.

1.2 Smoking

Smoking shall not be permitted at any event organised bythe Company, including General Meetings, Board meetings,Committee meetings and home county matches.

BYE LAWS APPLICABLE TO ALL COMPETITIONS

2.1 Controllers

2.1.1 The Interclub Tournaments Director shall be the controllerfor Club Competitions. The Board shall appointControllers for other competitions as required. All chess-related matters and disputes arising in any of theCompany’s competitions shall be dealt with by the relevantController.

2.1.2 The Controller of a competition may in the course of hisduties under Bye Law 2.1.1 above impose administrativepenalties in respect thereof, including loss of the game, lossof match or game points and exclusion from thecompetition. Where such penalties are imposed, theController may also adjust the score of the opposing side ifappropriate.

2.1.3 Without prejudice to any action taken under Bye Law 2.1.2above, the Controller of a competition may also report aMember or other participant to the Board for misconduct inrelation thereto.

2.2 Laws of Chess

The whole of play in these competitions shall be governedby the Laws of Chess, as amended by these Bye Laws. InClub Competitions a copy of the Laws of Chess, togetherwith a copy of these Bye Laws, shall be made available bythe home team for consultation if required.

2.3 Play

Except where otherwise provided in these Bye Laws, allgames shall be played over the board and only one gamemay be played by any player in any one match. Where

digital clocks are offered, either player may insist on theuse of an analogue clock.

2.4 Points

Won games and matches in all competitions shall count onepoint, and drawn games and matches half a point.

2.5 Juniors

Juniors are defined as under 18 years of age on the previous1 September.

2.6 Gradings

The gradings to be used for the purpose of any competitionshall be those in the list in force at the commencement ofthat competition. Where an inactive player is not in thatlist, but was included in a list published within thepreceding four years, his grade shall be taken as the mostrecent published grade, reduced by 5 points for eachintervening year, unless in special circumstances therelevant Controller decides otherwise. All availableinformation will be used for a player without an ECF gradewho has been active elsewhere.

2.7 Playing strength

[In determining]1 which of two players is the stronger, aplayer whose grade (Standard or Rapidplay as appropriatefor the competition) exceeds that of another by more than10 points (20 if either player be a junior) shall be treated asthe stronger.

2.8 Mobile telephones

Notwithstanding Article 12.2b of the Laws of Chess, itshall be permitted to bring mobile phones into a playingvenue, provided that they be switched off or in silent mode,and that they be used or answered only outside the playingarea.

player whose mobile phone rings during play, or who uses a mobile phonein the playing area.

2.9 Appeals

2.9.1 Any appeal against a Controller's action (or refusal to act)under Bye Laws 2.1.1 and 2.1.2 above shall be referred tothe Chess Disputes Committee, which shall be convened asrequired by a Director nominated by the Board for thispurpose.

2.9.2 The appeal shall be heard by a panel comprising at leastfive members of the Chess Disputes Committee appointedby the nominated Director, to include as far as possible atleast two qualified arbiters and three experienced players.No person involved in a particular appeal, nor any memberof a Club so involved, may sit on the panel.

2.9.3 The chairman of the panel shall notify in writing asappropriate the Controller and other interested parties of anappeal. The chairman of the panel shall arrange a meetingof the panel to discuss the matter within six weeks. Allinterested parties shall be given two weeks’ written noticeof the meeting, and shall be entitled to attend to giveevidence. The panel may request written evidence fromany individual or Club, and may invite them to appear inperson.

2.9.4 The panel may confirm or vary the ruling of the Controller,but no administrative penalty imposed by the panel shallexceed those available to the Controller under Bye Law2.1.2 above.

2.9.5 All parties shall be notified in writing of the decisionwithin seven days of the meeting.

BYE LAWS APPLICABLE TO CLUB COMPETITIONS

3.1 Tournaments

3.1.1 Club Competitions shall comprise:(a) Alexander Cup and Lauder Trophy;(b) Surrey Trophy (division I), Beaumont Cup (division

II), Ellam Trophy (division III), Centenary Trophy(division IV) and Minor Trophy (division V)(collectively known as “the Main League”)

(c) Stoneleigh Trophy and Ellery Williams MemorialTrophy

3.1.2 Applications to play in any of the Club Competitions maybe made by any Member Organisation. For the MainLeague, such applications shall be made to the Controllerby the preceding Annual General Meeting for considerationat the Annual League Composition Meeting preceding theseason. For all other competitions, such applications shallbe made to the Controller before these events areconsidered at a fixtures meeting to be held in Septemberpreceding the season. The relevant meeting shall have thepower to accept or reject any application, and in the case ofthe Main League, to decide in which division each teamshall play: however, normally, the top two teams indivisions II-V will be promoted to the next higher division,and the bottom two teams in divisions I-IV will berelegated to the next lower division. Any division of theMain League may be organised into sections if the AnnualLeague Composition Meeting so decides.

3.1.3 The Club represented by the winner of the top divisionshall be the Champion Club of Surrey. The winners ofeach division shall hold the appropriate trophy for thefollowing season.

3.2 Eligibility

3.2.1 A Club may be represented in Club Competitions only by

its members A player who represents a Club in a ClubCompetition may also represent another Club in a differentdivision in the same competition. Where a player elects toplay for two Clubs, both must notify the Controller beforethe first match played by either.

3.2.2 Any Club entering two or more teams in [divisions I – IVof]2 the Main League shall, before playing its first match,submit to the Controller a list of nominated players for each[such]2 team other than the lowest.

The number of players to be nominated for a team shall beone fewer than the number of players specified in Bye Law3.3.1 below for that team. A Club may include among itsnominated players only those members who will beavailable to play for the Club during the season. Playersnominated for a team and any stronger players shall beineligible to play for any lower team. Subject to this, aplayer may play in any team. [Any nominated players whohave failed to appear in a league match by 31 Decembershall be replaced by eligible players who have alreadyplayed league matches during the season. This procedureshall continue until the Club has nominated sufficientplayers. If a nominated player is transferred in this way toa higher team, the resulting gap in nominations must befilled with another eligible player. Also at 31 December, ifa new member has joined a Club after nominations weresubmitted, and has already played, this new member maybe nominated for the appropriate team, and othernominations amended accordingly. Any games alreadyplayed by such players will remain valid. Any changes innominations must be approved by the Controller.]1

3.2.3 Only players graded under 125 and eligible ungradedplayers shall be permitted to play in the Minor Trophy.[No player may play for more than one team in the MinorTrophy.]1

players may play in the Fred Manning Trophy. No playermay play for more than one team in the Fred ManningTrophy.]1

An eligible ungraded player shall be one who can be shownto be currently playing within the stipulated grade or forwhom prior consent has been obtained from the Controller.

3.2.4 In Club Competitions team members shall play indescending order of playing strength. A stronger playerplaying on a lower board than a weaker player (see ByeLaw 2.7) shall be ineligible, but this shall not apply inrespect of bona fide substitutes added to the team after thecommencement of play.

3.2.5 If an ineligible player plays in any match against an eligibleopponent, the game shall be recorded as a loss for theineligible player and a win for the opponent, and one pointshall also be deducted from the score of the team whichincluded the ineligible player. If two ineligible players playeach other, the game shall be recorded as a loss for bothplayers and each team shall also have one game pointdeducted from its score in that match. However,deductions under this paragraph shall not reduce a team’sscore in a match to below zero.

3.3 Team Members

3.3.1 Numbers of Boards

The number of players in each match shall be: ten in the Alexander Cup eight in divisions I and II of the Main League; seven in division III of the Main League; six in the Lauder Trophy and divisions IV and V of theMain League; and four in the [Fred Manning Trophy,]1 Stoneleigh andEllery Williams Memorial Trophies.

If a team is short of the required number of players for amatch, the default(s) shall be on the bottom board(s).

3.3.2 Penalty Points

In the Main League only, defaults on boards other than thebottom board(s) shall score penalty points in the same ratioas board count, i.e. 2 points for the penultimate board, 3points for the next higher board and so on. For eachcomplete 10 penalty points a team will be penalised a halfmatch point at the end of the season. If a player named onthe team sheet arrives later than 30 minutes after the start ofthe match, without previously having been substituted,penalty points shall not be applied. Double defaults willnot attract penalty points.

3.4 Arrangement of Matches

3.4.1 Each team in the Main League and the Stoneleigh andEllery Williams Memorial Trophies shall play one or twomatches (as decided by the Meeting at which entries areaccepted) with every other team in the same competition orplaying in the same division or preliminary section. Thesematches for each team in each section or division shall beplayed between 1 October and 30 April, and shall bedistributed approximately evenly over the period. In thecase of a competition played in sections, the sectionwinners shall play off as may be directed by the Controller.

3.4.2 Competing Clubs shall agree the place, date and time foreach match, and shall give such particulars to the Controllernot later than seven days after the September fixturesmeeting held for this purpose. If a Club is not representedat the September fixtures meeting, any of its matches notalready arranged shall be played as directed by theController.

3.4.3 A match may be rearranged by agreement between the twomatch captains. The new arrangements must be notified tothe Controller by 14 days from the original date or 7 daysfrom the rearrangement, whichever is the earlier. Failure tomeet this deadline shall render the offending Club liable toa fine as determined by the Annual Finance Meeting from

time to time.

3.4.4 A match may be postponed without the agreement of theopposing match captain only because of disruption topublic transport (due to strikes, etc.) or bad weather (fog,snow, etc.). Match captains should report immediately tothe Controller if a match is postponed for such reasons, andthey should rearrange the fixture as quickly as possible.

Note The amount of a fine under Bye Law 3.4.3 is currently £3.00.

3.5 Starting a Match

3.5.1 At or before the agreed time (which shall not be later than7.40 pm [in the Main League, [the Fred Manning Trophy,the Alexander Cup and the Lauder Trophy]2, and 8.00pm inthe Stoneleigh and Ellery Williams Memorial Trophies]1,but may be earlier by mutual consent), the match captainsshall exchange lists of players and shall draw for colour,the winner taking white on the odd-numbered boards andblack on the even-numbered. If a team captain or hisdeputy is not present at the agreed time, then the opposingteam captain shall be deemed to have won the toss.

3.5.2 All clocks shall be started at the agreed time. In the eventof any delay by the home team in starting a match, the timelost shall be borne on the home team's clocks.

3.5.3 After 30 minutes from the time agreed for the start of amatch, a team shall score a win for each player whoseproper opponent is still absent, unless another player haspreviously been substituted.

3.6 Time Limits and Unfinished Games

All games must be played to a finish or for at least 2 hours40 minutes. Clocks must be used. The time limits shall be:

(a) In the Main League and the Lauder Trophy - one of thefollowing: where an unfinished game is to be adjudicated at

the end of the first session: 35 moves in the first 1¼

hours, followed by 7 moves in each subsequent ¼hour;

where an unfinished game is to be adjourned to asecond session: 35 moves in the first 1¼ hours,followed by 28 moves in the next hour, then 7moves in each subsequent ¼ hour;

where a quickplay finish is adopted: 30 moves inthe first hour, then all the remaining moves in 20minutes, or such longer time as is available in theagreed playing session. Alternatively, where digitalclocks are being used, players may, by mutualagreement, start with 1¼ hours for all moves withthe addition of 10 seconds per move.

Games played after 1 May in a season shall bequickplay finish only. For other games, clocks shallbe set for the time limit applicable to adjudication,unless and until an alternative finish is adopted. Thevisiting player shall offer before his first move at leasttwo alternatives of game finish method fromadjudication, adjournment or quickplay. The homeplayer shall before his next move select from thoseoffered.

A visiting player failing to make an appropriate offershall be deemed to have offered all three methods.Should the home player fail to select a game finishmethod, the visiting player may do so. If neitherplayer specifies a game finish method, the game shallbe subject to adjudication. If a player’s opponent isnot present at the relevant time, the offer or selectionmay be made in writing. Players shall inform theirrespective match captains of the game finish methodduring the playing session.

In games to be adjourned if unfinished, when time iscalled, the player having the move shall seal his moveand hand it to his opponent to hold until the

resumption. Except in the case of a blind or disabledplayer whose opponent has not offered adjudication,the visiting player has choice of venue.

The second session of an adjourned game shall beplayed within 28 days. Any player who fails to arriveat the venue of the second session within 30 minutesof the time agreed for play to commence shall lose thegame. The second session must be played to a finishor for at least two and a half hours. After the secondsession unfinished games shall be adjudicated.

(b) In the Stoneleigh Trophy - all moves in ½ hour.

(c) In the Ellery Williams Memorial Trophy - all moves in1 hour.

(d) In the Alexander Cup - 30 moves in the first hour, thenall the remaining moves in 20 minutes, or such longertime as is available in the agreed playing session.

[(e) In the Fred Manning Trophy – all moves in 65minutes.]1

3.7 Results and Adjudications

3.7.1 The full score of the match, marking those games whichhave been adjourned to a second session and, in default ofan agreed result, the position of all other games unfinishedwhen time is called, shall be sent by both Clubs to reach theController within 14 days of the match. For gamesadjourned to a second session, results and any positions foradjudication shall be submitted to the Controller within 14days of that second session. Each Club shall make a claim(win or draw) in respect of each position sent foradjudication. A player or Club may submit brief analysis.For each position, the Club the claim of which is not upheldshall pay an adjudication fee, as determined by GeneralMeeting from time to time. Failure to meet these deadlinesshall render the offending Club liable to a fine asdetermined by the Annual Finance Meeting from time to

time. Claims for a draw in a game with a quickplay finishmay be made following the same procedure as foradjudicated games (except that a completed gamescoresheet must be submitted when the claim is based onthe opponent’s lack of progress).

3.7.2 Any team in the Main League which submits more thanfive unsuccessful adjudication claims in a season shall paya surcharge fee, as determined by The Annual FinanceMeeting from time to time in respect of each unsuccessfuladjudication claim after the fifth.

3.7.3 A Club may appeal against the adjudicator's decision onany position. An appeal must be sent to the Controllerwithin 21 days of the notification of the decision. It mustbe accompanied by five diagrams of the position in dispute,together with analysis claiming to refute the verdict of theadjudicator. One copy shall be sent to the originaladjudicator, who may uphold the appeal. Failing this, theoriginal adjudicator and the opposing Club shall be given14 days within which to submit analysis. The position,together with all analyses, will then be considered by fouradditional adjudicators nominated by the Controller, andthe majority decision shall be final. If the appeal is notupheld, the appellant Club shall pay an appeal fee, asdetermined by the Annual Finance Meeting from time totime.

Notes The amount of the adjudication fee is currently £7.50.The amount of the appeal fee is currently £15.00.The amount of a fine under this Bye Law is currently £3.00.

Appendix D of the 2005 FIDE Laws of Chess(Quickplay finishes where no arbiter is present in thevenue) reads:

Where games are played as in Article 10, a playermay claim a draw when he has less than two minutesleft on his clock and before his flag falls. Thisconcludes the game.

a. that his opponent cannot win by normal means,and/or

b. that his opponent has been making no effort towin by normal means.

In (a) the player must write down the final positionand his opponent verify it.

In (b) the player must write down the final positionand submit an up-to-date scoresheet. The opponentshall verify both the scoresheet and the final position.

The claim shall be referred to an arbiter whosedecision shall be the final one.

3.8 Alexander Cup and Lauder Trophy

3.8.1 The Alexander Cup and the Lauder Trophy shall be playedon the knockout principle. The rounds shall be played asdirected by the Controller. Unless otherwise agreed, thefirst session of each match other than the final shall beplayed at the headquarters of the Club drawn to play athome. The final shall be played at a venue agreed by thetwo finalists. If the finalists cannot agree, the Controllerwill determine the date and venue.

3.8.2 In the Lauder Trophy, [the sum of the grades of all theplayers in a team shall not exceed 720]1, and 14 daysinstead of 21 shall be allowed for an appeal against anadjudication in any round up to and including the semi-final. For ungraded players, eligibility shall be decided bythe Controller, to whom any doubts about eligibility shouldbe referred.

3.8.3 If in a match, the scores are level, a decision shall bereached by board count, and if there is still a tie, bycancelling the score from the bottom board upwards oneboard at a time until a definite result is obtained. If allgames are drawn, the team with black on the top board willbe declared the winner.

3.9.1 The finishing positions for each competition or division inthe Main League and the Stoneleigh and Ellery WilliamsMemorial Trophies which is not split into sections shall bedetermined by the number of match points and, if these areequal, by the number of game points. [Failing this, theresult of the direct match(es) between the tied teams shalldetermine which finishes higher. Where a further tie breakis required, board count and bottom board elimination (theaggregate where appropriate) shall apply.]1

3.9.2 For a competition or division which is split into sections,the section positions shall be determined as describedabove; the competition or division shall then be won by thewinners of the final match between the section winners (ifthat match is drawn then a decision shall be reached byboard count, and if there is still a tie, by cancelling thescore from the bottom board upwards one board at a timeuntil a definite result is obtained). If all games are drawn,the team with black on the top board will be declared thewinner.

3.10 Stoneleigh and Ellery Williams Memorial Trophies

3.10.1 No player may play for more than one team in a season ineither of these competitions, but this shall not prevent aplayer from playing in both competitions. Grades usedshall be Rapidplay grades for players with a category A-DRapidplay grade: otherwise, Standard grades shall be used.

3.10.2 In the Stoneleigh Trophy, the sum of the grades of all theplayers in a team shall not exceed [700]1, the grades ofungraded players and defaults being deemed to be the meanof the grades of the other players in the team for thispurpose. For each 25 points or part thereof by which thesum of a team’s grades is in excess of this limit, one halfgame point shall be deducted from that team’s match scoreand added to its opponent’s, up to a maximum of the gamepoints actually scored by the offending team in the match.There will be two games played for each board in a match,

the second game being played with colours reversed.Teams may make any number of substitutions for thesecond game in a match.

3.10.3 In the Ellery Williams Memorial Trophy, the player onboard 1 must not be graded above 140 and the other playersmust not be graded above 115. For ungraded players,eligibility shall be decided by the Controller, to whom anydoubts about eligibility should be referred.

4.5 Best game prizes

A prize will be offered annually to Members in each ofthe following, if games of sufficient merit are submitted:(a) County Matches;(b) County Correspondence Matches;(c) Club Competitions;(d) County Individual Competitions;(e) County Individual Postal Competitions; and(f) Surrey Congress.

The winner of the overall best game prize will receive theFrank Parr Memorial Prize.

The scores of games (not more than one from each playerin each section) must be sent in duplicate to theAdministrative Director, to arrive by 31 July.

[BYE LAWS AS TO ELECTIONS

5.1 This Bye Law regulates the election of the Directors.

5.2 All nominations must be received by the Secretary not later than 30days before the Annual General Meeting for a candidate to be eligiblefor election.

5.3 Each candidate must be either:

(a) a retiring Director seeking re-election to the same position; or(b) a nominee of the Board; or(c) a nominee of a Director; or(d) a nominee of two Members

5.4 The names of all candidates duly nominated not later than 30 daysbefore the Annual General Meeting shall appear on the Agenda,indicating the Directorship for which they are nominated and whereapplicable the name of their nominees.

5.5 Candidates complying with 5.4 above may supply to the Secretary anelection address not exceeding 500 words in length, which theCompany shall at its own expense without any amendment (save inrespect of material judged by the Secretary to be defamatory) circulatewith the Agenda.

5.6 The candidate receiving the greatest number of votes shall be declaredelected, unless votes for “none of the candidates” exceed that number,

in which case the Chairman shall declare that “this Directorshipremains vacant” and the matter shall be referred to the Boardpursuant to Article 40.

5.7 In the case of the election of Non-Executive Directors, the twocandidates receiving the greatest number of votes shall be declaredelected, unless votes for “none of the candidates” exceed the votesfor the highest placed candidate, in which case the Chairman shalldeclare that “both these Directorships remains vacant” and thematter shall be referred to the Board pursuant to Article 40.

5.8 If two or more candidates have the same number of votes, and suchnumber is not exceeded by the number of votes for “none of thecandidates”, then the Chairman of the meeting shall – and may notdecline to – exercise a casting vote.]1
