ADDENDUM TO THE NOTICE OF 12TH ANNUAL GENERAL MEETING

Pursuant to Rule 13 of the Companies (Appointment and Qualification of Directors) Rules, 2014 Notice is

hereby given that the Company has received a Notice u/s 160 of the Companies Act, 2013 in writing

from a Member signifying her intention to propose herself as a candidate for office of Director of the

Company in the ensuing Annual General Meeting of the Company scheduled to be held on Sunday, the

18th September 2016 at 11:00 A.M at the Registered Office of the Company at Sy No. 18/4,

Thalagattapura, Uttarahalli, Manavarthe Kaval, Uttarahalli, Bangalore South Taluk, Bangalore- 560109

Accordingly, the Company proposes to pass the following Resolution alongwith other items mentioned

in the Notice at the Annual General Meeting as part of the Special Business of the AGM, in the form of

an Ordinary Resolution as set out below :

SPECIAL BUSINESS:

ITEM NO 9 APPOINTMENT OF MS. PRATHIMA V SHETTY AS A DIRECTOR

To consider and, if though fit, to pass with or without modification, the following as an Ordinary

Resolution:

“RESOLVED THAT pursuant to provisions of Section 149, 152 and other applicable provisions of the

Companies Act, 2013, and the Rules made thereunder, Ms. Prathima V Shetty (DIN : 02568418), in

respect of whom the Company has received a notice in writing under Section 160 of the Companies Act,

2013, alongwith the deposit of Rs. 1,00,000/- (Rupees One Lakh only) signifying her intention to propose

herself, as a candidate for the office of Director of the Company, be and is hereby appointed as a

Director of the Company and whose office shall be liable to retire by rotation.”

a) A MEMBER ENTITLED TO ATTEND AND VOTE AT ENSUING ANNUAL GENERAL MEETING IS

ENTITLED TO APPOINT A PROXY TO ATTEND AND VOTE INSTEAD OF HIMSELF AND THE PROXY

NEED NOT BE A MEMBER OF THE COMPANY.

b) Proxies, in order to be effective, must be duly filled, stamped and signed and must reach the

Registered Office of the Company not later than 48 hours before the commencement of the

meeting.

c) In case of joint holders attending the Meeting, the Member whose name appears as the first

holder in the order of names as per the Register of Members of the Company will be entitled to

vote.

d) Members seeking any information with regard to the accounts are requested to write to the

Company at an early date, so as to enable the Management to keep the information ready at

the Meeting.

e) The addendum to the notice of the AGM is being sent by electronic mode to those Members

whose e-mail addresses are registered with the Company, unless any Member has requested for

a physical copy of the same. For Members who have not registered their e-mail addresses,

physical copies are being sent by the permitted mode.

EXPLANATORY STATEMENT PURSUANT TO SECTION 102(1) OF THE COMPANIES ACT, 2013

ORDINARY BUSINESS:

Item No. 2 RE-APPOINTMENT OF AHALYA H SHETTY, DIN: 06527192

Mrs. Ahalya H Shetty was appointed on the Board of the company as a non- executive director on 23rd

February 2013.

BRIEF PROFILE:

Ms Ahalya H Shetty has facilitated Soft Skills & Behavioral Training for the Corporate sector in the areas

of Personal Excellence, Leadership & Team Building, Behavior based Interviewing Skills, Time & Stress

Management for employees of companies such as Accenture, AOL, Siemens, Dell, Hewlett Packard,

Robert Bosch, Toyota, Arvind Group, Galvanon, Phillips, Infosys, Taj Hotel Group & Usha Armour Ltd.

She specializes in facilitating clients handle Stress related issues that affect Health & Work, and

Depression & Mood swings due to various psychological causes, Relationship & Life Coaching for Work -

Life balance & Family Counseling.

She is trained in Neuro - Linguistic Programming (NLP), Hypnotherapy, Transactional Analysis(TA),

Psychotherapy, Energy Healing Techniques like Reiki, Chakra Healing, Emotional Freedom Technique

(EFT), Meditation & Mantras to work on Thoughts to handle Emotions to maintain Emotional & Physical

wellbeing. She has undergone training in NLP & Hypnotherapy from various trainers & therapists from

the USA, U.K & Ireland.

She now practices Mind - Body Healing for overall well being across various age groups & also trains

Therapists, Counselors & Trainers in NLP & Hypnotherapy. She has been involved in working in these

areas for an overall period of fifteen years.

ITEM NO. 3 RE-APPOINTMENT OF DR. P.M. CHANDRASEKHARA, DIN 05273857

Dr. P. M. Chandrasekhara was appointed on the Board of the Company as a non-executive director on

27th July 2013.

BRIEF PROFILE:

Dr. P.M. Chandrasekahara started working as a lecturer in the Department of Anesthesiology at Victoria

hospital, Bangalore, after completing MBBS in December 1965 and was deputed to GSVM Medical

college, Kanpur to do post graduation in Anaesthesia. After successfully completion of the post graduate

course he was posted to K M C Hubli as an assistant professor and was promoted to the post of

Professor and posted at Bellary Medical College.

In the year 1979, he was deputed to UK to undergo specialized training in Cardiac Anesthesia at

Sheffield University and at the end of the training, he was posted to the newly inaugurated Sri Jayadeva

Institute of Cardiology [SJIC}, Bangalore, where he had to establish the department of cardiac anesthesia

from scratch and start conducting open heart surgeries on a daily basis. He retired in the year 1994

from the post of Medical Superintendent and Head of the Department of Cardiac Anesthesia. .

He started free lancing and was associated with several multi-specialty hospitals like Kempegouda

Institute of Medical Sciences, Bangalore Heart Hospital, Mallya Hospital, Yellamma Dasappa Hospital,

Bangalore Hospital, A V Hospital, Vydhehi Hospital, Dr. Rudrappa’s ENT clinic, Sagar Hospitals and Retina

Institute of Karnataka etc.

He was awarded Dr. B C Roy’s Doctor Days Lifetime Achievement Award, from Indian Association of

Cardiac Anaesthesia and also from Indian Institute of Cardiology and best teacher’s award from RGUHS.

Brief Profile:

Educational Qualifications:

She graduated in Home Science and Chemistry from the University of Mysore in 1963. She was a

member of the Mysore State Ball badminton team that won the National Championship.

Completed a 13-month course in Secretarial practice from YMCA, New Delhi.

Completed ACP (Associate Computer Professional) course from Lan Eseda, Bangalore.

Work Experience:

Functioned as an Office Manager in the office of a Real Estate Consultant, New Delhi.

Served in an organization promoting the direct sale of handicrafts and handloom made by rural artisans.

Is a Committee member of Mahila Dakshata Samithi, which supplies milk to the children of Anganwadi

School, runs a short-stay home for abused women, arranges training for women in different skills to

make them employable, offers scholarship to needy girl-students, among others.

Is a Committee member of SHOWS, a solid-waste-management initiative in RMVE 2nd Stage.

Present Occupation:

Homemaker and trader in the Stock Market, mainly in the Futures & Options segment.

The Company has received a notice dated 3rd September 2016 from Prathima V Shetty, member of the

company proposing her candidature as a Director of the Company, as per the provisions of section 160 of

Companies act, 2013 alongwith the requisite deposit of Rs. 1,00,000/-

Accordingly, as per the provisions of Rule 13 of the Companies (Appointment and Qualifications of

Directors), Rules 2014 the company is forwarding this information to all the shareholders for their

perusal.

Brief Profile:

With a Bachelor’s degree in Electronics Engineering from Bangalore University and Master’s degree in

Computer Engineering from University of California at Irvine, USA, she is a qualified engineer and a

certified project manager by profession and an HR professional by passion. After 25 years of corporate

experience in companies such as Microsoft, IBM and Cognizant, she is currently in the process of setting

up her own startup called EmpowerGenie, focusing on HR Consulting and Services. Her prior experience

has been in the areas of HR, Operations, Software Development & Support, and Customer Relationship

Management both in the US as well as in India.

She comes with strong operations, project management & leadership skills which have earned her the

reputation of being an efficient project manager and an effective people manager. In recognition of her

professional achievements, she has been conferred with multiple awards during her career. She was an

active member of the Indian Women’s Leadership Council of IBM India and was involved in the

development and advancement of women in IBM India.

No director, key managerial personnel or their relatives, except Ms. Prathima V Shetty, to whom the

resolution relates, is interested or concerned in the resolution.
