Validity of tender 180 Days
1. Technical bids will be opened in the presence of tender Committee members
whoever are present as well as a representative of Bidders who choose to attend
on the specified date and time. The tender committee has been empowered to take
the final decision regarding the tender. The Committee has been empowered to
evaluate the tender received from bidders and take the final decision.
2. In the event of the date specified for receipt and opening of bid being declared as a
holiday for iNDEXTb, the due date for submission of bid and opening of bid will be
the following working day at the specified time.
3. iNDEXTb reserves the right to accept or reject any or all tenders offer without
assigning any reason.

4. The selection procedure may call for a presentation after the preliminary scrutiny.
The agencies are required to come for technical presentation at their own cost on
short notice.
5. Do not send any Financial Proposal at this juncture.
6. Empanelled parties will have to follow IT policies, rules & regulations declared
from time to time by Govt. of Gujarat (GoG) / Govt. of India (GoI).
7. Consultants/Organisations are required to submit the details in the prescribed
format in chronological order. If any information sought in this RFQ is either
missing or not clearly specified, it will be presumed that the consultant is not in a
position to provide the information and the offer will be evaluated accordingly.
8. In case, during the evaluation process or later on, any documents submitted as
part of the proposal are on verification, found fake/wrong/illegal/not
authenticated by the issuing authority, iNDEXTb may debar/black list the bidder
either indefinitely or for a stated period of time.
9. Use & Release of Bidder Submissions:
iNDEXTb is not liable for any cost incurred by bidders in preparation and
production of any Proposal, the preparation or execution of any benchmark
demonstrations, simulation or laboratory service or for any work performed prior
to the execution of a formal contract. All materials submitted become the property
of the iNDEXTb and may be returned at its sole discretion. The content of
proposals received will be kept in strict confidence during the evaluation process,
and details will not be exposed outside the evaluation process.

https://indextb.nprocure.com. Further, bidders who wish to participate in online
bids will have to procure Digital Certificate as per Information Technology Act
2000, using which they can sign their electronic bids. Bidders can procure the

Section I – Preface
iNDEXTb Computer Centre is providing IT Services to various Government
Departments, Boards, Corporations, Local Bodies etc. iNDEXTb intent to empanel IT
Consultants/Organizations of repute, for Consultancy/Outsourcing various stages of
Software Development Life Cycle (SDLC) of IT Projects and/or Complete Project and/or
Data Processing work for initial period of 1 Year from the date of empanelment.
For the purpose, iNDEXTb has come out with a Request for Qualification (RFQ) for
empanelling parties in the area of Consultancy/Outsourcing and/or Data Processing.
Bidders have to submit information, in accordance with various provisions of this RFQ
document. The process of empanelment will be finalized through Quality Based
Selection evaluation of proposals received from bidders.
Bidder shall submit specific information online and other Pre-Qualification, Technical
and other Documents as described in the RFQ are to be submitted physically before the
last date and time of proposal submission as mentioned in the RFQ.
A Pre-Bid meeting shall be held on the date & time indicated earlier in this document.
Bidders are requested to submit their queries or clarifications regarding the RFQ in the
format provided (Annexure 7), latest by previous day of pre-bid meeting. Any other
queries raised by bidders shall also be taken up for discussion during the pre-bid
meetings.
The authorized representative of the bidder should sign all the communication. The pre-
qualification and technical proposals are to be signed on each page by the authorized
signatory.

Section II – Definitions
In this document, the following terms shall have following respective meanings.
“Agreement” means the Agreement to be signed between the successful bidder and
iNDEXTb including all attachments, appendices, all documents incorporated by
reference thereto together with any subsequent modifications, the RFQ, the bid offer,
the acceptance and all related correspondences, clarifications, presentations.
“Authorized Representative” shall mean any person authorized by either of the
parties.
“Bidder” means any firm offering the solution(s), service(s) and/or materials required
in the RFQ. The word Bidder when used in the pre award period shall be synonymous
with Bidder, and when used after award of the Contract shall mean the successful
Bidder with whom iNDEXTb signs the agreement for rendering of services.
“Contract” is used synonymously with Agreement.
“Corrupt Practice” means the offering, giving, receiving or soliciting of anything of
value or influence the action of an official in the process of Contract execution.
“Default Notice” shall mean the written notice of Default of the Agreement issued by
one Party to the other in terms hereof.
“iNDEXTb” means Industrial Extension Bureau is carrying out tender activities.
“Law” shall mean any Act, notification, by-law, rules and regulations, directive,
ordinance, order or instruction having the force of law enacted or issued by the Central
Government and/or the Government of Gujarat or any other Government or regulatory
authority or political subdivision of Government agency.
“LOI” means issuing of Letter of Intent, which shall constitute the intention of the
Tenderer to empanel the successful bidder.
“Party” means iNDEXTb or Bidder, individually and “Parties” mean iNDEXTb and
Bidder, collectively.
“Period of Agreement” means 1 year from the date of empanelment letter.
“Request for Qualification (RFQ)” means the detailed notification seeking a set of
solution(s), services(s), materials and/or any combination of them.
“Requirements” shall mean and include schedules, details, description, statement of
technical data, performance characteristics and standards (Indian & International) as
applicable and specified in the RFQ.
“Sub-Contracting” means any person to whom any part of work under the agreement
is sub-contracted by the Bidder

“Service” means provision of Contracted service viz., operation, maintenance and
associated services as per this RFQ.
“Tenderer” means the institution which has issued the tender; in the present context
Tender has been issued by iNDEXTb.
“Termination Notice” means the written notice of termination of the Agreement issued
by one Party to the other in terms hereof.
Area of Interest
iNDEXTb shall empanel eligible bidders in either/both of the following areas:
1. IT Consultant/Outsourcing:
Selected bidders are required to provide their services in terms of IT Consultant/
Outsourcing of complete/part project and/or various stages of Systems
Development Life Cycle (SDLC) of IT projects such as website development, web
portal, web enabled applications and other software using various technologies.
Selected bidders shall also agree to provide technical manpower as per the
requirement of iNDEXTb from time to time on man-month or other mode of
payment basis as decided.
2. Data Processing:
Data Entry, Scanning, Manpower Supply & Database Creation using ICR/ OMR/OCR
Technology :
This area includes data entry, designing of the forms for scanning, scanning,
Manpower supply as per the requirement of iNDEXTb and database creation during
scanning using ICR/OMR/OCR technology by applying proper data validations,
report generation, etc.
As and when require, iNDEXTb shall invite empanelled parties for attending briefing
meets to understand the project enquiries. All the parties are expected to participate in
such meetings. In case the party is not able to participate in such meetings, the party
shall intimate iNDEXTb in writing giving proper reasons. iNDEXTb reserves the right to
award the work to one or more empanelled parties at L1 rate.
3. Scope of Tender
A. An indicative list of activities which depending on the project requirement,
bidders resource will be required to undertake are as follows:
i. Design and development of application Software.
ii. Development and Management of e-Content
iii. Database Management.
iv. Technical documentation.

v. Test case preparation and testing of the application software.
vi. Training of users
vii. Carry out maintenance, feature up-gradation and support of application
software post completion of project.
viii. Bug fixing and implementation support to end users.

x. Architecting the solution
B. The performance and discipline of the resources provided by the bidder should
be ensured by the agency.
C. Regular progress reporting and review of the same with the concerned user/
iNDEXTb will be an integral part of the responsibility of the agency.
D. Empanelled Agencies should provide Turn Key solution for the project. (e.g. Pre
& Post Examination related activities).
E. Timely production of quality output will be an overarching responsibility of the
empanelled agencies.
F. iNDEXTb will empanel agencies in IT Consultant/Outsourcing area and in Data
Processing area on the basis of marks obtained and performance of the Technical
Presentation.
G. iNDEXTb reserve the right to empanel number of agencies in both area.

Eligibility Criteria
The eligibility criteria for bidders are as follows:
The bidder should have minimum 5 years of experience as on 31st December, 2015
in the area of IT Consultant/Outsourcing and/or Data Processing. The bidder must
attach a copy of certificate of Incorporation.
The bidder should have minimum annual turnover of Rs. 10 Crore (Rupees Ten
Crore only) from software related project for IT Consultant/Outsourcing area
and Rs. 1.5 Crore (Rupees One Crore Fifty Lac only) for Data Processing area
for each of the last 3 financial years. The bidder must attach copy of audited Balance
Sheet and Profit & Loss statement for F.Y. 2012-13, 2013-14 & 2014-2015.
Certificate from registered qualified Chartered Accountant, mentioning turnover in
Software/Website/Web Portal Development/Data Processing and IT related service
for F.Y. 2012-13, 2013-14 & 2014-15.
The bidder should have at least 25 IT Professionals, which includes web designer,
web developer, Project Manager etc. for IT Consultant/Outsourcing area. The bidder
should have at least 15 Technical Staff for Data Processing area as on 31st December,
2015 on its payroll. The certificate from bidder’s HR department must be attached.
The bidder should have successfully completed at least 3 web-enabled applications
for IT Consultant/Outsourcing area of value more than Rs.20 lac each in last 3 years
(from 01-01-2013 to 31-12-2015). Submit Client Completion Certificate and total
order value for each project. AND/OR the bidder should have handled at least 30 lac
documents within last 3 years (from 01-01-2013 to 31-12-2015) for Data Processing
area. Submit Client Completion Certificate indicating number of documents
processed and total value of the order for each project.
The bidder must have office either at Ahmedabad or Gandhinagar. Please submit
physically a copy of any one of the listed documents: Property Tax Bill/Electricity
Bill/Telephone Bill/VAT/CST Registration/Lease Agreement.
Single entity bidding only. Bidder will not form consortium/tie-up/sub-contract
with third party for carrying out activities related to the empanelment.
Bidder must have registration for Professional tax, Service tax and PAN. Submit the
copy of the certificates in physical form.
Agency will be fully responsible for ESI and PF of persons engaged in various
assignments awarded time to time.
The agency should have valid ISO 9001:2008 Certification/CMM Level 3 or higher in
Software/Application/Website development/Data processing area.
The bidder should not have been blacklisted/debarred by any government authority
in India. (Declaration in the format provided at Annexure 8a and Annexure 8b is to
be submitted on Company’s letter head in original).

Cost of RFQ
The cost of RFQ document i.e. tender fee is as indicated under “Important Information”.
The document can be downloaded from https:\\indextb.nprocure.com or
http://www.indextb.com. The bidder has to submit the non-refundable tender fees
through Demand Draft in favor of “iNDEXTb”, payable at Gandhinagar, on or before as
indicated under “Important Information”.
Pre-bid Conference (PBC)
Tenderer shall hold a pre-bid conference (PBC) after uploading the RFQ document as
per schedule mentioned in this RFQ. In this PBC, Tenderer would address the
clarifications sought by the bidders with reference to the RFQ and the project. The
bidders can submit their queries in writing (fax/post/e-mail). Queries should be
submitted in the enclosed format only (Annexure 7).
Bidders are welcome to attend the PBC, even if they do not have any specific queries.
Only 2 representatives from same organization will be allowed to attend pre-bid
conference.
Tenderer reserves the right not to respond to any/all queries raised or clarifications
sought if, in their opinion and at their sole discretion, they consider that it would be
inappropriate to do so or do not find any merit in it.
Amendment or Modification of RFQ
At any time prior to the deadline of submission of proposals, the Tenderer, for any
reason, whether its own initiative or in response to clarification request by a
prospective bidder, modify the RFQ. The Tenderer also reserves the right to change any
bid condition including technical specifications even after inviting the proposals
with/without prior notification.
The amendments in any of the terms and conditions including technical specifications of
this RFQ document shall be published on website and will be binding on them.
The Tenderer, in order to allow prospective bidders reasonable time to take into
consideration the amendments in their bid preparation process, may extend the last
date of bid submission at its discretion.
Proposal preparation
Bidder is expected to examine all instructions, forms, terms and requirements in the
RFQ document and prepare the proposal accordingly. Failure to furnish all information
required by the RFQ document will be presumed that bidder is not in a position to
provide such information and the offer will be evaluated accordingly.

The proposals should be submitted/uploaded in 2 (two) parts as mentioned in the
following A and B. The Documents related to A & B are to be submitted in hard copies
only on or before last date & time as indicated in “Important Information”.
The details of Tender Fee and EMD are to be submitted online on the website
https://indextb.nprocure.com before last date & time as indicated in “Important
Information”.
A. Pre-Qualification Proposal
a. Covering letter on the bidder’s letter-head (Annexure 1).
b. Tender Fee & EMD in the form of Demand Draft issued by a Scheduled
Commercialized/Nationalized Bank (except Co-operative bank), in favour of
“iNDEXTb”, payable at Gandhinagar.
c. A registered Power-of-Attorney granting the person signing the proposal the
right to bind the bidder as the ‘Constituted Attorney of the Directorate’.
d. Profile of bidder (Annexure 2).
e. Certificate of Incorporation.
f. Audited annual financial results (balance sheet and profit & loss statements) of
the bidder for the last three financial years. (Annexure 3).
g. Client Reference list (using equipment/services similar to project requirement).
(Annexure 4).
h. Ahmedabad/Gandhinagar Office address along with address proof.
i. Undertaking for not being blacklisted by bidder.
j. Undertaking by bidder stating that they have read and understood the entire
tender document and agree with all the terms and conditions stated in the RFQ.
k. Permanent Account Number (PAN) from Income Tax authorities of bidder along
with certified Xerox copy.
l. Service Tax, Sales Tax and PF registration details of bidder along with certified
Xerox copy.
B. Technical Proposal
a. Proposal particulars
b. Quality certification in delivery of services sought under this RFQ, from an
internationally recognized/reputed agency, e.g. ISO/CMM.
c. Qualification and Experience of Management and Technical Staff (Annexure 5)
and CVs of Key persons (Annexure 6).
d. Any other document as required in the RFQ.

C. Commercial Proposal
Whenever require, iNDEXTb will call empanelled agencies, explain the work in detail
and ask them to do technical presentation if required and submit Financial Offer in
the prescribed format decided at that time along with other terms and conditions.
Bidders will enclose with their offers details of all services offered with full
documentation and descriptive literature supplementing the description and point
out any special features. All documentation is required to be in English.
Cost of Bidding
The Bidder shall bear all costs associated with the preparation and submission of its
Proposal, including the cost of presentation for the purposes of clarification of the bid, if
so desired by the tenderer. The Tenderer will in no case be responsible or liable for
those costs, regardless of the conduct or outcome of the bid process.
Bid Security (EMD)
a. The bidder shall furnish a bid security (EMD) as indicated under “Important
Information” on or before last date & time.
b. The Bid Security (EMD) shall be in Indian rupees (INR) and shall be in form of
Demand Draft in favor of “iNDEXTb”, payable at Gandhinagar.
c. No interest shall be payable on Bid Security under any circumstance.
d. Unsuccessful Bidder’s Bid security shall be released at the earliest by the Tenderer.
e. The successful Bidder’s EMD shall be released upon signing of agreement by the
Bidder.
f. The Bid security will be forfeited at the discretion of Tenderer on account of one or
more of the following reasons :
The Bidder withdraws its Proposal during the period of proposal validity.
Bidder does not respond to requests for clarification of its proposal.
Bidder fails to co-operate in the Proposal evaluation process.
In case of a successful Bidder, the said Bidder fails to sign the Agreement in time.
Proposal Submission
a. The proposals submitted should have all pages numbered. It should also have an
index giving page wise information of documents in the chronological order as asked
for in the tender. Proposal that are not in prescribed format will be summarily
rejected.
b. The Bidder shall submit one hard copy and one soft copy on CD (in Microsoft Word
format) of pre-qualification and technical proposals as described below :

Pre-qualification Proposal
Hard copy separately and soft copy on CD clearly marking “Pre-qualification
Proposal – Expression of Interest for Empanelment”.
Technical Proposal
Hard copy separately and one soft copy on CD clearly marking “Technical
Proposal – Expression of Interest for Empanelment”.
c. In case of any discrepancy between the soft copy and hard copy, the details in hard
copy shall prevail.
d. The Bidder shall submit details of Tender Fee and EMD online on the website
https://indextb.nprocure.com after digitally signing the same. It is advised that the
bidder should make due diligence while submission and should not wait till last
hour for submission.
e. The proposals have to be submitted in four parts, viz. :
Envelope – 1 : Containing Demand Draft for Tender Fee & EMD, power of
attorney and one hard copy and one soft copy of Pre-Qualification Proposal,
superscribed as “Pre-Qualification Proposal – Request for Qualification for
Empanelment”.
Envelope – 2 : Containing one hard copy and one soft copy of detailed Technical
Proposal superscribed as “Technical Proposal – Request for Qualification for
Empanelment”.
Envelope – 3 : Both of the above sealed envelopes should again be placed in a
single sealed envelope, superscribed as “Tender for Request for Qualification
for Empanelment”. Not To Be Opened Before date & time as indicated in
“Important Information”.
The details of Tender Fee and EMD have also to be submitted online.
Number of Proposals
Every entity is allowed to submit only one proposal against this RFQ. Any individual
company who submits or participates in more than one proposal will be disqualified.
Proposal Validity
The proposals shall remain valid for a period of 180 (one hundred and eighty) days
from the last date of submission of tender. If required, the Tenderer may ask the bidders
to extend the proposal validity in writing. Proposals of the bidders who do not agree to
extend the validity of proposal will be rejected and EMD will be forfeited. A bidder
granting the request for extension of proposal validity will not be allowed to modify its
proposal or put any condition for extending the proposal validity.

Language
All Proposals, correspondence and documents related to proposals, shall be written in
the English language. Supporting documents and printed literature furnished by the
Bidder may be in another language, provided they are accompanied by an accurate
translation of the relevant passages in English language.
Late Proposals
The bidder will not be able to submit the proposals online after final submission date
and time. The physical document of proposal, as described in RFQ, received by the
Tenderer after final submission date and time of proposal prescribed in the RFQ
document will not be considered and the entire proposal will be rejected.
Modification & Withdrawal of Proposals
The Bidder is not allowed to modify its proposal subsequent to the final submission of
proposals. The Bidders cannot withdraw the proposal during the period between the
last date for receipt of proposals and the expiry of proposal validity period specified in
the RFQ. A withdrawal of proposal during proposal validity period may result in the
forfeiture of its EMD from the Bidder.
Right to Accept Proposal
The Tenderer reserves the right to accept or reject any or all Proposals at any time prior
to award of contract, without thereby incurring any liability to the affected bidder(s) or
any obligation to inform the affected bidder(s) of the grounds of such decision.
Proposal Forms
Wherever a specific form is prescribed in the RFQ document, the Bidder shall use the
form to provide relevant information. If the form does not provide space for any
required information, space at the end of the form or additional sheets shall be used to
convey the said information.
For all other cases, the Bidder shall design a form to hold the required information. The
Tenderer shall not be bound by any printed conditions or provisions in the Proposal
Forms designed by the bidder.
Contacting the Tenderer
Any effort by a Bidder influencing the Tenderer’s bid evaluation, bid comparison or
contract award decisions may result in rejection of proposal.
Bidder shall not approach officials of iNDEXTb or any concerned official after office
hours and/or outside office premises, from the time of proposal opening till the time of
award of Contract.

Opening & Evaluation of Proposal
The Evaluation Committee or its authorized representative will open the tenders.
Sequence of opening shall be as follows :
Pre-Qualification Proposal.
Technical Proposal.
The Proposals shall be opened as per the specified date and time in the RFQ in the
presence of bidders representatives who intend to attend at their cost. The bidders’
representatives who are present shall sign a register evidencing their attendance. In the
absence of the bidder(s), the tender committee may choose to open the proposals as per
the prescribed schedule.
First, the envelope containing Pre-qualification Proposal will be opened and evaluated
followed by the technical proposal. The Proposals will be evaluated for being
substantially responsive. The proposals will be treated as “not substantially responsive”
in case of following events :
Envelopes/documents not submitted as prescribed and in time.
Proposal is not signed, sealed or page numbered as stipulated.
Demand Draft of Tender Fee and/or EMD not deposited.
No or Improper Tender Fee and/or Bid Security (EMD).
Is not accompanied by Power of Attorney.
Does not contain all the information as required and prescribed in RFQ.
Does not meet the qualifying criterion.
Any other irregularity that disqualifies the bid.

In all such cases, the proposals will be treated as not responsive and even the technical
proposals will not be evaluated. The technical proposals of the only substantially
responsive proposals will be evaluated. Following the evaluation of proposals for being
“substantially responsive” the technical evaluation of the proposal will be carried out.
During the technical evaluation the responses provided in pre-qualification proposal
and technical proposal will be evaluated.
Once the technical evaluation is complete, technically qualified bidders may be asked to
make presentation before the Committee. Based on the evaluation bidders may be
empanelled for either or both of the following categories.
Consultancy/Outsourcing.
Data Processing.
Please note that the Client is not bound in any manner to select any of the firms
submitting proposals.
To ensure bidders’ eligibility and technical capabilities the Evaluation Committee may
call for additional information from the bidders and/or visit the bidders’ premises. In
such a case the concerned bidder has to supply the information within the time given by
the Committee failing which the bid can be rejected. No representations of any kind
would be entertained from the bidder.
Such clarifications on the technical aspects of the bid would not entitle the Bidder to
change or cause any change in the substance of the bid submitted. Also it will not imply
that bidder’s bid has been accepted for further processing.
The Committee may at its own discretion decide to carry out surprise inspection of the
bidder’s work premises to evaluate and ascertain the details as furnished by the bidder
in the technical bid and bidder’s technical competence to perform the offered services.
All expenses relating to these surprise inspection will be borne by iNDEXTb.
Further, the scope of the evaluation committee also covers taking of any decision with
regard to the RFQ.
Evaluation of Proposal:
A detailed evaluation of the proposals shall be carried out in order to determine
whether the bidders are competent enough and whether the bidder’s Proposal
technically qualifies to the requirements set forth in the RFQ. Proposals received
would be assigned scores based on the parameters defined in the table below.
Weight for Technical Evaluation is 70 marks and Tender Evaluation is 30 marks.

Any proposal achieving a Total Score less than 18 (Eighteen) means 60% of total score
obtained in Tender Evaluation will be treated as “Not Qualifying the Requirements” and
will not be considered further. Only the qualified bidders will be informed for making
technical presentation. Total Score less than 42 (Forty Two) means 60% of total score
obtained in Technical Presentation will be treated as disqualified.
Based on combine evaluation of proposal and technical presentation, will only be
consider for empanelment either/both of area.
Award of Contract
The Tenderer reserves the right to ask for a technical elaboration/clarification in any
form from the Bidder on the already submitted Technical Proposal at any point of time
before the finalization for empanelment. The Bidder shall furnish the required
information to the Tenderer and its appointed representative on the date asked for at
no cost to the Tenderer. The Tenderer or its representative or a party authorized on its

behalf may at its discretion, visit the office/project site/installation etc., of the Bidder
for Services, any time before the issue of Letter of Award.
The Tenderer shall notify those Bidders who had qualified the Evaluation process as
described in this RFQ, informing the date and time set for making presentation. The
notification may be sent by mail or fax or published on official website.
Confidentiality
As used herein, the term “Confidential Information” means any information, including
information created by or for the other party, whether written or oral, which relates to
internal controls, computer or data processing programs, algorithms, electronic data
processing applications, routines, subroutines, techniques or systems, or information
concerning the business or financial affairs and methods of operation or proposed
methods of operation, accounts, transactions, proposed transactions or security
procedures of either party or any of its affiliates, or any client of either party, except
such information which is in the public domain at the time of its disclosure or thereafter
enters the public domain other than as a result of a breach of duty on the part of the
party receiving such information. It is the express intent of the parties that all the
business process and methods used by the Bidder in rendering the services hereunder
are the Confidential Information of the Bidder.
The Bidder shall keep confidential any information related to this tender with the same
degree of care as it would treat its own confidential information. The Bidders shall note
that the confidential information will be used only for the purposes of this tender and
shall not be disclosed to any third party for any reason whatsoever.
At all times during the performance of the Services, the Bidder shall abide by all
applicable security rules, policies, standards, guidelines and procedures. The Bidder
should note that before any of its employee or assignee is given access to the
Confidential Information, each such employee and assignees shall agree to be bound by
the term of this tender and such rules, policies, standards, guidelines and procedures by
its employees or agents.
The Bidder should not disclose to any other party and keep confidential the terms and
conditions of this Contract agreement, any amendment hereof, and any Attachment or
Annexure hereof. The obligations of confidentiality under this section shall survive
rejection of the contract.
Arbitration
No case shall be filed on the terms and conditions of the RFQ Document. No case shall be
filed on the rights and prerogatives reserved by iNDEXTb.

iNDEXTb and the selected bidder(s) shall make every effort to resolve amicably by
direct informal negotiation any disagreement or dispute arising between them under or
in connection with the Contract.
If, after 30 (thirty) days from the commencement of such informal negotiations,
iNDEXTb and the selected Bidder have been unable to amicably resolve dispute, either
party may require that the dispute be referred for resolution to the formal mechanisms,
which may include, but are not restricted to, conciliation mediated by a third party
acceptable to both, or in accordance with the Arbitration and Conciliation Act, 1996.
All Arbitration proceedings shall be held at Gandhinagar and the language of the
arbitration proceedings and that of all documents and communications between the
parties shall be in English.
Termination of RFQ
iNDEXTb also reserves right to Terminate/Cancel RFQ at any time or stage of Bid
without giving any reasons. In such case of termination, the EMD shall be returned to
the bidder. However, the RFQ document fee shall remain non-refundable.

iNDEXTb reserves the right to allocate the business among the empanelled agencies
as per its user’s preferences, conveniences and the performance of the empanelled
agencies.

Upon verification, evaluation / assessment, if in case any information furnished by
the vendor is found to be false/incorrect, their total bid shall be summarily rejected
and no correspondence on the same, shall be entertained.
Penalty For Delay
Any delay in deployment of Software in stipulated time period as mentioned in
Work Order or any unjustified and unacceptable delay in the deliverables beyond
the time indicated in the order delivery will invite penalty at the rate of 2.00 % of
the order value per week of the delay with a maximum limit of 8 %.
If the delay is such that the delay penalty has reached maximum limit of 8 % of the
order value, iNDEXTb will impose the penalty as above and will have an option to
cancel the order and award the work to any other empanelled agency and get the
work done from any other source at the risk and cost of such defaulting agency.
If the new work order as mentioned above is for the project to enhance the existing
resource requirement, then the penalty of 8 % shall be on the sum total of all such

work orders. The defaulting Agency shall ensure Knowledge transfer to new agency
without any financial implication to the project.
The EMD/Security Deposit and the Performance bank Guarantee submitted by the
agency would be forfeited and empanelment cancelled.
Termination For Default
If the agency fails to deploy any or all of the services defined in the tender/work
order within the specified time period(s) or any extension thereof granted by
iNDEXTb.
If the agency fails to perform any other obligations(s) under the contract and/or any
of the statutory requirements under the rules and regulations of the Government.
If the agency, in either of the above circumstances, doesn’t not take remedial steps
within a period of 30 days after receipt of the default notice from iNDEXTb (or takes
longer period in-spite of what iNDEXTb may authorize in writing), iNDEXTb
reserves the right to terminate the contract/work order in whole or in part, as
deemed appropriate. Security Deposit of such defaulting agency(s) shall be forfeited
and the defaulting agency shall be debarred from participating iNDEXTb Tenders for
a period of three years.
iNDEXTb may at its discretion may get the work done at the cost and risk of such
defaulting agency and the defaulting agency shall be liable to compensate iNDEXTb
for any extra expenditure involved to complete the scope of work in totality. In
addition the defaulting agency shall also be liable to pay 10% of the work order as
cancellation charges for each unexecuted order.
The manpower required is to be deployed by the Agency within two week of issue of
the work order or as specified in the work order.
a. If due to any unavoidable circumstances the deployed manpower needs to be
replaced/changed then the agency will ensure complete knowledge transfer
during the replacement ensuring continuity of the project.
b. The agency will give one month notice prior to replacement of any resource
manpower.
Agency will provide resources after proper screening by conducting test/Interview
and share its screening process/marks with iNDEXTb. If after repeated three
screening attempts the Agency fails to provide the suitable candidates, the order
may be cancelled.
The agency is liable for damages on account of any violation by the employees
deployed under the Information Technology Act and other prevalent laws of the
country.
Agency shall provide an undertaking for the implementation of Data Confidentiality
and privacy of the projects undertaken.

In case, the person employed by the Agency commits any act of omission/
commission that amounts to misconduct/indiscipline/incompetence, the Agency
will be liable to take appropriate disciplinary action against such persons, including
their removal from the site of work / project and any other necessary action as
required by iNDEXTb and provisions of the legal framework of the country.
The Agency shall replace immediately any of its personnel who are found
unacceptable to this Department because of security risks, incompetence, conflict of
interest, improper conduct etc. upon receiving a notice from iNDEXTb.
During the engagement period of the hired manpower, the agency will not re-deploy
the hired manpower from one iNDEXTb project where he/she is currently deployed
to another project as same or higher level manpower resource during the period of
the work order. If any manpower is required to be moved to other iNDEXTb project,
agency will take NOC from the HOD of the current engaged project.
Force Majeure
Neither party shall be responsible to the other for any delay or failure in performance of
its obligations due to any occurrence commonly known as Force Majeure which is
beyond the control of any of the parties, including, but not limited to, fire, flood,
explosion, acts of GoG or any Governmental body, public disorder, riots, embargoes, or
strikes, acts of military authority, epidemics, strikes, lockouts or other labour disputes,
insurrections, civil commotion, war, enemy actions. If a Force Majeure arises, the Bidder
shall promptly notify Tenderer in writing of such condition and the cause thereof.
Unless otherwise directed by Tenderer, the successful bidder shall continue to perform
his obligations under the contract as far as is reasonably practical, and shall seek all
reasonable alternative means for performance not prevented by the Force Majeure
event. The successful bidder shall be excused from performance of his obligations in
whole or part as long as such causes, circumstances or events shall continue to prevent
or delay such performance.
Payment Terms
Will be indicated at the time of calling empanelled parties for explanation of assignment.
Bankruptcy & Insolvency
iNDEXTb can terminate the contract if the bidder becomes bankrupt and/or loses the
desired state of solvency with a notice of 15 (fifteen) days. iNDEXTb, in such cases of
termination, will not be responsible for any loss or financial damage to the service
provider resulted due to termination. iNDEXTb will also, in such cases have the right to
recover any pending dues by invoking the performance bank guarantee or any such
instrument available with iNDEXTb.

Project Duration
The empanelment will be initially for 1 year from the date of empanelment letter.
However, the tenderer and the successful bidder, on a mutually acceptable basis, can
extend the period for another 1 year based on the review by the tenderer.
