INVITATION OF BIDS
Agriculture Department, Government of Punjab has launched an interest free loan scheme titled
“Empowerment of Kissan through Financial and Digital Inclusion” in October, 2016. Under this
scheme, the Department intends to advance interest free loans to 500,000 small farmers (land owners
as well as land less tenants and sharecroppers ) having land holding up to 12.5 Acres for a period of
five (05) years through banks/PFIs. The Department has signed agreements with Banks/PFIs for
disbursement of loans ranging from Rs.15000 to 25,000 per acre for Rabi season and Rs.25,000 to
40,000 per acre for Kharif season up to five acres for five years. Interest on the amounts disbursed
by Banks/PFIs will be borne by Govt. of Punjab. The Department is looking for a Chartered
Accountant Firm for the purpose of audit, technical review and feedback initially for two seasons i.e.
Rabi 2016-17 and Kharif 2017 with provision of extension for next one year upon satisfactory
performance with same terms and conditions. Chartered Accountant Firms in SBP ranking A who
meet the eligibility criteria given below may apply under Rule-38(2) of PPRA Rules-2014.

DEFINITIONS:
1.1 “Service Agreement” shall mean the Agreements executed between GoPb &
PFIs and CA firm for implementation of the Scheme in the selected districts of
the Punjab and shall include annexures, appendix, schedules appended therewith
and amendments made therein.
1.2 “Rabi Season “ shall mean cropping season from October-March (winter).
1.3 Kharif Season” shall mean cropping season from July –October (summer).
1.4 “Bidder” shall mean an individual or an organization, a company or a consortium
of companies who in response to an invitation, by a person, consultant, firm,
company or an organization expressing his or its willingness to undertake a
specified task at a price;
1.5 “PFIs” shall mean Participating Financial Institutions
1.6 “Total Bid Price” shall mean total amount of bid offered against the provision of
services.
1.7 “Audit Firm” shall mean an independent firm of chartered accountants with
sufficient expertise, experience and resources to conduct the Audit contemplated
in the Agreement. The Audit Firm shall be selected by GoPb in a transparent
manner from amongst the renowned accountancy firms in the country.
1.8 “Audit Terms of Reference” shall mean the terms of reference outlining the
scope of work to be undertaken by the Audit Firm for purposes of the Audit, and
shall be prescribed by GoPb.
1.9 “Borrower” shall mean a small farmer who has been approved by GoPb and
Concerned PFI to become a borrower of an E-Credit Facility or has availed an E-
Credit Facility extended by the concerned PFI.
1.10 “Branchless Banking” shall mean the delivery of banking services through retail
agents, mobile phones and other channels outlined in the Branchless Banking
Regulations issued by the SBP, as an alternative to physical branches and
premises.
1.11 “Branchless Banking Account” shall mean Assan bank account maintained with
partner bank, in which funds are credited and/or debited by electronic fund
transfers for purposes of Branchless Banking and in accordance with the
Branchless Banking Regulations issued by the SBP.
1.12 “Clean Credit History” shall mean financial record of an intended borrower
having no default in preceding three years in any financial institution as checked
and confirmed by any of credit bureau.
1.13 “E-Credit Facility” shall mean a single finance facility, or the portfolio of
finance facilities (as applicable), provided by PFIs to a Borrower, under the Terms
of Reference, up to the Maximum Aggregate Amount approved by the Parties,
from the list of small farmers on the Website, until the time such finance facility
is repaid in full by the Borrower.
1.14 “Eligibility Criteria” shall mean the criteria spelled out in the Scheme, Facility
Documents and/or Credit Operational Manual of PFIs.
1.15 “Existing Clients” shall mean and include those clients having a credit history
from any financial institution at the time of launch of the Scheme.
1.16 “Government” means Government of the Punjab;
1.17 “Blacklisted” shall mean which has been black listed by Govt. of Punjab in
response to violence of PPRA Rules.
DESCRIPTION OF THE ASSIGNMENT:
Small farmers, despite representing a major chunk of overall farming households, have very
little access to formal credit. The credit which is available to these small farmers, mainly
from informal sources, is of very high cost, which escalates their cost of production. As a
result, these small farmers have to bear the financial burden which traps them in vicious circle
of poverty due to low margins and limited income.
The Government of Punjab (GoPb) has taken an initiative to promote the wellbeing of these
small farmers through provision of interest free and easy access to financing. The objective of
the Interest Free Agriculture E-Credit Scheme “Empowerment of Kissan Through Financial and
Digital Inclusion” is to reduce the cost of production for these small farmers and to increase the
outreach of formal and digital financial services to ensure financial inclusion.
The Government of Punjab under the Interest Free Agri. E-Credit Scheme will provide interest
free loans to 500,000 farmers in all districts across the province through selected Banks/PFIs in
Rabi and Kharif seasons for a period of five years. Famers with landholding of up to 12.5 acres
and landless farmers, tenant & sharecroppers and having no recorded credit history/ or clean
credit history shall be eligible to apply for financing facility for meeting production and
working capital requirements, purchase of input supplies, rentals of farm implements, etc. Credit
for each crop will be paid @ PKR 15000 to 25,000 for Rabi crops per acre and PKR 25000 to
40,000 for Kharif crop and maximum limit of PKR 65,000 in three installments. Main features
of the scheme are as under:
i. The scheme will be available in all districts of Punjab province for Rabi and Kharif
seasons for five years.
ii. Interest free loan disbursement will be made to 500,000 farmers.
iii. Farmers having land holding of up to 1 2.5 acres and landless farmers shall be
eligible for interest free financing under this scheme.
iv. Tenants and sharecroppers are also eligible subject to tenancy agreement between
owner of land and Tenants & sharecroppers.
v. The applicant farmer/Tenant/share cropper should be the resident of same rural Union
Council where the land is located.
vi. Loan will be provided to farmers out of which 30% may have existing lending relations
with any of the Financial Institutions whereas 70 % would be fresh borrowers.
vii. Service charges/mark up on the amount of loan disbursed to the intended beneficiaries
shall be borne by Government of Punjab according to the agreed upon rate contained in
the written agreements with Banks/PFIs.
viii. Loans will be awarded on social or personal guarantees to landless tenants, sharecroppers.
ix. Govt. of Punjab Agriculture Department will get 05% (equivalent to 25,000) of the
sample loanees audited by CA firm for the purpose of auditing the record, monitoring the
implementation and feedback.
SCOPE OF THE ASSIGMENT:
The selected Charted Accountant Audit Firm will be responsible for the following tasks:
Component A: Development of Framework for Execution and Reporting
Component A Description Delivery Time
Development of framework for execution and reporting
1. Prepare annual work plan for monitoring and
third party validation.
2. Identify Key Performance Indicators (KPIs) to
be monitored in light of the Service Agreements
between Agriculture Department and
Participating Financial Institutions (PFIs).
3. Prepare work programs, checklists,
questionnaires for field work at various
locations.
4. Prepare reporting framework and information
proformas comprising of the following:
a) Reports to be delivered by CA Firm and
their frequency
b) Formats and contents of the reports
c) Recipients of the reports
Within 15 days
of engagement
Component B Verification and Compliance With Agreements
Between PFIs and Agriculture Department
i. The firm will verify 05% (equivalent to 50,000 per
annum i.e. 25,000 in Rabi and 25,000 in Kharif
season) on sample basis that loans were disbursed
in accordance with the terms agreed with respective
Participating Financial Institutions (PFIs).
Verification will be made at the relevant Bank/PFIs
Branch.
ii. The Firm will verify that Mark-up on loan amount
disbursed by PFIs to the beneficiary farmers at the
end of season is calculated correctly accordingly to
Terms agreed with respective PFIs.
Within 45 days
of end of each

iii. Check that PFIs and Agriculture Department have
fulfilled their respective responsibilities as per
Service Agreements signed between them.
iv. Check compliance of disbursement and recovery
procedures as per Service Agreement and
Operational Manual of respective PFI.
v. Check that loan project activities have been carried
out in accordance with the Project Guidelines as
annexed with the Service Agreement.
Disbursement and recovery of loans:
1. Check compliance with Operational Manual of
respective PFIs viz-a-viz adherence to the lending
methodology agreed between PFIs and Agriculture
Department.
2. Perform the following procedures for disbursement
related activities carried out by
PFIs:
a) Examine and evaluate the maintenance of
complete documentation of loan and
borrowers as required by PFIs for loan
disbursement, as required to be maintained
by the Service Agreement and Operational
Manual of the respective PFIs.
b) Review the service charges/mark up funds
requirement of respective PFIs in terms of
request generated for next season and
related service charges in light of relevant
agreement clauses.
c) Monitor loan disbursement to target group
by respective PFIs as per approved limit as
agreed in the agreements signed between
Agriculture Department and respective
PFIs.
d) Prepare on weekly/fortnightly basis
summary sheets /statistical reports of the
disbursement and recovery of loans for the
review of Agriculture Department
e) Examine bad debts and identify amounts
written-off taking into consideration the
international standards.
f) Confirmation of disbursement and service
charges/mark up claims raised by respective
PFIs.
g) Examine whether loan disbursement has
been made through Assan account of
farmers linked with Mobile wallet.
Whereas, farmers can withdraw the loan
amount from franchise, agent or outlets of
Selected Telecommunication companies.
Component C Verification of Mark-Up Invoices
The Audit firm will verify the mark-up invoices raised
by respective PFIs to Agriculture Department upon
completion of a season.

Component E Physical Verification and Feed Back
Carry out physical verification of loan disbursements in
accordance with mutually agreed plan between
Agriculture Department and respective PFIs for
feedback from the borrower whether the scheme is
going to achieve its intended objectives or not.
Sample Size: The sample size for physical verification
shall be 05% (equivalent to 1250) of five percent
loanees already selected through sampling taking into
consideration the geographic spread of loans of the
respective PFIs.

Terms of Reference For CA Firm
The Charted Account (CA) Firm shall perform the services under these Terms of Reference
(TOR), set hereby, and Service Agreement set forth and project guidelines
a. There must not be any conflict of interest i.e. Audit Firm must not be providing any
assistance to any other person/entity in conflict with ‘Agriculture Department, so as to
cause any sort of conflict of interest.
b. Contract period will be for two seasons (Rabi 2016-17 and Kharif 2017) approximately
14 months which may be extended on same rates and same terms & conditions for further
term/terms by mutual agreement of both parties.
c. All direct & indirect taxes will be deducted in accordance with the provisions of
Government Rules amended time to time.
d. Successful Audit Firm will sign a Service Agreement and will provide the agreed
services within the stipulated agreed time period after issuance of the work order.
e. If the firm completely fails to provide the services within prescribed period of service
delivery and doesn’t comply with the reminders, the case of Audit Firm may be put up to
the relevant authorities to declare the Firm as "Black Listed" according to Rule 21 of
PPRA Rules-2014.
f. Payment of services will be made on the satisfactory completion of services i.e.
completion of miles stones set forth for payments.
g. The Audit Firm must respond efficiently for providing services in a timely manner.
h. In case of any dispute regarding services; the decision of the Agriculture Department
shall be final & binding.
i. CA Firm shall examine service charges/mark up on the loan amount disbursed in 3
installments i.e. First installment is 40 % of approved loan amount; second installment is
30 % of approved loan amount & third installment is 30 % of approved loan amount
subject to the following sub-clauses.
a) If, on the day an E-Credit Facility is sanctioned, remaining crop window days
(days from the time of sowing to the time it is harvested) are in the range of 160
to 180 days, the E-Credit Facility shall be disbursed in three installments, at the
ratio of 40: 30: 30 percent of the whole amount, with intervals of forty five days
between three tranches respectively.
b) If, on the day an E-Credit Facility is sanctioned, remaining crop window days are
in the rage of 80-160 days, the E-Credit Facility shall be disbursed in two
installments at the ratio of 70: 30 percent of the whole amount, with interval of
forty five days between two tranches respectively.
c) If, on the day an E-Credit Facility is sanctioned, remaining crop window days are
less than eighty days, the E-Credit Facility shall be disbursed in single tranche.
j. CA Firm shall examine whether loan disbursement has been done through Assan account
of farmers linked with Mobile wallet. Whereas, farmers can withdraw the loan amount
from franchise, agent or outlets of Selected Telecommunication companies.
k. CA Firm shall actively participate in coordination meetings arranged by GoPb with the
project partners when required.
INSTRUCTIONS TO BIDDERS:
1. Only Charted Accountant (CA) firms fulfilling the eligibility criteria will be considered
as responsive. The financial proposal of responsive firms will be opened for further
evaluation once the biding firms are found eligible. Proof of registrations shall be
provided with bids.
2. All documents and information received by Agriculture Department from bidders will be
treated in strict confidence.
3. Documents submitted to Agriculture Department will not be returned.
4. The Bid and all correspondence and documents related to the bid shall be written in
English Language
5. The currency of this bidding procedure will be PKR.
6. All expenses related to participation in this bidding process shall be borne by the
applicants.
7. Bid shall be addressed to Secretary to Govt. of Punjab, Agriculture Department, 2-Bank
Road, Lahore.
8. Bidders should note that each and every page of the bidding documents shall be signed
and stamped by the bidders and will be submitted with the bid.
9. Bid Security: Rs. 800,000 (equivalent to 5% of the estimated bid price/- (which will be
adjusted towards performance guarantee) in the shape of Pay Order/Bank Draft in the
name of “Secretary Agriculture” accompanied with the bid.
10. Performance Guarantee will be 10% of the contracted value.
11. Bid should be dropped in the Tender Box placed at office of Chief Planning & Evaluation
Cell, Agriculture Department, 266-Rewaz Garden, Lahore, on or before time and date
mentioned in the Bidding Notice/advertisement.
12. Bids received through Telex / Fax and through mail will not be entertained / considered.
13. Conditional/incomplete bids will not be considered.
14. Out station bids should reach office of Chief, Planning & Evaluation Cell, Agriculture
Department, 266-Rewaz Garden, Lahore by Registered Post by due time & date. Bids
received after 11:00 am of the opening date will not be entertained /considered.
15. Bids shall be submitted as per PPRA Rules Clause 24 according to which bids will be
submitted in a sealed package in such a manner that the contents of the bid are fully
enclosed and cannot be known until duly opened. The main envelop shall have two sub-
envelopes having eligibility documents and financial bids in separate envelopes
according to Rule-38(2) of PPRA Rules-2014.
16. Sealed Main envelope having Bids will be opened by “Bid Opening Committee” in the
office of Chief Planning & Evaluation Cell, Agriculture Department, 266-Rewaz Garden,
Lahore.
17. The sub-envelope having eligibility criteria documents will be opened by the “Bid
Evaluation Committee”. The same committee will open the financial bids of the
responsive firms in the presence of representatives of responsive/eligible firms.
18. Bids shall be submitted as per PPRA Rules-2014 Clause 12, 22, 24, 31 and 32 and 38 (2)
open competitive bidding bases.
19. The bids of the CA firms meeting the eligibility criteria will only be considered as
responsive.
20. The financial bids of only responsive CA firms will be opened in the presence of the
representatives of responsive CA firms.
21. Contract will be awarded to only that firm whose financial bid is found to be the lowest.
22. No negotiations of any sort for reduction or compromise on the prices are expected once
bids are opened.
23. Conditional / incomplete bid will be liable for rejection.
24. The bid quoted by CA Firm shall include all expenses to be incurred for the activities to
be done under scope of the assignment.
25. The financial bid quoted by CA Firm will be quoted component wise as mentioned in the
format of Financial Bid.
26. The financial bid quoted by CA firm shall be made on the proforma attached for the
purpose.
27. The bidder should note that fluctuation in currency rate, taxes or duties etc. shall not be
considered for enhancement of unit price at any cost.
28. Agriculture Department reserves the right to request submission of additional information
from applicants in order to clarify/further understand aspects of proposal, if required.
29. Agriculture Department reserves the right to verify any information provided by the
applicants.

GENERAL TERMS & CONDITIONS
1. Bid Validity. The offer will remain valid for a period of 90 days from the date of opening
of bid. Agriculture Department may request to extend the validity period and successful
bidder shall extend the same along with bid security validity accordingly.
2. Bid Security. Bidders are required to submit along with their bid security (which will be
adjustable towards performance guarantee) Rs. 800,000 (equivalent to 5% of the estimated
price) in the shape of Pay Order / CDR in the name of “Secretary Agriculture”. Bid
security in shape of cheque will not be acceptable.
3. The bid security (Pay Order/CDR) will be returned to unsuccessful bidders within fifteen
(15) days after award of contract /issuance of purchase order to the winning bidder and
can only be returned with written request of the unsuccessful bidders.
4. The bid security may be forfeited if the successful bidder fails to accept the purchase order
/ sign the contract within the respective due date.
5. Acceptance of Bid / Award of Contract: Subsequent to approval of the proposal
(eligibility criteria and financial proposal) and finalization of bid process, the contract may
be awarded to the lowest bidder who has quoted the lowest rate in accordance with the
Punjab Procurement Rules-2014.
6. After Acceptance of the bids by the procuring agency, the bidder shall have no right to
withdraw their bids or claim higher price.
7. Letter of acceptance. After acceptance of the bid, a letter of acceptance / advance
acceptance of bid will be issued only to the successful bidder.
8. Acceptance: All deliverables will be subject to the acceptance of the Agriculture
Department.
9. The successful bidder will have to deposit performance guarantee equivalent to 5% of the
estimated bid value with the Agriculture Department.
10. Advance
- No advance payment will be made.
- No split / piece meal advance will be paid for any item.
11. Billing – Payment-Taxes
i. All payments will be made in Pakistani rupees only.
Subject to fulfillment of other terms and conditions of bid documents /agreements, the
bidder shall raise the payment invoice against the services rendered to the Agriculture
Department
ii. Taxes. The successful bidder shall have full and exclusive liability for payment of
all duties taxes and other statutory payments payable under any or all of the
statutes / laws etc. … now or hereafter imposed in Punjab, Pakistan.
iii. Withholding/Income Tax etc. on the amount invoiced to Agriculture Department
shall be deducted at source as per Income Tax Law. The bidder along with bids
shall furnish proof of registration with Income Tax Department.
iv. Availability of NTN/PRA number for deduction of Sales/Income tax as per Rules.
(If Service Provider is exempted from Tax, exemption Certificate may be
provided).
12. No offer shall be considered if:-
Received without earnest money/bid security.
It is received after time and date fixed for its receipt.
Bids unsigned.
The offer is ambiguous.
The offer is incomplete
The offer is conditional.
The offer is from black listed firm.
The offer is received by fax.
The offer is received with shorter validity than the required in the bid enquiry.
The bidders engaged in corrupt or fraudulent practices (including collusion/
pooling) will be declared totally ineligible either indefinitely or for a stated
period of time and blacklisted from being awarded any such contract financed by
the Govt. of the Punjab.
Failure and Termination If you fail to conduct the assignment within the agreed
period, the Agriculture Department shall be entitled at the
option either:
To recover from you, as liquidated damages and not as
penalty, a sum equivalent to 20% of the amount quoted by
the firm for respective assignment.

AGREEMENT FOR SERVICES
This Agreement (the “Agreement”) is made at Lahore on ____ day of November 2016 (for
brief the “Effective Date”)
BETWEEN
Governor of the Punjab acting through Secretary, Government of the Punjab, Agriculture
Department (hereinafter referred to as “GoPb”) which expression shall, where the context so
admits, mean and include the representatives, successors-in-interest, legal representatives and
permitted assigns of the First Part
AND
Name of CA firm, a company incorporated under the Companies Ordinance, 1984, acting
through its Chief Executive Officer, duly authorized in this regard, having address
…………………………….(hereinafter referred to as “Name of CA Firm) which expression
shall, where the context so admits, mean and include the representatives, successors-in-
interest, legal representatives and permitted assigns of the Second Part.
GoPb and Name of CA Firm shall hereinafter collectively be referred to as the Parties and
individually the Party.
WHEREAS
(a) the small farmers, despite representing a major chunk of overall farming households,
have very little access to formal credit resources;
(b) the credit available to these small farmers mainly flows from informal sources
including loans either in the form of money or in the shape of input products
borrowed or procured from the local entrepreneurs at an inflated rate that ultimately
results in an escalated cost of the agricultural produce;
(c) the small farmers are forced to bear additional cost and financial exploitation by the
local entrepreneurs and, thus, remain trapped in a perpetual cycle of poverty inter alia
on account of financial exploitation and consequent low margins of the profit and
income accrued from the agricultural produce;
(d) GoPb is determined to raise the living standard of small farmers and intends to make
all out efforts for promoting the well-being of small farmers through provision of
Markup free and easily accessible loan under the scheme ‘Empowerment of Kissan
through Financial and Digital Inclusion’ (the “Scheme”);
(e) the objective of the scheme is to reduce the cost of production and expand the
outreach of formal financial services, digitalize the loaning process and promote the
well-being of small farmers to meet the agenda of the scheme; and
(f) Agriculture Department wishes to appoint a specialized Name of CA firm to act as
Auditor to the Agriculture Department to carry out the Services.
(g) The Name of CA firm has represented to the Agriculture Department that it has the
required professional skills, personnel and technical resources, and has agreed to
provide on the terms and conditions set out in this Agreement all the Services for
completing the Project.
NOW THEREFORE, in consideration of the mutual covenants and agreements contained
herein, the Parties covenant and agree as follows:
ARTICLE I
Definitions and Interpretation
1.0 Definitions.
In the Agreement, the words and expressions defined hereinafter shall,
except where the context requires otherwise, have the following meaning:
1.18 “Agreement” shall mean the Agreement executed between GoPb and Name
of CA firm conducting audit, third party validation and feedback of the
Scheme being implemented by Participating Financial Institutions (PFIs) in
collaboration with Implementing Partners in the selected districts of the Punjab
and shall include annexures, appendix, schedules appended therewith and
amendments made therein.
1.19 “ Fee” means the total (lump sum) amount to be paid in instalments as
specified in Appendix C, to the Name of CA firm for all fees for providing the
Services, including but not limited to the fee for the Name of CA firm, costs
of personnel utilized in the provision of the Services.
1.20 “Eligibility Criteria” shall mean the criteria spelled out in the Scheme,
Facility Documents and/or Credit Operational Manual of Participating
Financial Institutions (PFIs).
1.21 “Facility Documentation” shall mean PFI’s standard financing and security
documentation, generally used to document an E-Credit Facility, executed
between the Borrower and PFIs, after internal approval of PFIs after
satisfaction of credit policies.
1.22 “E-Credit Facility” shall mean a single finance facility, or the portfolio of
finance facilities (as applicable), provided by PFIs to a Borrower, under the
Terms of Reference, up to the Maximum Aggregate Amount approved by the
Parties, from the list of small farmers on the Website, until the time such
finance facility is repaid in full by the Borrower.
1.23 “Branchless Banking Regulations” shall mean the Branchless Banking
Regulations issued by the Banking Policy and Regulations Department of the
SBP and any other rules, regulations or laws that may be applicable to
Branchless Banking as amended from time to time.
1.24 “Fresh Borrower” shall mean a Small Farmer, who is eligible to become a
Borrower, but has no credit history with any financial institute prior to
launching of the Scheme.
1.25 “Implementing Partners” shall mean and include Land Records
Management Information System (LRMIS), Punjab Information Technology
Board (PITB), State Bank of Pakistan (SBP) and other government
departments involved in or connected with the Scheme.
1.26 “Audit” shall mean the audit undertaken by the Name of Audit Firm pursuant
to the Audit Terms of Reference (for brief the “Audit TORs”) prescribed by
GoPb.
1.27 “Audit Firm” shall mean Name of CA firm with sufficient expertise,
experience and resources to conduct the Audit contemplated in the Agreement.
1.28 “Audit Terms of Reference” shall mean the terms of reference outlining the
scope of work to be undertaken by the Name of CA Firm for purposes of the
Audit, and shall be prescribed by GoPb.
1.29 “GoPb” means the Government of the Punjab.
1.30 “Personnel” means any person who is part of the multidisciplinary team of
experts, including all requisite supporting persons, engaged by the Name of
CA firm to undertake the Services;
1.31 “Project” means the ”Empowerment of Kissan Through Financial and Digital
Inclusion”;
1.32 “Services” means the work to be carried out by the Name of CA firm pursuant
to this Agreement as more fully described in the Terms of Reference;
1.33 “Terms of Reference” means the Terms of Reference set forth in Appendix A
hereto. 1.2. Interpretation
In this Agreement, unless the context otherwise requires, words denoting the
singular include the plural and vice versa, words denoting persons include companies,
corporations and partnerships, and reference to that specified Article, Section or Appendix of
this Agreement. The headings of the Articles, Sections and Appendices are inserted for
convenience of reference only and are not to be considered in the interpretation of this
Agreement. A reference to a party to any document includes that party’s successors and
permitted assigns.
ARTICLE II
Services
2.1. The Services
The Name of CA firm shall perform the Services under this Agreement in
accordance with the Terms of Reference. 2.2. Commencement Date
The Name of CA firm will commence the Services as soon as possible but
not later than 7 days after the Agriculture Department has given to the Name of CA firm
notice to proceed with the Services.
ARTICLE III
Payments to the Name of CA firm
3.1 Mode of Billing and Payment
(a) Billings and payments in respect of the fee shall be paid in
instalments as per deliverables as mentioned in Scope of Assignment,
after submission of the reports and documents etc., mentioned therein,
and following approval of same by the Agriculture Department.
Payments shall be made within 30 days from approval of the relevant
reports and documents and provided that an invoice therefore has been
submitted to the Agriculture Department.
(b) until the date of termination or completion of the Project, whichever
occurs earlier, the Name of CA firm shall send to the Agriculture
Department an invoice based on actual expenses incurred by the Name
of CA firm at the end of each month from the date of mobilization
until the date of termination or completion of the Project, whichever
occurs earlier;
(d) All payments under this Agreement shall be made to the invoicing
party namely, the Name of CA firm or Consortium members or the
sub-contractors approved provided that in the case of invoices raised
by consortium members/ sub-contractors mentioned, such invoices will
be verified by the Name of CA firm. In any case, all payments will be
accounted for in total lump sum fee to be paid to Name of CA firm
except any other expense allowed separately under this Agreement.
The account details for payment will be provided by the Name of CA
firm to the Agriculture Department.
3.2 Taxation Payment
All amounts due to the Name of CA firm or the sub-contractors, as the case
maybe, under this Agreement by way of fee, including payments of fee shall
be subject to deduction of taxes, any sales tax on services, fees, duties, levies,
charges or taxes of any sorts as applicable in Pakistan.
ARTICLE IV
Undertakings of the Agriculture Department
4.1 Consents, Obligations and Approvals
(a) The Name of CA firm will identify the necessary consents and
approvals required for the Project from all relevant organisations,
explain the procedures for obtaining such consents and approvals, and
provide appropriate assistance to the Agriculture Department to
expedite the approval process.
(b) The Agriculture Department shall make all reasonable efforts to obtain
all necessary GoPb consents and approvals required during the Project
in a timely manner.
ARTICLE V
Undertakings of the Name of CA firm
5.1. Project Director, Availability of CA firm
The Name of CA firm shall ensure that at all times during the assignment, a
Project Director, acceptable to the Agriculture Department, shall take charge of the provision
of Services being rendered under this Agreement and all operations in the field. The Project
Director shall be responsible for liaison in the field between the Name of CA firm, the
Agriculture Department, Participating Financial Institutions (PFIs) and relevant GoPb
agencies. The Name of CA firm shall further ensure that whenever required by the
Agriculture Department, the Name of CA firm would be available to provide information
and services to the level of satisfaction of Agriculture Department without undue delay. 5.2 Standard of Performance by the Name of CA firm
The Name of CA firm shall carry out the Services with due diligence and
efficiency, and shall exercise such skill and care in the performance of the Services and
generally with respect to the Project as is consistent with recognized professional standards. 5.3 Records and Reports
(a) The Name of CA firm shall submit to the Agriculture Department the
reports, documents, models etc., and any other reports and documents
etc., required for the adequate performance of the Services. All such
reports will be provided to the Agriculture Department in hard copy
and electronically, using Microsoft Word, Excel, PowerPoint, or other
agreed software.
(b) The Name of CA firm shall update the Agriculture Department with
progress of the Project from time to time as and when requested by the
Agriculture Department.
(c) All reports and recommendations and general correspondence from the
Name of CA firm to the Agriculture Department and all other
documents prepared by the Name of CA firm under this Agreement
shall be in the English language.
(d) The Name of CA firm shall permit the duly authorized representative
of the Agriculture Department, from time to time to inspect its
accounts and records relating to the provision of the Services and to
make copies thereof. The Name of CA firm shall cooperate with and
assist the Agriculture Department and their authorized representatives
in making such inspections. 5.4 Information
The Name of CA firm shall furnish to the Agriculture Department such
information relating to the provision of the Services and the Project as the Agriculture
Department may from time to time reasonably request.
5.6 Confidentiality
Except with the prior consent of the Agriculture Department, the Name of CA
firm and its personnel shall not at any time communicate to any third person or entity, any
confidential information disclosed to them for the purpose of the Services, or discovered by
them in the course of providing the Services nor shall the Name of CA firm or its personnel
make public any information as to the recommendations formulated in the course of or as a
result of providing the Services. A similar undertaking shall also be obtained by the Name of
CA firm from each of the sub-contractors.
5.7 Prohibition on Conflicting Activities
The Name of CA firm shall notify the Agriculture Department, if any direct
conflict of interest arises, from the carrying out of the Services. 5.8 Independent Contractor
Nothing contained herein shall be construed as establishing or creating
between the Agriculture Department, and the Name of CA firm the relationship of master
and servant or principal and agent, it being understood that the position of the Name of CA
firm and of anyone else providing the Services is that of an independent contractor. 5.9 Indemnification
(a) Name of CA firm shall indemnify, protect and defend at Name of CA
firm 's own expense, the Agriculture Department, their agents and
employees, from and against any and all actions, claims, losses or
damages arising out of any violation by the Name of CA firm, its
personnel or the sub-contractors, or in the course of the Services of any
legal provisions, or any rights of third parties, in respect of literary
property rights, copyrights, or patents.
(b) Name of CA firm shall indemnify, protect and defend, at its' own
expense, the Agriculture Department its agents and employees, from
and against any and all actions, claims, losses or damages where such
actions, claims, losses or damages is or are the result of willful
malfeasance or gross negligence of the Name of CA firm, its
personnel or the sub-contractors.
(c) The Name of CA firm shall, at its own cost and expense, upon request
of the Agriculture Department, re-perform the Services in the event of
Name of CA firm 's failure to exercise the skill and care required. 5.10 Laws and Regulations of Pakistan
The Name of CA firm shall respect and abide by all applicable laws and
regulations in Pakistan and shall use its best efforts to ensure that the Name of CA firm 's
personnel and their dependents, while in Pakistan and local employees of the Name of CA
firm shall respect and abide by all laws and regulations in Pakistan. 5.11 Proprietary Rights of the Agriculture Department in Reports and Records etc.
All reports and relevant data such as maps, diagrams, plans, statistics and
supporting records or materials compiled or prepared in the course of the Services shall be
confidential and shall be the absolute property of the Agriculture Department. The Name of
CA firm agrees to deliver all these materials to the Agriculture Department, within thirty (30)
days, upon financial closure or termination of this Agreement, whichever occurs earlier. The
Name of CA firm may retain a copy of such data but shall not use the same for purposes
unrelated to this Agreement without prior written approval of the Agriculture Department.
5.12 Duration of this Agreement
This Agreement is valid for an initial period of two seasons namely Rabi
2016-16 and Kharif-2017 (covering 14 months) unless extended otherwise in writing and
with mutual consent only after stating the valid justification of the compelling reasons for
this. The Name of CA firm shall perform the Services under this Agreement in compliance
with the timing set forth which shall not be delayed or extended unduly.
5.13 Notice of Delay
In the event that the Name of CA firm encounters delay in obtaining the
required data, services or facilities set forth hereto for the provision of the Services, the
Name of CA firm shall promptly notify the Agriculture Department of such delay. For any
delay that occurs due to no fault on the part of the Name of CA firm, the Name of CA firm
may request an appropriate extension of time for completion of the Services where
completion of Services would extend beyond 14 months from the commencement date.
ARTICLE VI
General Provisions 6.1 Suspension
(a) If any of the following events shall have happened and be continuing,
the Agriculture Department may by twenty (20) days prior written
notice to the Name of CA firm suspend, in whole or in part, payments
due thereafter to the Name of CA firm under this Agreement:
(i) The Name of CA firm shall have failed to perform any of its
obligations under this Agreement or any of the reports provided by the
Name of CA firm under Section 5.3 shall be unsatisfactory to the
Agriculture Department. (ii) Any other situation shall have arisen which, in the reasonable
opinion of the Agriculture Department, interferes, or threatens to
interfere, with the successful carrying out of the Services and the
Project or the accomplishment of the purposes of this Agreement.
(b) During the period of suspension of the Name of CA firm, the Name
of CA firm shall continue to carry out such actions as are required to
cure any default. 6.2 Termination of this Agreement by the Agriculture Department
(a) The Agriculture Department may by written notice to the Name of CA
firm terminate this Agreement if:
(i) Any of the conditions referred to in Section 6.1 shall continue
for a period of fourteen (14) days after the Agriculture Department
shall have given written notice to the Name of CA firm of suspension
of payments to the Name of CA firm under this Agreement; or (ii) The Name of CA firm breaches any of its obligations under the
Agreement.
(b) In any event, the Agriculture Department may, at its sole discretion and
for any reason whatsoever, terminate this Agreement at any time by
giving not less than thirty (30) days' prior written notice to the Name
of CA firm.
6.3 Termination of this Agreement by the Name of CA firm
The Name of CA firm shall promptly notify the Agriculture Department in
writing of any situation or of the occurrence of any event beyond the reasonable control of the
Name of CA firm which makes it impossible for the Name of CA firm to carry out its
obligations hereunder. Upon confirmation in writing by the Agriculture Department of the
existence of any such situation or event, or upon failure of the Agriculture Department to
respond to such notice within fifteen (15) days of receipt thereof, the Name of CA firm shall
be relieved from all liability from the date of such receipt for failure to carry out such
obligations, and the Name of CA firm may thereupon terminate this Agreement by giving
not less than thirty (30) days' prior written notice thereof.
6.4 Termination Procedure
(a) Upon termination of this Agreement under Section 6.2 or under
Section 6.3, the Name of CA firm shall take immediate steps to
terminate the Services in a prompt and orderly manner, reduce losses,
and keep further expenditures to a minimum.
(b) Upon termination of this Agreement (unless such termination shall
have been occasioned by the default of the Name of CA firm), the
Name of CA firm shall be entitled to be reimbursed reasonable costs
as shall have been duly incurred prior to the date of such termination
including out-of-pocket expenses and fees for work performed towards
a deliverable output, at a rate to be agreed, taking into account the
proportional amount of work undertaken and the time spent relative to
the indicative level of effort as set out in scope of assignment, and for
reasonable costs, including fees, incidental to the orderly termination
of the Services, but shall be entitled to receive no other or further
payment.
(c) Upon termination of this Agreement, all work in progress and related
material, record and reports shall be immediately returned to the
Agriculture Department.
6.5 Settlement of Dispute
Any dispute or difference arising out of this Agreement which cannot be
amicably settled between the parties shall be finally settled under the Arbitration Act, 1940
by one or more arbitrators appointed there under. The arbitration shall take place in Lahore,
Pakistan or such other place as agreed by the parties. The resulting award shall be final and
binding on the parties and shall be in lieu of any other remedy. 6.6 Force Majeure
(a) If either party is temporarily unable, by reason of force majeure, to
meet any of its obligations under this Agreement, and if such party
gives to the other party written notice of the event within fourteen (14)
days after its occurrence, such obligations of the party as it is unable to
perform by reason of the event shall be suspended for as long as the
inability continues.
(b) Notwithstanding (a) above, the Name of CA firm shall continue to
perform its obligations under this Agreement as far as it is reasonably
practical, and shall seek all reasonable alternative means for
performance not prevented by the Force Majeure event.
(c) No party shall be liable to each other for loss or damage sustained by
such other party arising from any event referred to in Section 6.6(a) or
delays arising from such event.

(d) The term "force majeure", as employed herein shall mean an event or
situation beyond the control of the Name of CA firm or the
Agriculture Department that is not foreseeable, is unavoidable, and its
origin is not due to negligence or lack of care on the part of the Name
of CA firm. Such events may include acts of God, strikes, lock-outs or
other industrial disturbances, acts of the public enemy, wars,
blockades, insurrection, riots, civil disturbances, explosions, and any
other similar events, not within the control of either party and which by
the exercise of due diligence neither party is able to overcome. 6.7 Variation of Agreement
This Agreement may be varied by agreement between the Parties. All such
variations shall be in writing signed by the duly authorized representatives of the Parties.

ARTICLE VII
Effective Date; Miscellaneous
7.1 Effectiveness
This Agreement shall become effective upon the date notice is given to
proceed with the Services under Section 2.2 and shall, subject to the terms of this Agreement,
be in full force until the provision of the Services and all payments therefore have been
completed and at such time the Parties shall be mutually released from all obligations
hereunder. 7.2 Authorized Representative
Any action required or permitted to be taken and any document required or
permitted to be executed under this Agreement, may be taken or executed on behalf of the
Name of CA firm by the Project Director or his/her designated representative, and on behalf
of the Agriculture Department, by a person duly authorized. 7.3 Notice or Requests
Any notice or request required or permitted to be given or made under this
Agreement shall be in writing in the English language. Such notice or request shall be
deemed to be duly given or made when it shall have been delivered by hand, mail, facsimile
to the party to which it is required to be given or made at such party's address specified
below, or at such other address as the parties may specify in writing.

7.4. No Waiver; Remedies Cumulative.
No failure or delay on the part of any party in exercising any right, power or privilege
hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any
rights, power or privilege hereunder preclude any other or further exercise thereof or the
exercise of any other right, power or privilege. The rights, powers and remedies herein
expressly provided are cumulative and not exclusive of any other rights, power and remedies,

which the parties would otherwise have. 7.5. Governing Law.
This Agreement will be governed by and construed in accordance with the laws of
Pakistan. 7.6. Counterparts.
This Agreement may be executed and delivered in one or more counterparts, each of
which when so executed and delivered shall be an original and all of which shall together
constitute one and the same instrument. 7.7. Severability.
If any provision hereof is rendered invalid or unenforceable in any jurisdiction then,
(i) to the fullest extent permitted by law, the other provisions hereof shall remain in full force
and effect in such jurisdiction and the parties agree to carry out the agreements contained
herein to give effect as near as possible to the original intention of the invalid or
unenforceable provision and (ii) the invalidity or unenforceability of any provisions hereof in
any jurisdiction shall not affect the validity or enforceability of such provision in any other
jurisdiction.
7.8 Entire Understanding
This Agreement together with all the Appendices attached hereto are intended by the parties
