INTRODUCTION

Terra Agric is a social impact enterprise which primarily focuses on two areas:

1. Facilitating high potential young agricultural graduates with a complete holistic business environment that provides knowledge, experience, capital, technology, logistics, farm inputs, and marketing focusing on producing in compliance with GLOBAL GAP standards.

2. Producing consumer products through Farm Future certified farmers for the high end (local) markets that comply with the highest international food standards for international food export.

Area of operation is sub-Sahara Africa and Asia. The Farm Future program is to be enrolled in Ghana,

India, Nigeria, South Africa in 2018 and in Uganda in 2019.

The Impact Objective of Farm Future is to create family-based farming enterprises with middle-

income generation capacity, and provide consumers with national produced and processed food

that complies with the highest international export standard for quality and food safety.

farming, training, advisory services, and risk management. (FARM FUTURE)

IMPACT GROUP TWO Consistent market supply achieved through certified “Farm Future best farm

practices”, delivering and/or facilitating inputs and technology to enable “Farm Future best farm

practices”, and enabling “just on time” delivery to market. (FARM BEST and FARM POWER)

IMPACT GROUP THREE From seed to plate achieved through marketing farm produce, adding value

in order to comply with consumer demand, processing farm produce to industrial derivate,

consistent monitoring farm production processes, facilitating administration and logbook

information, accountability through certification ensuring traceability and consumers information.

RESEARCH

Modern farming is highly knowledge driven, for that

reason it is crucial to establish a center for consistent farm

methodology research. This research center is where

science translates, consumer demand, in using the newest

technologies in safe and reliable food production

ON THE JOB FF MASTER EDUCATION

Efficient knowledge needs practical application. As such the Farm Future Master is a practical based

education program that coaches students in developing theoretical knowledge and applying it by

developing practical farm enterprise skills.

ENVIRONMENT OF SUCCES

The Farm Future farmer needs an environment of farm success with successful farmer role models

and access to land, farm inputs, finance, market and coaching.

PRODUCTS OF QUALITY

Farm Fresh produced by the Farm Future farmers is complying with the world highest quality

standards and reliable market prices.

Farming is about good family life, as such the farmers family is at the center of every Farm Future

enterprise sustaining the family long-term, which creates a basis for transferring the farms from

generation to generation.

Farm Future is Terra Agric’s core program, is a holistic farmers

trainings and facilitation program that is focuses on high potential

young agricultural graduates who want to start their own farm.

FARM BEST

Farm Best is the brand that is developed by Terra Agric for Terra

Agric developed technology, seeds,

parent animals, inputs that are required

in the “farm future” farm methodology.

FARM FRESH

Farm Fresh is the consumer brand that is

developed by Terra Agric for the high-end

consumer market in the various

countries of operation.

FARM POWER Farm Power is the green electricity and heat production that is

produced by the Farm Future farmers and is needed for farm

operations, product processing and natural consumers demand.

FINANCE SERVICES

Terra Agric Investments BV provides through the Farm Future Finance BV (FFF) in compliance with

regulations and permits, provided and regulated by various (national) banks the following financial

products for Farm Future farmers.

FF EQUITY

Farm Future Equity is provided to all Farm Future certified

companies, monitored by the local partner Farm Future Finance

company.

FF LEASE Farm Future Lease leases equipment, breeding parents,

processing technology to Farm Future certified companies,

monitored by the local partner Farm Future Finance company.

FF REAL ESTATE Farm Future Real-Estate is developing land for farming and

agricultural industrial purposes and leases exclusively to Farm

Future certified companies, monitored by the local partner Farm

Future Finance Company.

FF CREDIT Farm Future Credit provides exclusively farm credits to Farm Future

certified companies, monitored by the local partner Farm Future

SUPERVISORY BOARD

The Supervisory board has a minimum of 3 members of with at least two members are from the

partner countries. This board is meets a minimum of four times a year and it appoints and supervises

the corporate management, its strategy and results. It identifies risks and demand regular reports

on the apparent and changes in business risks. The supervisory board over sees the annual budgets

and keeps the corporate management on its formulated targets.

CORPORATE MANAGEMENT

The corporate management contains two positions for now first the chief executive officer (CEO)

and second the position of the chief operations officer (COO). The CEO is responsible for corporate

leadership, designs and implements the strategy, represents the company outside the organization

and is responsible for risk management and escalation. He/she with the COO oversees the corporate

management. He reports at least four time a year to the advisory board about the results and risks

of the business operations and if targets are met, or if strategy needs to be adjusted.

The COO is responsible for the day to day operation within the organization he/she together with

the CEO are responsible for the corporate management of the organization. The COO translates the

targets into measurable action and monitors risks. The COO reports his activities and the

operational wellbeing to the CEO. The COO is responsible for the companies’ information

management.

TA INVESTMENTS BV

TA Investments BV is responsible for the Farm Future projects, to make sure the projects are

commercially sound and financially strong in order to make the Farm Future farmers successful and

the farmers service infrastructure attractive to become ready to be on its own; to make sure such

company is with high attractiveness to be taken over by investors. TA investments BV is the holding

company for the divers Farm Future Finance companies who provide in the various countries

financial services to the Farm Future projects.

TA SERVICES BV

TA Services BV is responsible for all Farm Future operations. It manages the Farm Future projects

and the activities of the various TA CoPCo cooperatives. It is responsible for all products with the

label of Farm Future, Farm Best, Farm Fresh and Farm Power.

TA KNOWLEDGE BV

TA Knowledge BV (TAK) is the newly incorporated limited liability that is responsible for Research

and Education. TAK is in cooperation with affiliated universities in Ghana, Nigeria, South Africa and

Uganda develops a European accredited agriculture Business masters, the Farm Future Master

Certificate. This in close cooperation with worldwide leading agricultural (applied) science

institutions. The Farm Future Master is to start in September 2019.

FFF BV BOARD

This is an independent board and it supervises the investment committee in all aspect of Farm

Future Finance BV and management. With a minimum of five members representing the FFF BV

investors.

FARM FUTURE FINANCE BV

This the first BV that is organized and managed by Terra Agric Investments BV. It an investment BV

with an exit strategy (scope of operations maximum of 15 years).

FARM FUTURE PROGRAM BOARD

This is the board responsible for the capability management and the impact management of the

Farm Future program. It also manages the royalties of the program.

FARM FUTURE PARTNER NETWORK

This is a network of associated partners who provide paid services to the program with or without

the objective to have the right of first interest for the various enterprises financed by the Farm

Future Finance BV.

FF MASTERS PARTNER UNIVERSITIES

The FF master’s partner universities are the contracted universities who enroll FF Master students.

Those universities meet at least ones a year and coordinate the research and spinoff management.
