Gold Jacket, LLC is a joint venture between a real estate investment management company (Cogsville Capital Group), a real estate services company (E Smith Horizons) and a real estate facilities management company (CB Tech).

Gold Jacket, LLC serves as the facilitator between investors and Qualified Opportunity Funds (real estate projects) and Qualified Opportunity Zone Businesses. In addition to the resources introduced by each Gold Jacket, LLC Member, the firm will also hire or partner with other industry professionals to deliver a comprehensive platform for each opportunity.

Opportunity Zones

Opportunity Zone Defined An opportunity zone is an economically-distressed community where new investments, under certain conditions, may be eligible for preferential tax treatment. Localities qualify as opportunity zones if they have been nominated for that designation by the state and that nomination has been certified by the Secretary of the U.S. Treasury via his delegation of authority to the Internal Revenue Service.

How were Opportunity Zones Created?

Qualified Opportunity Zones were created by the 2017 Tax Cuts and Jobs Act. The governor of every U.S. state and territory nominated up to 25% of their low-income census tracts to be certified by the Secretary of the Treasury as Opportunity Zones.

Eligibility was limited to only a portion of each state’s low-income census tracts in order to concentrate capital and increase the likelihood of meaningful economic development taking root in zones. Governors were given discretion to include moderate-income census tracts adjacent to nominated qualifying low-income ones for up to 5% of their nominations.

AME Zion Church – Land-Owner

AME Zion Church is a global faith-based denomination that was founded in 1821. Today, the church has more than 1.4 million members and operates several higher education institutions.

In partnership with Gold Jacket, the church will establish a ground lease and participate in the general partnership as a co-developer by utilizing its community development corporations (CDCs). The initiation of the program is in the Western Episcopal District. This district includes:

• Alaska • Arizona• California• Oregon• Washington

The program, opportunistically, will pursue projects in other regions of the United States. However and based upon the progress of initial efforts specifically in California, Phase 2 involves a proactive effort east of the Western Episcopal District.

Using the 70/30 rule, identify and invest in real estate developments that can be substantially improved to meet the needs of communities following the same investment strategy previously referenced.

Health Village Non-Opportunity Zone Investments

Identify and invest in real estate developments that can be substantially improved to meet the needs of communities designated as opportunity zones. Targeting the top healthcare systems as partners in each city/town, investors own interests in a premier Healthcare investment program comprised of premier anchor credit tenants (i.e. UCLA in Los Angeles).

Health Village Opportunity Zone Investments

Corporate and accredited investment clients can invest capital, as private equity investments, in health village mixed-use real estate projects.

Health Village Program

In partnership with the AME Zion Church, Gold Jacket establishes the Health Village Program for the development of Health Villages throughout the United States and U.S. territories and will serve as a Limited Partner investor.

Health Village ProgramThe BDO Center for Healthcare Excellence & Innovation is responsible for the following:

1. Market research analysis to determine the geographic location of hospitals and services in communities serviced by the AME Zion Episcopal Church;

2. Needs Assessment for community identified; 3. Healthcare program development based upon the needs assessment; and4. Negotiation with premier healthcare systems (top 1 to 3 systems per locale) servicing the targeted communities.
