    CHAPTER C-37.3 REG 1The Co-operatives Act, 1996

    Title1 These regulations may be cited as The Co-operatives Regulations, 1998.

    Interpretation2 In these regulations:

    “Act” means The Co-operatives Act, 1996;

    “document” means a document required to be sent to the registrar pursuantto the Act;

    “form” means a form set out in Part I of the Appendix.

    Forms3 For the purposes of:

    (a) sections 6 and 7 of the Act, articles of incorporation are to be in Form A;

    (b) subsection 7(4) of the Act, a consent to act as a first director is to be inForm B;

    (c) section 83 of the Act, a notice of change of directors is to be in Form C;

    (c.1) section 143 of the Act, an annual return is to be in Form C.1;

    (d) section 148 of the Act, articles of amendment are to be in Form D;

    (e) section 150 of the Act, restated articles of incorporation are to be in Form E;

    (f) section 154 of the Act, articles of amalgamation are to be in Form F;

    (g) section 156 of the Act, articles of continuance are to be in Form G;

    Format4 Every person who files a document pursuant to the Act shall:

    (a) use the appropriate form provided by the registrar; or

    (b) prepare a form that:

    (i) is in the form prescribed in section 3;

    (ii) is on good quality, letter size, white paper;

    (iii) is printed or typewritten; and

    (iv) is legible and suitable for microfilming and photocopying.

    Filling out documents5(1) Where an item required to be disclosed in a document does not apply, theperson preparing the document shall indicate that fact by placing the phrase “notapplicable” or the abbreviation “N/A” in the space provided in the document.

    (2) Where any provision required to be set out in a document is too long to be setout in the space provided in the prescribed form or an agreement or other documentis to be incorporated by reference and to be part of a document, the personpreparing the document may incorporate the provision, agreement or otherdocument by:

    (a) setting out the phrase “The annexed schedule (number) is incorporatedin this form” in the space provided on the document; and

    (b) annexing the provision, agreement or other document to the document.

    (3) A separate schedule is required with respect to each item that is incorporatedby reference in a document pursuant to subsection (2).

    Dividend rate6 For the purposes of clauses 3(e) and 35(1)(c) of the Act, no co-operative shall payinterest or a dividend on its common shares at a rate that is greater than theaverage of the rate paid by the Saskatchewan Co-operative Credit Society Limitedfor one-year term deposits, calculated using the rate for one-year term deposits onthe first business day of the first, fourth, seventh and tenth months preceding thedate that the interest or dividend on the co-operative’s common shares becomespayable.

    Qualifications of directors7 For the purposes of clause 75(1)(f) of the Act, a person is not eligible to be adirector of a co-operative if the person is the auditor or a trustee of the co-operative.

    Minimum amount of bond8 For the purposes of section 95 of the Act, the minimum amount of a security orfidelity bond is:

    (a) $1,000 in the case of a co-operative with annual sales or revenuesof $25,000 or less;

    (b) $2,000 in the case of a co-operative with annual sales or revenuesof $100,000 or less but more than $25,000; and

    (c) $5,000 in the case of a co-operative with annual sales or revenues of morethan $100,000.

    Procedures on appeal of termination of membership9(1) Where a person appeals the termination of his or her membership to theregistrar pursuant to section 123 of the Act, the person shall submit a writtenstatement to the registrar within 30 days after the date of:

    (a) the members’ resolution terminating his or her membership pursuant tosection 122 of the Act; or

    (b) the members’ confirmation of the directors’ order terminating his or hermembership pursuant to subsection 121(2) of the Act.

    (2) A person appealing the termination of his or her membership shall state in thewritten statement required pursuant to subsection (1):

    (a) any reasons for the termination of the membership of which the personhas personal knowledge;

    (b) the grounds on which the appeal lies; and

    (c) any relevant facts or information, in addition to those described inclauses (a) and (b), that the registrar may require.

    (3) The registrar shall hold a hearing of an appeal pursuant to section 123 of theAct within 30 days after the date that the registrar receives a completed writtenstatement pursuant to subsection (1).

    Annual financial statements10 The comparative financial statements required pursuant to section 128 of theAct are to include:

    (a) a statement of assets and liabilities in the form of a balance sheet as atthe end of each period;

    (b) an income and expense statement for each period; and

    (c) a statement of retained earnings or members’ equity for each period.

    Auditor’s report11 For the purposes of subsection 139(1) of the Act, the auditor of a co-operativeshall indicate in the auditor’s report whether or not the financial statementscontained in the report:

    (a) were prepared in accordance with generally accepted accounting principles;and

    (b) are presented on a basis consistent with that of the preceding year.

    Annual return exemption12 Clause 143(1)(a) of the Act does not apply to an extra-provincial co-operativethat is registered pursuant to the Act solely for the purpose of becoming a memberof the Co-operative Superannuation Society.

    Prohibition on continuance of housing co-operatives13 No co-operative to which Part XXIII of the Act applies shall apply forcontinuance pursuant to section 157 of the Act without the prior consent of theregistrar.

    Exempt securities14 For the purpose of subsection 221(1) of the Act, a co-operative is not required tohave the Co-operatives Securities Board review or approve:

    (a) any securities of the co-operative where the purchase of the security is arequirement of membership in the co-operative as set out in the bylaws andthe total value of those securities purchased by the member does notexceed $1,000;

    (b) securities to be sold only to:

    (i) a trust corporation licensed pursuant to The Trust and LoanCorporations Act;

    (ii) a loan corporation licensed pursuant to The Trust and LoanCorporations Act;

    (iii) an insurance company licensed pursuant to The SaskatchewanInsurance Act;

    (iv) a credit union incorporated, continued or registered pursuant toThe Credit Union Act, 1985; or

    (v) a bank to which the Bank Act (Canada) applies;

    (c) prepaid accounts where the member pays for goods and services inadvance of delivery;

    (d) any shares issued in payment of:

    (i) a dividend or interest payment on shares; or

    (ii) a patronage dividend;

    (e) any securities of the co-operative sold only to members of the co-operativewhere all the members are also directors of that co-operative;

    (f) any securities of the co-operative sold only to members of the co-operativewhere:

    (i) the proceeds of the securities sold are used to purchase assets thatare used solely by or for members; and

    (ii) the total amount raised by a co-operative pursuant to this exemptiondoes not exceed $100,000; or

    (g) any securities of the co-operative sold only to members of the co-operativewhere:

    (i) the proceeds of the securities sold are used to pay any of thefollowing costs:

    (A) costs related to the preparation of feasibility studies, businessplans and other similar documents;

    (B) costs related to the preparation of any materials used or costsincurred in relation to an offering of securities by the co-operative; and

    (ii) the total amount raised by a co-operative pursuant to this exemptiondoes not exceed $100,000.

    Consumers’ co-operatives reserves15 For the purposes of subsection 241(2) of the Act, a consumers’ co-operative isnot required to place in its reserve at the end of each fiscal year any book gains inthat fiscal year that are less than $5,000 in total.

    Bylaws of housing co-operatives16 For the purposes of subsection 254(1) of the Act, a housing co-operative musthave in its bylaws the following provisions:

    (a) the co-operative shall provide a copy of the bylaws and the occupancyagreement to every member;

    (b) each member is entitled to have quiet enjoyment of his or her unit;

    (c) either the co-operative or the member is responsible for:

    (i) the maintenance of the residential unit in a safe, habitable andreasonable state of repair;

    (ii) the repair or replacement of fixtures; and

    (iii) any damage to the unit;

    (d) the co-operative and its agents, except in the case of an emergency, mustgive reasonable notice to the member prior to entering the member’s unit;

    (e) the co-operative shall allow candidates for public office access to thecommon premises of the co-operative;

    (f) the co-operative shall give three months’ notice of any increase in housingcharges except where:

    (i) the registrar approves a shorter notice; or

    (ii) the members have unanimously approved the increase at a generalmeeting;

    (g) the co-operative shall give a minimum of 30 days’ notice to a member ofthe termination of his or her membership except where the membercontravenes any bylaws governing:

    (i) ordinary cleanliness of the unit after having received written noticeof the contravention;

    (ii) the use of the premises for prohibited purposes; or

    (iii) payment of housing charges; and

    (h) there is to be no acceleration of housing charges.

    Fees17(1) Subject to subsection (2), any person who wishes to file a document with theregistrar or examine or copy any document filed with the registrar or who requestsany service of the registrar shall pay the appropriate fee set out inTable 1 of Part II of the Appendix.

    (2) Only one fee pursuant to item 20 in Table 1 of Part II of the Appendix or acomparable provision of The Business Corporations Regulations, The BusinessNames Registration Regulations, The Credit Union Regulations, The Names ofHomes Regulations or The Non-profit Corporations Regulations, 1997 shall becharged where a report is prepared that includes names registered pursuant to TheBusiness Corporations Act, The Business Names Registration Act, The Credit UnionAct, 1985, The Names of Homes Act or The Non-profit Corporations Act, 1995 inaddition to names registered pursuant to the Act.
