Background Following several years of development and refinement of a patented building construction system, and additional patentable building technology designs incorporating existing building materials in a unique way, adding ground breaking standards of sustainability to the conventional concerns of economy, utility, durability, and comfort in the built environment, The Wall System and several of it’s applications, that are highly competitive and provide significant energy saving efficiencies in building constructions and related products, are poised to be launched “The Wall Construction System”(The System), and the applications and products that arise from it have been designed and developed to provide building structures that are earthquake, hurricane, flood and fire resistant while at the same time significantly reducing energy consumption. As global environmental issues increasingly become urgent, we will remain primarily focused upon producing and delivering products that meet the highest international standards, minimize the impact upon the environment and pass on to future generations a less contaminated and energy efficient world.
INTELECTUAL PROPERTY A BUILDING, A WALL PART FOR THE BUILDING AND AN ELONGATED ELEMENT FOR THE BUILDING
There are at present three patents granted and issued and additional patents pending to make this a patent family which will gradually be incorporated into future generations of the building system. All patents are managed by Inspicos, a patent prosecution firm ranked Tier 1 in Denmark by MIP. The present invention relates to a building comprising thermally conducting wall parts and a skeleton structure of hollow, elongated elements, the building having means for removing heat from or providing heat to the wall parts by flowing liquid or gas within the hollow elements so as to heat/cool the building. A building comprising electrically conducting building elements and wall parts, means of providing power to/from the building elements, as well as a patented method of erecting the building.

BRIEF DESCRIPTION OF THE SYSTEM The System, is an innovative combination of ecologically sustainable and non-toxic building materials: aluminum, insulation, electronic components etc…. The System’s innovative construction design consists of an inner and an outer shell with an optimized insulation layer in between. Both shells utilize super hollow aluminum profiles serving the same function as studs through which geothermal heating and cooling properties circulate, thus making geothermal heating/cooling an integral part of the structural design. The inner shell is super insulated allowing a great degree of temperature control and conservation (attachment 4, page 26). The outer shell functions as an improved thermal envelope that intercepts and redirects thermal

fluctuations vertically through the ground preventing thermal bridging, and reducing common stack effects. Inside the inner shell, the profiles are interfaced with perpendicular insulated aluminum sheets that transfer The System’s thermal properties throughout the whole structure. The profiles also provide continuous fresh air flows eliminating the need for ventilation by means of opened windows and doors, with the possibility of employing filters for air quality control. The aluminum sheets also deliver electrical properties throughout the wall thereby eliminating electrical cabling (attachment 5, page 27). This advantage, integral to the structural design allows a DC power operation by any means of DC supply including photovoltaic solar panels that can have improved performance due to the cooling provided by the aluminum frame.

VALUE PROPOSITION The System answers the rapidly increasing interest and largely unmet demand for action on environmental and building cost issues, water management, recycling, toxic building materials, energy use and conservation, offering a ground breaking solution to the global challenge facing the building and urban planning industries eliminating the reliance on the globally limited reserve of fossil fuels, for heating and

cooling thereby significantly reducing CO2 emissions, shifting to renewable energy sources, while at the same time creating healthier and safer living and working environments. When incorporated into a building structure, The System provides structural integrity while simultaneously providing comfortable interior environments and significantly reduced operating costs. Approximately 40% of the total energy consumption on a global scale is attributed to the residential (homes and apartments) and commercial sectors (offices, malls, stores, schools, hospitals, etc...). Of the total building consumption, space heating and air conditioning account for roughly 50%, mainly relying on fossil fuels. The System is a revolution in HVAC (Heating, ventilating, and air conditioning). The System is able to entirely eliminate conventional HVAC systems in certain climates or reduce over-reliance upon HVAC systems in extreme climates. The System is an easy to assemble, cost effective method of construction. The net weight mass of any building erected by use of The System retains its value anytime the building is dismantled for recycling. As Aluminum can be recycled indefinitely, its value will always be preserved. The System sets new standards for sustainability and cost effectiveness in the built environment and the building process. As briefly described above, it is The System’s unique combination of materials in building constructions that: • Disperses (or utilizes) a building’s warm external surface temperatures without
disrupting the building’s internal cooling (or heating) properties through integration of the exterior and interior walls into underground basins that passively disperse or dispense warm or cool air through the interior aluminum profiles.
o Green Result – reduces the building’s total electrical consumption by
eliminating HVAC systems (or over reliance upon such systems) and improves interior air quality.
o Economic Result – reduces a significant component to a building’s overall operating cost and enhances the building’s performance.
• Disperses warm or cool air flows through the interior hollow aluminum profiles utilizing solar-powered 12 volt DC 50 year-rated silent fans.
o Green Result – reduces CO2 greenhouse emissions and utilizes renewable
energy sources. o Economic Result – eliminates the cost in many cases of conventionally
powered heating systems.
• Incorporates within the wall additional aluminum sheeting that delivers electrical

power for interior and exterior connections and allows DC based power operation
o Green Result – eliminates electrical cabling and instead utilizes a recyclable
building material. Eliminates AC/DC conversion and component requirements, sparing natural resources and reducing industrial waste.
o Economic Result – reduces labor costs as sheeting is built within the wall
during assembly. Shifting to renewable energy sources. • Incorporates innovative LED lighting systems.
o Green Result – further reduces electrical consumption demands due to lower voltage and amperage requirements as lighting can be solely powered through solar and wind resources.
o Economic Result – reduces costs of electricity and in some cases can
eliminate the need to be connected to electrical power grids. • Incorporates wireless communication systems through electronic components
that function passively or actively upon user demand. o Green Result – provides higher living standards through an integrated whole-
building design. o Economic Result – eliminates multiple and disconnected building systems and
integrates all systems into a cost-effective wireless communication protocol.
APPLICATIONS OF THE SYSTEM The System has the following ecologically sustainable and low-energy consuming primary applications:
• Residential houses capable of withstanding damage from all but the most
sever cases of earthquakes, hurricanes, and floods, while yet being structurally fire proof.
• Energy and cost-efficient commercial and industrial buildings, schools,
hospitals, etc... • Temporary/permanent shelters for deployment in disaster areas or in
slums/townships.
• Commercial food management systems. • Secure telecommunication shelters.

• Greenhouses capable of being located in extreme climates. • Enclosures for aquaculture facilities. • Public space enclosures.
Ancillary applications and products of The System include:
• LED lighting systems and integrated wireless communication systems. • Home kitchens that eliminate the need for conventional refrigeration. • Water management systems for the collection and purification of rainwater. • Other technologies under development
STRUCTURES There are at present three types of residential structures at various stages of development incorporating The System. The first type is The Shelter a simple structure incorporating the basic physical properties of The System. The second type of house expands upon the core technologies and is targeted to mature market end-users making a consumer decision in the selection of the house from an array of competing choices. The key factors in both houses are that each type of house is earthquake, hurricane, flood, and fire resistant, ecologically sustainable, low energy consuming, and competitively priced compared to traditionally built structures. The basic house primarily incorporates only the thermal properties of The System. In some markets and price points, The System’s electrical properties and integrated wireless communications system may also be included, as well as window systems, proprietary water management systems, LED lighting systems, and solar and wind power systems used for purposes such as heating and lighting. A more advanced house design incorporates the same features of our basic house, yet dramatically expands the features through fully integrated systems and additional technologies we have developed. These advancements include a proprietary wireless Hi-Fi wall, a water treatment system that re-circulates household water and eliminates waste in an ecologically safe process, and proprietary kitchens that eliminate traditional refrigeration. The ultimate house with water and sewer management aggregates fully functions with low voltage requirements and would not need to be linked to municipal water and sewer systems, or electrical power grids, however the structure is fully compatible with and would be manufactured to accommodate conventional supply/collection standard solutions.

The shelter The shelter is a proprietary design for a structure that addresses military and humanitarian aid requirements on rapid construction for sheltering or resettling large numbers of displaced victims of natural disasters or refugees from political turmoil. The shelter is also an alternative to any form of informal housing, so called slum. The most striking feature of the shelter is that is requires little manufacturing since the whole design is a combination of insulation material and aluminum sheets that are extremely easy to transport and assemble. The Shelter is a "low tech" well-insulated structure of 15-25 m2 in preliminary two variants Type A(attachment 3, page 23-25) and B, with thermal cooling and heating functions. The structure is characterized by mass production; it is very inexpensive to produce since it requires only minimal processing. In addition it can be assembled quickly without special skills. Optionally accessories to the Shelter such as kitchen and the possibility of different exterior cladding / decoration can be added. The market for the Shelter will typically be disaster areas or refugee camps in urgent need of accommodation as well as slums/townships.
The Mini House The second type of structure is the Mini House or the Japanese house. A simple structure of up to 50-60 m2, that can be expanded modularly incorporating the system's thermal as well as the electrical properties that allow DC power operation. The Mini house is based on a 36 m2 prototype constructed in Klampenborg, Denmark (attachment 2, page 20-22) and contains high-tech features such as differentiated climate control that allows different temperatures in different rooms, integrated wireless communication systems, LED lighting system and advanced water management systems for optimal utilization of rainwater. The Mini house can be divided into several compartments and can be equipped with accessories such as a cooking section and toilet / bathroom facilities. The Mini house is marked by luxury and comfort and architectural preferences and targeted to end-users seeking high standards of comfort. The Mini house can become the new standard for Scandinavian summerhouse or cottage construction, or for youth and elderly housing. The Mini house is suitable for any type of row or cluster construction.
The Family House The third type of structure is a single house or a single family house of about 120-150 m2. The Family house uses the system's core technologies and is targeted to end users given an opportunity to choose from a wide range of competing options of materials and finishes, equipments and architectural designs, all depending on individual economical considerations. A prototype of the Familyhouse is under construction in Udsholt, Denmark (attachment 1, page 16-19).

All three structure types consist of units or components which can be produced by the same industrial process but can be assembled into different end products (attachment 6, page 28).
MANUFACTURING THE SYSTEM A strategic goal in the commercialization of The System is to develop processes that incorporate the physical properties of The System into manufactured applications and products, by having an option to choose among a variety of methods of production that can be tailored to specified contract demands and delivery timelines. For instance, mass-produced houses are well-suited to manufacturing processes such as roll forming, whereby manufactured panels or entire walls are delivered to a building site and “clicked” together or set in place in finished modules. Shelters on the other hand can be prefabricated in entire units. Another option for individual projects is standard off-the-shelf extrusion profiles that can be cut and welded on site. Developing manufacturing processes requires investment in architectural, engineering and manufacturing designs and although it is clear that developing such processes will significantly result in our capacity to deliver on high volume building contracts, we however are primarily focused on developing and integrating new technologies in The System as well as undertaking management control of the technological performance of The System and related products. Therefore we are looking to implement the use of The System primarily through licensing to major worldwide producers and manufacturers of aluminum, Sapa, Alcoa, Norsk Hydro or others, as they possess worldwide production and distribution networks and logistical infrastructures and with high delivery reliability within short time frames.
PRICING Building using The System is less expensive than building using conventional building methods and materials, giving The System, along side the obvious energy saving and environmentally friendly aspects, a strong competitive edge when it comes to building cost (attachment 7, page 29-35). The market price average pr square meter of building in Denmark is around 12 000 dkk. A price calculation for a basic 120 sq.m house using The System( based on the UK/Udsholt model) shows a figure around 5 000 dkk/sqm, where the least expensive conventional alternative starts at 7000 dkk and goes beyond 30 000 dkk depending on quality and finish. The economical advantage is far more clear to see when The System is compared to market alternatives in sustainable building technologies,

where the building cost per sqm starts at no less than 20 000 dkk going upwards. It is worth noticing that alternative sustainable building technologies that actually show proven energy efficiencies are heavily reliant on architectural layouts that limit the general use of space, and confines it to specific functions. An obvious example is green lighthouse technology by Velux/cowi for the University of Copenhagen, and for the Viborg Rådhus under construction, which only functions when the built space is shaped like an atrium. With regards to the shelter model, a price calculation for the whole structure (a fully enclosed structure) of 23 sq.m benefiting from thermal qualities derived from The System shows a total cost of 9000 $ (Type B) which starts out as a temporary shelter but can be converted into a permanent settlement. Since the competition is mainly focused on tents as a means of sheltering the abovementioned displaced and refugees. As the shelter actually is a house that offers privacy and comfort to its inhabitants, it is fair to consider competition to The shelter as virtually non existent. The shelter structure is in fact a unique solution.
PROJECTS
With several patents issued and granted by the conclusion of the initial research and development phase, we are one step from being positioned to immediately launch The System for manufacturers and entrepreneurs. We have, at an early initial stage constructed a 36 m2 prototype building in Klampenborg, Denmark using simple hand tools that fully demonstrate the physical properties of the PCT patents and building construction system. The prototype building further demonstrated the dramatic energy savings that may be realized in buildings incorporating The System. Another 120 square meter test structure is underway in Udsholt to formalize thermal and static descriptions and a retrofit application into an existing structure is another approach planned to take place simultaneously in 2012. Besides from the benefits of the technologies behind The System both test house projects will be set into architectural frameworks that would draw from experience gained in recent years on sustainable building strategies on one hand and prove the versatility of The System to fit all cultural contexts on the other. The objective is to achieve an industrial design that can become the benchmark for future housing design and technology.

MARKET POTENTIAL The market potential over a forty-year period- up to year 2050 - is extremely high for the building system which is inexpensive, energy efficient and easy to assemble, provided mass production at market price. All three structure types represent, both in terms of construction cost and energy efficiency, strong alternatives to conventional competitors. For the Shelter targeting disaster and "non-formal" housing areas (slums), it can be observed without using resources on extensive market surveys, that areas with "non- formal" settlements are constantly growing in step with the massive immigration of populations from rural to urban areas throughout the world. With regards to disaster areas it can be clearly observed that the need for resettlement in the wake of natural disasters or political unrest, as in Haiti, Pakistan, or Darfur, to name but a few examples, are quite enormous. The potential market for shelters with an area of 23 m2 and a square meter price of 300 $ - is in the millions The Mini House, which is characterized by luxurious technological/architectural solutions, may be the new standard for typical summerhouse constructions as known in the Scandinavian countries or the typical houses in the Japanese market. In addition, the Mini House is an obvious solution for youth and senior housing and all types of cluster-constructions regardless of architectural and cultural contexts. The potential market for mini-house with an area of 50 m2 and a square meter price of 1600 $ - is also in the millions. The single family house is, in addition to technology and architecture characterized by levels of economy from basic to state of the art luxury, and may set the new standards in its segment. As with the Minihouse, the family house is also suitable for row house or any type of cluster building. The potential market for the family house, with an area of 120 m2 and a square meter price of 1400 $ is similar to the minihouse. What share of the global construction market can we expect to take over, given the clear benefits of the System? A crucial factor in answering the above question lies in the effort we invest into establishing the System as an obvious, effective and accessible alternative. Marketing plays a crucial role in this regard. Needless to say, the novelty is clearly to our advantage. A focused and well funded and implemented marketing strategy for a new product usually guarantees 5% of a given market. We are naturally aware of the astronomical figures mentioned above, never the less we believe in the Systems potential, and therefore we will seek alliances with partners who can bring us the closest towards realizing the Systems full market potential.

Our vision is developing and selling through regional subsidiaries and licensing to major aluminum producers, a building technology and an industrial design that becomes the benchmark of future building technology when addressing issues of sustainability, living and working and building environment, CO2 emissions, renewable energy sources, building cost etc… Our objectives:
• Generating profit and cash flow from initial market entry.
• Due to the obvious economical benefits, and the advantages of an unmet global
market, achieve substantial annual growth figures.
• Developing the first truly environmentally friendly and sustainable building
technology.
• Developing the first fully self sufficient thermal regulation using renewable energy
sources, as well as water and waste management using proprietary patented or patentable technologies.

FINANCE To date all development costs are absorbed. Calculations of the funding that occurred between 2004-2011 show a figure in excess of DK 19 000 000, evenly distributed between seed funding and labor spent by a highly committed group of individuals sharing the belief that The System is the answer in the context of a building structure, to a wide array of issues ranging from the economical to the Technological and environmental and even humanitarian. The result so far is a family of issued structural and electrical patents as well as a patented method of assembly, and an extensive know how unique to the people who have been involved in the development process. The value of the issued patents more than matches the amount of labor and cash expenditure spent for development so far. At this stage there is need of additional funding to complete the development of and the conclusion of the 0-series 120 m2 prototype as well as the construction and the testing of different Shelters for different geographical areas. The erection and testing of those structures is crucial before market entry. The thermal and static descriptions are decisive on issues of production and material requirements as to the thickness and surface area of the Aluminum tubing, the appropriate specific alloy for any given soil type, the grade of insulation, cost optimization, price forecasting, etc… all for the purpose of achieving optimal engineering and manufacturing know how when entering different types of building contracts for different needs. The capital increase is thought as free working capital for making further innovative products, for branding, marketing and sales strategy, for buying components and paying for prototype development, for the structuring of a competent organization (attachments 8,9 page 36-39), for future strategies, etc… The overall objective with the current needed capital increase is to complete last phase of development and to provide for an international business plan for high growth and profitability.
