ROLL CALL Present: Mayor Rob Rennie, Vice Mayor Steve Leonardis, Council Member Marcia Jensen, Council Member Marico Sayoc, Council Member Barbara Spector. Absent: None PLEDGE OF ALLEGIANCE The Van Meter Elementary School Student Council led the Pledge of Allegiance. The audience was invited to participate. OUR TOWN… Sergeant Jaime Fields - Presented information on the Community Emergency Response Team (CERT).

BOARD/COMMISSION/COMMITTEE APPOINTMENTS The Clerk announced the voting process and distributed the ballots. The meeting continued while the Clerk tallied the votes. COUNCIL/TOWN MANAGER REPORTS Council Matters - Council Member Spector stated she attended the General Plan Advisory Committee

meeting, the Water Commission meeting, a Los Gatos Community Foundation event honoring long-time resident Don Callahan, and met with community members.

- Council Member Sayoc stated she attended the Cities Association Executive Board meeting, the Silicon Valley Leadership Group Public Policy luncheon with Mayor Rennie, and the Teacher of the Year celebration for Santa Clara County school districts with Vice Mayor Leonardis.

meeting, the Council Policy Committee meeting; he met with the Town Manager, the Police Chief and Captain Tada; he attended the Silicon Valley Clean Energy Authority (SVCEA) Risk Oversight Committee meeting, the SVCEA Board meeting, the West Valley Mayors and Managers meeting, the Valley Transportation Authority (VTA) Board meeting as alternate, the ribbon cutting for the Fisher Middle School new track and field reopening, the ribbon cutting for the Vault (formerly Blacys); and he participated in the CERT drill, and attended the memorial for Don Callahan.

- Vice Mayor Leonardis stated he attended the West Valley Solid Waste Management Authority meeting.

- Council Member Jensen stated she attended the Council Policy Committee meeting and met with members of the community.

Manager Matters - Announced the Bicycle and Pedestrian Advisory Commission (BPAC) will host a community

meeting on Thursday, November 8 at 7:00 p.m. in the Council Chambers regarding the Blossom Hill Trail improvements.

- Announced valet parking will begin on November 23. - Announced the Tree lighting at Plaza Park on Friday, November 30, just before 6:00 p.m. - Announced the Holiday Parade on Saturday, December 1.

CONSENT ITEMS (TO BE ACTED UPON BY A SINGLE MOTION) 1. Approve Closed Session minutes of October 16, 2018. 2. Approve Council minutes of October 16, 2018. 3. Consider and approve the request of the Chamber of Commerce to operate Holiday

Carriage Rides with alternatives to the route, ride schedule, and loading zone, per Town Code Section 28.40.070.

4. Accept a State of California Department of Forestry and Fire Protection Grant in the amount of $124,153; authorize a budget adjustment in the amount of $124,153 to recognize receipt and use of grant funds; and adopt a resolution authorizing the Town Manager to sign the agreement and the Community Development Director to sign invoices for grant funds. RESOLUTION 2018-049

5. Authorize the Town Manager to enter into a second revenue agreement with the County of Santa Clara in the amount of $17,000 for the second year of the Reach Your Destination Easily (RYDE) Senior Transportation Pilot Program.

6. Adopt a Resolution to support the formation of a housing subregion of Santa Clara County local and County governments to facilitate and implement County-wide housing production consistent with the Regional Housing Needs Allocation (RHNA) formula currently assigned by the Association of Bay Area Governments (ABAG). A. Authorize a budget revenue adjustment recognizing $134,620.68 from the West Valley Sanitation District (WVSD) as excess funds collected on behalf of the West Valley Clean Water Program (WVCWP).

B. Authorize a budget expenditure adjustment of $134,620.68 to transfer the funds to the City of Saratoga as the fiscal agent for the WVCWP.

8. Eliminate time limited parking on Saturdays in downtown municipal parking lots. 9. Authorize budget adjustments in the amount of $11,650 to recognize receipt and

expenditure of Pacific Library Partnership grant funds. 10. Adopt resolution authorizing the continued use of Supplemental Local Law Enforcement

Services funds (SLESF) to provide funding for two (2) full-time Police officers assigned as motorcycle traffic officers. RESOLUTION 2018-051

MOTION: Motion by Council Member Jensen to approve the Consent Items. Seconded by

Vice Mayor Leonardis.

VOTE: Motion passed unanimously. VERBAL COMMUNICATIONS Randi Chen, Los Gatos Chamber of Commerce - Requested Council consider modifications to the horse drawn carriage Code provisions to

allow carriages to be drawn by two horses and accommodate six passengers. PUBLIC HEARINGS 11. Adopt a Resolution approving the Sale and Purchase Agreement for the sale of Town-owned

property located on Winchester Boulevard at Lark Avenue, APN 424-31-055. RESOLUTION 2018-052

Robert Schultz, Town Attorney, presented the staff report. Opened Public Comment. Clay Goodman - Requested Council postpone the decision for 90 days to allow for submittal of other ideas

for the property. Closed Public Comment. Council discussed the matter.

approving the Sale and Purchase Agreement for the sale of Town-owned property located on Winchester Boulevard at Lark Avenue; establish a Surplus Property Revenue General Fund Assigned Reserve that any monies received as a result of the sale of this property and any monies received from the sale of future surplus property be placed; and the provisions for the Reserve specifically indicate that Council may, at its discretion, distribute those funds as it deems appropriate. Seconded by Vice Mayor Leonardis.

SUBJECT: RECEIVE THE FIRST QUARTER INVESTMENT REPORT (JULY THROUGH

SEPTEMBER) FOR FISCAL YEAR 2018/19.

RECOMMENDATION: Receive the First Quarter Investment Report (July through September 2018) for Fiscal Year 2018/19. DISCUSSION: As of September 30, 2018, the Town’s weighted portfolio yield of 1.84% is trending slightly below the Local Agency Investment Fund (LAIF) yield of 2.06%. This difference is because the LAIF portfolio’s weighted average maturity (WAM) of 193 days is significantly below the Town’s WAM of 353 days. During periods of rising interest rates it is not unusual in the short run for the LAIF’s shorter WAM to outperform portfolios that have a longer average maturity. With the Federal Reserve continuing to communicate a high likelihood of future interest rate increases, staff continues to replace matured or called investments with similar investments with respect to maturity and credit quality. For the quarter, the Town’s weighted average rate of return increased 11 basis points (0.11%) from 1.73% to 01.84%. Cash balances in the portfolio decreased by approximately $12.7 million during the first quarter, reflecting the over $4 million plus of expenditures on improvements to the Town’s infrastructure including approximately $2.5 million on the Almond Grove Street Rehabilitation project and approximately $1.7 million on the Town’s annual street repair and resurfacing program. Other significant payments included the approximate $3.1 million advance payment of the Town’s unfunded pension liability, saving the Town approximately $112K in interest during the fiscal year. Other large cash outlays of note included approximately $1.5 million in

DISCUSSION (Continued): August debt service payments due on the 2002 and 2010 Certificates of Participation, $900K in payments to the Town’s Section 115 Pension Trust, and an approximate $360K payment to ABAG for the Town’s annual general liability and property damage coverage. It should be noted that it is typical for the investment balances to decrease during the first quarter as property tax receipts (the Town’s largest source of revenue) do not begin to be received from the County of Santa Clara until November of each year. During the quarter, yields have generally been increasing in anticipation of stronger economic growth. The market still anticipates the potential for inflation and higher future interest rates. Because of the rising interest rate forecast, the Town’s investment strategy continues to focus on the purchase of new short-term (two years or less in maturity) investments as the rewards for longer term investments in the three to five year maturity do not have adequate spreads to justify the risk of holding longer term maturities. CONCLUSION: Staff recommends that the Town Council receive the First Quarter Investment Report (July through September 2018) for Fiscal Year 2018/19. RECOMMENDATION:

Authorize the Town Manger to execute: 1. Reimbursement agreement (Attachment 1) with Silicon Valley Regional Interoperability

Authority (“SVRIA”). 2. Second Amendment (Attachment 2) to the GTE Mobilnet of California Limited

Partnership, a California limited partnership, dba Verizon Wireless (“Licensor”) agreement.

BACKGROUND:

On July 1, 1998, the Town and GTE Mobilnet of California Limited Partnership, a California limited partnership, dba Verizon Wireless, entered into a License Agreement to allow the Town to place emergency communications equipment at GTE Mobilnet’s facility located at 40 Fairview Plaza, Los Gatos, CA 95030, referenced as the Stickney radio site (Attachment 3). On September 15, 2008 a First Amendment to the License Agreement was executed (Attachment 4). In 2010, the Cities of Campbell, Cupertino, Gilroy, Los Altos, Milpitas, Monte Sereno, Morgan Hill, Mountain View, Palo Alto, Santa Clara, San Jose, Saratoga, and Sunnyvale; the Town of Los

BACKGROUND (continued):

Gatos; and the County of Santa Clara entered into a joint powers agreement (“JPA Agreement”). This agreement formed the Silicon Valley Regional Interoperability Authority (“SVRIA”). In June of 2015, the Town and SVRIA entered into a Memorandum of Understanding (“MOU”) to document the funding and construction of the Silicon Valley Regional Communication System (“SVRCS”). SVRIA is constructing the SVRCS which includes improvements at the Stickney site. Communication is one of the most crucial and vulnerable aspects of responding to and managing a public safety incident. Currently, the public safety agencies in the County work on various radio systems which vary in age, capability, and frequency. Most systems cannot connect to each other impacting routine and disaster response communications. To address the communication gap, SVRIA was created as a regional interoperable communications network. SVRIA endeavors to integrate systems and networks with regional public safety communications systems for comprehensive interoperability, allowing Emergency Response agencies to communicate with each other during large scale emergencies. DISCUSSION:

As part of the ongoing effort towards complete interoperability, SVRIA desires to make additional improvements to the SVRCS System at the Stickney radio site. These changes are set forth in Exhibit A of Attachment 1. The proposed reimbursement agreement memorializes the commitment of SVRIA to reimburse the Town for project expenses up to $200,000 incurred for improvements associated with the SVRCS System at the Stickney site. The initial construction cost has been estimated to be around $82,000; SVRIA has committed to reimbursements in addition to this amount to allow for any unexpected expenses. To allow for the communications equipment configuration necessary for the improvements at the Stickney site, a Second Amendment with GTE Mobilnet dba Verizon Wireless (Attachment 2) is necessary. The Second Amendment with GTE Mobilnet dba Verizon Wireless addresses consideration for the right to install and operate the additional equipment, and any associated increased fees. SVRIA further agrees to reimburse the Town for the increase in the monthly fees under the Tower License Agreement with Verizon in the initial amount of $1,800.00 annually, commencing on October 1, 2018.

CONCLUSION:

Staff recommends the Town Council:

1. Authorize the Town Manger to execute a reimbursement agreement (Attachment 1) with Silicon Valley Regional Interoperability Authority (“SVRIA”);

2. Authorize the Town Manger to execute a Second Amendment (Attachment 2) to the GTE Mobilnet of California Limited Partnership, a California limited partnership, dba Verizon Wireless (“Licensor”) agreement.

COORDINATION:

This report was coordinated with the Town Attorney’s Office, and the Finance Department. FISCAL IMPACT:

The SVRIA has financially committed reimbursement up to $200,000 for improvements associated with the build out of the SVRCS system at the Stickney radio site. Project cost will be recorded as an intergovernmental receivable due from SVRIA to the Town of Los Gatos. SVRIA agrees to reimburse the Town for the increase in the monthly fee under the Town License Agreement with Verizon in the initial amount of $1,800 annually. The $1,800 will be absorbed in the FY 2018/19 Police Department operating budget. ENVIRONMENTAL ASSESSMENT:

This is not a project defined under CEQA, and no further action is required.

REIMBURSEMENT AGREEMENT BETWEEN

THE TOWN OF LOS GATOS AND SILICON VALLEY REGIONAL INTEROPERABILITY AUTHORITY

This Reimbursement Agreement (“AGREEMENT”) is made and entered into this 20th day of September 2018, by and between the TOWN OF LOS GATOS, a California municipal corporation, (“TOWN”) and SILICON VALLEY REGIONAL INTEROPERABILITY AUTHORITY, a California Joint Powers Authority (“SVRIA”), (together “Parties”). This Agreement is made with reference to the following facts.

RECITALS

The following recitals are a substantive portion of this AGREEMENT:

WHEREAS, in 2010, the Cities of Campbell, Cupertino, Gilroy, Los Altos, Milpitas, Monte Sereno, Morgan Hill, Mountain View, Palo Alto, Santa Clara, San Jose, Saratoga, and Sunnyvale; the Town of Los Gatos and the County of Santa Clara (collectively “MEMBERS”) entered into a joint powers agreement (“JPA Agreement”) to form the Silicon Valley Regional Interoperability Authority (“SVRIA”), with similar goals and purpose as commenced under the Joint Funding Agreement;

WHEREAS, on 17th Day of June, of 2015, TOWN and SVRIA entered into a Memorandum of Understanding (“MOU”) to document the funding and construction of the Silicon Valley Regional Communication System (“SVRCS”); and WHEREAS, the SVRIA desires to make to make certain improvements to the SVRCS System at the Stickney site set forth in Exhibit A located at Oak Knoll Rd/Fairview Ct., Los Gatos, CA 95030; and WHEREAS, this AGREEMENT memorializes the commitment of SVRIA to reimburse the TOWN for expenses up to $200,000 incurred for improvements associated with the improvements to the SVRCS System at the Stickney site, located at Oak Knoll Rd/Fairview Ct., Los Gatos, CA 95030; and NOW, THEREFORE, for good and valuable consideration, the adequacy and sufficiency of which is hereby acknowledged, the Parties hereby agree as follows. SECTION 1. AGREEMENT WITH VERIZON and TOWN OF LOS GATOS TOWN has or will enter into an agreement with GTE Mobilnet of California dba Verizon Wireless (“Verizon”) and Crown Castle GT Company (Crown Castle) to provide certain improvements at the Stickney site located at Oak Knoll Rd/Fairview Ct., Los Gatos, CA 95030. These costs and expenses are not the responsibility of the TOWN and will be reimbursed by the SVRIA.

SECTION 2. SVRIA AGREEMENT TO REIMBURSE SVRIA agrees to reimburse the TOWN for all costs incurred and billed by Verizon, Crown Castle and/or its contractors in an amount not to exceed $200,000 for improvements associated with the SVRCS System at the Stickney site, located at Oak Knoll Rd/Fairview Ct., Los Gatos, CA 95030. SVRIA shall reimburse TOWN within thirty (30) days of the presentation of an invoice for services rendered by Verizon, Crown Castle and/or its contractors for the benefit of SVRIA. The reimbursement will be paid to the Town of Los Gatos. SVRIA agrees to reimburse the TOWN for the increase in the monthly fee due under the Tower License Agreement with Crown Castle in the initial amount of $281.00 per month. SVRIA also agrees to reimburse the TOWN for the proportional share of any increase in the Adjustments to the Basic Payment made by Crown Castle. The reimbursement will be paid to the Town of Los Gatos. SVRIA agrees to reimburse the TOWN for the increase in the monthly fee due under the Tower License Agreement with Verizon in the initial amount of $1,800.00 annually, commencing on October 1, 2018. SVRIA also agrees to reimburse the TOWN for the proportional share of any increase in the Adjustments to the Basic Payment made by Verizon. The reimbursement will be paid to the Town of Los Gatos. SECTION 3. TERM This Agreement shall be in effect for as long as the Tower license agreements are in effect between the Town and Verizon and/or Crown Castle. SECTION 4. MUTUAL INDEMNIFICATION

In lieu of and notwithstanding the pro rata risk allocation which might otherwise be imposed between the parties pursuant to Government Code Section 895.6, the parties agree that all losses or liabilities incurred by a party shall not be shared pro rata but instead the parties agree that pursuant to Government Code Section 895.4, each of the parties hereto shall fully indemnify and hold each of the other parties, their officers, board members, employees and agents, harmless from any claim, expense or cost, damage or liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of the negligent acts or omissions or willful misconduct of the indemnifying party, its officers, board members, to such party under this Agreement. No party, nor any officer, board member, employee or agent employees or agents, under or in connection with or arising out of any work, authority or jurisdiction delegated thereof shall be responsible for any damage or liability occurring by reason of the negligent acts or omissions or willful misconduct of other parties hereto, their officers, board members, employees or agents, under or in connection with or arising out of any work, authority or jurisdiction delegated to such other parties under this Agreement. SECTION 5. ASSIGNMENT

This AGREEMENT shall be binding upon and shall inure to the benefit of the successors of the Parties. No Party may assign any rights or obligations hereunder without the written consent of the other Party, except as provided herein. SECTION 6. NO WAIVER No waiver by either Party of any breach or default of any of the covenants or agreements herein shall be deemed to be a waiver as to any subsequent and/or similar breach or default. SECTION 7. WAIVER OF PERSONAL LIABILITY No board member, officer, attorney or employee of LOS GATOS or SVRIA shall be individually or personally liable under this AGREEMENT. SECTION 8. SECTION 9. ENTIRE AGREEMENT This AGREEMENT incorporate all the agreements, covenants, and understandings between the Parties concerning the subject matter hereof, and all such agreements, covenants, and understandings have been merged into this AGREEMENT. No prior agreement or understanding, verbal or otherwise, of the Parties or their agents shall be valid or enforceable unless embodied in this AGREEMENT. SECTION 11. COUNTERPARTS This AGREEMENT may be executed in one or more counterparts, each of which shall be deemed to be an original, but all of which together shall constitute one and the same instrument. SECTION 12. GOVERNING LAW and VENUE California law governs the AGREEMENT’s performance and interpretation. If a Party to this

AGREEMENT brings a lawsuit connected to this AGREEMENT, the Parties agree that venue shall be exclusively vested in the State Courts of the County of Santa Clara. SECOND AMENDMENT TO LICENSE AGREEMENT

THIS SECOND AMENDMENT TO LICENSE AGREEMENT (the “Second

Amendment”) is made this ____ day of ________________, 2018, between GTE Mobilnet of

California Limited Partnership, a California limited partnership, d/b/a Verizon Wireless

(“Licensor”) and The Town of Los Gatos (“Licensee”).

WITNESSETH:

WHEREAS, Licensor and Licensee, or their respective predecessors in interest, entered

into that certain License Agreement dated July 1, 1998, as amended by that certain First

Amendment to License Agreement dated September 15, 2008 (collectively, the “Agreement”),

wherein Licensor licensed to Licensee a portion of space in Licensor’s equipment shelter; and

WHEREAS, Licensee desires to add three (3) additional floor mounted racks for new

equipment to be added, to which Licensor is amenable; and

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency

of which is hereby acknowledged, and intending to be legally bound hereby, the Licensor and

Licensee agree as follows:

1. Licensee shall be allowed to make the equipment additions or removals necessary

to configure Licensee’s equipment as shown on Exhibit C-2 of this Second Amendment

(“Exhibit C-2”), which is incorporated herein by this reference. Licensor and Licensee agree

and acknowledge that as of the date this Second Amendment is fully executed, Exhibit C-2

shall replace Exhibit C-1 of the Agreement in its entirety and shall replace any other description

of Licensee’s equipment in the Agreement. Only the antennas and equipment listed in Exhibit

C-2 shall be authorized and permitted by Licensor.

2. I n consideration for the right to install and operate the additional equipment,

Licensee shall pay to Licensor an annual electrical fee in the amount of $1,800.00,

commencing on October 1, 2018.

3. Licensee shall pay a onetime, lump sum capital project contribution payment to

Licensor in the amount of $82,000.00 which represents the amount the Licensee agrees to pay

to Licensor to reimburse Licensor for installation of a 400 amp power utility station and a new

RECOMMENDATION:

Authorize the Town Manager to purchase one vehicle from National Auto Fleet Group in an amount not to exceed $55,744 (Attachment 1). BACKGROUND: As part of the Fiscal Year 2018/19 Operating Budget, the Equipment Replacement Fund was approved, providing funds for replacement of high mileage or older vehicles that have reached their replacement criteria or do not meet federal regulations for emissions. The Town Vehicle and Equipment Acquisition and Replacement Policy (Attachment 2) determines which assets should be replaced by evaluating predetermined age and/or mileage criteria. Fleet vehicle replacement purchases are reviewed annually through the Operating Budget and approved as part of the budget process. The recommended action addresses one asset approved to be replaced in the Parks and Public Works Department. The one vehicle is assigned to the Parks and Public Works Department (PPW) Vehicle Maintenance Operations, a 2000 Ford F250 pickup with 78,000 miles.

BACKGROUND (continued): The 2000 Ford F250 vehicle exceeds the Equipment Replacement schedule criteria based on miles and years of service and the identifying criteria for replacement, which is eleven years and/or 72,000 miles. DISCUSSION:

Staff reviewed multiple vehicle models to determine the best options for replacement. In evaluating vehicle purchases staff takes into consideration several factors, including staff’s need and use for the vehicle, the vehicle’s fuel consumption, and the overall cost. The Vehicle Maintenance Division performs maintenance and repairs to all vehicles, trucks, and certain equipment including emergency generators at three locations. Each generator is fixed at each location and cannot be transported back to the vehicle maintenance shop for maintenance and repair tasks. The new vehicle incorporates a utility body to house tools, equipment, and storage space for welding and cutting equipment for repairs to other fixed assets in the field including metal gates, guardrails and retaining walls. The vehicle will also have a mechanical liftgate which allows for one person to load heavy or cumbersome objects such as large truck tires into the bed of the vehicle.

In accordance with the Town’s Purchasing Policy, Section 7c (Cooperative Purchasing), the purchase of this vehicle is based on a formal bid process completed by the Sourcewell Master Vehicle Contract #120716 formally known as the NJPA Master Vehicle Contract #120716, which allows for other municipalities to purchase vehicles using their formal bid proposal documents (Attachment 3). CONCLUSION:

Staff recommends that the Town Council authorize the Town Manager to purchase one vehicle from the National Auto Fleet Group in an amount not to exceed $55,744. ALTERNATIVE: Alternatively, the Town Council could direct staff to delay replacement of the vehicle. Staff does not recommend this alternative. Once a vehicle has reached the end of its useful life the lack of an additional vehicle will impact daily productivity.

FISCAL IMPACT: The Town’s Equipment Replacement Fund provides advance planning for vehicle replacement, allowing the Town to set aside a portion of each vehicle’s replacement need each year. Funding for these vehicles has been appropriated from the fund in the current fiscal year budget. ENVIRONMENTAL ASSESSMENT:

This is not a project defined under CEQA, and no further action is required.

To set forth specific procedures for the acquisition and disposal of vehicle andmotorized equipment used by the Town of Los Gatos.

This policy will apply to the acquisition and disposal of vehicles and equipment usedby all Town Departments.

The equipment/ replacement list will be used as a guideline in the replacement ofvehicles and equipment. Other factors that will be used in the evaluation process

include:

1. Overall conditions of vehicles and equipment.

2- Repair records.

3. Vehicle efficiency and safety. 4. Service life related to extended use in other departments.

When purchasing vehicles and equipment, the Town of Los Gatos will invitevendors ( local and non -local) to submit bids. Where applicable, the Town will use

the State of California Cooperative Purchasing Program.

The Department of Parks and Public Works will review all specifications for

vehicles and motorized equipment to be purchased by the Town of Los Gatos. Specifications will be prepared based on user needs, operating costs, safetyfactors, life expectancy, new technology, availability, and cost. When applicable, performance standards will be included in the specification writing process.

Disposal may take place via trade-in when vehicles or equipment are purchased. If the trade in offer is deemed insufficient, the Town will advertise and surplus

items at a minimum pre -determined price. When possible, staff will try to offerspecialized vehicles, such as Police patrol cars, to agencies that need such

equipment but may not be able to purchase new equipment. Prior to the disposalof vehicle or equipment, the Parks and Public Works Department will determineif reassignment to another department is warranted.

All applicable departments within the Town of Los Gatos who are assigned

vehicles or motorized equipment may be involved in the procurement/ disposalprocess.

Finance personnel and the Town Manager shall review the equipment

replacement list annually to ensure that replacement costs for vehicles andequipment are current and in line with long-term replacement needs.

2. Each Department is responsible for requesting vehicle or equipmentreplacement during the annual budget process.

The Parks and Public Works Department will prepare vehicle specifications

for all Town Departments except the Police Department.

4. The Parks and Public Works Department will review all Town specificationsfor vehicles and motorized equipment.

5. Disposal or reassignment of surplus vehicles and equipment will be

coordinated by the Parks and Public Works Department.
