Established in 1989, TVG has established itself as one of the leading resort development, sales and marketing, travel and technology companies in Africa. Vacation Advisor – Sales and Marketing Division Positioning By differentiating and creating unique selling experiences, we are able to achieve above average revenue and offer a far higher return to our investors and developer partners, than any of our competitors. Our specialised concepts and product positioning lend themselves to an unequalled understanding of the synergies of leisure related products on offer, and the consequent and successful development and launch of new products into niche markets.

Promotion

When selling an experience or product, we believe that direct response marketing is a more effective means of reaching a specific target market, than revenue advertising. TVG has aligned itself with numerous well-established publications, print and media groups in Africa and continues to maintain excellent relationships with our target media. We develop and implement well defined and measurable marketing campaigns along with our developer partners, with measurable results.

Sales and Marketing offices

Our Sales and Marketing offices cover the main markets in terms of sales and marketing for our partners, as well as potential and emerging markets. This is done in conjunction with the destination General Manager, who is responsible for the preparation of a marketing plan, implementation and the successful delivery of sales and marketing programmes for their region. Monthly sales and marketing reports are prepared by each office and cover public/media relations, sales performance, client satisfaction reports and detailed travel reservation targets. Our sales teams are very experienced and highly respected by their peers in the field of leisure and real estate sales. TVG maintains dedicated Sales and Marketing offices in South Africa, Mozambique, Kenya, Ethiopia and Nigeria, with additional contractual Sales and Marketing representation currently being set up in the United Kingdom, Australia, China and the UAE. All Sales and Marketing offices are wholly owned by TVG and are accountable for meeting and adhering to the Group’s high sales and marketing objectives. TVG’s Sales and Marketing Executives are handpicked by the Executive Sales Director and are selected for their commitment, professionalism and enthusiasm for the specific project. How it works is simple!

As a member, you receive an annual allotment of Vacation Group points to use towards your

holidays. You receive the same allotment of points each year, and how you use them is up to

you!

Each of our properties has a point value that is determined by the size of the room and season.

You use more points for weekends and peak seasons (this is generally school and public

holidays) and fewer points during quieter times of year. You will also require more points for

larger unit such as a three-bedroom villa, than for smaller one like a studio.

The ultimate in flexibility

It’s all up to you! Depending on the number of points you own, you can take one extended

vacation a year, or many shorter trips. The choice is yours.

The flexibility of your membership doesn't stop there. Want to experience a 13-day Serengeti

Hemmingway’s Safaris Africa

The Concept

Hemmingway’s Safaris Africa was the brainchild of Jean Labuschagne and Martin Oosthuizen,

who had a vision of offering unsurpassed experiences to some of Africa’s greatest destinations.

Their dream was to create and develop a membership based club where like-minded individuals

and families have the opportunity to purchase Right of Use holidays at some of the most

spectacular destinations in Africa. Furthermore, members have the opportunity to trade their

rights or ownership within TVG’s portfolio of resorts and experience the world at more than 4 000

high quality resorts.

Hemmingway Safaris Africa was successfully launched in Nairobi, Kenya on the 17th April 2008

and currently enrols 70 new member families into their fold every month.

Destinations

The success of Hemmingway’s Safaris Africa is based on the ideal that our members have

unencumbered rights to their holiday time and destinations. This was made possible by the fact

that Hemmingway’s Safaris Africa has secured member-only holiday accommodation at some of

the most sought after and desirable locations in Africa.

Hemingway’s Safaris Africa owns the Right of Use in locations such as Malindi (North Coast of

Kenya), Mombasa and Diana (South Coast of Kenya) as well as in the world famous Tsavo

Game Reserve.

It has also successfully developed the well known Langano Vacation Club on Lake Langano,

Ethiopia, which is now fully operational. All resorts have been carefully selected to offer our

members the opportunity of escaping to the contrasts and adventures of the Hemingways era.

Ownership

Hemmingway’s Safaris Africa is a wholly owned subsidiary of TVG, and has

been successfully developed as a unique and innovative leisure lifestyle

product for Africans by Africans.

The future

TVG has identified the African continent as an untapped market to develop inbound and

outbound tourism and the development of new resorts. The Group’s efforts are now focussed on

the development of a second Hemmingway’s resort on Lake Shala, Ethiopia, with construction to

begin in February 2009.

The first Hemingway’s Safaris tented camp in Tsavo East, Kenya will be ready for occupation by

March 2009 and has already received great interest from the UK, USA and Italian leisure

markets. Other identified expansion regions include Lake Tanganyika, Masai Mara, Sao Tome

Islands, Zanzibar and the Great Rift Valley.

A one-stop solution provider

Wizard is a leading provider of fully integrated business applications and services for today’s

leisure industry. The reservations, rental, management and financial accounting software and

services provide a one-stop solution that drives improved customer service, efficiency,

productivity and revenue.

TVG Technologies division has invested substantially in the development of web based platforms

and database servers that can assist you run your business without the need for further

investment in expensive hardware, IT staff and networks by yourself.

Wizard was created by a team of IT and industry specialists whose expertise and knowledge of

the leisure and real estate industry spans more than 20 years. Developed to meet all your

needs, Wizard provides full custom functionality, flexibility and control with advanced web

services and management tracking to keep resorts, marketers, developers and management

companies at the cutting edge, whilst at the same time increasing visibility and profitability.

Introduction TVG offers consultancy, development and project management services for medium to high-end resorts and estates. A team of highly skilled professionals is available to assist with the development process whilst ensuring that the brand values and objectives are met and influence all facets of the project through to the delivery of the finished product.

Advise on the overall design and concept of the property We review and provide assistance in the design and planning of project facilities in co-operation with the designers, consultants, and any other specialists and suppliers as follows:

Concept designs including a clear description of the overall concept and operational layout of the project.

We brief the owner and its professional consultants on the operational requirements for the property, including but not limited to current space allocations, basic facilities and service requirements, a list of specialists and minimum operating requirements.

Area requirement and layouts for: o Guest accommodation o Guest services and other public areas o Service areas o Staff facilities o Sports and recreational facilities o Back of the house and other support facilities o Retail shop o TVG spa o Kitchen design o Laundry o Landscaping o Finishing of floor, wall and ceiling treatments o All fittings, sanitary wares etc. in all areas o Staff uniform designs o Graphics and design o Art works

Technical services We prepare a detailed project operation’s FF&E (Furniture, Fixture & Equipment) list for the consideration of the Developer/Designers/Consultant, and will also advise on:

All special systems such as CCTV, fire alarm, telephone and PABX, paging, computer software and hardware, point of sales, satellite dish, audio and visual, keying, and other tenant services and items required at the property.

Review and comment from a hotel operator’s perspective on the final system plans and specifications submitted by the appointed mechanical consultant for the heating, ventilation, air conditioning, plumbing, drainage, power supply and distribution, general lighting, alarm, radio, television, telecommunication and public address systems.

Review and comment on the quality, quantity, specifications and installation of furnishings and fittings, and preliminary and final lists of furnishings and fittings.

Operating equipment such as all chinaware, glassware, cutlery, linen, utensils, etc.

Heavy operating equipment such as kitchen, laundry, M&E etc.

Identifying best sources of supply for all capital equipment and consumables, and advise in tendering, analysing bids and selection.

Pre-opening services We can provide the following assistance:

Preparation of the pre-opening budget and financial forecast for the first year of the project operations.

Working capital calculations, accounting, and purchasing policies.

Preparation of manning guides and recruitment schedules, personnel administration plans, staffing tables, salary and benefit schemes, personnel policies and staff regulations.

Preparation of operating policies based on the operating concept for all operating departments, and work out concepts which are less labour intensive but still effective.

Preparation of a Marketing and Sales Action Plan that would include amongst other features: pricing, proposed advertising campaigns, identification of potential markets for the property and customer groups.

Preparation of brochures and other promotional materials, and graphic design.

Planning and assistance with pre-opening public relations activities.

Preparation of pre-opening operational documents and guideline materials that will ensure the quality and standard of the property.

Advice on the negotiation of leases, licenses and concession contracts.

Testing of the project’s operations.

Site visits and inspections At various design and construction phases of the project, TVG’s representatives will attend meetings with the various agencies working on the project. During the construction phase, they will make site visits as required for the purposes of inspecting the overall construction and fitting out of the property.

Pre-opening technical services fees

For a period of up to 18 months from the effective date of the Management Agreement, there is a flat monthly fee. Thereafter, each month after this period and up to the official opening of the project, the fee charged will be at a reduced rate.

Post-opening

Full property management consists of identifying key objectives for the property and implementation through the unit’s General Manager. This includes accounting, administration, cost control, maintenance, sales and marketing, and concept implementation. We believe that in most corners of the world, the notion of luxury is currently being redefined - becoming strongly associated with privacy, back to nature experiences, responsible tourism, and extremely personal service. Our resorts and services, such as spa design, are based on that ideal.

In this way, we are able to create the most appropriate product for each of our projects. This is then implemented by developing an innovative and sustainable sales and marketing strategy to ensure a proven return on investment.

We therefore place great emphasis on choosing the right people and ensuring that those people have the right skills and resources to maintain the high standards we have set. Once a part of the team, employee development and training, recognition, cross training and rotation, performance-related pay, empowerment and quality-circles, play a vital role in the way we manage our staff. In addition to this, we instil strong financial discipline amongst all of our team members to reinforce their sense of belonging, responsibility and commitment.

Dynamism

As a young and dynamic company, we avoid the cumbersome and bureaucratic structures often associated with big corporations. We prefer to source talented and experienced Property General Managers who are entrepreneurial and bring fresh and forward thinking ideas to their resort operations. For this to work, we allow our General Managers significant freedom and autonomy, whilst still monitoring each operation and giving clear guidelines on financial targets, operating philosophy, Best Practices, as well as essential controls and systems. Within this framework, our General Managers take full responsibility for their resort.

OUR MANAGEMENT STYLE

TVG provides full property management, which consists of identifying key objectives for the property and implementation through the Unit General Manager. This includes the following criteria:

Accounting

Direction of financial controls, banking, and accounting to the standards of the “Uniform

System of Accounts”.

Provide monthly financial reports, detailed by department, including a statement showing Gross Revenue and Gross Operating Profit of the property in accordance with the Uniform System of Accounts.

Deliver draft results of the property’s operation during Fiscal Years to the Independent Accountant for audit, including: a profit and loss account, a balance sheet, and a statement of changes in the financial position etc.

Administration The Group provides on-going recruitment, training and related activities of the staff. This will ensure that the property’s staffing is adequate, job specifications and descriptions followed at all times and for all staff positions, motivation of staff improve staff discipline, salaries and wages, benefit etc.

Cost control

We will set out and implement cost and purchasing controls that are appropriate for the operation of the property.

Daily operations The Group will supervise, direct and control on behalf of owner, the day-to-day affairs of the property and related operations to agreed budgets and standards.

Quality assurance Twice a year our specialised team from our Hub in South Africa will conduct a deep and detailed study and audit the property in terms of Group and international Best Practices, standards, policies, and procedures that ensures that the quality of the product and service of the property will always improve and evolve.

Annual budget prior to the commencement of each fiscal Year

Projections for the forthcoming Fiscal Year of the gross revenues of the property, operating expenses, and gross operating profit

Cash flow and working capital requirements

A budget for the purchase and replacement of FF&E (Furniture, Fixture & Equipment) and the repairs and renewals reserve

A budget for necessary capital expenditure and recommended capital expenditure

A human resources budget to include expenditure by department for all salaries, wages, remuneration and fringe benefits etc.

Management staff

Placing of qualified management staff for the property and co-ordinating their efforts to implement the management company’s policies.
