MinutesJustin Chesebrough, Director of Beyond Textbooks, recognized Connie Erickson, Cristela Cardenas, LaurieEmery, Lainie Kitzmiller, and Jean Peglow who spent their lunch break visiting with administrators from the TubaCity School District at a recent training at the District Office; Raylee May for her assistance with trainings atGlobe High School; Ethan Hurley for attending a training in the Parker School District; Jerry Wood and LainieKitzmiller for attending recent trainings in the Tuba City School District and Pensar Academy; Sarah Bates forattending a training with Midtown Elementary School, and Debbie Hedgepeth for conducting a Data Dig withadministrators in the Chinle School District.Linda Kubiak, Director of Community Programs, reported on August 5 th, the Vail Family University, an annualevent that is a collaboration between the district and the local faith-based community, took place at Cienega.Approximately 200 community members were in attendance for the evening with very positive feedback. Theevening started out with a food truck round-up in Cienega’s parking lot for the participants to enjoy dinner beforethe event. Not only were the participants having dinner, other community members also came out to enjoy thefood-trucks. The participants then had the opportunity to participate in two 20-minute break-out sessions ontopics about marriage, personal finance, college planning, and raising children. The evening ended with a keynotespeaker, Doug Fields, who spoke about intentional parenting. Ms. Kubiak recognized support of the district andthe faith-based community as well as Heather Stough for her lead on this event, the Vail Family UniversityCommittee, 12 session leaders, Nemer Hassey and Rod Carrier along with the many other CHS staff that stayedto make sure that everything was in order, Rene Aguilar and the facility staff for the set-up and take down of theevent, Megan Cloud for her support with professional development for the session leaders, Annette Coley andCommunity Programs staff along with Sal Rodriguez from DSMS and Matt Creamer from SYC who providedamazing activities in the gym for 50-60 children, and other volunteers from Key Club and Jack Erickson, theLDS church, and Cienega Students. Kelly Pinkerton, Assistant Director of CTE and HS Instruction, recognized John Roberts and Kristin Murray fortheir help in planning the Groundbreaking Ceremony for the new Vail Innovation Center; Kathleen Arvizu, theschool’s new secretary at Vail Blended Learning who has gone above and beyond in her transition into thisposition, and Tori Gamble for her extra efforts in helping staff work through the e-req process. Tori is alwaysready to help with any purchasing questions and needs. Bobbi Mayeux, Principal at Cottonwood Elementary, recognized Cottonwood's Core Team, led by KellyCampbell, and members; Bonnie Bordner, Brittany Camden, Lexi Catalan, Chrissy DeBono, Stephanie Magnuson,Krista Hooper, Sam Morris, and Jill VanAsdlan, for planning activities that promote a positive school climate.They planned a successful welcome back to school staff picnic and after school activity fair. Mrs. Mayeuz alsorecognized Kelly Pinkerton, Debby Gunderson, Stephane Magnuson, and Brittany Camden for their support andefforts in ensuring a smooth transition to Reading Counts and Cottonwood’s new PTSA Board, Tasha Blum,Meridy Twilling, Pilar Martinez-Baker, and Kari Joanides, for providing all staff welcome back lunches, creatinga room parent connection with every classroom, and mindfully planning ways to promote connectedness with ourcommunity. Kathleen McNaboe, Director of Special Education, recognized the amazing Ventana Institute teachers: RebeccaMcLauren, Jayme Tornatore, Kaitlin Hornby, Isaac Walko, and Rachel Mullins and paraprofessionals; SandyHessel, Sean Perez, Myranda Christianson, Laurie Calland, Ashlee Kennedy, DeAnn Dupree, Linda Strayer, LeeAnn Tweedy, and Charles Summers. This group of dedicated professionals is passionate about ensuring thatfailure is not an option. Every day they focus on success and work with students who have significant emotionaldisabilities with skill, compassion, grace, and humor. Due to their ongoing efforts, eight of the 31 students theytaught last year have been able to return to general education settings with traditional special education supportfor the 16/17 school year. This is a very impressive accomplishment. Cal Baker, Superintendent, recognized Linda Kubiak and Community Programs for the success of the Vail FamilyUniversity and was encouraged to see the amount of people willing to come together to make this event happen.Mr. Baker further recognized Mr. Carney and Beyond Textbooks staff who have been all over the state the last

month. As the winds of change continue to shift in education, Vail continues to hold on to the Beyond Textbooksprogram. Mr Baker is amazed that large districts in Maricopa County are coming to Vail to partner towardimproved student achievement.

on current estimated growth, Vail is projected to surpass Sunnyside School District as the second largest districtin the county in the year 2021/2022.Mr. Baker added that based on this projection, the people being elected to the Board in the November electionwould potentially be directing the 2nd largest district in the county before their terms are out.Mr. Flores commented that final enrollment numbers are still being analyzed and will be brought to the Board ata future meeting. Preliminary reports show that district enrollment is approximately 69 students aboveprojections for the year.

Shestated that the main speaker was excellent, and she hopes the event will continue to grow.Mrs. Burkholder reported that the All Staff Welcome Back was an amazing event and recognized the efforts ofthe planning committee. Being able to see how big the District is now and the camaraderie shown by all the sitesshows that Vail has handled its growth very graciously. V Old Business

A. Construction Update INFORM

Information to the Governing Board regarding the status of current constructionprojects throughout the district.

MinutesMr. Flores reported that the Vail Innovation Center and the Empire High School locker room projects arecontinuing to move forward. The sewer lines are being installed, and the building pads are ready to be poured. TheEsmond Station School expansion cost estimate is almost completed. At Vail Between the Tracks, the feed storeis being prepared for use as a thrift store and more of the midwife’s house may be salvaged than previouslythought. The Vail Preservation Society has installed a temporary roof over the post office to protect the buildingand administration is looking into creating an adobe manufacturing facility on the property which will beoperated by the high school trades programs as well as special education students. The adobe bricks will be madetrue to the period for restoration of the post office and can potentially be sold to the community for otherrestoration and building projects. Mr. Flores also reported that there is the potential to put a storage unit on theproperty to begin the collection of thrift store items.

Mr. Baker reported that the possibility of building a facility at Cienega High School to be leased back to theLatter Day Saints Church had been tabled but is being explored again.

MinutesMr. Carruth reported that this item was initiated at the end of June in response to Board concerns regarding thepractice of the application of assessed damages waivers. A group of administrators studied the policy and cameup with the presented framework and exhibit. The updated policy, if approved, would add a third tier of damages:Tier One - $250 for notice given prior to May 1st, Tier Two - $500 for notice given between May 1st and July 1st,Tier Three - $750 for notice given after July 1st. The understanding is that damages would be assessed to allcontracts broken but teachers have the option of filling out the exhibit to request a waiver. The conditions ofqualifying for a waiver are clearly listed on the exhibit to provide transparency to the teacher, Human Resources,and the Board. Each item would require an explanation by the employee and would require the support of thesupervisor. An explanation box would be provided for supervisors to use in the event the request for a waiver isnot supported. During the Leadership Meeting, principals expressed they would like to see the third tier datemoved up to June 1st. The Board expressed support of moving the date of assessing the third tier of damages to June 1st and is verypleased with the updated process as it is very clear and fair. In order to ensure clear communication of chargeddamages, the Board suggested adding check boxes with the tier amounts and dates at the bottom of the exhibit.

MinutesMr. Carruth reported that the District has had to change its four charter schools to traditional schools based onlegislative changes. Vail Academy and High School and Civano Community School had charter documents thathad specified service boundaries and function as schools of choice. Administration recommends moving thoseattendance boundaries to the district boundaries and maintaining them as schools of choice. MesquiteElementary and Acacia Elementary had attendance boundaries that had been converted to service areas when theywere made charter schools. The recommendation is to keep the boundaries the same and change them back toattendance boundaries. The admission selection process will be reviewed, and a recommendation of anynecessary changes will be brought to the Board in the future.

Mrs. Pinkerton reported the District’s Data Dig was held on August 5 th with 87 participants going through data.Participants looked at state labeling systems from the past and what the trends in those labeling systems were.Administration feels confident that these trends will be in place with any new system the state adopts.Participants analyzed district, site, teacher, and concept level data. Individual student data was also analyzed toidentify students who were really close to the next performance band and talked about how to get them to thatnext level. Smart goals were developed for sites that are specific, measurable, achievable, relevant, and timely.This is a starting point to developing a recommendation to the Board for this year’s District Goals. Site DataDigs will be held on August 31st. Mrs. Burkholder commented that she appreciates that we are looking at individual students and how the districtcan improve those students’ performance. This is the right way to approach this, and she appreciatesadministration taking the time to develop meaningful goals.

BACKGROUND

Robert Bloker and Lionel Duarte have presented notice of their intent to retire. Administration will be recommending the continuation of Lionel Duarte’s services through a private contractor after his retirement.

BUDGET IMPACT

The total retirement incentive payment with employer cost is $923.78 which will be paid over 5 pay periods to each retiring employee, per board policy. Also, Robert Bloker and Lionel Duarte will receive 35% of their daily rate of pay for each day of accrued, unused sick leave.

RECOMMENDATION

That the Vail School District Governing Board approve the retirement of Robert Bloker with a last day worked of May 27, 2016.

irreparable in order to free much-needed office, classroom and facility space.

The technology-related items have been reviewed by Matt Federoff, Chief Information Officer,

and it is his determination that the items are of “no value” to the district as they are irreparable

and/or outdated. The Curriculum items have been reviewed by Debbie Hedgepeth, Deputy

Superintendent for Teaching and Learning, and it is her determination that the items are of “no

value” to the district as they are outdated. The facility items have been reviewed by Al Flores,

Director of Facilities and Transportation, and it is his determination that the items are of “no

value” to the district as they are outdated and have been replaced. The anticipated cost of

selling all the items is equal to or exceeds the estimated value of the materials. All technology

items will be recycled through Suburban Miners Recycling; all curriculum items will be

donated to a non-profit organization; the Vail Inclusive Preschool tables and chairs will be

donated to the Benson School District and the remainder of the facility items will be donated to

a non-profit organization.

Nemer Hassey– Principal To: Calvin Baker and Vail Governing Board Date: July 25, 2016 Re: Travel Request for Nemer Hassey to attend the Annual Army – Navy football game and its networking events in Baltimore, Maryland on December 9 – 12, 2016 Objective: There are three former student/athletes of Cienega that will be playing in the Annual Army-Navy football game. Nemer Hassey has been invited to attend the game and its events. He will have the opportunity to not only see the game of his former players but also be permitted to network and connect with Army and Navy officers, coaches, and other administrators in order to continue the established relationship of the military academies and Cienega High School. Nemer Hassey will be able to build connections for future Cienega student/athletes and create possible opportunities for them. Two of his former players are seniors and this will be their final college game. Project Description: The Annual Army-Navy football game in Baltimore, Maryland is on December 10, 2016. Travel dates are from December 9-12, 2016. This will include networking events surrounding the game. The cost of this trip will be paid from Aux. Mrs. Christina Nickerson(DSMS & ES) along with Danielle Ulrich (OVMS) and Jessica Castillo (RVMS) are requesting out of state travel to participate in Disney’s Y.E.S. (Youth Education Series) program at Disneyland in Anaheim, California, October 4-7 (RVMS and OVMS) October 11 - October 14, 2016 (DSMS and ES). There will be approximately 100 6th grade students/WEB Leaders and 11 chaperones from each school.

This is an opportunity for students to step out of their comfort zones and to learn what it takes to be great leaders. Students will participate in the Disney Leadership Workshop: discovering how leadership played a role in Walt Disney's life as well as other prominent leaders in history, students will explore exciting Disneyland attractions, learn the importance of teamwork and gain the self confidence necessary to be leaders of tomorrow.

The $410.00 cost of the trip will be paid for through the student contributions, WEB Activity account, through fundraising, and through tax-credit donations.

Recommendation:

That the Vail Governing Board approve the request for out of state travel for Christina Nickerson and approximately 200 students, Jessica Castillo and approximately 100 students and Danielle Ulrich and approximately 100 students.

To: Calvin Baker and Vail Governing Board Date: August 4, 2016 Re: Travel request for Tim Nichols, Chance Calgher and our advanced photography students to travel to Northern Arizona Objective: The purpose of their trip to Northern Arizona is to submerge our students with photography opportunities for 3 full days from September 27-30, 2016. Project Description: They will be taking 10 students that will travel by mini bus to Flagstaff and stay at Fort Tuthill Cabin Resort. This will happen during the first week of Fall Break, students will not miss any school. Budget: The trip will require the students to pay for hotel, food, entry fees, and transportation. They will be using tax credits and our student auxiliary account to fund the trip. Itemized expenditures: Hotel: $120 per night/3 Cabins = $1880 Entry Fees for Antelope Canyon, Grand Canyon, & Flagstaff Museum: $100 per student Gas: $400 Food: $30 per day/$90 each student Outcome: The goal is to give students multiple photography opportunities to add to their personal portfolio and their Advanced Placement (AP) test portfolio’s. The submersion of photography off campus was one of the top requested items by students at our end of year JTED/CTE meeting. This unique trip will take us to Antelope Canyon, Grand Canyon, and Sedona. They will also have the opportunity to photograph start trails at mountain elevations. 8/2/16 Members of the Vail School District Governing Board:

Empire High School’s Student Council class would like to request your approval for our attendance to the Arizona Association of Student Council’s State Spirit Conference. It will be held in Lake Havasu City at Lake Havasu High School from January 19th through the 21st. This is an overnight school trip, most likely being 3 days and 3 nights.

We are planning to raise tax credits to aid in funding the trip. Our class has a number of interested students and the cost per student is about $300-$400. The conference invites at most 12 students from each student council in the state, alongside 2 advisors.

At the conference we will have the opportunity to listen to speakers that focus on leadership and what it means to be a leader. We will participate in activities that will give us insight into other schools, as well as an opportunity to share what Empire does as a school. It is a brilliant opportunity that will help develop our students’ leadership and communication skills.

BACKGROUND

The Governing Board should approve fees for school-sponsored activities on an annual basis per Uniform System of Financial Records (USFR) regulations. These fees can vary from activity to activity and sport to sport. Our elementary middle schools and high schools have set individual limits for students involved in multiple sports and family caps where more than one child participates in these activities. All of our schools also collect a $1.00 general activity fee per student to support extracurricular activities where the computation of an individual activity fee would result in a nominal charge. These funds may be used to offset the cost of officials, travel, coaches, equipment and supplies related to athletics and other extracurricular activities as defined in A.R.S. 15-342(24) as optional, noncredit, educational, or competitive activities which supplement the education programs of the schools, whether offered before, during, or after regular school hours. See the attached new fee schedule from Copper Ridge Elementary School. At the Governing Board meeting on July 26, 2016, the Board approved the fee schedules for Civano School, Desert Sky Middle School, Esmond Station School, and Rincon Vista Middle School. These sites have revised their fee schedules to include the following changes:

• Civano added Spanish Club

• Desert Sky added Student Council

• Rincon Vista changed Choir to $23.00 and changed Photography Club to $10.00

• RVMS added FBLA and Archery Club

• Esmond Station added Broadcasting club and San Diego Field Trip

BUDGET IMPLICATIONS

The recommended fees are a continuation of fees collected in prior years.

BACKGROUND

The Vail School District Governing Board has unanimously called for a 12.5% override

election. Under current law, the Board has the opportunity to put a “pro” statement in the

voter pamphlet. The statement is limited to 200 words.

The Board reviewed a draft statement at the last regular meeting. Suggestions were made.

The draft statement that was reviewed at the last meeting — with one minor revision —

is attached as “option #1.”

A second draft, with the minor revision and a re-ordering of the paragraphs is also

attached as “option #2.”

RECOMMENDATION

That the Vail School District Governing Board approve the “pro” “option #2” statement

as presented.

BACKGROUND

This item was first studied by the Governing Board during the June 28 board meeting. Based on the discussion from that meeting, and also feedback from principals and human resource staff, a form has been created to help clarify the conditions underwhich a waiver of liquidated damages would be granted. If approved, this document would be an exhibit to policy GCQC. The form is attached as part of the background material. Background from the June 28 board meeting:

The Vail School District has Policy regarding the resignation of professional staff members (GCQC) states that that a professional staff member’s released from his/her contract may be conditioned upon the payment of liquidated damages. A request has been made to review the process by which liquidated damages are imposed. Administrative staff comprised of John Carruth, Lisa Cervantez, Sarah Bates, Diane Samorano, and Mike Fester met to review the policy and the current implentation practices surrounding imposing liquidated damages. The guiding principles for the discussion were to review the process with an eye to make sure that the process for imposing liquidated damages is understandable, consistent, and transparent. Two suggestions were made during this process. The first would be to amend Policy GCQC to add an additional tier of $250 to liquidated damages for staff requesting release from contract before the beginning of the school year and prior to May 1. Under this suggestion, there would be three tiers of liquidated damages consisting of:

• $250 for release from contract before the beginning of the school year and prior to May 1

• $500 for release from contract before the beginning of the school year but after May 1 and prior to July 1

• $750 for release from contract after July 1 and prior to the completion of the contract

The second suggestion would be to add an exhibit to Policy GCQC and create a form that would be completed by the employee who is requesting that liquidated damages be waived. The form would acknowledge that a meeting was held between the supervisor and the employee and outline the specific reasons that a waiver is being requested. It would also require the support or denial of the request by the supervisor prior to being sent to the Governing Board. The form would be part of the background information for the employee’s resignation that is presented to the Board.

Conditions for the waiver request would be limited to the following conditions or circumstances:

• Military transfer of a spouse

• Job transfer with the same company that requires a relocation out of the area for a spouse

• Due to the result of a job loss, a spouse obtains a new job that is out of the area

• Significant change in immediate family dynamics

• Medical reason for self or immediate family member

• Job promotion or significant career advancement with another educational entity (example, moving from a teaching position to an administrative position)

• Negotiated separation agreement (Would require the signature of the supervisor and Chief Administrative Officer)

It is acknowledged that the above suggestions are still in draft from. The intent of this agenda item is to present current thinking on ways to improve the process. Additional input will be sought from administrative staff (including other principals) and the Governing Board prior to a finalizing a recommendation for changes to the Policy.

A staff member who requests to be released from an uncompleted contract will be assessed

liquidated damages pursuant to Governing Board Policy GCQC, “Resignation of Professional

BACKGROUND

As part of their charter status, the District’s four charter schools, Vail Academy and High

School, Civano School, Mesquite Elementary School, and Acacia Elementary School, all utilized

a service area to help define enrollment priority for their respective schools. During this past

legislative session, the ability for districts to charter schools was eliminated. This action has the

effect of moving Vail’s charter schools to regular district schools.

As a result of this action, the service areas for these four schools need to be adjusted to

attendance boundaries.

Vail Academy and High School and Civano School will each continue to serve as schools of

choice for district residents. As such, it is recommended that the District boundaries will serve as

attendance boundaries for each school.

Mesquite Elementary School and Acacia Elementary School were previously traditional district

schools that were converted to charter schools. At the time of their conversion, their attendance

boundaries were designated as service areas. It is therefore recommended that the current

Mesquite and Acacia service areas simply return to attendance boundaries.

BUDGET IMPACT

None.

RECOMMENDATION

That the Vail School District Governing Board approve the Vail School District boundary as the

attendance boundary for Vail Academy and High School and Civano School. Additionally, that

the current service areas for Mesquite Elementary School and Acacia Elementary School be

approved as the attendance area for each respective school.

BACKGROUND

The Board heard an update on the development of District Goals at the last meeting. As

per that update, the development of goals was pending a full review of system-wide test

results (i.e., AzMerit and ACT).

Principals were scheduled to work on development of District Goals at the first principal

meeting of the year — last week Tuesday. The same storm that caused evacuation of two

schools also caused the cancelation of that principal meeting. On Friday, August 5,

principals and other instructional leaders participated in an all-day “data dig” to review

test results and other relevant data.

The Board will be provided with information regarding the “data dig” and the

development of District Goals at the meeting.

BACKGROUND

A recent change in state legislation requires the Arizona Department of Education (ADE) to convert all district sponsored charter schools back to public schools effective July 1, 2016. Most of the steps involved to finalize the charter conversions are being coordinated with ADE. However, there is one activity that must be considered and approved by the Governing Board. This is because there is an existing construction loan agreement between Vail Charter Schools Inc. and Southern Arizona Community Bank. Vail Charter Schools Inc. is the “borrower” on the loan, which was opened to purchase the property on which the Civano Community School operates. Civano Community School has a lease agreement with, and pays rent to, Vail Charter Schools Inc. As a result of the charter conversion, Civano is no longer permitted to engage in an individual property lease agreement. The District must assume the lease responsibility with Vail Charter Schools Inc. The revised lease agreement has been reviewed by the District’s legal counsel and has been approved by Southern Arizona Community Bank. It has been presented to the Vail Charter School Inc. Board in a legally convened meeting and has been approved and signed by the Charter Board President/designee. Administration is requesting the District Governing Board accept and approve the Lease Agreement between Vail Charter School Inc. and the Vail Unified School District.

BUDGET IMPACT

The monthly payment of $11,004.78 will be paid with District Fund 610 Unrestricted Capital.

RECOMMENDATION

That the Vail School District Governing Board approve the revised lease agreement between Vail Charter Schools Inc., an Arizona not-for-profit corporation (Landlord), and Vail Unified School District (Tenant).

LEASE AGREEMENT 1. PARTIES. This Lease, dated for reference only this ___day of _________, 2016, is made by and

between Vail Charter Schools, an Arizona not-for-profit corporation (“Landlord”) and Vail Unified School District No. 20 (“Tenant”).

2. LEASE OF PREMISES.

(a) Landlord hereby leases to Tenant and Tenant hereby leases from Landlord the Premises shown on Exhibit A and further described in Paragraph 3(f).

(b) This Lease is subject to the terms, covenants and conditions herein set forth and each party

covenants as a material part of the consideration for this Lease to keep and perform each and all of its terms, covenants and conditions.

(c) Tenant is entitled to take possession on July 1, 2016.

3. DEFINITIONS. As used in this Lease, the following terms have the following meanings:

(a) Broker: Landlord and Tenant agree that neither party is represented by a real estate broker in

this transaction. Both parties acknowledge that any broker that Tenant or Landlord may consult with in this transaction has no claim against the Landlord for any brokerage fees or commissions and any broker must look solely to the party that they represent for compensation in this transaction.

(f) Premises: That portion of the Property shown on Exhibit A and located at 10673 E. Mira Lane,

Tucson, Arizona 85749.

4. MINIMUM RENT AND ADJUSTMENTS TO MINIMUM RENT.

(a) Tenant agrees to pay to Landlord the Rent, without notice or demand, in advance, on or before the first day of each and every successive calendar month during the Lease Term, commencing on August 1, 2016, except the first month’s rent shall be due upon execution of this Lease.

(b) Rent shall be equal to the payment due on that certain loan between Landlord and the Bank of

Tucson (“Lender”), as specified by the Deed of Trust recorded at Docket 13738, Page 1172, of the records of the Pima County Recorder, as amended (“Loan”). Tenant agrees to pay all amounts required by the Loan as they become due..

5. SECURITY DEPOSIT. N/A 6. PERCENTAGE RENT. N/A 7. ADDITIONAL CHARGES — ADJUSTMENTS.

In addition to the Rent provided in Section 3(f) hereinabove, and commencing at the same time as any rental commences under this Lease, Tenant shall also be responsible for Tenant’s proportionate share of:

(i) All real estate taxes if any, including assessments and rental taxes if any, and all insurance

costs.

(ii) Any utilities surcharges, or any other costs levied, assessed or imposed by, or at the direction

of, or resulting from statutes or regulations, or interpretations thereof, promulgated by any governmental authority in connection with Tenant’s use or occupancy of the Premises; and

iii) Utilities as provided in paragraph 17.

8. USES PROHIBITED. Tenant shall not do or permit anything to be done in or about the Premises nor

bring or keep anything therein which is not within the permitted use of the Premises which will in any way increase the existing rate of or affect any fire or other insurance upon the Property or any of its contents or cause a cancellation of any insurance policy covering the Property or any part thereof of any of its contents. Tenant shall not use or allow the Premises to be used for any improper, immoral, unlawful or objectionable purpose; nor shall Tenant cause, maintain or permit any nuisance in, on or about the Premises. Tenant shall not commit or allow to be committed any waste in or upon the Premises.

9. COMPLIANCE WITH LAW. Tenant shall not use the Premises, or permit anything to be done in or

about the Premises, which will in any way conflict with any law, statute, ordinance or governmental rule or regulation now in force or which may hereafter be enacted or promulgated. Tenant shall, at its sole cost and expense, promptly comply with all laws, statutes, ordinances and governmental rules, regulations or requirements now in force or which may hereafter be in force and with the requirements of the State Fire Marshal or other similar bodies now or hereafter constituted relating to or affecting the condition, use or occupancy of the Premises.

10. ALTERATIONS AND ADDITIONS. Tenant shall not make or allow to be made any alterations,

additions or improvements to or of the Premises or any part thereof without first obtaining the written consent of Landlord, which consent shall not be unreasonably withheld, delayed or conditioned.

11. REPAIRS. By entry hereunder, Tenant shall be deemed to have accepted the Premises as being in

good, sanitary order, condition and repair. Tenant shall, at Tenant’s sole cost and expense, keep the Premises and every part thereof in clean and orderly condition, including all janitorial and routine maintenance. Tenant shall be responsible for the maintenance, replacement and repair of any doors,

windows, exterior paint, plumbing, electrical and lighting, HVAC, structural, parking lots, landscape and roofing.

12. LIENS. Tenant shall keep the Premises and the property in which the Premises are situated free from

any liens arising out of any work performed, materials furnished or obligations incurred by or on behalf of Tenant.

13. ASSIGNMENT AND SUBLETTING. Tenant shall not either voluntarily, or by operation of law, assign,

transfer, mortgage, pledge, hypothecate or encumber this Lease or any interest therein, and shall not sublet the Premises or any part thereof, or any right or privilege appurtenant thereto, or allow any other person (the employees, agents, servants and invitees of Tenant excepted) to occupy or use the Premises, or any portion thereof, without first obtaining the written consent of Landlord, which consent shall not be unreasonably delayed, withheld or conditioned. A consent to one assignment, subletting, occupation or use by any other person shall not be deemed to be a consent to any other assignment, subletting, occupation or use by another person. Consent to any such assignment or subletting shall in no way relieve Tenant of any liability under this Lease. Any such assignment or subletting without such consent shall be void, and shall, at the option of Landlord, constitute a default under the terms of this Lease.

14. HOLD HARMLESS.

(a) Tenant shall indemnify and hold harmless Landlord against and from any and all claims arising from Tenant’s use of the Premises or from the conduct of its business or from any activity, work, or other things done, permitted or suffered by Tenant in or about the Premises, and shall further indemnify and hold harmless Landlord against and from any and all claims arising from any breach or default in the performance of any obligation on Tenant’s part to be performed under the terms of this Lease or arising from any act or negligence of Tenant, or any officer, agent, employee, guest, or invitee of Tenant, and from all costs, attorneys’ fees, and liabilities incurred in or about the defense of any such claim or any action or proceeding brought thereon. Tenant, as a material part of the consideration to Landlord, hereby assumes all risk of damage to property or injury to persons in, upon or about the Premises, from any cause other than Landlord’s negligence; and Tenant hereby waives all claims in respect thereof against Landlord. Tenant shall give prompt notice to Landlord in case of casualty or accidents in the Premises.

(b) Landlord or its agents shall not be liable for any loss or damage to persons or property resulting

from fire, explosion, falling plaster, gas, electricity, water or rain which may leak from any part of the Property or from the pipes, appliances or plumbing or from the roof, street, yard or subsurface or from any other place resulting from dampness or any other cause whatsoever, unless caused by or due to the negligence of Landlord, its agents, servants or employees. Landlord or its agents shall not be liable for interference with the light, air, or for any latent defect in the Premises.

15. SUBROGATION. As long as their respective insurers so permit, Landlord and Tenant hereby

mutually waive their respective rights of recovery against each other for any loss insured by fire, extended coverage and other property insurance policies existing for the benefit of the respective parties. Each party shall apply to their insurers to obtain said waivers. Each party shall obtain any special endorsements, if required by their insurer to evidence compliance with the aforementioned waiver.

16. INSURANCE. Tenant shall, at Tenant's expense, obtain and keep in force during the Lease Term

policies of (i) commercial general liability insurance (sometimes known as comprehensive public liability insurance) insuring Tenant against any liability for bodily injury, property damage (including loss of use of property) and personal injury arising out of the ownership, use, occupancy or maintenance of the Premises and all areas appurtenant thereto in the amount of not less than $2,000,000 per occurrence, and (ii) casualty insurance insuring Tenant against loss or damage to the buildings and other improvements, Tenant’s equipment and other personal property on the Property by fire and all other casualties usually covered under a fire and extended coverage policy of casualty

insurance. The limit of any such insurance shall not, however, limit the liability of Tenant hereunder. Tenant may provide this insurance under a blanket policy. If Tenant shall fail to procure and maintain said insurance, Landlord may, but shall not be required to, procure and maintain same, but at the expense of Tenant. Tenant shall deliver to Landlord, prior to right of entry, copies of policies of liability insurance required herein or certificates evidencing the existence and amounts of such insurance. The policies shall name Landlord and Lender as insureds. No policy shall be cancellable or subject to reduction of coverage without thirty (30) days advance written notice to Landlord and Lender. All such policies shall be written as primary policies not contributing with and not in excess of coverage which Landlord may carry.

17. UTILITIES. Tenant shall pay for all water, gas, electric power, sewer charges, telephone and

communications service and all other services and utilities supplied to the Premises, together with any taxes thereon.

18. PERSONAL PROPERTY TAXES. Tenant shall pay, or cause to be paid, before delinquency any and

all taxes, if any, that are or may be levied or assessed and which become payable during the Lease Term upon all of Tenant’s leasehold improvements, equipment, furniture, fixtures and any other personal property located in the Premises. In the event any or all of Tenant’s leasehold improvements, equipment, furniture, fixtures and other personal property shall be assessed and taxed with the real property, Tenant shall pay to Landlord its share of such taxes within ten (10) days after delivery to Tenant by Landlord of a statement in writing setting forth the amount of such taxes applicable to Tenant’s property.

19. ENTRY BY LANDLORD. Landlord reserves, and shall at any and all times, with reasonable prior

notices except in the case of emergency, during business hours have, the right to enter the Premises to inspect the same, to submit said Premises to prospective purchasers or tenants, to post notices of non-responsibility. Landlord at any and all times shall have the right to use any and all means which Landlord may deem proper to open said doors in an emergency, in order to obtain entry to the Premises without liability to Tenant except for any failure to exercise due care for Tenant’s property and any entry to the Premises obtained by Landlord by any of said means, or otherwise due to an emergency, shall not under any circumstances be construed or deemed to be a forcible or unlawful entry into, or a detainer of, the Premises, or an eviction of Tenant from the Premises or any portion thereof.

20. TENANT'S DEFAULT. The occurrence of any one or more of the following events shall constitute a

default and breach of this Lease by Tenant.

(a) The abandonment of the Premises by Tenant.

(b) The failure by Tenant to make any payment of Rent or any other payment required to be made by Tenant hereunder, as and when due, where such failure shall continue for a period of five (5) business days after written notice thereof by Landlord to Tenant.

(c) The failure by Tenant to observe or perform any of the covenants, conditions or provision of this

Lease to be observed or performed by Tenant, other than described in (b), above, where such failure shall continue for a period of thirty (30) days after written notice thereof by Landlord to Tenant; provided, however, that if the nature of Tenant's default is such that more than thirty (30) days are reasonably required for its cure, then Tenant shall not be deemed to be in default if Tenant commences such cure within said thirty (30) day period and thereafter diligently prosecutes such cure to completion.

(d) The making by Tenant of any general assignment or general arrangement for the benefit of

creditors; or the filing by or against Tenant of a petition to have Tenant adjudged a bankrupt, or a petition or reorganization or arrangement under any law relating to bankruptcy (unless, in the case of a petition filed against Tenant, the same is dismissed within sixty (60) days); or the appointment of trustee or a receiver to take possession of substantially all of Tenant’s assets

located at the Premises or of Tenant’s interest in this Lease, where possession is not restored to Tenant within thirty (30) days; or the attachment, execution or other judicial seizure of substantially all of Tenant’s assets located at the Premises or of Tenant’s interest in this Lease, where such seizure is not discharged within thirty (30) days.

21. REMEDIES UPON TENANT’S DEFAULT. In the event of any such default or breach by Tenant,

Landlord may at any time thereafter, in its sole discretion, with or without notice or demand and without limiting Landlord in the exercise of a right or remedy which Landlord may have by reason of such default or breach, pursue any remedy or combination of remedies now or hereafter available to Landlord under the laws or judicial decisions of the State of Arizona.

22. DEFAULT BY LANDLORD. Landlord shall not be in default unless Landlord fails to perform

obligations required of Landlord within a reasonable time, but in no event later than thirty (30) days after written notice by Tenant to Landlord. If the nature of Landlord’s obligation is such that more than thirty (30) days are required for performance then Landlord shall not be in default if Landlord commences performance within such thirty (30) day period and thereafter diligently prosecutes the same to completion. Tenant shall have the right to pursue any remedy or combination of remedies now or hereafter available to Tenant under the laws or judicial decisions of the State of Arizona as a result of Landlord’s default.

23. RECONSTRUCTION.

(a) In the event the Premises are damaged by fire or other perils covered by insurance required hereunder, Tenant agrees to forthwith repair same, and this Lease shall remain in full force and effect. There shall be no abatement of Rent.

(b) Anything to the contrary contained in this Section 25 notwithstanding, Landlord shall not have any

obligation whatsoever to repair, reconstruct or restore the Premises when the damage resulting from any casualty covered under this Section.

(c) Landlord shall not be required to repair any injury or damage by fire or other causes, or to make

any repairs or replacement of any leasehold improvements, fixtures, or other personal property of Tenant.

24. EMINENT DOMAIN. If any authority under the power of eminent domain initiates and prosecutes

proceedings to take all or a portion of the Premises, Landlord and Tenant shall share any such award of just compensation and/or severance damages as Landlord and Tenant’s interest may appear as of the date of the condemnation. Landlord’s interest is agreed to be limited to the balance due on the Loan as of the date of the taking.

25. GENERAL PROVISIONS.

(a) Exhibits. Exhibits A and B affixed to this Lease are a part hereof.

(b) Waiver. The waiver by Landlord of any term, covenant or condition herein contained shall not be deemed to be a waiver of such term, covenant or condition or any subsequent breach of the same or any other term, covenant or condition herein contained. The subsequent acceptance of rent hereunder by Landlord shall not be deemed to be a waiver of any preceding default by Tenant of any term, covenant or condition of this Lease, other than the failure of Tenant to pay the particular rental so accepted regardless of Landlord’s knowledge of such preceding default at the time of the acceptance of such rent.

(c) Headings. The headings and section titles to the sections of this Lease are not a part of this

Lease and shall have no effect upon the construction or interpretation of any part hereof.

(d) Time. Time is of the essence of this Lease and each and all of its provisions in which performance is a factor.

(e) Successors and Assigns. The covenants and conditions herein contained, subject to the

provisions as to assignment, apply to and bind the heirs, successors, executors, administrators and assigns of the parties hereto.

(f) Recordation. Either Landlord or Tenant shall be entitled to record a short form memorandum

hereof.

(g) Quiet Possession. Upon Tenant’s paying the Rent required hereunder and observing and performing all of the covenants, conditions and provisions on Tenant’s part to be observed and performed hereunder, Tenant shall have quiet possession of the Premises for the entire Lease Term, subject to all the provisions of this Lease.

(h) Late Charges. If any installment of rent or any sum due from Tenant shall not be received by

Landlord’s designee within ten (10) days after written notice that said amount is past due, then Tenant shall pay to Landlord a late charge equal to the amount of any late fees that become due on the Loan. The parties hereby agree that such late charges represent a fair and reasonable estimate of the costs that Landlord will incur by reason of the late payment by Tenant. Acceptance of such late charges by Landlord shall in no event constitute a waiver of Tenant’s default with respect to such overdue amount.

(i) Prior Agreements. This Lease contains all of the agreements of the parties hereto with respect

to any matter covered or mentioned in this Lease, and no prior agreements or understanding pertaining to any such matters shall be effective for any purpose. No provision of this Lease may be amended or added to except by an agreement in writing signed by the parties hereto or their respective successors in interest. This Lease shall not be effective or binding on any party until fully executed by both parties hereto.

(j) Inability to Perform. This Lease and the obligations of Tenant hereunder shall not be affected or

impaired because Landlord is unable to fulfill any of its obligations hereunder or is delayed in doing so, if such inability or delay is caused by reason of strike, labor trouble, acts of God, or any other cause beyond the reasonable control of Landlord.

(k) Partial Invalidity. Any provision of this Lease which shall prove to be invalid, void, or illegal shall

in no way affect, impair or invalidate any other provision hereof and such other provision shall remain in full force and effect.

(l) Choice of Law. This Lease shall be governed by the laws of the State of Arizona.

(m) Subordination; Attornment. Upon request of Landlord, Tenant will in writing subordinate its

rights hereunder to the lien of any mortgage or deed of trust, to any bank, insurance company or other lending institution, now or hereafter in force against the Premises, and to all advances made or hereafter to be made upon the security thereof. In the event any proceedings are brought for foreclosure or in the event of the exercise of the power of sale under any mortgage or deed of trust made by Landlord covering the Premises, Tenant shall attorn to the purchaser upon any such foreclosure or sale and recognize such purchaser as Landlord under this Lease. The provisions of this Section to the contrary notwithstanding, and so long as Tenant is not in default hereunder, this Lease shall remain in full force and effect for the full term hereof.

(n) Notices. Wherever this Lease requires or permits notice or demand to be given by either party to

the other, such notice or demand shall be in writing and given or served either personally or in writing forwarded by certified mail, return receipt requested, addressed to the parties at the addresses specified in Sections 3(c) and (h) hereof. Either party may change such address by written notice to the other as herein provided.

(o) Tenant’s Statement (Estoppel Certificate). Tenant shall at any time and from time to time, upon

not less than twenty (20) business days prior written notice from Landlord, execute, acknowledge and deliver to Landlord a statement in writing (a) certifying that this Lease is unmodified and in full force and effect (or, if modified, stating the nature of such modification and certifying that this Lease as so modified is in full force and effect), and the date to which the rental and other charges are paid in advance, if any, and (b) acknowledging that there are not, to Tenant’s knowledge, any uncured defaults on the part of Landlord hereunder, or specifying such defaults if any are claimed, and (c) setting forth the date of commencement of rents and expiration of the Lease Term. Any such statement may be relied upon by the prospective purchaser or encumbrancer of all or any portion of the real property of which the Premises are a part.

26. COMPLIANCE. The parties hereto agree to comply with all applicable federal, state and local laws,

regulations, codes, ordinances and administrative orders having jurisdiction over the parties, property or the subject matter of this Agreement, including, but not limited to, the 1964 Civil Rights Act and all amendments thereto, the Foreign Investment in Real Property Tax Act, the Comprehensive Environmental Response Compensation and Liability Act, and the Americans With Disabilities Act.

27. SALE OF PROPERTY. Upon payment of all amounts due on the Loan, Landlord agrees to execute a

Special Warranty Deed transferring all of Landlord’s right, title and interest in the Property to Tenant. 28. AVAILABILITY OF FUNDS FOR THE NEXT FISCAL YEAR. Funds may not presently be available

for performance under this Lease beyond the current fiscal year. No legal liability on the part of Tenant for any payment may arise under this Lease beyond the current fiscal year until funds are made available for performance of the Lease. Tenant will make reasonable efforts to secure such funds.
