Preface

The W. F. Herman Collection contains some of the most interesting reading in the Municipal Archives. Its strength is its concentration on the third and fourth decades of this century, a time during which Windsor and the Border Cities saw both prosperity and despair. Originally glued into scrapbooks, the documents were first described by the temporary Municipal Archives Project in 1982. The collection was considered important enough to have the guide revised within the first month of the opening of the permanent Municipal Archives in March of 1984.

In order to preserve the valuable letters, telegrams and other documents an effort was made to remove them from the highly acidic scrapbooks into which they had been glued. Archives Page David Garlick spent considerable time and effort in 1986 carefully removing each item from its scrapbook. After arranging materials in chronological order (owing to the fact that there was no discernable order in the scrapbooks), David finished the physical arrangement of the collection. The final description of the documents was assigned to Assistant Municipal Archivist Linda Chakmak, resulting in this guide.

Few other collections of private papers have received the attention given to the W. F. Herman Collection, but then few people have made as indelible a mark on this city as the founder of The Windsor Star.

Historical Note

Wilbur F. Herman, the son of a sea captain, was born in Lunenburg, Nova Scotia in 1872. When his father died suddenly, Herman, at the age of thirteen began his newspaper career as an assistant in a newspaper office in Bridgewater Nova Scotia. By the turn of the century he had moved to Boston, Massachusetts and soon found work as a printer. It was in Boston where he married Adie Knox, a native of Riversdale, Nova Scotia and where their only child, Ruth was born. A few years later they moved to Saskatchewan where Herman became the composing room foreman of the Saskatoon Phoenix, started the Saskatoon Saturday Press and bought the Prince Albert Herald in quick succession. In 1912, when the Saskatoon Capital was experiencing financial difficulty, Mr. Herman bought and renamed it the Saskatoon Star. Then he bought the Regina Post. In 1918 he purchased the Windsor Record, changing its name to the Border Cities Star (later the Windsor Star). Under his ownership, it became one of the outstanding Canadian newspapers of the 1920’s and 30’s. Indeed, Herman’s whole life had become dedicated to the world of news publishing.

The Herman’s moved to Windsor in 1924 although a large part of the last ten years of Mr. Herman’s life was spent travelling abroad and wintering in California. Wilbur F. Herman died on 15 January 1938 at the age of 66 in Los Angeles. He was buried in Saskatoon next to his daughter Ruth who had died there in 1920. Adie Knox Herman died in 1967 and was also buried in the family plot in Saskatoon. Mr. and Mrs. Herman are remembered locally for their many philanthropic deeds and by the secondary school and arena named after them.

Content Note

Arranged in five series, the W. F. Herman Collection measures approximately two feet in length and dates from 1920 to 1949. Most of the collection was originally contained within 16 scrapbooks; due to the poor quality and condition of these books, the documents were removed and placed in chronological order.

The first series, Correspondence and Related Documentation is the largest series and ranges in date from 1920 to 1949. Correspondence, telegrams, memoranda and receipts deal with various topics such as politics, newspaper publishing and the Herman’s family life. In order to ensure their safekeeping, a number of important documents have been photocopied. The copies list of correspondents appears in Appendix I. Series II, contains cards from floral arrangements that were sent after Herman’s death in January of 1938. Photocopies of newspaper articles are found in Series III. Only clippings from newspapers other than the Border Cities Star/Windsor Daily Star have been copied; due to their poor condition, original newspaper scrapbooks and clippings have been destroyed. Appendix II is an extensive listing of all clippings that were found in the scrapbooks. Patrons wishing to research articles from the Star are directed to use microfilm copies in the Literature and History Division.

The two scrapbooks in Series IV are not the type of books which originally held the collection; rather they are commemorative volumes on two distinct topics: President Harding’s visit to Canada which contains correspondence and the Final Report of the RCAF/Windsor Flying School which contains text and photographs. Series V is comprised of photographs centering on W. F. Herman’s death and an ambulance donated by Adie Knox Herman to the Essex Scottish Regiment.

This collection would be of interest to anyone researching the newspaper publishing industry and its ties to politics, local social history and the Herman family.

THIS IS THE LAST WILL AND TESTAMENT

of me, WILBERFORCE HERMAN, of the City of Windsor in the County of Essex,

Publisher, made this 6th day of February, A.D., 1935.

1. I REVOKE all Wills and testamentary documents of every nature and kind

heretofore made by me and declare this as and for my last Will and Testament.

2. I DIRECT my Executors and Trustees hereinafter named, and referred to

as my Executors, to pay my just debts, funeral and testamentary expenses as soon as

conveniently may be done after by decease.

3. I DECLARE that any benefits under the provisions of this my last Will

and Testament in favour of my said wife are to be in addition to the proceeds of the

following Policies of Insurance on my life, in which my said wife is named as

beneficiary, that is to say:

(1) The Mutual Life Assurance Company of Canada Policy Number 167882for Seventy-five Thousand Dollars ($75,000.00);

(2) The Mutual Life Assurance Company of Canada Policy Number 135650for Fifteen Thousand Dollars ($15,000.00)

(3) The Mutual Life Assurance Company of Canada Policy Number 135649for Ten Thousand Dollars ($10,000.00)

wife as the designated beneficiary. I specifically charge my shares in the capital stock of

The Star Publishing Co. of Windsor Limited, including all income earned there on from

the date of my death (and whether actually paid out by the Company or not) with the

following bequests, and I DIRECT my Executors to make payment thereof, that is to say,

(a) To pay to my wife, Adie K. Herman, the sum of One Thousand Dollars

($1,000.00) per month for her own use and benefit absolutely;

(b) To pay my said wife’s household expenses, including annual Municipal

taxes and maintenance and necessary repairs to her residence and wages of her household

servants and employees and all other house-

hold expenses including medical and nursing service;

(c) To pay any and all Income Tax which may become due and payable by

my said wife during her lifetime;

(d) To pay the running expenses and cost of maintenance and up-keep of the

automobile, if any, from time to time owned by my wife, and if it is my wife’s desire to

continue to own an automobile, then her reasonable requirements in this regard are to be

provided by my Executors, who for that purpose shall from time to time as it becomes

reasonably necessary replace the automobile then in use by my wife with a new one

acceptable to her.

In addition to the above, I GIVE, DEVISE AND BEQUEATH to my said

Wife all my real and personal property of every nature and kind whatsoever and wherever

Situate, save and except my shares in the capital stock of the said The Star Publishing Co.

of Windsor Limited, and save and except the proceeds of any Policy or Policies of

Insurance on my life which may be payable to my Executors or Administrators in trust

for the Provincial Treasurer of Ontario for payment of Succession Duties, or to my

Executors, Administrators or Assigns. Feeling that in order to carry out the provisions of

this my last Will and Testament it is both necessary and desirable that the Seven (7)

shares in the capital stock of the said Company presently standing in the name of my said

wife be completely subject to all of the said provisions and for that purpose by transferred

to my Executors, therefore I make all of the benefits in this my Will contained in favour

of my said wife subject to the condition that she assign to my Executors as soon as the

same conveniently can be done after the date of my death all shares in the capital stock of

the said Company held by her, or in her name, at the date of my death to be dealt with by

my Executors as forming a part of my shares in the capital stock of the said Company

owned by me at the date of my death.

4. During the lifetime of my wife my Executors are not to sell or

dispose of any of the shares in the capital stock of The Star Publishing co. of Windsor

Limited and are not to sell or dispose of any of the assets of the said Company necessary

for the

continuation during the lifetime of my said wife of the publication of The Border Cities

Star Newspaper, and are to carry on the business of the said Company under the direction

and managership of Hugh A. Graybiel, who from time to time shall consult with my said

wife and give due consideration to her desires and to the desires of the other Executor or

Executors with respect to the conduct of the said business. This direction and provision,

however, is subject to the bequest of one-third of my shares in the said Company to the

said Hugh A. Graybiel and to the direction that the said number of shares be transferred

to the said Graybiel as set out in paragraph 5 hereof. My Executors shall botain for my

said wife, and the said Graybiel shall submit monthly to her, a financial statement of the

business and affairs of the said Company. During the lifetime of my said wife my

Executors are to exercise all voting rights upon my shares in the said Company and in

such a manner as to give full effect to the provisions of this my last Will and Testament.

They shall become Directors of the said Company, and as such shall enact and adopt, or

cause to be enacted or adopted, from time to time such By-laws and/or Resolutions as

may be necessary or desirable in order fully to give effect to the said provisions.

5. Subject to the provisions of paragraphs 8 and 9 hereof, I GIVE

AND BEQUEATH to the said Hugh A. Graybiel one-third of the total number of my said

shares in the capital stock of the said Company, and I DIRECT my Executors

immediately after my death to transfer the said number of shares to the said Graybiel.

This bequest, however, is conditional upon the said Graybiel executing and delivering to

my Executors before the said shares are transferred to him a charge and assignment in

their favour and upon the trusts and provisions contained in this my Will of all income

earned (and whether paid out by the Company or not) thereon during the lifetime of my

said wife and of the said shares’ portion of any and all surplus and/or reserves of the said

company in existence at the date of my death.

6. Subject to the provisions of paragraphs 8 and 9 hereof, I GIVE AND

BEQUEATH to the said Hugh A. Graybiel, his heirs, executors, administrators or

assigns, One Hundred (100) of my said shares in the

capital stock of the said Company, the said shares, however, not to be actually transferred

to the said Graybiel, his heirs, executors, administrators or assigns, during the lifetime of

my said wife, and the income earned (and whether paid out by the Company or not)

thereon during my said wife’s lifetime and the said shares’ portion of any and all surplus

and/or reserves of the said Company in existence at the date of my death shall be subject

to the charge and bequests in favour of my said wife contained in paragraph 3 hereof.

7. Subject to the provisions of paragraphs 8 and 9 hereof, and in the event

that the said Hugh A. Graybiel survives my said wife, I GIVE AND BEQUEATH to him

and I DIRECT my Executors upon the death of my said wife to transfer, or cause to be

transferred to him, a sufficient number of my shares in the capital stock of the said

Company to bring his, the said Graybiel’s, total share holdings, including the shares

bequeathed to him in paragraphs 5 and 6 hereof, up to two-thirds in amount of all of the

shares in the capital stock of the said Company owned by me at the date of my death.

Subject to the provisions of paragraphs 8 and 9 hereof, and in the event W. L. Clark

survives my said wife, I GIVE AND BEQUEATH to him, and I DIRECT my Executors

upon the death of my said wife, to transfer, or cause to be transferred, to him one-third of

the total number of shares in the capital stock of the said Company owned by me at the

date of my death. In the event that the said Graybiel does, and the said Clark does not,

survive my said wife, then all of my said shares in the capital stock of the said Company

in this paragraph bequeathed to the said Clark shall go to the said Graybiel. In the event

that the said Clark does, and the said Graybiel does not, survive my said wife, then all my

said shares in the capital stock of the said Company in this paragraph bequeathed to the

said Graybiel shall go to the said Clark. In the event that neither the said Graybiel or the

said Clark survive my said wife, then upon the death of my said wife, my Executors are

to sell, or cause to be sold, the assets of the said Company, and after completion of the

said sale are to wind up the affairs of the said Company and make due distribution

amongst the shareholders thereof. The sale shall be

on bloc or in separate parcels as my Executors may decide. The sale shall be by

tender and shall be advertised in the cities of Winnipeg, Toronto and Montreal. The

funds coming into the hands of my Executors through such distribution, and as the

Shareholders of all of the shares in the capital stock of the said Company, save those

bequeathed to the said Graybiel under the provisions of paragraphs 5 and 6 hereof, shall

be dealt with by my Executors as follows that is to say: To pay all of the said funds in

equal shares to those of the following named persons who survive my said wife, namely:

My sister, Margaret Herman; My Niece, Agatha Smith; daughter of my Sister, Lavinia

Smith; My Sister-in-law, Mrs. Lambert D. Herman, Widow of my Brother, Lambert D.

Herman; Wilber Herman, Warren Herman, Thelma Herman and Marguerite Herman (the

last four named being my Nephews and Nieces, the children of my Brother Lambert D.

Herman) and Earle Norse, son of my Sister, Mrs. Fanny Norse. The above named

persons are to take their shares per capita and not per stirpes.

8. Each and every of the benefits of the provisions of my will hereinbefore

contained are to go to the respective beneficiaries free of Succession Duty, that is to say,

my Executors are to pay all Succession Duties which may become payable in connection

with each and every bequest or benefit conferred by this Will, and they are not to charge

any part of such Succession Duties against such bequests or benefits, save as may be

incidentally necessary in the carrying out of the following directions for the payment of

all such Succession Duties, that is to say: My Executors shall pay all of said Succession

Duties out of the proceeds of any Policy or Policies of Insurance on my life payable to

my Executors or Administrators in trust for the Provincial Treasurer of Ontario for

payment of Succession Duties, including any dividends and/or accruals thereon so far as

the same shall extend. In the event that said Policy or Policies of Insurance be

insufficient to pay Succession Duties in full, then my Executors are in the second place to

resort to the proceeds of all Policy or Policies of Insurance on my life and payable to my

Executors, Administrators or Assigns, including all dividends and/or other accruals

thereon. Finally, and to the extent necessary but only after exhaustion

of the proceeds of the Policy or Policies of Insurance mentioned in the two immediately

preceding sentences, payment of the balance, if any, of all said Succession Duties is to be

made out of the assets including income of the said Company, and for this purpose I

hereby charge all my shares in the capital stock of the said Company with payment of

such balance, if any. In the event that any balance of any of the proceeds of any of the

said Policies of Insurance in this paragraph mentioned remains after payment in full of all

of said Succession Duties, all of such balance of proceeds is to be paid into the said

Company and form part of the assets thereof.

9. I HEREBY charge all of my said shares in the capital stock of the said

Company with payment of my just debts, funeral and testamentary expenses, and my

Executors are to have full power and authority to hypothecate and/or pledge all of my

said shares for the purpose of paying, and to the extent necessary to pay, the balance, if

any, of all Succession Duties as mentioned in the preceding paragraph hereof, and for the

purpose of paying all my just debts, funeral and testamentary expenses, and for all of the

purposes in this paragraph mentioned, to borrow money upon the security of said shares.

My Executors are also to have full power and authority in their discretion to extend the

time for the payment of all or any of my debts, or the debts of my Estate, including

Succession Duties, and to issue Promissory Notes evidencing any or all of such indebted-

ness, payable upon such terms and bearing such rate of interest as they may determine

and from time to time to renew the same.

10. Save as may be necessary for the payment of the sums bequeathed and

directed to be paid to my said wife under the provisions of paragraph 3 hereof and

payment of balance, if any, of Succession Duty and of my just debts, funeral and

testamentary expenses, I DIRECT my Executors to take such steps as may be requisite to

ensure, and so to ensure, that the balance of net income of the said Company, if any,

earned from year to year during the lifetime of my wife, and also any surplus and

reserves of said Company existing at the date of my death, be preserved and accumulated

until after the death of my wife, save as in the discretion of my Executors from time to

time may be deemed expedient in the best interests of the business carried on by the said

Company and of the said Company and its preservation and expansion, and I DECLARE

AND DIRECT that all income and/or surplus and reserves so preserved and accumulated

and as the same exist at the date of the death of my said wife shall follow the ownership

of my shares in the capital stock of the said Company as respectively bequeathed by me

under the provisions of this my last Will and Testament and shall belong to the respective

beneficiaries of my said shares accordingly.

11. I have formulated the provisions of this my last Will and Testament after

years of mature consideration, and being mindful of three important objectives in

particular, that is to say, first and foremost, the making of ample provisions for the

comfort and security of my dear wife, second, to make proper provision so far as is

possible for the payment of Succession Duties in such a manner as would enhance the

security of my wife’s position and preserve the best interests of my Estate generally, and

third, to devise ways and means for the carrying on of the Star efficiently after my

decease. For this latter reason I have imposed upon my trusted Business Manager of

many years the task of carrying on the Star after the death of my wife. The said Graybiel

to my knowledge is the only one capable of handling all the intricacies of the newspaper

business and at the same time of carrying out after the death of Mrs. Herman and myself

at least some of the policies and ideas in connection therewith so close to my heart.

12. I have written a letter to my Executors bearing the same date as this my

will and requesting my Executors to carry out certain wishes I have therein expressed.

Neither the said letter or any part thereof is intended as anything beyond a mere

expression by me of certain wishes. However, in the event that my Executors in their

discretion decide to give effect in whole or in part to my wishes, as expressed in the said

letter, then I DIRECT that any payments made by my Executors in fulfillment of any of

my said

wishes be allowed to them as proper disbursements made in the due administration of my

Estate on any passing or auditing of their accounts as Executors.

13. I APPOINT my wife, Adie K. Herman, as one of my Executors

and Trustees. If Hugh A. Graybiel is in the employment of the said company at the date

of my death, I APPOINT him as one of my Executors and Trustees. If W. L. Clark is in

the employment of the said Company at the date of my death, I APPOINT him as one of

my Executors and Trustees. My Executor or Executors for the time being shall have the

power to make, and shall make, appointments from time to time so as to maintain the

number of my Executors at Three.

This is a Codicil to the last ‘Will’ and Testament of me, Adie Knox Herman of Windsor

Dated the 3rd day of July A.D. 1961 and a Codicil to the said Will dated the 3rd day of

January A.D. 1964.

The diamond wrist watch to be given to my niece Grace Lawson Worcester and

mentioned in Paragraph 3, Sub-Paragraph D, of my Will proper is the oblong shaped

wrist watch with diamonds and amethysts. I would ask that my cameo brooch with pearls

should be given to Grace Lawson Worcester. I would ask that my amethyst ring should

be given to my niece Gene Lawson Marsland.

Is the event of my death I would ask my executors to have all my wearing apparel not

designated in my Will proper, fur coats, coats, dresses and all garments divided among:

Mrs. Oliver C. Lawson, sister; Mrs. Albert Holland, sister; Mrs. Donald Marsland, niece;

and Mrs. Grace Worcester, niece.

I would ask that they divide these among themselves. And, if there is anything they do

not want, they can distribute it as they see fit.

Also, I would ask that my jewelry that is not designated in my Will proper be divided in

similar manner by and among Mrs. Lawson, Mrs. Holland, Mrs. Marsland and Mrs.

Worcester. And, I ask that this jewelry remain in The family, being handed down to

blood relations of mine. Also, the Sterling silver tray and tea service given to me at

Christmas of 1953 by Willis Lumgair Clark is to be given to the aid Mr. Clark.

Also, the gray fox fur given me one Christmas by Mr. Clark is to be given to Mrs. Allan

McMillan, sister of Mr. Clark. In all other respects I confirm my said Will and my said

previous Codicil.
