EXT. NEW YORK STREETS - DAY

An AGENT, 40s, effortless in his sharp suit and black shades,lights a cigarette, watching the stream of New Yorkers rushpast him.

He takes a drag, pleasant, secretly watching every face thatpasses--

When a TEENAGER catches his eye. Hes skinny, messy hair, inan old hoodie, scarfing down Chinese takeout.

The Agent starts following the kid, casual, unassuming.

They cross the street and head under scaffolding andtemporary plywood walls -- a construction detour on thesidewalk. Theyre alone.

AGENT

Peter.

The teens head TURNS SLIGHTLY... but no answer. They keepmoving.

AGENT (CONTD)Mr. Parker.

Still no answer, and the kid is speeding up. The agent takesa smooth glance around, making sure theyre alone. He knowswhat he has to do, but isnt reckless.

AGENT (CONTD)

Spider-Man.

The kid stops.

So does the agent, not wanting to scare him off.

PETER PARKER turns around, mouth still stuffed with Chinesefood. He keeps his eyes tense on the agent. Then:

PETERYeah, he looks great in tights.What about him?

AGENTRelax. Were big fans. And werepretty sure youve got a thing thattells you when youre in trouble.And its not going off right now,is it?

Peter realizes hes right. Still:

PETERNo, its not. But I happen to knowa guy who also wears black and whoalso doesnt make it go off. Healso says stuff like were bigfans. He also bites.

AGENTIm with SHIELD.

PETEROh, great.

Peter shakes his head and keeps walking out of theconstruction detour. The agent keeps following.

AGENTYoure running now? Im just withthe government. A second ago you

thought I was a big slime monster.

PETERWay too easy. Im not saying it.

AGENTPeter, I just want to talk. Wethink you can do a lot of good.

PETERThought I was already doing it,shades.

AGENTYou dont have to do it alone.Spider-Man can be part of somethingbigger than--

Peter whips around, trying so hard to stay calm.

PETERHey. Keep your voice down. I donthave an issue with making a littlebaby swing and sticking you to aflagpole.

AGENTThis doesnt have to be hostile,were just talking.

PETERGreat, well, Im sorry if Im notready to casually discuss this onthe sidewalk with a stranger in ablack suit.

AGENTAnd thats just the thing we can

help you with. Keep people off yourtrail.

PETERWhat about your people? Ive onlybeen at this a couple years, butcome on, you know, one of your guysgets caught in a beam, his brainscrambles, he thinks I killed hisbrother, and then guess whosalready given him a list of myfamily and friends and favoriteChinese food places?

AGENTOnly three people at SHIELD know,myself included.

PETERWhich is about three too many.Look, can we do this when Im onthe clock--

AGENTWe can protect your aunt, theredhead. Your friends.

PETERStop. Following me. I can protectmy family just fine.

AGENTTell that to the Stacys.

Petes had it--

He GRABS THE AGENT by the back of his jacket with a SUPERGRIP, dead serious. He stays right in the guys face.

PETERThe next words out of your mouthbetter give me some reasons not tofind out if youll turn into abutterfly in a cocoon.

AGENTWere putting together a team.Heard of the Avengers?

Peter lets go of the guy, realizing they might be making ascene. He keeps walking, quick, trying to get a grip.

PETERTheyre a band, yeah?

AGENTThis is like that. A little morehumble, just some eyes on thestreet. Youd have access to SHIELDtechnology, you could developequipment. Maybe a spider-mobile.

Pete tries not to react, but the technology talk holds someweight. He starts buying into this, just a bit.

PETERWho else have you talked to?

AGENTYour blind pal in Hells Kitchen.Cage. Frank Castle.

PETEROh man, youre... thats a joke,with Frank Castle, youre kidding,right?

The agent just smiles and hands Pete a plain black card.

AGENTJust gives us a sign if youre

interested.

Pete looks it over and relents a little. He takes a breath.

PETERLook, Im sorry if Im being... youjust gotta understand that it feelsreally weird to have theseconversations in jeans.

AGENTThen you dont have to. Were

interested in a superhero, Peter.Not a kid.

Pete looks away.

AGENT (CONTD)We think he could be in the bigleagues. We trust him. We dontjust show up to anyone.

Peter takes this in, considering all of it.

PETERWell. If you showed up to FrankCastle, maybe you dont know whatyoure doing in the first place.

AGENTMaybe we dont. But well keep aneye on you, kid.

PETERDitto.

The agent furrows his brow just a bit as Peter heads into analley. He takes out his cell and holds it to his ear.

AGENT(into phone)

Yeah. Well, he didnt shoot at melike Castle did. Im not sure, sir.

THWIP from above the agent. He looks up, follows SOMETHINGwith his eyes off screen. TWHIP again, farther away. THWIPagain, farther...

The Agent starts to turn.

AGENT (CONTD)Honestly, Im not sure hes ready.Lets keep the file open, maybehell surprise us. Ill meet you at

HQ.

And as the agent turns -- a SMALL RED DOT on the back of hisjacket.

A SPIDER-TRACER.

CUT TO BLACK.
