Will Group for Communications is a company duly incorporated under
the laws of Egypt with organization number 35801 and having its principal
office at 103 Misr/Helwan Agricultural road , Maadi, Helwan, Egypt.
Will Group for Communications is an extent ion of Will Company which
was established in Nov. 2005
Will Group for Communications provides solutions to satisfy the wireless
networks on the global bases.

Survey “SF2” Quality Control
The Surveyor shall visit the site and locate the nominal and the search area radius according to SF1 by using GPS and binoculars. The Surveyor will make a sketch and take photographs of the potential usable options. The Acquisition Manager shall meet with the Surveyor and discuss the potential options taking the following conditions in consideration:-
a- General conditions (for Rooftop and Greenfield):-
1- The potential options should be in the search area.
2- The potential options fulfill the conditions and requirements of the different authorities and Ministers such as Environmental Ministry, Irrigation Ministry, Agriculture Ministry, Defense Ministry, Civil Aviation authorities, Housing Ministry, New Urban Authority and Health Ministry.
b- Rooftop special conditions:-
1- The buildings skeletons of potential options should not bearing walls.
2- The Roof should be reinforced concrete and in a good condition. 3- The options should be accessible. 4- The options should have suitable entrance and available access
to the roof. 5- The option should have available power source.
c- Greenfield special conditions:- 1- The options should be accessible. 2- The access roads leading to the site should be suitable to
construction equipments and vehicles (Trans-mixers, Loaders, trucks, Concrete pump, Cranes...etc).
The Acquisition Manager shall instruct the team Negotiator to contact the owner of all nominated options that fulfill the above conditions. If the potential options don't fulfill the above conditions, the Acquisition Manager shall instruct the Surveyor to make SF2 Summary explaining the nature and circumstances of the site and submit it to the client to either revise the nominal or to increase the search area.

Leasing Quality Control Procedure
1- During the process of the SF2 and the negotiation for the options,
Will Group negotiator obtains a preliminary agreement (Heads of
Terms (H.O.T.s.)), signed by the owner/landlord, for each option.
This agreement to state the lease amount, the annual increase, any
advance payment due and what ownership documents are likely to
be submitted by the time of signing the lease contract.
2- Will Group negotiator to leave a copy of the standard lease contract
for the owner/landlord to study, leaving the owner/landlord sufficient
time to review it and make any comments. The negotiator will take
away a copy of the ownership documents.
3- The negotiator then refers back to the legal department of Will
Group, submitting the copy of the ownership documents (or
originals) and a copy of the SF2 of each option.
4- The legal department studies each option separately, and defines the
ownership documents required. If what the negotiator has submitted
is sufficient, a site visit is conducted to the first candidate assigned
by the client. If any legal document is missing, the legal department
informs the negotiator of what is required.
5- The negotiator refers back to the owner/landlord asking for the
missing documents. If they are not available, the process of issuing it
through the different legal authorities is initiated.
6- The negotiator arranges for a site visit with the lawyer, in order to
meet the owner/landlord face to face, to discuss any comments on
the lease contract and any modifications that may be required.
7- The legal department incorporates all the changes required by the
owner/landlord into the lease contract to get the clients approval.
8- A complete legal package is prepared for submission to the client,
which contains:
a- A signed Head of Terms with the owner/landlord.
b- A complete set of the ownership documents, checked by the Legal
Department.
c- A modified lease contract to satisfy the requirement of the
owner/landlord and the client.

Permitting Analysis
a) General Permit Information :-
1. The process of permitting starts at the same time as the negotiation. The options, nominated for each site, should satisfy the requirements and the rules set by the Egyptian Environmental Affairs Agency. The Protocol, which was issued (2005) by EAA and the Ministry of Communication, should be followed strictly.
2. From our past experience, the options selected should be away from any Military Areas, and Military Airports, or Civil Aviation Airports. Also, any options near schools, hospitals and any health or education institutes have proven to be extremely difficult to complete the permitting process.
3. The requirements for the permit application package include : a. A delegation letter from the client, mentioning the address and
the name of the owner/landlord, to apply for the permit in their name for the specific site.
b. Lease contract, signed by each party, the landlord/owner and the operator.
c. Supervision Certificate issued by a consultant, signed and approve by the Engineering Syndicate, stating that the construction will be performed under the supervision of the consultant.
d. For Roof Top sites, a Safety Certificate for the building/structure.
e. For Greenfield sites, some municipalities ask for a Safety Certificate for the tower itself.
f. Form "A" of the "Environmental Form", completed and stamped by the operator, stating the equipment to be used, the height of the sub tower, and the antennas, and the height of the towers in the green field sites.
g. Simple drawing showing the layout of the site and the site location map. In the case of green field sites, only a general arrangement for the site is required.
4. It is almost impossible to state all the permit agencies in the country, but to simplify it; there is an agency in each village, town, city and governorate. The permit can be obtained from any, depending on the regulations in each governorate. In big cities like Cairo, Alex and Tanta, the permit is obtained from the Municipality of the district which the address of the site falls within.

5. The agencies which we have obtained permits from include, but are not limited to : a. Local Municipality (In big cities, each district has its
Municipality) b. Local Council of towns c. Local Council of Villages d. Environment Office e. The Governor's Office
6. The possible permits that may be required : a. Environmental Permit, for each site without exceptions, takes
from seven to ten days. Sometimes, it has to be issued from the Governor's office itself.
b. Civil Aviation permit, depends on the municipality, takes one month.
c. Internal Affairs permit, not required by every municipality, takes one week.
d. Fire and Civil Defense permit, not necessarily required, takes one week.
e. Health Authority permit, not necessarily required, takes two weeks.
f. Agriculture permit, required for each Greenfield site, takes ten days.
g. Military permits, required for towers in desert areas or on roads, takes one month, but it does not delay issuing the build permit.
h. Archaeological permit for any areas suspected to have buried monuments, takes two months.
i. In the New Urban Authorities areas, an approval for the land or roof top must be obtained prior to the submittal of the option. This approval takes two months.
j. Build permit normally withheld until any other permits have been obtained. The build permit is the end result and takes two weeks.
k. Power permit takes one week for Roof Tops and is normally issued after building the site.

b) Specific Information for Roof Top Permits:
1. It is important to get the Environment Form "A" approved by the Environmental Affairs Agency - it is the main document for getting the final permit.
2. Some Governorates withhold issuing the final permit (or the power permit) unless the Environment Affairs Agency conduct a second site visit and issue a second report stating that the site has been built according to their Specification (The Protocol).
3. Some Governorates issue the power permit coincidentally with the build permit. In these cases, it is preferable to install the power meter during or before the construction to speed up the total process.
4. Some Local Councils insist on having the Governor's approval
before they issue the build permit. 5. In some cases, donations to the Local Councils are an essential
factor in obtaining the permit. 6. In other cases, the local municipality insists on using local
consultants, to issue the supervision certificate or the safety certificate.
7. In all cases, money is the key factor to speed up the process of obtaining the permits.
c) Specific Information for Greenfield Permits:
1. Exactly the same as the Roof Top permits with the exception of
the power permit. Most of the time, the power permit is granted
after finishing the construction. To avoid delaying these sites for
revenue purposes, power is normally delivered by means of
temporary generators and the sites put 'On-Air'. If the site is close
to a power supply, we apply for the power, and the Electrical
Authority in the area is responsible of connecting the power after
paying the determined fees.
2. Agriculture permits are essential for the Greenfield sites in Delta.
3. Military Permits are essential in the Sinai and along Desert Roads.
4. If the site is in any of the New Urban Authority areas, as 6th of
October City or New Dumyiat, the process is completely different.
Once we have the approval of the New Urban Authority, the
permit can be obtained in one week based on that approval.
5. If the site is in an area belong to the Tourism Ministry, the process
is different again, as they sell the land and do not rent. After

paying the agreed price, the permit can be obtained within two
weeks.
d) Health legislation and requirements:
1. The option nominated has to be away from hospitals, schools,
universities and any education institutes.
2. Roof Top sites should be chosen according to the Protocol issued
by Egypt Telecommunication and the Environmental Affairs
Agency (2005).
