Welcome to this issue of Open Forum. As we look back on another eventful year, I would like to thank everyone fortheir hard work in 2012. I realize how much effort was required from every employee to take our company public and integrate another four acquisitions.

Forum’s total revenue for 2012 was $1.4 billion, an increase of 25% over the prior year. Total net income was $152 million, an

increase of 69% from 2011. While our total annual financial results were up from2011, we did not finish the year well as we had a disappointing fourth quarter acrosseach of our business lines.

In 2013 we anticipate an improvement in the first half of the year over the last half of2012 for five of our six product lines. Our Drilling Technologies business is expectedto face continued soft demand, until the North American rig count improves.

A major initiative for Forum in 2013 is to improve our processes and controls.From safety to manufacturing efficiency to financial controls, I am asking everyone to “up our game” in 2013. We want Forum to have a reputation for doing what we say we will do, with no negative surprises.

Forum continues to be on the move. I would like to welcome the employees of Dynacon, Merrimac, Syntech and Wireline Solutions to Forum. In this issue youwill learn more about these businesses as well as the new facilities where we arecombining several divisions’ operations into one building. We continue to watchmarket trends and have recently expanded into new geographic areas such as Brazil, Australia and North Dakota.

I am proud to announce the launch of our Champion of HSE award program in this issue. This quarterly honor will be given to the individual, team or site that best exemplifies our commitment to safety. We want Forum to be a safe place to work aswell as a company you are proud to work for.

Working TogetherIn order to increase efficiencies, as well asshare ideas, we are joining multiple officesin the same city under one roof. Some of

the moves in progress are occurring inHouston, Singapore and Williston, ND.

HoustonBy this summer all Drilling and SubseaHouston offices will be consolidated inone location that is currently under construction on the Beltway, north of the current West Rd. facility. Forum will occupy the top two floors of the three-story building.

SingaporeSubsea and Drilling operations are currently at opposite ends of the small island which is the hub of the oil and gas industry in the region. A new shared facility will be located on the west side oftown near other oilfield service companies.Forum will have a floor in a high rise officebuilding, as well as an adjacent separatewarehouse/manufacturing facility. The newlocation should be open by April 2013.

WillistonWilliston, ND, is the boom town at thecenter of the Bakken Shale play. Forumopened a new facility in January showcasingmultiple product lines working together.Flow Equipment has a sales and servicebase in the building, joined by Drilling,Davis-Lynch and Valves, which have warehousing and sales operations there.

Elmore City Earns Governor’s Manufacturing Leadership AwardForum Elmore City has earned the presti-gious 2012 Governor’s ManufacturingAward from Oklahoma Governor MaryFallin for manufacturing innovation. Tobe eligible for the award, companies mustpromote continuous improvement, as well as be forward thinking and willing toadapt to change in order to become moresuccessful in their marketplace.

After expanding its manufacturing capac-ity in 2011 with a state-of-the-art facilitybased on innovative lean-manufacturingprinciples, Forum Elmore City has grownby leaps and bounds, creating 100 new jobs,making a significant positive impact onthe local economy, and becoming a clearmarket leader.

This attracted the attention of Manufac-turing Alliance magazine, which featuredour Elmore City facility in the Winter 2013issue. Sent to Oklahoma manufacturingfacilities around the state, including Forumcustomers, this article focused on ForumElmore City’s financial success and ability to offer the best service possible to customers.

MERRIMAC MANUFACTURING

Merrimac Manufacturing, now part of ourDrilling Technologies group, produces andmarkets premium products for the oil andgas industry. Products include mud pumpparts and power swivel parts for well serv-ice and drilling applications. In addition,Merrimac has a service center for mudpump repair.

Merrimac also offers an extremely noncor-rosive and wear resistant hard surface coatingcalled Merriloy, which is specifically designedfor bores or inside diameters.

Ben grew up in the Texas oil patch. “I live,eat and sleep mud pump parts and enjoyevery minute of it,” he said. “My familyhas been designing, servicing, improvingand manufacturing fluid end expendablesfor 65 years. My first job with the familybusiness was being a swamper when I wasin the eighth grade. I cleaned parts, deburredparts, swept floors and drove the forklift.”

Ben and brother Bill founded MerrimacManufacturing in 1997 in their mother’sgarage when Ben was still a senior at theUniversity of Texas at Austin. A year laterthey moved the business into a 5,000-square-foot facility in Tomball, TX. InMerrimac’s early years, Ben slept on amattress on the floor of a friend’s ware-house every month for an entire week tosave money on hotels. By the end of 2012,Merrimac was poised for its third facilityexpansion to 71,000 square feet.

Ben has worn many hats throughout his15-year career at Merrimac, including machinist, CNC programmer, controller,salesman, warehouse manager, productdeveloper, sweeper, swamper and inven-tory manager.

“Since we manufacture fluid ends and expendables for well service, fracking anddrilling rig mud pumps, we have a varietyof products to manage,” he explained.“Product diversity is one reason the company has broken sales records in just about every year of its existence.”

Merrimac grew by 55 percent in 2011 over2010 and by 120 percent in 2010 compared

to 2009. “During the recession in 2009,when rig counts were cut in half, we wereable to grow our business enough to offsetthe loss in revenue due to the decline inrig activity,” he said. “I think that was theresult of our relationships and our reputa-tion for the highest-quality products thatperform well and last.”

Ben is quick to credit the “talented, capable,professional, motivated and enjoyable towork with” Merrimac employees for thecompany’s success. “I am blessed to leadsuch a qualified group of individuals thathave such high integrity,” he said.

Sounds like they’re a perfect fit with theForum Energy Technologies team.

Forum Subsea Technologies and Bibby Offshore Team Up to Teach Teens and pre-teens were in for a treat inAugust when Forum Subsea Technologiesand Bibby Offshore teamed up to presentthe Bibby 7th Generation Challenge. Created to educate and promote teamworkamong the young heirs of the family-runBibby company, which has been in businessfor over 200 years, the competition followedan “Apprentice” style approach as seen inthe US with Donald Trump and in the UKwith Sir Alan Sugar.

e kids were divided into two teams, withone dedicated to ROVs at Sub-Atlantic™and the other to Divers at Bibby Offshore,the company’s two specialties. Teams weredirected to research their subjects throughwatching presentations, practical challengesand video interviews with key people.

e ROV team spent half a day at the Sub-Atlantic factory, where Bibby RemoteIntervention Ltd. Managing Director MikeArnold and Alasdair Murrie, Forum SubseaGlobal product director of ObservationVehicles, brought the kids up to speed onROVs. Topics covered included how ROVsare used and what’s in store for the future.is was followed by a presentation fromthe engineering design team on ROV 3Dmodeling.

on the full Perry™ simulator suite underthe supervision of Perry Training ManagerKevin Randerson and a treasure hunt usinga Mojave ROV system in the factory testtank overseen by Electronics ProductionSupervisor Mike Mackie and members ofthe Sub-Atlantic technical support team.

Bibby and the board of directors.

“Not surprisingly, the competition was declared a draw even though everyoneknows ROVs are cool,” Alasdair Murriesaid. “It was taken very seriously by theBibby family who see these youngsters as the future to continued success. A huge thanks to all those at Forum whosupported this day, especially Ray Millum,QHSE manager, who ensured the day wassafe as well as fun.”

Broussard, LA, kicked off a Near MissProgram in 2012 that has produced bothresults and rewards. Designed to get employees involved in recognizing andpreventing on-the-job hazards, the programstarted with Hazard Observation Cards to identify different safety risks or unsafeconditions.

of a Forum team that hascreated a safe work or environmentallyconscious practice that can be implementedacross the company? Then they deserve to

be nominated for the Forum Champion ofHSE Award.

Awards will be given quarterly to the individual or team who best exemplifiesForum’s safety values. Nominations mustbe submitted by the end of the quarter toyour HSE Director. Submissions will bereviewed by the recognition committeewith guidance from an HSE Director. To

Do you know the first winner?

Employees turned in a total of 8,000 cards,covering both physical and process hazards.The majority of the issues were correctedimmediately, with the rest prioritized andmonitored in weekly action-item meetingsuntil closed out. Most of these items wereclosed within a week.

One card, for example, noted that palletsin a walkway were in poor condition. Inresponse, a pallet program was developed to identify, replace and recycle damagedpallets. The solution improved processflow and product quality while reducingpallet related incidents.

Employees earned tickets, one for each observation, which were entered intomonthly drawings for $100-$300 gift cards.Other rewards for both the company andemployees included better housekeeping,fewer eye and hand injuries, a new conveyor to help with process flow, and asignificant decline in recordable incidentsand first-aid cases year over year. Way to go, Broussard!

Job Costing/First Responder Paul Ellisondeserves special thanks and recognitionfor his involvement in safety at the ElmoreCity, OK, manufacturing facility. In addi-tion to being an outstanding member ofthe safety committee, he serves as one ofthe plant’s First Responders.

According to HSE Coordinator Clint Peters,“Paul’s previous experience included workas an EMT-P, which has been very beneficialto our safety program. In fact, Paul wasable to use his expertise and knowledge inresponding to several different incidentsthis year involving contractors that literallyhelped save several lives. We are very proudto have Paul as a member of our Forumsafety team.”

Please welcome Christopher White, projectmanager for Drilling Technologies. Chrisjoined Forum on July 9, 2012. When he isn’toverseeing projects at work, he serves ourcountry in the US Army Reserves. ank you for your service.

How long have you been in the Army Reserves? I commissioned in December2006 as a 2nd Lieutenant. I have completedsix years of service to date and am currentlya Captain and Company Commander incharge of 30 aviators and crew chiefs andeight aircraft.

What made joining so interesting?I’m an Eagle Scout and have always had

a sense of patriotism to either serve thecommunity or the nation. I initially had nointention of going down this route until Ihad given it some thought after September11th during my first semester at TexasA&M. The opportunities I’ve been givenhave built great memories. The soldiersand officers to my left and right keep mytime in service interesting and fulfilling.

What instrument did you play in the Fightin’Texas Aggie Band? The same alto saxo-phone that my father used as a member of the Aggie Band Class of 1978.

How many deployments did you make? Ihave only deployed once in my six yearsdue to two years in flight school, and ourunit’s misfortune of deployment cyclesbeing bumped due to equipment upgrades.

How are you enjoying being in a civilian job?I have always focused on securing andhoning my civilian career. I started workingthe Monday after graduation weekend as asuperintendent for SpawMaxwell Companymanaging projects in hospitals and corpo-rate buildings around the Houston area.During my deployment to Afghanistan, Idecided to leave construction and move to a different field of Project Management.

Forum Employees Step Up for Kids

Just before school started in the fall,Drilling employees Jacob Joseph, DeniseBroussard and Randall Heitkamp volun-teered for the Child Advocates, Inc. (CAI)Childspree event. Sponsored by CameronInternational, Childspree pairs abused andneglected children with volunteers for aback-to-school shopping spree at Houstonarea Target stores. In addition to $100 to spend on school clothing, shoes and accessories, each CAI kid gets a new backpack filled with school supplies. More than 600 children in the Houston area were recipients in this year’s amazing event.

Subsea Technologies Saves Lives

Following a full year of fundraising,Forum Subsea Technologies staff in Kirkbymoorside, UK, presented a chequefor £2690 to the British Heart Foundation(BHF). The effort started in February, National Heart Month, with employeesparticipating in National Wear Red Day,continuing in April with a Gig Night, andon into June when Production ManagerKeith Rowntree and Production Con-troller Paul Ellis took on the 150-mileYorkshire Wolds cycle challenge. The

company also contributed close to £1000 in match funding.

In presenting the cheque to BHFFundraising Manager Sharon Oakley,Vice President Kevin Taylor said: “Weall know someone that’s been affectedby heart disease, and we are delighted tohave been able to support the nation’sheart charity this year. It’s great to knowthat our efforts will make a difference inhelping to beat heart disease for good.”

ShowBot Steals the ShowShowBot, designed and built by our engineers in Kirkbymoorside, made hisdebut at the Subsea UK show the firstweek of February. He is constructed from a range of Forum subsea products and hastouch screens front and rear that can playvideos or operate the soware for the attached components. His eyes scroll from le to right and flash.

He was a big hit at Subsea UK, and we’resure he played a huge role in Forum receiv-ing the show’s Best Booth Award. Look for ShowBot at a trade show near you inthe future.

I interviewed with Forum exactly twoweeks after my plane landed at Fort Hood,TX. I have a very supportive wife who fullyunderstands the challenges of managingboth worlds.

What planes do you fly and how often?I’m trained in the AH-64D LongbowApache Helicopter, the US Army’s mostadvanced attack helicopter. I have alwaysenjoyed challenges and pushing my limits,and this airframe has not disappointed. Ihave to meet the same minimums as an active duty pilot about once a week.
