1. INTRODUCTION

The Philadelphia Land Bank ("Land Bank") invites competitive proposals from qualified and experienced professional service firms and individuals (each, "Applicant" and collectively, "Applicants") to provide strategic planning and analytical services to the Land Bank in order to develop a five-year strategic plan (collectively, “Services”). The five-year strategic plan (the "Strategic Plan") will assist the Land Bank with the acquisition, maintenance, and disposition of properties in accordance with the requirements of the Land Bank Ordinance and the PA Land Bank Act, as defined below.

All work contracted pursuant to this Request for Proposals ("RFP") will be directed by the Land Bank.

The Philadelphia Land Bank was created by Chapter 16-700 of the Philadelphia Code ("Land Bank Ordinance") in accordance with 68 Pa. C.S.A. §§ 2101, et seq. ("PA Land Bank Act"). The Land Bank's mission is to return vacant and underutilized property to productive use through a unified, predictable, and transparent process, thereby to assist in revitalizing neighborhoods, creating socially and economically diverse communities, and strengthening the City of Philadelphia’s ("City") tax base.

The Land Bank offers opportunities to redevelop vacant properties, improve the quality of life in the City’s neighborhoods, help preserve community assets, create new amenities, and support affordable housing, urban gardening, and economic development.

Key activities of the Land Bank include:

1. Consolidation – Unifying the existing publicly owned inventory of vacant and surplus real property currently owned by the City and three (3) City-controlled entities.

2. Acquisition – Using a priority bid as permitted under the PA Land Bank Act, the Land Bank acquires tax delinquent property at judicial sale.

3. Management – Managing and maintaining its entire property inventory.

4. Market Assessment – Assessing (i) the real estate market conditions in the City, (ii) affordable and market rate housing needs and opportunities, (iii) means of stimulating development, (iv) ways to expand green and open space, and (v) goals for property acquisition and disposition. Using this information, the Land Bank works with individuals as well as non-profit and for-profit entities to return vacant and underutilized property to productive use including, without limitation, commercial, residential, side yards, recreational, open space, and community gardens.

5. Disposition – The Land Bank returns vacant and underutilized property to productive use through a unified, predictable, and transparent process, to assist in revitalizing

neighborhoods, creating socially and economically diverse communities, and strengthening the City's tax base.

All Applicants are strongly encouraged to read the Land Bank Ordinance and the PA Land Bank Act. Applicants should also read the 2015 and 2017 strategic plans which can be found at www.philadelphialandbank.org.

Each Applicant should, in its proposal, describe the data that it intends to use and the rationale for using such data.

2. SCOPE OF WORK

The Land Bank seeks a qualified and experienced professional service firm or individual ("Service Provider") to provide the Services described in Section 1 and in this Section 2. The Land Bank reserves the right, however, to modify specific requirements, based on changed circumstances, the proposal selection process, and contract negotiations with the Applicant selected for negotiations, and to do so with or without issuing a revised RFP.

The Service Provider is expected to work closely with and participate in regular meetings with the Land Bank and the Philadelphia City Planning Commission ("PCPC").

The Service Provider shall report to the Land Bank on a regular basis regarding the status of the project and its progress in providing the Services. Reporting will happen at a minimum via weekly or biweekly progress meetings. The Service Provider agrees to meet by phone or in-person to provide updates on contractual goals and deliverables. The Service Provider is expected to be available for regularly scheduled project monitoring phone calls and questions during business hours (Monday – Friday, 9:00am to 5:00pm EST).

The Service Provider will engage in a collaborative, data-driven process, which seeks to leverage and align the work of the Land Bank with the City’s affordable housing and other plans including, without limitation, the City's Assessment of Fair Housing, the City's Housing Action Plan, the City's Urban Agriculture Strategic Plan, PCPC's Citywide Vision, the Philadelphia 2035 Plan and, where available, district plans, and a number of other data resources as requested by the Land Bank.

The Service Provider will organize a kickoff meeting that proposes a detailed work plan, sets meeting and deadline schedules, and confirms project milestones. The Service Provider will submit a final detailed work plan, including meeting and deadline schedule, and project milestones, no later than one (1) week after the kickoff meeting.

Strategic Plan Elements The Strategic Plan will consist of the following elements: (A) Introduction, (B) Analysis of Market Conditions, (C) Inventory and Mapping Analysis to Create Vacancy Typologies, and (D) Annual

Recommendations for Disposition & Reuse, Acquisition and Maintenance. A more detailed description of these elements follows.

A. IntroductionThe Service Provider will prepare an introduction for the Strategic Plan to include, but not be limited to, the following: An executive summary of the Strategic Plan. A general description of the City’s publicly owned properties – total number of

lots/properties and map of properties, grouped in City Planning Districts, Council districts, census tracts, or other geographic units.

A description of the methodology used to complete the mapping, analysis, and recommendations for acquisition, disposition and re-use including, without limitation, a description and list of the datasets used in the analysis. It will also describe how typologies were created and how annual disposition, acquisition, and maintenance figures were determined.

B. Analysis of Market Conditions An analysis to determine market conditions and trends in neighborhoods where the Land Bank holds or is likely to hold property, according to census tract or grouping of census tracts as determined by the Land Bank to have similar characteristics.

To the extent feasible, this analysis shall specifically evaluate the relative need and availability for affordable or mixed-income housing including, without limitation, such housing that is accessible or visitable; economic development that creates jobs for community residents; community facilities that provide needed services to residents; side and rear yards; food-producing urban agriculture; community open space; and any additional core beneficial land uses that may be identified by the Land Bank.

This analysis will leverage and align with the City’s affordable housing and other plans including, without limitation, the City's Assessment of Fair Housing, the City's Housing Action Plan, the City's Urban Agriculture Strategic Plan, PCPC's Citywide Vision, the Philadelphia 2035 Plan and, where available, district plans and any other plans or studies as requested by the Land Bank.

C. Inventory and Mapping Analysis to Create Vacancy TypologiesThe Service Provider will generate a series of maps and tables of the City’s vacant property inventory in each census tract or grouping of census tracts including properties that are owned by the Land Bank and properties that are privately owned and delinquent as to municipal taxes or claims. The Service Provider will also determine geographic typologies considering, at a minimum, the following information: Past City-supported housing and community development projects and

programs

Philadelphia 2035 District Plan recommendations Philadelphia Greenworks Philadelphia Water Department’s Stormwater Management Plan The City’s vacant and surplus property inventory Privately-owned tax-delinquent properties

The Service Provider may also propose the use of other datasets from the City’s policy map data warehouse, or other data from other sources. The proposal should clearly articulate the reason for including such other data and how it will be obtained if from a source other than the City's policy map data warehouse.

The Service Provider will also develop “vacancy typologies” that considers market conditions, the existing inventory, and potential acquisitions. These typologies will provide the basis for both qualitative and numerical recommendations regarding acquisition, maintenance, and disposition.

The Service Provider will use these typologies to cluster similar block groups or census tracts into larger areas for analytical purposes.

These typologies are an important element of the Strategic Plan, and the Service Provider will use their expertise and judgment to develop them, working closely with the Land Bank and PCPC staff.

As part of the deliverables for this portion of the Strategic Plan, the Service Provider will include maps, tables, and aggregated data for suggested geographic groupings for further analysis.

The Service Provider will use good faith efforts to utilize all maps, tables, aggregated data, and other information the City may have (with permission from the City) in order to limit the amount of work needed to generate the Strategic Plan.

D. Annual Recommendations for Disposition & Reuse, Acquisitions, and MaintenanceOnce typologies are determined, the Service Provider, working with Land Bank and PCPC staff, will propose defined annual targets for Disposition & Reuse, Acquisition, and Maintenance for geographic groupings.

The Service Provider will propose annual goals for a five-year period for acquisition, maintenance, and conveyance of properties that support the City's Comprehensive Plan and the goals of community plans accepted by PCPC, and which encourage equitable redevelopment, and the goals of any other plans as requested by the Land Bank. This shall include, but is not limited to, items such as proposed targets for the share of future housing units to be built on public properties affordable to different income ranges of very low-, low-, and moderate-income households, as well as

economic development/job creation projects, urban agriculture, open space, and additional core beneficial land use needs identified pursuant to Section B above.

These goals shall be based on the analysis of each census tract or grouping of census tracts that were identified pursuant to Section B above, taking into account the existing inventory of the Land Bank as well as the universe of vacant and tax delinquent or City-liened properties, and demand for land based on requests received in the previous year. The Service Provider may also consider the anticipated availability of funding, and the feasibility of inclusionary housing requirements if applicable.

Disposition and Reuse – The Service Provider will identify at least three primary re-use categories: Open Space, Residential, and Commercial, along with specific types of re-use as appropriate and feasible.

Open Space should include a range of possible uses including, without limitation, side and rear yards, recreation uses, community gardens, and urban agriculture.

Residential should include, without limitation, affordable housing, workforce housing, and market-rate housing for both rental and homeownership.

Commercial should include, without limitation, neighborhood commercial/retail, mixed-use, institutional, and large-scale commercial/retail.

Each re-use category will be examined in the context of the vacancy typologies above, including, without limitation, the number of vacant properties potentially available, the needs and available resources for those re-uses, and the consistency of those re-uses with existing adopted District Plans and other adopted or accepted plans where applicable.

For each re-use category, the Service Provider will provide the following: A description of the resources required for each re-use and an assessment of

the availability of those resources. Maps of the census tracts and neighborhoods where vacancy typologies

suitable for these uses occur, and the number of vacant properties in those typologies.

Recommendations for uses of properties in each census tract or grouping of census tracts that advance the Land Bank's goals.

A discussion of consistency with District Plans and other plans where applicable.

Proposed, defined annual goals of how many properties can be disposed for each use given the availability of resources required.

Acquisition – In the context of the vacancy typology and re-use recommendations, the Service Provider will update the decision-making methodology for identifying properties to be acquired for re-use, propose defined annual goals for acquisitions, and suggest the geographic areas in which the Land Bank will acquire such property and for what purpose.

The proposed decision-making methodology will consider the existing Strategic Plan, existing District and Neighborhood Plans, and any other plans requested by the Land Bank to ensure consistency, as well as available re-use resources.

Maintenance – The Service Provider will estimate the number of lots and structures the Land Bank is likely to own - through consolidation of publicly owned parcels and acquisition of privately owned, tax delinquent vacant parcels - and the number of privately owned vacant lots that are adjacent to the lots owned by the Land Bank.

Summary of Five-Year Goals and Targets The Service Provider will develop a summary of five-year goals and quantitative targets for acquisition and disposition and re-use.

Strategic Plan Document and Supporting MaterialsThe Service Provider will design and prepare a draft Strategic Plan with the elements described above as well as presentation materials suitable for community outreach meetings and a public hearing (e.g., display maps, boards, PowerPoint presentations, etc.). The Service Provider shall also make all revisions requested by the Land Bank to produce a final Strategic Plan for submission to City Council for approval and final presentation materials. The Service Provider will provide draft and final versions of the Strategic Plan and all presentation materials in a form suitable for electronic and print production and distribution. The Service Provider will provide various iterations of a draft Strategic Plan and presentation materials as requested by the Land Bank. The Land Bank reserves the right to provide feedback on drafts of the Strategic Plan and presentation materials until they are satisfactory to the Land Bank.

Documentation of Planning ProcessOnce City Council approves the Strategic Plan, the Service Provider will prepare and submit a document that describes the process of developing the Strategic Plan including, without limitation, suggestions for improvements to improve the process in the following year.

Community Outreach Meetings and Public HearingsThe Service Provider will utilize their expertise to plan and conduct several community outreach meetings. The purpose of these meetings is to obtain input on the Strategic Plan from residents, community groups, and non-profit organizations and to inform the public about real estate development and financing and ways to obtain property from the Land Bank. Community outreach meetings will be conducted both prior to and after completion of the first draft of the Strategic Plan.

Prior to the community outreach meetings, the Service Provider will advise the Land Bank on how to effectively and efficiently execute a community outreach strategy so as to obtain robust engagement with residents, community groups, and non-profit organizations. Community outreach meetings may take place outside of regular business hours in the evenings and on weekends. Due to the community-based nature of this project, Applicants based in Philadelphia are particularly encouraged to apply.

The Service Provider will also advise the Land Bank on how to best obtain input from City-controlled entities and will use their expertise to plan and conduct meetings with City-controlled entities to obtain their input on the Strategic Plan.

The Service Provider will develop presentation materials and any other materials as requested by the Land Bank for the community outreach meetings and meetings with City-controlled entities.

The Service Provider will also assist the Land Bank, as requested, with planning and conducting a public hearing prior to the adoption of the Strategic Plan including, without limitation, developing presentation materials and other materials as requested by the Land Bank.

The Service Provider will also advise the Land Bank on how to best leverage the input gathered from the community outreach meetings and meetings with City-controlled entities.

Ownership of Work ProductThe Land Bank shall own and shall be deemed the author of the Strategic Plan and all other intellectual property created pursuant to this RFP including, without limitation, all datasets, analytical models, and other work products (collectively, "Instruments of Service") and shall retain all common law, statutory and other reserved rights to the Strategic Plan and Instruments of Service, including, without limitation, copyrights, as works made for hire (as set forth in the U.S. Copyright Act). The Land Bank shall have the unlimited right to use the Strategic Plan and all Instruments of Service.

DeliverablesThe Service Provider will provide copies of the final Strategic Plan as requested by the Land Bank, but not to exceed one hundred (100) copies, and (ii) digital and print-ready versions of the Strategic Plan and all datasets, analytical models, and all other work products developed for this project in the digital/electronic format requested by the Land Bank (e.g., PDF).

3. SCHEDULE

The timeline for this RFP is indicated in the table below. The dates indicated below are estimates only and the Land Bank reserves the right, in its sole and absolute discretion, to alter this schedule as it deems necessary or appropriate.

4. Proposal Requirements

All proposals must be double-spaced with font size no smaller than 12 and not exceed 25 pages, excluding attachments. An unbound original and six (6) copies of the proposal along with a flash drive containing the proposal in PDF format must be submitted.

Proposals must include the following sections, in order:

A. Cover page indicating (i) Applicant's name and firm name, if applicable; (ii) address; (iii) contact person; (iv) phone number; (v) website, and (vi) email address.

B. Narrative description of the approach the Applicant proposes to use to accomplish the Services.

C. General Statement of Qualifications that responds to the Introduction and Scope of Work in this RFP.

D. Description of all datasets that the Applicant expects to use including, without limitation, the source, availability, and cost of any such data that is to be obtained from sources other than the City.

E. Personnel and Project Team Membersa. The Land Bank anticipates that the successful proposal may include team members

or subcontracted services from organizations with different specializations, and encourages teams to submit proposals.

b. List the professional and support positions and number of personnel in each position. Provide resumes for all personnel who would be committed to this project, including specific information as to their experience on projects similar to that contemplated under this RFP.

c. List any proposed outside consultants or subcontractors and provide for them the same information required in subsection a) and b) above.

I. Completion Schedule and Fees : The Land Bank seeks proposals to provide the Services on a flat fee basis. Each Applicant must provide a detailed cost proposal for completion of each major element of the work product, and a line item breakdown of the costs for specific services and work products proposed.

The proposed price must include all costs that will be charged for the Services and tangible work products the Applicant proposes to perform and deliver to complete the project including, but not limited to, costs for the following, if the Land Bank is to pay for them: employee compensation and fringe benefits; communication; printing; administrative expenses; bonding; acquisition of real estate; rent, utilities, maintenance and security related to real estate; travel (reimbursable only at rates approved by the Land Bank and in accordance with current Land Bank and City policies; project management; development; testing; implementation; maintenance; training; and all other work proposed.

In addition, each Applicant must provide a schedule of hourly rates for each employee classification that will perform any of the Services as well as other related reimbursable costs (i.e., reproduction fees, etc.) These rates will be in effect should supplemental services be used outside of the scope of this RFP.

5. EVALUATION CRITERIA AND SELECTION

The Land Bank will review all proposals received and make a final recommendation in determining which Applicants best serves the interests of the Land Bank. Proposals will be evaluated based upon a number of factors, including, but not limited to:

Compliance with the submission requirements of this RFP including, without limitation, Applicant’s plan to achieve M/W/DBE goals and its M/W/DBE track record.

Ability, availability, and capacity to meet the requirements of this RFP, including, without, limitation public engagement, and needs of the Land Bank.

Prior relative experience and reputation. References. Competence and track record working with private sector, governments and development

organizations. Administrative and operational efficiency. Ability to meet timelines and milestones. Pricing. Knowledge of the City's real estate markets and sub-markets. Eligibility under Philadelphia Code provisions relating to campaign contributions. Compliance with Land Bank standards for contracting, such as indemnification and non-

discrimination. Any other factors the Land Bank considers relevant to the evaluation of proposals from

Applicants.

The Service Provider must be willing to work pursuant to the Land Bank's Professional Services Agreement which includes, without limitation, non-discrimination requirements, indemnification of the Land Bank and the City, insurance coverage in accordance with the requirements indicated herein, and cost principles. The Service Provider must execute a Professional Services Agreement with the Land Bank in form and substance as approved by the Land Bank. A copy of the Land Bank's Professional Services Agreement will be made available on the Land Bank's website.

6. Declarations and Other Information

MBE/WBE/DBE Firms: The Applicant should demonstrate their experience working with Certified M/W/DBE firms. The Land Bank strongly encourages and promotes the employment of qualified MBE/WBE/DBE firms in all aspects of its procurement of goods and services. If an Applicant is a Certified M/W/DBE, defined as Minority Business Enterprises ("MBE"), Woman Business Enterprises ("WBE"), or Disabled Business Enterprises ("DSBE"); please submit information to confirm certification as part of the proposal.

Firms must complete the “City of Philadelphia Economic Opportunity Plan” form (Exhibit A). The overall baseline goal established by the City is thirty-five percent (35%); however, the Land Bank encourages applicants to seek the highest levels of M/W/DBE attainment that is reasonably feasible. In addition, Applicants must provide a narrative describing the Applicant’s plan to achieve these goals and its track record (in terms of percentage achieved) in M/W/DBE

inclusion. The narrative must discuss the Applicant’s plan and track record for engaging minority workforce. Applicants should note whether the applicant itself and/or other key partners, consultants, or contractors are minority or woman-owned. Consideration will be given to the applicant's Economic Opportunity Plan as compared to the City's baseline goals.

Tax Clearance and Conflict of Interest Form and the Certificate of Non-Indebtedness: Applicants must provide evidence satisfactory to the Land Bank that all municipal taxes, including, without limitation, business taxes, real estate taxes, water and sewer charges, if applicable, are current for both the individual Applicant and the Applicant’s firm and neither is currently indebted to the City, and that neither will, at any time during the term of the agreement be indebted to the City, for or on account of any delinquent taxes, liens, judgments, fees or other debts for which no written agreement or payment plan satisfactory to the City has been established. Applicants must complete the Philadelphia Tax Status Certification and Conflict of Interest form (Exhibit B) and the Certificate of Non-Indebtedness (Exhibit C) and submit both with the proposal.

Campaign Contribution Disclosure Forms: Applicants must complete the applicable disclosure forms (Exhibit D) and submit with the proposal.

Insurance Requirements: Applicants must submit a certificate of insurance and endorsements in accordance with Exhibit E. If, for any reason, you cannot comply with these requirements, please provide the reasons and the Land Bank will consider any deviations on a case-by-case basis.

Other Required Items Philadelphia Business Privilege License W-9 Taxpayer Identification Statement of Debarrment and No Pending or Threatened Litigation (Exhibit F) Articles of Incorporation and Bylaws; Certificate of Organization or Formation;

Applicants desiring to provide the Services are strongly urged to attend the (non-mandatory) RFP pre-proposal briefing being held on May 22, 2018 at 10:00 A.M. in the Philadelphia Housing Development Corporation Boardroom, 1234 Market Street, 17th Floor, Philadelphia, PA.

8. Questions

All questions regarding this RFP must be submitted in writing by email to: [email protected]. Questions will not be accepted by telephone. Questions and requests for information will only be accepted until May 25, 2018 at 4:00 PM. Questions and requests for information and the Land Bank responses to them will be posted on the Land Bank website.

9. Application Process

In order to be considered, proposals must be received no later than 4:00 PM on June 8, 2018. All proposals submitted after this deadline will be rejected. All proposals must be either mailed or hand delivered to Philadelphia Land Bank, 1234 Market Street, 16th Floor, Philadelphia, PA 19107, Attn: Angel Rodriguez.

The only acceptable evidence of timely delivery will be (i) a U.S. mail return receipt or a receipt from a nationally recognized delivery service (e.g., FedEx) showing the date of delivery, or (ii) a time-stamped receipt from the Land Bank receptionist if hand delivering a proposal.

Proposals will not be accepted by facsimile, email, internet or other electronic transmission.

All proposals submitted become the property of the Land Bank.

10. RESERVATION OF RIGHTS

Any Applicant that willfully provides false or misleading information will be immediately disqualified from consideration.

This RFP and the process it describes are proprietary to the Land Bank and are for the sole and exclusive benefit of the Land Bank. No other party, including any Applicant, is intended to be granted any rights hereunder. Any response, including written documents and verbal communication, by any Applicant, shall become the property of the Land Bank and may be subject to public disclosure by the Land Bank, or any authorized agent of the Land Bank.

This RFP does not commit the Land Bank to award a contract. The Land Bank is under no obligation whatsoever to any Applicant as a result of this RFP. This RFP does not represent any commitment on the part of the Land Bank to Applicant or the Services. In no event shall the Land Bank be responsible for any cost, expense, or fee incurred by, or on behalf of, any Applicant in connection with this RFP or for any costs, expenses, or fees incurred in meeting with, or making oral presentations to the Land Bank if so requested. Each Applicant shall be solely responsible for all such costs, expenses and fees.

An Applicant, whether an individual, partnership, limited liability company, corporation, non-profit, for-profit, or other business entity, may submit only one proposal in response to this RFP. Individuals that are related to each other or business entities that are related to each other or to a common entity may not submit separate proposals. The Land Bank, in its sole and absolute discretion, retains the right to reject any proposal where (i) Applicants or principals of Applicants are substantially similar or substantially related parties; or (ii) the Land Bank has determined that the Applicant has violated these restrictions or the spirit of these restrictions.

By submission of a proposal in response to this RFP, the Applicant agrees that it will comply with all contract monitoring and evaluation activities undertaken by the City of Philadelphia, and with all security policies and requirements of the City.

By submitting a proposal in response to this RFP, each Applicant affirmatively acknowledges its acceptance of the terms and conditions of this RFP and that the Land Bank reserves and may exercise, in its sole and absolute discretion, the following rights at any time and without notice to any Applicant:1. to reject any and all proposals; 2. to request one or more Applicants to provide additional material, clarification, confirmation,

or modification of any information in any and all proposals; 3. to supplement, amend, substitute, modify or re-issue this RFP with terms and conditions

materially different from those set forth herein 4. to cancel this RFP with or without issuing another RFP;5. to extend the time period for responding to this RFP or any other time periods referred to in

this RFP; 6. to conduct personal interviews with any Applicant; 7. to negotiate with one or more Applicants concerning any aspect of a proposal, including,

without limitation, price;8. to terminate negotiations regarding any and all proposals at any time;9. to expressly waive any defect or technicality in any proposal; 10. to solicit new proposals;11. to rescind a selection prior to execution of a contract if the Land Bank determines, in its sole

and absolute discretion, that a proposal does not conform to the specifications of this RFP; 12. to rescind a selection prior to execution of a contract if the Land Bank determines, in its sole

and absolute discretion, that the specifications contained in this RFP are not in conformity with law or that the process in selection of a proposal was not in conformity with law or with the legal obligations of the Land Bank.

13. in the event a contract is awarded, the successful Applicant or Applicants shall procure and maintain during the life of the contract liability insurance in an amount to be determined prior to the award of any contract;

14. in the event a contract is awarded, all Applicants agree to perform the Services as an independent contractor and not as an employee or agent of the Land Bank;

15. in the event a contract is awarded, all Applicants agree that no portion of performance of the contract shall be subcontracted without the prior written approval of the Land Bank;

16. to award a contract for part of the Services and to award a contract to multiple Service Providers; and

17. each Applicant agrees to indemnify, defend and hold harmless the Land Bank and the City of Philadelphia from any and all losses, injuries, expenses, demands and claims against the Land Bank or the City of Philadelphia sustained or alleged to have been sustained in connection with or resulting from (i) the submission of the Applicant's proposal; (ii) the delivery by the Applicant to the Land Bank of any documents or information; and (iii) any conduct undertaken by the Applicant in furtherance of or in relation to the applicant's proposal. Each Applicant agrees that its duty to indemnify and hold harmless shall not be

limited to the terms of any liability insurance, if any, required under this RFP or subsequent contract.
