1 Modus Operandi:
The Intending Vendor[s] are advised to read the EOI documents, Terms and Conditions
and other details carefully relating to the work contemplated for the “Rate Contract for
Readiness of Spacecraft Transportation Containers” and fully acquaint themselves as to
all conditions and matters which may in anyway affect the work or cost thereof. The
intending Vendor[s] shall mean One Single Vendor only and no consortium is
entertained. The Vendor[s] shall be deemed to have known the nature, scope and
magnitude of the work. Vendor should express their interest only if they consider
themselves eligible and if they are in possession of all documents required as per the
EOI. The Vendors are required to study EOI document and express their interest after
carefully examining all instructions, eligibility criteria, forms, terms, standards and
specifications as per the EOI document with full understanding of its implications.
If the Vendor[s] are found ineligible after opening of the EOI, his EOI document shall
become invalid ipso facto, and costs of the EOI document and processing fees, as
applicable shall not be refunded. EOI which are not in compliance with our EOI
conditions shall be rejected, without assigning any reasons thereof. Failure to furnish all
requisite information and/or documents shall result in repudiation of the EOI
notwithstanding the foregoing, UR Rao Satellite Centre [URSC], Bengaluru reserves the
right to assess the capability of the Vendor[s] to perform the Contract, keeping in view,
the overall interest of URSC. In the event, the Vendor[s] capability and capacity are found
to be unsatisfactory; URSC reserves the right to reject the EOI document, without
assigning any reasons thereof.
Any negligence or omission or failure on the part of the Vendor[s] in obtaining necessary
information as stated above or in any other matter affecting the Vendor[s] shall not relieve
him from any risks or liabilities or the entire responsibility for “Rate Contract for
Readiness of Spacecraft Transportation Containers”, in accordance with the EOI
Documents, followed by the RFP document and clearance by URSC.
The requirements stated herein below are a minimum and URSC reserves the right to
request for any additional information and also reserves the right to reject the EOI
document of Vendor[s], if in the opinion of URSC, the qualification or data is incomplete
or if the Vendor[s] is found to be not qualified to satisfactorily perform the Contract. The
Vendor[s] shall bear all costs and expenses associated with preparation and submission
of EOI document including post EOI clarifications, discussions, technical and other

presentations and URSC shall in no case be responsible or liable for such costs,
regardless of the outcome of the EOI process. The Vendor[s] shall also not be entitled
to claim any costs, charges and expenses incidental to or incurred by him through or in
connection with the submission of the EOI or its consideration by URSC, even though
URSC may elect to modify or withdraw the Invitation to EOI or not to accept the EOI.
At any time prior to the deadline for submission of EOI, URSC may for any reason on its
own initiative modify the EOI document by amendment. The amendment shall be notified
in writing or by fax or e-mail to the Vendor[s] or uploaded online on the website. URSC
shall bear no responsibility or liability arising out of non-receipt of the same in time or
otherwise. Notwithstanding the above, URSC may at its discretion extend the deadline
for submission of EOI in order to afford reasonable time to Vendor[s] to take into account
the amendment in preparing the EOI.
All the EOI must be submitted before the time and date fixed for the receipt of EOI as
set forth in the EOI document. URSC shall not be responsible for non-receipt of EOI due
to any postal delays/loss of EOI documents in transit and delay due to customs/courier,
etc. and it shall be the sole responsibility of the Vendor[s] to ensure delivery of the EOI
within the time fixed. URSC reserves the right to accept or reject any of the EOI in full
or part without assigning any reason thereof. EOI received after stipulated time and date
shall be rejected.
Vendor[s] can procure the EOI Documents from Head, Purchase & Stores, UR Rao
Satellite Centre, P.B.No.1795, HAL Airport Road, Vimanapura Post, Bengaluru – 560
017, on all working days between 10:00 Hrs to 16:00 Hrs IST on payment of prescribed
Tender Fee by way of Demand Draft/Bank Draft. The Contact Phone No is (080) 2508
4030 for the Purchase of EOI Documents. The EOI documents shall also be uploaded
on the URSC website www.isac.gov.in and ISRO website www.isro.gov.in. Interested
Vendor[s] may download the EOI document from website and submit their response to
EOI along with prescribed Tender Fee (in the form of Demand Draft/Bank Draft) as per
details mentioned in the Tender Notification.
After successful completion of the EOI process, URSC may release an RFP based on
the revisions in the specifications and other terms as may be agreed upon/felt necessary
during the process of the EOI and EOI evaluation. URSC reserves the right to not to
release an RFP as a sequel of this EOI.

Tender fee of Rs. 500/- shall be payable in the form of Demand Draft [DD] or Bank
Draft drawn in favour of Accounts Officer, UR Rao Satellite Centre [URSC] payable at
Bengaluru. No other mode of payment for tender fee is acceptable. Vendor[s]
Name/Firm’s Name and Tender/EOI Number shall be indicated on the reverse side of
the Demand Draft/Bank Draft. The Demand Draft/Bank Draft drawn in favour of URSC
towards Tender Fee shall not be dated prior to the date of publication of Tender
Notification. In the event the Demand Draft or Bank Draft has been issued prior to the
date of publication of Tender Notification, such EOI shall be invalid and shall not be
considered.
In the event Vendor[s] request for EOI Documents by post, the postal envelope must be
marked as “Request for EOI Documents”.
If the EOI opening date happens to be on an unidentified Holiday due to any reason,
including Force Majeure, tender(s)/EOI shall be opened on the next working day.
Vendor[s] shall submit EOI document only in sealed envelopes, super-scribing the
Tender Number and the due date of opening of the Tender. The EOI shall be complete
in respect of all technical specifications, instructions, drawings, pamphlets and
catalogues, as per the EOI document. Failure to furnish all information as per the
requirements of the EOI document and submission of EOI not substantially responsive
to the EOI document shall render the EOI /Vendor[s] liable for rejection. Any/all EOI by
way of fax/e-mail shall not be accepted.
The Vendor should provide along with their EOI document the Name and complete postal
address of their Bankers, if required by UR Rao Satellite Centre [URSC], Bengaluru.
The Vendor[s] need to get enrolled in the e-tender portal to access the tender and submit
their offer online during Request for Proposal (RFP) stage. Vendor[s] need to have Digital
Signature Certificate as detailed on ISAC/URSC e-portal and corporate e-mail ID to
register on the above portal.

2 EOI Objective:
SIG/URSC is planning for entering a new Rate Contract for Readiness of Spacecraft
Transportation Containers. URSC is planning to involve most competitive Vendors
(s) within INDIA to take up the Rate Contract for Readiness of Spacecraft
Transportation Containers.
The purpose of this EOI is to invite proposals from the potential Vendors for Readiness
of Spacecraft Transportation Containers. On successful completion, of EOI depending
on the response of Vendors and their capability, most eligible and potential Vendor shall
be shortlisted. EOI responses shall be submitted in softcopies besides hardcopies.
Tables, compliance statements etc. shall be provided in MS Word (or) Excel for
convenience.
3 Introduction to Satellite Subsystems:
UR Rao Satellite Centre [URSC] is one of the lead Centres of the Indian Space Research
Organisation [ISRO] responsible for Design, Development, Assembly and Integration of
Satellites for various applications.
URSC main campus is spread across a 32-acre campus at Old Airport Road,
Vimanapura post in Bengaluru. To cater to the growing demand for satellite applications,
ISRO Satellite Integration & Testing Establishment [ISITE], a 110-acre campus which is
about 8 km away from the main campus was also established. URSC/ISITE houses
state-of-the-art design, fabrication, and test facilities and large clean rooms for the
assembly, integration and testing of various types of satellites. Laboratory for Electro-
Optics Systems [LEOS], situated at Peenya Industrial Estate, Bengaluru is engaged in
design, development and production of Electro-Optic sensors and camera optics for
satellites and launch vehicles.
The URSC main campus and ISITE campus are hereinafter collectively referred to as
‘URSC’. The specialised teams of scientists, engineers and technicians at URSC have
built more than 90 complex and advanced satellites for various applications in areas of
telecommunications, television broadcasting, VSAT services, tele-medicine, tele-
education, navigation, weather forecasting, disaster warning, search & rescue

operations, earth observations, natural resource management, space science and
interplanetary missions etc.
The Satellite Programme at URSC is categorized into:
Geo-Stationary Satellite Programme
Satellite Navigation Programme
Earth Observation & Small Satellite Programme
Based on the mass and power generation, the satellites are also classified into mainly
three bus platforms. Satellites built at URSC are realised around the configurations from
this table.

URSC has set the target of building about 12-18 satellites per year to cater to the growing
demand for satellite based applications and the centre is presently engaged in the
challenging task of building future generation advanced communication, remote sensing,
navigation and space science satellites.
Vendor shall provide required support as per the scope of work without compromising
on ISRO’s quality standards. Interested vendors shall express their interest for the same.
The details of URSC’s requirements from vendors are provided in the subsequent
chapters.

4 Introduction to Contract:
The Spacecraft/Panel Transportation Containers (STC or PTC, generalized name) are
specially designed to transport flight worthy spacecraft or sensitive panels of spacecraft.
STC/PTC differs from standard shipping containers in many aspects. Some of unique
features of STC are as follows.
1. Provides cleanroom environment (maintains cleanliness, temperature and
relative humidity in specified limits of 10000 class of cleanroom standards)
a. Double layered wall filled with insulating materials, heat reflective surfaces.
b. Passive dehumidification.
c. Interface available to connect with Active Air Conditioning System.
2. Shock and Vibration Isolations Systems that can be tuned with respect the
Payload mass.
3. Designed and tested to meet MIL grade standards.
4. Meets International Air Transportation Authority standards. (leak tight and
controlled breath type containers)
5. Miscellaneous features like handling system, integrated wheels and jacks,
interface locks etc.

5 Description:

Validation tests and Readiness of a typical Spacecraft Transportation Container involves

General Terms and Conditions:
1. All the scope of work mentioned in the Table -1 need to be executed by the vendor
at URSC, Bengaluru or ISITE, Marathahalli, Bengaluru as and when required by
ISRO.
2. The vendor need to initiate the work within 7 working days after receiving
communication from URSC, Bengaluru for the required type & quantity of STCs.
The notice period may be shorter (3 working day) in case of emergency/ high
priority requirements.
3. All necessary tools required for execution of work and Torqueing fasteners need
to be brought by the vendor to work premises.
4. The following facilities required for execution of work will be arranged by ISRO /
URSC.
a. Crane facility (of various capacities 5 Ton, 10 Ton and 20 Ton for Small Size
and Medium Size Transportation Containers)
b. Electrical power supply (3-phase 415 Volts, Single-Phase 230 volts)
c. Shop Floor Space required for execution of work.
d. Test mass
e. Compressed air supply of 6-bar pressure.
5. During execution of task, the vendor need to follow all
guidelines/procedures/Checklist as instructed by ISRO/URSC Engineers.
6. The contract workforce will be trained to operate material handling devices such
as cranes, platforms, etc., work in the premises of URSC- ISRO adhering to safety
& security procedures relevant to execute the activities listed in the Table-1.
Hence the contractor shall try to deploy the same trained workforce at URSC
during the contract.
7. For all kinds of communications related to the contract and supervising during the
execution of activities, a Focal Point from Contractor shall be identified. The
minimum educational qualification of supervisor/focal point must be diploma in
mechanical engineering. Fitters deployed by vendor for execution of work must
have the minimum qualification of ITI in mechanical. Labour deployed by vendor
must be of semi-skilled.
8. The following items required during each task need to be arranged by vendor.
a. All the necessary tools required for execution of scope of Contract.

b. All Consumables listed in Table-3 like Cotton waste, diesel, grease, Velcro
tape, copper braid, Instant Epoxy Adhesive, Teflon tape of 1-inch width,
Zinc/Aluminum metal Spray.
9. In case of Multiple Space hardware transportation requirements simultaneously,
Vendor is required to take up readiness of Multiple spacecraft transportation
systems simultaneously.
10. In case of schedule criticality for spacecraft transportation, the vendor needs to
provide the support during extended hours and holidays to accomplish the
scope of work.
The pattern of working followed by ISRO/URSC is as under:
11. Normal working hours are from 8.30 AM to 5.00 PM with 30 minutes’ lunch
break.
12. Normal working days are from Monday through Friday/Saturday.
13. However, in case of exigencies of work, the workforce deployed shall be ready
to work beyond office hours and on holidays as per the requirement of the
concerned Project/Division/Section.
14. The contract work force shall make their own transport arrangement for
executing the service contract, movement of their service materials and
commuting to and fro ISRO/URSC will have no liability for the same.
15. The contract work force will not be entitled for the subsidized canteen facilities
or ISRO/URSC, but can use only the Food Court functioning in the campus.
16. The certification relating to the skill level of the contract work force shall be
submitted to the ISRO/URSC Contract Manager, who reserves the right to
identify the work force for executing the contracted service.
17. The Contractor shall indicate the telephone & fax numbers (both official &
residential) of the CEO of the Company /establishment for communication
purpose.
18. If any damage is caused to ISRO/URSC property by any work force of the
Contractor or if they sustain any injury due to their negligence, the responsibility
for the same shall be solely rest with the Contractor, and an indemnity bond to
this effect shall be executed by the Contractor.

19. Compensation to Workforce:
19.1 ISRO/URSC have adopted the guidelines to grant compensation in case of
death/permanent incapacitation of persons engaged by the Service Provider
due to unintended/unforeseen occurrences during maintenance, operation
and provisioning of Public Services.
19.2 The extent of liability, on the occurrence of any “accident” as defined under these
Guidelines, Department shall whether or not there has been any wrongful act,
neglect or default on its part and notwithstanding anything contained in any other
law, be liable to pay compensation to such extent as:
a] In the event of death or permanent disability resulting from loss of limbs –
Rs. 10 Lakhs;
b] In the event of other permanent disability – Rs. 7 Lakhs. 20.
19.3 Any Compensation paid under these guidelines shall be recoverable from such
Service Provider.
19.4 For this purpose, without limiting any of the other obligations or liabilities, the
Service Provider shall at their own expense take and keep a Comprehensive
Insurance for their Workforce and for all the work during the execution.
19.5 The Service Provider shall have to furnish originals along with premium receipts
and other papers related thereto to the concerned Contract Manager/Focal
Point, URSC within 15 days from the date of commencement of the Contract.
19.6 The Service Provider shall provide their unconditional acceptance to these
guidelines in their letterhead duly signed by their authorized signatory.
Note-1:
During RFP Stage (refer Chapter 7 procedure for finalizing the Contract) vendor will
be required to quote the cost under three categories viz., ‘A’, ‘B’ and ‘C’.
Where,
‘A’ refers to cost towards readiness of Small Size Transportation Container,
‘B’ refers to cost towards readiness of Medium Size Transportation Container and
‘C’ refers to cost towards readiness of Large Size Transportation Container
respectively.
Costs ‘A’, ‘B’ and ‘C’ shall include the cost of consumables (Refer Table-3).
Note-2: Vendors should not submit any commercial bid during EOI response
submission.

6 Schedule for completion of scope of works:
The approximate timeline for completion of activities involved in one-time readiness
of each container mentioned in the Table-1 are as follows.
1. 10 calendar days for small size transportation Containers.
2. 18 calendar days for medium size transportation Containers.
3. 30 calendar days for Large size transportation Containers.
The above mentioned schedule excludes execution of Activity No. 7.
Vendor need to respond and execute the activity No. 7 upon communication by
ISRO/URSC Engineers, as and when required.
Note-3: Requirements in each category of containers in span of two years mentioned
in Table-1, may vary subject to ISRO Program.

8 Terms and Conditions:
8.1 Terms and Conditions: Finance
8.1.1 This is an invitation for Expression of Interest for concluding Rate Contract for
Readiness of Spacecraft Transportation Containers and does not have any
relation with respect to the previous Tender floated for similar activities.
8.2 Terms & Conditions: Organisation Portfolio
8.2.1 The applicant may be a Proprietorship, Registered Partnership Firm, One Person
Company (OPC), Indian Company/Domestic Company-Private or Public
Company-Listed or Unlisted. Vendor shall submit the interest in the given EOI
response sheet.
8.2.2 Control has been defined as the right to appoint the majority of the Directors or to
control management and policy decisions, including by virtue of their
shareholdings or management rights or shareholders or agreement or voting
arrangements.
8.2.3 The vendor should also have a valid GST registration. The Vendor should submit
Self attested copy (ies) of the Certificates of Incorporation and other certificates
that are legally required for carrying out its business activities in India.
8.2.4 The certificates should be valid at the time of EOI submission and should be
certified by an authorized signatory. A copy of PAN Card should also be
submitted.
8.2.5 Financial Statements like Profit & Loss Account, Balance Sheet etc., (for the last
03 Financial Years) in support of financial turnover of the agency. Copy of last 3
years IT return filed by the agency for the year 2015-16, 2016-17, 2017-18
8.2.6 An undertaking (self-certificate) is to be submitted that, the Organization hasn’t
been blacklisted by any Central/ State Government Department/ Central
Government funded organizations/ State Government funded organizations/
World Bank, or other World Bank organizations and is not under any illegal
expression by Government of India.
8.2.7 The applicant, should not have, during the last three years, either failed to perform
on any agreement, or been expelled from any project or agreement or have any
agreement terminated for breach by the applicant.

8.2.8 Persons who are individually or institutionally, in any manner, involved with the
selection/screening process of the EOI, and employees of ISRO/URSC are
ineligible for applying.
8.2.9 An undertaking (self-attested) is to be submitted that there has been no
outstanding bankruptcy, judgment or pending legal action that could impair
operating as a going Concern. Also the Vendor must be solvent, in the Legal Court
of Law.
8.3 Terms & Conditions: General
8.3.1 This EOI is not an offer and is issued with no commitment. URSC reserves the
right to withdraw the EOI or change or vary any part thereof at any stage. URSC
also reserves the right to disqualify any vendor/proposal, should it be so
necessary at any stage.
8.3.2 Timing and sequence of events resulting from this EOI shall ultimately be
determined by URSC.
8.3.3 By submitting the EOI proposal, each vendor shall be deemed to acknowledge
that the vendor has carefully read all chapters of this EOI, and has fully informed
himself as to all existing terms and conditions.
8.3.4 The EOI and all correspondence and documents shall be written in English.
8.3.5 Vendor shall compulsorily fill up the Response format and compliance matrix
(Part- I & Part- 2) as given in Chapter 9 in the EOI.
8.3.6 Participation of Vendors for Pre-EOI Meeting:
A Pre-EOI Meeting will be arranged at UR Rao Satellite Centre, Bengaluru in order to
have a better understanding of the EOI document with regard to Technical and
Commercial aspects, clarify doubts if any, and other allied details. Interested vendors
are requested to take part in the Pre-EOI meeting.
8.3.7 Further, the vendor must not quote any of these works in any publications or to
any of their customers/public domain without explicit permission from URSC and
adhere to strict confidentiality.
8.3.8 GST Registration:
Important Notice to Vendor Government of India has implemented Goods and Services Tax [GST] w.e.f 01.07.2017. The Vendor should mandatorily possess a valid GSTIN along with the GST Registration Certificate. Please take note of this aspect.

9.5 EOI Response Format Contents
The proposal should be submitted as an Expression of Interest (EOI) as a collation of
the following table of contents as below, in the enclosed format, clearly providing the
details requested below with documentary proof/supporting documents as Annexure.
The vendor has to provide the information as per the formats as prescribed in chapter 9
Response Format. The overall compliance matrix as per section 9.2,9.3,9.4 should also
be submitted as per the EOI proposal. All these inputs may be furnished in MS word
document neatly typed in the said formats.
