We have reviewed the accompanying Statement of unaudited financial results of DCM Nouvellc

Limited (“the Company”) for the quarter ended '30 June 2019 (“the Statement”).

This Statement, which is the responsibility of the Company’s management and approved by the

Board of Directors, has been prepared in accordance with the recognition and measurement prin les

laid down in 1ndian Accounting Standard 34 "Inlerim Financial Reporting" (“1nd AS 34"),

prescribed under Section 133 Ofthe Companies Act, 2013, and other accounting principles generally

accepted in lndia and in compliance with Regulation 33 of the Listing Regulations. Our

responsibility is to issue a report on the Statement based on our review.

We conducted our review of the Statement in accordance with the Standard on Review

Engagements (SR5) 2410 “Review of interim Financial Information Performed by the

Independent Auditor Qflhe Entity” issued by the institute of Chartered Accountants of India, This

standard requires that we plan and perform the review to obtain moderate assurance as to whether

the Statement is free of material misstatement. A review is limited primarily to inquiries of

company personnel and analytical procedures applied to financial data and, thus, provides less

assurance than an audit. We have not performed an audit and accordingly, we do not express

an audit opinion.

Attention is invited to:

« note. 2 that during the quarter ended 30 June 2019, the National Company Law Tribunal

(“NCL"1"), vide its order dated 1 May 2019, has approved the Scheme of Arrangement (‘thc

Scheme’) between DCM Limited and DCM Nouvelle Limited, for the dernerger ofthe Textile

Division of DCM Limited, on a going concern basis with effect from 1 April 2019 (it the

appointed date). Consequently, the assets and liabilities of the Textile Division of DCM Limited

have been transferred with effect from the aforesaid appointed date to DCM Nouvelle Limited at

their carrying values, determined in accordance with the Companies (lndian Accounting

Standards) Rules, 2015 (ind AS) prescribed under Section 133 ofthe Companies Act, 2013 and

other accounting principles generally accepted in india.

Further, in View of the above, the financial results for the quarter ended 30 June mill and 31

March 2019, and for the year ended 31 March 2 rave been restated to include the financial

information in respect ofprior periods as ifthc demerger ochxtilc Division from DCM Limited

had occurred from the beginning 01' the preceding period in the financial results. irrespective of

the actual date of the demerger, in accordance with the requirements of lnd AS 103, “Business

Combinations”;

~ the fact that the figures for the quarter ended 31 March 2019 as reported in these financial

results are the balancing figures between audited figures in respect of the full previousfinancial year and the published year to date figures up to the third quarter of the previousfinancial yearl The figures up to the end ofthe third quarter of previous financial year, before

giving effect to the aforesaid Scheme, had only been reviewed by the predecessor auditor and

not subjected to audit; and

n the fact that the corresponding financial results for the quarter ended 30 June 2018 and for the

year ended 31 March 202 9 (together referred to as the corresponding financial results‘), preparedin accordance with the recognition and measurement principles laid down in Ind AS, included in

the Statement, before giving effect to the aforesaid Scheme, have been reviewed/ audited by the

predecessor auditor and expressed unmodified opinions as per the reports dated 02 August 2018

and 24 April 20l9, respectively.

Our conclusion is not modified in respect of these matters,

Based on our review conducted as above, morn ing has come to our attention that causes us to believe

that the accompanying Statement, prepared in accordance with applicable accounting standards and

other recognised accounting practices and policies has not disclosed the information required to be

disclosed in terms ofRegulation 33 ofthc SEB] (Listing Obligations and Disclosure Requirements)

Regulations, 2015, including the manner in which it is to be disclosed, or that it contains any material

misstatement.
