COMPANY FORMATION AND MANAGEMENT

Amicorp Group specializes in establishing and managing all types of corporate entities. We provide all supporting services related to company management and administration, including appointing company secretaries, managers and directors, providing a registered address, preparing and maintaining corporate records, bookkeeping and accounting, and financial transactions, including administering and managing bank accounts.

DIRECTOR AND SHAREHOLDER SERVICES

To facilitate establishing and managing a new legal entity, Amicorp can provide corporate directors or other relationship services relating to the holding of clients’ entities in a range of jurisdictions. Director services are an integral part of corporate services where a registered office is provided by Amicorp. Single Premium Life Insurance - Amicorp offers Single Premium Life Insurance through our insurance company, AmiLife. Amicorp Insurance Company (AIC) offers a captive insurance program. FATCA SERVICES

Amicorp’s experienced and well-connected staff have built customer solutions for financial institutions and your clients to efficiently comply with US FATCA and the announced global FATCA regulations to come. To ensure you are FATCA compliant we provide the following services:

• Classify client investment entities as FFI or Non-Financial Foreign Entity;• Registration of client investment entities with IRS and obtain GIIN;• Act as sponsor of client investment entities as FFI to avoid or defer registration;• Preparation and filing of all necessary forms (W-8BEN-E, self- certifications, etc.);• Maintenance of ongoing due diligence to identify US Persons and renewals;• Review existing structures for legal compliance with your client’s jurisdiction of tax residence; and• GATCA compliance and Common Reporting Standards readiness (the global version of FATCA) effective as per 2016.


FUND STRUCTURING AND FUND ADMINISTRATION

Well-structured investment funds have many significant applications. Professional investment managers use them to pool investors’ money and make subsequent allocations in accordance with their investment strategy. Individuals or family offices may use a fund for asset protection or succession planning purposes. TRUST AND PRIVATE FOUNDATION STRUCTURES

Trusts and private foundations are often used as the top entity in private or corporate investment holding structures in common and civil law jurisdictions. In most cases, both arrangements provide tax advantages, including tax deferrals, a reduced income tax rate and separation from the personal assets of the settlor and the beneficiaries. Amicorp provides establishment, management and administration services as well as trustees and directors for both trusts and foundations.

ESTATE PLANNING AND PRIVATE OFFICE SERVICES

In coordination with tax, inheritance, and estate law experts, Amicorp can establish and administer estate planning structures. Amicorp’s estate planning structures are often used to transfer an estate from one generation to the next or to skip a generation in a manner that minimizes taxes. Estate planning structures are also used to eliminate conflicts of interest between heirs as well as the negative consequences of any forced heirship rules.
