• The Accelerator will be run over 16 weeks, from facilities in the London and Silicon Valley for up to 10 selected technology companies, that are < 5 years old and with between £1M and £5M in revenue.

• The programme is open to all companies provided they can meet the following criteria:

- Have not raised Series A capital an or equity and shareholding agreements or debt structure that prevents clean investment.

- Have a product/service to demonstrate and are prepared to share access to programme partners under NDA (and where reasonable, for no additional cost).

- Senior team can commit to being based in both the UK and USA throughout the 16 week programme.

- Can show that the Accelerator and access to senior-level executives in technology services firms will have a meaningful impact on growth prospects.

- Can arrange work permits and visas for all members of the management team.

• The Fund will provide between £50-100M of capital to invest in companies that have developed B2B and B2B2C services.

• The Fund will cover the cost of the Accelerator for each company selected, in return for first refusal rights on follow-on investment.

• Companies that complete the programme and demonstrate increased customer traction across Europe and the USA will be considered for will receive “A” round funding of up to £5m.

• Exit from each investment will be by a trade sale to one of the investment partners, a third party or via a secondary/management buyout.

• Our preference is to be the first institutional investor; our reason for this is that we believe it is the way we can be involved early enough to add the most value alongside our other Investment Partners. Further down the line, there are usually fewer opportunities to add value and an investment becomes more about funding which is not the purpose of the vehicle.

• By covering the cost of our Accelerator programme we will provide seed investment, but only as a pre-cursor to a larger investment as we ultimately see ourselves as quality rather than quantity investors, and aim to have a meaningful stake in our portfolio companies.
