Canada Corporations Act

3 areas of Unlimited Personal Liability as a Director or Officer of a Company

1.) Tax Liability

• Unlimited Personal Liability for collection and remittance of WSIB, Provincial and federal Taxes as well as filing of taxes.

• Due Diligence and the right accountant are essential.

2.) Employment Practices

• Wrongful Dismissal, wrongful promotion, harassment, constructive dismissal can all lead to a financial loss which is not covered by traditional coverage

Bill C45

• Commonly referred to as the “ Westray Bill”

• The Legislation imposes criminal liability on persons who direct work that results in injury or death to employees!

• Clean up costs ordered by the Ministry of Environment can be in the hundreds of thousands, traditional insurance does not cover these costs and any fines or penalties as a result of an incident.

Underground Operations
