CALLTO ORDER Karen Frey, President of the Board, called the regular meeting of the Corcoran Unified School District Board of Trustees to order at 6:30 p.m. in the Board Room of the Administration Office. CALLTO ORDER Karen Frey, President of the Board, called the regular meeting of the Corcoran Unified School District Board of Trustees to order at 6:30 p.m. in the Board Room of the Administration Office. PRESENTATION TO CUSD STUDENT STARS

Superintendent Rich Merlo introduced the first quarter’s CUSD Student Stars to the audience and relayed the reason they were receiving the honor. Board President Karen Frey presented certificates to the Stars, who included Olivia Lucio, Bret Harte; Bryan Rodriguez, Fremont; Max Howard, Mark Twain; Noah Quintero, John Muir; Estefany Pena Rodriguez, High School; and Rosie Lopez, Kings Lake.

CONSENT AGENDA ITEMS The Board voted to approve the following consent agenda items:

d. For Bret Harte Pre-school teachers Marisela Contreras and Gaye Barker to Oral Language Development: Receptive Language/Listening Skills and Expressive Language/Speaking in Early Years workshop to be held Saturday, November 1, 2014 at Children’s Hospital of Central California in Madera, to be paid by Pre-school funds.

e. For High School Ag staff members Michael Rossi, Ariana Hallum and Alisa Gomez to San Joaquin Road Show/Regional CATA Meeting to be held Friday and Saturday, November 14 and 15, 2014 at Fish Camp. Requested use of Ag van and Ag truck and expenses to be paid by Ag Incentive Grant.

f. For John Muir academic coach Jari Stokes to Fall CUE 2014 Conference to be held Thursday through Sunday, October 23-26, 2014 in American Canyon, fees to be paid by Mrs. Stokes.

8. Student Trips a. A trip for approximately 287 Fremont second grade students, teachers Mel Parker, Ximena

Schimpf, Laurie Martin, Dawn Gilden, Brooke Davis, Linda Agudo, Amy Perryman, Janet Hansen, Kim Morris, Marsha Early, Rosio Lerma and Tina Rietkerk and chaperones to The Enchanted Playhouse Theatre in Visalia on Thursday, April 30, 2015, to be paid by CAST.

b. A trip for approximately 263 Fremont third grade students, teachers Donna Bartron, Jennifer Pinto, Shayna Dobbins, Bobby Wright, Susan Ramirez, Antionetta Crane, Susan Williams, Kathy Schmidt, Diana Calderon and Helen Jo Morse and chaperones to the Tulare County Office of Education Planetarium in Visalia on either Monday, November 3, Thursday, November 6, or Monday, November 10, 2014, to be paid by CAST.

c. A trip for 49 High School Academic Booster students and advisors Curt Rowe, Tiffany Edginton and Gabriela Cruz to tour Fresno State University and attend a football game on Saturday, November 8, 2014 in Fresno. A Charter bus and all expenses to be paid by Academic Boosters.

d. A trip for 19 High School Academic Decathlon Team members, Coach Michael Pankratz and Carmen Vidales to the Madera Academic Decathlon Lectures to be held Thursday, October 23, 2014 in Madera. Requested used of vans and other expenses to be paid by Academic Decathlon funds.

e. A trip for approximately 43 High School band members and Director Chad McCoy to the Lemoore High School Tiger Classic Field Show Competition to be held Saturday, November 8, 2014 in Lemoore. Requested bus transportation and other expenses to be paid by CAST and fundraisers.

f. A trip for approximately 43 High School band members and Director Chad McCoy to the Orange Cove Invitational Field Show Competition to be held Saturday, November 1, 2014 in Orange Cove. Requested bus transportation and other expenses to be paid by CUSD and fundraisers.

g. A trip for seven High School Future Business Leaders of America (FBLA) members and Advisors Michelene Romao and Doug Stich to the FBLA Leadership Development Institute on Friday through Sunday, October 17-19, 2014 in Santa Clara. Rental van transportation and other expenses to be paid by FBLA Snack Shack funds.

h. A trip for 14 High School KROP students and Advisor Belinda Duran to the Growing Health Leaders Youth Conference to be held Friday, October 17, 2014 in Tulare, to be paid by Kings County Office of Education.

i. A trip for 22 High School students to the University of California Merced Talent Search tour of U.C. Merced on Saturday, October 18, 2014 in Merced. Transportation and all expenses to be paid by U.C. Merced.

j. A trip for 18 High School Upward Bound members and advisors Lupe Banales, Anna Silvestre, Jose Murrieta, Jeronimo Araujo and Jennifer Zuniga to tour CSU-Fresno and the Downing Planetarium in Fresno on Saturday, December 13, 2014. Charter bus transportation and other expenses to be paid by West Hills College Upward Bound Program.

HIGH SCHOOL REPORT High School representative Daniella Contreras informed the board that Panther News is being displayed during to keep students informed and includes fun facts. Interact and Rotary clubs have an exchange student from France attending CHS. They are now taking sign-ups and interviewing Corcoran students who would like to be an exchange student in another country through the program. Homecoming week started with a kick-off rally held at night at the stadium. There was a big turnout and the evening was filled with activities. Each day during Homecoming Week had a dress-up featuring a different sport. Candidate voting took place through technology this year with staff members Jonathan Carnes and Monica Toriz earning the teacher favorites and students Nicolas Portillo and Mari Russell named Homecoming King and Queen. The seniors won the Powder Puff game, while the football team came away with a win, too. There was also the traditional snake parade with floats through downtown. SUPERINTENDENT’S REPORT Graduate Profile Report: Part of the Pathways grant has been having a group determine what a graduate would look like in the different pathways. Mr. Merlo told the Board that the group is obtaining good coaching and also good resources from Sacramento City Schools. The thought is that if a student graduates from Corcoran High School, they should be able to do and know certain things. They would like it to be for all students, not just Pathways students. It would follow students from pre-school and kindergarten through senior class. Mr. Merlo displayed a graphic that is the beginning framework for the project. Lora Cartwright, Director of Educational Services, informed the Board that the team would like to know what employers would want to see in high school graduates. Mr. Merlo added that they would be meeting with the curriculum team and staff. The goal is to be creating critical thinkers and students with assessments and portfolios. It is a very involved process. The four-year grant contains a lot of training for the District’s teachers and the District will be doing some very innovative things. ParentLink: Mr. Merlo and Steve Berry, Director of Technology, demonstrated the new Corcoran Unified app that will give parents, students and the community easy access to a variety of District/School programs and information. It is available in the Apple App store, but has been built by the District and can be customized when needed. CHIEF BUSINESS OFFICER REPORT Mrs. Dihel informed the Board that SISC will be holding a free flu clinic for staff and Board members, spouses and dependents on October 30. M. Green and Company have rescheduled their audit of the District for November 12 and 13. The Auditorium seats have been installed and students now occupy Bret Harte’s newest portable. BOARD OF TRUSTEES REPORTS Board President Karen Frey: Mrs. Frey reported that she attended the Human Resources/Policies Sub-Committee Meeting where staffing was discussed and updated policies placed on the current agenda were shared. FLIPPEN GROUP SEMINAR Four principals recently attended a Capturing Hearts seminar put on by Flippen Group. Mark Twain Principal Mike Anderson stated they heard testimonies from students who had dropped out of school and how the program turned them around. Ken Spencer, John Muir’s principal, added that the tools could be used for K-12. He said it was about how to capture the student’s heart and have them on your side as they feel respected and valued. It was about how to treat others, not just students but parents, fellow workers and family members. He noted that their program is used for companies, not only school districts. Fremont Principal Ed Ochoa said what it came down to for him was building relationships. Mr. Spencer said one of the things he took away was taking the time to write notes to people. Elizabeth Mendoza, principal of Bret Harte, added that it is about squaring up to people, looking them in the eye, leaning in and making it more personable. It is all about affirmations. INTERDISTRICT FOR BRITTANY JORDAN The Board voted to approve an interdistrict agreement with Tulare Joint Union High School District for Brittany Jordan to attend Corcoran High School for the 2014-15 school year. AGREEMENT WITH ARCHITECTS FOR BRET HARTE MODERNIZATION The Board voted to approve an agreement with Tellian Parish McLain, Architects, for Modernization at Bret Harte Elementary School that will include modernizing existing permanent classrooms, provide site irrigation booster pump, and replace mechanical system at the Cafeteria building. Trustee Mary Wadsworth had questions regarding the architect fees. She moved for the item to be approved with the understanding that a conversation would take place with the architects to determine if there could be any leeway in fees based on anticipated future work with the company. YARD DUTY SUPERVISOR FOR HIGH SCHOOL The Board voted to approve the Recommendation of the District Superintendent concerning addition of particular kinds of service with a change to (1) Yard Duty Supervisor 5.75 hours/180 days per year, to be placed in the Corcoran High School P.E. girls’ locker room under the direction of the CHS principal. Originally it read one (1) Paraprofessional 5.75 hours/184 days per year. Motion: Robert Alcorn Second: Mary Wadsworth

Team. EXPULSIONS

1. The Board voted to approve the expulsion of EH 2014-15/01 for one calendar year through October 14, 2015 with placement at Mission Community Day School in Corcoran. Counseling is recommended. A rehabilitation plan was set with provisional readmission date of October 14, 2015.

2. The Board voted to approve the expulsion of EH 2014-15/02 for the remainder of the Fall 2014

and Spring 2015 semesters with placement at Mission Community Day School in Corcoran. Counseling is recommended. A rehabilitation plan was set with provisional readmission date of August 1, 2015.

3. The Board voted to approve the expulsion of EH 2014-15/03 for the remainder of the Fall 2014

and Spring 2015 semesters with placement at Mission Community Day School in Corcoran. Drug counseling is recommended. A rehabilitation plan was set with provisional readmission date of August 1, 2015.

4. The Board voted to approve the expulsion of EH 2014-15/04 for the remainder of the Fall 2014

and Spring 2015 semesters with placement at Mission Community Day School in Corcoran.

School Site Councils When required for participation in any categorical program, each district school shall establish a school site council or advisory committee. (Education Code 41507, 41572, 52852, 64001) The school site council shall be composed of the following: (Education Code 41507, 41572, 52852)

1. The principal 2. Teachers selected by the school's teachers 3. Other school personnel chosen by the school's other personnel 4. Parents/guardians of students attending the school chosen by other such parents/guardians, or community

members chosen by the parents/guardians as representatives 5. In secondary schools, students attending the school chosen by other such students

Half of the school site council membership shall consist of school staff, the majority of whom shall be classroom teachers. For elementary school site councils, the remaining half shall be parents/guardians or parent/guardian representatives. For secondary school site councils, the remaining half shall be equal numbers of parents/guardians (or parent/guardian representatives) and students. (Education Code 41507, 41572, 52852) A district employee may serve as a parent/guardian representative on the site council of the school his/her child attends, provided the employee does not work at that school. (Education Code 52852) School site councils may function on behalf of other committees in accordance with law. (cf. 6171 - Title I Programs) (cf. 6174 - Education for English Language Learners) The single plan for student achievement shall be aligned with school goals for improving student achievement and shall be based on an analysis of verifiable state data, including the Academic Performance Index (API) and the California English Language Development Test (CELDT), and any other data voluntarily developed by the district to measure student achievement. (Education Code 64001) The plan shall, at a minimum: (Education Code 64001)

1. Address how funds provided to the school through categorical programs will be used to improve the academic performance of all students to the level of the performance goals established by the API

2. Identify the school's means of evaluating progress toward accomplishing those goals 3. Identify how state and federal law governing these programs will be implemented

In addition to meeting the requirements common to all applicable school plans, the single plan shall address the content required by law for each individual categorical program in which the school participates. Plans developed for the state's Immediate Intervention/Underperforming Schools Program pursuant to Education Code 52054 or the federal Title I schoolwide programs pursuant to 20 USC 6314 shall satisfy the requirement for the single plan. (Education Code 64001) (cf. 6171 - Title I Programs) In developing or revising the single plan, the school site council shall:

1. Measure the effectiveness of current improvement strategies at the school The school site council shall analyze student performance based on state and local data, identify significant low

performance among all student groups, and analyze instructional programs to determine program areas that need to be addressed in order to raise performance of student groups not meeting academic standards.

2. Seek input from other school advisory committees as appropriate 3. Reaffirm or revise school goals to serve as a basis for school improvement activities and expenditures 4. Revise improvement strategies and expenditures

The school site council shall specify actions to be taken, dates by which actions are to be started and completed, expenditures needed to implement the action, the funding source, anticipated annual performance growth for each student group, and the means that will be used to evaluate progress toward each goal.

5. Approve and recommend the plan to the Governing Board

The Superintendent or designee and the principal shall implement the strategies in the single plan and report to the school site council and the Board regarding progress toward school goals. The school site council shall monitor the implementation and effectiveness of the single plan and modify any activities that prove ineffective.

Whenever a school participates in the state's categorical block grant programs for student retention and/or school and library improvement, the school site council shall develop a plan which shall include, but need not be limited to: (Education Code 41507, 41572)

1. Curricula, instructional strategies, and materials responsive to the individual educational needs and learning styles of each student that enables all students to do all of the following:

a. Make continuous progress and learn at a rate appropriate to their abilities b. Master basic skills in language development and reading, writing, and mathematics c. Develop knowledge and skills in other aspects of the curricula, such as arts and humanities; physical, natural,

and social sciences; multicultural education; physical, emotional, and mental health; consumer economics; and career education

d. Pursue educational interests and develop esteem for self and others; personal and social responsibility, critical

2. Consideration of the use of community resources to achieve instructional improvement objectives 3. Consideration of the use of education technology

9. Improvement of student attendance, including parent/guardian awareness of the importance of regular school attendance

10. The proposed expenditure of block grant funds and the degree to which expenditures meet the plan's criteria

11. Other activities and objectives established by the school site council 12. A process for ongoing evaluation and modification of the plan

The evaluation shall be based on the degree to which the school is meeting the plan's objectives, student achievement, and improved school environment. An improved school environment shall be measured by indicators such as the incidence of absenteeism, suspension and expulsion, dropouts, school violence, vandalism and theft; student attitudes towards the school, self, and others; absenteeism among staff, staff resignations, and requests for transfers; and satisfaction of students, parents/guardians, teachers, administrators, and staff. In addition, any school receiving state funding for school and library improvement shall incorporate plans pertaining to school libraries. (Education Code 41572) The student retention and/or school and library improvement plans shall be incorporated into the school's single plan for student achievement as described in the above section. (Education Code 41507, 41572) School Site Block Grants The school site council may propose any one-time educational purpose for the use of funds allocated to school sites under school site block grants, including, but not limited to, the following purposes: (AB 1802, Sec. 43, Statutes of 2006)

Using measures of student academic performance, the school shall identify significant patterns of low performance in particular content areas, student groups, and/or individual students and determine which data summaries to include in the plan as most informative and relevant to school goals.

2. Assess the effectiveness of the school's instructional program in relation to the analysis of student data.

3. Identify a limited number of achievement goals and key improvement strategies to achieve the goals. School goals shall reflect the needs identified at the school site while aligning with goals identified in federally required district plans. The school shall specify the student group(s) on which each goal is focused, the methods or practices that will be used to reach the goal, and the criteria that will be used to determine if the goal is achieved.

4. Define timelines, personnel responsible, proposed expenditures, and funding sources to implement the SPSA.

The school site council or other schoolwide group shall approve the proposed SPSA at a meeting for which public notice has been posted and then submit the SPSA to the Governing Board for approval. (Education Code 35147, 64001)

The school site council or other schoolwide group shall regularly monitor the implementation and effectiveness of the SPSA and modify any activities that prove ineffective. At least once per year, the school shall evaluate results of improvement efforts and report to the Board, advisory committees, and other interested parties regarding progress toward school goals.

The school site council or other schoolwide group may amend the SPSA at any time. Any revisions that would substantively change the academic programs funded through the consolidated application shall be submitted to the Board for approval.

When required by law or determined to be a useful tool to accomplish district and school goals, school site councils or other school advisory groups shall develop comprehensive school plans designed to enhance student achievement at individual school sites. The Superintendent or designee shall review each school's single plan and ensure that it has been developed and approved by a properly constituted school site council, meets the content requirements for all programs included, is based on an analysis of current practices and student academic performance, and reasonably links improvement strategies to identified needs of the school and students. He/she shall submit to the Governing Board his/her recommendations for plan approval or recommendations regarding any subsequent material revisions of the plan. The Board shall review and approve each school's single plan for student achievement at a regularly scheduled meeting. The Board also shall review and approve any subsequent revisions that include material changes affecting the academic programs for students participating in these categorical programs. The Board shall certify that, to the extent allowable under federal law, the plan is consistent with district local improvement plans required as a condition of receiving federal funding. (Education Code 64001) The Superintendent or designee shall ensure that principals and members of each site council receive training on the roles and responsibilities of the site council. The school's use of the funds allocated through this block grant shall be proposed by the school site council or, if the school does not have a school site council, by a schoolwide advisory group or school support group. The Governing Board believes that comprehensive planning at each district school is necessary in order to focus school improvement efforts on student academic achievement and facilitate the effective use of district resources. The Superintendent or designee shall ensure that school plans provide clear direction and identify cohesive strategies aligned with school and district goals.

For any school that participates in specified state and/or federal categorical programs, the school site council or other schoolwide advisory committee shall consolidate the plans required for those categorical programs into a single plan for student achievement (SPSA). As appropriate, a school may incorporate any other school plan into the SPSA. (Education Code 64001)

The Board shall review and approve each school's SPSA and any subsequent material revisions affecting the academic programs for students participating in the categorical programs addressed in the SPSA. The Board shall certify that, to the extent allowable under federal law, the SPSA is consistent with district local improvement plans required as a condition of receiving federal funding. Any such review and approval shall be at a regularly scheduled Board meeting. (Education Code 64001)

Whenever the Board does not approve a school's SPSA, it shall communicate its specific reasons for disapproval of the plan to the school site council or committee. The school site council or committee shall then revise and resubmit the SPSA to the Board for its approval.

The Governing Board recognizes that high-quality supplemental instructional programs can motivate and support students to attain grade-level academic standards, overcome academic deficiencies, and/or acquire critical skills. The district shall offer programs of direct, systematic, and intensive supplemental instruction to meet student needs. A vacancy on the Governing Board may occur for any of the events specified in Government Code 1770. Removal by conviction of a grand jury or recall election shall also constitute a vacancy on the Board. Within sixty (60) days of the date of the vacancy or the filing of the Board member's deferred resignation, the Board shall either: 1. Order an election for the next regular election date; or 2. Make a provisional appointment. If the vacancy occurs within four (4) months of the end of the Board member's term , the Board shall not fill the vacancy. Provisional Appointment The Board shall make a provisional appointment, within time limits set by law, as follows: 1. Advertise the vacancy in suitable local media. 2. Solicit applications or nominations of any legally qualified citizen interested in serving on the Board. 3. Provide candidates with appropriate information regarding Board Member responsibilities. 4. Announce names of candidates and accept public input either in writing or at a public meeting. 5. Interview the candidates at a public meeting. 6. Select the provisional appointee by majority vote at a public meeting. Within ten (10) days after the appointment is made, the Board shall post notices of the vacancy or dated resignation

and the provisional appointment. The notice shall be published in the local newspaper and posted in at least three (3) public places.

The notice shall contain: 1. The full name of the appointee. 2. The date of appointment. 3. A statement notifying the voters that the provisional appointment shall become effective unless a petition calling

for an election is filed in the office of the County Superintendent of Schools. The person appointed shall hold office for the period of time specified in law and shall be afforded all the powers and duties of a Board member upon appointment. If a petition for the conduct of a special election is determined to be legally sufficient by the County Superintendent of Schools, the provisional appointment is terminated. Events Causing a Vacancy

A vacancy on the Governing Board may occur for any of the following events:

1. The death of an incumbent (Government Code 1770)

2. The adjudication pursuant to a quo warranto proceeding declaring that an incumbent is physically or mentally incapacitated due to disease, illness, or accident and that there is reasonable cause to believe that the incumbent will not be able to perform the duties of his/her office for the remainder of his/her term (Government Code 1770)

3. A Board member's resignation (Government Code 1770)

A vacancy resulting from resignation occurs when the written resignation is filed with the County Superintendent of Schools having jurisdiction over the district, except where a deferred effective date is specified in the resignation so filed, in which case the resignation shall become operative on that date. A Board member may not defer the effective date of his/her resignation for more than 60 days after he/she files the resignation with the County Superintendent. Upon being filed with the County Superintendent, a written resignation, whether specifying a deferred effective date or otherwise, shall be irrevocable. (Education Code 5090, 5091)

4. A Board member's removal from office, including by recall (Elections Code 11384; Government Code 1770)

5. A Board member's ceasing to be a resident of the district (Government Code 1770)

A vacancy on the Board also occurs when a Board member ceases to inhabit the trustee area which he/she represents on the Board. (58 Ops.Cal.Atty.Gen. 888 (1975))

6. A Board member's absence from the state for more than 60 days, except in the following situations: (Government Code1064, 1770)

a. Upon district business with the approval of the Board

b. With the consent of the Board for an additional period not to exceed a total absence of 90 days

In the case of illness or other urgent necessity, and upon a proper showing thereof, the time limited for absence from the state may be extended by the Board.

c. For federal military deployment, not to exceed an absence of a total of six months, as a member of the armed forces of the United States or the California National Guard

If the absence of the Board member for this purpose exceeds six months, the Board may approve an additional six-month absence upon a showing that there is a reasonable expectation that the member will return within the second six-month period, and the Board may appoint an interim member to serve in his/her absence. If two or more members of the Board are absent by reason of these circumstances, and those absences result in the inability to establish a quorum at a regular meeting, the Board may immediately appoint one or more interim members as necessary to enable the Board to conduct business and discharge its responsibilities. The term of an interim member appointed in these circumstances shall not extend beyond the return of the absent Board member or beyond the next regularly scheduled election for that office, whichever occurs first.

7. A Board member's ceasing to discharge the duties of his/her office for the period of three consecutive months, except when prevented by illness or when absent from the state with the permission required by law (Government Code 1770)

Note: Board members forfeit office and, in some cases, are disqualified from holding public office upon conviction of designated crimes as specified in the Constitution and various other state laws. Examples of crimes that result in forfeiture of office include, but are not limited to, convictions for felonies, offenses that involve a violation of official duties, bribery, selling appointments, intoxication in the discharge of official duties, misuse of public funds, conflict of interest violations, and a false claim of receipt of any military decoration or medal.

8. A Board member's conviction of a felony or any offense involving a violation of his/her official duties or conviction of a designated crime resulting in a forfeiture of office (Government Code 1770, 3000-3003)

9. A Board member's refusal or neglect to file his/her required oath (or bond) within the time prescribed (Government Code 1770)

10. The decision of a competent tribunal declaring void a Board member's election or appointment (Government Code1770)

11. The making of an order vacating a Board member's office or declaring the office vacant when the Board member fails to furnish an additional or supplemental bond (Government Code 1770)

12. A Board member's commitment to a hospital or sanitarium as a drug addict, dipsomaniac, inebriate, or stimulant addict by a court of competent jurisdiction, in which case the office shall not be deemed vacant until the order of commitment has become final (Government Code 1770)

13. A "failure to elect" in which no candidate or an insufficient number of candidates have filed to run for a Board seat(s) (Education Code 5090, 5326, 5328)

Timelines for Filling a Vacancy

When a vacancy occurs, the Board shall take the following action, as appropriate:

1. When a vacancy occurs within four months of the end of a Board member's term, the Board shall take no action. (Education Code 5093)

2. When a vacancy occurs longer than four months before the end of a Board member's term, the Board shall, within 60 days of the date of the vacancy or the filing of the member's deferred resignation, either order an election or make a provisional appointment, unless a special election is mandated as described in item #3 below. (Education Code 5091,5093)

3. When a vacancy occurs from six months to 130 days before a regularly scheduled Board election at which the position is not scheduled to be filled, a special election to fill the position shall be consolidated with the regular election. The person so elected shall take office at the first regularly scheduled Board meeting following the certification of the election and shall serve only until the end of the term of the position which he/she was elected to fill. Eligibility

In order to be appointed or elected to fill a vacancy on the Board, a person must meet the eligibility requirements specified in Education Code 35107.

Provisional Appointments

Within 10 days after the appointment is made, the Board shall post notices of the actual vacancy, or the filing of a deferred resignation, and the provisional appointment. The notice shall be published in the local newspaper pursuant to Government Code 6061 and posted in at least three public places within the district. (Education Code 5092)

The notice shall contain: (Education Code 5092)

1. The date of the occurrence of the vacancy or the date of the filing of, and the effective date of, the resignation

2. The full name of the appointee

3. The date of appointment

4. A statement notifying the voters that unless a petition calling for a special election pursuant to Education Code 5091 is filed in the office of the County Superintendent within 30 days of the provisional appointment, it shall become an effective appointment

The person appointed shall hold office until the next regularly scheduled election for district Board members and shall be afforded all the powers and duties of a Board member upon appointment. (Education Code 5091)

Appointment Due to Failure to Elect

When a vacancy occurs because no candidate or an insufficient number of candidates have been nominated (i.e., a failure to elect) and a district election will not be held, the Board shall appoint a qualified person to the office. This appointment shall be made at a meeting prior to the day fixed for the election and the appointee shall be seated at the organizational meeting as if elected at the district election. (Education Code 5328)

When an appointment is being made because of a failure to elect, the district shall publish a notice once in a newspaper of general circulation published in the district, or if no such newspaper exists, in a newspaper having general circulation within the district. This notice shall state that the Board intends to make an appointment and shall inform persons of the procedure available for applying for the appointment. (Education Code 5328.5)

The procedure for selecting and interviewing candidates shall be the same as the procedures for "Provisional Appointments," as specified above.

Remuneration The Governing Board views Board service as a voluntary contribution to the community and elects not to receive the compensation to which it is entitled by law. Student Board members shall receive no remuneration for meetings attended. (Education Code 35016) Reimbursement of Expenses Board members shall be reimbursed for all expenses incurred in attending any meetings or in making any trips on official business of the school district when so authorized in advance by the Board. (Education Code 35044) The rate of reimbursement shall not exceed any limitations specified for district personnel. (cf. 4133 - Travel; Reimbursement) (cf. 9240 - Development in Service)

Board members shall be reimbursed for actual and necessary expenses incurred when performing authorized services for the district when so authorized in advance by the Board. Expenses shall be in accordance with policies established for district personnel and at the same rate of reimbursement.

Board members shall be reimbursed for travel expenses incurred when performing services directed by the Board. (Education Code 35044)

Health and Welfare Benefits for Current Board Members Board members may participate in the health and welfare benefits program provided for district employees. The district shall pay the cost of all premiums required for Board members electing to participate in the district health and welfare benefits program. Board members may participate in the health and welfare benefits program provided for distreict employees. (cf. 4154/4254/4354 – Health and Welfare Benefits) Health and welfare benefits for Board members shall be no greater than that received by the district’s confidential/management employees. The district shall pay the premiums required for Board members electing to participate in the district health and welfare benefits program to the same extent that it pays for district employees. Health and welfare benefits provided to Board members shall be extended at the same level to their spouse/registered domestic partner and to their eligible dependent children as specified in law and the health plan.

RESOLUTION NO. 1144

RESOLUTION APPROVING THE FORM AND AUTHORIZING THE EXECUTION OF CERTAIN LEASE FINANCING DOCUMENTS IN

CONNECTION WITH THE OFFERING AND SALE OF CERTIFICATES OF PARTICIPATION RELATING THERETO TO FINANCE THE COSTS OF

SCHOOL MODERNIZATION PROJECTS THROUGHOUT THE BOUNDARIES OF THE DISTRICT AND AUTHORIZING AND DIRECTING

CERTAIN ACTIONS WITH RESPECT THERETO

RESOLVED, by the Board of Education (the “Board”) of the Corcoran Joint Unified School District (the “District”), as follows:

WHEREAS, the District, with the assistance of the Local Facilities Finance Corporation

(the “Corporation”), has determined at this time, due to prevailing interest rates in the municipal bond market and for other reasons, to finance the costs of school modernization projects throughout the boundaries of the District (the “Project”), and to implement a lease financing for such purposes;

WHEREAS, it is in the public interest and for the public benefit that the District

authorize and direct execution of the Lease Agreement (hereinafter defined) and certain other financing documents in connection therewith;

WHEREAS, a preliminary official statement containing information material to the

offering and sale of the Certificates described below (the “Preliminary Official Statement”) has been prepared on behalf of the District; and

WHEREAS, the documents below specified shall be filed with the District and the

members of the Board of Education (the “Board”) of the District, with the aid of its staff, shall review said documents.

NOW, THEREFORE, it is hereby ORDERED and DETERMINED, as follows: Section 1. Certificates of Participation (2014 School Modernization Financing Project) (the

“Certificates”) are hereby authorized to be executed and delivered pursuant to the provisions of the Trust Agreement, as hereinafter defined, to finance the Project.

Section 2. The below-enumerated documents, in the forms on file with the Clerk of the

Board of the Board, be and are hereby approved, and the President, the Superintendent, the Assistant Superintendent or the Chief Business Officer, or the designee thereof (each, a “Designated Officer”), are hereby authorized and directed to execute said documents, with such changes, insertions and omissions as may be approved by such officials, and the Clerk of the Board is hereby authorized and directed to attest to such official’s signature:

(a) a site and facility lease, by and between the District, as lessor, and the Corporation, as

lessee, pursuant to which the District will lease certain existing property (the “Property”) to the Corporation, for the purpose of leasing the Property back to the District pursuant to the Lease Agreement;

(b) a lease agreement relating to the Property, between the Corporation, as lessor, and the District, as lessee (the “Lease Agreement”), so long as the principal amount of the Lease Agreement is not greater than $13,000,000, the true interest cost of the Lease Agreement does not exceed 8% and the term of the Lease Agreement does not extend beyond December 1, 2039;

(c) a trust agreement, by and among the Corporation, the District and Wilmington Trust,

N.A., as trustee, relating to the execution and delivery of the Certificates (the “Trust Agreement”);

(f) a continuing disclosure certificate. Section 3. A certificate purchase agreement, by and among George K. Baum & Company,

as underwriter (the “Underwriter”), the District and the Corporation, relating to the purchase by the Underwriter of the Certificates, in the form on file with the Clerk of the Board, be and is hereby approved, and any Designated Officer is hereby authorized and directed to execute said document, with such changes, insertions and omissions as may be approved by such official, so long as the Underwriter’s discount does not exceed 0.775% of the principal amount of the Certificates, exclusive of any original issue discount which does not represent compensation to the Underwriter.

Section 4. The Board hereby approves the Preliminary Official Statement, in the form on

file with the Clerk of the Board, together with any changes therein or additions thereto deemed advisable by any Designated Officer. The Board authorizes and directs any Designated Officer to deem the Preliminary Official Statement “final” pursuant to Rule 15c2-12 under the Securities Exchange Act of 1934 (the “Rule”). The Underwriter is hereby authorized to cause to be furnished to prospective bidders copies of the Preliminary Official Statement.

Section 5. Any Designated Officer is authorized and directed to cause the Preliminary

Official Statement to be brought into the form of a final official statement (the “Final Official Statement”) and to execute said Final Official Statement, dated as of the date of the sale of the Certificates, and a statement that the facts contained in the Final Official Statement, and any supplement or amendment thereto (which shall be deemed an original part thereof for the purpose of such statement) were, at the time of sale of the Certificates, true and correct in all material respects and that the Final Official Statement did not, on the date of sale of the Certificates, and does not, as of the date of delivery of the Certificates, contain any untrue statement of a material fact with respect to the District or omit to state material facts with respect to the District required to be stated where necessary to make any statement made therein not misleading in the light of the circumstances under which it was made. The Designated Officers shall take such further actions prior to the signing of the Final Official Statement as are deemed necessary or appropriate to verify the accuracy thereof. The execution of the final Official Statement, which shall include such changes and additions thereto deemed advisable by any Designated Officer and such information permitted to be excluded from the Preliminary Official Statement pursuant to the Rule, shall be conclusive evidence of the approval of the final Official Statement by the District.

Section 6. The Final Official Statement, when prepared, is approved for distribution in

connection with the offering and sale of the Certificates. Section 7. The President, the Superintendent, the Assistant Superintendent, the Chief

Business Officer, the Clerk of the Board and any and all other officers of the District are hereby authorized and directed to execute such other agreements, documents and certificates as may be necessary to effect the purposes of this resolution and the financing herein authorized.

Section 8. This Resolution shall take effect upon its adoption by this Board. Section 9. The Clerk of the Board shall certify to the adoption of this Resolution and

provide for appropriate distribution thereof.
