Database Background

Record fundraising among private equity firms globally has resulted in extraordinary transaction competitiveness

Prices for the highest quality assets are reaching all time highs

Auction and beauty parade processes are driving up asset prices to high levels reducing returns, complicating financings and increasing transaction risk significantly

Spotty coverage by third party advisers means that many attractive companies are not presented with investment or buyout opportunities

The sheer volume of attractive companies and long and uncertain transaction sales cycles makes it critical to leverage data effectively when implementing a private equity investment / acquisition / targeting strategy

In response to requests from some of the world’s leading private equity funds, World Prospects has combined investment banking and technology resources to develop an investment / acquisition opportunity database that identifies companies with non-core subsidiaries that are potential acquisition candidates

The goal of the divestiture database is to present investors with the best transaction opportunities, prior to overly competitive auctions and prior to prices being driven up to high levels

Because the underlying database contains virtually all companies that do at least $3 million in revenues, many companies that are overlooked by many investment banks (for geographic, industry or other reasons) are included in this database

The divestiture database focuses on companies with one or more business units that materially differ from the business of the parent

Sample World Prospects Carve-Out DataThe Breakup of AT&T.Divestiture opportunities exist along legal and physical lines.By federal court order, AT&T divested itself on January 1, 1984 of its 23 operating companies, which became known as the Regional Bell Operating Companies (RBOCs). Bell Labs was renamed AT&T Bell Labs, and its Western Electric manufacturing division became AT&T Technologies. The demarcation point of the physical split was the Class 4 switching center. Except for those that handled large metropolitan regions, all Class 4 offices went to AT&T, and all Class 5 offices went to the RBOCs. It was the switching office class hierarchy within the Bell system that made Divestiture possible, because there were clear borders between long distance and local service.
