    To the Commissioners:

    The following is a summary of recent DRPA activities. The appropriate reports are attached:

    Awards and Accomplishments

    The following is a list of awards that demonstrate the success of our efforts toward achieving our

    vision of being recognized as a world-class stewardship organization.

    Engineering: On March 11, 2015 the Walt Whitman Bridge Re-decking Project team — DRPA,

    AECOM, URS/Urban Engineers, and American Bridge Company— were recognized with the

    “Honor Award” by the American Council of Engineering Companies at their 44th Engineering

    Excellence Awards Banquet. The multi-year, $140 million project to replace the roadway deck on the

    suspension span of the bridge was completed on time and under budget.

    Engineering: American Council of Engineering Companies - NJ (ACEC) has awarded an Honor

    Award to the Ben Franklin Bridge PATCO Track Rehab project. This competition recognizes and

    celebrates engineering achievements that demonstrate the highest degree of skill and ingenuity. The

    project was recognized at the 45th Engineering Excellence Awards Banquet on March 16, 2016 in

    Jamesburg, NJ.

  • Health & Wellness: In April 2015, the Philadelphia Business Journal named DRPA a “Healthiest

    Employer” for the fourth consecutive year. In September, CEO John Hanson was named as a finalist

    in SMARTCEO Magazine’s Healthiest Company Awards. The honors recognize the Authority’s

    commitment to develop and grow our employee wellness program.

    Health & Wellness: In April 2016, was selected by NJBIZ as a finalist in the “Workplace Wellness

    Hero” category in the 2016 Healthcare Heroes awards program. This award recognizes and honors a

    business for a company-wide wellness program, healthy work environment, ergonomics program, or

    other health-related activities benefitting employees.

    Diversity: In November 2015, DRPA was selected as a 2015 recipient of the “WTS – Philadelphia

    Chapter Diversity Award”. The WTS is an international organization dedicated to building the future

    of transportation through the global advancement of women. The award acknowledges DRPA’s

    efforts to expand its contracting and vendor database to reflect and embrace diversity. Since 1994,

    DRPA has paid more than $300 million to certified M/W/DBE and veteran-owned businesses.

    Finance: In December 2015, for the 23rd consecutive year, the Authority earned the "Certificate

    of Achievement for Excellence in Financial Reporting from the Government Finance Officers

    Association of the United States and Canada (GFOA). The award recognizes the DRPA’s

    Comprehensive Annual Financial Report for Year Ended December 31, 2014. The certificate is

    the highest recognition in governmental accounting and financial reporting, and its attainment

    represents a significant accomplishment by a government agency and its management.

    The following are recent examples of exemplary stewardship demonstrated by our DRPA and

    PATCO employees. I am extremely proud of their efforts:

    2016 Take Your Daughters and Sons to Work Day

    On Thursday, April 28, 2016, the Authority hosted a special program at both DRPA and PATCO

    for children of employees for the national “Take Your Daughters and Sons to Work Day.” This

    year’s program was an enhancement over prior years’ programs.

    A total of 80 children participated in enhanced programs at DRPA and PATCO. The programs

    began with refreshments provided by DRPA, a Welcome Message and a brief overview of the

    DRPA and PATCO and what it meant to be a “World-Class Steward”. Children of PATCO

    employees enjoyed a tour of the PATCO departments, Center Tower and were given several

    demonstrations by various department employees.

    After enjoying a pizza lunch provided by the DRPA, the children joined their parents at their

    work stations to see “World-Class Stewards” in action. The special day ended with a wrap-up

  • and presentation of Certificates of Participation and a photograph of the Benjamin Franklin

    Bridge. In addition all children received, courtesy of the DRPA, nylon drawstring bags

    commemorating the day’s events.

    The employees and their children were asked to provide their feedback on the day’s events. All

    comments were positive and the sessions were highly rated.

    Staff (Human Resource Services, Engineering, Walt Whitman Bridge, PATCO and Public

    Safety departments)

    Staff from Human Resource Services, the Engineering Department and Public Safety

    Departments, Walt Whitman Bridge and PATCO have participated in a number of 2016 Job

    Fairs to get the word out about exciting job and career opportunities at the DRPA and PATCO.

    Since January 1, 2016, HRS staff have participated (and will be participating) in 13 Job Fairs in

    NJ and PA scheduled up until September 2016. Estimates of attendance at these job fairs is in

    excess of 4000. The Job Fairs include:

    Brown, under whose leadership the Authority’s job fair participation has increased over the past

    year.

    2016 Healthcare Heroes Awards Program

    I am pleased to advise that NJBIZ has selected the DRPA as a finalist in the “Workplace

    Wellness Hero” category in the 2016 Healthcare Heroes awards program. This is the first year

    DRPA has submitted an application for the award.

    The Workplace Wellness Hero award recognizes and honors a business for a company-wide

    wellness program, healthy work environment, ergonomics program, or other health-related

    activities benefiting employees.

    I would like to thank CAO Toni P. Brown and Insurance Administrator Karen Fanning for their

    work in submitting a comprehensive nomination form along with a summary of our wellness

    program. Organization nominees must have offices in New Jersey to be eligible for the award.

    Finalists will be honored during an awards ceremony on June 21, 2016. We will keep the Board

    and the public apprised of the outcome of this effort.

    2016 Walking for Wellness

    In conjunction with National Walk @ Lunch Day, a kick off walk was scheduled at each bridge

    location, One Port Center and PATCO on Wednesday, April 27.

    The Authority launched the annual Walking for Wellness

    program on Wednesday, April 27, 2016 for all DRPA and

    PATCO employees.

    The Walking for Wellness program is designed for anyone,

    regardless of their current level of exercise. This program is on

    a complete voluntary basis and it is not mandatory for any

    employee to participate. It is a 12 week program which can be

    tailored to your specific schedule and capabilities. The program

    is fun and employee participation is an important first step

    towards better health. Each participant received a program

    packet which included a walking tracking log, sample walking

    programs, walking tips and other helpful information regarding

    health and exercise along with a tote bag provided by

    AmeriHealth of NJ.

    Safety Specialists reviewed and commented on various engineering Technical and Special Provisions documentsfor future DRPA projects. Safety Specialist conducted various site safety visits and inspections at DRPA Non-OCIP construction projects at the four bridges.

    Risk Management reviewed and recommended the inclusion of proper insurance requirements on variousRequests for Bids from the Purchasing Department, Request for Proposals from the Engineering Department,Finance Department and third party contracts for the Legal Department.

    Safety Specialist updated the Risk Management & Safety e.net page with the monthly safety tip for April “Keepsafe lifting a priority”.

    Commissioners:

    Following this short summary, you will find key unaudited information related to

    DRPA/PATCO’s financial operations, which was reviewed with the Finance Committee on

    Wednesday, May 11th (see “DRPA/PATCO Unaudited Financial Summary,” dated May 10, 2016 which follows).

    DRPA Traffic/Revenue:

    We continue to have tremendously positive results for both DRPA revenue and traffic for the

    first three months of 2016.

    As mentioned in my April report, we noticed in the last three months of 2015 that traffic and

    revenue numbers were up about 4.5% vs. 2014 actuals. For 2016, surprisingly, we have seen a

    greater increases in traffic/revenues through March YTD, than we experienced during the

    fourth quarter of 2015. For the months of February and March, traffic and revenues have

    exceeded 2015 levels by over 8% (8.9% for traffic and 8.0% for revenues). This has resulted in a

    962,000 increase in traffic and a $5.4 million increase vs. 2015 in revenues, despite a large

    snow storm in January and the implementation of the new commuter discount, which reduced

    revenues by approximately $414,000 for the first quarter.

    Lower gas prices and economic growth appear to be key contributors to the higher numbers,

    and there is also the impact of an additional traffic/revenue day due to Leap Year.

    Actual DRPA traffic and toll revenues exceeded the March YTD budgeted numbers, with traffic

    up 1.3 million vehicles greater than budget and toll revenues almost $7.5 million higher than

    budget (or up 14.4%). Preliminary unaudited traffic numbers for April suggest that traffic is up

    about 5% over April 2015 numbers.

  • PATCO Ridership/Net Revenues:

    As shown on the stats sheet, March YTD 2016 ridership was approximately 188,000 riders

    higher (up 7.75%) vs. the March 2015 YTD figures. Net passenger revenues were up $458K vs.

    2015 numbers. A relatively small inclement weather impact during the first quarter, and

    conclusion of the track rehab project in 2015 are important factors in this increased ridership.

    YTD ridership vs. the budget are slightly up (17K riders or 0.64% above budget), whereas net

    passenger revenues total $150,000 above March YTD budgeted numbers.

    DRPA and PATCO Operating Budgets:

    DRPA and PATCO combined budgets are approximately $4.9 million under budget (a combined

    13.33% below budget). DRPA accounts for 66% of this underbudget situation ($3.2 million

    under budget).

    The YTD budget “positive variance” (under budget situation) has increased by $1.5 million vs.

    February 2016 numbers.

    Letter of Credit Extension/Replacement Plan

    Based on previous Board authorization at last month’s meeting the Authority, in consultation

    with its FAs and bondcounsel, is proceeding on its plan to affect the most advantageous and

    appropriate financing methods to address the three (3) expiring LOC maturities.

    The Authority now has authorization to: 1) extend existing letters of credits; 2) replace or

    terminate expiring LOCs; 3) appoint remarketing agents for any LOC extensions/replacements

    4) enter into “direct purchase transactions”; and 5) partially or fully terminate any swap

    transactions (if desirable).

    Potential benefits of executing the LOC extension and/or replacement strategy, include: 1)

    minimization of financing costs; 2) debt portfolio diversification; and 3) possible termination of

    certain swap maturities.

    At the present, the Authority is focused on the most urgent expiration with BNY Mellon ($42.2

    million expiring on June 16), as it must be in substantial agreement on a Continuing Covenant

    Agreement with a prospective bank (related to the extension of a 5 year variable rate direct

    purchase loan), so that the DRPA can issue redemption notices next week (These notices must

    be sent out 30 days in advance of the June 16th maturity). We expect to issue the appropriate

    notices next week.

    The CCA will serve as a model template for other transactions related to the B of A and Royal

    Bank expiring LOCs.

    S&P Ratings Review

    As reported to the Board and the public, the Authority was advised by S&P during April that

    S&P has affirmed its revenue bond ratings (our Senior Bonds) and that the Port District Project

    Bonds (subordinate bonds) have been upgraded from “BBB” to “A“, the second such upgrade

    for the PDP bonds within three years. The affirmation of our revenue bond rating is especially

  • important at this time while are negotiating new agreements related to our LOC expirations, and effectively minimizes any impact on our variable rate facility fees.

    because of the steadfast commitment and collaboration

    across all of the Authority, in particular with the

    OBD&EO, the Engineering Division, and the Purchasing

    Commissioners. My report also stands as submitted. I

    just wanted to call your attention to a number of

    things. We are experiencing, as we come into 2016,

    excellent traffic numbers and revenue numbers, at

    least through January. That's a really positive

    thing. In terms of budget we are, as we typically

    are, under budget; so we started the year very, very

    well. On the PATCO side, the numbers are looking very

    good as well. So, in general, we're seeing some

    really nice preliminary numbers coming in for 2016.

    The only other thing I really wanted to make

    mention of is that in the packet for Board members is

    a fairly complex SS&R related to our Letter of Credit

    Extension and Replacement Plan that needs your

    approval. Essentially, it gives us some broad

    authority to take whatever steps are necessary for us

    to terminate or to renew expiring LOCs with the Bank

    of New York Mellon, Royal Bank, and also Bank of

    America. It is somewhat complex, but I believe the

    summary given for the Finance Committee, etc., gives

    some more clarity.

    Essentially, the Authority is seeking

    authorization to extend existing Letters of Credit

    where it makes sense, to replace or terminate expiring

    LOCs, to appoint marketing agents for any LOC

    extensions, and to enter into any direct purchase

    transactions that are necessary, and to perhaps

    partially or fully terminate any swap transactions if,

    after analysis, it is determined that that is the most

    advantageous path for the Authority to take. We are

    working with our financial advisors on this.

    I wanted to particularly note and thank

    Treasurer Reese for his input, and we will certainly

    continue to keep him updated as we follow this path.

    But, right now, this is an important resolution to

    enable us to get started on this LOC replacement plan.

    VICE CHAIRMAN NASH: Thank you, Mr. White. I

    want to underscore a couple of things for the public,

    because it's hard to read the chart. Our revenues are

    up, ridership is up, bridge traffic is up. The safety

    situation has never been better. Thank you, Chief,

    and to your men and women who work in Public Safety.

    The Authority is in a good place. The revenues are

    up, even though we have a commuter discount. So the

    a very good financial place. It's really attributable

    to the management team and to the people who work
