V*n+area-c&mp(rarea este ar/etip&l contractelor7 pornind de la el, a&torii  Cod&l&i civil i-a& orm&lat raţionamentele pentr& ela6orarea drept&l&i com&n al o6li'aţiilor. 8oate de aceea, el este i contract&l cel mai detaliat re'lementat, Cod&l civil, care constit &ie drept&l com&n 2n materie, consacr*nd& -i &n 2ntre' titl& 2n Cartea a III-a 0Despr e dieritele mod&ri prin care se do6*ndete proprietatea51, prin art. #9:-:$:. De aceea, i ponderea st&dierii acest&i contract 2n pre+enta l&crare va i 2nsemnat(.  ;n aara Cod&l&i civil, o serie de acte normative speciale re'lementea+( an&mite cate'orii de v*n+(ri, la care ne vom reeri pe parc&rs&l e4p&nerilor, dat( iind aplicarea lor recvent( 2n &ltimii ani. Este vor6a, de e4empl&, de v*n+area de loc&inţe constr&ite din ond&rile stat&l&i, re'lementat( prin  Decret&l-le'e nr. <=99$ i prin >e'ea nr. %?=99#,  re'im&l v*n+(rii imo6ilelor prev(+&te 2n >e'ea nr. #=99?7  v*n+area teren&rilor, re'lementat( prin Titl&l @ al  >e'ii nr. #:=#$$? # 7 v*n+area a&tot&rismelor olosite, c& reeriri 2n .B. nr. <$=99# privind cartea de identitate a ve/ic&l&l&i etc. Dispo+iţii relevante e4ist( i 2n ordinea com&nitar( sa& internaţional(, astel c&m vom avea oca+ia s( evidenţiem. #. Noţi&ne. 8otrivit  art. #9: C.civ. ,  v*n+area-c&mp(rarea este o convenţie prin care do&( p(rţi se o6li'( 2ntre sine, &na a transmite celeilalte proprietatea &n&i l&cr& i aceasta a pl(ti celei dint*i preţ&l l&i5. ;n literat&ra )&ridic( s-a o6servat c( aceast( deiniţie le'al( n& este 2ntr& tot&l e4act(, iind i incomplet(  3 . Astel, pe de o parte, transer&l propriet(ţii operea+(, 2n principi&, prin simpla e4primare a consimţ(m*nt&l&i, iar pe de alt( parte, 2n principi&, acest transer n& repre+int( o o6li'aţie aparte a v*n+(tor&l&i.  Apoi, 2n aar( de drept&l de proprietate as&pra &n&i 6&n, pot i transmise prin intermedi&l acest&i contract i alte drept&ri, reale sa& de crean ţ(. Astel , art. ?3: C.civ.  evoc( posi6ilitatea v*n+(rii drept&l&i de &+&r&ct, art. 39 i art. 39# C.civ.  se reer( la v*n+area creanţelor i a altor drept&ri incorporale  : , art. 399 C.civ.  privete v*n+area &nei mo ten iri ce incl&de o &ni ver sal itate de drept&ri i o6li'a ţ ii , art. :$# C.civ.  se re er( la v*n+area &nor drept&ri liti'ioase7 poate orma o6iect al contract&l&i de v*n+are-c&mp(rare drept&l de s&pericie, se poate vinde drept&l special de olosinţ( conerit de art. II din .U.B. nr. %:=#$$# pentr& modiicarea i completarea  >e'ii nr. $=#$$  ? . C& aceste preci+(ri, reţinem c( v*n+ar ea-c&mp(rarea este acel contract prin care &na dintre p(rţi v*n+(t or&l transmite celeilalte p(rţi c&mp( r(tor&l &n drept, 2n sc/im6&l &nei s&me de 6ani, n&mite preţ. T ot &i, de eo et pler&m&e it se transmite drept&l de proprietate, astel 2nc*t cele mai recvente reeriri se vor ace 2n cele ce &rmea+( la aceast( transmisi&ne.
