1. Request for Qualification (RfQ)

1.1. Gujarat Mineral Development Corporation Limited, (hereinafter the ‘Owner’), invites proposals for long term complete Operation & Maintenance of 2x125MW Lignite Fired Akrimota Thermal Power Station in the State Gujarat.

1.2. The selected O&M Operator/Contractor will work in collaboration with GMDC to achieve good performance of Akrimota Thermal Power Station (ATPS).

1.3. Bidder should have adequate technical experience and financial capability (briefly mentioned herein below) to operate & maintain the thermal power station.

Technical Requirement:

1.4. The following are the technical requirements of the prospective

bidders:

a) The bidder should have an experience of Operation & Maintenance of at least two (2) thermal power plants in the last ten (10) years

b) The bidder should have minimum cumulative thermal power plant Operation & Maintenance experience of 100 MW

Financial Requirement:

1.5. The following are the financial requirements of the prospective

bidders. In case of Indian Subsidiaries of Foreign Companies, the financials of parent companies are also acceptable.

a) The bidder should have a minimum average annual turnover in the

past three (3) accounting years of not less than Rs. 700 Crores. In the event, turnover is expressed in currencies other than INR, the exchange rate prevailing at the end of respective accounting years shall be considered.

b) The bidder should have a net worth of at least Rs. 200 Crores as on

April 1, 2012. In the event, net worth is expressed in currencies other than INR, the exchange rate prevailing as on April 1, 2012 shall be considered.

c) Profit after Tax (PAT) should not be negative for any of the past

three (3) years (FY 2008-09, 2009-10 & 2010-11) for the bidder.

• Annual Turnover = Annual Gross Revenue earned by the bidder

• Networth = Equity Share Capital + Reserves – Revaluation Reserves – Intangible Assets – Miscellaneous Expenditure to the extent not written off and carry forward losses

Nature of Entities Eligible to Bid

1.8. The RfQ may be submitted by Indian Companies or Indian Subsidiaries of Foreign Companies.

1.9. An Applicant shall be a private, public or government owned legal entity.

1.10. The eligibility criteria listed in this Section shall apply to the Applicant, including the parties constituting the Applicant, i.e., its proposed subcontractors for any part of the contract including related services.

1.11. An Applicant shall submit only one application in the RfQ process. No Applicant can be a subcontractor while submitting an application in the same Pre qualification process. A Subcontractor in any application may participate in more than one application, but only in that capacity. An Applicant who submits, or participates in, more than one application will cause all the applications in which the Applicant has participated to be disqualified.

1.12. An Applicant that is under a declaration of ineligibility by the Government of India or Government of Gujarat shall be disqualified. The firms that have been sanctioned by Government of India or Government of Gujarat are not eligible to participate in this bidding process.

1.13. Applicants shall provide such evidence of their continued eligibility satisfactory to the GMDC, as the GMDC shall reasonably request.

3.Response to RfQ

3.1. Interested Respondents having the requisite qualifications stated above may send their application by filling out all details mentioned in Annexure-1. Duly filled up RFQ along with relevant documents has to be submitted in hard copy in sealed cover at following address before last date :-

3.2. The RfQ should be signed by an authorized signatory. The RfQ must be accompanied with all supporting documents, only if it is salient and directly pertinent to the RfQ.

3.3. The language for submission of the document shall be English. 3.4. All costs incurred by respondents in connection with the RfQ shall be

borne by the respondents. 3.5. Respondents shall approach GMDC & PwC regarding any queries.

GMDC & PwC will respond to all queries within 7 working days.

4.Evaluation of Application

4.1. GMDC would open the applications at its head office on the same day of the Last date of Submission of Response to RfQ for the purpose of evaluation. GMDC along with PwC would subsequently examine and evaluate applications in accordance with the criteria set out in the previous section.

Tests of responsiveness

4.2. Prior to evaluation of applications, GMDC along with PwC will

determine whether each application is responsive to the requirements of the RfQ document. An Application shall be considered responsive if the Application:

a) is received by the Application Due Date including any extension

thereof; b) is signed, sealed and marked; c) contains all the information as requested in the RfQ; and d) contains information in formats same as those specified in

Annexure-1 of this RfQ.

Clarifications

4.3. To facilitate evaluation of Applications, GMDC & PwC may, as its sole discretion, seek clarifications in writing from any Applicant regarding its Application. Notwithstanding anything contained in the RfQ document, GMDC & PwC reserves the right to not take into consideration any such clarifications sought by it for evaluation of the Application.

Disqualifications

4.4. Notwithstanding anything to the contrary contained in this document and without prejudice to any of the rights or remedies of GMDC & PwC, a sole bidder or consortium may be disqualified for but not limited to, any of the reasons listed below:

a) Misrepresentation by any bidder or member of consortium in the

RfQ; b) Failure by such parties above to provide necessary and sufficient

information required to be provided in the RfQ; c) An Applicant is a subject matter of winding up / insolvency or other

proceedings of a similar nature; d) Any information regarding the bidder which becomes known to

GMDC/PwC and which is detrimental to bid process and/or the interests of the GMDC/PwC; or

e) Submission of RfQ in respect of any company, where such company had already submitted an RfQ and the earlier RfQ has not been withdrawn.

4.5. If information becomes known after the bidder has been qualified, at any stage, to proceed with the bid process, which would have entitled GMDC/PwC to reject or disqualify the relevant bidder, GMDC/PwC reserves the right to reject or disqualify the relevant bidder at any time, such information becomes known to GMDC/PwC.

Rights of GMDC

4.6. The RfQ does not constitute a commitment on the part of GMDC to

provide further information on the proposed Transaction. Furthermore, this document confers neither the right nor an expectation on any party for participating as O&M Contractor for the power project. GMDC reserves the right to withdraw from the process or any part thereof or vary any terms at any time without assigning any reasons. GMDC reserves the right to accept or reject any / all responses to RfQ without assigning any reasons.

5. Indicative Scope of Services

5.1. The objective of this RfQ is to short list the bidders for complete outsourcing of O&M activities for ATPS for a period of 15 years. The selected O&M Operator/Contractor will work in collaboration with GMDC.

5.2. The indicative scope of work for the O&M Operator/Contractor is

listed as below. The O&M Operator/Contractor shall a) prepare / update operation and maintenance instructions and

maintenance schedules to a standard which will give the essential guidance to ensure that the plant is operated and maintained in such a way that give effect to the manufacturers' instructions and helps the plant in optimizing its technical and commercial performance

b) operate and maintain the plant to the requirements of the instructions prepared pursuant to the O&M contract

c) ensure regular and pertinent training to the technical staff of the plant on technical and safety aspects

d) undertake periodic performance tests on behalf of the GMDC, if required and report results to GMDC within reasonable time

e) recommend to GMDC any remedial action which the O&M Operator/Contractor considers necessary to maintain or improve performance or to correct any deficiencies revealed during plant operation or arising from inspection or analysis of test results

f) carry out all planning and organisation of maintenance activities g) where maintenance or other services are to be sub-contracted by the

O&M Operator/Contractor to a third party, the O&M Operator/Contractor will specify the work, arrange the tendering process and let & supervise the contract so as to achieve contract completion to best time, price, value for money and standard. For all purposes, the appointed O&M Operator/Contractor remains responsible for all activities undertaken by their sub-contractor/s.

h) maintain operational logs, operational and maintenance records and a register of plant items and store all records relevant to availability for at least 10 years

i) operate personnel policies in relation to operation and maintenance throughout the term

j) supply safety systems with a view to comply with Applicable Law, and the maintaining of high safety performance and of an acceptable safety record

k) present a public profile of care for the environment by responsible management of all activities and assist GMDC to report environmental performance to the authorities as required by the Licence or any Relevant Consents on behalf of GMDC

l) operate housekeeping and environmental care procedures m) control the stores stock with a view to ensure that plant

performance is not jeopardised by lack of spares availability n) induct all current technical staff at the plant

o) keep staff aware of and trained in fire, first-aid and emergency procedures, maintain adequate site based first aid and fire fighting facilities and secure as they become available any off site emergency services

p) promote good relations with the local community and with relevant local authorities

q) run administrative systems which will provide accurate records of all technical parameters like power supplied, efficiency, plant records, stores, contracts and other matters as required

r) be responsible for organising and managing such contracted and subcontracted maintenance, repair and testing services as shall be required to carry out scheduled inspections, overhauls and major breakdown repairs including the statutory overhauls

s) carry out the Dispatch Instructions set out in the PPA t) update the "as built" drawings considered as significant for the

operation and maintenance of the Power Project u) assist GMDC in making Availability Declarations and submitting

invoices under the PPA v) maintain accounts, books, records and information systems relating

to the operation and performance of the Power Project including running hours and number of starts available to GMDC on reasonable notice

w) on behalf of GMDC, conduct or attend and witness the reading and testing of the Meters required or permitted to be carried out or conducted pursuant to the PPA and execute required subsequent procedures

x) attend at meetings with GMDC and such other persons as GMDC may specify from time to time on reasonable notice

y) prepare and submit to GMDC a Development Plan in accordance with O&M contract

z) comply with all statutory requirements and assist GMDC in reporting the same to statutory authorities

5.3. The above is not an exhaustive list of scope of services. The appointed

O&M Operator/Contractor needs to carry out all activities related with complete O&M of ATPS.

6.Amendment

GMDC may, at its sole discretion, before the last date for submission of the RfQ, modify this information document by issuing an addendum thereto.

GMDC may extend the last date for submission of RfQ responses to allow respondents reasonable time to consider any amendment to this information document and to amend its RfQ submissions in the case of such an amendment.
