PREAMBLEThe founders of IFM SOCIAL PROTECTION ASSOCIATION,FEEL AND APPRECIATE the importance of social protection in the society,

RECOGNISING the fact that every association need to be legally monitored and controlled

DETERMINED to promote social protection to the society.

HAVE RESOLVED TO COMBINE OUR EFFORTS TO ACCOMPLISH THESE AIMS: The founders do hereby solemnly resolve to establish a non-partisan, non-profit and non-governmental organization to be known as the IFM SOCIAL PROTECTION ASSOCIATION

PART I: PRELIMINARY ARTICLES

ARTICLE 1: SHORT TITLE AND COMMENCEMENT(1)This Constitution may be cited as the IFM SOCIAL PROTECTION

ASSOCIATION CONSTITUTION

(2)This Constitution shall come into operation on the date the FOUNDERS HAVE APROVED AND SINGED the constitution.

PART II

ARTICLE 2: INTERPRETATIONIn this Constitution, unless the context requires otherwise:-

Quorum is defined as a minimum of 5 members.Member- Any student, staff, graduate and other person who shows interest and participates in those objectives of established ISPA.Hazing- defined as the harassment of one individual by another individual or groupAssociation with regard to this constitution means the IFM SOCIAL PROTECTION ASSOCIATION.ISPA means IFM SOCIAL PROTECTION ASSOCIATION.

ARTICLE 3: ESTABLISHMENT(1)There shall be established an association to be known as “IFM SOCIAL

PROTECTION ASSOCIATION”.(2)The association shall be a non-partisan, non-profit sharing amongst

members and non-governmental organization and shall have perpetual succession and a common seal, which shall bear the words “IFM SOCIAL PROTECTION ASSOCIATION” which seal shall be affixed in the presence of at least two founders.

ARTICLE 4: REGISTRATION AND STATUS(1) The organization will be registered under the Non-Government

Organizations Act. No. 24 of 2002.(2)The organization have a legal personality with the powers to sue and be

sued, acquire and dispose property and enter contracts.

ARTICLE 5: HEAD OFFICE AND BRANCH OFFICES(1) There shall be registered office in Dar es Salaam.(2) Branch offices shall be established where the association shall deem fit and direct.

PART III: VISION, MISSION, OBJECTIVES

ARTICLE 6: VISION(1) Establishing one of the best associations as means of developing social

protection career and providing a center of research and other related studies as far as social protection is concerned

ARTICLE 7: MISSION(1) To build, Promote and develop networking and cooperation among the members and other stake holders within the country and beyond borders.

ARTICLE 8: OBJECTIVES(1) ISPA aims at creating awareness on social protection matters in general, through organizing and conducting discussions, seminars, workshops and meetings with other stake holders.

(2) It will foster creativity on campus and promote importance and worth of social protection course. It also targets to help students realize that a lot can be done with social protection course and to get more undergrads in the course.

PART IV: MEMBERSHIP

ARTICLE 9: MEMBERSHIP(1)Membership of this association shall be granted to the one who fulfils

conditions and terms specified under article 10 of this constitution. All faculties’ members of IFM, staffs and graduate students shall be eligible for associate membership. All members shall be listed on attendance of ISPA and its connection site.

ARTICLE 10: TERMS AND CONDITIONS OF MEMBERSHIP All members should adhere to the mentioned terms and conditions.

(1) A member should be an active participant of the association’s activities.

(2) A member should have to pay subscription fee set by the committee.

(3) A member should have knowledge and academic background of social protection.

ARTICLE 11: RIGHTS OF MEMBERSThe rights of members shall be:-

(1)To have his/her name included in the published list of members.(2)To receive all publication of the organization as shall be determined by

the Executive Committee.(3)To participate in the general activities of the organization and be eligible

to hold office in the Centre when elected or appointed by the relevant organ of the organization.

(4)To uphold the constitution and carry out assignments under it.(5)To request and obtain general information concerning activities of the

organization

ARTICLE 12: OBLIGATIONS OF MEMBERSMembers of the organization shall have the following obligations:-

(1)To contribute materially and morally towards the development efforts of the association in line with the objectives of the association.

(2)To participate and undertake assignments in committees set up by the association.

(3)To attend all meetings convened by the association or any of its Committees as shall be required.

(4)To cooperate with the association in the fulfilment of its objectives and functions.

ARTICLE 13: DISQUALIFICATION OF A MEMBER(1) Misconduct resulting in the disruption of the ISPA activities, misuse of

funds or tarnishing the name of ISPA.(2) Any other act or omission, which in the opinion of ISPA is likely to disrupt

or cause damage to the ISPA

ARTICLE 14: MEETING AND VOTINGGENERAL ASSEMBLY

(a)The General Assembly shall be composed of all members.(b) The General Assembly shall be the supreme organ of the association and shall be held at least once in every calendar year.© Establish and/or revise policy, carry out business, and take such other decision as may be necessary in the furtherance of the objectives of the association.

(d)Delegate authority and responsibility for implementation of the association policy to the Executive Committee and/or other organs of the association.

(e)Elect office bearers of the association and any other officer who according to this constitution, are required to be elected by the General Assembly.

(f) Receive the Annual Reports and Financial Statements from Executive Committee for the preceding year.

(g)Transact any other business which would facilitate the discharge of the objects and purposes or functions of the association.

(1)The General Meeting shall be held at the Headquarters/registered office of the association or when necessary at such other place as may be designated for such purpose by the Executive Committee.

(2) The quorum for the General Assembly shall be one-third of all registered members and where the General Assembly lacks such quorum the meeting shall be postponed and shall meet at least fourteen days later to transact business with or without such quorum.

(3)Each member eligible for voting shall have one vote except for Chairperson who shall have an additional vote or casting vote in case of a tie.

(4)The Chairperson shall assume the position of Chairperson. Any other ordinary member shall be elected to preside over the meeting if both the Chairperson and Vice-chairperson are absent.

(5)An Extraordinary, Emergence or Special General Assembly shall be convened:-

(1)In accordance with the resolution of the Executive Committee at the request of the Chairperson

(6)A meeting shall be valid if a quorum, plus one leader is present.

ARTICLE 15: VOTING(1)Voting on any issue shall be official only if the meeting will be valid.(2)All members shall have equal voting power.(3)Procedure- All decisions shall be arrived at by simple majority using hand

vote unless otherwise specified by the presiding officer. The president shall only vote to break a tie.

PART V: LEADERSHIP

ARTICLE 16: LEADERS AND QUALIFICATIONS(1) PRESIDENT: there shall be the president who shall be known as the ISPA president who shall be elected by the members in the general meeting and who shall hold the office for a term of one year and capable of being re-elected not more than two times.

(2) VICE PRESIDENT: there shall be a vice president, who shall be known as the ISPA vice president, who shall be elected by members and hold the office of the vice president for a term of one year. (3) ACCOUNTANT OFFICER: there shall be an accountant who shall ensure proper books of accounts are kept. The accountant shall be appointed by the executive committee upon application, and should possess the knowledge of accounting. There shall be no time limit of holding the office of accountant.

(4) THE SECRETARY: there shall be the secretary of the association who shall be appointed by the executive committee among the members of the association. The duties of the secretary shall be (a)responsible for calling meetings and taking minutes(b) Issue requisite notice and shall execute other administrative matters

pertaining to the activities of the association.©Shall be responsible for the public relations and information matters until when decided otherwise.(6)COORDINATOR there shall be the coordinator who shall hold the office of

the coordinator for a term of one year and capable of being re-elected in the future.

(7)ADVISORY COUNCIL there shall be an advisory council of the association which shall have no time limit and should include three members of the association and they shall be selected by members of the association and corresponding with the head of the department of social protection and course coordinators.

(8)All officers shall be members of the association,

ARTICLE 17: GENERAL DUTIES OF OFFICERS(1)All officers shall promote active recruitment of new members.(2)All officers shall enforce this constitution.(3)All officers shall be responsible for knowing the sections of the IFMSPO

constitution and bylaws that apply to this group.(4)The president shall preside over the meetings and shall maintain

organization within the group, communicate with officers and delegate duties to maintain a functioning group that fulfils to purpose set above.

(5)The accountant shall be responsible for maintaining all finances and keep detailed records of all transaction.

(6)Vice-President shall be responsible for maintaining current copy of this constitution open to inspection by all members of this group and any other stake holder.

(7)The secretary shall take role to call all meetings, tally votes, keeping an accurate list of group members and to take and maintain meeting minutes.

(8)Coordinator shall promote and communicate events and activities within the association and the department at large, and will serve as an advisor to other inserted students, also he/she should facilitate networking for the association and finally he/she will work to gather information on prospective career options.

ARTICLE 18: DISQUALIFICATION OF OFFICE BEARERS(1) An office bearer shall cease to hold office on any of the grounds mentioned hereunder:(a) Death.(b) Legal or mental incapacity.© Resignation.(d) Imprisonment for a term of six months or above, without option of a fine.(e) Incompetence.

ARTICLE 19: MEETINGS(1) Meetings shall be determined by the president, committee chair person

and the members of the committee as needed. A valid meeting shall follow the same meeting and voting rules as mentioned above.

PART VI: ORGANISATIONAL STRUCTURE

ARTICLE 20: ORGANS OF THE ORGANISATION

The association shall have the following principle organs:-

(1)General Assembly(2)Executive Committee(3)Functional Departments(4)Any other sections/committees established for a specific purpose/task

of the association as the Executive Committee shall deem appropriate7

ARTICLE 21: THE EXECUTIVE COMMITTEE

The Executive Committee shall comprise of:(a) The president (b) The vice president(c) The secretary (d) The advisory council (e) The coordinator

ARTICLE 22: DUTIES AND POWERS OF THE EXECUTIVE COMMITTEE

Duties and powers of the Executive Committee shall be as follows:(a)Shall conceive projects to be carried out by the association. Shall

conduct or cause to be conducted feasibility studies for such projects.(b) Shall review reports prepared by different departments and

approve.(c) Shall consider budget and forward the same to the association for

approval.(d) Shall appoint and cease into power any office bearer upon proof of

violation of leadership ethics, tarnishing the name of the association and misconduct.

(f) Shall overrule, in good faith and for the good cause, any decision made by any department when it, Executive Committee, shall be satisfied that there was an oversight of the matter and so the erroneous reach of the decision.

(g)Shall take disciplinary action against the members of the association whenever it is deemed appropriate and necessary.

(h)Shall see to the proper and efficient use and management of the funds, property and other sources of the association.

(i) Shall do all such other lawful acts and things for the purpose of ensuring the effectiveness and efficient operation and discharge of the objectives and purpose of the Association and its organs.

(j) The meeting of the Executive Committee shall be brought to effect provided information for such meeting is passed on to each member the decision thereof shall be passed by majority of votes of members present and voting. In the event of a tie, the president shall have a casting vote in addition to his deliberate vote. Votes shall be taken by secret balloting or by show of hands as the Executive Committee may deem fit to direct in each case.

(k) The Executive Committee shall meet once in every year as shall be decided by the Executive Committee.

PART VII: RESOURCES AND FINANCE

ARTICLE 23: FINANCIAL YEAR Financial year of the Centre shall commence in July and end in June of the following year.

ARTICLE 24: SOURCES OF FUNDS(1) The association’s sources of finance shall consist of but not limited to:(2) Income from the association’s Projects.(3) Fund raising activities.(4) Contributions by way of grants, gifts, donations, support from government, and subventions received from bilateral and multilateral organizations, foundations or from other sources in supporting (ISPA).

ARTICLE 25: BUDGETThe committees’ budget shall be managed by the committee chair person in consultation with the organization’s president and accountant.

ARTICLE 26: ACCOUNTS, AUDIT AND ANNUAL FINANCIAL REPORT(1) Accounts, auditing and annual financial report of the association shall

be as follows:(a) At least one month before the commencement of each financial

year every department shall prepare departmental annual budget for submission to the Executive Committee. Such budgets shall

consist of estimates of revenues and expenditures of the departments for the next financial year.

(b) Subsequent to the approval of the departmental budgets, the finance department shall give a financial report for the year just ended and the financial position of the association for the new financial year.

(2) The signatories of the organization shall be in the number and the manner as shall be deemed appropriate by the association.

PART VIII: ADOPTION AND RATIFICATION

ARTICLE 27: ADOPTION OF THE CONSTITUTIONTwo-thirds of the members or more if the group decides must approve the constitution.

ARTICLE 28. RATIFICATIONThis constitution will be ratified upon approval of the five founders, the president and the speaker.

PARTY IX: AMENDMENTS

ARTICLE 29: AMENDMENTS TO THE CONSTITUTION The amendments to the constitution shall be as follows:(1) This Constitution may be amended by a two thirds (2/3) majority of the Members of the association.(2) Where is intended to propose amendments to the constitution notice shall be communicated to each member of the association (30) days before the date fixed for the debate of the proposed amendments.(3) Amendment to the constitution shall be null and void unless it has been approved by at least 2/3 of the organs under Art, 27 (1).

ARTICLE 30: BY LAWS (1) At least two-third of the attendance must approve the by-laws and any amendments.(2) By-laws should be consistence with this constitution.

ARTICLE 31: HAZING POLICY(1) Hazing is strictly not permitted by ISPA, behavior prohibited under this rule includes actions threatening, substantial risk of physical or mental injury, actions exposing the individual to distressing, in the form of social pressure which might cause harm to an individual.23: Discrimination policy(2) The ISPA of IFM does not discriminate against any individual or group of individuals on the basis of age, disability, sex, veteran status or political affiliation.

PART X: DISSOLUTION

ARTICLE 32: DISSOLUTION(1) The association will have perpetual existence but may be dissolved

either by the operation of the law or by a resolution supported by two-third members present and voting at a General or Special Meeting convened to deliberate and dissolution.

(2) If upon the dissolution of the association, the net assets of the association, after meeting all its legal and equitable liabilities fully, shall be held in trust until such Association with similar objects and purposes shall be established and to which such net assets shall be handed over in full.

PART XI: MISCELLANEIOUS PROVISIONS

ARTCLE 33: MISCELLANEOUS PROVISIONSThe by -laws of the association may relate to:(1) Matters of procedure guiding the conduct of meetings of the organs of

the association.(2) Matters of procedure of performance of functions by each organ of the

association.(4) Procedures governing the expulsion and re-admission of person(s) to

membership of the association(5) The electoral and appointment procedures (6) The funds of the association may be used solely in the furtherance of the

objectives and functions of the same and shall not be distributed amongst members.
