SEBI has to be responsive to the needs of three groups, which constitute the market:

the issuers of securities the investors the market intermediaries.

SEBI has three functions rolled into one body:quasi-legislative, quasi-judicial and quasi-executive. It drafts regulations in its legislative capacity, it conducts investigation andenforcement action in its executive function and it passes rulings and orders in its judicialcapacity. Though this makes it very powerful, there is an appeals process to createaccountability. There is a Securities Appellate Tribunal which is a three-member tribunal and ispresently headed by a former Chief Justice of a High court - Mr. Justice NK Sodhi. A secondappeal lies directly to theSupreme Court.

SEBI has enjoyed success as a regulator by pushing systemic reforms aggressively andsuccessively (e.g. the quick movement towards making the markets electronic and paperless

rolling settlement on T+2 basis). SEBI has been active in setting up the regulations as requiredunder law.

SEBI has also been instrumental in taking quick and effective steps in light of the globalmeltdown and the Satyam fiasco.[citation needed] It had[when?] increased the extent and quantity ofdisclosures to be made by Indian corporate promoters. More recently, in light of the globalmeltdown,it liberalised the takeover code to facilitate investments by removing regulatorystructures. In one such move, SEBI has increased the application limit for retail investors to Rs 2lakh, from Rs 1 lakh at present.[7]

    [edit] Powers

For the discharge of its functions efficiently, SEBI has been invested with the necessary powerswhich are:

    1. to approve bylaws of stock exchanges.2. to require the stock exchange to amend their bylaws.3. inspect the books of accounts and call for periodical returns from recognised stock

exchanges.4. inspect the books of accounts of a financial intermediaries.5. compel certain companies to list their shares in one or more stock exchanges.6. levy fees and other charges on the intermediaries for performing its functions.7.

grant licence to any person for the purpose of dealing in certain areas.8. delegate powers exercisable by it.

    9. prosecute and judge directly the violation of certain provisions of the companies Act.[edit] SEBI Committees

    [edit] History

ThePhiroze Jeejeebhoy Towershouse the Bombay Stock Exchange since 1980.

The Bombay Stock Exchange is the oldest exchange in Asia. It traces its history to the 1850s,when four Gujarati and one Parsi stockbroker would gather under banyan trees in front ofMumbai's Town Hall. The location of these meetings changed many times, as the number ofbrokers constantly increased. The group eventually moved to Dalal Street in 1874 and in 1875became an official organization known as 'The Native Share & Stock Brokers Association'. In1956, the BSE became the first stock exchange to be recognized by theIndian Governmentunderthe Securities Contracts Regulation Act. The Bombay Stock Exchange developed theBSESENSEXin 1986, giving the BSE a means to measure overall performance of the exchange. In2000 the BSE used this index to open its derivatives market, trading SENSEX futures contracts. The development of SENSEX options along with equity derivatives followed in 2001 and 2002,expanding the BSE's trading platform. Historically an open outcry floor trading exchange, theBombay Stock Exchange switched to an electronic trading system in 1995. It took the exchangeonly fifty days to make this transition. This automated, screen-based trading platform called BSEOn-line trading (BOLT) currently has a capacity of 8 million orders per day. The BSE has alsointroduced the world's first centralized exchange-based internet trading system, BSEWEBx.co.into enable investors anywhere in the world to trade on the BSE platform.[5]The BSE is currentlyhoused inPhiroze Jeejeebhoy TowersatDalal Street,Fort area.
