Girls on the Run Organizational Structure

Girls on the Run is a physical activity-based positive youth development program designed to develop and enhance girls’ social, psychological, and physical competencies to successfully navigate life experiences. Over the course of the program, girls will:

Develop and improve competence, feel confidence in who they are, develop strength of character, respond to others and oneself with care and compassion, create positive connections with peers and adults, and make a meaningful contribution to community and society.

The Girls on the Run curriculum is designed to prevent unhealthy behaviors, such as physical inactivity and negative self-talk, andpromote positive, healthy behaviors, such as setting goals, building relationships, and engaging with the community.

Girls on the Run honors its core values. We strive to:

Girls on the Run of Greater Richmond: Community Partner

A Community Partner is a organization or business that provides financial and/or in-kind contributions to Girls on the Run of Greater Richmond.

Request for Support:

Girls on the Run envisions a world where every girl knows and activates her limitless potential. We are a physical activity-based, positive youth development program designed to develop and enhance girls’ social, psychological and physicalcompetencies to successfully navigate life experiences. Over the course of our 12 week program, girls develop and improvecompetence, feel confidence in who they are, develop strength of character, respond to others and oneself with care andcompassion, create positive connections with peers and adults, and make a meaningful contribution to the community.

Girls on the Run of Greater Richmond strives to provide quality programming for all girls of the City of Richmond and Henrico County. Currently, in our second year of programming, we serve 140 girls at five area elementary schools. In our third year of programming, we aspire to expand our program to thirteen schools (a 150% site expansion) and serve at least 350 girls. Aswe grow, it is critical to our mission that we ensure all third through eighth grade girls who wish to participate in our transformational program are not limited by financial circumstances.

Who is involved?Girls on the Run of Greater Richmond serves the girls and families of the City of Richmond and Henrico County.

Why are partners needed?

Simply put, we cannot maximize our community impact without your support. We are seeking community partners so that we can more than double the number of girls we serve in our third year of programming, and so that we can increase the amount of fundsraised for our Scholarship Fund. We will work with each partner to determine an appropriate level of funding for their organization.

1) Submit a completed partnership agreement for review.

2) Girls on the Run works directly with each partner to coordinate partnership details and ensure appropriate recognition and

fulfillment.

3) To achieve maximum exposure, and to receive full partnership benefits, please reserve your partnership as quickly as possible.

This allows sufficient time to place necessary orders and update event materials. Please provide a high resolution EPS file as

well as a JPEG of your logo for event use. Send logos to Ruthie Burke at [email protected]) Please note that while we make every attempt to provide full recognition on partnerships confirmed less than three weeks

before the event, some benefits may no longer be available due to production deadlines.

5) The partnership organization agrees to pay the agreed partnership fee in full prior to the culminating 5K event for Girls on

the Run participants. Invoices are available upon request.

6) Girls on the Run of Greater Richmond reserves the right to approve all partnerships.

7) 5K event schedule, layout map and additional event details will be emailed out to partners prior to the event. Please contact

Partners will receive prominent visibility and are vital to the success of the program. All partners receive benefits and recognition according to their partnership support level.

This agreement (“Agreement”) is entered into this________________ day of ______________, in the year of 20__ (“Effective Date”) between the Greater Richmond (“Affiliate”) of Girls on the Run and _________________________ (“Community Partner”) to set forth the terms and conditions upon which Partner agrees to be a local contributor of the Girls on the Run Council and/or Girls on the Run 5K.

General: Girls on the Run of Greater Richmond is an affiliate of Girls on the Run International. The Girls on the Run 5K is the culminating 5K for Girls on the Run of Greater Richmond participants, and occurs twice per calendar year. The goal of the 5K is to further the mission of Girls on the Run to inspire girls to be joyful, healthy and confident using a fun, experience-based curriculum which creatively integrates running. The Affiliate is a non-profit organization exempt from federal tax pursuant to Internal Revenue Code section 501(c) (3), federal tax identification number 46-1259357.

Term: The Agreement will be effective beginning on the date this document is signed and conclude based upon the terms of the agreement type either concluding at the end of the program season or the end of the fiscal year (June 30, 2015).

Race Date: Affiliate will use its best efforts to conduct the fall 5K event on the second Saturday of December and the spring 5K event on the second Saturday of May.

Race Cancellation: Neither Organization nor Affiliate shall be responsible for damages that result from delays or postponements of the 5K due to circumstances beyond their reasonable control. In the event that that 5K does not take place, Partner fee as set forth above shall be treated as a donation to the Affiliate and shall not be refunded.

Partnership Benefits/Payment: Partner shall pay its partnership fee as follows: Partner shall pay its entire partnership fee on or before dates designated for partnership levels, as stated in the Community Partner Agreement, failure to do so shall result in a forfeiture of Partner’s partnership rights. Affiliate may require Partner to provide additional documentation to support the value of in-kind contributions prior to accepting such donations as credit toward Partner’s partnership fee. To comply with IRS requirements, please be advised that the tax-deductible amount of your contribution for Federal income tax purposes is limited to the excess of the amount of money plus the value of any non-cash property contributed by partner over the value of the goods and services provided by Affiliate. The Affiliate will provide partner with the total value of any goods and services provided as part of partnership.

Relationship/Entire Agreement: The parties to this Agreement have no legal relationship other than as contracting parties to this Agreement. This Agreement represents the entire agreement between the parties and supersedes any prior understanding or agreements.

Indemnity: Each party agrees to indemnify and hold the other harmless from and against any and all expenses, including reasonable attorneys’ fees, that the other party may incur by reason of any claim arising out of the indemnifying party’s negligence, intentional misconduct performance or failure to perform pursuant to this Agreement, or any service or product sold or provided by the indemnifying party in connection with the Council or 5K. All individuals provided by or associated with Community Partner who performed services on behalf of the 5K shall provide such services at the direction of, under the supervision and control of, and for the benefit of Community Partner. Such individuals shall not perform such services on behalf of Organization or Affiliate and shall not be agents or representatives of Organization or Affiliate. Community Partner shall be responsible, as between Community Partner and Organization and Affiliate, for any injuries or damages caused by or to said individuals.

Governing Law: This Agreement shall be governed by the laws of the Commonwealth of Virginia.

Entire Agreement: This Agreement shall constitute the entire agreement of Community Partner and Girls on the Run Affiliate to be binding upon the parties as the Effective Date. This Agreement supersedes any prior understanding or oral agreements between Community Partner and Affiliate regarding the council or 5K and constitutes the entire understanding and agreement between the parties with respect to the Council and 5K event(s). There are no agreements, understanding, representations or warranties between the parties other than those set forth in this Agreement. Should any section, or portion thereof, of this Agreement be held invalid by reason of any law, statute or regulation existing now or in the future in any jurisdiction by any court of competent authority or by a legally enforceable directive of any governmental body, such section or portion thereof shall be validly reformed so as to approximate the intent of the parties as nearly as possible and, if unreformable, shall be deemed divisible and deleted with respect to such jurisdiction; and this Agreement shall not otherwise be affected.

Counterparts: This Agreement may be executed in two or more counterparts, each of which shall be considered an original instrument. Each counterpart will be considered a valid and binding original. Once signed, any reproduction of this Agreement made by reliable means (e.g., photocopy, facsimile) is considered an original.

Confidentiality: During and after the Term of this Agreement, except as necessary to Community Partner or Girls on the Run’s professional advisors who are bound by an obligation of confidentiality and have a need to know such information or as otherwise agreed by parties hereto, Community Partner and Affiliate each agree to hold in strict confidence all information, material, and date that have been disclosed by either party to the other party during the Term of this Agreement, including the terms of this Agreement. Community Partner and Affiliate each agree that each will not use any such confidential information for any purpose not directly associated with their obligations hereunder, without prior approval from other party. Notwithstanding anything to the contrary herein, the foregoing confidentiality provisions shall not apply to information which is (a) generally available to the public other than as a result of a breach of this confidentiality provision or (b) required to be disclosed by law or pursuant to court order; provided that the receiving party shall immediately notify the disclosing party that production or disclosure has been ordered, to the extent permitted by law, and shall take all reasonably steps and cooperate with the disclosing party to limit disclosure of the confidential information.

Intellectual Property:

(a) Girls on the Run International and Affiliate hereby grants, and Community Partner hereby accepts, the non-exclusive, royalty free, worldwide license to use the Girls on the Run trademark and logo and any and all creative materials and artwork provided by Affiliate, following the Girls on the Run Branding Guidelines solely in connection with the advertising and promotion of the Collaboration during the term in accordance with this Agreement.

(b) Community Partner hereby grants and Affiliate hereby accepts, the non-exclusive, royalty free, worldwide license to use the Community Partner trademark and logo and any and all creative materials and artwork provided by Community Partner, following the Community Partner Branding Guidelines solely in connection with the advertising and promotion of the Collaboration during the term in accordance with this Agreement.

(c) Neither party will use the other Party’s name, trademark or logo in any materials without the prior written approval of the other Party. All to be mutually agreed upon.

TERMS AND CONDITIONS

Limitation of Liability: In no event shall either party be liable to the other for any special, incidental, consequential or punitive damages or losses of any kind that may be suffered by the other with respect to the subject matter of this Agreement. Such damages include, but not limited to , compensation, reimbursement or damages on account of present or prospective profits, loss or damage to reputation or good will, expenditures, investments or commitments, whether made in the establishment, development or maintenance of business reputation or goodwill, for any other reason whatsoever, including, but not limited to, the claims of any third party.
