REPDC GREEN PTE LTD is devoted to develop hydropower projects. Hydroelectric power is a proven renewable technology which is in use for over a century and which is currently providing about 19% of the world’s electricity. We are well aware that today’s generation of humankind must turn to renewable sources of energy and act more responsibly towards planet and future generations. That is one of the principles of sustainable development and engaging in hydropower is our way of caring and acting responsibly towards future. By engaging in hydropower we are investing in cleaner, more responsible business, and future based on strong ethical principles.

REPDC GREEN PTE LTD ethical principles provide the foundations for various modern concepts of work, which broaden individual and corporate priorities far beyond traditional business aims of profit and shareholder enrichment. We believe that ethical factors have also a significant influence on institutions and public sector organizations, which aside of the traditional priorities of service quality and cost management, increasingly take into account ethical considerations affecting the commercial and corporate world.

Repdc Green Pte Ltd Management Guideline

The ethical management guideline helps employees to correctly understand and implement ethical management. The practical guideline provides assistance in resolving ethical issues that might arise during business operation and a base for decision making.

Having a guideline with set of rules outlining the responsibilities of proper practices for an individual and the whole organization makes the management and investment decision based on multiple-choice scenarios to take into account ethical standards as a priority. Nourishing the ethical spirit in REPDC GREEN makes our employees aware that their actions that would harm ethical standards would be depreciated by the Company and society.

Code of Professional Ethics

We carry out business with honesty, integrity and responsibility. We establish corporate culture of mutual respect and trust. REPDC GREEN strives to increase corporate value and maximize shareholders’ interests by promoting the transparency and efficacy of business management. We put top priority on our clients’ satisfaction, where we serve as service provider, and on providing quality projects and services to communities, where we operate as investor and developer. We make fair and transparent transactions with vendors and strengthen relationships with them in pursuit of co-prosperity.

We respect our competitor’s relevant regulations and business practices and pursue fair and free competition. We strive to achieve sustainable development as an eco-friendly organization and contribute to the preservation of the Earth and the prosperity of humankind. We fulfill corporate social responsibility by complying with the law and contributing to the public interests of the nation and society. Our ethics committee will deliberate under a rigorous and fair procedure to determine the disciplinary measures.

Starting with the beginning of 2015 REPDC GREEN plans to operate an integrated cyber audit system with all REPDC GREEN groups of companies.

Oath of Ethical Management

REPDC GREEN PTE LTD mandates employees to make an oath to comply with the code of ethics in order to raise awareness of ethical management and facilitate its implementation. Being known for respecting ethics contributes to establishing and maintaining a win-win relationship with vendors and a possible receipt of fund or valuables. Unnecessary entertainment is prohibited. Transparent transaction is being implemented by reflecting reasonable procurement prices and open bidding.

Expansion of Ethical Management Co-Prosperity Activities

REPDC GREEN PTE LTD will strive to share the ethical management system with investors, clients and vendors in order to form a transparent, fair and ethical business relationship.

Incentive System

REPDC GREEN PTE LTD will encourage voluntary compliance with the code of ethics. REPDC GREEN provides incentives to selected employees who exemplify ethic management every half year. The incentive system inspires them to implement the ethical management proactively and voluntarily.

Incentive Towards Others

Not only that REPDC GREN PTE LTD is making sure that our own management and employees are working under ethical principles, we are setting ground rules for our vendors and are hoping to set an example by engaging in clean energy such as hydropower, and encourage our clients, vendors and even competition to make their business policies more responsible towards all stakeholders.

REPDC GREEN PTE LTDRegional Support

REPDC GREEN PTE LTD will contribute a minimum of 1% of project profit before tax each year to fund initiatives that benefit the communities associated with our operations, particularly those located in remote areas or in regions with a lower level of social and economic development and infrastructure while we manage our funding so that our community initiatives receive stable and continuing financial support.

REPDC GREEN believes that when acting responsibly, hydropower production also impacts positively on local communities, benefits the local infrastructure, creates jobs and contributes generally to sustainable regional development. Using the energy of flowing water, without depleting it, means all hydropower projects meet the definition of renewable. Technology used has been known and proven for over a century, and the impacts of hydropower are well understood and manageable through mitigation and enhancement measures. Hydropower offers vast potential and is available where development is most needed.

REPDC GREEN believes that from the potential of all renewable energy sources, hydropower is the most important and most widely used. Worldwide, it currently provides 19% of the global electricity supply. In Norway this increases to 99%. Significantly however, worldwide, around two-thirds of economically feasible hydropower potential is currently undeveloped. Untapped hydro resources are still abundant in regions such as Latin America, Africa and Asia. Countries here also have the highest numbers of people currently without access to electricity.

Hydropower improves grid stability and reliability. Electricity generated from hydropower can be placed on the grid faster than any other energy source and can go from zero power to maximum output rapidly and predictably. This makes it well-suited to meeting changing loads and providing ancillary electrical services that maintain the balance between electricity supply and demand.

REPDC GREEN PTE LTD helps fight climate change. The hydropower life cycle produces very small amounts of greenhouse gases. By offsetting emissions from gas, coal and oil fired power plants; hydropower can help slow global warming. Hydropower plants produce no air pollutants or toxic by-products. Where replacing fossil fuelled electricity generation, acid rain and smog can be reduced.

Hydropower sector makes a significant contribution to development in general. REPDC GREEN PTE LTD Hydropower facilities bring electricity, roads, industry and commerce to communities, thereby developing the economy, improving access to health and education, and enhancing the quality of life. It contributes to freshwater storage; hydropower reservoirs collect rainwater, which can then be used for drinking or irrigation.

REPDC GREEN PTE LTD knows that the long term investment in hydropower projects can benefit several generations. They have low operation and maintenance costs and can easily be upgraded to incorporate the latest technologies.

Corporate Social Responsibility Governance

Corporate social responsibility (CSR) is a form of corporate self-regulation integrated into a business model. CSR functions as a built-in mechanism, whereby a business monitors and ensures its active compliance with the spirit of the law, ethical standards, and international norms. Corporate governance of REPDC GREEN understands the importance of CSR and is preparing this MSRS to implement the social responsibility into the Company policy and working atmosphere. Our actions will appear to further social good beyond the interests of the firm and what is required by law. CSR is a process with the aim to embrace responsibility for the Company’s actions and encourage a positive impact through its activities on the environment, consumers, employees, communities, stakeholders and all other members of the public sphere. Sustainability, mitigation and social equity

As a conscientious investor the REPDC GREEN PTE LTD will operate on the basic principle that sustainability is achieved through mitigation and social equity. Thus, the appropriate steps will be taken in prior to project implementation to evaluate the sustainability of each project, given REPDC GREEN ability to mitigate related risks in that particular region or community.

Social equity is a key aspect to success in developing countries; REPDC GREEN clearly identifies the key needs of the community and the benefits that our activities will bring on the local level. With forethought, meticulous planning and relationship building, we will be able to ensure success as a strong local partner. Investing in social equity is one of our primary goals, whether it is to employ local labor, create new venues of employment, participate in public programs or develop new programs with the local community; all these aspects and more are part of what we do.

REPDC GREEN sees the social responsibility as responsibility to society, its stakeholders, environment and sustainability of global development. This implies efficient use of natural sources and encouraging renewable sources and efficient use of planet’s potentials.

The concept of sustainable development is often broken out into three constituent parts: environmental sustainability, economic sustainability and sociopolitical sustainability. Through our activities, we strive to contribute all the aspects of sustainability:

REPDC GREEN HEALTH AND SAFETY guide will be prepared in cooperation and instruction to cover all aspects related to health and safety policy.

Social and Environmental Responsibility

REPDC GREEN PTE LTD places the society and environment to its highest level of priorities. In order to do this successfully in complex emerging markets, we plan, construct and operate our projects in consultation with key stakeholders, including local communities. We work closely with and engage in partnerships with environmental, human rights and development experts. We undertake an environmental and social impact assessment (ESIA), which complies with the World Bank`s and REPDC GREEN’s standards, on all projects prior to any investment decision. Furthermore we are guided in our endeavors by a set of robust business principles which govern all our decision-making processes and business activities. Risk management processes and social development programs are incorporated into every project we undertake.

Environmental responsibility and impact assessmentRigorous social and environmental impact assessments are conducted on all projects prior to investment. During project assessment and construction the company also works closely with local communities to understand their needs and help ensure that the projects deliver social benefits.

REPDC GREEN PTE LTD aims to preserve the long-term health, function, and viability of the natural environments affected by our operations. We act as responsible stewards of our assets and operate to leading practice environmental standards to eliminate, mitigate or remediate the environmental impacts of our activities and continually improving the efficiency with which we use raw materials, energy and natural resources.

REPDC GREEN PTE LTD decreased direct and indirect greenhouse gas emissions. We work with other organizations, governments and groups to address climate change and reduce harmful emissions to air, water and land in order to avoid net losses or degradation of natural habitats, biodiversity and landscape functions as well. We strive to prevent or mitigate the impacts of adverse environmental incidents.

REPDC GREEN PTE LTD will strive not to deteriorate, harm or change existing wildlife with any of our business actions. Indigenous species (animal or plant) will be preserved, and existing conditions intact. We are strongly devoted to sustainable development and will do everything in our power to preserve wildlife.

Responsible and sustainableWe plan our projects to be developed and operated in a responsible and sustainable manner. We therefore conduct regular risk assessments in the form of social and environmental audits, reviews and follow-up of site-specific issues. We also implement programmers alongside all our projects to limit the negative impact on local communities and environments and help ensure that the projects deliver social benefits.

Environmental and Community Involvement

REPDC GREEN PTE LTD aims to contribute to the social and economic development of sustainable communities associated with our operations.

As a responsible corporate citizen, REPDC GREEN considers ethical and social issues in parallel with business development and efficient resource management when developing our projects. In addition to employ mainly local people at all our sites and plants, we collaborate closely with local communities on programs designed to provide them with lasting social and economic benefits.

We identify the communities and other stakeholders associated with our projects and actively engage with them in a culturally appropriate and transparent manner as early as possible and throughout the life cycle of our projects to establish relationships based on mutual benefit and active participation. We respect the culture, customs, interests and rights of communities, including indigenous peoples and vulnerable or previously disadvantaged groups.

REPDC GREEN PTE LTD works with governments, local authorities, community representatives, inter-governmental and non-governmental organizations and other interested parties to develop and support projects that benefit the communities associated with our operations.

We will contribute a minimum of 1% of project profit before tax each year to fund initiatives that benefit the communities associated with our operations, particularly those located in remote areas or in regions with a lower level of social and economic development and infrastructure while we manage our funding so that our community initiatives receive stable and continuing financial support. We work to minimize the adverse impacts of our operations on the communities in which we operate and to avoid sole dependence on our operations.

Security and Environmental Policies

REPDC GREEN PTE LTD understands it has a responsibility to help protect and preserve the environment for future generations. To this end we endeavor to carry out all reasonably practicable measures to meet or exceed our responsibilities to reduce our impact on the environment. Review, Improvement and CommunicationREPDC GREEN PTE LTD will continue to monitor the effectiveness of measures implemented under the Environmental Policy. In particular the project will:

• Seek to produce an annual assessment of the project’s energy and emissions performance for the purposes of management review, voluntary reporting to stakeholders and legislative compliance.

Environmental Risks - LivelihoodREPDC GREEN PTE LTD perfectly understands that the local population livelihoods could be affected by new development of hydropower plant and that the populations are inextricably linked to the region’s natural resources. Any agent of environmental change that compromises these resources will therefore have a profound impact on local livelihoods. Therefore REPDC GREEN will make the outmost to cooperate with the local communities in the regions where REPDC GREEN operates in order to make sure that local population will be impacted positively from our activities.

REPDC GREEN hydropower development activities will make sure that basin’s population has the ability to live sustainably. Through support of local population, we will make sure that standard of basin’s population does not deteriorate. Local communities will not be forced to find alternative livelihoods. Finding alternative living options might lead to environmental destruction, highlighting the unsustainability of continued hydropower development.

REPDC GREEN sees importance of taking an interdisciplinary approach while assessing the impact of natural resource development projects. While environmental impact assessments have often been conducted for hydropower projects, the social impacts have generally received significantly less attention. Assessing only the environmental impacts fails to recognize the value of these natural resources.

Environmental Risks - indigenous populationsIndigenous people worldwide – REPDC GREEN overview from hydro power perspective:

The circumstances of each nation or group of people are so unique that generalizations may not apply to many particular cases. Nevertheless, there are characteristics that distinguish them in their capacity as indigenous people with common problems and challenges when it comes to land expropriation required in the hydro industry for instance.

Increasing urbanizationMany indigenous families have members in their communities of origin and in the cities, and maintain ties with both realities. More and more indigenous people migrate or are displaced to regions or countries more or less distant from their communities of origin and their connection with the land is lost. Amid this diversity REPDC GREEN sees the local population and has plans to integrate it to our development.

Resource extraction threatens the land rights of indigenous peopleContrary to the declarative and legal achievements of the indigenous social movement, the security of their territories and resources has been severely affected in recent decades. REPDC GREEN has the opinion that working together with the local community will maintain good relation and mutual benefit for long life. New intergovernmental trade agreements with the economic powers of the developed world facilitate the dispossession of indigenous land and resources or their exploitation carried out without consultation and in exclusion of the indigenous inhabitants. The current degraded state of many indigenous territories, which are subject to large-scale extractive projects or have been stripped by mega road, port or hydroelectric power projects, affects indigenous people’s fundamental rights to health, food and access to clean water. REPDC GREEN is aware or all these negative repercussions and will join the local communities in order to make the realization of our hydropower plan in full integration and to reduce negative consequences to a minimum.

Environmental Risks - resettlementInvoluntary resettlement may cause severe long-term hardship, impoverishment, and environmental damage unless appropriate measures are carefully planned and carried out. REPDC GREEN will do the most in order to make sure our development project will not make damage to the local communities nearby areas where our hydropower facilities are.

Environmental Risks - cultural heritage and traditionsREPDC GREEN PTE LTD fully recognized that large dams are invariably constructed in river basins where people have lived for long periods of time, often from the prehistoric past to the present. Large dams also may impact very large areas that may encompass one or more cultural regions and tribal or indigenous groups. REPDC GREEN is fully committed to those people that are living close to our project sites. We are doing the outmost to plan and develop our project in full cooperation with the local communities. REPDC GREEN PTE LTD has also fully recognized that the construction of large dams has also led to incalculable loss, destruction, and damage of cultural resources ranging from shrines of local communities to world heritage monuments. The objective of this report is to provide an overview of past and present cultural heritage management in areas impacted by large dams, and to recommend internationally acceptable criteria and guidelines for the future cultural heritage management of dam impacted areas.

REPDC GREEN management team recommendations for purposes of this report, ‘Cultural Heritage’ comprise:1. Cultural resources of living populations (e.g., their mode of subsistence, social

organization, religion, ideology, political organization, language and the material expression of their ideas and practices which range from sacred elements of the natural landscape to artifacts and buildings);

2. Archaeological resources (e.g., occurrences and sites which may include artifacts, plant and animal remains associated with human activities, burials, and architectural elements) which may or may not be an integral part of the cultural heritage of the local inhabitants; and

3. Cultural landscapes which consist of landforms and biotic as well as non-biotic features of the land resulting from cultural practices over historical, or even prehistoric times, by generations of people of one or more cultural traditions.

These resources constitute the cultural heritage of people, of nation, of humanity.REPDC GREEN believes that we cannot rehabilitate or restore what is gone, but we can prevent the loss that is now eroding our experience and strengthen our ability to respond to adverse conditions.

REPDC GREEN PTE LTD is working to make sure that the impact of large dams on global scale will not create the loss and damage of cultural heritage. As the result of innovative way of thinking REPDC GREEN covered:1. Lack of sufficient numbers of skilled and qualified cultural heritage personnel,2. Lack of appropriate cultural heritage management infrastructure,3. Lack of adequate facilities for curtain, preservation, and display of cultural heritage

resources retrieved from cultural heritage projects,4. Absence or inadequate cultural heritage legislation in some countries,5. Scarcity or unavailability of funding for capacity building,6. No enforcement of international cultural heritage preservation agreements, and 7. Lack of active civic pressure to mobilize actions to preserve and sustain cultural

heritage resources.

REPDC GREEN sees the colossal magnitude of the loss and damage of cultural heritage in every case where large dams are constructed. The ongoing impact of dams on cultural heritage resources well beyond the immediate area of the dam and reservoirs and the woefully inadequate means to cope with the ongoing and impending loss of cultural heritage in developing countries is serious. REPDC GREEN has the opinion that the situation must be regarded as a crisis of unprecedented dimensions.

Environmental risk - changing ecosystem REPDC GREEN PTE LTD is aware of the past negative influences that big dams had on nearby ecosystem. Large amounts of water that create a lake would change air humidity which would lead to change of microclimate that would further on have big impact on wildlife in that area. Plant and animal species would lose their habitat and finally expire. Consequences of changing one part of ecosystem can be vast and often unpredictable until it is too late to reverse the process. Those consequences can affect not only wildlife but the nearby community as well. We will make sure not to make similar mistakes in our projects and activities. We will examine the ongoing wildlife on project site and make sure to affect indigenous species and natural conditions as little as possible.

REPDC GREEN PTE LTD believes that human capital is key to competitiveness in a market economy. Human resource management should place the focus on employees, their needs, motivation and satisfaction. Familiarity with the needs and aspirations of each employee allows the activation of their potential through motivation so that they contribute to the progress and competitiveness of the organization. REPDC GREEN PTE LTD will initiate, in the second half of the 2014, the Human Resources Development center in order to create the highest standard for Employees Development program and will, with Human Resources, engage for that purpose a specialist in order to support the company growth.

Being a part of the worldwide Investment and Development Company, REPDC GREEN will adopt the lifelong learning concept as the basis of its educational strategy and it uses earmarked funding to facilitate the creation of a knowledge-based society.

In this context, the future REPDC GREEN PTE LTD Human Resource Development Centre will place special emphasis on the implementation of a lifelong learning strategy by encouraging and promoting all forms of lifelong learning. Adult education, basic vocational training and continuous education will be available also in the localities and areas of our operations. REPDC GREEN also plans to implement knowledge management as the base of general Company knowledge.
