    In view of legal concerns regarding the February 27,2006 memorandumbetween the Executive Secretary of theAuthority and the Presidentof theFraternal Order of Police, Lodge #34, a n d recognizing this issue o becompensation matter, upon motion by Mr. Woodford and seconded by Rev. Dr.Calhoun, members unanimously approved that the action taken in April 2006regarding the personal patrol vehicle program be negated, an d that a review b ecompleted within 90days comprising all elements of cornpensation of swornpolice employees, including penslon and vehicles.

    Chi& Brown provided an update to the members on Authority Policeassisting with Baltimore City's crime initiative at pre-selected sites. Severalpolice units from within the Ahthority Police are supporting Baltimore City in theirsafety initiatives. In addition, Police are also offering assistance on City locationshaving truck issues. he costs associated with the Authority Police participationare funded by the Governor's Office on Crime Control and Prevention, ChiefBrown noted that the limited use of "polnt and pull" traffic operations by theAuthority Police has been suspended. Upon motion by Ms.Rieg and secondedby Mr. Marks, and unanimously approved, members gave their consensus on heAuthority Police participation in the crime initiative with BaltimoreCity.FY 2008 FINAL OPERATING BUDGET

    Mr.Welkos presentedthe proposed FY 2008 Final Operating Budget formember approval. Authority Members tentatively approved an operating budgeton November 16,2006 for submission t o the Governor and General Assembly aspart of the annual State budget process. The Trust Agreement requires theapproval of a Preliminary Budget of C umnt Expenses on or before the 31"dayof May in each fiscal year and adoption of a final budget on or before the letayof July.The FY 2008 Final Operating Budget that is recommendedamounts to$212,041,883 - an increase of$22,075,454 or 173%over the adjusted F Y 2007budget of $189,966,429. The casts incurred or police services at the Port andBWIT h u ~ o a d arshallAirport are reimbursable to theAuthority from the

    Maryland Port Administration (MPA) and the Maryland AviationAdniinistration(MA4) and amount to $24,062,501, his Final Budget has been reviewed andrecommended or approval by the Finance Commiljee.The recommended Final FY 2008 Operating Budget of $212,041,883sjust slightly less than the Preliminary Budget. The Police an d Operationsbudgets were increased to accommodate reclassifications o f soma positions, andadditional funds have been included in the Office of InternalAudits to procureprofessional auditing sewices for invoices. Increases in these areas were morethan offset by the deletion of two positions in the Division of Communications anda salary calculation adjustment in the BWI Thurgood Marshall Police budget.

    DEBT SER,VICETotal debt sewice principal and interest payments from the Bond ServiceSub-Account on the TransportationAuthority's outstanding revenue bonds are$24,442,106 n FY 2008 as compared to $24,452,106 in FY 2007.     Forty-three million of Authority funds was programmed in FY 2007 ortransfer to the Maryland Department of Transportation to asslst in financingbroader transpodation needs of the State by freeing up money in theTransportailon Trust Fund, F u n d transfers from the Authority's General Account .were scheduled for six years beginning in FY 2002 a n d ending in FY 2007, sothat FY 2007 represented the final payment in a total distribution or' $237.1 milli'onto the Transportation Trust Fund. Thus, the Authority spending requirementreflected by this initiative decreases by $43.0 million in FY 2008.AUTHORIPU' FINANCIAL FORECAST

    T h e Authority's financial forecast: for the FY 2008 - FY 2073 periodincorporates projacted toll revenues, concession income, investment income,and other sources of income. Operafing and debt service expenditures areprojected fo r the six years and the forecast includes the capital program cashflow projections, Revised capital program projections based on the FY 2008 -FY 2073 Draft Consolidated Transportation Projects (CTP) have beenincorporated in the forecast that accompanies the final FY 2008 OperatingBudget.The Authority meets or exceeds its financial poiicy standards (debtservice coverage and total cash balance ratios) a n d legal requirements in theforecast period; however, an average System-wide toll increase would benecessary no later than FY 20 11 to fund expenditure needs at projected levelsand a n increase in the $1.9 billion s t a t u t o i b a n d cap would be 'required beforeFY 2010,

    Member Woodford presented this technical amendment for memberapproval. At the May 30, 007 Authority meeting, members adopted Resolution07-06 which delegated certainactions to the Capital Commitiee. The resolutionalso references limitations ofmonetary authorizations, In one instance, themonetary figure was incorrectly reported as $50,000when it should have beenreported as $250,000.Upon motion by Mr. Woodford and seconded by Ms, Affleck Bauer, thetechnical amendment to Resolution 07-06 was unanimously approved. In the

    absence of the Chairman, concurrence of the Chairman will be kqu i r e d for thisResolution.DRAFT FY 2008 TO FY2013 CTP

    Before presenting this agenda item, Sam Triandos introduced GailMoran.Ms.Moran will behandling government and community relations issues for theAuthority. Mr. Alkhatib presented the draft Capital Program for FY2008-2013 nthe amount of $4,563,348,000 or mem ber approval, This figure represents anincrease of approximately $16.8 million as compared to last year. The draft CTPmust be submitted to MDOT by the end of the month for incluslon in MDOT'sCTP which will be presented to t h e public during the Secretary's fall CTP toursaround theState. A summary sheet of the changes since lastyear's final reportwas distributed for discussion, This summary indicated a $0 change in thepreservation portion and a $157million increase in the enhancement portion. Tostay within the affordability level, threa projects were removed from the proposeddraff (Authority office capacity improvements, Travel Plaza redevelopment, andtemporaryTravel Plaza improvements). The removal of these projects reducedthe increase to a moremanageable level of $16 million. The possibilityof having .the Travel Plaza considered as a public-private partnership (P3)project wasdiscussedwith the Capital Committee. The P3 concept was endorsed by theFinance Committee, provided that additional financial information is given (costbenefit of P3 vs. Authority funds), The draftCTP was presented to both theCapital and Finance Committees for review. Based on their recommendations,changes were made.

    forecast/estimate/projection of $24 billion for FY 2008 to FY 2026. The summarysheet provided the breakdown for the amount in the financially-constrained six-year draft, the amount in the six-year program period that the Authority wouldneed to fund projects that are currently not:affordable, and the amount needed tofund the projects from FY 2014 to FY 2026, This information was shared withboth the Capital and Finance Committees. The hearingfor the challenge to the environmental process is set for October 1,2007; thehearingfor the challenge lo the Clean Air Act determination is set for October 25 ,2007.ICC UPDATE

    Mr, Kolberg advised members ha t the limited Notice To Proceed onContract A was issued. Mr. Chapin distributed to members, information on theIC C current cash flow and funding sources fo r the ICC project along with a copyof the map that indicates the division of the construction contracts and the timingof the contracts for the project. Members expressed strong interest to continuewith ICC oversight since theAuthority will be he owners of the road and have afiduciary responsibility. IMr. Freeland advised there will be a restructuring in how the monthlydivision projects are reported. On a rotating basis, individua l directors will beinvited to the Authority meeting to report on their activities (in lieu of submitting arepofi).     the Francis Scott Ke y Bridge Toll Collection Division for achieving 1,202 dayswithout a lost-time injury; the John F. Kennedy Memorial Highway Toll CollectionDivision for completing 827 days without a lost time injury, along with theestablishment of a safety message board; and the Francis Scott Key BridgeMaintenance and Automotive Divisions for embracing the safety challengeinitiative to work in a safe environment.     sented with Resolution 07-07 - a proposed resolutiondeclaring the Authority's intent to issue toll revenue bonds for its TransportationFacilities Projects, to confirm the Authority's intent to reimburse eligible projectexpenditures from the proceeds of the revenue bonds, and to authorize thepreparation and distribution of an am ended and restated Trust Agreement andPreliminary Official Statement. The Authority has dec lared its intent to issuebonds in an amount up to $325 million. The proposed Resolution wasrecommended for approval by the Finance Committee on July 12,2007.

    Upon motion by Ms. P eoples and seconded by Ms. Rieg, Resolution 07-07- Declaration of Intent to Issue Toll Revenue Bonds - was unanimouslyapproved, the Chairman concurring.MARK IV EXTENSIONCONTRACT

    Mr. Derwa rt provided a brief background on Contract No. 10733400- nIntergovernmental Cooperative Purchasing Agreement for the m embers. Thiscontract is for a three-year extension of the E-ZPass Interagency Group (IAG) forthe provision of transponders and toll lane equipment to support the Authority'soperations; the current contract expires in August. The three-year extensionperiod with MARK IV, the sole company which can provide this technology, willallow the Authority to conduct a competitive procurement, verification testing andinstallation of transponders and lane equipment with all 23 members of the IAG.Bas ed on the conditions of the existing MARK IV Irrevocable Offer (lo ), the IAGwas not pe rmitted to initiate the procurement process prior to February 2006 ,which did not provide sufficient time to develop a com petitive Request forProposals (RFP). The Authority issues approximately 150,000 transponders peryear.Upon motion by Rev. Dr. Calhoun and seconded by Ms. oblitzell,members unanimously approved a three-year extension contract with MARK IVa t an estimated cost of $9,450,000.

    Ms. M oran presented this agenda item. Authority staff has prepared draftlegislation to raise the bond cap from $1.9 billion to $3.0 billion. The currentbond cap was es tablished in 2005. The increase in bonding capacity is neededto fund the adopted capital program through FY 2012. With the current capitalprogram, the cap would be exceeded by FY 2010. The proposed legislation wasdelivered to MDOT on August 7, 2007 and is awaiting approval from theSecretary and Governor off ces.

    Ms. Donohue introduced Mr. Rufus Meyers who has joined the Autho rity'slegal team. Mr. Meyers will be handling real estate and environmen tal mattersfor the Authority.

    There being no further business, the meeting of the MarylandTransportation Authority was adjourned by general consensus, without objection,at 11 22 a.m.
