    A B )84 4A$ under the terms and conditions of the license granted to it by the $tateGo3ernment5 the G BCO is entrusted with the responsibility of e3acuation5 transmissionand distribution of power generated5 to be generated by b"#hermal Power $tation %Unit H1 & 2*+

    A B )84 4A$ in 3iew of the aforesaid license of the $tate Go3ernment5 the G BCOis reIuired to recei3e the full Iuantum of electricity %energy* generated and made a3ailableat the sub"station of #P$ %Unit H 1 & 2* through outgoing 22' ?@ lines emanating from

    #P$ and e3acuate and transmit the same through its own transmission and distributionsystem5 sub-ect to the stipulation in Clause 2 & ; hereunder+

    ow therefore it is hereby declared and agreed as follows.

    1+' #he installed capacity of b"#hermal Power $tation %Unit H 1 & 2* will be 62'() %2 21' ()*+ #he total a3ailable capacity will be fully allocated to theG BCO and the G BCO agrees to transmit and utilize the same through its ownsystem as detailed in $chedule 91 anne,ed hereto+

    2+' JOPGC shall not ma=e a3ailable to a third party any part of the capacity of #P$ or sell to a third party or consume for any purpose other than #P$5 any energy

    generated by #P$ during the term of this agreement e,cept with the G BCOFs prior written consentK+

    2+1 t is hereby declared and agreed that the G BCO shall recei3e and utilize power from b"#hermal power station without undue discrimination with the other sources+

    ;+' #he points of supply shall be outgoing terminals of 22' ?@ lines $witchgear at !"#hermal Power $tation feeding power to the G BCOFs outgoing terminals

    beyond the gantry for outgoing 22' ?@ feeders at #P$ for feeding power to theG BCOFs 22' ?@ lines+ (etering will be done at the C# C@# & other meteringinstruments for the outgoing feeders+

    6+' #wo sets of recording type electronic #ri3ector (eters with half hourly recording timeof the day %#OB* facility of '+2L class accuracy for measurement of ?)85?@A 8 & ?@A8 shall be installed by OPGC on each of the outgoing 22' ?@feeders of #P$+ One set of such meters shall be designated as (ain (eters and theother set shall be as Chec= (eters+ eadings recorded by the main meters shall beta=en for billing purpose sub-ect to the conditions stipulated for purpose of billing+#he meters shall constitute import and e,port meters+

    0+' All the main meters & chec= meters shall be test chec=ed e3ery Iuarter at the cost of OPGC+ 4ach meter shall be deemed to be wor=ing satisfactorily if the errors arewithin the specifications for such (eter of '+2L accuracy class+ #he consumptionregistered by the main meters will hold good for the purpose of billing as long asthe error in the main meters is within the permissible limit of error+ f correspondingchec= meter is beyond the permissible limits5 then the chec= meter shall becalibrated forth with+ ot withstanding the abo3e pro3ision5 on representation bythe G BCO5 the main and chec= meters shall be tested at any other time as well+ f the test results be within the permissible limits of error the meters should be deemedto be correct and cost of such testing shall be borne by the G BCO+

    :+' f during the Iuarterly test chec=s5 any of the main meters is found to be beyond permissible limits of error5 but the corresponding chec= meter is found to be within permissible limits of error5 then the billing for the month up to the date and time of thecalibration of the main meter shall be as per the chec= meter+ #here will be no re3isionin the bills for preceding months+ #he main meters shall be calibrated immediately and

    billing for the period thereafter until the ne,t monthly meter reading shall be as per thecalibrated main meter+ f during the Iuarterly test chec=s5 both the main meter and thecorresponding chec= meter are found to be beyond the permissible limits of error5 bothsets of meters shall be immediately calibrated and the correction applied to the

    consumption registered by the main meter to arri3e at the correct consumption of energy for billing purposes for the period of the month up to the time of calibration of the main meters+ !illing for the period thereafter until the ne,t monthly meter readingsshall be as per the calibrated main meter+ f when the monthly meter readings are ta=en5the difference between the main meter and the chec= meter e,ceeds '+2L5 then bothmeters shall be tested+ f the main meter and the chec= meter are both within theaccuracy specifications5 the main meters shall continue to be used+ f one of the metersis outside accuracy specifications the correct meter shall be used as main meter for themonth+ f both meters are outside the accuracy class of specification5 the meter readingsshall be ad-usted based on the a3erage corrected reading of each of the meters or asdetermined by mutual consent between the parties+

    ot"withstanding the e,istence of any dispute or difference referred to arbitration5the parties hereto shall continue performance of their respecti3e obligations under this agreement with due diligence+

    12+6 Amendment to Agreement. ot"withstanding anything contained in this agreement5 any amendment or modification regarding any clause before or after e,ecution of this agreement can

    be made by mutual agreement+ f both parties fail to reach an agreement5 the matter shall be referred to the $tate Go3ernment whose decision shall be final and

    binding+ J#he tariff calculations pertaining to this agreement is based on the principles and norms stipulated in the notification dated ;' th (arch 1//2 %asamended from time to time* of (inistry of Power5 Go3t+ of ndia+ Any changemade by the Go3ernment of ndia in the norms and principles of the said

    otification from time to time will be applicable to this AgreementK+

    1;+' Eorce (a-eure. o party shall be liable for any claim for any loss or damage whatsoe3er arisingout of failure to carry out the terms of this agreement to the e,tent that such afailure is due to force ma-eure on account of e3ent such as rebellion5 mutiny5 ci3ilcommotion5 riot5 stri=e5 loc=out5 forces of nature5 accident or Act of God+ Any

    party claiming the benefit of this clause shall satisfy the other party of thee,istence of such an e3ent+

    16+' mplementation of the Agreement.All discretions to be e,ercised and directions5 appro3als5 consents and notices to begi3en and actions to be ta=en under those presents5 unless otherwise e,pressly

    pro3ided herein5 shall be e,ercised and gi3en by the signatories to this agreementor by the authorized representati3e%s* that each party may nominate in his behalf and notify in writing to the other party+

    ot"withstanding any other nomination5 the General (anager of the !"#hermal power $tation or Beputy General (anager %Einance* in the OPGC5 CorporateOffice5 shall be authorized to act for and on behalf of the OPGC+

    #he Chief 4ngineer5 Commercial5 %Power Purchase & Power $ystem* of the$uperintending 4ngineer %Power Purchase 91* shall be authorized to act for and on behalf of the G BCO+

    All notices with regard to default or dispute relating to this agreement shall be inwriting and signed by the signatories to this agreement or by the authorizedrepresentati3e%s* as abo3e+ 4ach such notice shall be needed to ha3e been dulygi3en or sent by the party concerned5 if the notice is deli3ered againstac=nowledgement or is sent by registered mail with postage prepaid5 by or to thesignatories or to the authorized representati3e%s* at their respecti3e addresses+

    All disputes arising out of and relating to sub-ect matter of this agreement shall besub-ect to the -urisdiction of Orissa 8igh Court+

    SCHEDULE "I

    - . 5C ED72ING OF GENER0TION#he G BCO will schedule generation at the b"#hermal Power $tation %2 21'()+ Units 1 & 2* to operate it as a dispatchable station and will not allow load onany unit to fall to a le3el below :0L of Contracted capacity at the nterconnectionPoint where oil support may be necessary+ f the steady load on any unit is li=ely to

    be reduced to such a le3el on account of system conditions5 the G BCO5 unlessdictated otherwise by system security considerations5 will gi3e clearance to thePower $tation to shut down such unit%s* and will reschedule generationaccordingly+ 8owe3er5 if on account of low load demand5 below :0L of Contracted Capacity by G BCO 5OPGC has to ha3e higher oil consumption thanthe norms specified in $chedule 9 of this Agreement5 then G BCO will pay toOPGC for the Iuantity of e,cess oil thus consumed5 at actual+ #he Bispatch

    nstruction shall ensure that the number of hours of operation with oil support isnot in e,cess of 0'' hours for each unit during a financial year+#he minimum load of :0L has been assessed from the station parameters+

    1+1 Capacity otices .

    OPGC shall deli3er to G BCO a capacity otice not e,ceeding the rated capacityof the generating units under operation each day at 1'A+(+ on the day prior to therele3ant $chedule Bay containing the following information assuming that the system3oltage and freIuency are maintained as per +4+ rules+

    i* #he date and time that the Capacity otice is issued5ii* #he schedule Bay to which it relates+iii* Capacity of the #P$ for each $ettlement Period of ;' minutes throughout the

    rele3ant $chedule Bay %and where such Beclared+ Capacity changes5 the timeat which any change is e,pected to ta=e effect*+

    i3* #he capacity notice would include only the normal operating capacity of the

    unit+ O3erloading capability will be a3ailable during emergencies o3er andabo3e the declared capability sub-ect to technical limitations+

    1+2 e3ised capacity notice.)hene3er OPGC belie3es that any information it has pro3ided to G BCO in theCapacity otice no longer accurately reflects its e,pectations5 OPGC shall

    promptly deli3er to the G BCO Control Center a written notice %a J e3isedCapacity noticeK* re3ising that information prior to any (onitoring otice+ Are3ised Capacity otice shall contain the following information.

    %i* #he date and time that the e3ised capacity otice is issued+%ii* A reference to the pre3iously pro3ided information that is to be re3ised+

    JBeclared CapacityK for any $ettlement Period %;' minutes* shallmean the amount of electrical capacity5 e,pressed in () at the

    nterconnection Point5 which OPGC has most recently declared ina capacity otice or a e3ised capacity otice for that $ettlement

    period5 which OPGC e,pects could be deli3ered to G BCO if #P$ was fully loaded+ %#his may be re3iewed after finalization of

    operating procedures Grid code for Orissa $tate and or 4asternegional Grid+

    1+; ormal Operation

    a* Eor the purposes of establishing the net electrical capacity of #P$ and the reacti3e power deli3ered during any $ettlement Period %other than while #P$ or a Unit isresponding to a Bespatch instruction to increase or decrease load*5 such capacity andreacti3e power shall be based on the a3erage electrical capacity in () and of reacti3e

    power in (@A during such $ettlement Period+

    b* Eor any $ettlement Period5 outside the periods of monitoring5 a J$ingle PeriodCapacity EailureK shall ha3e occurred if the electrical capacity of #P$ measured at the

    nterconnection Point is less than /0L %/'L during first year of operation* of the netelectrical capacity which G BCO reIuested OPGC to maintain pursuant to thecurrently effecti3e Bespatch nstruction %other than while responding to a Bespatch

    nstruction to increase or decrease load*+

    c* Eor any consecuti3e $ettlement periods5 outside the periods of monitoring5 a

    JEour Period Capacity EailureK shall ha3e occurred if the a3erage o3er the four periods of the net electrical capacity of #P$ measured at the nterconnectionPoint is less than /:L of the net electrical capacity which G BCO reIuestedOPGC to maintain pursuant to the currently effecti3e Bespatch nstruction toincrease or decrease load+

    d* o indi3idual $ettlement period shall be included in both a $ingle PeriodCapacity Eailure and a Eour Period Capacity Eailure5 nor in more than one Eour Period Capacity Eailure+

    e* G BCO shall obser3e the #echnical imits in issuing Bespatch nstructions

    reIuesting #P$ to increase or decrease load+ Eor each settlement period duringwhich a unit is being loaded or deloaded5 a loading deloading failure shallha3e occurred if the a3erage increase decrease achie3ed during suchsettlement period is less than /'L of the increase or decrease that would ha3e

    been achie3ed if #P$ had followed the despatch instructions+ #he magnitudeof the loading deloading failure shall be eIual to the difference between thecapacity that would ha3e achie3ed following the despatch instruction and thea3erage capacity achie3ed during such period+

    1+6 (onitoringa* f5 when the $tation is despatched below the Capacity notice le3el5 G BCO may

    monitor #P$ or the rele3ant Unit in accordance with and sub-ect to the limits of this Clause 1+6+

    b* !efore monitoring5 G BCO shall issue a J(onitoring oticeK to OPGCidentifying the parameters it wishes to monitor+ o period of monitoring shallcommence earlier than thirty %;'* minutes after such (onitoring otice has beengi3en+ #he (onitoring otice shall+

    i* dentify the parameters to be monitored+ii* $tate the ma,imum period o3er which monitoring will occur for each

    parameter+ #he total period of monitoring shall not e,ceed four %6* hoursand

    iii* nstruct OPGC as to how it should operate #P$ or the rele3ant Unit for the purpose of demonstrating the identified parameter5 sub-ect to technicallimitations+

    c* G BCO shall ha3e the right to test the o3erloading capability of thegenerating units o3er and abo3e the capacity notice gi3en by OPGC+

    d* OPGC shall not be entitled to any additional compensation by reason of monitoring of #P$ or any Unit+

    e* o more than one (onitoring otice may be deli3ered by G BCO in a$chedule Bay unless the OPGC issues a re3ised Capacity otice after theconclusion of the period of monitoring++

    f* #he magnitude of such (onitored Capacity Eailure shall be eIual to theBeclared Gross Generator Capacity of the Unit minus the monitored grossgenerator capacity+ #he capacity established during monitoring5 if lower thanthe Beclared capacity5 shall be the A3ailable Capacity until such time a e3isedBeclared capacity becomes effecti3e pursuant to Para 1+2+

    1+0 Obser3ed Capacity

    Upon occurrence of any Eailure the Obser3ed Capacities of $ettlement Periodsaffected by such Eailure5 shall be computed as follows.

    a* f a $ingle Period Capacity Eailure has occurred5 the Obser3ed Capacity for the$ettlement Period in which it has occurred shall eIual to the net electrical capacityof #P$ measured at the interconnection Point during such $ettlement Period+

    b* f a Eour Period Capacity Eailure has occurred5 the obser3ed capacity for the four

    settlement periods o3er which it has occurred shall eIual a3erage net electricalcapacity of #P$ measured at the interconnection Point o3er the four $ettlement periods and would e,tend for the full day of failure+

    c* Eor the $ettlement Periods during which a J oading EailureK KBeloading EailureKhas occurred the obser3ed capacity for those settlement periods shall be thedeclared capacity less the magnitude of the loading deloading failure+

    d* f a (onitoring Capacity Eailure has occurred5 the Obser3ed Capacity for each$ettlement Period contained in the period of monitoring shall eIual the Beclaredcapacity for such settlement period minus the magnitude of the (onitored capacity

    failure applicable for three days prior to the monitoring or since the last monitoringwhiche3er is latter+

    generating units shall normally be maintained within '+70 lagging and leading power factor would be a3oided to the e,tent possible but machine could beoperated at leading power factor as per capability cur3e+ Gridco shall pro3ideadeIuate reacti3e compensation in the grid so as to =eep flow of reacti3e power inthe grid within optimum limits and thus maintain a 3iable profile under differentoperating conditions+ 8owe3er5 in case5 G BCO grid reIuire b" thermal power station to generate higher reacti3e power than as mentioned abo3e %1;' (@A per unit*5 G BCO shall compensate OPGC for conseIuent loss of generation in termsof the obser3ed generating capacity of the unit5 which shall be eIui3alent to one() for e3ery two (@A of reacti3e power generated abo3e the limits of generator capacity Cur3es+

    !* Unless associated with an immediate reduction in net electrical output of 0'L or more for any indi3idual $ettlement period5 a J$ingle period eacti3e Power EailureK shall ha3e occurred if the reacti3e power deli3ered by the generators5e,pressed in (@A and measured at the nterconnection Point5 is less than /'L of the reacti3e power which G BCO reIuested OPGC to maintain5 within the limitsof the Generator Capability Cur3es5 pursuant to the currently effecti3e Bespatch

    nstruction+ #he magnitude of the $ingle Period eacti3e Power Eailure shall bethe difference between the le3el of reacti3e power which G BCO reIuestedOPGC to maintain pursuant to the currently effecti3e Bespatch instruction andle3el of reacti3e power actually deli3ered in such $ettlement Period+

    C* Unless associated with an immediate reduction in net electrical output of 0'L or more for any four consecuti3e $ettlement periods5 a JEour period eacti3e Power EailureK shall ha3e occurred if the a3erage o3er the four periods of the reacti3e

    power deli3ered by !"#hermal power $tation measured at the nterconnectionPoint is less than /0L of the reacti3e power which G BCO reIuested OPGC tomaintain5 pursuant to the currently effecti3e Bespatch nstruction+ #he magnitudeof the Eour Period eacti3e Power Eailure shall be the difference between the le3elof reacti3e power which Gridco reIuested OPGC to maintain pursuant to thecurrently effecti3e Bespatch instruction and the a3erage le3el of reacti3e power actually deli3ered o3er the four $ettlement periods+

    B* o indi3idual $ettlement Period shall be included in both a $ingle Period eacti3ePower Eailure & a Eour Period eacti3e Power Eailure5 nor in more than one Eour Period eacti3e Power Eailure+

    4* f a $ingle Period eacti3e Power Eailure has occurred5 the Obser3ed Capacity for the $ettlement period in which it has occurred shall eIual the Beclared Capacityfor such $ettlement Period minus a number of () that is eIual to one"half themagnitude %e,pressed in (@A * of the $ingle Period eacti3e Power Eailure+

    E* f a four Period eacti3e Power Eailure has occurred5 the Obser3ed Capacity for

    computing A3ailable Capacity+ et A3ailability and 4lectrical output5 for whichnecessary metering shall be pro3ided and software be de3eloped by G BCO OPGC+ #ill such time5 computation will be done on the basis of the a3ailablemetering facility and sample calculation gi3e in $chedule 9@+

    a* Eor each $ettlement Period5 the JA3ailable CapacityF shall be eIualto the lower of the Beclared capacity or the obser3ed capacity %if any* stated by Gridco+

    b* #he J et A3ailabilityK with respect to any period of time shall bee,pressed as a percentage and shall eIual+ 1'' ACsp %$P CC*

    )here AC spM the sum of A3ailable Capacities for all $ettlement periodsContained in such period of time+

    $PM the total number of $ettlement Periods contained in such period of time+

    after these facilities are commissioned+ Alternati3ely if it is agreed to share the $system on a mutually agreed rental basis5 the same shall be passed on at actual toG BCO through 3ariable charges $i,ty percent %:'L* of the total Capital Cost for UnitsH 1 & H2 shall be adopted for computation of tariff till commercial operation of Unit H 2 of the $tation5 the total capital cost being adopted for such purpose when both units are in

    commercial Operation+

    f any part of the facilities created at b thermal Power $tation cost of which is included ins+1':' crores mentioned abo3e is transferred to any other agency for addition of more

    units at b#P$5 the cost of the pro-ect for the purpose of tariff will be reduced by anamount eIual to the 3alue recei3ed from such agency at that time+ $uch reduction will bemade from the eIuity capital of the pro-ect+ f part of the facilities included in the cost of Units 1 & 2 is used for e,tention of the plant by more units by OPGC itself5 cost of thee,isting plant will remain as such and only the incremental cost of additional plant will beadded to the cost of Units 1 & 2 for calculation of tariff for the combined plant+

    b* Capital cost of s+1':' crores ta=en for computation of tariff is sub-ect to appro3alof C4A+

    c* iIuidation of debt and eIuity through depreciation will be done according toclarification to be obtained from GO as mutually agreed by both parties+

    period to ad3ise OPGC of a substitute time5 OPGC may adhere to its scheduleof the $cheduled Outage%s* for the times started in such notice+

    JPrudent Utility PracticesK shall mean those practices5 methods5 techniIues andstandards5 that are generally accepted in ndia5 and commonly used in electricengineering and operations to design5 engineer5 construct5 test5 operate andmaintain eIuipment lawfully5 safely5 efficiently and economically as applicableto power stations of the size5 ser3ice and type of #P$S and that generallyconfirm to the manufacturerFs operation and maintenance guidelines+

    c* OPGC shall schedule $cheduled Outages only at times determined as aforesaid5 pro3ided howe3er5 that Gridco shall not reIuire OPGC to schedule $cheduledoutages in a manner or time which is outside the #echnical limits5 isinconsistent with Prudent Utility practices or the manufacturersFrecommendations or that otherwise5 in the reasonable -udgment5 of OPGC5ris=s damage to #P$5OPGC may reschedule such outage only due to a 3alidreason and any such date for rescheduling shall be fi,ed by mutual consent+

    d* otwithstanding the fi,ing of the time for a $cheduled Outage pursuant toClause 1+: of $chedule @5 Gridco may upon written notice reIuest to OPGC to

    pro3iding capacity and or energy to Gridco+

    f* Gridco shall use reasonable endea3ors to coordinate its maintenance programme for the interconnection Eacilities and the #ransmission Eacilitieswith the appro3ed $cheduled Outages so as to minimize any disruption to theoperation of #P$+

    g* )hen the need arises for a (aintenance Outage5 OPGC shall ad3ise Gridco of such need5 of a description of wor= reIuired and of the commencement andestimated duration of such wor= and Gridco shall allow OPGC to schedulesuch (aintenance Outage within a period of time reasonable under thecircumstances5 but in any e3ent at such time as would not cause #P$ to e,ceedthe #echnical imits or to be operated in a manner which is inconsistent with

    prudent Utility Practices+ OPGC may ad3ise Gridco orally of the abo3ematters and Gridco shall respond orally within twenty"four %26* hours of suchnotice+ Gridco and OPGC shall confirm such communication in writing withinse3en %

    iii* #he coordination of scheduled maintenance programmes+i3* #he coordination of forecasts or reIuirements from #P$+3* #he de3elopment of operating procedures+3i* $afety matters affecting both the Parties and their Contractors+

    3iii* Clarification of 4mergency plans de3eloped by G BCO or reco3ery from a local or widespread electrical blac=out+

    i,* e3iew and re3ision of protection schemes and de3icesS and

    ,* Any other mutually agreed matter affecting the operation of #P$ and theG BCO Grid $ystem including re3iew of the operating parameters5 despatchlimits etc+

    b* #he Coordinating Committee may agree upon procedures for the holding of meetings the recording of meetings & the appointment of sub"committees+ #hechairmanship of the coordinating Committee shall rotate each year between theParties5 and the parties agree that the first chairman shall be nominated byG BCO+

    c* n case of matters not resol3ed by consensus %unanimous agreement of the parties*+#he coordinating Committee or either party may refer the matter referred to inClause %a* to the Chief e,ecuti3es of G BCO and OPGC for further considerationand resolution+
