Rules and Protocols Committee Update The Rules and Protocols Committee has finalised a draft of the proposed Second Accord. This document is an agreement between the ADVOC Chapters and would supplement the two Agreements entered into as approved at the Joint Meeting in Beijing in 2009.

The Committee has circulated throughout the Network a copy of the draft Second Accord together with a memorandum, which summarises the effect of the draft Second Accord. The Committee hopes that each of the Chapters who are holding meetings over the next few months will consider the draft Second Accord with a view to offering any comments and suggestions no later than the end of the year.

The intention is then for the Committee to finalise an amended draft Second Accord for final adoption by Chapters at their respective meetings during the Joint Conference in Boston in May, and then for approval by the Joint Meeting itself such that the Second Accord would take effect from the Boston Joint Meeting.

The Committee would be pleased to receive any queries or comments from any member of the Network regarding the draft Second Accord.

The Committee expects to meet during the ADVOC Europe Open Board Meeting in Milan in October.

Mindaugas and Dinu came forward with the Embassy initiative, and Matvey suggested standardised video conferencing. Details of both these initiatives have been added to the extranet. Europe Open Board Meeting, Milan, 5-7th October, 2012

Latin America Meeting, Buenos Aires, 25-27th October, 2012

Gárdos Füredi Mosonyi Tomori Law Office Celebrates 20 Years in Business

We are happy to announce that our law office celebrated its 20th anniversary in June 2012. We established the office with the intention of providing high quality, personalised legal services in the field of banking law, insurance law, capital market and securities law. The anniversary was celebrated by a seminar organised for our clients where Ádám Farkas, the Executive Director of the European Banking Authority held a presentation on the current status and the prospects of financial integration in Europe. The seminar was a great success, some 100 clients attended and we received many satisfied reactions and congratulations from the participants.

JianZhong Law Firm held the Second National Forum of Special General Partnership Law Firms. The Forum took place on July 6, 2012. Participants included the officials from Ministry of Justice, the vice-president from All China Lawyer’s Association, and partners from 21 Top-tier Chinese law firms.

On 1st July, Stephen Williams took over the role of Managing Partner from Tom Darbyshire, who now assumes the role of Partner in charge of Business Development.

Stephen was also recently appointed as the Australian Insurance Law Association (AILA) State President for Western Australia. Before becoming a lawyer, Stephen was a commissioned officer in the Royal Navy and also served in the UK Police (ideal qualifications, some might say, for the role of a Managing Partner).

Norman Waterhouse Local Government Conference 2012

The 10th of August saw over 230 representatives from South Australia’s 68 Local Government Councils attend the Norman Waterhouse Annual Local Government Conference. The Conference, held at the Crowne Plaza Adelaide, received overwhelmingly positive feedback from attendees, which confirms the event’s position as an important fixture on the South Australian Local Government calendar.

This year’s Conference provided 15 themed presentations on a wide range of topics from the firm’s four local government teams, including industrial relations, governance, planning and property. Important topics included water industry reform, recent developments in town planning and a discussion of the possible impact of the proposed ICAC (Independent Commissioner Against Corruption) legislative scheme on local government. The event is the largest of its type in South Australia and had three streams running simultaneously.

Many of the sessions were interactive and therefore provided a forum for discussion about major issues confronting local government and the best way to approach them. In many cases the questions from the attendees also generated good discussion among attendees from a variety of local government councils, both metropolitan and regional. The Conference further consolidates Norman Waterhouse’s reputation as South Australia’s premier law firm in the local government area.

It is with great sadness that we take the time to remember our dear friend, colleague and ADVOC Board Member, Lars-Gunnar Karlerö, who sadly passed away on Monday July 2, 2012.

Latin America Meeting, Panama, 12-14th July 2012

Twelve ADVOC LA members firms attended 2012 ADVOC LA’s Extraordinary General Assembly in Panama City, Panama, hosted by Patton, Moreno & Asvat. Working sessions were held at Le Meridien Hotel.

On 12 July, Patton, Moreno & Asvat hosted the members to a welcoming cocktail at their offices in the exclusive business area of Costa del Este.

During the sessions, members exchanged ideas on the current international economic outlook and ADVOC LA’s future, with new members firms for Uruguay and Bolivia being approved.

The members also enjoyed interesting presentations from senior representatives of the Panama Canal Authority and the Master Developer of the area about the status of the Canal expansion project and its impact on global trade and also, on the advantages of the Panama-Pacifico Special Economic Area from. The working session concluded with an exquisite dinner held at the Las Clementinas Restaurant in Casco Viejo (Old City).

On Saturday morning, the members visited Casco Viejo – Old City, The Causeway and Miraflores Visitors Center – Panama Canal Locks in company of host firm Founding Partner Ebrahim Asvat and Partner Ivette Martinez.

Over four days in May, around 100 delegates from ADVOC member firms and some family, visited Stockholm and Karlerö Liljeblad Advokatbyrå. On Wednesday evening at the KLA offices we held a cocktail party which, for some reason (!) ended very late.

On Thursday the delegates learnt – among other things - that Stockholm is the capital of Scandinavia, to the surprise of some participants from Denmark and Norway. On Friday we had a tour of lake Mälaren and visited the residence of the Royal family. In the evening we tried to teach our guests to sing a snapsvisa (a drinking song). The gala dinner took place on Saturday evening at the Concert Hall, the same venue as the Nobel Prize award ceremony.

Everyone at KLA enjoyed hosting the AGM 2012 and we hope that you all had a good time together.

John Rochman speaks at New York State Bar Association Conference in Lisbon

We have started looking into sponsorship of the ADVOC website in response to an idea from a member.

However, after reviewing our website statistics, we only gained 1,418 views in August (Ashfords had 13,785 views in the same time) meaning that it is unlikely that we will gain any interest.

In order to encourage sponsors we need to ensure that our website is being viewed and updated as much as possible. So please:

1. Regularly send information and news from your firms for the ADVOC website;

2. Set the ADVOC website as your homepage to get more hits; and

3. Like us on Facebook and follow us on Twitter @advocweb and interact as much as possible.

Tamara will also:

1. Update our list of Website Reps, so that there is a point of contact at every firm;

UK Government restricts the right to settle in the UK

In order to reduce migration from outside the EU, the UK Government is implementing changes to restrict the right of settlement. Employees’ right to settle is an important consideration for many employers operating in the UK, and to employees who want to move to the UK to work without restriction.

Skilled workers may enter the UK under the points based immigration system if they are either transferred to a UK office of an overseas company (Tier 2, Intra-company transfer) or recruited directly by a UK company (Tier 2, General). Those entering as Tier 2 Intra-company transfers are prohibited from settling in the UK. Those entering under Tier 2 General, may settle after 5 years. From April 2016 they must earn at least £35,000 per year.

There are other routes to settlement. Those starting or taking over a business may enter under the “Entrepreneur” category of Tier 1. They must invest £200,000, employ 2 settled workers, meet English language requirements and support themselves financially. We recently advised a Japanese client who did not meet these English language requirements to apply instead under the “Investor” category of Tier 1. He could do this as he could demonstrate that he had £1 million to invest in the UK. Entrepreneurs and Investors can apply for settlement

after five years (although the period is reduced for those investing large sums).

The trend is for the rules to become stricter so we advise clients to apply for settlement as soon as they become eligible.

Private bonds issue - alternative way of financing

The Czech Parliament passed an amendment to the Act on Bonds which, inter alia, introduced the possibility of private bonds issues, i.e.

issues of bonds that are not offered to the public. This possibility creates an interesting alternative for financing of businesses.

According to the new regulations, any person or entity (i.e. even a sole trader) that makes available issue terms of the bonds to the investors, no later than on the day of the issue, is allowed to issue bonds. Unlike public bond offerings, private issue of bonds is not subject to supervision of the capital markets regulator, the Czech National Bank (CNB). In particular, in the case of a private issue of bonds, the issue terms need not be submitted to the regulator for prior approval.

The amendment came into effect on 1 August 2012.

Thai-Australia FTA: Australian Investors Can Take Advantage of Special Privileges in Holding the Majority of Shares in Thai Companies

Under Thailand’s Foreign Business Act B.E. 2542 (1999) (“FBA”), a foreign individual or juristic person (in which a majority of shareholders are

foreigners) is not allowed to operate certain restricted businesses in Thailand, unless they obtain a foreign business license in order to operate such restricted businesses under the FBA. Typically, the process for obtaining a foreign business license is quite complicated and lengthy. However, there are certain Free Trade Agreements such as the Thailand-Australia Free Trade Agreement (“TAFTA”) which exempts Australian citizens or juristic persons (in which a majority of the shareholders are Australian citizens) from the requirement of a foreign business license to engage in some of the restricted business activities under the FBA.

Foreign business certificates under TAFTA are generally issued to those qualified Australian investors, who invest in large businesses that require substantive investment, such as in large hotels and resorts, restaurants and mines. They are also issued to those engaging in the specific service businesses of auditoriums, international exhibition centers, higher education institutions of science and technology, aquariums, amusement parks or zoos. Qualified Australian investors will be able to hold up to 60% of the share capital in a Thai incorporated company that engages in the aforementioned businesses. Qualified Australian investors can also hold up to

100% of the share capital of a Regional Operating Headquarter, businesses that engage in construction of infrastructure or in the distribution and installation of products produced by Australian juristic persons incorporated in Thailand.

New Labour Code enters into effect in Hungary

A new labour code, causing significant changes to employment relationships, entered into force on 1 July 2012 in Hungary. A number of provisions have been made to the

rules that include leave, sick leave redirection or delegation. It is important to note however that this shall only be applied from 1 January 2013.

In accordance with the new rules, the employment contracts may contain in a wider circle provisions detrimental to the employee and favourable for the employers. As the new code shall also be applicable to the employment relationships existing at the time of its coming into effect, labour contracts, information materials, other agreements and rules and regulations have to be harmonised with the new labour code.

Owning UK Immoveable Property after April 2013

For many years it has been the practice of foreign nationals who wish to own real estate in the UK to acquire it through an offshore company. This had certain benefits and also protects the property from Capital Gains Tax and stamp duty land tax (UK tax on the value of documents dealing with land.)

From April 2013 the UK Government are proposing to introduce an annual charge on companies which own UK real estate. The charge is based on the value of the property. If the property was worth £2 million or more in April 2012 then there will be a minimum charge of £15,000. The charge rises depending on the value of the property and a property worth £20million or more will pay £140,000 each year. The charge increases each year in line with UK inflation. Every five years the property will have to be revalued for the purposes of the charge.

In addition from April 2013 if a foreign company or trust sells a company containing UK real estate any gain on the sale of the property will be charged to Capital Gains Tax.

Package of reforms of Australian Maritime Law comes into effect

In our recent edition, CBP Shipping News - July 2012, we discussed the Australian Federal Government’s package of reforms of Maritime Law. The following reforms came into effect on 1 July 2012:

• The Coastal Trading (Revitalising Australian Shipping) Act 2012;

• The Coastal Trading (Revitalising Australian Shipping) (Consequential Amendments and Transitional Provisions) Act 2012;

• The Shipping Reform (Tax Incentives) Act 2012 together with amendments to the Income Tax Assessment Act 1997, the Income Tax Assessment Act 1936 and the Taxation Administration Act 1953; and

• Amendments to the Shipping Registration Act 1981 to establish the Australian International Shipping Register and the Australian General Shipping Register, together with consequential amendments being made to the Australian Maritime Safety Authority Act 1990, the Marine Navigation (Regulatory Functions) Levy Collection Act 1991 and the Navigation Amendment Act 2011.

Navigation Act being modernized to reflect contemporary maritime industry practice

The Navigation Bill 2012 was also introduced into federal parliament on 24 May 2012, the centenary of the original Navigation Act.

As described by the Minister in the Second Reading Speech, the bill is essentially a re-write of the Navigation Act 1912 and is intended to reflect contemporary maritime industry practice and to eliminate archaic and redundant provisions from the original Act.

The bill also introduces a civil penalty regime, which expands the range of regulatory options available to the regulator for breaches of the legislation and allows for the development of an infringement notice scheme in regulations.

New Zealand Company Law Changes

The New Zealand Government is tightening requirements around directors and company registration by introducing the Companies and Limited Partnerships Amendment Bill (“Bill”). The Bill has passed its first reading in Parliament and has now been referred to the Commerce Committee for consideration.

The aim of the Bill is to increase confidence in New Zealand’s company regulation and financial markets. All New Zealand-registered companies will be required to have either at least one New Zealand resident director, one director living in an “enforcement

country”, or local agent. An “enforcement country” is a country to be specified in the legislation which can enforce New Zealand judgments imposing criminal fines under relevant legislation. The government is also proposing similar changes for Limited Partnerships.

Currently under the Companies Act 1993 (“Act”), a company must have a physical New Zealand address for its registered office, but it is not necessary that any company director be based in New Zealand.

Under the Bill, resident directors or agents will be personally liable if companies breach their filing requirements under the Act. The Registrar will be able to remove a company from the register or prohibit a director from acting for up to five years if it is found that they have breached companies related legislation or if they have been misleading in any way.

New powers of enforcing judgements in accordance with 2007 Lugano Convention in Ireland

With the enactment of the Jurisdiction of Courts and Enforcement of Judgements (Amendment) Act 2012, the Irish High Court will now recognise

and enforce judgements in civil and commercial matters from the signatory countries to the 2007 Lugano Convention. Judgements in Swiss, Norwegian and Icelandic courts may be enforced directly in Ireland on foot of an application to the Master of the High Court.

The Act streamlines the process whereby the applicant submits an original or certified copy of the judgement along with a certificate from the State where the judgement was given. Once the requirements of the Convention are met, the judgement will be declared to take effect as if it was an Irish High Court judgement.

Both Switzerland and Norway are among Ireland’s largest trading partners outside the EU and the US. This new legislation provides a speedier and less restrictive mechanism of enforcing judgements from these countries and will assist in further developing cross border commercial interaction between the EFTA countries and Ireland.

Real Estate Practice Group

Group Co-ordinator: Giulia Comparini [email protected] The Real Estate Practice Group has held its second meeting during the last AGM in Stockholm. It

was a good success as thirteen lawyers attended the meeting. After a brief introduction of each participant on his/her areas of practice, the discussion focused on the exchange of work and referrals among members. As a result, it was acknowledged that some members had already successfully referred other member firms to their clients on subjects related to real estate matters.

During the meeting, it was also discussed the possibility to split the Real Estate Practice Group into two different groups dealing, respectively, with “residential” real estate and “commercial” real estate, due to the peculiarities of these two different areas of practice in each legislation. However, as most of the participants attending the meeting were practicing in both fields, it was decided, for the moment, to keep both areas in the same Practice Group and to postpone any decision on this after having conducted an enquiry with all Real Estate Practice Group members. Finally, as a way to expand the knowledge of ADVOC within the clients and to render more concrete the cooperation among member firms, it was launched the idea of preparing a booklet to be handed out to clients containing the main guidelines for investors on real estate in the different jurisdictions covered by our network. As such proposal received different reactions, it was decided to submit also this matter to all group members.

Insolvency and Restructuring Practice Group

As we discussed in our first telephone conference, we intend to make the Insolvency Practice Group (IPG) a useful forum for exchanging ideas and information such as news, legal updates and similar issues in the insolvency world. We are experiencing more and more cross-border issues in both personal and corporate insolvency. For that reason alone, a global network of known and trusted contacts would be useful to us all in referring work between ourselves, and to enable us to refer clients with a range of legal issues. The wider ADVOC network does this successfully but given the various challenges most global jurisdictions presently face, the IPG is an ideal opportunity to identify and maximise such opportunities between ourselves. With that in mind, I will be attending the INSOL Europe Conference which is taking place on the 11th - 14th October 2012 in Brussels, Belgium. If any of you or your colleagues will be there, please let me know as it will be a useful opportunity to meet and catch up in person. I will arrange a second IPG conference call after the INSOL conference has taken place. I will send out details nearer the time, please let me know if you wish to join in. Tax Practice Group

The next Tax Practice Group meeting will be during the Open Board Meeting in Milan on Saturday, 6th October 2012, at 5.30 p.m at the Hotel de la Ville. Anders Hedetoft (coordinator) and Sabine Unkelbach-Tomczak (deputy coordinator) will be attending the meeting.

Our agenda will be to discuss and focus on the following subjects:

1. Networking (completing member lists, interests of the members);

2. Discussing and deciding if we should work in Europe only or globally;

3. Planning further activities of the group (shall we aim at professional seminars, keeping each other updated

via a LinkedIn group, telephone conference, newsletter, etc ?);

4. Finding a date and a location for a seminar – in addition to ADVOC meetings in spring and autumn;

5. Completing the list of ‘Practice areas of the ADVOC Taxation Practice Group’ (could also be done before the

meeting via e-mails) in order to put it on the ADVOC extranet website;

6. Building up a list with all kinds of tax in each country where we have ADVOC law firms. This list can be put

on the ADVOC extranet website for internal use only;

7. Making a list for each country (Europe, France, Germany, Romania etc.) with the forms and documents,

which the local tax offices ask for allowing tax exemptions within the EC. The lists will be put into the

ADVOC Extranet; and

8. Developing a data base with information on the number of clients a member law firm has in the other EC

countries. The numbers can be mentioned but not the names of the clients. . For example, a client of (...

area of business) in Germany has three subsidiaries in Romania and two in France.)
