The case we are writing about today deals with a public works project where a contract was entered into for 1.64 mil- lion dollars. In this case, the contractor was awarded attorney fees even though there was no attorney fees provision in the contract (which is usually the case with public works projects). Mepco Services Inc. (Mepco) entered into a contract with the Saddleback Val- ley Unified School District (Saddleback) on a school renovation project. Mepco based its bid on plans that were provid- ed by an architectural firm that Saddle- back hired. There was no attorneys fees provision in the contract. However, as part of the contract, Mepco was required to furnish a surety bond to cover 100 percent of the contract price. The per- formance bond that Mepco obtained included an attorney fee provision. The contract stated that the work was to be completed within a specific time frame, and if it was not, Mepco would be liable for liquidated damages at $1,000 per day if work was not complete. Shortly after work began, there were many change orders and delay dam- ages due to inadequate plans and drawings from the architect as well as Saddleback’s failure to timely approve and pay for the change order work. The parties disagreed as to whether Mepco was entitled to be paid for the addition- al work even though Saddleback repre- sentatives told Mepco to continue with the additional work. Mepco sued Saddleback for breach of contract and Saddleback filed a cross- complaint for liquidated damages due to Mepco’s delay in completing the project. Contractors May Be Entitled To Attorneys FeesThrough Performance Bond

Our office has always said that defend-ing a case can be very expensive. As a matter of fact, if your claim is slightly above the limits of small claims court, it is often a wise decision to reduce your claim and take the case to small claims. The case we are writing about today deals with a public works project where a contract was entered into for 1.64 mil-lion dollars. In this case, the contractor was awarded attorney fees even though there was no attorney fees provision in the contract (which is usually the case with public works projects). Mepco Services Inc. (Mepco) entered into a contract with the Saddleback Val-ley Unified School District (Saddleback) on a school renovation project. Mepco based its bid on plans that were provid-ed by an architectural firm that Saddle-back hired. There was no attorneys fees provision in the contract. However, as part of the contract, Mepco was required to furnish a surety bond to cover 100 percent of the contract price. The per-

EMPLOYEE SAFETY RESPONSIBILITIES

California employers are responsible for maintaining a safe work place and adopting an Injury and Illness Prevention Program (IIPP) to protect workers from job hazards. But employers are not the only ones responsible for safety on the job – California workers have responsibilities for maintaining a safe workplace as well. Do you know your safety responsibilities?

Know and follow all of your employer’s health and safety rules such as safe work practices and standard operating procedures. Be familiar with the Cal OSHA safety requirements that regulate your industry. These regulations and guidelines are designed to educate and protect you from hazards and injuries on the job. Know the emergency and evacuation procedures and the location of emergency equipment on your jobsite; clear thinking and immediate action in an emergency can save lives.

Attend all of the safety training that your employer offers. Training helps you identify job hazards and take the appropriate precautions to protect yourself and co-workers. Never operate equipment unless you have been properly trained. Read and understand the material safety data sheet (MSDS) and know the hazards and safe work practices for all of the chemicals that you work with. If you have a question about equipment, a chemical, or a process, ask your supervisor – taking a chance at work can mean taking a chance with your life.

You are responsible for the safety of your own actions while on the job. Conduct yourself professionally and with your mind on your own safety and the safety of others at all times; the workplace is no place for horseplay or lack of attention. Serve as a good role model to co-workers for safe work practices and behavior. Maintain your personal work area and common areas in a clean and orderly manner; good housekeeping means a safer workplace. Always wear the appropriate personal protective equipment (PPE) required for your job tasks.

Talk with your supervisor about safety. If you have a suggestion to make a process or equipment safer, speak up! No one knows your job and tools better than you. Immediately warn co-workers and notify your supervisor of any malfunctioning equipment, hazardous conditions, and unsafe behavior in the workplace – someone’s life may depend on it. All accidents and near-misses should also be reported to your supervisor because investigating these incidents can lead to a safer environment. If you have a job-related injury or illness, promptly report it to your employer and seek appropriate treatment.

Kalb’s Capitol Connection Q & A for ContractorsBy David Kalb & Shauna Krause, Capitol Services, Inc.

Changes in ‘limited’ specialty licensing in CA has created ‘unlimited’ numbers of relevant ques-tions for contractors. In sharing his disturbing story another contractor will discover there are still a few good options open to him… Q: I was checking the CSLB website for informa-tion on the “C-61/D-51”, classification. It’s show-ing: “D-51” - Waterproofing and weatherproofing -- under relevant class. Do you know what the “relevant class” is? A: The “D-51” (waterproofing and weatherproof-ing) was a “C-61” (limited specialty) category eliminated by the CSLB a number of years ago. This work now falls under any of several classifi-cations, depending on the specific project you’re doing. The “relevant” classifications are “C-39 (roofing), “C-33” (painting), “C-29” (masonry), or “C-54” (tile). Therefore, if the waterproofing/weatherproofing you’re doing relates to roofing, you’ll need a “C-39”; if painting is your specialty, you’d need the “C-33”, and so on.

Q: Do you have any experience dealing with the CSLB relating to certification of electricians? I was trying to get some idea on what kind of enforce-ment action is typically taken and what penalties might be expected for non-compliance.

A: According to the 2012 License Law and refer-ence book, “Upon referral by the Chief of the Di-vision of Apprenticeship Standards (DAS) alleg-ing a violation under this section, the Registrar of Contractors shall open an investigation”. The Registrar may also initiate an investigation and disciplinary action on his own.

We’re knowledgeable about the history of these certifications through the DAS but have not di-rectly handled any. The CSLB only gets involved as it relates to enforcement actions for “C-10” contractors that do not comply. Enforcement of this certification is relatively new for the CSLB and we’re not aware of any stats regarding how often the CSLB has taken action for non-compli-ance and what penalties, if any, have been lev-ied.

Q: Thanks for what you do with the industry! I have three questions.

1. We recently had to downsize and lay off all our employees. If I’m the only employee, can I hold a license, be incorporated and not have Worker’s Compensation Insurance?

2. Can I switch my Responsible Managing Offi-cer (RMO) status to a new and different corpora-

tion and still keep all my classifications? The new corporation would be an “S” or a “C”, if that made any difference. And again the same insurance question if I’m the only employee on this new company.

3. Finally, is there a form to file if I have no em-ployees?

A: Thank you for the kind words. We’re sorry to hear you’ve had to lay off your employees.

If you’re the only Officer (and employee) on a corporate license as well as the Qualifier, you can hold the license without needing Worker’s Compensation. This would be true for your exist-ing company or “new and different” corporation (“S” or “C”). The form you’ll want to file with the Board is the “Exemption from Workers’ Compen-sation”.

in their cross complaint since it was the perfor-mance bond surety. Saddleback contended that Mepco was to blame for the project delays and therefore Saddleback was entitled to liquidated damages and sought attorneys fees pursuant to the bond. The trial court found in favor of Mep-co. Mepco then asked for attorney fees which the trial court granted. Saddleback appealed the decision, but the appel-late court affirmed the decision of the trial court. Since Saddleback brought in the Surety and sought enforcement of the bond on its counter claim, then Mepco was entitled to attorney fees on the bond. It was Saddleback that invoked the bond by raising it in its cross-complaint. Mepco argued that even though the contract did not allow for attorneys fees, the performance bond that Mepco was required to obtain was part and parcel of the agreement. The courts agreed that when you have a performance bond and a con-tract that they become one.

Project Description: The Betteravia Administration Building “D” Addition project will construct a single story approximately 2,000 SF addition to the existing County Administration Building on the Betteravia Government Center Campus in Santa Maria, CA. Additionally, existing Board of Supervisors Hearing Room and Administration Building “D” will receive some minor tenant improvement efforts and site improvements. The project has an estimated construction value of $800,000.00 and estimated construction duration of 7 months. The project schedule will be extremely critical as this project utilizes federal RZEDB funding which includes a firm expiration date. The Contractor will be expected to maintain the project schedule and delivery dates as defined within the contract documents.

The new addition and renovation will include the following elements:• New lobby/ reception area, public restrooms, staff office and facilities support space.• The existing Building “D” renovation work consists of wall reconfiguration, entryreconfiguration, ceiling improvements, lighting improvements, and various room finishes including flooring.• Site Improvements including, concrete walkways, landscaped areas, ADA improvements to paved parking lot, utilities re-routing to support the new addition.• Additive Alternates including tenant improvement options and material upgrades.

Unlicensed Operators

Like legitimate contractors, unlicensed operators sometimes use advertising to find new clients. Ads without license numbers or with numbers that are not issued by the CSLB are frequently used by the Board to identify sting targets.

The CSLB and other enforcement agencies use two sections of the law—B&P Sections 7027.1 and 7099.10—to take legal action against unlicensed contractors and, on occasion, against licensed contractors who advertise illegally.

If an unlicensed operator advertises as a contractor in a telephone directory, and if an investigation determines the entity doing the advertising is unlicensed, under B&P Section 7099.10 (a), the Registrar can issue a citation for a fine or other civil penalty assessment. The citation will also include an order of correction that requires:

any phone number in the unlawful ad and to not refer subsequent calls to any new number obtained by that person. If the order of correction isn’t made, the Registrar can have the Public Utilities Commission disconnect the phone service.

If you believe that an unlicensed contractor is actively working on a construction project, contact the CSLB at 1-800-321-CSLB (2752) or fill out a “SWIFT Lead Referral” form, which is available on the CSLB Web site, www.cslb.ca.gov.

Unlicensed Operators

Like legitimate contractors, unlicensed operators sometimes use advertising to find new clients. Ads without license numbers or with numbers that are not issued by the CSLB are frequently used by the Board to identify sting targets.

The CSLB and other enforcement agencies use two sections of the law—B&P Sections 7027.1 and 7099.10—to take legal action against unlicensed contractors and, on occasion, against licensed contractors who advertise illegally.

If an unlicensed operator advertises as a contractor in a telephone directory, and if an investigation determines the entity doing the advertising is unlicensed, under B&P Section 7099.10 (a), the Registrar can issue a citation for a fine or other civil penalty assessment. The citation will also include an order of correction that requires:

any phone number in the unlawful ad and to not refer subsequent calls to any new number obtained by that person. If the order of correction isn’t made, the Registrar can have the Public Utilities Commission disconnect the phone service.

If you believe that an unlicensed contractor is actively working on a construction project, contact the CSLB at 1-800-321-CSLB (2752) or fill out a “SWIFT Lead Referral” form, which is available on the CSLB Web site, www.cslb.ca.gov.
