1. Call to Order. Susan Brick called the meeting of the NPGF Scholarship Committee to order at

10:07 am. The following committee members were present:

2. Susan Brick provided welcoming remarks and thanked the Minnesota Propane Association for

sponsoring refreshments for the meeting. There were self-introductions of committee

members and guests, followed by an ice-breaking activity. Additionally, she encouraged

members to complete provided forms to be used to compile a committee directory.

3. Approval of Minutes. The Scholarship Committee

VOTED UNANIMOUSLY TO APPROVE THE MINUTES OF THE JUNE 19, 2017 MEETING.

4. Staffing Changes. Susan Brick altered the agenda order to allow NPGA President & CEO Richard

Roldan the opportunity to address changes in staff as they relate to the foundation. He

informed the group that Joanne Casey will no longer be managing the foundation, though she

will still be employed by the association in other capacities. He mentioned that Brian Dunlap

would continue to manage the financials of the foundation while Peter Ferrell would now assist

in fundraising and development. He concluded that a search for a part-time employee to

manage and administer the foundation was currently underway.

5. Membership Report. Nancy France gave the membership report, noting that the Scholarship

Committee had 60 members as of September 29, 2017.

6. Scholarship Report. Rosie Buschur gave the scholarship report, noting that the application period

for the current scholarship year had opened on September 15, 2017. This new start date reflects

a change to the foundation’s rules and procedures.

7. Financial Report. Brian Dunlap provided a summary of the NPGF’s current financial condition. He

also highlighted the recent changes to the foundation’s investment strategies, which were

approved by the NPGF’s Board of Trustees at its meeting on August 3, 2017.

a. Corporate Partners Program. Under the foundation’s Corporate Partners Program,

member companies of NPGA who provide a monetary contribution should not be

solicited for additional contributions or gifts, such as for the Silent Auction. Brian

Dunlap provided a current list of corporate partner companies to the Scholarship

Committee. However, he noted that if employees from these partners voluntarily offer

up additional resources, they would be accepted.

b. Finance Tutorial. Brian Dunlap invited interested committee members to attend a

tutorial session on the scholarship foundation’s finances immediately after the meeting.

8. New Business:

a. Suburban Propane / Ferrellgas Withdrawal. Susan Brick informed the Scholarship

Committee that Suburban Propane had recently withdrawn its membership in NPGA and

as a result, scholarship applications from that company would no longer be valid. It was

further noted that Ferrellgas had strongly indicated that it too would withdraw its

membership in the association in the near future. Such an action would put applicants

from that company in the same nullified situation.

She also informed the Scholarship Committee that the Steering Committee had approved

a motion to draft and send a letter, in consultation with the NPGA Executive office, to the

Suburban Propane executive thanking the company for its support over the years,

emphasizing the value of the NPGF, including the number children who have received

scholarships in the past, and explaining how future applications from their employees’

children will be handled. The letter will also indicate that the company’s named

scholarship will be awarded as an at-large scholarship. A similar letter will be sent to

Ferrellgas if they withdraw from the association.

b. Revisions to Scholarship Committee Rules and Procedures. Becky Earhart highlighted

revisions to the foundation’s rules and procedures with regards to the Roy Willis

Scholarship Award and the “dependent” requirement for all scholarship applicants. On

August 7, 2017, the Board of Trustees approved these revisions contingent on the

approval by the Scholarship Committee. These revisions were approved via electronic

ballot on August 29, 2017.

c. Revisions to Selection Committee Rules and Procedures. Becky Earhart presented to

the Scholarship Committee recently approved changes by the Steering Committee to

the Selection Committee’s rules and procedures. The first change amends language in

Section 2/Application Process/Application Method: from “opens on August 15” to

“opens on September 15.” The second change is to the layout and description of the

selection process contained in the Appendix. The selection process outline was

redrafted in order to be more easily understood by Selection Committee members.

d. Definition of Child. The Scholarship Committee discussed at length the appropriate

language for how “child” is to be defined within the selection process. It was noted that

the issue of what defines a “child” had not been challenged by an applicant and that the

committee was discussing the topic in order to be proactive. There was also concern

that preemptively defining “child” without cause or legal review could create future

problems. A motion was made to table the discussion on the definition of “child” until

the topic was researched and legally vetted. The Scholarship Committee

VOTED UNANIMOUSLY TO APPROVE THE MOTION TO TABLE THE DISCUSSION.

9. New Business. Silent Auction. Ann Weidie announced that the Silent Auction would be

promoted at Tuesday’s NPGA Board of Directors meeting on October 3, 2017. She and other

Scholarship Committee members would be requesting voluntary contact information from

Board members interested in donating an item for the auction, scheduled to take place at the

Winter NPGA Board of Directors meeting in 2018. Staff and volunteers would follow up with

those individuals who provide information.

10. Notification of Next Meeting. Susan Brick stated that the next meeting of the NPGF Scholarship Committee will be held on Monday, February 12, 2018 in Santa Barbara, CA in conjunction with the 2018 Winter NPGA Board of Directors meeting.

11. Adjournment. There being no further business, the Scholarship Committee adjourned at 11:27

am.

REPORT OF THE NPGF SCHOLARSHIP FUND COMMITTEE

Susan Brick, Chair and Becky Earhart, Vice Chair The following report summarizes committee and staff activities.

Activities and Actions from October 2017 through January 2018

As of January 22, 2018, 318 applications have been submitted for the 2018-19 school year with 119 completed. Those starting applications are down 27% compared to last year. However, it should be noted, that the on-line applications were open 30 days more last year in comparison to this year. Staff continues to increase its promotion to encourage more applications before the February 15, 2018 application deadline. Of the 92 students receiving awards in the 2017-18 academic year, three students did not receive their 2018 Spring Semester checks. One student withdrew for the semester, one student’s GPA did not meet the 2.6 minimum GPA, and one student unexpectedly graduated early in December 2017. Ten students will graduate in May 2018. We wish them all great success in their promising futures. Lori Dec joined NPGA staff as the Scholarship Foundation Coordinator on November 13, 2017. Lori has spent virtually her entire career in association management with the last 17 years in scholarship programming. We welcome Lori and look forward to putting her experience to good use at NPGA. Membership in this committee continues to expand. We have 63 members this past year and had four new members join during the October meeting. We encourage promotion of the Scholarship Program at all member companies, please contact Lori Dec ([email protected] - email or 202 335-1328 - ph) to receive your copies of the electronic brochures and flyers.

Fundraising Activities

At the end of 2016, we implemented the “NPGF Scholarship” AmazonSmile program and have received $232 in donations to date. Quarterly reports lag 45 days behind the close of a quarter and anticipate the promotion untaken for the 2017 Christmas shopping season will pay off with a substantial increase in donations. Our members and their employees can use their buying power to support the NPGA Scholarship program with every Amazon order they place by going to smile.amazon.com and designating “NPGF Scholarship.” Amazon contributes 0.5% of such purchases made to the NPGF Scholarship Program. In November 2017, the Foundation conducted an incentive-based campaign to

encourage new sign-ups. Over the course of four weeks, individuals who signed up for AmazonSmile and forwarded their confirmation email to NPGA were entered into a drawing for an Amazon gift card. Forty-five new individuals took advantage of this promotion, with the winner being Michelle Goodman of Blossman Gas. We hope many NPGA members will continue to use smile.amazon.com for all future purchases.

The third annual Silent Auction is now underway to provide scholarships to children of employees of NPGA member companies or state propane gas associations. To date, we have received 70 items. Online bidding will open on February 5, 2018 and will end on February 12, 2018 at the NPGA Chairman’s Reception in Santa Barbara, CA. The link to the online bidding site is www.32auctions.com/NPGF2018. Donated items include: tickets to see Hamilton on Broadway, Houston Astros, Cincinnati Reds, and NY Yankees (club level seating) along with vacations to Cabo, Pawley Island (SC), and Destin (FL). The Corporate Partners campaign raised $42,600 for FY2017-18. New Corporate Partners are always welcome. Please contact Lori Dec to join. We thank the 36 member contributors. This compares to the 46 Corporate Partners in 2016/17 which raised $46,150. With their commitment, the Scholarship Fund will continue to provide awards to the industry member’s children, allowing many to reach their post high school goals. Promotional information about the scholarship program and the application process continues to be distributed to the state associations, scholarship donors, and other industry businesses on a regular basis.

NPGF/SF encourages all NPGA Board of Directors members and state association executives to join the Scholarship Committee. Annual tax-deductible dues are only $50 and are used toward funding the Scholarship Committee’s administrative costs. Even those NPGA members who do not have time to take active roles on the committee are welcome to join. Invitations and sign-up sheets are available at the registration tables. ARTICLE V

Standing Committees

Committees. There shall be four (4) standing committees:

1. Finance Committee, which shall meet prior to each regularly scheduled meeting to review the financial statements provided by NPGA and to make recommendations to the Scholarship Committee on matters such as the annual budget.

2. Fundraising Committee, which shall plan and coordinate fundraising activities. 3. Scholarship Selection Committee, which shall review scholarship applications and make

award decisions in accordance with the Scholarship Selection Committee Rules and Procedures.

4. Membership Committee, which shall solicit new memberships, welcome and inform new members of participation opportunities, correspond with members when appropriate, ensure the payment of dues, and make recommendations for honorary memberships.

Appointments. Appointments to standing committees shall be made by the Chair of the Scholarship Committee. The Scholarship Committee Chair, in consultation with the Vice Chair, shall also appoint the Chair and Vice Chair of standing committees.

Terms. Standing committee Chairs shall serve two-year terms, except in the case of the Finance Committee Chair whose term shall be coterminous with his/her service as Treasurer. Standing Committee Chairs and Vice Chairs may be reappointed to subsequent terms.

Rules and Procedures. The Finance and Selection Committees shall have written rules and procedures approved by THE STEERING COMMITTEE. The Finance Committee rules shall be ratified by the Trustees as well.

Dual Offices. Officers of the Scholarship Committee may not serve as either Chair or Vice Chair of a standing committee, except in the case of the Finance Committee whose Chair shall be the Treasurer of the Scholarship Committee. No member of the Scholarship Committee may serve as Chair of more than one standing committee.

ARTICLE VI

Finance

Financial Reporting. The NPGA Chief Financial Officer shall prepare financial statements and submit such statements to the Finance Committee in advance of each regularly scheduled meeting.

Audit Policy. The accounts and transactions of the Foundation shall be audited in conjunction with the annual NPGA audit.

Fiscal Year. The fiscal year shall begin March 1 and close on the last day of February.

I was asked to research what other scholarship programs have in place as an age limit for their 

“child/student” applicants. Jeff Petrash, NPGA Vice President & General Counsel cleared the 

way for this research with the National Scholarship Providers Association and other resources 

after stating age discrimination strictures apply to “employees” and he was not aware of any 

limitations in the scholarship application context.   

Many scholarships programs do list an age in their eligibility criteria on their websites.  A few examples include:  Dolphin Scholarship Foundation ‐ http://www.dolphinscholarship.org/index.cfm/scholarships/eligibility‐requirements/  Fisher House Foundation ‐ http://www.militaryscholar.org/sfmc/apply.html  Triangle Community Foundation – George and Mary Newton Scholarship ‐ http://trianglecf.org/award/george‐and‐mary‐newton‐scholarship/  Below lists general information on how various entities classify age. 

A. For IRS purposes to meet the “child” test, a child must be younger than the parent and either younger than 19 years old and to be a student, younger than 24 years old as of the end of the calendar year.  There is no age limit if one’s child is permanently and totally disabled.    

B. Students who play sports at the college level in the USA must be between the ages of 17 and 24. 

C. In the military, a child is a dependent through age 21, or through age 23, if enrolled as a full time college student. There is a law that permits parents to extend their medical insurance coverage to their children through the child's 26th birthday, but only if the child or their parents pay the full premium for that coverage. This law does not extend military dependency status to age 26 for any other purpose.  

 Although not explicitly stated above, a “child” cannot be married.  The NPGF Scholarship Fund is free to institute any age cut‐off and marriage limitation for a scholarship applicant however; it seems prudent to use the above as guidance.  I recommend this issue be an agenda item for the Steering Committee and Scholarship Committee meetings in Santa Barbara and discuss a motion for an age cut off and a marriage limitation.
