TENANT OVERVIEW

-- LEASE ABSTRACT --

Net Lease: This Lease is intended to be “triple net” and, accordingly, all Rent shall be received by Landlord without deduction for any costs or expenses incurred by Tenant under this Lease in connection with the operation, maintenance, repair, management and ownership of the Premises.

Property Taxes:Tenant shall pay the Real Property Taxes on the Premises, to the extent such Property Taxes are attributable to the Premises during the Term of this Lease. Any tax or assessment covering a period which is not entirely included in the Term shall be prorated accordingly between Tenant and Landlord. Tenant shall pay Real Property Taxes directly to the taxing authority and furnish evidence of such payment to Landlord at least ten (10) days prior to the date when such taxes become delinquent.

Landlord Maintenance & Repairs:

Landlord shall, subject to the provisions of Article 12 and Article 13, maintain in good condition, repair and replace (when necessary) the existing structural components of the Premises, comprising the existing roof (structure only and not membrane), exterior walls, floor slabs, subfloors and foundations of the Premises, and the structural components of the parking structure. Landlord shall be solely responsible for all costs related to its obligations under this Section 9.1. Notwithstanding the foregoing, Landlord shall not be responsible for any such repairs to the extent they are necessitated by the negligence or actions of Tenant or its employees or members so that, for example, the cost of replacing or reinforcing the roof structure shall be the obligation of Tenant and not Landlord if due to an overweight replacement roof membrane installed by Tenant.

Tenant Maintenance & Repairs:

Subject to Landlord’s obligations under Section 9.1, Tenant shall, during the Term of this Lease, clean, maintain and repair the Premises (including the parking structure), including roof membrane, any alterations made by Tenant to the roof structure and/or the subfloor, floor and wall coverings and the windows and Tenant shall keep the Premises in good and sanitary order and condition, normal wear and tear excepted. In addition, Tenant shall repair, maintainn and replace (when necessary) fire sprinkler systems which service the Premises, and all gas, electric, water, telephone and sanitary or storm sewer systems of the Premises.

Insurance:

Property Insurance: Landlord shall obtain and keep in force during the Term of this Lease a policy or policies of insurance, with commercially reasonable deductible limits, covering loss or damage to the Premises and the Tenant Improvements at least in the amount of the full replacement cost thereof, and in no event less than the total amount required by Mortgagees, against all perils included within the classification of “special form” coverage (as such term is used in the insurance industry). Tenant shall reimburse Landlord the actual, commercially reasonable cost of Property insurance policies. Such insurance policies shall provide for payment of loss thereunder to Landlord or, at Landlord’s election, to the Mortgagees.

Tenant shall maintain in full force and effect at all times during the Term, at its sole cost and expense, for the protection of Tenant (with Landlord named as an additional insured), a policy of comprehensive general liability insurance with a minimum combined single limit of Three Million Dollars ($3,000,000). No more often than every five (5) years, Landlord may require Tenant to increase such minimum amount to an amount not to exceed the commercially reasonable amount for similar uses in similar buildings in West Covina. Tenant shall be permitted to carry the insurance required in this Lease under a blanket policy which also covers other locations of the Tenant, provided that the coverage afforded by reason of the use of such blanket policy shall not be reduced or diminished from the amount set forth in this Section 11.3.

Utilities:As part of the Tenant improvements, Tenant shall furnish to the Premises the initial installation of electricity, water, gas and sewer lines and equipment, and shall install separate meters for the utilities provided to the Premises, at Tenant’s sole expense, and Tenant shall pay all charges of the separately metered utilities during the Term of this Lease. If there is any disruption of utility service to the Premises, Tenant shall be solely responsible to restore such utility service.

Renewal Option:Tenant has three (3) successive options to extend the Term (the “Options”), each such extension to be for an additional period of five (5) years (the “Extension Terms”) on the same terms and condi-tions as set forth herein. Such exercise may be made only by written notice to be delivered to Landlord not less than one hundred and eighty (180) days, nor more than three hundred sixty (360) days, prior to the expiration of the initial Term of the Lease, or, if Tenant has extended the initial Term by an Extension Term, prior to the expiration of that Extension Term.

Estoppel Certificate: Tenant shall, within ten (10) days following written request by Landlord, execute and deliver to Landlord an estoppel certificate.

Exclusivity: During the Term, including any extensions, so long as Tenant is not in default hereunder beyond any applicable cure period and so long as Tenant has not ceased to operate for more than one hundred eighty (180) consecutive days, Landlord shall not use nor permit any “Proximate Space” (as defined below) to be used as a health and/or physical fitness club.

Founded in 1983, the company offers fitness solutions-personal training, partner training, and group exercise classes - and operates a nutritional supplement company, Apex Fitness Group. As the company name implies, the centers are open 24 hours a day, seven days a week. They come in five types of clubs:

“Active” - Basic fitness centers up to 25,000 square feet in size, offering cardio equipment, free weights and other weight training machines, as well as group exercise classes.

“Sport” - Somewhat larger center, ranging from 35,000 to 50,000 square feet in size, these clubs also include a basketball court and swimming pool.

“Super-Sport” - These clubs offer additional benefits such as massage, sauna, and steam rooms.

“Ultra-Sport” - These clubs are the largest in size at 100,00 square feet, and feature day spas, racquetball courts, rock climbing, and a running track, in addition to the “Super-Sport” offerings.

“Express” (NEW) - Smaller in size at 6,000 to 10,000 square feet, these clubs offer limited weight equipment, while emphasizing cardio equipment, group classes, and personal training.

In 2014, 24 Hour Fitness was purchased by AEA Investors, a leader in the private equity industry; Ontario Teachers’ Pension Plan, Canada’s largest single-profession pension plan – and one of the world’s largest; and Fitness Capital Partners, a fund organized by Dean Bradley Osborne and Global Leisure Partners.

AEA Investors - (Founded in 1968) AEA Investors is one of the oldest private equity firms in the United States. The firm focuses on leveraged buyout, growth capital and mezzanine capital investments in manufacturing, service, distribution, consumer products and business service companies. The firm makes investments primarily in the United State and Europe although AEA will periodically invest in Asia as well. They are headquartered out of New York City, New York with offices also in Connecticut, London, Munich, Hong Kong and Shanghai and have assets totalling $6 billion.

Ontario Teacher’s Pension Plan - (Founded in 1989) OTPP is an independant organization responsible for administering defined-benefit pensions for school teachers in the Canadian Province of Ontario. They also invests the plan’s pension fund, and is one of the world’s largest institutional investors. The plan is jointly sponsored by the Government of Ontario and is headquartered out of Toronto, Ontario, Canada with total assets over $140 billion CAD.

Fitness Capital Partners organized fund by Dean Bradley Osborne - DBO Partners Is an investment banking firm with offices in San Francisco and New York City. They focus on leveraged buy-outs, mergers and acquisitions, restructuring, and equity capital raising services.

• The Big League Dreams sports park provides baseball and softball players the feeling that they are playing at a professional venue. Outside comemorates Cory Lidle a professional baseball player that grew up in West Covina. West Covina city is a baseball traditional city.
