1. INTRODUCTION
A Polish SPV (special purpose vehicle) Wiatromill Sp. z o.o. (further referred as “Wiatromill” or
the “Company”) is the owner of the development rights the Banie Project (further referred as the
“Project”), which is an up to 192 MW onshore wind farm (WF) located in north-western Poland,
that consists of the sites located in the communes of Banie, Widuchowa, Kozielice and Bielice.
The Project, to the extent constructed in full, is intended to comprise of up to 96 wind turbine
generators (WTGs), which due to the size of the project and localizations in different communes
are to be divided into the following seven subprojects: Banie 1A (development of 13 WTGs),
Banie 1B (development of 2 WTGs), Banie 2 (development of 24 WTGs), Widuchowa
(development of 3 WTGs), Kozielice 1 (development of 21 WTGs), Kozielice 2 (development of 22
WTGs) and Bielice (development of 10 WTGs). All of the WTGs are to be situated in
Zachodniopomorskie voivodeship (województwo), approximately 40 km south of the city of
Szczecin, within a 12 km radius of the village of Banie. Communes of Banie and Widuchowa are
located within the area of Gryfiński County (powiat), while Kozielice and Bielice within the area of
Pyrzycki County (see the map below). For the subprojects: Banie 1A, Banie 1B, Banie 2, Kozielice
1 and Kozielice 2, 82 WTGs Vestas V100 (capacity of each 2 MW, hub height 95 m in Banie sub
projects and 125 m in Kozielice sub projects) are considered. For the subprojects: Widuchowa
and Bielice 14 WTGs Vestas V110 (capacity of each 2 MW, hub height 125 m) are the ultimate
choices. The agreements with Vestas on WTGs supply and installation were already signed in
June 2014 as amended afterwards from time to time. Per the Agreement with Vestas, they will
provide operations and maintenance services on a 15-year basis.

Due to the decisions taken by the Company, the Project was divided into 3 separate phases. The
construction of the first phase of 50MW (the "Phase I") has already been accomplished and final
tests are currently ongoing which expected completion by the end of February 2016. Given the
latest change of December 2015 of the Renewable Energy Act which remains existing renewable
energy support scheme in force by the end of June 2016, the Company decided to commence the

Phase II with a capacity of 56MW immediately. The construction works of this Phase have been
commenced in mid-January 2016 and are expected to be completed by the end of June 2016.
Decision on the development of the Phase III, with a total capacity of up to 84MW will be taken in
the future depending on, inter alia, the electricity market conditions, renewable energy support
scheme and possibility for project.
The construction of Phase I, which consists of Kozielice 1 and a part of Kozielice 2 of a total
capacity of 50 MW was financed independently and after negotiations has been recently re-
financed among others by the EBRD. The Company currently applied to EBRD for co-financing of
the Phase II of the Project. The Phase III will be developed separately. Due to the size of the
future project and possible cumulative impacts an assessment has been undertaken for all three
phases.
The phases of development will have the following configurations:
1. Phase I of the Project’s development (which has already been accomplished),
which comprises:
21 WTGs VESTAS V100 2.0MW, hub height 125 m, rotor diameter 100 m, capacity
2.0 MW belonging to Kozielice 1 subproject (WTG no. KEW01 – KEW19, KEWK02 and
KEWK03) and
4 WTGs VESTAS V100 2.0MW, hub height 125 m, rotor diameter 100 m, capacity 2.0 MW
belonging to Kozielice 2 subproject (WTG no. KEW20, KEW21, KEW23, KEW27).
2. Phase II of the Project’s development, which comprises:
10 WTGs VESTAS V110 2.0MW, hub height 125 m, rotor diameter 110 m, capacity
2.0 MW belonging to Bielice subproject (WTG no. EWB01 – EWB11) and
Remaining 18 WTGs VESTAS V100 2.0MW, hub height 125 m, rotor diameter 100 m,
capacity 2.0 MW belonging to Kozielice 2 subproject (WTG no. KEW22, KEW24, KEW25,
KEW26, KEW28 – KEW41).
3. Phase III of the Project’s development, which comprises:
up to 39 WTGs VESTAS V100 2.0MW, hub height 95 m, rotor diameter 100 m, capacity
2.0 MW belonging to Banie 1a, Banie 1b and Banie 2 subprojects (WTG no. BEW01 –
BEW09, BEW16 – BEW37, BEW39 – BEW46) and
up to 3 WTGs VESTAS V110 2.0MW, hub height 125 m, rotor diameter 110 m, capacity
2.0 MW belonging to Widuchowa subproject (WTG no. WEW02, WEW04 and WEW06).
The Project also consists of an internal infrastructure of power transmission and control cables,
roads and assembly yards, as well as a three dedicated electrical substations, which are ‘GPO
Nowe Czarnowo’ located in the area of Gryfino commune, Gryfiński county (110/220 kV voltage)
and two stations located in the area of Banie commune: ‘GPO Banie’ (30/110 kV voltage) and
‘GPO Kozielice’ (30/110 kV voltage). The grid connection conditions for the project were agreed
with the Transmission System Operator, which is Polskie Sieci Elektroenergetyczne Operator S.A.
(further referred as “PSE Operator”). The binding grid connection agreement with PSE Operator
S.A has been already signed. Connection to the national grid, which is located in Krajnik

(400/220/110 voltage), is provided via 1.5 km long underground high voltage cables. The project
is being developed on green fields partially drained that are currently used for agricultural
purposes, but which are dedicated for the development of wind farm facilities in the local zoning
plans of the communes.
Based on the completed environmental impact assessment (EIA) procedures conducted by local
(communes) authorities and in line with Polish legal requirements, the Project, including electrical
substations ‘GPO Kozielice’ and ‘GPO Banie’, has already been granted with the relevant
environmental decisions. The decisions for substations were issued based on screening as the
relevant authorities, i.e. RDOŚ in Szczecin and State Voivodeship Sanitary Inspectorate of
Zachodniopomorskie Voivodeship in Szczecin decided on a lack of need to conduct environmental
impact assessment.
The process of obtaining the construction permits for the project was commenced and until now,
building permits for 91 WTGs out of 96 WTGs were obtained for Banie 1A, Banie 1B, Banie 2,
Kozielice 1, Kozielice 2 and Bielice subprojects, including building permits for associated technical
infrastructures. Moreover, due to the implementation of changes types of turbines, three
amendment decisions were also issued (with regard to 13 WTGs of Banie 1A subproject, 2 WTGs
of Banie 1B subproject, 24 WTGs of Banie 2 subproject and 43 WTGs of Kozielice 1 and 2
subprojects). The building permits for ‘GPO Kozielice’ and ‘GPO Nowe Czarnowo’ electrical
substations have already been issued.
Process of issuing the remaining building permits for 3 WTGs of Widuchowa and 2 WTGs of Bielice
subproject is pending. The building permit application for Widuchowa is planned to be submitted
by the end of December 2015. In case of the remaining 2 WTGs belonging to the Bielice
subproject, the building permit is expected in the Q1 of 2016.
The construction works related to the Phase I have been commenced in April 2015 and
accomplished in December 2016. The construction works related to the ‘GPO Kozielice’ and ‘GPO
Nowe Czarnowo’ have also been accomplished and they are now operated and connected to the
Electricity Greed.
The construction of the Phase II of the Project (see the map above) has been commenced in mid-
January 2016. The Company intends to finalize construction of the Phase II by the end of June
2016.
The Scope of this SEP:
This stakeholder engagement plan (SEP) aims at identification of the Project stakeholders at
different phases of development and establishment of the rules for management of exchange of
information between the company and the stakeholders. This SEP updates the plan adopted for
the Phase I of the Project to reflect current status of the Project development, i.e. completion of
the construction works of the Phase I and commencement of the Phase II development. Further,
this SEP specifies the documents of the Project Disclosure Package required for the Category A
projects, according to EBRD’s Environmental and Social Policy (2015) and outlines the
stakeholders engagement activities planned for the Phase II of the Project and after both Phase I
and Phase II are fully operational.
The SEP will be reviewed and updated on a regular basis. If activities change or new activities
relating to stakeholder engagement commence, the SEP will be brought up to date and shared
with project stakeholders.

Structure of the SEP
The following sections provide:

Our proposed consultation and disclosure programme including details of where and how
you can submit comments on the Project;
Our grievance mechanism; and
Our contact information.
2. REGULATORY REQUIREMENTS
Public disclosure of the project related information is required for newly developed projects at the
stage of their environmental impact assessments (EIAs) by national legislations. The scope of
disclosed information includes among others general presentation of the project, its expected
environmental and social impacts - including the impacts on Natura 2000 protected areas, and
measures necessary to mitigate these impacts. Disclosure of such information and securing public
participation in the EIA process is managed by the authorities in charge to undertake EIA
procedures. The authorities are also obliged by law to make all resolutions and decisions taken
within the procedure available for public review and manage comments and grievances submitted
by the interested parties. The EIA process for the projects of similar nature to the subject one is
conducted at least once, prior to the environmental decision is granted to the project. The
procedure can be repeated then, if, e.g. detailed solutions adopted by the building design differ
significantly from these considered at the stage of application for the environmental decision. In
such case, the second EIA procedure is conducted by the authorities prior the building permit is
being granted to the project. The second procedure is also open to public participation and
requires in a wide range disclosure of the project related information. However, it should be
stressed that based on issued environmental decisions (as described in Chapter 1) and building
permits, repetition of the EIA procedure was not required while applying for any building permit.
According to the Polish law, environmental decision should have been attached to the application
for the building permit not longer than 4 years after the environmental decision has become final,
however, its validity can be expanded for another 2 years if a project is developed in phases.
Under Polish law, the companies are not legally obliged to publish any environmental or social
reports on their environmental and social performance. Such information, however, can be
included as a part of annual reports to the stockholders.
The EBRD considers stakeholder engagement as an essential part of good business practices and
corporate citizenship, and a way of improving the quality of projects. In particular, effective
community engagement is central to the successful management of risks and impacts on
communities affected by projects, as well as central to achieving enhanced community benefits.
Stakeholder engagement is an ongoing process involving (i) the client’s public disclosure of
appropriate information so as to enable meaningful consultation with stakeholders, (ii)
meaningful consultation with potentially affected parties, and (iii) a procedure or policy by which
people can make comments or complaints. This process should begin at the earliest stage of
project planning and continue throughout the life of the project.
PR 10 outlines a systematic approach to stakeholder engagement that we will commit to
following for this Project.
Under our commitment to EBRD, we have a commitment to meet the following EU standards for
engagement:

UNECE Convention on Access to Information, Public Participation in Decision-making and
Access to Justice in Environmental Matters (Aarhus Convention); and
The EU Directive 85/337/EEC, amended by the Directive 97/11/ЕС, on the Assessment of the
Effects of Certain Public and Private Projects on the Environment (EIA Directive).
and its national implementations.
3. SUMMARY OF PREVIOUS STAKEHOLDER ENGAGEMENT
ACTIVITIES
The stakeholder engagement activities conducted to date comprised:
Communication with landowners at the sites, negotiations of land lease contracts and
signing the contracts – conducted between 2010 and 2015 by the Polish SPV Gryf Sp. z
o.o. (all rights were assigned to the Company, which is currently the sole owner of Gryf),
which has entered into land leases directly with the owners of the lands. The lease
agreement was concluded for a definite period of time, i.e. until December 31, 2035.
Moreover, the communication with landowners of the sites as well as landowners of the
neighbouring (i.e. affected) areas has been actively conducted during the Phase I of the
Project. As part of the communication with local inhabitants the Company posted a map
showing layout of the Phase I development at the commune headquarters to allow all
citizens to get familiar with the project.. Further, prior to commencement of each stage
of the Phase I construction works each of the landlords of affected land plots was
contacted individually and informed about the planned activities and expected time
schedule.
Communication with the communes and environmental authorities within the local zoning
plan establishments and EIA procedures were conducted between 2009 and 2014.
Currently, the communication with the communes’ heads is conducted on a regular basis
by mean of meetings and written notifications. The Company updates the authorities on
the construction process as well as on the future Project’s development plans. Further,
the Company signed a contract with Kozielice and Bielice communes (where Phase I and
Phase II of the Project are located) which, among others committed the Company’s
future contribution to the local communes by improvement of certain roads and other
investments for the benefit of the communes and land owners. The communication with
environmental and other authorities, i.e. with RDOŚ in Szczecin or road administration
authorities is conducted on a regular basis. All of the recommendations set by RDOŚ are
regularly fulfilled.
Communication with the Distribution System Operator was particularly intensive while
negotiating conditions of wind farm connection to the distribution networks and
connection contract which was conducted between 2009, when PSE Operator concluded
grid connection conditions and 2011, when the grid connection agreement was signed.
Further amendments were signed in 2013 - 2015. Moreover, the Company arranged
additional meetings with the DSO in order to maintain a good relation with PSE and
secure effective exchange of information.
Communication with road, water management, aviation and other authorities and
organizations was especially intensive while applying for acceptances or approvals

necessary for wind farms and their infrastructure designing – conducted between 2010
and 2015. Moreover, due to the excessive road occupation caused by the construction
process, the Company is currently in a direct contact with road administration.
Following the national environmental and spatial planning laws, the public participation and
disclosure of the project related information is maintained by the local (commune) authorities. As
verified during the environmental and social due diligence of the Project, the EIA procedures for
all of the subprojects were conducted in line with the legal requirements. In particular the EIA
reports and other documents, such as e.g. resolutions of the consulting environmental and
sanitary and epidemiological authorities, clarifications to the reports and others, were available
for review by interested stakeholders, including NGOs and local residents, who had also a right to
submit their concerns. The Company actively participated in the process e.g. by providing
clarifications to concerns raised by interested stakeholders. The authorities informed the
stakeholders in the way commonly adopted at their territory, i.e. by posting information on their
websites, in commune offices and on the information boards at the affected villages of Piaseczno,
Sosnowo, Lubanowo, Swobnica and Baniewice (Banie commune) and Rokity, Kozielice, Trzebów,
Mielno Pyrzyckie and Tetyń (Kozielice commune) . During the EIA procedures no grievances or
comments were submitted and no issues were raised by NGOs and local inhabitants.
The public participation was also secured at the stage of establishment of the commune master
plans and local zoning plans allowing construction of wind farms. Similarly to EIA procedures, the
disclosure of information and engagement of stakeholders (including NGOs, local residents and
others) was maintained mainly by the local authorities (communes).

5. DISCLOSURE OF INFORMATION
Disclosure of information and further proper communication with the stakeholders is an important
measure to identify issues that could affect Project development or environmental or social issues
that should be taken into account to meet the good management practice rules.
Disclosure of Project related information will be arranged following the legal requirements as well
as the international standards of project development.
The disclosure of project related information is required by law in the following circumstances:
while applying for environmental decision for the projects, which significantly affect the
environment or may significantly affect the environment, or, which may affect Natura
2000 zones;
while applying for a building permit if another EIA is required by the authorities; however
based on issued environmental decisions and building permits, repetition of the EIA
procedure was not required while applying for a building permit;
in reaction to requests of the environmental control authorities if significant breaches of
the environmental law or permit conditions were indicated by such authorities.
The company will strictly follow legal requirements for disclosure of information.
In order to meet the highest international standards, following the good management practice as
well as in order to meet specific requirements of the lenders, the Company (directly or indirectly)
will also implement the additional transparency procedures of information disclosure. These will
comprise:
presentation of the Project on the company webpage (e.g. http://www.energix-
group.com/), which will include, but not be limited to: ESIA, non-technical summary,
grievance form; this webpage will be updated on regular basis;

presentation of the Annual EHS reports of the company environmental, social, and health
and safety practices and performance on the company webpage;
at the discretion of the Company, PR actions in local newspapers (e.g. in Głos Pomorza)
and nationwide, radio (e.g. Polish Radio programs 1 and 3) and TV (e.g. TVP1, TVP2,
Polsat, TVN);
active participation in public consultation process arranged and managed by the
administrative stakeholders;
directly communication with interested stakeholders, as appropriate;
distribution of the project related information among the own employees and employees
of the external companies through internal mechanisms;
distribution of the project related information in the communes engaged in the process of
Project’s development.
ongoing consultation with affected communes i.e. Bielice, Kozielice, Banie, Gryfino etc.,
which will be conducted via phone, e-mail as well as during regular meetings;
Ongoing communication with land owners, which will be conducted via individual phone
calls and face to face meetings;
After both phases of the Project’s development are fully accomplished, the Company is
planning to organize a public event for all communes involved in the Project, which will
include presentation of the investment (perhaps presentation of a movie), benefits arising
from the Project, maybe with a possibility of wind farms’ sightseeing.
6. STAKEHOLDERS ENGAGEMENT PROGRAM
The consultation with the stakeholders will be conducted by the Project Manager (currently Mr.
Olivier Marchand) or by the Site administrative manager (currently Mrs. Katarzyna Pysiak) (for
contact details please refer to section 7).
Consultations with the administrative stakeholders will follow the project planned time schedule.
The objective of the consultation plan is to inform stakeholders of the status of planned project
milestones, i.e. commencement and completion of the construction works and to manage any
questions or concerns. Commencement of the further construction works (i.e. Phase III of the
Project’s development) will depend on, inter alia, the electricity market conditions, renewable
energy support scheme and availability of project financing.
For the avoidance of doubt, any reference or any undertaking under the Engagement Program
with respect to Phase III shall be in effect only to the extent the Company continues to own the
developments rights of such phase.
Information relevant to the stakeholders on the project milestones will be published at the date
and on a platform (company’s website, email, etc.) most suitable and in line with the EBRD
Performance Requirement 10. Moreover, the disclosure information package which will comprise
among others:

available for the public review at the commune seats.

7. GRIEVANCE MECHANISM
The company will implement the grievance procedure to manage the grievances submitted by the
project stakeholders. Any comments or concerns can be brought to Company’s attention either
verbally or in writing (by post or e-mail) or by filling in a grievance form (an example is provided
in the annex). The grievance form will be made available in on the Project website alongside this
description of the grievance mechanism. Grievance forms can then be submitted to the Company
contact which details are provided below. All grievances will be acknowledged within 2-3 weeks
or, alternatively, if due to complexity of the case response is not possible within that time; the
complainant will be informed on the expected date of the response.
All submitted grievances will be recorded in a grievance log. The company will log details of the
grievance and how and when it was submitted, acknowledged, responded to and closed out, and,
upon written permission the name and contact details of the person who submitted the
grievance.
Our grievance mechanism does not preclude the right for stakeholders to process grievances
though other judicial means.
The local authorities in the affected communes will be informed about the grievance mechanism
and provided with the grievance form and contact details on which grievances can be submitted.

8. MONITORING
The implantation of the SEP will be monitored by the Managing Director of the Company.
9. RESOURCES AND RESPONSIBILITIES
This SEP will be implemented and executed by Wiatromill, which is the owner of the project.
Responsibility for the plan implementation and communication with all external stakeholders will
bear the Site Administration Manager, Mrs. Katarzyna Pysiak.
10. TIMETABLE
The following milestones of the SEP implementation and Project development are expected:
Disclosure of the Phase I and Phase II Project disclosure package at the Company
website – by January 29, 2016;
Public consultations and Project information disclosure in line with the EBRD policy for
category A projects: for the period of 60 days starting January 29, 2016;
Disclosure of the Phase I and II information package at the communes’ seats – by the
end of February 2016;
Meeting with the communes and interested citizens of Kozielice and Bielice communes to
outline the Project status – in March 2016.
Commencement of the Phase II construction works – in the mid of January 2016;
Completion of the construction works and commissioning of the Phase II– by the end of
June 2016.
Meeting with local communes of Kozielice and Bielice to outline the Project status – in
July 2016;
Further development of the Phase III – depending on, inter alia, the electricity market
conditions, renewable energy support scheme and possibility for project financing.
Presentation of EH&S reports on the facilities performance – on annual basis, starting
2017.
Maintaining communication with administrative and other stakeholders during the
construction works and operation of the Phase I and II of the Project – ongoing process.
