CotractorSpace

This contract or exhibit space and a non-reundable 50% deposit o the total cost,constitutes a contract or the right to use thespace. The balance is due no later than Decemer. All balance due paymentsreceived ater this date will be charged the listedrate ater 31 December. Full payment is requiredor contracts received ater 31 December 2012.This contract constitutes rental o booth spaceONLY and does not include carpeting or otherurnishings.

bootAssigmetsAssignment o space will be made throughthe priority point system. Ater that processis complete, assignment will be based on arst come, rst served basis. No contract willbe processed without a deposit. I none o theExhibitors choices are available, space mostsimilar to the 1st choice in location, price, andcompetitive situation will be assigned. Cross-aisleboothspacewillnotbeallowedonexhibitoor.

Island congurations can be reserved throughoutthe exhibit oor upon approval rom TESOL.Spaces assigned by contractual agreement cannotbe altered once nalized. TESOL reserves theright, i necessary; to alter the exhibit hall layoutin such a way that it does not alter the essence orintentions outlined in existing contracts..

EiitorbadgesThe Exhibitor is eligible to receive our (4) FullRegistration badges and our (4) Exhibit Hall Onlybadges per contracted 10' x 10' booth space. Eachregistered Full Registration will receive one (1)Program Book. Any additional badges must bepurchased at the rate o $155 per Full Registrationand $70 per Exhibit Only badge. Exhibit Onlybadges are intended or booth personnel whowork the duration o the event.

OutstadigbalacesAny Exhibitor showing unpaid balances at thetime o set-up will be denied space until such timeas the amount due has been paid in ull.

SetupobootAny space not occupied by 8 pm on Wednesday,20 March 2013, will be oreited by Exhibitor andsuch space may be sold, reassigned, or used byTESOL without the Exhibitor receiving a reundor rental ees. Exhibitors are not permitted toset up or erect a display until the space rental ispaid in ull.

DismatligobootExhibitors may not pack or move any reight romthe Exhibit Facility beore the close o the exhibithours on Saturday, 23 March 2013. Any exhibitorwho chooses to dismantle outside o the dedicatedteardown times will lose, at a minimum, allaccumulated points. Which will eliminate them roma preerred sign-up time or the ollowing year.

bootDesigadCoiguratioNo walls, partitions, decorations, or otherobstructions may be erected that in any wayinterere with the view o another exhibitor.Exhibitors who wish to use any non-standardbooth equipment, signs, decorations, orarrangements o display materials that in anyway conict with the stated regulations mustsubmit two copies o a detailed sketch or layout(including all dimensions) no later than 15 January2013 or approval by TESOLs Expo Show Manager.

StadardEiitCofguratios(' '' 'ad' '): Exhibits must not behigher than 8 in the back and 4 on each side.Display xtures over 4 high must be connedto the area o the exhibit booth which is within5 o the backline. Nothing over 4 high can bewithin 5 o the aisle line (the ront hal o thebooth).

IsladEiitCofguratios: Exhibits mustnot be higher than 16 eet (subject to ceilingheight.) Island congurations and multi-storyexhibits must be pre-approved by TESOLs

Expo Show Manager and the Dallas Convention

Center. Additionally, multi-story exhibitsmust be approved by stamp or signature o astructural engineer indicating that the structureis properly engineered or the proposed use.

Cacellatio/ReudsAll notications o cancellation must be madeto TESOL in writing via email. For cancellationsreceived through 31 December 2012, the 50%booth deposit will be oreited with any remainingbalance reunded. No reunds will be given onbooth space canceled ater 31 December 2012.

CacellatioyTESOL

TESOL shall have no liability or obligation to theExhibitor or any ees paid or or any damages,loss, or injury i the Exhibit space becomesunavailable or its use is diminished by reasono re, act o God, riot, labor dispute, authorityo law, or any other cause beyond the controlo TESOL. Should any such event occur, TESOLmay, in its sole discretion, reund a portion o theamount paid or the Exhibit space ater deductingamounts necessary to cover TESOLs expenses.

Liaility(a) The Exhibitor shall be solely responsible

to third parties, including invitees and thepublic, or all claims, liabilities, actions, costs,damages, and expenses arising out o orrelating to the Exhibitors participation in theExhibit.

(b) The Exhibitor shall indemniy and holdharmless TESOL, and the Dallas ConventionCenter, their ofcers, directors, members,agents, employees, and sponsoring

organizations, against any and all actions,suits, proceedings, damages, losses, costs,and expenses asserted, brought or claimedby third parties, arising out o the Exhibitorsparticipation in the Exhibit. The Exhibitoragrees to pay any and all costs and expenses(including reasonable attorneys and expertsees and litigation costs) incurred by TESOL, itsofcers, directors, members, employees, andagents, in deending or resolving such claimsas may be asserted against them.

(c) TESOL shall not be responsible or any bodilyinjury or other damages or losses suered bythe Exhibitor, its employees, or agents or orloss or damage to property owned, leased, orused by Exhibitor, either while in transit to orrom the Exhibit or while in the Exhibit Facility,rom any cause whatsoever. Exhibitor agreesto saeguard its own exhibit materials or goodsrom the time they are placed in the ExhibitFacility until they are removed.

(d) Exhibitor acknowledges that TESOL does notmaintain insurance covering the Exhibitor,its agents, or its property, and that it is thesole responsibility o the Exhibitor to obtainliability, business interruption, propertydamage, and other insurance covering suchlosses or liability by the Exhibitor.

Over-te-coutersalesAll Exhibitors engaging in direct sales mustcontact the Texas Department o Revenueregarding appropriate orms and procedures.

EiitFacilityRegulatiosReer to the Dallas Convention Centerwww.dallasconventioncenter.com/exhibitor-services/ or more completeExhibit Facility rules and regulations. It isthe responsibility o the Exhibitor to adhereto all regulations set by both TESOL and theExhibit Facility.

SpecialRegulatios

(a) Reassignment or subletting o all or anypart o booth space is prohibited. SublettingSpace: An Exhibitor may not assign, sublet, orapportion all or any part o the space allottedto him/her. Any materials other than thosemanuactured or distributed by the Exhibitorin the regular course o business may not bedisplayed by the Exhibitor or be allowed bythe Exhibitor to be displayed by other personsor rms.

(b) Solicitation and distribution o printedadvertising must be conned to booth spaceONLY. Canvassing is prohibited. Aisles must bekept clear at all times.

(c) Operation o any objectionable sound devicewill not be allowed.

(d) Nothing shall be posted on or tacked, nailed,taped, screwed, or otherwise attached tocolumns, walls, oors, or other parts o thebuilding or urniture.

(e) Distribution o helium-lled balloons or

adhesive-backed stickers or decals isprohibited.

() Food and beverage or distribution must besupplied and prepared by the Exhibit FacilityFood Services Department.

(g) Exhibitor shall not sponsor unctions duringthe Exhibit hours or in conict with anyofcially programmed convention eventwithout prior written approval.

(h) All materials used in the Exhibit Facilitymust be nonammable or conorm to reregulations o the city o Dallas and the DallasConvention Center.

GoodTasteTESOL reserves the right to reject, control, orremove Exhibitors that, in the opinion o TESOL,do not serve the TESOL Mission Statement, areobjectionable, or detract rom the dignity o theExhibit.

GoodneigorPolicy

Musical instruments, radios, projection machines,CD players, VCRs, televisions, noise-creatingdevices, ampliying systems, or live entertainmentshall be operated only at a level which will notinterere with other Exhibitors and MUST conormto the Exhibit Managers requirements.

Ati-DiscrimiatioPolicyTESOL does not permit job advertisements thatreer to the applicants race, sex, color, nationalorigin (except with reerence to visa policies),ethnicity, religion, native language or languagebackground, medical or health condition(including HIV/AIDS status), gender, genderidentity, or sexual orientation.

WrittePermissioTESOL must receive, in writing, ormal requests orlive entertainment.TESOL will review the request and will notiythe Exhibitor i the request has been granted.Failure to adhere to this rule will jeopardize space

assignment and the right to exhibit at utureTESOL exhibitions.

CirculatioadSolicitatioDistribution o advertising material and souvenirsmust be conned to the Exhibitors booth.Canvassing or distribution o advertising materialsor souvenirs in any location other than theExhibitors booth is prohibited.

no-OicialCotractorsExhibitor shall neither contract or nor use anyservices o non-ofcial contractors in connectionwith the Exhibit space without prior writtenapproval o TESOL. I Exhibitor wishes to usenon-ofcial contractor(s), Exhibitor shall make itswritten request to TESOL to use such contractor(s)at least 45 days prior to the opening date o theExhibit. Such written request shall include thenames o any persons or organizations (otherthan those designated as ofcial contractors by

TESOL) that Exhibitor proposes to use to perorm

services at the Exhibit. TESOL will promptly notiyExhibitor in writing o its approval or rejection osuch selection(s). Non-ofcial contractors mustabide by all rules o the Exhibit as set orth inthis Contract. Unions, Exhibitors shall abide byall agreements made by, between, and amongTESOL, the Exhibit Facility, and any unions orother labor groups having jurisdiction at theExhibit. All work involved with setting up anddismantling exhibits must be perormed byauthorized personnel.

CompliaceExhibitor agrees to comply with all ederal, state,and local laws and ordinances applicable to theExhibit Facility and also with any additional rulesand regulations imposed by TESOL or by theExhibit Facility.

bidigEectThis Contract as well as the Rules and Regulationsshall be binding upon the Exhibitor and TESOL,as well as their ofcers, directors, employees,

agents, successors, and assigns. I the Exhibitorails to comply with the terms o this Contract orthe Rules and Regulations, TESOL shall have ullauthority to enorce this Contract, and shall havethe right to exclude the Exhibitor rom the Exhibitwithout reund and/or to reuse it admission touture exhibitions.

RigttoRemoveteEiitorsPropertyTESOL reserves the right to remove rom theExhibit Facility any or all o the property o theExhibitor should the English Language Expo becanceled or relocated or should the Exhibitorviolate any o the conditions o the Exhibitorsagreement. This right may be exercised withoutprior notice or hearing.

PatetCopyrigtorTradeSecretThe Exhibitor agrees to hold TESOL, their ofcers,directors, employees, and agents, harmless romall loss, cost claims, causes or action, obligations,suits, damages, liability expenses, and costs

PotograpyTaking pictures, other than by the ofcialphotographer, is prohibited during setup,dismantling, and non-show hours. Cameras willnot be allowed on the exhibit oor during thesetimes. Each Exhibitor has control over its spaceand may want to prevent competitors romgaining access to, photographing, videotaping, orotherwise recording their Exhibit or presentation.

MusicPotograpsadOterCopyrigtedMaterialsEach Exhibitor is responsible or obtaining allnecessary licenses and permits to use music,photographs, or other copyrighted material inexhibit booths or displays. No Exhibitor will bepermitted to play, broadcast, or perorm music
