Riding in Wyoming’s Big Horn Mountains By Jody Weldy

We love riding in Wyoming but decided this year (2018) to do the Big Horn Mountains in Wyoming. I thought I'd try leaving the day after Labor Day hoping all the kids were back in school and all the tourists had hopped on a plane and gone home. It was a good decision.

We left on that Tuesday after Labor Day and our first stop was Albert Lea, MN at the Freeborn County Fairgrounds. We had stayed there before back in 2013 and it's a nice place to overnight with box stalls and electric to plug into. Only problem this time we had to unload in the pouring rain and later that night Tornado sirens went off! False alarm, tornado was way far away.

Loaded up and headed to Wall, SD where we stayed at the Wall Rodeo grounds. Plenty of corrals and water faucets with hose. They suggest $10.00 a night per horse and they have a donation box on the side of the entry booth. (They have yet to cash our check!)

The next morning we walked over to Wall Drug Store for breakfast and I could get my nickel a cup of coffee. Spent a whopping 15 cents for coffee!

Our next stop was Ten Sleep, WY where I had booked a site at the Ten Broek RV Park. Once we left I-90 in Buffalo we had a slow 62 miles to go through the heart of the Big Horn Mountains. Lots of curves and elevation but oh the sights were so beautiful.

We arrived at Ten Sleep in the afternoon and Darryl Ten Broek met us and showed where we could unload the horses, clean out our trailer and then showed us to our site. Rocky and Lucky had a nice roomy corral, and then they had to learn how to drink out of an automatic waterer which they had done before but this one drained after each use and a horse has to push down a metal plate to get the water to come up. It took them just a few minutes to figure it out.

O’Bannon Woods & Brown County St Pk Spring Clean-Ups

If you have never attended one of our park

clean ups, please contact the person in charge of the clean up ahead of time or look for a campsite with an ITRA banner on a truck or trailer. We try to direct helpers to needed work sites we have coordinated with the park management. It is important you sign in your hours working on the horse trails. There is often campfire pitch-ins in the evenings.

Hoosier Horse Fair and Expo May 3rd-5th ITRA will once again have a booth and there

will be directors able to answer any questions. This is a good time to renew your ITRA membership and browse our Country Store. The HHF&E will be at the Hendricks County Fairgrounds in Danville, Indiana approximately 11 miles east of I-465. Please look for signs on IN 36 directing you to the fairground’s entrance as it is located east of Danville on East Main Street, a parallel road north of IN 36. Con’t pg. 1 The next morning we loaded up with Darryl and hauled to some Bureau of Land Management land not

too far away. Riding was not difficult but boy oh boy was it beautiful. Lots of red sand and huge red sandstone mini mountains. Our main goal on this trip was to find Darryl's cell phone that he had lost a few days before. The big debate was....did it still have enough battery to ring when we called it. When we got close to where Darryl thought he'd lost it, Bruce called it on his cell and low and behold we heard Darryl's phone ringing! We were all surprised but happy we found it.

Next day he took us up to the mountains and it was windy and chilly when we hit around 10,000 feet elevation but the riding was breathtaking. There are huge meadows up in the mountains with crystal clear lakes and streams. Darryl says in the spring they are very green and full of wildflowers.

The next two days, we hauled 30 miles to two separate canyon trails. Both were awesome rides with great scenery.

We were scheduled to leave on Friday, September the 14th but Bruce wanted to stay longer so I called Broken Arrow Campground in Custer, SD to see if they had any openings. Since the season was about over he had plenty of sites and told us to come on over and so we did. We had a nice site with full hookups and our horses and nice big stalls and were only about 40 feet from our campsite. We didn't bother renting a trailer and hauling to trailheads but just rode out of camp and had some nice rides.

We also did a few tourist things like visit Mount Rushmore and rode the 1880's train from Hill City to Keystone and back. We did this 12 years ago and it was as much fun this time as it was then.

We finally decided we needed to head home and our first night out we stayed at Hobby Horse Motel in Mitchell, SD. It was raining when we got there and rained most of the night. The next morning we loaded up and headed for Janesville, WI and spend the night with some nice folks. Next day we were home in early afternoon. We had one small hiccup. While on I-294 around O'Hare Airport our Tire Pressure Systems went off telling Bruce the right rear tire on the trailer was losing air. We were able to make an Oasis a couple of miles away so we could change the tire safely, and found we had picked up a half inch carriage bolt! We got the tire changed and decided we may as well have some lunch while we were stopped and after that it was clear sailing home. We did stop at Cabela's where we used their dump station. It's only $5.00 plus Bruce had to do some sock shopping.

Would love to live in Wyoming but not sure about those winters!!!!

ITRA on the Trail

I don’t know about other folks but each year about this time I start saying to myself I am going to get out to camp and ride more this year. But what usually happens is “life”, and I never get to keep that promise to myself. Yet, again this year, as the optimist that I am, I have made that same promise. Although this year I have made several reservations at the Indiana Department Natural Resources Reservation System. Now, when “life” intervenes I will at least have a choice: go camping or do whatever “life” wants me to do. So what if I miss a wedding or two and skip that family reunion, at least I will do something I want to do. And, when those invitations arrive in the mail I can confidently say “I’m sorry but I have made other plans”……. Well a fella can dream, can’t he?

On a more serious note, this year is shaping up to be a busy one for us. Between the weather, the politicians and our usual works days there will again be more needs than we can deal with in the time we have. We also, due to the generosity of the members and civic minded groups, have funds to take care of several neglected trail projects. With the assistance of IDNR look for us to make some major trail improvements at Brown County State Park. The Midwest Equine Trail Foundation (METF) was awarded a $5000 grant from the Brown County Community Foundation from an anonymous donor. The METF will provide Indiana Trail Riders Association those funds for improvements in the park. Plans are currently being made to upgrade some of the more dangerous trail sections in the park. Come to the annual meeting, watch our Facebook or website for updates as the plans mature.

Also, as some of you may have heard O’Bannon Woods State Park has proposed some horse trail reductions and changes. Indiana Trail Riders, local area trail riders and IDNR have been in discussions to determine how best to save and improve those trails. Trail improvements are needed and we will be scheduling work days to save our trails.

I look forward to seeing everyone at this year’s annual meeting. As usual there will be plenty of food, auction items, old friends and updates on what this year will bring. John F. Allen, President

ITRA at the 2019 Hoosier Horse Fair

As many of you know the Indiana

Horse Council (IHC) has moved the Hoosier Horse Fair (HHF) to the Hendricks County 4-H Fairgrounds complex in Danville, Indiana. The dates are Friday, May 3rd through Sunday, May 5th. The fairground complex is 25 miles due west of its former location in Indianapolis and can easily host large gatherings.

From what has been published by the HHF it appears many of the same vendors, events and clinicians will be present. ITRA has always valued this event and as usual ITRA will be there. The fair is a time for our directors and officers to visit with our members and catchup on what is going on around the state. Members can pay their annual dues, purchase logo apparel and pick up a copy of our newest Trail Guide book. In this regard, the Hoosier Horse Fair will be no different than in years past. I encourage everyone to come to the fair and stop by the ITRA booth while you are there. We look forward to seeing you.

It’s time to round up all the kinfolk, load them on the wagons and horses and head on over to Noblesville, Indiana. Gathering time will be noon with dinner at 1 p.m. ITRA will furnish the meat and eating utensils as well as drinks. Howdy everyone, it’s that time of year again. The Annual ITRA Spring Clean-up will be Apr. 26th-28th this year at beautiful Brown County State Park. This is a fun time to break those winter blues and come out and have some ITRA fun. Everyone be careful traveling.

You can start your day Saturday, at 9:00 a.m. at the small shelter (close to guard shack) first, and register your info on the volunteer sheet so we get credit for our work. This year was the year that the Red Hat’s and Purple Chap Ladies chose Iceland for their “Dream Ride” location. I have been a member of their group for several years now and decided that it was time I finally get to go on one of these “Dream Rides”! I don’t know when I’ll get the chance again, so I took it.

Our trip was to take place August 30 – September 8th of 2018. We had about 9 months to get ready for the trip! As it turned out, we had about 20 of our RHPC members sign up for the adventure.

Icelandic horses are indeed HORSES! Don’t get misled into thinking that they are ponies! You WILL be corrected!! Even though these horses are small stature, they are a very solid, well build breed. The breed descended from horses that the Vikings arrived with, and they only kept the strongest to reproduce. They were originally thought to come from several breeds from when the first settlers arrived to Iceland between 850 and 935 AD. Similarities to the breeds of what would become Shetland, Highland and Connemara ponies have been speculated to be in the ancestry. They have tried to do some genetic analysis on the Icelandic Horses and found a possible connection to Mongolian horses. These horses have been separated from the rest of the world such that they have never had any of the same diseases that our horses have seen. They do not vaccinate their herds for anything. The breed is a closed breed on the island. In 982 AD, Icelandic parliament passed laws prohibiting any importation of any horse into Iceland. The breed has now been pure for more than 1000 years. Horses can be exported, but never returned to the country. The gait of an Icelandic is a walk, trot, canter and tolt, and some will pace. The tolt is a natural gait and is very smooth. It is similar to a rack or a largo of a Paso Fino. The tolt can be performed at various speeds and can be done very smoothly and cover a lot of ground quickly!

Extension Board, Soil & Water Conservation District Secretary, and secretary of our fair board. I want to help in the preservation and development of trails for my granddaughters to enjoy as I have.

My name is John Allen and I am the outgoing President of ITRA as well as the Trail Guide editor and Webmaster. Prior to being president I served as a director. Through all of my duties I have primarily seen myself as a cheerleader for Indiana Trail Riders Association. This group of dedicated, unselfish volunteers continue to surprise and amaze me on what they have and can accomplish. During my time you have completed a first class campground at Versailles State Park. Brown County State Park as well as other parks and forests have risen from devastating natural disasters to become vibrant riding destinations again. This organizations’ stature in the eyes of IDNR has grown by what we can bring to the table. I ask for your vote so that I may continue to cheer you on.

Scotty Estridge I am currently on the board and have been a director for ITRA for several terms. I sponsor the Tippecanoe State Park Ride and National Trail Days clean-up. I help out at the ITRA booth during Hoosier Fair and Brown County State Park Spring and Fall Clean-ups.

Barry Harvey I am a lifetime member of the Indiana Trail Riders Association. My wife, Jamie, and I live in Union County, home of Whitewater State Park. We organized two ITRA work days this summer at Whitewater State Park to repair two of the bad hills, repair the hitching rails, and assist the Park in removing a blockage in Silver Creek which was flooding the trail at the crossing. I have been on the ITRA chain saw crew for two years and have attended ITRA work days all over the State. My wife and I, along with our furry Appaloosa friends, Pistol and Josie, and our canine supervisor, Forrest, enjoy working on our Indiana trails. We own eleven horses and one pony mule. I am also a Horse & Pony Director for the Fayette County 4-H Horse and Pony program. I would appreciate your vote!

Rita Lockridge I have been a director since 2013, I have helped get the ITRA “online” with being able to pay dues online with our website (via credit card and PayPal payments) and credit card payments while at events like the Hoosier Horse Fair and the annual meeting. I help manage the transactions and work with the online reports for the treasurer for the income from PayPal. I'm also in the background trying to help keep the calendar up to date online for the club. I have been involved with the trail fundraising rides, always being an advocate for our equestrian trails around the state. I am a veterinary technician and still working so I don’t get a lot of time to join in on some of the weekends. I hope to be able to meet more of you on the trails this year!

6. Except to the extent herein or in the Certificate of Incorporation of the Corporation provided, a majority of the entire members of the Board of Directors shall constitute a quorum. At any meeting held to remove one or more directors a quorum shall consist of a majority of the directors present at such meeting. Whenever a vacancy on the Board of Directors shall prevent a quorum from being present, then, in such event, the quorum shall consist of a majority of the members of the Board of Directors excluding the vacancy. A majority of the Directors present, whether or not a quorum is present, may adjourn a meeting to another time and place. Except to the extent provided by law and these By-Laws, the act of the Board of Directors shall be by a majority of the Directors present at the time of vote, a quorum being present at such time. Any action authorized by resolution, in writing, by all of the directors entitled to vote thereon and filed with the minutes of the Corporation shall be the act of the Board of Directors with the same force and effect as if the same had been passed by unanimous vote at a duly called meeting of the Board. 7. The Chairman of the Board shall preside at all meetings of the Board of Directors. In his absence, the President shall preside and, if there be no President or in his absence, any other Director chosen by the Board, shall preside. 8. Whenever the Board of Directors shall consist of more than six persons, the Board of Directors may designate from their number, an executive committee and other standing committees. Such committees shall have such authority as the Board of Directors may delegate, except to the extent prohibited by law. In addition, the Board of Directors may establish special committees for any lawful purpose, which may have such powers as the Board of Directors may lawfully delegate. ARTICLE IV –OFFICERS 1. The Board of Directors will elect or appoint a Chairman of the Board of Directors. The A President, Vice President, a Treasurer, Secretary and such other officers shall will be elected by the membership. No one officer or board member Director may hold any more than one office or position, on the Board of Directors, at the same time. Only one family member may serve as an officer at any one time. 2. Each office officer shall hold office until the Annual Business Meeting of the Board of Directors and until his/her successor has been duly elected and qualifies. Each elected officer may hold that office a maximum of three (3) consecutive years, if desired, and elected by the membership at the Annual Business Meeting. The Board of Directors may remove any office officer with cause at any time. 3. (a) The President shall be the chief executive officer of the Corporation, shall have the responsibility for the general management of the affairs of the Corporation, and shall carry out the resolution of the Board of Directors

By-Laws 7 Rev. 9/30/00 (b) During the absence or disability of the President of the Corporation, the Vice President, or, if there be more than one, the Executive Vice President shall have all the powers and functions of the President. The Vice President shall perform such duties as may be prescribed by the Board of Directors from time to time.

(c) The Treasurer shall have the care and custody of all of the funds and securities of the Corporation and shall deposit said funds in the name of the Corporation in such bank accounts as the Board of Directors may, from time to time, determine. The Treasurer shall, when duly authorized by the Board of Directors, sign and execute all contracts in the name of the Corporation when countersigned by the President; he/she may also sign checks drafts, notes and orders for the payment of money which shall have been duly authorized by the Board of Directors. and countersigned by the President. The Treasurer shall and President should be bonded. (d) The Secretary shall keep the minutes of the Board of Directors and the minutes of the meetings. He shall have custody of the seal of the Corporation, and shall affix and attest the same to documents duly authorized by the Board of Directors. He/she shall serve all notices for the Corporation which shall have been authorized by the Board of Directors, and shall have charge of all books and records of the Corporation ARTICLE V - MISCELLANEOUS 1. The Corporation shall keep at the principal office of the Corporation, complete and correct records and books of account, and shall keep minutes of the proceedings of the members, the Board of Directors, or any committee appointed by the Board of Directors; as well as a list or record containing the names and addresses of all members. 2. The corporate seal shall be in such form as the Board of Directors shall from time to time prescribe. 3. The fiscal year of the Corporation shall be fixed by the Board of Directors from time to time, subject to applicable law. 4. (a) All By-Laws of the Corporation shall be subject to alteration or repeal and new by-laws may be made by a majority vote of the members entitled to vote in the election of directors at the Annual Business Meeting or at a Special Meeting of the members called for such purpose. (b) The Board of Directors shall have the power to make, alter or repeal, from time to time, By-Laws of the Corporation except that the Board may not amend or repeal any by-law in which control thereof is vested exclusively in the members. By-Laws 1 Rev.9/30/00 BY-LAWS OF INDIANA TRAILRIDERS ASSOCIATION (a not-for-profit corporation) Purpose of this club is to preserve, promote and improve trail riding in the State of Indiana. ARTICLE I - OFFICES The principle office of the Corporation shall be located in the city of Nashville Farmland, County of Brown Randolph and State of Indiana. The Corporation may also have such offices at such other places within the State as the Board of Directors may from time to time determine.

ARITCLE II - MEMBERS 1. (a) The persons signing the Certificate of Incorporation as Incorporators shall be the first members of the Corporation, unless they shall have resigned as such members or unless membership shall otherwise have been terminated. Thereafter, the eligibility and qualifications for membership, and the manner of and admission into membership, shall be prescribed by resolutions duly adopted by the Board of Directors of the Corporation or by such rules and regulations as may be prescribed by the Board of Directors. All such resolutions or rules and regulations relating to members adopted by the Board of Directors of the Corporation shall be affixed to the By-Laws of the Corporation, and shall be deemed to be a part thereof. Such resolutions or rules and regulations adopted by the Board of Directors may prescribe, with respect to all members, the amount and manner of imposing and collecting any initiation fees, dues or other fees, assessments, fines and penalties, the manner of suspension or termination of membership, and for reinstatement of membership, and except as may hereinafter otherwise be provided, the rights, liabilities and other incidents of membership. (b) The right or interest of a member shall not terminate except upon the happening of any of the following events: death, resignation, expulsion, dissolution or liquidation of the Corporation. 2. (a) The first annual Meeting shall be held on a date within twelve months after the formation of the corporation. Each successive annual meeting shall be held on a date not more than twelve months following the preceding Annual Meeting. Special meetings of members may be held on such date or dates as may be fixed by the Board of Directors of the Corporation from time to time and by the members on such date or dates as shall be permitted by law.

By-Laws 2 Rev. 9/30/00 (b) Any Annual or Special Meeting of Members may be held at such place

within the State as the Board of Directors of the Corporation may from time to time fix. In the event the Board of Directors shall fail to fix such place or time, or in the event members are entitled to call or convene a Special Meeting in accordance with Law, then, in such event, such meeting shall be held at the principal office of the Corporation. (c) Annual or Special Meetings of Members may be called by the Board of Directors or by any officer of the Corporation instructed to do so by the Board of Directors, except to the extent that directors may be required by law to call a meeting, and shall be called by the Secretary on behalf of the members when required to do so by law. (d) Written notice stating the place, day and hour of the meeting shall be given for all meetings. Such notice shall state the person or persons calling the meeting. Notice for an Annual Meeting shall state that the meeting is being called for the transaction of such other business as may properly come before the meeting. Notices of Special Meetings shall state the purposes or purposes for which the meeting is called. At any Special Meeting, only the business stated in the Notice of Meeting may be transacted thereat. Notice of Meeting shall be given by first class mail not less than 10 days, nor more than 50 days before the date of the meeting, to each member at his/her address recorded on the records of the Corporation., or at such other address which the member may have furnished in writing to the Secretary of the Corporation. Notice shall be deemed to have been given when deposited with postage prepaid in a post office or other official depository under the exclusive jurisdiction of the United States Post Office. Any meeting of members may be adjourned from time to time. In such event, it shall not be necessary to provide further notice of the time and place of the adjourned meeting if announcement of the time and place of the adjourned meeting is given at the meeting so adjourned. In the event the Board of Directors fixes a new record date for an adjourned meeting, a new notice shall be given, in the same manner as herein provided. No notice need be given to any member who executes and delivers a Waiver of Notice before or after the meeting. The attendance of a member in person meeting shall constitute a waiver of notice by such member. (e) At every the Annual Business Meeting of members, there shall be presented made available upon request, a list of record of members as of the record date, (certificate) by the officer responsible for its preparation, and upon request therefore, any member who has given written notice to the Corporation, which request shall be made at least 10 days prior to such meeting, shall have the right to inspect such list or record at the meeting. Such list shall be evidence of the right of the persons to vote at such meeting, and all persons who appear on such list or record to be members may vote at such meeting.

By-Laws 3 Rev. 9/30/003 3. At each Annual Business Meeting of Members, the Board of Directors shall present an Annual Report. Such report shall be filed with the records of the Corporation and entered in the minutes of the proceedings of such Annual Business Meeting of Members.

4. (a) Meetings of the members shall be presided over by the following officers, in order of seniority: President, Vice President, Treasurer, or Secretary, or, if none of the foregoing is in office or present at the meeting, by a Chairman to be chosen by a majority of the members in attendance. The Secretary of the Corporation shall act as Secretary of every meeting. When the Secretary is not available, the President may appoint a Secretary of the meeting. (b) The order of business at all meetings of members shall be as follows: Roll call of officers and board. Reading of the minutes of the preceding meeting. Report of standing committees. Officers' reports. Old Unfinished business. New business. (c) All meetings of the members and the Board of Directors shall be conducted under the most recent edition of Roberts Rules of Order. All communication, electronic or otherwise, done by the Board of Directors shall also be conducted under the same. 5. The directors may, but need not, appoint one or more inspectors to act at any meeting or any adjournment thereof. If inspectors are not appointed, the presiding officer of the meeting may, but need not, appoint inspectors. Each appointed inspector shall take and sign an oath faithfully to execute the duties of inspector with strict impartiality and according to the best of his/her ability. The inspectors shall determine the number of memberships outstanding, the voting power of each, the number of memberships represented at the meeting, and the existence of a quorum. The inspectors shall receive votes, ballots or consents, hear and determine all challenges and questions arising in connection with the right to vote, count and tabulate all votes, ballots or consents, determine the result and do such acts as are proper to conduct the election or vote of all members. The inspectors shall make a report in writing of all matters determined by them with respect to such meeting. 6. Except as provided by law 25 members entitled to cast votes shall constitute a quorum at a meeting of members for the transaction of any business. The members present may adjourn the meeting despite the absence of a quorum. Each membership shall entitle the holder thereof to one vote. A plurality of the votes cast shall elect. Except to the extent provided by law, all other action shall be by a majority of the votes cast. Whenever the vote of members is required or permitted, such action may be taken \without a meeting on the written consent setting forth the action taken signed by all members entitled to vote, except a mail-in ballot election for officers and directors.

By-Laws 4 Rev.9/30/00 7. The Board of Directors of the Corporation shall fix a record date for the purpose of determining members entitled to notice of, to vote, to express consent or dissent from any proposal without a meeting, to determine members entitled to receive distributions or allotment of rights, or for any other proper purpose. Such record date shall not be more than 50 days nor less than 10 days prior to the date of such meeting or consent or the date on which any distribution or allotment of rights, as the case may be, is to be be made. In the event no record date is fixed, the record date for the determination of members entitled to vote at a meeting of members shall be the close of business on the day next preceding the day which notice is given, or, if no notice is given, the day on which the meeting is held. The record date for determining members for any purpose other than that specified in the preceding sentence shall be the close of business on the day on which the resolution of directors relating thereto is adopted. Establishment of a record date shall apply to any adjournment of any meeting, unless a new record date is fixed by the Board of Directors for such adjourned meeting. 8. The Board of Directors may cause to be issued certificates, cards or other instruments permitted by law evidencing membership in the Corporation. Such membership certificate, card or other instrument shall be non-transferable, and a statement to that effect shall be noted on the certificate, card or other instrument. Membership certificates, cards or other instruments, if issued, shall bear the signature or facsimile signature of an officer or officers designated by the Board of Directors and may bear the seal of the Corporation or facsimile thereof. 9. In the event any capital contribution shall be made or accepted pursuant to authorization conferred by the Certificate of Incorporation of the Corporation each certificate evidencing such capital contribution shall conform to the law of the State of Incorporation.

ARTICLE Ill - BOARD OF DIRECTORS 1. The Corporation shall be managed by a Board of Directors. Each director shall be at least 18 years of age, and shall be a member of the Corporation during his/her directorship. The Board of Directors shall consist of seven persons fifteen directors and four officers. Thereafter, the number of directors constituting the entire Board shall be no less than six. Subject to the foregoing, the number of the Board of Directors may be fixed from time to time by action of the members or of the Directors. The number of Directors may also be increased or decreased by action of the members. No decrease shall shorten the term of any director then in office. No more than one (1) member per family household shall be serve on the Board of Directors at one time.

By-Laws 5 Rev. 9/30/00 2. The first Board of Directors shall consist of those persons elected by the Incorporators or named as the initial board of Directors in the Certificate of Incorporation of the Corporation and they shall hold office until the first Annual Business Meeting of Members, and until their successors have been duly elected and qualify. Thereafter, at each Annual Business Meeting of Members, the membership shall elect one-third of the directors to hold office for a term of 3 years. Each director shall hold office until the expiration of the term, for which he/she was elected, and until his/her successor has been duly elected and qualified, or until his/her prior resignation or removal as hereinafter provided. 3. (a) Any or all of the members of the Board of Directors may be removed with cause by vote of the members of the Corporation. The Board of Directors may remove any Director thereof for cause only. (b) A director may resign at any time by giving written notice to the Board of Directors or to an officer of the Corporation. Unless otherwise specified in the notice, the resignation shall take effect upon receipt thereof by the Board of Directors or such officer. Acceptance of such resignation shall not be necessary to make it effective. 4. Newly-created directorships or vacancies in the Board of Directors may be filled appointed by a vote of majority of the Board of Directors then in office, although less than a quorum, unless otherwise provided in the Certificate of Incorporation of the Corporation. A director elected appointed to fill a vacancy caused by resignation, death, or removal shall be elected to hold the office for the unexpired term of his/her predecessor. confirmed by membership at the next annual meeting. 5. (a) A regular Annual Meeting of the Board of Directors shall be held immediately following the Annual Meeting of Members. All other meetings shall be held at such time and place as shall be fixed by the Board of Directors from time to time. (b) No notice shall be required for regular meetings of the Board of Directors for which the time and place have been fixed. Special Meetings may be called by or at the direction of the Chairman of the Board, the President or by a majority of the directors then in office. (c) Written, oral, or any other method of notice of the time and place shall be given for Special Meetings of the Board of Directors in sufficient time for the convenient assembly of the Board of Directors. The notice of any meeting need not specify the purpose of such meeting. The requirement for furnishing notice of a meeting may be waived by any Director who signs a Waiver of Notice before or after the meeting or who attends the meeting without protesting the lack of notice to him.

(d) These stipulations [5(a), 5(b), 5(c)] shall also apply to all electronic, audio and or video conference meetings.
