The Government of the Dominican Republic(hereinafter referred to as the "Grantee")

ACUERDO DE ASISTENCIA DEALCANCE LIMITADO

Donatario)

ARTICLE 1: PURPOSE.

The purpose of this Limited Scope AssistanceAgreement (the "Agreement") is to set out theunderstanding of the parties named above (the"Parties") in connection with the Objectivesdescribed below. Due to ongoing changes inthe implementation structure of the UnitedStates Foreign Assistance program, thisAgreement serves as a temporary bridgefunding mechanism to ensure continuedimplementation of certain USAID programs inthe Dominican Republic over the next fiveyears. By the beginning of calendar year2008, USAID anticipates completing a five-year strategy that will go into greater detail withregard to each Foreign Assistance Objective("Objective") as described below.Subsequently, USAID either will seek to amendthis Agreement to include sections from thenew five-year strategy to be developed or willseek to enter into a new agreement with theGrantee to replace this Agreement.

ART1CULO 1: PROPOSITO.

El prop6sito de este Acuerdo de Asistencia deAlcance Limitado ("Acuerdo") es establecer elentendimiento de las partes nombradas intarriba (las "Partes") en conjuncion con losObjetivos Funcionales descritos mis abajo.Debido a los cambios continuos en la estructurade la Asistencia Extranjera de los EstadosUnidos, este Acuerdo sirve como un enlacetemporal de financiamiento pan asegurar laimplementaciOn de ciertos programas de laUSAID en la Reptiblica Dominican durante losprOximos cinco afios. A principios del afiocalendario 2008, la USAID espera habercompletado su estrategia de cinco afios que sedetallard mas ampliamente en relaciOn alObjetivo Funcional de Ayuda Extranjera("Objetivo"). Subsecuentemente, la USAIDsometera una enmienda a este Acuerdo con lassecciones de esta nueva estrategia para losprOximos cinco atios.

ARTICLE 2: OBJECTIVES ANDPROGRAM AREAS.

Section 2.1. Objectives and Program Areas

The U.S. Government's new ForeignAssistance Framework (described in greaterdetail in Annex 3) categorizes ForeignAssistance into five Objectives:

(a) Objective 1: Peace and Security to helpnations effectively establish theconditions and capacity for achievingpeace, security, and stability; and torespond effectively against arising threatsto national or international security andstability;

(b) Objective 2: Governing Justly andDemocratically to promote andstrengthen effective democracies inrecipient states and move them along acontinuum toward democraticconsolidation;

(c) Objective 3:' Investing in People to helpnations achieve sustainableimprovements in the well-being andproductivity of their populations througheffective and accountable investments ineducation, health, and other socialservices;

(d) Objective 4: Economic Growth togenerate rapid, sustained, and broad-based economic growth; and

(e) Objective 5: Humanitarian Assistance tosave lives, alleviate suffering, andminimize the economic costs of conflict,disasters and displacement. Humanitarianassistance is provided on the basis ofneed according to principles ofuniversality, impartiality and humandignity. It is often organized by sectors,

ARTICULO 2: OBJETIVOS Y AREAS DEPROGRAMAS.

Seccien 2.1. Objetivos y Areas de Programas

El Gobierno de los Estados Unidos y su nuevoMarco de Asistencia Extranjera (descrita enmayor detalle en el Anexo 3) divide laAsistencia Extranjera en cinco Objetivos:

(a) Objetivo 1: Paz y Seguridad para ayudara las naciones a establecer efectivamentelas condiciones para alcanzar la paz,seguridad y estabilidad, y para responderefectivamente contra amenazasextranjeras o nacionales a la seguridad yestabilidad;

(b) Objetivo 2: Gobernando Justa yDemocrciticamente para promover yfortalecer democracias efectivas en paisesreceptores para movilizarlos hacia unaconsolidaci6n democratica;

(c) Objetivo 3: Invirtiendo en el Pueblo paraayudar a las naciones a lograr mejorassostenibles en la productividad y elbienestar de la poblaciOn mediante laefectiva y responsable inversion en laeducaciOn, salud y otras areas de serviciosocial;

(d) Objetivo 4: Crecimiento Econdmico paragenerar un crecimiento rapid°, sostenibley amplio; y

(e) Objetivo 5: Asistencia Humanitaria parasalvar vidas, aliviar el dolor, y minimizarlos costos econOrnicos causados porconflictos, desastres y desplazamientos.La asistencia humanitaria sera provista deacuerdo a las necesidades contemplandolos principios universales, laimparcialidad y la dignidad humans.

but requires an integrated, coordinatedand/or multi-sectoral approach to be mosteffective Emergency operations willfoster the transition from relief, throughrecovery, to development, but theycannot and will not replace thedevelopment investments necessary toreduce chronic poverty or establish justsocial services.

Under this Agreement, the Parties hereto agreeto work together by focusing on activities in thefollowing Objectives and Program Areas at thistime:

Section 2.1.1. Objective 2: Governing Justlyand Democratically: Program Areas:

(a) Rule of Law and Human Rights;

(b) Good Governance;

(c) Political Competition and ConsensusBuilding;

(d) Civil Society.

Section 2.1.2. Objective 3: Investing inPeople: Program Areas:

(a) Health (HIV/AIDS; Tuberculosis;Maternal and Child Health; and FamilyPlanning and Reproductive Health);

(b) Education (Basic Education and Out-of-School Youth).

Section 2.1.3. Objective 4: EconomicGrowth: Program Areas:

(a) Trade and Investment;

(b) Infrastructure (Rural Electrification);

Section 2.2. Annex 1, Amplified Description.

Annex 1, attached, provides greater detailregarding Objectives and describes the ProgramAreas in greater detail. It also delineatesProgram Elements that will be addressed ineach of the Program Areas. Within the limits ofthe definition of the Objectives set forth inSection 2.1, Annex 1 may be changed bywritten agreement of the authorizedrepresentatives of the Parties without formalamendment of this Agreement.

Section 2.3. Annex 3, Framework for UnitedStates Foreign Assistance.

Annex 3, attached, is the Framework for UnitedStates Foreign Assistance. This frameworksupports the U.S. Foreign Assistanceoverarching goal of helping to build and sustaindemocratic, well-governed states that willrespond to the needs of their people, reducewidespread poverty and conduct themselvesresponsibly in the international system.

ARTICLE 3: CONTRIBUTIONS OF THEPARTIES.

Section 3.1. USAID Contribution.

(a) The Grant. To help achieve theObjectives set forth in this Agreement,USAID, pursuant to the ForeignAssistance Act of 1961, as amended,hereby grants to the Grantee under theterms of the Agreement an amount not toexceed Twenty-Five Million Eight

(c) Agriculture;

(d) Competitividad del Sector Privado; y

(e) Medio Ambiente.

SecciOn 2.2. Anexo 1, DescripcienAmplificada.

El Anexo 1, adjunto, amplia los Objetivosanteriores y describe las Areas de Programas ydelimita los Elementos de Programas que seranmencionados en cada Area de Programa. Dentrode los limites de las definiciones de losObjetivos mencionados en la SecciOn 2.1, Anexo1, podrin ser modificados por sus representantesautorizados segiui mutuo acuerdo y por escritosin que las Partes formalmente enmienden esteAcuerdo.

SecciOn 2.3. Anexo 3, Marco de AyudaExtranjera de los Estados Unidos.

El Anexo 3, adjunto, es el Marco de AyudaExtranjera de los Estados Unidos. Este marcoapoya la meta de la Ayuda Extranjera de losEstados Unidos de ayudar a construir y mantenernaciones democraticas y bien gobernadas querespondan a las necesidades de su gente, quereduzcan la pobreza y que se manejenresponsablemente bajo los sistemasinternacionales.

ARTICULO 3: CONTRIBUCIONES DELAS PARTES.

Seccien 3.1. Contribucien de la USAID.

(a) La DonaciOn. , Para ayudar a lograr losObjetivos planteados en este Acuerdo, laUSAID, segiin la Ley de Ayuda alExterior de 1961, enmendada, por estemedio dona al Donatario bajo lostërminos del Acuerdo la cantidad noexcedente a Veinticinco Millones

Hundred Fifty-Five Thousand SixHundred Fifty-Five United States("U.S.") Dollars (US$25,855,655) (the"Grant").

(b) Total Estimated USAID Contributionunder this Agreement. USAID's totalestimated contribution to achievement ofthe Objectives will be One HundredFifty-Five Million U.S. Dollars(US$155,000,000), which will beprovided in increments through U.S.Fiscal Year 2012. Subsequentincrements will be subject to theavailability of funds to USAID for thispurpose. The Parties agree that each suchincremental contribution provided, if any,shall cumulatively increase the totalamount of the Grant set forth in Section3.1 and consequently may increase theGrantee's contribution under Section 3.2.

(c) If at any time USAID determines that itscontribution under Section 3.1(a) exceedsthe amount which reasonably can becommitted for achieving the Objectiveduring the current or next U.S. fiscalyear, USAID may, upon written notice tothe Grantee, withdraw the excess amount,thereby reducing the amount of the Grantas set forth in Section 3.1(a). Actionstaken pursuant to this subsection will notrevise USAID's total estimatedcontribution set forth in 3.1(b).

Section 3.2. Grantee Contribution.

(a) The Grantee agrees to provide or cause tobe provided all funds, in addition to thoseprovided by USAID, to complete, on orbefore the Completion Date, all activities

El total estimado de lacontribucion de la USAID para alcanzarestos Objetivos sera de Ciento Cincuentay Cinco Mil Millones de DOlaresEstadounidenses (US$155,000,000), loscuales seran provistos en incrementos.Incrementos subsecuentes estarin sujetosa la disponibilidad de fondos de laUSAID para este propOsito. Las Partesacuerdan que con cada incremento en lacontribuciOn, si la hubiere, aumentaria eltotal de la DonaciOn planteada en laSecciOn 3.1 y consecuentemente podraaumentar la contribuciOn del Donatariobajo la Secci6n 3.2.

(c) Si en cualquier momento la USAIDdetermina que su contribuciOn bajo laSecciOn 3.1 (a) excede la cantidad querazonablemente puede comprometersepan alcanzar el Objetivo durante el altofiscal en curso o el proximo alto fiscalEstadounidense, la USAID podrla,mediante notificaciOn escrita alDonatario, retirar la cantidad en exceso,reduciendo asi la cantidad de la DonaciOntal y como se establece en la SecciOn 3.1(a). Las acciones tomadas deconformidad con esta sub-secciOn nomodificaran el total estimado de lacontribuciOn de la USAID establecido enla secciOn 3.1 (b).

Seccion 3.2. ContribuciOn del Donatario.

(a) El Donatario acuerda proveer o hacer quescan provistos todos los fondos, enadiciOn a los provistos por la USAIDpara completar, en o antes de la Fecha de

necessary to achieve the Objectives.

(b) The Grantee's contribution will not beless than the equivalent of Eight MillionSix Hundred Eighteen Thousand FiveHundred Fifty-Two U.S. Dollars(US$8,618,552) including in-kindcontributions. If USAID increases theamount of the Grant in Section 3.1(a)incrementally, as contemplated herein,the Grantee's contribution shall increasewith each increment accordingly, suchthat the Grantee's contribution will not beless than the equivalent of one-third ofUSAID's portion of the Grant that is usedto support activities that either directlyprovides substantial benefit to theGovernment of the Dominican Republicor involves the direct and substantialinvolvement of the Government of theDominican Republic in theadministration, control or management ofsuch assistance. The precise amount ofGrantee contribution shall be indicated inUSAID's written notice of eachincremental contribution. The Grantee'stotal estimated planned contribution tothe Objective will be subject toavailability of funds to the Grantee forthis purpose and to USAID providing thetotal estimated amount in Section 3.1(b).The Grantee will report at least annuallyin a format to be agreed upon withUSAID on its cash and "in-kind"contributions.

ARTICLE 4: COMPLETION DATE.

(a) The Completion Date, which isSeptember 30, 2012, or such other date asthe Parties may agree to in writing, is thedate by which the Parties estimate that all

Sila USAID incrementa la cantidad de laDonaciOn en la SecciOn 3.1 (a), como secontempla en lo adelante, la contribuci6ndel Donatario debe de aumentar con cadasubsiguiente incremento, de manera quela contribuci6n del Donatario no seamenor al equivalente de un tercio de laporciOn de la Donación de la USAID quesera usada para apoyar las actividadesque beneficien directa y sustancialmenteal Gobierno de la RepUblica Dominicanao que involucren directa ysustancialmente al Gobierno de laRepUblica Dominicana en laadministration, control o manejo dedicha ayuda. La contribuciOn precisa delDonatario debe estar indicada por escritoa la USA1D con cada incremento a lacontribuciOn. La contribuciOn totalestimada para el Objetivo estara sujeto ala disponibilidad de fondos del Donatarioy de la USAID para este prop6sitoprovisto el total estimado en la Secci6n3.1 (b). El Donatario presentani, almenos anualmente, informes de suscontribuciones en efectivo y en especie,en un formato a convenirse de mutuoacuerdo.

ARTICULO 4: FECHA DETERMINACION.

(a) La Fecha de Termination la cual es el 30de septiembre del 2012, u otra fecha quepodria ser acordada por escrito por lasPartes, es la fecha en la cual las Partes

the activities necessary to achieve theObjectives will be completed.

(b) Except as USAID may otherwise agree toin writing, USAID will not issue orapprove documentation that wouldauthorize disbursement of the Grant forservices performed or goods furnishedafter the Completion Date.

(c) Requests for disbursement, accompaniedby necessary supporting documentationprescribed in Implementation Letters, areto be received by USAID no later thannine (9) months following theCompletion Date, or such other period asUSAID agrees to in writing before orafter such period. After such periodUSAID, at any time or times, may givenotice in writing to the Grantee andreduce the amount of the Grant by all orany part thereof for which requests fordisbursement, accompanied by necessarysupporting documentation prescribed inImplementation Letters, were notreceived before the expiration of suchperiod.

ARTICLE 5: CONDITIONS PRECEDENTTO DISBURSEMENT.

Section 5.1 First Disbursement.

Prior to the first disbursement under the Grant,or to the issuance by USAID of documentationpursuant to which disbursement will be made,the Grantee will, except as the Parties mayotherwise agree in writing, furnish to USAID inform and substance satisfactory to USAID:

Despuesde dicho periodo, la USAID podra, encualquier momenta, notificar por escritoal Donatario y reducir parcial ototalmente el monto de la DonaciOn porlas cantidades para las cuales no se hayanrecibido solicitudes de desemboLso,acompana' das de la documentacien desoporte necesaria solicitada por medio deuna CE, antes de la expiraciOn de dichoperiodo.

ARTICULO 5: CONDICIONES PREVIASAL DESEMBOLSO.

SecciOn 5.1. Primer Desembolso.

Antes del primer desembolso bajo la DonaciOn,o para la emisiOn por parte de la USAID de ladocumentacien pertinente para la cual se hard eldesembolso, el Donatario tendra que suministrara la USAID en forma y sustancia satisfactoria

para la USAID, a menos que las Partes acuerdenlo contrario, to siguiente:

(a) A legal opinion acceptable to USAID that(i) this Agreement has been dulyauthorized or ratified by, and executed onbehalf of the Grantee, (ii) this Agreementconstitutes a valid and legally bindingobligation of the Grantee in accordancewith all of its terms, and (iii) all internalactions and approvals necessary to giveeffect to this Agreement have beenobtained by or on behalf of the Grantee;and

(b) A signed statement in the name of theperson holding or acting in the office ofthe Grantee specified in Section 7.2,which designates by name and title anyadditional representatives each of whommay act pursuant to Section 7.2.

Section 5.2. Notification.

USAID will promptly notify the Grantee whenUSAID has determined that a conditionprecedent has been met.

(a) Una opinion legal aceptable por laUSAID de (i) este Acuerdo ha sidodebidamente autorizado por, y suscrito yejecutado en nombre del Donatario, (ii)este Acuerdo constituye una obligaciOnvalida y legal del Donatario de acuerdocon todos sus tenninos, y (iii) toda acciOnintema y aprobaciOn necesaria para dejaren efecto este Acuerdo se ha obtenidocon o por medio del Donatario; y

(b) Una declaraciOn firmada en nombre de lapersona encargada o su suplente en laoficina del Donatario como se especificaen la Secci6n 7.2, y de cualquierrepresentante adicional, junto con lafirma registrada de cads personamencionada en la declaraciOn.

Secchin 5.2. NotificaciOn.

La USAID notificari prontamente al Donatariocuando la USAID haya determinado que lascondiciones precedentes han sido cumplidas.

Section 5.3. Terminal Dates for Conditions SecciOn 5.3. Fechas de Terminacien pars lasPrecedent. Condiciones Previas.

The terminal date for meeting the conditionsspecified in Section 5.1 is 60 days from the dateof this Agreement or such later date as USAIDmay agree to in writing before or after theabove terminal date. If the conditions precedentin Section 5.1 have not been met by the aboveterminal date, USAID, at any time, mayterminate this Agreement by written notice tothe Grantee.

La fecha de terminaciOn para reunir lascondiciones especificarlas en la Seccien 5.1 es desesenta dias calendario (60) a partir de la fechade este Acuerdo o una fecha mas tarde que laUSAID podria acordar por escrito. Si lascondiciones precedentes en la Secci6n 5.1 nohan sido satisfechas en la fecha de terminaciOnarriba mencionada, la USAID, en cualquiermomento, puede terminar este Acuerdoinfonnandole por escrito al Donatario.

ARTICLE 6: SPECIAL COVENANTS.

Section 6.1. Procurement and Disbursementof Funds.

The Grantee agrees that any or all funds underthe Grant may be contracted or otherwisecommitted and disbursed directly by USAID tothird parties in accordance with USAID'snormal regulations and procedures, unlessotherwise agreed to by USAID in writing.

Section 6.2. Crisis Modifier.

USAID and the Grantee recognize that crisesmay arise from time to time in the DominicanRepublic. The Parties recognize that, in orderto allow for greater flexibility after theoccurrence of an emergency, the activitiesdescribed in this Agreement may need to berefocused or reprogrammed to account forchanged circumstances that could not have beenanticipated prior to the crisis event. TheGrantee agrees that, if USAID approaches theGrantee subsequent to such a crisis event andrequests modifications to this Agreementrelated to the effects of the crisis, the Granteeshall work with USAID to expeditiouslyapprove such modifications. The Granteeunderstands that all funds under the Grant mustcontinue to be used for purposes for which theywere appropriated by the United StatesCongress, and that approval for certainmodifications to this Agreement related to thecrisis may require further approval fromUSAID/Washington and notification to theUnited States Congress prior to implementation

Section 6.3. Taxation.

As set forth in greater detail in the StandardProvisions Annex attached hereto, Granteeagrees to ensure that assistance provided underthis Agreement will not be subject to any

El Donatario acuerda que parte o todos losfondos bajo el Acuerdo pueden ser contratados oreservados y desembolsados directamente por laUSAID a terceros de acuerdo con losprocedimientos y regulations de la USAID, amenos que la USAID lo especifique por escrito.

Section 6.2. Modificador por Crisis

La USAID y el Donatario reconocen que ciertascrisis pueden surgir de cuando en vez en laRepUblica Dominicana. Las Partes reconocen,para permitir una mayor flexibilidad despuól deuna emergencia, que las actividades descritas eneste Acuerdo pueden ser reenfocadas oreprogramadas para reflejar cambioscircunstanciales que no pueden ser anticipadasluego de una crisis. El Donatario acuerda que, sila USAID aborda al Donatario luego de unacrisis y requiere modificaciones a este Acuerdorelacionado con los efectos de dicha crisis, elDonatario debe trabajar expeditamente con laUSAID para aprobar dichas modificaciones. ElDonatario entiende que los fondos bajo esteAcuerdo deben continuarse usando para lospropOsitos para los cuales fueron apropiados porel Congreso de los Estados Unidos, y quecualquier modificaciOn a este Acuerdorelacionado con una crisis podria requerir laaprobaciOn de la USAID en Washington y lanotificaciOn al Congreso de los Estados Unidosantes de su implementaciOn.

I. INTRODUCTION

Due to ongoing changes in the implementationstructure of the United States ForeignAssistance program, this Agreement serves asa temporary bridge funding mechanism toensure continued implementation of certainUSAID programs in the Dominican Republicover the next five years. By the beginning ofcalendar year 2008, USAID anticipatescompleting a five-year strategy that will gointo greater detail with regard to each ForeignAssistance Objective ("Objective") asdescribed in greater detail below.

This annex describes the activities to beundertaken and the progress and achievementsto be made with the funds obligated under thisAgreement. Nothing in this Annex 1 shall beconstrued as amending any of the definitions orterms of the Agreement. It is anticipated thatthis Annex 1 will be updated during CalendarYear 2008 upon completion of the USAID/DR2008 — 2012 Country Strategy.

II. BACKGROUND.

The Dominican Republic faces four keychallenges that threaten to underminedemocracy and socio-economic developmentefforts: (1) problems in governance such aswidespread corruption, ineffective rule of law,frail institutions, and inadequate servicedelivery; (2) the need to adjust to a rapidlychanging global economy; (3) rising levels ofcrime, often linked to narcotics-trafficking; and(4) a large and growing gap between rich and

Debido a los cambios recientes en laestructura de la Ayuda Extranjera de losEstados Unidos, este Acuerdo sirve comomecanismo financiero interino para asegurarla implementacidn continua de algunosprograrnas de la USAID en la RepublicaDominicana durante los prOximos cincoaltos. A principios del alto calendario 2008,la USAID habra completado su estrategia decinco altos que se detallara mas ampliamenteen relaciOn al Objetivo Funcional de AyudaExtranjera ("Objetivo") como se describe conmayor detalle mas adelante.

Este anexo describe las actividades arealizarse y el progreso y los alcancesesperados con los fondos obligados bajo esteAcuerdo. Nada en este Anexo 1 deberiinterpretarse como enmendando cualesquierade las defmiciones y tanninos del Acuerdo.Se anticipa que este Anexo 1 sera actualizadodurante el Arlo Calendario 2008 al terminarla Estrategia de Pais de la USAID 2008-2012.

II. ANTECEDENTES.

La ReptIblica Dominicana enfrenta cuatrograndes retos que amenazan con debilitar losesfuerzos de desarrollo democraticos ysocioeconOmicos: (1) problemas con lagobemabilidad tales como la propagaciOn dela corrupciOn, Estado de Derecho inefectivo,instituciones débiles y la entrega de servicio

inadecuada; (2) la necesidad de ajustarse alrapido cambio de la economla global; (3) elaumento de la criminalidad, frecuentemente

poor. These factors are closely linked andcombine to reduce social cohesion, challengingpolicy makers in their efforts to implementsustainable development initiatives. Gettinggovernance right and combating poverty inthese circumstances is the major cross-cuttingchallenge for the Dominican Republic.

To address these challenges, USAID's currentprograms in the Dominican Republic spanGoverning Justly, Investing in People andEconomic Growth Functional Objectives. U.S.assistance programs target areas where the U.S.has already proved to be an effective donor andadvocate for reform, complementingDominican programs in public and privatesectors and the work of other donors. U.S.bilateral assistance helps the DominicanRepublic overcome the key stumbling blocksfor advancement to transforming country statusand access to Millennium Challenge Accountfunds such as corruption, governmenteffectiveness, rule of law, public investment inhealth and education, immunization rates,girl's primary education completion rate, andbusiness and fiscal regulatory challenges. U.S.foreign assistance will help the DominicanRepublic improve overall governance andtransparency, implement Central America FreeTrade Agreement-Dominican Republic(CAFTA-DR), and help small businesses andrural communities take advantage of CAFTA-DR opportunities for trade and incomegeneration. U.S. foreign assistance improvesequitable access to quality health care throughsupport for HIV/AIDS prevention andtreatment, TB detection/cure, health reformand implementation of the health component ofa new social security system. U.S. foreignassistance promotes quality primary educationthrough improved education policy reform andimplementation, with support from local

III. FUNDING.

Financial Plan. The financial plan for theProgram is set forth in the attached table,Annex 4. Changes may be made to thefinancial plan by representatives of the Partieswithout formal amendment to the Agreement,if such changes do not cause (1) USAID'scontribution to exceed the amount specified inSection 3.1 of the Agreement, or (2) theGrantee's contribution to be less than theamount specified in Section 3.2 of theAgreement.

IV. PROGRAM AREAS ANDPROGRAM ELEMENTS.

Functional Objective 2: Governing Justlyand Democratically:

Program Area 2.1: Rule of Law and HumanRightsAn independent and effective justice sector isthe cornerstone of democratic stability in theDominican Republic and supports keydevelopment goals, namely, reducing narcoticstrafficking and international organized crime,implementing CAFTA-DR, and reducingcorruption.

These efforts aim to reducecriminal case processing times, expandgeographic coverage, create greater clientsatisfaction with justice services, andstrengthen the application of sanctions ofcorruption in justice sector institutions.

Program Elements under Rule of Law andHuman Rights to be addressed include: JusticeSystems and Program Support.

Program Area 2.2: Good GovernanceDominican society is increasingly cognizantthat clientelism, patronage, and corruptioninhibit economic growth, access to qualityhealth and education, and good governance anddemocracy. Corruption undermines theachievement of our common objectivesranging from reducing narcotrafficicing andestablishing a free-trade regime to reducingpoverty and creating economic opportunities.Establishing good governance in this context isa long-term effort. With USAID support, it ishoped that Dominicans will expand theirawareness and engage in social monitoringefforts of the Government of the DominicanRepublic (GODR). Over the medium-term, theGODR will advance the institutionalization oftransparency and accountability mechanismsand citizens and the media will moreeffectively conduct oversight.

Program Area 2.3: Political Competition andConsensus-BuildingThe DR has shown significant advances overthe past twelve years in holding credibleelections and institutionalizing competition.However, electoral institutions are still fragileand frequently subject to political persuasion,weakening public support for democracy, thestrengthening of which is a central USGassistance goal in the DR.

In May 2008, the DR will hold presidentialelections, supported by USAID assistanceaimed at ensuring effective domestic oversight.Political parties will benefit from improveddemocratic management capacity of youngparty leaders. In subsequent years, USAID willpromote greater accountability of politicalparties through greater transparency of politicalparty operations and financing.

Program Area 3.1: HealthThe DR requires equitable health care toachieve transforming country status. USAID expects tocontribute to strengthening the stewardship andregulatory role of the Secretariat of Health,management capacity of service providers,implementation of family health insurance,improved reproductive health and familyplanning services, vaccination programs, andincreased access to Direct Observed TreatmentShort Course (DOTS).

Program Elements under Health includeHIV/AIDS, Tuberculosis, Maternal and ChildHealth, and Family Planning and ReproductiveHealth. Program Support for the ProgramArea 3.1 Health will be funded under Sub-Elements. The Agreement Budget Table inAnnex 3 will outline these program supportlevels.

Program Area 3.2: EducationIn the 21st century individuals must acquirebasic academic skills in order to participatesuccessfully in a rapidly changing globalenvironment. An educated citizenry is essentialto foster economic growth, advance democracyand reduce poverty. USAID resources will beused to improve the quality of basic educationin public schools by encouraging appropriatepolicy and curriculum reform and humanresource development with the long-term goalto improve the Dominican government'sability to meet the education needs of itscitizens, contributing to increasedcompetitiveness and future economic growth.Additionally, USAID will continue toinvestigate and finance innovative educationinterventions for At-Risk youth that inspire,encourage and motivate them to develop thenecessary aptitudes and life skills to be

USAID will provide TradeCapacity Building (TCB) assistance in theseand other areas to key public and privateinstitutions to ensure full compliance withtrade agreements and WTO requirementsthrough policy reforms and strengthened publicand private institutions that are better preparedto meet the challenges of an open, globalmarket economy.

the lack of public infrastructure in the ruralsector including efficient rural electrificationservices. Large parts of the country, includingurban areas, are subject to frequent blackoutsand very high electricity costs. Many ruralareas are not connected to the national powergrid and still light their houses with candlesand kerosene lamps. Farm production in theseareas is seriously restricted by the absence ofelectricity to operate lights, water pumps,power tools, and equipment. USAID willsupport a rural electric cooperative thatsupplies efficient, low-cost electricity to firmsand households, which in turn supports the 5-year goal to achieve long-term broad-basedgrowth and competitiveness.

Program Elements under Infrastructureinclude: Modem Energy Services and ProgramSupport.

Program Area 4.5: AgricultureWhere value-chain cooperation and publicsector intervention are ineffective, agriculturalproducers and exporters find it difficult to takeadvantage of CAFTA-DR; liberalized tradebecomes a threat, not an opportunity. USAIDwill offer technical assistance to improvemarket-led crop production, processing, andmarketing to ensure that local value chains findnew products in demand in both domestic andinternational markets. Over 5 years, this ruraleconomic diversification program will expandthe benefits of free trade and increase marketaccess to small and medium agriculturalenterprises in the Dominican Republicresulting in increased investment, income, andemployment.

V. ACTIVITIES/ACTIVITYSELECTION.

Specific Activities to be funded under thisagreement are in the design phase. Thissection will be updated at the beginning ofcalendar year 2008 upon completion of theUSAID/DR 2008 — 2012 Country Strategy.

VI. ROLES AND RESPONSIBILITIESOF THE PARTIES.

USAID/DR Technical Teams (EconomicGrowth, Health and Democracy) will representthe USAID/DR Director, as necessary, in theimplementation of the activities described inthis Annex. The National Secretariat ofEconomy, Planning and Development(SEEPyD) will act as overall coordinator onnon-technical aspects of the Agreement.Technical aspects will be coordinated withother public ministries involved with programimplementation. The GODR will designateadditional representatives for the purpose ofimplementing the Agreement.

USAID/DR may enter into contracts andprovide grants with U.S., international (e.g.,multilateral institutions) and localorganizations to provide technical assistance,

V. ACTIVIDADES/ SELECCION DELA ACTIVIDAD.

VI. ROLES YRESPONSABILIDADES DE LASPARTES.

training, and institutional support to theagencies implementing the activities to beundertaken.

USAID/DR also may enter into contracts andprovide grants to U.S., international and localorganizations to implement the activities statedabove; and ensure the application ofenvironmental guidelines to proposed activities- assess the implementing partner's capacity tocomply with all relevant environmental laws,regulations and guidelines, and establish amonitoring protocol for tracking theeffectiveness of applicable guidelines. Whererequired, USAID/DR Technical Teams willobtain the approval of the USAID/DR MissionEnvironmental Officer prior to approving theinitiation of activities.

The GODR will provide counterpartcontribution (cash and/or in-kind) and providethe key personnel to coordinate and implementthe activities described above.

VII. MONITORING ANDEVALUATION.

USAID/DR Technical Teams will monitor theperformance of the implementing partners andthe progress of activities summarized in thisAnnex to determine whether the expectedresults are being achieved. USAID and theGODR will devise a monitoring, evaluationand audit plan once the new Strategic Plan isdeveloped for 2008-2012 that may includeformal periodic activity evaluations, formalaudits, the review of the workplans prepared bycontractors and implementing partners, routinedata source studies, and ad hoc assessments.USAID will track progress of performance for2007 using performance targets as summarized

below, to document the overall success orfailure of such activities. The decision toevaluate or not, and which evaluationmethodology to use, will be made by the Teambased on implementation experience.

On a semi-annual basis the USAID/DRMission will: (1) assess whether theimplementation processes and mechanisms arevalid and identify the major problemsimpeding progress; (2) identify modificationsto be made to make activity implementationmore effective and efficient, and (3) suggestother corrective actions, including specialevaluations of individual activities or a groupof activities. It is expected that these reviewswill result in further assessment of specificaspects of implementation, using focused, in-house evaluations or analyses of activityimplementation and impact.

An audit plan will be implemented accordingto Audit requirements specified in Section B.5(c) (1) of the Standard Provisions attached(Annex 2).

STANDARD PROVISIONS

ARTICLE A

Definitions and Implementation Letters

SECTION A.1. Definitions

As used in this Annex, the "Agreement" refersto the Assistance Agreement to which thisAnnex is attached and of which this Annexforms a part. Terms used in this Annex havethe same meaning or reference as in theAgreement.

SECTION A.2. Implementation Letters

To assist the Grantee in the implementation ofthe Agreement, USAID, from time to time,will issue implementation letters("Implementation Letters") that will furnishadditional information about matters stated inthis Agreement. The Parties may also issuejointly agreed-upon Implementation Letters toconfirm and record their mutual understandingon aspects of the implementation of thisAgreement. Implementation Letters can also beissued to record revisions or exceptions whichare permitted by the Agreement.

ARTICLE B

General Covenants

SECTION B.1. Consultation

The Parties will cooperate to assure that theObjectives and Program Areas of thisAgreement will be accomplished. To this end,the Parties, at the request of either, willexchange views on progress toward theObjectives and Program Areas, the

ARTICULO A

SECCION A.1. Definiciones

"El Acuerdo", tal y como se emplea en elpresente Anexo, se refiere al Acuerdo deDonaciOn de Objetivo Estratagico al cual seadjunta el presente Anexo y del cual esteAnexo forma parte. Los tarminos empleadosen este Anexo tienen el mismo significado oreferencia que en el Acuerdo.

SECCION A.2. Cartas de EiecuciOn

Pam ayudar al Donatario en la ejecuciOn delAcuerdo, la USAID emitira periOdicamenteCartas de Ejecucion que proporcionaraninformaciOn adicional con respecto a losasuntos tratados en este Acuerdo Las Partestambia podran emitir Cartas de Ejecucionacordarlas de coman acuerdo, para confirmar yregistrar decisiones mutuas sobre aspectos dela ejecuci6n de este Acuerdo. ARTICULO B

SECTION B.2. Execution of Agreement

The Grantee will:

a. Carry out the Agreement and theactivities required to be undertakendirectly (or caused to be undertaken) bythe Grantee, or cause the Agreement andsuch activities to be carried out with duediligence and efficiency, in conformitywith sound technical, financial, andmanagement practices, and inconformity with those documents, plans,specifications, contracts, schedules, orother arrangements, and with anymodifications therein, approved byUSAID pursuant to this Agreement; and

b. Provide qualified and experiencedmanagement for, and train such staff asmay be appropriate for, the maintenanceand operation of activities financedunder the Agreement, and, as applicablefor continuing activities, cause thoseactivities to be operated and maintainedin such manner as to assure thecontinuing and successful achievementof the Objective and Program Elementsunder the Agreement.

SECTION B.3. Utilization of Goods andServices

Any goods and services financed under thisAgreement, unless otherwise agreed in writingby USAID, will be devoted to the Agreementuntil the completion or termination of theAgreement, and thereafter (as well as duringany period of suspension of the Agreement)

Proporcionar una administraciOncalificada y experimentada, y capacitar alpersonal, segfin sea necesario, para elmantenimiento y operaciOn de lasactividades financiarlas por el Acuerdo, y,cuando sea aplicable para la continuationde actividades, verificar que éstas seanrealizadas y mantenidas de tal maneraque se asegure el logro continuo ysatisfactorio del Objetivo y losResultados del Acuerdo.

SECCION B.3. Utilization de Bienes vServicios

will be used to further the Objectives of theAgreement or as USAID may direct inImplementation Letters.

SECTION B.4. Taxation

a. General Exemption. The Agreement andthe assistance thereunder are free fromany taxes imposed under laws in effectin the territory of the Grantee.

b. Except as provided otherwise in thisprovision, the General Exemption insubsection (a) applies to, but is notlimited to (1) any activity, contract, grantor other implementing agreementfinanced by USAID under thisAgreement; (2) any transaction orsupplies, equipment, materials, propertyor other goods (hereinafter collectively"goods") under (1) above; (3) anycontractor, grantee, or other organizationcarrying out activities financed byUSAID under this Agreement; (4) anyemployee of such organizations; and (5)any individual contractor or granteecarrying out activities financed byUSAID under this Agreement.

c. Except as provided otherwise in thisprovision, the General Exemption insubsection (a) applies to, but is notlimited to, the following taxes:

1) Exemption 1. Customs duties,tariffs, import taxes, or other levieson the importation, use and re-exportation of goods or the personalbelongings and effects (includingpersonally-owned automobiles) forthe personal use of non-national

Taxes on the income,profits or property of all (i) non-national organizations of any type,(ii) non-national employees ofnational and non-nationalorganizations, or (iii) non-nationalindividual contractors and grantees.Exemption 2 includes income andsocial security taxes of all types andall taxes on the property, personal orreal, owned by such non-nationalorganizations or persons. The term"national" refers to organizationsestablished under the laws of theGrantee and citizens of the Grantee,other than permanent resident aliensin the United States.

3) Exemption 3. Taxes levied on thelast transaction for the purchase ofgoods or services financed byUSAID under this Agreement,including sales taxes, value-addedtaxes (VAT), or taxes on purchasesor rentals of real or personalproperty. The term "last transaction"refers to the last transaction by whichthe goods or services were purchasedfor use in the activities financed byUSAID under this Agreement.

d. If a tax has been levied and paid contraryto the provisions of an exemption,USAID may, in its discretion, (1) requirethe Grantee to refund to USAID or toothers as USAID may direct the amountof such tax with funds other than thoseprovided under the Agreement, or (2)offset the amount of such tax fromamounts to be disbursed under this orany other agreement between the Parties.

e. In the event of a disagreement about theapplication of an exemption, the Partiesagree to promptly meet and resolve suchmatters, guided by the principle that theassistance furnished by USAID is freefrom direct taxation, so that all of theassistance furnished by USAID willcontribute directly to the economicdevelopment of the country of theGrantee.

SECTION B.S. Reports and Information,Agreement Books and Records, Audits, andInspections

a. Reports and Information. The Granteeshall furnish USAID accounting recordsand such other information and reportsrelating to the Agreement as USAIDmay reasonably request.

b. Grantee Agreement Books and Records.The Grantee shall maintain accountingbooks, records, documents and otherevidence relating to the Agreement,adequate to show, without limitation, all

The Grantee shallmaintain Agreement books and recordsin accordance with generally acceptedaccounting principles prevailing in theUnited States, or at the Grantee's option,with approval by USAID, otheraccounting principles, such as those (1)prescribed by the InternationalAccounting Standards Committee (anaffiliate of the International Federationof Accountants) or (2) prevailing in thecountry of the Grantee. Agreementbooks and records shall be maintainedfor at least three years after the date oflast disbursement by USAID or for suchlonger period, if any, required to resolveany litigation, claims or audit findings.For the avoidance of doubt, this SectionB.5(b) applies solely to Grant fundsexpended directly by the Grantee.

c. Grantee Audit. If Three HundredThousand U.S. Dollars (US$300,000) ormore of USAID funds are expendeddirectly by the Grantee in its fiscal year

under the Agreement, the Grantee shallhave financial audits made of theexpenditures in accordance with thefollowing terms, except as the Partiesmay otherwise agree in writing:

1) With USAID approval, the Granteeshall use its Supreme AuditInstitution or select an independentauditor in accordance with the"Guidelines for Financial AuditsContracted by Foreign Recipients"issued by the USAID InspectorGeneral ("Guidelines"), and theaudits shall be performed inaccordance with the "Guidelines";and

2) The audit shall determine whetherthe receipt and expenditure of thefunds provided under the Agreementare presented in accordance withgenerally accepted accountingprinciples agreed to in subsection (b)above and whether the Grantee hascomplied with the terms of theAgreement. Each audit shall becompleted no later than nine monthsafter the close of the Grantee's yearunder audit.

d. Sub-recipient Audits. The Grantee,except as the Parties may otherwiseagree in writing, shall submit to USAID,in form and substance satisfactory toUSAID, a plan for the audit of theexpenditures of "covered" sub-recipients, as defined below, that receivefunds in connection with a directcontract or agreement entered intodirectly with the Grantee pursuant to theactivities contemplated by this

Agreement.

1) A "covered" sub-recipient is onewho expends Three HundredThousand U.S. Dollars(US$300,000) or more in its fiscalyear in "USAID awards" (i.e., assub-recipients under USAIDstrategic objective and other grantagreements with foreigngovernments).

2) The plan shall describe themethodology to be used by theGrantee to satisfy its auditresponsibilities for covered sub-recipients. The Grantee may satisfysuch audit responsibilities by relyingon independent audits of the sub-recipients; expanding the scope ofthe independent financial audit of theGrantee to encompass testing of sub-recipients' accounts; or acombination of these procedures.

3) The plan shall identify the fundsmade available to covered sub-recipients that will be covered byaudits conducted in accordance withother audit provisions that wouldsatisfy the Grantee's auditresponsibilities. (A nonprofitorganization organized in the UnitedStates is required to arrange for itsown audits. A for-profit contractororganized in the United States thathas a direct contract with USAID isaudited by the cognizant U.S.Government Agency. A privatevoluntary organization organized

4) The Grantee shall ensure thatcovered sub-recipients under directcontracts or agreements with theGrantee take appropriate and timelycorrective actions; consider whethersub-recipients' audits necessitateadjustment of its own records; andrequire each such sub-recipient topermit independent auditors to haveaccess to records and financialstatements as necessary.

e. Audit Reports. The Grantee shall furnishor cause to be furnished to USAID anaudit report for each audit arranged forby the Grantee in accordance with thisSection within 30 days after completionof the audit and no later than ninemonths after the end of the period underaudit.

I. Other Covered Sub-recipients. For"covered" sub-recipients who receivefunds under the Agreement pursuant todirect contracts or agreements withUSAID, USAID will include appropriateaudit requirements in such contracts oragreements and will, on behalf of theGrantee, conduct the follow-up activitieswith regard to the audit reports furnishedpursuant to such requirements.

g. Cost of Audits. Subject to USAIDapproval in writing, costs of auditsperformed in accordance with the termsof this Section may be charged to theAgreement.

h. Audit by USAID. USAID retains theright to perform the audits requiredunder this Agreement on behalf of theGrantee by utilizing funds under theAgreement or other resources availableto USAID for this purpose, conduct afinancial review, or otherwise ensureaccountability of organizationsexpending USAID funds regardless ofthe audit requirement.

i. Opportunity to Audit or Inspect. TheGrantee shall afford authorizedrepresentatives of USAID theopportunity at all reasonable times toaudit or inspect activities financed underthe Agreement, the utilization of goodsand services financed by USAID, andbooks, records and other documentsrelating to the Agreement.

Sub-recipient Books and Records. TheGrantee will incorporate paragraphs (a),(b), (d), (e), (g), (h) and (i) of thisprovision into all sub-agreements withnon-U.S. organizations which meet theThree Hundred Thousand U.S. Dollars(US$300,000) threshold of paragraph (c)of this provision. Sub-agreements withnon-U.S. organizations, which do notmeet the Three Hundred Thousand U SDollars (US$300,000) threshold, shall, ata minimum, incorporate paragraphs (h)and (i) of this provision. Sub-agreements

with U.S. organizations shall state thatthe U.S. organization is subject to theaudit requirements contained in OMBCircular A-133.

SECTION B.6. Completeness ofInformation

The Grantee confirms:

a. That the facts and circumstances ofwhich it has informed USAID, orcaused USAID to be informed, in thecourse of reaching agreement withUSAID on the Agreement, are accurateand complete, and include all facts andcircumstances that might materiallyaffect the Agreement and the dischargeof responsibilities under thisAgreement; and

b. That it will inform USAID in timelyfashion of any subsequent facts andcircumstances that might materiallyaffect, or that it is reasonable to believemight so affect, the Agreement or thedischarge of responsibilities under thisAgreement.

SECTION B.7. Other Payments

Grantee affirms that no payments have been orwill be received by any official of the Granteein connection with the procurement of goods orservices financed under the Agreement, exceptfees, taxes, or similar payments legallyestablished in the country of the Grantee.

SECTION B.8. Information and Marking

The Grantee will give appropriate publicity tothe Agreement as a program to which the

ARTICLE C

Procurement Provisions.

SECTION C.1. Source and Origin

a. Except as noted herein, or in a sub-agreement issued by USAID, Grantfunds will be used to finance the cost ofgoods and services having their sourceand origin, and with respect to suppliersof goods and services, the nationality, incountries included in Geographic Codes000 and 517 as in effect at the timeorders are placed or contracts enteredinto for such goods or services.Exceptions to this requirement includelocal procurement transactions inaccordance with USAID policy orprocurements made after obtainingsource, origin, and nationality waiversfrom USAID in writing.

Additionally:

1) Ocean transportation costs shall befinanced under the Agreement onlyon vessels under flag registry ofcountries included in Code 935.Also see Section C.6 on use ofU.S. flag vessels.

2) The country of the Grantee is aneligible source for foreignexchange cost for marineinsurance, if otherwise eligibleunder Section C.7 (a).

b. Local Currency Costs. Disbursementsfor Local Currency Costs will be usedexclusively to finance the costs of goodsand services required for the Agreementwhich meet the requirements ofUSAID's local procurement policywhich will be provided in anImplementation Letter.

c. The source and origin of ocean and airshipping will be deemed to be the oceanvessel's or aircraft's country of registry atthe time of shipment.

d. Provisions concerning restricted andineligible goods and services may beprovided in an Implementation Letter.

e. Transportation by air of property orpersons financed under this agreementwill be on carriers holding United Statescertification; to the extent service bysuch carriers is available under the FlyAmerica Act. This requirement may befurther described by USAID inImplementation Letters.

SECTION C.2. Eligibility Date

No goods or services may be financed underthe Agreement which are procured pursuant toorders or contracts firmly placed or enteredinto prior to the date of this Agreement, exceptas the Parties may otherwise agree in writing.

In order for there to be mutual agreement onthe following matters, and except as the Partiesmay otherwise agree in writing:

a. The Grantee will furnish to USAID uponpreparation:

1) Any plans, specifications,procurement or constructionschedules, contracts, or otherdocumentation between the Granteeand third parties, relating to goods orservices to be financed under theAgreement, including documentationrelating to the prequalification andselection of contractors and to thesolicitation of bids and proposals.Material modifications in suchdocumentation will likewise befiunished USAID on preparation; and

2) Such documentation will also befurnished to USAID, uponpreparation, relating to any goods orservices, which, though not financedunder the Agreement, are deemed byUSAID to be of major importance tothe Agreement Aspects of theAgreement involving matters underthis subsection (a) (2) will beidentified in Implementation Letters.

b. Documents related to theprequalification of contractors, and tothe solicitation of bids or proposals forgoods and services financed under theAgreement will be approved by USAIDin writing prior to their issuance, andtheir terms will include United Statesstandards and measurements;

Materialmodifications in such contracts will alsobe approved in writing by USAID priorto execution; and

d. Consulting firms used by the Grantee forthe Agreement but not financed underthe Agreement, the scope of theirservices and such of their personnelassigned to activities financed under theAgreement as USAID may specify, andconstruction contractors used by theGrantee for the Agreement but notfinanced under the Agreement, shall beacceptable to USAID.

SECTION CA. Reasonable Price

No more than reasonable prices will be paid forany goods or services financed, in whole or inpart, under the Agreement. Such items will beprocured on a fair and, to the maximum extentpracticable, competitive basis.

SECTION C.5. Notification to PotentialSuppliers

To permit all United States firms to have theopportunity to participate in furnishing goodsand services to be financed under theAgreement, the Grantee will furnish USAIDsuch information with regard thereto, and atsuch times, as USAID may request inImplementation Letters.

b. Unless USAID determines that privatelyowned United States-flag commercialocean vessels are not available at fairand reasonable rates for such vessels, orotherwise agrees in writing:

1) At least fifty percent (50%) of thegross tonnage of all goods(computed separately for dry bulkcarriers, dry cargo liners andtankers) financed by USAID whichmay be transported on oceanvessels will be transported onprivately owned United States-flagcommercial vessels; and

2) Such insurance is placed in a countrywhich is authorized under SectionC.1(a); and

3) Claims thereunder are payable inU.S. dollars or any freely convertiblecurrency unless USAID agreesotherwise in writing.

b. If the Grantee (or government of theGrantee), by statute, decree, rule,regulation, or practice discriminates withrespect to USAID-financed procurementagainst any marine insurance companyauthorized to do business in any State ofthe United States, then all goods shippedto the territory of the Grantee financedby USAID hereunder shall be insuredagainst marine risks and such insuranceshall be placed in the United States witha company or companies authorized to

Except as USAID may otherwise agreein writing, the Grantee will insure, orcause to be insured, goods financedunder the Agreement imported for theAgreement against risks incident to theirtransit to the point of their use under theAgreement; such insurance will beissued on terms and conditionsconsistent with sound commercialpractice and will insure the full value ofthe goods. Any indemnification receivedby the Grantee under such insurance willbe used to replace or repair any materialdamage or any loss of the goods insuredor will be used to reimburse the Granteefor the replacement or repair of suchgoods. Any such replacement will be ofsource and origin of countries listed inUSAID Geographic Code 935 as ineffect at the time of replacement and,except as the Parties may agree inwriting, will be otherwise subject to theprovisions of the Agreement.

SECTION C.B. U.S. Government-OwnedExcess Property

The Grantee agrees that wherever practicableUnited States Government-owned excesspersonal property, in lieu of new itemsfinanced under the Agreement, should beutilized. Funds under the Agreement may beused to finance the costs of obtaining suchproperty.

ARTICLE D

SECTION 0.1. Disbursement for ForeignExchange Costs

a. After satisfaction of conditionsprecedent, if any, the Grantee mayobtain disbursements of funds under theAgreement for the foreign exchangecosts of goods or services required forthe Agreement in accordance with itsterms, by such of the following methodsas may be mutually agreed upon:

1) by submitting to USAID, withnecessary supporting documentationas prescribed in ImplementationLetters, (A) requests forreimbursement for such goods orservices, or, (B) requests for USAIDto procure commodities or servicesin Grantee's behalf for theAgreement; or,

2) by requesting USAID to issue lettersof commitment for specifiedamounts directly to one or morecontractors or suppliers, committingUSAID to pay such contractors orsuppliers for such goods or services.

b. Banking charges incurred by the Granteein connection with letters ofcommitment will be financed under theAgreement unless the Grantee instructsUSAID to the contrary. Such othercharges as the Parties may agree to mayalso be financed under the Agreement.

SECTION 0.4. Rate of Exchange

If funds provided under the Agreement areintroduced into the Cooperating Country byUSAID or any public or private agency forpurposes of carrying out obligations of USAIDhereunder, the Grantee will make such

ARTICLE E

Termination; Remedies

SECTION E.1. Suspension andTermination

a. Either Party may terminate thisAgreement in its entirety by giving theother Party thirty (30) days writtennotice. USAID also may terminate thisAgreement in part by giving the Granteethirty (30) days written notice, andsuspend this Agreement in whole or inpart upon giving the Grantee writtennotice. In addition, USAID mayterminate this Agreement in whole or inpart, upon giving the Grantee writtennotice, if (i) the Grantee fails to complywith any provision of this Agreement,(ii) an event occurs that USAIDdetermines makes it improbable that theObjective or Program Elements of theAgreement or the assistance programwill be attained or that the Grantee willbe able to perform its obligations underthis Agreement, or (iii) any disbursementor use of funds in the manner hereincontemplated would be in violation ofthe legislation governing USAID,whether now or hereafter in effect.

committed to make pursuant to non-cancellable commitments entered intowith third parties prior to suchsuspension or termination, suspension ortermination of this entire Agreement orpart thereof will suspend (for the periodof the suspension) or terminate, asapplicable, any obligation of the Partiesto provide financial or other resources tothe Agreement, or to the suspended orterminated portion of the Agreement, asapplicable. Any portion of thisAgreement which is not suspended orterminated shall remain in full force andeffect.

c. In addition, upon such full or partialsuspension or termination, USAID may,at USAID's expense, direct that title togoods financed under the Agreement, orunder the applicable portion of theAgreement, be transferred to USAID ifthe goods are in a deliverable state.

SECTION E.2. Refunds

a. In the case of any disbursement which isnot supported by valid documentation inaccordance with this Agreement, orwhich is not made or used in accordancewith this Agreement, or which was forgoods or services not used in accordancewith this Agreement, USAID,notwithstanding the availability orexercise of any other remedies under thisAgreement, may require the Grantee torefund the amount of such disbursementin U.S. Dollars to USAID within sixty(60) days after receipt of a requesttherefore.

If the failure of Grantee to comply withany of its obligations under thisAgreement has the result that goods orservices financed or supported under theAgreement are not used effectively inaccordance with this Agreement, USAIDmay require the Grantee to refund all orany part of the amount of thedisbursements under this Agreement foror in connection with such goods orservices in U.S. Dollars to USAIDwithin sixty (60) days after receipt of arequest therefore.

c. The right under subsections (a) or (b) torequire a refund of a disbursement willcontinue, notwithstanding any otherprovision of this Agreement, for three(3) years from the date of the lastdisbursement under this Agreement

d. (1) Any refunds under subsections (a) or(b), or (2) any refund to USAID from acontractor, supplier, bank or other thirdparty with respect to goods or servicesfinanced under the Agreement, whichrefund relates to an unreasonable pricefor or erroneous invoicing of goods orservices, or to goods that did notconform to specifications, or to servicesthat were inadequate, will (A) be madeavailable first for the Agreement, to theextent justified, and (B) the remainder, ifany, will be applied to reduce theamount of the Grant.

e. Any interest or other earnings on fundsdisbursed by USAID to the Grantee

SECTION E.3. Non-waiver of Remedies

No delay in exercising any right or remedyaccruing to a Party in connection with itsfinancing under this Agreement will beconstrued as a waiver of such right or remedy.

SECTION E.4. Assignment

The Grantee agrees, upon request, to executean assignment to USAID of any cause ofaction which may accrue to the Grantee inconnection with or arising out of thecontractual performance or breach ofperformance by a Party to a direct U.S. Dollarcontract which USAID financed in whole or inpart out of funds granted by USAID under thisAgreement.

ARTICLE F

Miscellaneous

SECTION F.1. Investment Promotion.

a. Except as specifically set forth in theAgreement or otherwise authorized byUSAID in writing, no funds or othersupport provided hereunder may beused for any activity that involvesinvestment promotion in a foreigncountry.

In the event the Grantee is requested orwishes to provide assistance in theabove area or requires clarificationfrom USAID as to whether the activitywould be consistent with the limitationset forth above, the Grantee must notifyUSAID and provide a detaileddescription of the proposed activity.The Grantee must not proceed with theactivity until advised by USAID that itmay do so.

c. The Grantee must ensure that itsemployees and subcontractors and sub-recipients providing investmentpromotion services hereunder are madeaware of the restrictions set forth in thisclause and must include this clause inall subcontracts and other sub-agreements entered into hereunder.

SECTION F.2. Voluntary Family Planning

The Parties agree that all USAID fundsprovided under this Agreement shall be used inaccordance with applicable United Statespolicy and statutory requirements relating tovoluntary family planning projects, and thatnone of the USAID funds provided under thisAgreement, or goods or services financed bysuch funds, may be used for:

a. the performance of abortion as a methodof family planning or to motivate orcoerce any person to practice abortions;

b. the performance of involuntarysterilizations as a method of familyplanning or to coerce or provide anyfinancial incentive to any person toundergo sterilizations; or

b. SECCION F.2. PlanificaciOn FamiliarVoluntaria

d. The requirements of this Section arefully described below.

1) Voluntary Participation and FamilyPlanning Methods

i) The Grantee shall take any stepsnecessary to ensure that USAIDfunds made available under thisAgreement will not be used tocoerce any individual to practicemethods of family planninginconsistent with suchindividual's moral, philosophical,or religious beliefs. Further, theGrantee shall conduct itsactivities in a manner whichsafeguards the rights, health andwelfare of all individuals whotake part in the program.

ii) Activities which provide familyplanning services or informationto individuals, fmanced in wholeor in part under this Agreement,shall provide a broad range offamily planning methods andservices available in the countryin which the activity is conductedor shall provide information tosuch individuals regarding wheresuch methods and services maybe obtained.

2) Requirements for VoluntaryFamily Planning Projects

i) A family planning "project" must

Quantitativeestimates or indicators of thenumber of births, acceptors, andacceptors of a particular methodthat are used for the purpose ofbudgeting, planning, or reportingwith respect to the project are notquotas or targets under thisparagraph, unless serviceproviders or referral agents in theproject are required to achievethe estimates or indicators.

iv) The project shall not include thepayment of incentives, bribes,gratuities or financial rewards to(I) any individual in exchange forbecoming a family planningacceptor or (2) any personnel

performing functions under theproject for achieving a numericalquota or target of total number ofbirths, number of familyplanning acceptors, or acceptorsof a particular method ofcontraception. This restrictionapplies to salaries or paymentspaid or made to personnelperforming functions under theproject if the amount of thesalary or payment increases ordecreases based on apredetermined number of births,number of family planningacceptors, or number ofacceptors of a particular methodof contraception that thepersonnel affect or achieve.

v) No person shall be denied anyright or benefit, including theright of access to participate inany program of general welfareor health care, based on theperson's decision not to arreptfamily planning services offeredby the project.

vi) The project shall provide familyplanning acceptorscomprehensible informationabout the health benefits andrisks of the method chosen,including those conditions thatmight render the use of themethod inadvisable and thoseadverse side effects known to beconsequent to the use of themethod. This requirement maybe satisfied by providinginformation in accordance withthe medical practices andstandards and health conditionsin the country where the project

is conducted through counseling,brochures, posters, or packageinserts.

vii)The project shall ensure thatexperimental contraceptive drugsand devices and medicalprocedures are provided only inthe context of a scientific studyin which participants are advisedof potential risks and benefits.

viii) With respect to projects forwhich USAID provides, orfinances the contribution of,contraceptive commodities ortechnical services and for whichthere is no sub-agreement underparagraph (5), the organizationimplementing a project for whichsuch assistance is provided shallagree that the project will complywith the requirements of thisparagraph while using suchcommodities or receiving suchservices.

ix) (a) The Grantee shall notifyUSAID when it learns about analleged violation in a project ofthe requirements ofsubparagraphs (iii), (iv), (v) or(vi) of this paragraph; (b) theGrantee shall investigate and takeappropriate corrective action, ifnecessary, when it learns aboutan alleged violation in a projectof subparagraph (iv) of thisparagraph and shall notifyUSAID about violations in aproject affecting a number ofpeople over a period of time thatindicate there is a systemicproblem in the project, (c) the

(3) Additional Requirements forVoluntary Sterilization Programs

a. None of the funds provided under thisAgreement shall be used to pay for theperformance of involuntary sterilizationas a method of family planning or tocoerce or provide any financial incentiveto any individual to practice sterilization.

b. The Grantee shall ensure that anysurgical sterilization proceduressupported in whole or in part by thisAgreement are performed only after theindividual has voluntarily appeared atthe treatment facility and has giveninformed consent to the sterilizationprocedure. Informed consent means thevoluntary, knowing assent from theindividual after being advised of thesurgical procedures to be followed; theattendant discomforts and risks; thebenefits to be expected; the availabilityof alternative methods of familyplanning; the purpose of the operationand its irreversibility; and the option towithdraw consent anytime prior to theoperation. An individual's consent isconsidered voluntary if it is based uponthe exercise of free choice and is notobtained by any special inducement orany element of force, fraud, deceit,duress, or other forms of coercion ormisrepresentation.

c. Further, the Grantee shall document thepatient's informed consent by (i) awritten consent document in a language

solicitar.

(3) Requisitos Adicionales para Programasde EsterilizaciOn Voluntaria.

c. Mas aun, el Donatario debe documentarel consentimiento del paciente por (i) undocumento de consentimiento escrito en

the patient understands and speaks,which explains the basic elements ofinformed consent, as set out above, andwhich is signed by the individual and bythe attending physician or by theauthorized assistant of the attendingphysician; or (ii) when a patient isunable to read adequately, a writtencertification by the attending physicianor by the authorized assistant of theattending physician that the basicelements of informed consent abovewere orally presented to the patient andthat the patient thereafter consented tothe performance of the operation. Thereceipt of this oral explanation shall beacknowledged by the patient's mark onthe certification and by the signature ormark of a witness who shall speak thesame language as the patient.

d. The Grantee must retain copies ofinformed consent forms and certificationdocuments for each voluntarysterilization procedure for a period ofthree (3) years after performance of thesterilization procedure.

(4) Abortion restrictions

a. None of the USAID funds providedunder this Agreement shall be used tofinance, support, or be attributed to thefollowing activities: (i) procurement ordistribution of equipment intended tobe used for the purpose of inducingabortions as a method of familyplanning; (ii) special fees or incentivesto any person to coerce or motivatethem to have abortions; (iii) paymentsto persons to perform abortions or tosolicit women to undergo abortions;(iv) information, education, training, orcommunication programs that seek topromote abortion as a method of family

planning; and (v) lobbying for oragainst abortion. The term "motivate,"as it relates to family planningassistance, shall not be construed toprohibit the provision, consistent withlocal law, of information or counselingabout all pregnancy options.

b. None of the USAID funds providedunder this Agreement shall be used topay for any biomedical research, whichrelates, in whole or in part, to methodsof, or the performance of, abortions orinvoluntary sterilization as a means offamily planning. Epidemiologic ordescriptive research to assess theincidence, extent or consequences ofabortions is not precluded.

(5) Requirement for Sub-agreements

The Grantee shall insert these requirements inall sub-agreements involving family planningor population activities which will besupported in whole or in part with USAIDfunds under the Agreement.

SECTION F.3. Prohibition on Assistanceto Drug Traffickers.

a. USAID reserves the right to terminatethis Agreement or take otherappropriate measures if the Grantee or akey individual of the Grantee is foundto have been convicted of a narcoticsoffense or to have been engaged in drugtrafficking as defined in 22 CFR Part140.

SecciOn F3 Prohibition de Avudar aTraficantes de Drogas.

SECTION F.4. Workers' Rights.

a. Except as specifically set forth in theAgreement or otherwise authorized byUSAID in writing, no funds or othersupport provided hereunder may beused for any activity that involvesworkers' rights in a foreign country.

b. In the event the Grantee is requested orwishes to provide assistance in theabove area or requires clarificationfrom USAID as to whether the activitywould be consistent with the limitationset forth above, the Grantee must notifythe USAID and provide a detaileddescription of the proposed activity.The Grantee must not proceed with theactivity until advised by USAID that itmay do so.

c. The Grantee must ensure that allemployees and subcontractors and sub-recipients providing employment-related services hereunder are madeaware of the restrictions set forth in thisclause and must include this clause inall subcontracts and other sub-agreements entered into hereunder.

SECTION F.5 Prohibition on FundingForeign Government Delegations to International Conferences.

Except as USAID may otherwise agree inwriting, funds obligated under this Agreementwhich are provided by USAID from theForeign Operations, Export Financing, andRelated Programs Appropriations Act for anyU.S. Government fiscal year after fiscal year1999 may not be used to finance the travel, perdiem, hotel expenses, meals, conference fees orother conference costs for any member of aforeign government's delegation to aninternational conference sponsored by a publicinternational organization. This restrictionmay be further described by USAID inImplementation Letters.
