PROFESSIONAL FEES/COST OF SERVICE

Professional Fees: Greenwood/Asher & Associates, Inc. is a retained executive search firm, which means we are dedicated to you as a client, to the success of your search, and closure. Our commitment to this search is to continue working with you until you have selected a candidate of choice. Further, we welcome the continued working relationship with you. We bill all fees over the first three months of the contract period. Our service is based on one-third of the total first year's estimated cash compensation for the individual employed with a minimum fee of $60,000, whichever is higher. Our fees are competitively based and industry standard. However, negotiable fee adjustments may occur as a result of further discussion.

Reflecting a strong interest in becoming your search partner, we offer options for your consideration.

• Fixed fees/flat fee • Maximum amount or not to exceed the overall amount • Negotiated fees

In addition, should other placements occur within one year, from the conclusion of this search, a fee of 25% of the first year's compensation will be assessed based on those hired position(s).

Billing: We will bill the professional fees over the first three months of service. Expenses are billed as incurred. Invoices are due and payable upon presentation and will be presented monthly. The first third of the fee will be due upon signing the contract. We offer an uelectronic payment" option in lieu of paper checks if this meets the needs of the client.

Indirect Expenses: We charge 12% of the fee for indirect expenses on the search for engagement and administrative assistance. These are difficult to track expenses such as research and internal administration, initial background checks, fax, postage, and photocopying for which there are no receipts. These expenses are billed over the first three months of service.

Overview: All the searches are tailor-made to the needs of the client. We can assist the client in designing a budget for the entire search. The expense budget will not exceed without prior client approval. Expenditures are based on client requests. The cost of the search will be the fee and indirect expenses plus expenses with receipts based on work requirements as directed by the client.

Greenwood/Asher Expenses: We bill all direct expenses with receipts separately for items such as travel, report reproduction, copying and supplies, research , express mail, and phone/video/telecommunications.

Client Expenses: Additional expenses are not included in G/A&A fees and indirect expenses. These can be invoiced through G/A&A, but are client expenses that are directed by client requests and include the following:

• Candidates: Most clients budget $500-$1 ,000 per person per trip. The client will have to decide how many candidates it wishes to see (e.g., five vs. ten) and should budget accordingly. The travel expenses are actual (with evidence of receipt). Some of our clients have a policy that caps daily hotel and food

expenses and requires coach airfare. We can provide this type of detailed response and accounting if you prefer.

• Advertisements: These are not a requirement of the firm but are placed based on the client's request.

• Background Checks: Some clients prefer to do part of the background checks themselves so that this cost will vary based on the requirements of the client. We often are asked to coordinate these services for our clients. The services may include degree verification, litigation search, driving record search, criminal, and credit reports. In general, the cost for the background work (beyond the reference report that is included in the fee) is typically about $1,000 to $7,000 per candidate dependent on the research by the client. The number of candidates for which this verification is done will vary based on the needs of clients. Some clients ask that credentials be verified on a single finalist, while others prefer having it done on all those invited for final interviews. We encourage our clients to hire a private investigator or conduct additional background work that may be unique to their situation. We recommend and coordinate the services of Mintz Group for in-depth reviews. Our background work meets or exceeds the higher education search industry standard; however, we are not a private investigation firm. We can make recommendations for additional services if our clients believe they are needed.

• Research: As a part of due diligence, we conduct a review of newspapers for which there is a subscription fee estimated at $200 per search.

Client Savings as a Result of Using G/A&A Comprehensive Services: G/A&A knows that your staff members are very busy and without available free time to provide staff services for searches. Clients have told us it is not unusual to have a full-time person on campus to provide services to the searches if the search firm does not provide what is needed. They also have told us this can cost them between $40,000+ for an administrative assistant and $150,000+ for an attorney a year. As part of your G/A&A fee, we can provide all services except those listed below for you, therefore saving you money.

• We do not .have contract authority on your behalf, which means if you decide to do off-site interviews, we cannot sign the contracts on your behalf with hotels or location the client chooses. We can work with the hotels to arrange all the details, but you must sign the contract.

• We cannot assign rooms for on-site interviews. Those on-site arrangements are completed by your campus office that has the responsibility to assign space.

• Of course, we cannot sign the contract with the person you hire. We can negotiate the details of the contract when requested.

Guarantee: G/A&A agrees to make every possible effort to present you with the best candidates. However, we cannot guarantee the performance of a candidate ultimately selected by you. G/A&A agrees that if a person is hired for the position and within one year of employment is terminated for cause by the client for reasons that should have been identified by G/A&A during the search assignment, we will conduct a replacement search and will apply the original fee towards such search. However, expenses associated with the replacement search will be invoiced to the client.

WITNESSETH that the Contractor and Virginia Tech, in consideration of the mutual covenants, promises and agreements herein contained, agree as follows:

SCOPE OF CONTRACT: The Contractor shall provide the services to Virginia Tech as set forth in the Contract Documents.

PERIOD OF CONTRACT: From February 1, 2006 through January 31, 2008 with multiple two-year renewals.

Executive Search Consulting Services

I. PURPOSE: The purpose of this Request tor Proposal (RFP) is to solicit sealed proposals from experienced search consulting firms to establish a contract or contracts through competitive negotiations tor executive search consulting services tor Virginia Polytechnic Institute and State University (Virginia Tech), an agency of the Commonwealth of Virginia. Ollerors with an expertise and current experience with executive search consulting services as outlined in the RFP are invited to submit proposals.

II. BACKGROUND: Virginia Tech, located in Blacksburg, Virginia, is the Commonwealth's largest university with over 25,000 students. The university is comprised of eight colleges and a graduate school which offers 60 bachelor's degrees and 110 masters and doctoral degrees. In addition, there are 118 Virginia Cooperative Extension offices and 4-H Centers and 12 research stations located across the state of Virginia. The university is also the region's largest employer with over 1,500 lull-time instructional faculty, 1 ,200 other faculty and research associates, and 3,400 support staff.

Ill. CONTRACT PERIOD: The term of this contract is for two years, or as negotiated. There will be an option lor multiple two-year renewals, or as negotiated.

IV. EVA BUSINESS-TO-GOVERNMENT ELECTRONIC PROCUREMENT SYSTEM:

The eVA Internet electronic procurement solution streamlines and automates government purchasing activities within the Commonwealth of Virginia. Virginia Tech, and other state agencies and institutions, have been directed by the Governor to maximize the use of this system in the procurement of goods and services. We are, therefore, requesting that your firm register as a trading partner within the eVA system.

There are registration fees and transaction lees involved with the use of eVA. These lees must be considered in the provision of quotes, bids and price proposals offered to Virginia Tech. Failure to register within the eVA system may result in the quote, bid or proposal from your firm being rejected and the award made to another vendor who is registered in the eVA system.

Registration in the eVA system is accomplished on-line. Your firm must provide the necessary information. Please visit the eVA website portal at www.eva.state.va.us and complete the Ariba Commerce Services Network registration. This process needs to be completed before Virginia Tech can issue your firm a Purchase Orderor contract. V. CONTRACT PARTICIPATION

Under the authority of the Code of Virginia 2.2-4304. Cooperative Procurement, it is the intent of this solicitation and resulting contract(s) to allow lor cooperative purchasing by only the Virginia Association of State College and University Purchasing Professionals (VASCUPP) and all other Commonwealth of Virginia public institutions of higher education (to include lour-year, two-year and community colleges). Current VASCUPP institutions include: College of Will'lam and Mary, University of Virginia, George Mason University, Virginia Military Institute, James Madison University, Old Dominion University, Virginia Tech, Radford University and Virginia Commonwealth University. A list of all other Virginia Public Colleges and Universities is available at http://www.ExploreVirqiniaColleges.com/. In addition, the lead-issuing institution may allow local governments, school boards and other agencies serving local governments in their region access to this contract(s).

Participation in this cooperative procurement is strictly voluntary. II authorized by the Contractor(s), the resultant contract(s) will be extended to the public bodies indicated above to purchase at contract prices in accordance with contract terms. The Contractor shall notify the· lead-issuing instttution in writing of any such institutions accessing the contract. No modification

of this contract or execution of a separate contract is required to participate. The Contractor will provide semi-annual usage reports for all VASCUPP members and public institutions accessing the Contract. Participating public bodies shall place their own orders directly with the Contractor(s) and shall fully and independently administer their use of the contract(s) to include contractual disputes, invoicing and payments without direct administration from the lead-issuing institution. The lead-issuing institution shall not be held liable tor any costs or damages incurred by any other participating public body as a result of any authorization by the Contractor to extend the contract. It ·Is understood and agreed that the lead-issuing institution is not responsible tor the acts or omissions of any VASCUPP member, or public body and will not be considered in default of the Agreement no matter the circumstances.

Use of this contract(s) does not preclude any participating public body from using other contracts or competitive processes as required by law.

If mutually agreeable, this contract may also be accessed by Virginia Tech-related corporations.

VI. Statement of Needs: The University, recognizing the need to attract and retain highly experienced personnel, seeks to enhance its existing recruitment procedures by securing the services and resources of executive search firm or firms when filling particular vacancies within the University. The firm or firms selected must have demonstrable qualifications and experience in the placement of individuals to positions within a higher education, not-for-profit institution.

VII. PROPOSAL PREPARATION AND SUBMISSION:

A. General Requirements: 1. RFP Response: In order to be considered for selection, Ofterors must submit a

complete response to this RFP. One (1) original and four (4) copies of each proposal must be submitted to:

Reference the Opening Date and Hour, and RFP Number in the lower left hand corner of the return envelope or package.

No other distribution of the proposals shall be made by the Offeror.

2. Proposal Preparation:

a. Proposals shall be signed by an authorized representative of the Offeror. All information requested should be submitted. Failure to submit all information requested may result in Virginia Teen requiring prompt submission of missing information and/or giving a lowered evaluation of the proposal. Proposals, which are substantially incomplete or lack key information, may be rejected by Virginia Tech at its discretion. Mandatory requirements are those required by law or regulation or are such that they cannot be waived and are not subject to negotiation.

b. Proposals should be prepared simply and economically providing a straightforward, concise description of capabilities to satisfy the requirements of the RFP. Emphasis should be on completeness and clarity of content.

c. Proposals should be organized in the order in which the requirements are presented in the RFP. All pages of the proposal should be numbered. Each paragraph in the proposal should reference the paragraph number of the. corresponding section of the RFP. It is also helpful to cite the paragraph number, subletter, and repeat the text of the requirement as it

appears in the RFP. If a response covers more than one page, the paragraph number and subletter should be repeated at the top of the next page. The proposal should contain a table of contents, which cross references the RFP requirements. Information, which the offeror desires to present, that does not fall within any of the requirements of the RFP should be inserted at an appropriate place or be attached at the end of the proposal and designated as additional material. Proposals that are not organized in this manner risk elimination from consideration if the evaluators are unable to find where the RFP requirements are specifically addressed.

d. Each copy of the proposal should be bound in a single volume where practical. All documentation submitted with the proposal should be bound in that single volume.

e. Ownership of all data, material and documentation originated and prepared for Virginia Tech pursuant to the RFP shall belong exclusively to Virginia Tech and be subject to public inspection in accordance with the Virginia Freedom of Information Act. Trade secrets or proprietary information submttted by an Offeror shall not be subject to public disclosure under the Virginia Freedom of Information Act. However, to prevent disclosure the Offeror must invoke the protections of Section 2.2-4342F of the Code of Virginia, in writing, either before or at the time the data or other materials is submitted. The written request must specifically identify the data or other materials to be protected and state the reasons why protection is necessary. The proprietary or trade secret material submitted must be identified by some distinct method such as highlighting or underlining and must indicate only the specific words, figures, or paragraphs that constitute trade secret or proprietary information. The classification of an entire proposal document, line item prices and/or total proposal prices as proprietary or trade secrets is not acceptable and may result in rejection of the proposal.

3. Oral Presentation: Offerors who submit a proposal in response to this RFP may be required to give an oral presentation of their proposal to Virginia Tech. This will provide an opportunity for the Offeror to clarify or elaborate on the proposal but will in no way change the original proposal. Virginia Tech will schedule the time and location of these presentations. Oral presentations are an option of Virginia Tech and may not be conducted. Therefore, proposals should be complete.

B. Specific Requirements: Proposals should be as thorough and detailed as possible so that Virginia Tech may properly evaluate your capabilities to provide the required services. Offerors are required to submit the following information/items as a complete proposal:

1. The return of the General Information Form and addenda, if any, signed and filled out as required.

2. Execution of Services:

Provide detail for the items in this section that are applicable to your firm's expertise: a. Describe how the firm plans to provide consulting and advisory services

related to the recruitment of University executive and senior management, including positions within the academic and administrative areas of the university.

b. Describe how the firm plans to provide consulting and advisory services related to the recruitment of University veterinary medicine clinical specialists, surgeons and other related positions.

c. Describe how the firm plans to provide consulting and advisory services related to the recruitment of University executive and senior management specifically in the area of student affairs.

d. Describe how the firm plans to provide consulting and advisory services related to the recruitment of University senior scientific and technical administrative directors.

e. Describe and/or specify any other areas of expertise the firm has in consulting and advising services.

f. Describe how the firm plans to provide consulting and advisory services related to the recruitment of information technology professionals.

g. Describe how the firm plans to provide consulting and advisory services related to the recruitment of development and fundraising officers for the university.

h. Advise of the restrictions and limitations, if any, to the University hiring unsuccessful candidates for other university positions.

3. Financial Proposal:

a. Describe the fees that will be charged for the Services. Please include the firm's best price for the searches, if applicable, include the (1) percent of total first year's cash compensation for professional fee, (2) professional fee or administrative fee, if any, and (3) maximum dollars to be paid if the firm has a cap on the total fee, if any.

b. Advise if the firm is willing to accept 1/3 of the fee at start-up, 1/3 after initial pass of candidates are presented to the university and 1/3 after the finalist is selected. If not, what is the firm's best offer?

c. If employment for a hired candidate should be terminated within one year from the start date of the hired candidate, will your firm guarantee to conduct a new search for no further professional fee? Include restrictions to this guarantee, if any.

d. Describe the fee structure for lower level positions if different than executive and senior management positions.

e. Advise if firm is willing to agree to an optional two-tier contract that might consist of the firm developing and supplying a candidate pool to the university without managing or being involved in the remainder of the search process. If firm has a pricing structure tor different services please provide.

f. Describe how the University will benefit from any cost savings by accepting the firm's proposal.

4. Firm Information, experience, personnel and references:

a. Provide a brief history of the firm and its experience in providing executive search services similar to those described in this RFP.

b. Provide information on the individuals that will be assigned to provide service to the University. Include a description of their experience in providing similar consulting and advisory services related to executive searches.

c. Provide examples of the firm's recent success in identifying competitive woman and minority candidates.

d. Describe the firm's past working relationships with search committees.

e. Provide four (4) references, either educational or governmental, for which the firm has provided services similar to those described herein. Include the dates the services were furnished, the client name, address and the name, phone number and email address of the individual that Virginia Tech has your permission to contact.

f. Provide a list of any clients lost within the last three years which includes a contact name and phone number, length of service of the account, and the reason for the loss. A loss would include clients that ceased doing business with the firm because an adequate candidate pool was not supplied, or clients that formally terminated contractual obligations to the firm prior to or directly following completion of a search due to dissatisfaction.

g. Provide a copy of the firm's most recent audited financial statements.

5. Other information:

Provide any additional information that should be considered in evaluating the firm's proposal.

VIII. SELECTION CRITERIA AND AWARD

B. Award: Selection shall be made of two or more offerors deemed to be fully qualified and best suited among those submitting proposals on the basis of the evaluation factors included in the Request for Proposals, including price, if· so stated in the Request for Proposals. Negotiations shall be conducted with the offerors so selected. Price shall be considered, but need not be the sole determining factor. After negotiations have been conducted with each offeror(s) so selected, Virginia Tech shall select the offeror(s), which, in its opinion, has made the best proposal(s), and shall award the contract(s) to that offeror(s). Virginia Tech may cancel this Request for Proposals or reject proposals at any time prior to an award, and is not required to furnish a statement of the reason why a particular proposal was not deemed to be the most advantageous. (Section 11-65D, Code of Virginia.) Should Virginia Tech determine in writing and in its sole discretion that only one offeror is fully qualified, or that one offeror is clearly more highly qualified than the others under consideration, a contract may be negotiated and awarded to that offeror. The award document will be a contract incorporating by reference all the requirements, terms and conditions of this solicitation and the Contractor's proposal as negotiated. A sample of the standard contract form is provided as Attachment (B).

IX. CONTRACT ADMINISTRATION:

A. Lisa J. Wilkes, Chief of Staff for the Executive Vice President and Chief Operating O!licer, Virginia Tech or her designee, shall be identified as the Contract Administrator and shall use all powers under the contract to enforce its faithful performance.

B. The Contract Administrator, or her designee, shall determine the amount, quantity, acceptability, fitness of all aspects of the services and shall decide all other questions in connection with the services. The Contract Administrator, or her designee, shall not have authority to approve changes in the services which alter the concept or which call for an extension of time for this contract. Any modifications made must be authorized by the Virginia Tech Purchasing Department through a written amendment to the contract.

If the award is made to a faith-based organization, the organization shall not discriminate against any recipient of goods, services, or disbursements made pursuant to the contract on the basis of the recipient's religion, religious belief, refusal to participate in a religious practice, or on the basis of race, age, color, gender or national origin and shall be subject to the same rules as other organizations that contract with public bodies to account for the use of the funds provided; however, if the faith-based organization segregates public funds into separate accounts, only the accounts and programs funded with public funds shall be subject to audit by the public body. (Code of Virginia, § 2.2-4343.1 E). In every contract over $10,000 the provisions in A and B below apply: A. During the performance of this contract, the Contractor agrees as follows:

I) The contractor will not discriminate against any employee or applicant for employment because of race, religion, color, sex, national origin, age, disability, or any other basis prohibited by state law relating to discrimination in employment, except where there is a· bona fide occupational qualification reasonably necessary to the normal operation of the contractor. The contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions of this nondiscrimination clause.

2) The Contractor, in all solicitations or advertisements for employees placed by or on behalf of the Contractor, will state that such Contractor is an equal opportunity employer.

3) Notices, advertisements and solicitations placed in accordance with federal law, rule or regulation shall be deemed sufficient for the purpose of meeting the requirements of this Section.

B. The Contractor will include the provisions of A above in every subcontract or purchase order over $10,000, so that the provisions will be binding upon each subcontractor or vendor.

2. ANTITRUST: By entering into a contract, the Contractor conveys, sells, assigns, and transfers to Virginia Tech and the Commonwealth of Virginia all rights, title and interest in and to all causes of the action it may now have or hereafter acquire under the antitrust laws of the United States and the Commonwealth of Virginia, relating to the particular goods or services purchased or acquired by Virginia Tech and the Commonwealth of Virginia under said contract.

3. APPLICABLE LAWS AND COURTS: This solicitation and any resulting contract shall be governed in all respects by the laws of the Commonwealth of Virginia and any litigation with respect thereto shall be brought in the courts of the Commonwealth. The Contractor shall comply with applicable federal, state and local laws and regulations.

4. ASSIGNMENT OF CONTRACT: A contract shall not be assignable by the Contractor in whole or in part without the written consent of Virginia Tech.

5. CHANGES TO THE CONTRACT: Changes can be made to the Contract in any one of the following ways: A. The parties may agree in writing to modify the scope of the contract. An increase or decrease in the price of

the contract resulting from such modification shall be agreed to by the parties as a part of their written agreement to modify the scope of the contract

B. Virginia Tech may order changes within the general scope of the contract at any time by written notice to the Contractor. Changes within the scope of the contract include, but are not limited to, things such as the method of packing or shipment and the place of delivery or installation. The Contractor shall comply with the notice upon receipt. The Contractor shall be compensated for any additional costs incurred as the result of such order and shall give Virginia Tech a credit for any savings. Said compensation shall be determined by one of the following methods: 1) By mutual agreement between the parties in writing; or 2) By agreeing upon a unit price or using a unit price set forth in the contract, if the work to be done can be

expressed in units, and the Contractor accounts for the number of units of work performed, subject to Virginia Tech's right to audit the Contractor's records and/or to determine the correct number of units independently; or

3) By ordering the Contractor to proceed with the work and to keep a record of all costs incurred and savings realized. A markup for overhead and proflt may be allowed if provided by the contract. The same

markup shall be used for determining a decrease in price as the result of savings realized. The Contractor shall present Virginia Tech with all vouchers and records of expenses incurred and savings realized. Virginia Tech shall have the right to audit the records of the Contractor as it deems necessary to determine costs or savings. Any claim for an adjustment in price under this provision must be asserted by written notice to Virginia Tech within thirty (30) days from the date of receipt of the written order from Virginia Tech. If the parties fail to agree on an amount of adjustment, the question of an increase or decrease in the contract price or time for performance shall be resolved in accordance with the procedures for resolving disputes provided by the Disputes Clause of this contract or, if there is none, in accordance with the disputes provisions of the Commonwealth of Virginia Purchasing Manual for Institutions of Higher Education and Their Vendors. Neither the existence of a claim or a dispute resolution process, litigation or any other provision of this contract shall excuse the Contractor from promptly complying with the changes ordered by Virginia Tech or with the performance of the contract generally.

6. CLAIMS. Contractual claims, whether for money or other relief, shall be submitted in writing to the Director of Purchasing, Virginia Tech Purchasing Department, 270 Southgate Center, Blacksburg, Virginia 24061, no later than sixty (60) days after final payment; however, written notice of the contractor's intention to file such claim shall have been given at the time of the occurrence or beginning of the work upon which the claim is based. Nothing herein shall preclude a contract from requiring submission of an invoice for final payment within a certain time after completion and acceptance of the work or acceptance of the goods. Pending claims shall not delay payment of amounts agreed due in the final payment (Code of Virginia, Section 2.2-4363). A contractor may not institute legal action prior to ~eceipt of the Director of Purchasing's decision on the claim, unless that office fails to render such decision within thirty (30) days. The decision of the Director of Purchasing shall be final and conclusive unless the contractor, within six (6) months of the date of the final decision on the claim, institutes legal action as provided in the Code of Virginia, Section 2.2-4364.

7. CLARIFICATION OF TERMS: If any prospective offeror has questions about the specifications or other solicitation documents, the prospective offeror should contact the buyer whose name appears on the face of the solicitation no later than five working days before the due date. Any revisions to the solicitation will be made only by addendum issued by the buyer.

8. COMMONWEALTH OF VIRGINIA PURCHASING MANUAL FOR INSTITUTIONS OF HIGHER EDUCATION AND THEIR VENDORS: This solicitation is subject to the provisions of the Commonwealth of Virginia Purchasing Manual for Institutions of Higher Education and Their Vendors and any revisions thereto, which are hereby incorporated into this contract in their entirety, A copy of the manual is available for review in the Virginia Tech Purchasing Department or by accessing URL http://www.purch.vt.edu on the Web.

9. DEBARMENT STATUS: By submitting their proposals, offerors certify that they are not currently debarred by the Commonwealth of Virginia from submitting bids or proposals on contracts for the type of goods and/or services covered by this solicitation, nor are they an agent of any person or entity that is currently so debarred.

10. DEFAULT: In case of failure to deliver goods or services in accordance with the contract terms and conditions, Virginia Tech, after due oral or written notice, may procure them from other sources and hold the Contractor responsible for any resulting additional purchase and administrative costs. This remedy shall be in addition to any other remedies which Virginia Tech may have.

11. DRUG-FREE WORKPLACE: In every contract over $10,000 the following provisions apply: During the performance of this contract, the Contractor agrees to (i) provide a drug-free workplace for the Contractor's employees; (ii) post in conspicuous places, available to employees and applicants for employment, a statement notifying employees that the unlawful manufacture. sale, distribution, dispensation, possession, or use of a controlled substance or marijuana is prohibited in the Contractor's workplace and specifying the actions that will be taken against employees for violations of such prohibition; (iii) state in all solicitations or advertisements for employees placed by or on behalf of the Contractor that the Contractor maintains a drug-free workplace; and (iv) include the provisions of the foregoing clauses in every subcontract or purchase order of over $10,000, so that the provisions will be binding upon each subcontractor or vendor. For the purposes of this section, "drugcfree workplace" means a site for the performance of work done in connection with a specific contract awarded to a Contractor the employees of whom are prohibited from engaging in the unlawful manufacture, sale, distribution, dispensation, possession or use of any controlled substance or marijuana during the performance of the contract.

13. ETHICS IN PUBLIC CONTRACTING: By submitting their proposals, offerors certify that their proposals are made without collusion or fraud and that they have not offered or received any kickbacks or inducements from any other offeror, supplier, manufacturer or subcontractor in connection with their proposal, and that they have not conferred on any public employee having official responsibility for this procurement transaction any

payment, loan, subscription, advance, deposit of money, services or anything of more than nominal value, present or promised unless consideration of substantially equal or greater value was exchanged.

14. FACSIMILE PROPOSALS: Facsimile unsealed proposals received in the Virginia Tech Purchasing Department prior to the time and date designated for proposal submission will be accepted. For sealed Request for Proposal (RFP) programs, an offeror may fax a proposal to a non-Virginia Tech third party, who in turn must deliver it, with the number of copies specified in the RFP, to the Purchasing Department in a sealed envelope before the proposal due date and time. All information requested in the Proposal Preparation and Submission section of the RFP must be delivered with each copy of the proposal.

!5.IMMIGRATION REFORM AND CONTROL ACT OF 1986: By submitting their proposals, the offerors certify that they do not and will not during the performance of this conttact employ illegal alien workers or otherwise violate the provisions of the federal Immigration Reform and Control Act of 1986.

!6. Il\'DEMNIFICA TION: Contractor agrees to indemnify, defend and hold harmless Virginia Tech and the Commonwealth of Virginia and their officers, agents, and employees from any claims, damages and actions of any kind or nature whether at law or in equity, arising from or caused by the use of any materials, goods, or equipment of any kind or nature, furnished by the contractor/any services of any kind or nature furnished by the contractor, provided that such liability is not attributable to the sole negligence of Virginia Tech or failure of Virginia Tech to use the materials, goods, or equipment in the manner already and permanently described by the contractor on the materials, goods or equipment delivered.

17. LATE PROPOSALS: To be considered for selection, proposals must be received by the Virginia Tech Purchasing Depattment (0333), Room 270 Southgate Center, Blacksburg, Virginia 24061, by the designated date and hour. The official time used in the receipt of proposals is that time on the automatic time stamp machine in the Virginia Tech Purchasing Department. Proposals received in the Virginia Tech Purchasing Department after the date and hour designated are automatically disqualified and will not be considered. Virginia Tech is not responsible for delays in the delivery of mail by the U.S. Postal Service, private couriers, the intrauniversity mail system, or another means of delivery. It is the sole responsibility of the offeror to insure that its proposal reaches the Virginia Tech Purchasing Department by the designated date and hour.

18. MANDATORY USE OF VIRGINIA TECH FORMS AND TERMS AND CONDITIONS: Failure to submit a proposal on the official Virginia Tech form provided for that purpose may be a cause for rejection of the proposal. Modification of or additions to the General Terms and Conditions of the solicitation may be cause for rejection of the proposal; however, Virginia Tech reserves the right to decide, on a case by case basis, in its sole discretion, whether to reject such a proposal.

19.PAYMENT: A. TO PRIME CONTRACTORS:

1) Invoices for items ordered, delivered and accepted shall be submitted by the Contractor directly to the payment address shown on the purchase order/contract. All invoices shall show the Virginia Tech or state contract number and/or purchase order number; social security number (for individual contractors) or the federal employer identification number (for proprietorships, partnerships, and corporations).

2) Any payment terms requiring payment in less than 30 days will be regarded as requiring payment 30 days after invoice or delivery, whichever occurs last. This shall not affect offers of discounts for payment in less than 30 days, however.

3) All goods or services provided under this contract or purchase order, that are to be paid for with public funds, shall be billed by the Contractor at the contract price, regardless of which public agency is being billed.

4) The following shall be deemed to be the date of payment: the date of postmark in all cases where payment is made by mail, or the date of offset when offset proceedings have been instituted as authorized under the Virginia Debt Collection Act.

5) Unreasonable Charges. Under certain emergency procurements and for most time and material purchases, final job costs cannot be accurately determined at the time orders are placed. In such cases, contractors should be put on notice that final payment in full is contingent on a determination of reasonableness with respect to all invoiced charges. Charges which appear to be unreasonable will be researched and challenged, and that portion of the invoice held in abeyance until a settlement can be reached. Upon determining that invoiced charges are not reasonable, the Commonwealth shall promptly notify the contractor, in writing, as to those charges which it considers unreasonable and the basis for the determination. A contractor may not institute legal action unless a settlement cannot be reached within thirty (30) days of notification. The provisions of this section do not relieve an agency of its prompt payment obligations with respect to those charges which are not in dispute (Code of Virginia, § 2.2-4363).

B) TO SUBCONTRACTORS: I) A contractor awarded a contract under this solicitation is hereby obligated:

a) To pay the subcontractor(s) within seven (7) days of the contractor's receipt of payment from the Commonwealth for the proportionate share of the payment received for work performed by the subcontractor(s) under the contract; or

b) To notify Virginia Tech and the subcontractor(s), in writing, of the contractor's intention to withhold payment and the reason.

The contractor is obligated to pay the subcontractor(s) interest at the rate of one percent per month (unless otherwise provided under the terms of the contract) on all amounts owed by the contractor that remain unpaid seven (7) days following receipt of payment from the Commonwealth, except for amounts withheld as stated in b) above. The date of mailing of any payment by U.S. Mail is deemed to be payment to the addressee. These provisions apply to each sub-tier contractor performing under the primary contract. A contractor's obligation to pay an interest charge to a subcontractor may not be construed to be an obligation of the Commonwealth.

20. PRECEDENCE OF TERMS: Paragraphs 1, 2, 3, 7, 8, 9, 13, 15, 18, and 19 of these General Terms and Conditions shall apply in all instances. In the event there is a conflict between any of the other General Terms and Conditions and any Special Terms and Conditions in this solicitation, the Special Terms and Conditions shall apply.

21. PUBLIC NOTICE OF A WARD: Public notice of the purchase order/contract award will be posted on the Public Information Board located in the lobby of the Virginia Tech Purchasing Department, 270 Southgate Center, Blacksburg, Virginia, if the value of the transaction is $15,000 or more. Award information may also be obtained by contacting the buyer whose name appears on the solicitation.

22. QUALIFICATIONS OF OFFERORS: Virginia Tech may make such reasonable investigations as deemed proper and necessary to determine the ability of the offeror to perform the work/furnish the item(s) and the offeror shall furnish to Virginia Tech all such information and data for this purpose as may be requested. Virginia Tech reserves the right to inspect offeror's physical facilities prior to award to satisfy questions regarding the offeror's capabilities. Virginia Tech further reserves the right to reject any proposal if the evidence submitted by, or investigations of, such offeror fails to satisfy Virginia Tech that such offeror is properly qualified to carry out the obligations of the contract and to complete the work/furnish the item(s) contemplated therein.

23. TAXES: Sales to Virginia Tech and the Commonwealth of Virginia are normally exempt from State sales tax, State sales and use tax certificates of exemption, Form ST-12, will be issued upon request. Deliveries against this contract shall be free of Federal excise and transportation taxes. The Commonwealth's excise tax exemption registration number is 54-73-0076K.

24. TESTING AND INSPECTION: Virginia Tech reserves the right to conduct any tesliinspection it may deem advisable to assure supplies and services conform to the specification.

25. TRANSPORTATION AND PACKAGING: By submitting their proposals, all offerors certify and warrant that the price(s) offered are for FOB destination and include only the actual freight rate costs at the lowest and best rate and is based upon the actual weight of the goods to be shipped. Except as otherwise specified herein, standard commercial packaging, packing and shipping containers shall be used. All shipping containers shall be legibly marked or labeled on the outside with purchase order number, commodity description, and quantity.

26. USE OF BRAND NAMES: Unless otherwise provided in this solicitation; the name of a certain brand, make or manufacturer does not restrict offerors to the specific brand, make or manufacturer named, but conveys the general style, type, character, and quality of the article desired. Any article which Virginia Tech in its sole discretion determines to be equal of that specified, considering quality, workmanship, economy of operation, and suitability for the purpose intended, shall be accepted. The offeror is responsible to clearly and specifically indicate the product being offered and to provide sufficient descriptive literature, catalog cuts and technical detail to enable Virginia Tech to determine if the product offered meets the requirements of the solicitation. This is required even if offering the exact brand, make or manufacturer specified. Unless the offeror clearly indicates in its proposal that the product offered is an "equal" product, such proposal will be considered to offer the brand name product referenced in the solicitation.

27.NONDISCRIMINATION OF CONTRACTORS: An offeror or contractor shall not be discriminated against in the solicitation or award of this contract because of race, religion, color, sex, national origin, age, disability, faithbased organizational status, any other basis prohibited by state law relating to discrimination in employment or because the offeror employs ex-offenders unless the state agency, department or institution has made a written determination that employing ex-offenders on the specific contract is not in its best interest. If the award of this contract is made to a faith-based organization and an individual, who applies for or receives goods, services, or disbursements provided pursuant to this contract objects to the religious character of the faith-based organization from which the individual receives or would receive the goods, services, or disbursements, the public body shall offer the individual, within a reasonable period of time after the date of his objection, access to equivalent goods, services, or disbursements from an alternative provider.

28.eVA BUSINESS-TO-GOVERNMENT VENDOR REGISTRATION: The eVA Internet electronic

procurement solution, web site portal www.eva.state.va.us, streamlines and automates government purchasing activities in the Commonwealth. The portal is the gateway for vendqrs to conduct business with state agencies and public bodies. All vendors desiring to provide goods and/or services to Virginia Tech should participate in the eVA Internet e-procurement solution either through the eVA Basic Vendor Registration Service or eVA Premium Vendor Registration Service. Failure to register may result in the proposal being rejected.

29. PARKING PERMITS: Effective October 31, 2002, Virginia Tech Parking Services will require the purchase and display of a parking permit for all vendor/business/contractor vehicles, privately and company owned, that park on campus. The cost of the permit is the same as the faculty/staff permit. Permit options include one year, six months, three months, summer, or day. Our process works well for all tbe positions you have outlined, and we are unaware of any restrictions or limitations. We have not conducted searches for veterinmy medicine clinical specialists, surgeons, or otber veterinary medicine positions.

Greenwood & Associates, Inc. will:

• Meet with tbe client to gather information and intelligence to customize executive search serv1ces.

• Collaborate witb the client to develop an overall search plan of action, timelinc, and recruitment materials, and design an interview and selection process, which will present the client at its best to secure tbe candidates of choice.

• Screen applicants and nominees and provide supporting documentati.on of recruitment efforts, including overall market feedback and gender/ diversity statistics. Track and manage prospect and candidate information throughout the search process and provide detailed background information on the best candidates for tbe executive level positions.

• Compare potential candidates (via resume and preliminary interviews) with stated characteristics and qualities listed in the position profiles. Assist the client in conducting background checks and coordinate reference checks on selected candidates.

• Provide technical, administrative, and logistical support for the interview process, site visits, final selection, contract negotiations, transition considerations, and follow-up. Drs. Greenwood or Asher will he available for timely consultation with d1e client regarding the search, work of the search firm, and the candidates.

Program plan

• \l7e understand the inlportance of having the right people to fill executive level positions. Our consultants have a history of 95% repeat business, searches that close on schedule with the client getting the candidate of first choice, and a process that allows d1e search committee (or other representative gronp) to reacb agreement. Many of our client relationships are long-term.

• Drs. Greenwood or Asher will collaborate witl1 the client dnoughout the search, from the initial meetings through the recruitment, evaluation, and selection of successful candidates. Organizational and Team Culture Reviews

An Organizational and Team Culture Review enhances understanding of an institution's current culture -its operative values, work environment, and "brand identity"- and the future to wbich it aspires. It is an invaluable tool for identifying the leadersbip styles that are likely to be most effective within an institution and with its key external constituents. When conducted in preparation for a senior executive search, the review generally focuses on the institution as a whole, although audits also can reveal differences in style by sub-units: divisions, departments, etc. The consultant will:

• Review relevant marketing/ admission and planning materials, such as the strategic plan or planning scenar1os;

• Administer and interpret the Organizational and Team Culture Indicator (OTCI)™, a well-researched and validated instrument;

• Meet with the Search Committee and other key leaders to crystallize an understanding of the institution's culture and aspirations; and

• Work with the Search Committee and search consultant to develop interview questions and evaluation criteria designed to select a candidate who can act as a bridge between the current culture and the instih1tion's future vision.

Authentic Branding

Authentic branding is the process of discovering the great idea that is the kernel of uniqueness that lies beneath an institution's strengths and personality. Utilizing fmclings from the Organizational and Team Culture Review, a team of consultants will work with the institution to create a comprehensive brand identity for use in marketing, fund raising, development, public relations, and other areas. Through one-on­one meetings with key leaders and group discussions, they will help the institution clarify its differentiating personality and how that personality relates to its values, mission, and future vision. Then they will identify ways for the institution to communicate what is best about it through key messages, a consistent visual image, and a tag line, all of which will be tested with focus groups drawn from important constituencies. In addition to submitting a fmal report, the consultants will help the institution develop a design manual including guidelines for expressing the brand identity in marketing materials, publications, logos, etc.

Brand-Building

At best, authentic branding can help an institution know its differentiating strengths so well that it can use that knowledge to shape policy and programs that reflect and communicate its identity. It also can help

leaders modify their styles and approaches to reflect the core values and distinctive style of the institution's authentic identity. Thus, branding is not just about what an organization says it is; rather, authentic branding is about the institution walking its talk in ways tlnt demonstrate by its actions what it stands for. Brand-implementation strategies are particularly important in areas such as public relations, admissions, program development and promotion, personnel/ employee orientation and training, human resource policies, and financial policies. Assistance to divisions generally includes:

• A review of divisional literature;

• Brainstorming meetings with division leadership teams;

• One-on-one coaching of the division leader; and

• A review of the division's brand-building plan.

Transitional Assistance

A successful executive transition begins before the new executive assumes office~ sometimes even prior to selection. Board leaders and/ or the incoming and outgoing executives must work together to send a clear message to all constituencies about the direction of tl1e institution and the primacy of its needs. The consultant will work with the relevant parties to prepare and implement a transition plan that reflects the conditions under which the transition is taking place and that is designed to foster collaboration between the outgoing and incoming presidents, a smooth transfer of leadership, and a snccessfullaunch of the new executive. This will include:

• Ensuring that the outgoing and incoming executives understand their respective roles and responsibilities;

• Working with Board leaders on the annonncement of the selection;

• Identifying opportunities for the outgoing and incoming executives to engage in joint consultation, decision-1naking, appearances, and communications;

• Helping the incoming executive to identify and reach out to key constituencies- e.g., faculty, staff, students, alumni, benefactors, elected officials, business leaders; and

• Working with the incoming executive to plan tl1e events and activities- e.g., press conference, cabinet meeting, constituent meetings - that will mark the transfer of leadership and the messages to be delivered at them.

Strategic Communications Planning

The snccess of college and university executives depends as much on how they communicate their ideas as on the substance of their plans. To achieve their objectives, such executives 1nust articulate a clear vision, obtain the support of important constituencies, respond quickly to challenges and opportunities, and deal with external forces, including the media, elected officials, and government agencies. Whether the goal is to improve the image of the institution, strengthen the bonds of community on campus, promote positive news coverage, expand fund-raising capability, enhance the stature of the chief executive, or all of tl1e above, a strategic approach to communications is an essential element of successful leadership. Developing a strategic communications plan is especially important for new leaders, but also may be critical for continning executives seeking to enhance their leadership role. The consultant will work with the executive and other designated officials to formulate a plan that sets goals and objectives consistent with the mission of the instih1tion; delineates the roles and guides the activities of all members of the administration; specifies the resources needed for implementation; and establishes benchmarks to gauge its success. The plan will identify core messages and appropriate mechanisms for delivering them. The consultant also will assess the current capacity of the institution to implement the plan.

Crisis Planning

Every institution should have in place and regularly update a plan for responding to a crisis. One function of leadership is to minimize the potential for crises, but not all can be avoided. And when a crisis does occur, failure to respond successfully can render the institution financially vulnerable, damage its reputation, and undermine confidence in its leaders. The consultant will help the institution create or review and update its crisis management plan to ensure that it is both flexible and specific, that it establishes clear lines of authority and responsibility as well as procedures for gathering information, making critical decisions, and communicating with and responding to all important constituencies.

Crisis Management

When a crisis develops, whether it is precipitated by a natural disaster, human error, a tragic event, a technological breakdown, a scandal, or a student protest, institutional leaders must respond quickly and effectively. The institution's crisis management plan can provide essential guidance, and its crisis management team, if adequately prepared, can coordinate their responses and oversee activities in areas of individual responsibility. However, a crisis management consultant brings an external perspective as well as broad knowledge and experience that add immeasurably to the quality of the institution's response. The consultant will serve as a sounding board and thinking partner to the president; identify external resources that may be available to the institution and the president; develop strategies for dealing with key constituencies, including the media, public officials, and trustees; formulate the "messages" the institution, the president, and other senior administrators should deliver; and identify the mechanisms by which to deliver the messages. The consultant also can perform needed research, secure outside experts, and conduct briefings for the Board or other constituent groups.

Opinion Research and Message Development

Whether to enhance student recruitment, plan a capital campaign, raise th.e institution's public visibility, or secure the support of policy makers, opinion research and message development play a crucial role in helpi11g an institution to fulfill its 111ission and acl-Jeve its aspirations. A variety of mechanisms are available to measure the opinions of target audiences- e.g., sm-veys, focus groups, targeted interviews- and develop key messages the institution will seek to deliver. The way this process is structured and the particular mechanisms employed will vary according to d1e goals of the project, the time frame for conducting it, and the resources the institution can bring to bear. The consultant will work with the president and other senior administrators to clarify their objectives and will identify the appropriate mechanisms to achieve them within d1e available resources. The consultant also can manage the process, including securing a reputable opinion research firm, overseeing its activities, coordinating aU co1nmunications with the institution, and delivering a final report and recommendations.

B. 3 FINANCIAL PROPOSAL

PROFESSIONAL FEES/COST OF SERVICE:

Describe the fees that will be charged for services

a) Fees: Fees (Retainer) are generally billed over the ftrst d1tee months of the contract period. Service is based on one-third of the total flrst year's estimated cash compensation for the individual employed. This formula is the industry standard. Compensation includes base salary plus any bonus that is paid during the flrst year of contract. There is a minimum fe~. In addition, should other placements result from this search a fee will be assessed based on those hired position(s).

b) Billing: We are willing to accept 1/3 of the fee at start-up, 1/3 after initial pass of candidates, and 1/3 after the fmalist is selected. Expenses are billed as incurred. Invoices are due and payable upon presentation and will be presented monthly. The flrst third of the fee will be due upon signing the contract.

c) Gnarantee: If the candidate selected to these leadership positions leaves the position within one year without good reason or is terminated for cause, G & A will reinitiate, for expenses only, a new search.

f) Cost Savings/Indirect Expenses: We will not be charging for indirect expenses; therefore, a savings is provided to yon of up to an additional18% of our fees.

Expenses: Direct expenses with receipts will be billed separately for items such as travel, advertising, report reproduction, telecommunications, and express mail. In addition, expenses for background investigations beyond reference checking (included in the fee) will be expensed to the client.

Breakdown of Expenses

Overview: All the searches are tailor-made to the needs of the client. We can assist the client in designing a budget for the entire search. Expenditures are based on client requests. The cost of the search will be the fee plus expenses with receipts based on work requirements as directed by the board.

In general, expenses fall into categories such as:

• Travel-related (e.g. candidate, spouse, and/ or consultant travel)

• Related administrative expenses (e.g. reproduction of interview books, background investigations, and telecorrununications)

We are able to advise the client on the least expensive ways to conduct a high quality search.

• Candidate and Consultant Travel: Most clients budget $500-$1,000 per person per trip. The client will have to decide how many candidates they wish to see (e.g. five vs. ten) and should budget accordingly. The travel expenses are actual (with evidence of receipt). Some of our clients have a policy that caps daily hotel and food expenses and requires coach airfare. We are able to provide this type of detailed response and accounting if you prefer.

• Labor costs: We do business on retainer; therefore, the cost of labor is included in the initial fee.

• Administrative costs: These will vary based on the requests of the client. For example, the cost of reproduction of interview books depends on the nurnber of people to receive the books and the number of resumes the client would like included (e.g. all candidates vs. d1e top ten).

• Background checks: Some clients prefer to do part of the background checks themselves, so this cost will vary based on the requirements of the client. We typically coordinate these services for our clients. The services may include referencing, degree verification, review of newspaper articles, litigation search, driving record, and credit reports. In general, the cost for the background work (beyond the reference report that is included in the fee) is typically about $700 per candidate for which the client wants to have reports. We encourage our clients to hire a private investigator and/ or conduct additional background work that may be unique to their situation. Our background work meets or exceeds the higher education search industry pattern;

however, we are not a private investigatory firm. We can make recommendations for additional services if our clients believe they are needed.

The financial statements have been prepared on the accounting basis used by the Company for income tax purposes, which is a comprehensive basis of accounting other than accounting principles generally accepted in the United States of America.

I write to respond to your letter of today to confirm several points regarding your contract for executive search services.

Greenwood & Associates is in agreement with the proposed two-year term of the contract, with provisions for multiple two-year renewals.

We are already registered with the Commonwealth's e-procurement system, eVA and will continue our participation. We have conducted two searches this year for the University of Virginia.

We are willing to extend services, if asked, to Virginia institutions of higher education and to Virginia Tech-related corporations.

Our minimum search fee is $60,000.

Our consulting services are priced according to the size and scope of the project. We have done some projects for as small as $7,500. We do not have a pricing schedule. can give you one example. For $15,000 we are conducting a study on the nursing shortage in the state of Mississippi.

Dr. Greenwood or Dr. Asher, partners of the firm, participate in all search committee meetings, manage all client relations, and supervise all activities related to any search. Under our supervision, outreach for a search may be conducted by a search consultant with experience most related to the position of the search. For example, we have consultants who have served as chief student affairs officers to do the outreach for positions in student affairs. We have consultants who have been vice presidents for development who do the outreach for positions in advancement/development and former presidents who do presidential positions. To respond to your specific example, we have not conducted searches for Vice President's for Information Technology. Therefore, we would assign this search to Dr. Howell Todd on our team, who has served as a president and supervised this activity. Partners and consultants perform all
