1. Call Regular Monthly Meeting to Order - The November 4, 2013 BCA Board of Directors Meeting was called to order by President O'Hanley at 7 PM at Brandermill Woods Clubhouse, 14311 Brandermill Woods Trail, Midlothian, VA 23112. Directors Bettin, Blom, Davis, Hillman, Leonard, Malek and O'Hanley, Community Manager Bailey and Recorder Judy Agee were present.

2. Director Davis led the meeting with the Pledge of Allegiance.

3. Approval of Agenda MOTION: Director Malek moved to approve the Agenda. MOTION SECONDED: Director Davis MOTION CARRIED: Unanimously approved.

4. Consideration of Minutes for Meetings of October 9 and 29, 2013 MOTION: Director Leonard moved to approve the minutes of the October 9 and October 29, 2013 meetings. MOTION SECONDED: Director Blom MOTION CARRIED: Unanimously approved.

5. Reports-A. President - President O'Hanley noted the October activities included a Food Truck event, a family camp-out at Sunday Park, and a Halloween Tots Fest. She thanked Community Services Director Jennifer Strader for her assistance with the Green Market each Saturday from May through October, and the help provided by volunteers and other staff members. She announced the Great Brandermill Cleanup Day is this Saturday, November 9, and noted there have been 170 requests for the bagsters. President O'Hanley announced an event considered as part of Brandermill's 40th

Anniversary - "40 Hands Across Brandermill." This event was recommended as part of the Master Plan, and involves organizing volunteers to help a deserving resident with exterior and landscaping property updates. This project will involve short-term volunteer opportunities and will include donations from residents and commercial members. Nominations for the "40 Hands Home" will be decided in February and the work will be done in April or May. B. First Vice-President - Director Davis had no report. C. Treasurer - Director Hillman reviewed the Financials as of September 30, 2013 Report and noted that expenses are running behind revenues and it is expected the 2013 budget will finish the year with approximately $50,000 surplus in the operating budget, which could be added to the Reserve Fund. D. Members of the Board - Director Hillman complemented Director Leonard for his attendance and assistance at all ARB meetings in his role as board liaison. Director Hillman asked what plan was in place to cite residents for not meeting the new mailbox standards starting January 1, 2014. Community Manager Bailey reported the focus of the two new part-time Standards staff will be the compliance issues of the mailboxes, which he stated will be handled as part of the normal covenant violation process.

E. Community Manager - Community Manager Bailey reported that a good number of residents have called regarding street paving work being done by VDOT. He explained that VDOT's two-step process involves making initial repairs on potholes and dips in the road surface and then to return in several months to apply a slurry seal coat to cover the entire street. Manager Bailey reported that because of the expansion plans of Brandermill Woods, the loca tion of the board meetings will be moved to the Harbour Pointe Clubhouse starting with the January 6, 2014 board meeting. Manager Bailey reported the "Manager's Walkabouts" have been completed for this year because of fewer daylight hours and will resume in the spring. He reported 30% of the neighborhoods have been visited, including neighborhoods along Millridge Parkway and those west of Brandermill Parkway to Genito Road. Manager Bailey provided a summary of ARB and Standards Department activities for October. Manager Bailey reported BCA staff have communicated with Verizon to request they stop their door-to-door solicitations. He encouraged residents to report any companies who are soliciting even with the "No Solicitation" policy added to signs on the parkways. Manager Bailey discussed the proposed reorganization of the BCA committees, which was a result of the 2013 board strategic plan. He noted the purpose of the reorganization is to provide direction to the BCA departments and to provide prioritization to the departments' expenditures of budgeted funds. The proposed committees are: Planning, Finance, Elections, Safety & Security, Community Services, Communications and Marketing, Architectural Review Board, Hearing Panel, Commercial Property Development, and Maintenance & Ecology. This proposal will be reviewed at the December 2 board meeting. Manager Bailey reviewed the Request for Proposal for maintenance of North Beach Pool prepared by Douglas Aquatics, which will be reviewed at the December 2 board meeting. He reported that the fall pansies have been planted and major landscaping is being done at Harbour Pointe entryways and the entrance area at Harbour Pointe Clubhouse. Manager Bailey reported the Brandermill lIm has been sold to Wexwater Properties and that he and the board will continue discussions with Wexwater regarding a permanent deeded easement to the BCA marina. F. Committee Chairs-1. ARB - October 8 and September 24 meeting minutes are attached. 2. BHPC - October 9, 2013 meeting minutes are attached. 3. Natural Resources Committee - August 13, 2013 meetings minutes are attached.

6. Member Voice - Jim Watwood, Birnam Woods, introduced himself as a new resident and an avid sailor and boater, and expressed his concern that the boating rules be enforced to reduce the number of junked boats, including boats with gas powered engines, which are stored and blocking his access to the lake at The Landing. - Warren Ragsdale, Huntsbridge, expressed concern that there are few residents in

attendance at the board meetings, that the meetings should be run according to "Robert's Rules of Order," that the board members come prepared, and to limit discussion to pertinent issues to allow the board meetings to adjourn earlier. - Greg Pearson, McTyre's Cove, expressed concern regarding the proposed budget items for website maintenance and the electronic message board proposed at Harbour Pointe.

7. Presentation of Recommended Budget

Review by Community Manager - The three portions of the budget are: Operating Budget the New Capital Budget, and the Replacement Budget. Member assessments make up 75% of total revenue and the remaining 25% comes from other revenue sources. The employee expenses have been reduced in the 2014 budget. The proposed budget recommends a 5% increase in employee payroll to help offset the current 100%­employer sponsored healthcare plan to be changed to an 80%/20% healthcare plan to help keep employee salaries at their current levels. Manager Bailey gave a breakdown of the total budget by department and the various items with increases and reductions in the 2014 expenditures. The proposed recommended budget reflects a 3.5% increase in 2014 assessments, or approximately $15 per residential household for the year. Manager Bailey reported the Finance Committee offered an additional recommendation to increase employee salaries by 2%, bringing the total employee salary increase to 7% (5% to offset the cost of the healthcare plan change and a 2% salary increase for 2014). If the board elects to grant the 2 % salary increase, the 2014 assessments would be increased by 4 %, or approximately $18 per residential household for the year. Manager Bailey reported two New Capital/MPOC projects (off-road trail and electronic messaging board) have been removed from the 2014 recommended budget. The recommended budget will add $38,000 ($28,000 from capital fee income and $10,000 from assessments) to the New Capital Reserve Fund, which has no allocations designated for 2014. The proposed items designated from the Replacement Reserve Fund and proposed contributions will bring the balance to $1.1 million by 2014 year-end. Manager Bailey provided a graphic chart to answer the question asked by many residents: "What does my assessment pay for?"

Member Comment - Mamie McNeal, Planters Wood, inquired about the listings for printing and Manager Bailey responded the listings would be for The Village Mill and the BCA Telephone Directory. She also inquired about increases to line items in the 2014 budget when the BCA has not spent the amount budgeted for those same line items in the current budget. Manager Bailey stated he would need the specific line items since the answer varies by each line item. - Warren Ragsdale, Huntsbridge, commended the board and staff for the great job on this budget and that they are heading in the right direction. - Steve Russek, McTyre's Cove, asked if volunteers could be used to audit the Board of Directors election results to save on that expense line item. Manager Bailey responded affirmatively and that the process and guidelines needed to be developed for the 2014 election.

Board Discussion - Director Bettin asked if the PowerPoint presentation on the budget could be included on the website, and NRC Chair Mamie McNeal it can be downloaded to the Brandermill NRC web page. Also, the graph chart labeled "What Do I Get for My Assessments?" will be published in The Village Mill. All board members were involved in this cliscussion.

Community Manager Bailey noted this recommended budget could change since it still needs to be discussed by the board of directors. He also noted there is a special BCA board meeting sdleduled for Monday, November 18 at 7 pm to approve the 2014 budget.

8. Executive Session - Per Virginia Property Owners Association Act, Section 55-510.1.C -For the purpose of discussing Legal Matters.

MOTION: Director Blom moved to enter into executive session according to Section 55-510.1.C of the Virginia Property Owners Association Act for the purpose of discussing legal matters. MOTION SECONDED: Director Malek MOTION CARRIED: Unanimously approved.

9. Return to Open Session - The Board returned to open session. No action was taken on the legal matters.

10. Adjournment - President O'Hanley adjourned the meeting at 8:30 PM.

1. Call Regular Monthly Meeting to Order - The November 18, 2013 BCA Special Board of Directors Meeting was called to order by President O'Hanley at 7 PM at Brandermill Woods Clubhouse, 14311 Branderrnill Woods Trail, Midlothian, VA 23112. Directors Bettin, Blom, Davis, Hillman, Leonard, Malek and O'Hanley, Corrununity Manager Bailey and Recorder Judy Agee were present.

2. Director Davis led the meeting with the Pledge of Allegiance.

3. Member Voice - Lester Stadig, McTyre's Cove, stated he reported to Corrununity Manager Bailey this morning that his wife Carol fell off the sharp-edged drop off of the trail near Corrunodore Point while they were walking this area of the trail, and requested tha t this hazard be addressed. - John and Sidney Rideout, Long Gate, provided their concerns bye-mail regarding the increases in the proposed 2014 budget. - Greg Pearson, McTyre's Cove, provided his corrunents through The Village Mill Letter to the Editor, which stated the October 19 budget meeting left him wanting more information than what the two-hour meeting provided, particularly with issues regarding the pools. - Bill Poole, Harbour Bluff, provided his corrunents through e-mail regarding the operating and new capital budgets. - Dee Pisciella, Planters Wood, reported via e-mail regarding her concerns regarding the proposed 2014 budget and strongly urged the board consider a zero increase in assessments.

Corrununity Manager Bailey reported the board will consider at the December 2 meeting a request from a corrunercial member currently listed as a corrunercial improved lot to change to a corrunercial self-maintained lot, which would result in a reduction in revenue of $8,632, and the budget variance would result in $67,900 which would reduce the proposed assessment increase to 3.86%.

4. Consideration of Budget for Fiscal Year 2014

MOTION: Director Leonard moved to adopt the BCA Fiscal Year 2014 Operating Budget with the income and expense total of $2,240,868, and set the assessment for 2014 for all membership categories according to their current rates. MOTION SECONDED: Director Davis Discussion: All board members were involved in the discussion of this motion. MOTION CARRIED: Directors Davis, Leonard, Malek and President O'Hanley approved. Directors Bettin, Blom and Hillman were opposed.

MOTION: Director Blom moved to direct the Corrununity Manager to estimate and present at the December 2 board meeting the amount of budget surplus for this year and direct him to apply tha t surplus to the replacement reserve fund and that we adjust next year's replacement reserve by tha t amount and the adjustments to the budget as

presented that he estimates will be limited to the difference between what would have been raised by the proposed budget and the difference after the adjustment is made. Director Leonard opposed. Director Malek abstained.

MOTION: Director Davis moved to implement with the Community Manager and Accounting Manager's data a realistic surcharge to cover credit card usage, as soon as practical. MOTION SECONDED: Director Malek Discussion: All board members were involved in the discussion of this motion. MOTION CARRIED: Directors Blom, Davis, Leonard, Malek and President O'Hanley approved. Director Bettin opposed. Director Hillman abstained.

b. Foundation planting is required along street facing facades of houses (at a minimum) per "Appendix D."

c. All foundation planting beds and all other planting beds shall be mulched.

d. Any landscaping required to restore a buffer improperly cleared, or to provide a buffer in cases where privacy between lots would otherwise be severely compromised, will be in addition to the minimum allowance required.

e. Where nursery trees are required as part of landscape requirements they shall be correct in form for their species , have normal growth habit, have well developed branches, densely foliated , and be planted with the proper space to allow growth to maturity. Emphasis on scarcely wooded lots shall be on placement of street trees directly along street frontage. On heavily wooded lots where adequate trees exist, emphasis should be placed on accent trees located to highlight building entry zones or architectural elements of the house. All trees shall be adequately planted and staked. (See Harbour Ridge in the NEIGHBORHOOD MATRIX.)

f. No new landscaping shall commence until all trash , stones, gravel , branches, weeds, and construction debris have been removed from the lot.

Christmas Bonus Program ~DRAFT

The Employee Christmas Bonus Program exists to recognize and thank the employees for their service during the year. It serves to boost the employee morale and, in a practical sense,

provides the employees a little more money to spend on their family during the holiday season.

The total amount available in the bonus pool is determined as a part of the budget process each year. The specific amounts to be distributed to each employee are based on two aspects: employee category and years of service.

The table below indicates how the bonus amount is determined.

Less than 800 new mail box units still to be installed prior to end of the year. D. Tree management work completed on Harbour Pointe Parkway and Sandyridge. E. Email blast address numbers increased over 100 over the last month (1763 total). Thanks to Jennifer Strader for including a sign up option on the directory submission form which contributed significantly to the increase. F. Two new employees to begin in early January in the Property Management Department.

They have operated a family day home business all of that time and I can affirm that they have not caused any traffic or parking problems resulting from day to day operations. They have a wide driveway that of which accommodates the needs of those picking up or dropping off children in their care. I know that they are licensed and that the services they provide offer a great deal of support for working families needing help with caring for their children. I am shocked that after all this time it is somehow a problem now. The only traffic issues that we have, come from residents who park on both side of the street as you come into the neighborhood. The Roberts' family day home is an anchor for working families in BrandermilL Not only are

Dear Brandermill Community Associatian,

I am writing to you in support of Joni Robert's licensed family day

home, "Roberts Home Away From Home". My family has been clients

since 2008. In the past five years, we have had our two children attend

the day home. They are currently ages five and one.

Joni Roberts has provided my children a loving, nurturing and safe

environment. Her home is clean, orderly and well managed. Rules and

procedures are followed and children thrive in her care. She offers a

small child to teacher ratio which is difficult to find in many other

daycare facilities. My husband and I both work full time. I am a

Chesterfield County school teacher and my husband is a police officer.

We work long hours and have the utmost peace of mind that our

children are well cared for and safe while we are at work.

Our family became Brandermill residents in July of 2012. We

specifically looked for homes in this neighborhood because of "Roberts

Home Away From Home". We live in the Court Ridge section which is

not only in walking distance of Sunday Park where our children love to

play but also very close to Planters Wood where Joni's home is located.

Our oldest son is a kindergarten student at Clover Hill Elementary.

Since we are in such close proximity to Mrs. Roberts home, my son is

able to ride the same bus to and from school. He gets off the bus at

her house in the afternoon where she provides after school care. This

made for a very easy transition for my child from full time care in her

home to after school care in the afternoons. He is able to join his

toddling sister who anxiously awaits his arrival. Having both children in

one location in the afternoon really helps make life easier for two

Roberts Home Away from Home is not just your typical daycare.

It is a Christian family home that imparts the love of God and

compassion for others. High moral standards and values are a part of

the daily curriculum along with language development, pre-reading and

writing skills and math. My children are truly loved and treated as

unique individuals that are valued in so many ways. Both my children

love and adore Mrs. Joni Roberts. She has made such a positive impact

in their lives. They would not be who they are today without her. She is

not just our daycare provider but she is family. Our love for her and

her family continues to grow with each year.

In conclusion, we fully support "Robert's Home Away From Home"

to continue to operate in the same capacity they have been for the

past 17 years. They are a licensed family business that has a well­

documented track record of keeping children safe. Brandermill should

be proud to have residents such as the Roberts who are growing and

shaping the hearts and minds of young people in such a positive way. It

Dear Brandermill Community Association:

I've known Joni Roberts and her family for almost as long as I've been alive. My family and I moved to Virginia from New Jersey when I was two and Joni Roberts' Home Away From Home childcare was my first daycare. The daycare was just as her company name had specified. It was just like home, and from grades preschool to fifth, it was my second home.

Joni Roberts not only became my babysitter, she beuune me and my family's good friend. My mother and she became very close and she became like another mom to my sisters and 1. The daycare even helped with tutoring on subjects for my homework.

Joni also works with children's insecurities to help them get over them. My mom always talks about how shy I have always been but at 4 years old I sang a sola song in Mrs. Robert's Christmas play. You should have seen my mom's face she was so shocked.

Once when the Gaston storm came and my mom was stuck in Richmond due to the flooding and could not come home until the middle of the night, Mrs. Roberts kept us at her house so we would not be scared and could be safe. My older sister's who she was not watching at the time also came to stay that night.

She is our emergency contact for all emergencies for hurricanes, etc. when my mom is at work. My mom is a single parent and would really have a hard time if she didn't have Mrs. Roberts to rely on for such things.

Now that I'm seventeen I work for her and enjoy my job very much. I was also glad to see she still uses the same methods of teaching now as she did was I was a child. Joni Roberts uses a combination of compassion and gentle but strict discipline to nourish and teach to help the child she watches grow. She treats them as if they were her own children and I can not think of someone more deserving of running a daycare and 'of your consideration for this zoning amendment.

Welcome Tom Jacobson began the meeting by welcoming guest, Tina Holt, from the Village Mill office.

Approval of previous meeting minutes As there were not enough members present for a quorum, no official actions were taken.

BCA 40th Anniversary Marketing Plan - Dennis Peterson Dennis Peterson distributed and reviewed the summary of ideas from the Marketing Committee promoting Brandermill's 40th anniversary year. After discussion, a slightly revised list was endorsed by the BHP and will be submitted to the BCA Community Manager for implementation. A copy of the revised list is attached. All of the recommended marketing suggestions on the list were supported by the committee members with a few additional ideas and revisions:

Jimmy Nixon suggested that we bring back the Brandermill bumper sticker that was very popular in the early days Mickey Blalock suggested the slogan, "Brandermill - still the best planned community in America" Earl McKesson suggested sending out press releases to all of the local media Hank Meyers suggested that Brandermill be featured on an edition of the local PBS television show, Virginia Currents, interviewing early residents and key players Jimmy Nixon said that he has a contact at the local PBS station and will follow up on Hank's idea

Dennis Peterson suggested that a time capsule event take place in 2014 Hank Meyers suggested that the part-time position sentence in the second section be revised to read in part, "delegating to a staff person or part-time individual the implementation of these recommendations" when asked when the recommendations should be put into effect, Dennis's response was, "tomorrow" and that there is no reason to wait until January, 2014 members of the committee commented that the list of recommended marketing ideas are relatively inexpensive and would be fairly easy to implement

After discussion and support from committee members, Tom Jacobson said that he would draft a letter with recommended revisions and send it to the BCA Community Manager. He thanked Dennis Peterson and his committee for their work on this proposal.

Storage and software update - Tom Jacobson Tom updated the committee on recent storage and software purchases. The following items have been purchased and all have been delivered to Wendy Parker at the Village Mill office.

Lateral file cabinet for the storage of donated materials Fire-safe file box for documents of historical value that are considered irreplaceable Museum Archive software book needed to set up the network for cataloging items MAC-compatible software needed to use the Museum Archive software on the network Archival quality envelope sleeves for valuable historical documents

Once the software is installed on the Village Mill office computers, volunteers will be able to begin scanning and recording the donated materials that have already begun to come in.

Other Jimmy Nixon brought in a box of donated materials containing early memorabilia from the estate of Jack Noe and gave it to Tina Holt. Tina will take the box to Wendy Parker at the Village Mill office.

Tom said that he would like to take his presentation from last month's meeting on the speaking circuit and approach area clubs and committees about presenting it at an upcoming meeting. He asked for any volunteers and Mickey Blalock said that he would be willing to join him at those meetings.

Mickey Blalock suggested that we have a way of bringing together stories from residents about the early days of Brandermill. It was suggested that some historical photos and stories be featured in the Village Mill newspaper on a regular basis or even find a way of having these stories featured on our website.

After a discussion on membership and recent accomplishments, Tom suggested that we put a planning session on the agenda for next month to discuss ideas and future goals for the committee. He then thanked Tina Holtz for coming to the meeting and reminded everyone that our next meeting will be on November 13th
