Should any final action, final decision, or final vote be required in the opinion of the board with regard to any matter considered in such closed or executive session, then such final action, final decision, or final vote shall be at either:

a. the open meeting covered by this notice upon the reconvening of this public meeting; or b. a subsequent public meeting of the board upon notice thereof, as the board shall determine.

SUBJECT Point of Pride – 2020-2021 TMEA All-State Band, Choir, and Orchestra Members

RECOMMENDED ACTION None

EXPLANATION OF ITEM Spring ISD will recognize scholars from Spring ISD High Schools placing in the 2020-2021 Texas All-State Music Ensembles. The students were chosen for this prestigious honor through a competitive process held this year across the state at District, Region, and Area levels. All-State is the highest individual honor a Texas music student can receive. 1,780 students are selected through a process that begins with over 70,000 students from around the state vying for this honor to perform in one of 15 ensembles (bands, orchestras, and choirs). Texas Music Educators Association sponsors the Texas All-State competition.

This competitive process begins throughout the state in auditions hosted by 33 TMEA Regions. Individual musicians perform selected music for a panel of judges who rank each instrument or voice part. From this ranking, a select group of musicians advances from their Region to compete against musicians from other areas in eight TMEA Area competitions. The highest-ranking musicians judged at the TMEA Area competitions qualify to perform in a TMEA All-State music group. Only the top 2.5% of musicians who initially audition become All-State musicians.

While our scholars were not be able to travel to San Antonio to perform with their respective ensembles in February due to COVID-19, TMEA is hoping to provide an All-State experience for the qualifying musicians at a later date. Please help us in congratulating our all-state students, directors, and families!

EXPLANATION OF ITEM The Board will recognize the Spring ISD Communications Office, which in February was recognized with 40 Star Awards from the Texas School Public Relations Association (TSPRA) for excellence in school communications during the 2019-20 school year, including four Crystal Certificates of Merit and two Best of Category awards.

TSPRA judges evaluate the work of districts statewide across a range of award categories, as well as according to district size: less than 10,000 students, 10,000 to 30,000 students, and more than 30,000 students. Spring ISD, in the third grouping, competed against the state’s largest school districts.

For its four Crystal Certificates of Merit, Spring ISD was honored for two different photography portfolios, a video portfolio and its 2020 State of the District Event. The two Best of Category Awards included a photo entry for a drive-through graduation event last year as well as a poster campaign to highlight why students choose to remain drug-free. Other areas of excellence noted by the judges were in the areas of writing, design and social media.

TSPRA is a nonprofit, professional organization made up primarily of public information and communications professionals who serve the public school districts and education organizations of Texas. The group is dedicated to promoting public schools through effective communications and is a chapter of the National School Public Relations Association (NSPRA).

EXPLANATION OF ITEM Superintendent Dr. Rodney E. Watson has been announced as the 2021 National School Foundation Association (NSFA) Superintendent of the Year.

The award is designed to recognize a superintendent “whose visionary leadership and collaboration develops a partnership with their education foundation which provides every student the opportunity for success,” according to NSFA. Dr. Watson was selected from 21 nominations submitted by education foundations from school districts across the country.

In selecting Watson for the award, NSFA noted his strong advocacy for community partnership and his ongoing collaboration with the Spring ISD Education Foundation, which submitted the nomination.

The District shall establish instructional objectives that relate to the essential knowledge and skills for grade-level subjects or courses. These objectives shall address the skills needed for successful performance in the next grade or next course in a sequence of courses.

Assignments, tests, projects, classroom activities, and other instructional activities shall be designed so that each student’s performance indicates the level of mastery of the designated District objective.

The Superintendent or designee shall ensure that each campus or instructional level develops guidelines for teachers to follow in determining grades for students. These guidelines shall ensure that grading reflects a student’s level of mastery of an assignment and that a sufficient number of grades are taken to support the grade average assigned. Guidelines for grading shall be clearly communicated to students and parents.

The District shall provide a student who meets the criteria detailed in the grading guidelines a reasonable opportunity for reassessment or to retake a test for which the student received a failing grade.

As required by law, a student enrolled in an end-of-course (EOC)-tested course shall be administered the corresponding EOC assessment at the earliest available administration. EOC-tested courses shall be English I and English II, Algebra I, Biology, and U.S. History.

If a student does not perform satisfactorily on an EOC assessment, the campus will ensure that accurate records reflect the need to retest at the earliest available administration of EOC assessments.

A student’s admission, review, and dismissal (ARD) committee shall determine the type of assessment and/or accommodation to be administered for students receiving special services.

Printed report cards shall be provided to elementary students at the end of each nine-week grading period. Printed report cards shall be provided to secondary students at the end of each sixnine-week grading period. Performance shall be measured in accordance with Board policy and the standards established in Board policy EIE. The report shall include the number of times the student has been absent.

The report of progress notice shall stipulate that the student shall have the remainder of the grading period to bring the sixnine-week grade up to 70 or above and that the student shall be suspended

from extracurricular activities if the grade is not brought up to 70 or above by the end of the respective sixnine-week grading period. The notice must be signed by the student’s parent, or by the student if the student is married, emancipated, or an adult living apart from his or her parents, and must be returned to the school. In addition to conferences scheduled on the campus calendar, conferences may be requested by a teacher and/or parent as needed.

Students found to have engaged in academic dishonesty shall be subject to grade penalties on assignments or tests and disciplinary penalties in accordance with the Student Code of Conduct. Academic dishonesty includes cheating or copying the work of another student, plagiarism, and unauthorized communication between students during an examination. The determination that a student has engaged in academic dishonesty shall be based on the judgment of the classroom teacher or another supervising professional employee, taking into consideration written materials, observation, or information from students.

Final determination of class rank shall be made on the basis of high school weighted grade point averages (GPAs) earned in high school; high school courses taken in middle school shall not count for purposes of class rank or high school GPA.

Class rank calculations shall include the first semester on a high school campus through the end of the fifth six third nine-week grading period of the semester of graduation.

The following provisions address the District’s class rank system used for purposes of declaring local honors as well as for reporting purposes in accordance with state law. GPA’s and class rank shall be calculated by the District as follows:

1. End of the tenth grade shall be calculated in September.

2. End of eleventh grade shall be calculated in June.

3. Midterm twelfth grade shall be calculated in January.

4. Final GPA/class rank for graduating seniors shall becalculated at the end of the fifth six third nine-week gradingperiod and holding for graduation purposes.

For the purpose of determining honors to be conferred during graduation activities, the District shall calculate class rank using grades available at the time of calculation at the end of the fifth six third nine-week grading period of the senior year. The average grade for the fourth and fifth six third nine-week grading periods shall be used as the semester grade for this purpose.

For the purpose of applications to institutions of higher education, the District shall also calculate class rank as required by state law. The District’s eligibility requirements for local graduation honors shall apply only for local recognitions and shall not restrict class rank for the purpose of automatic admission under state law. Students transferring into the District after final class rank has been determined, as described above, shall be eligible for District academic honors designation based on GPA.

Students are expected to take the College Board Advanced Placement (AP) Exam for each AP Course in which they are enrolled. Students who opt out of the AP Exam test administration in May will forfeit the AP weighted credit for the corresponding course and will receive the grade weight for a Pre-AP Course.

When early graduates and four-year seniors have entered high school with two different weighted grade point scales, the weighted grade average for early graduates shall be computed using the grade point scale applied for the four-year senior class.

Implementation of this grade point system shall begin with the 2015–16 ninth-grade class. Any student who is enrolled in high school prior to the 2015–16 school year shall maintain the previous grade point system. The valedictorian and salutatorian shall be the eligible students with the highest and second-highest rank, respectively, as determined by weighted GPAs. In order to be considered for valedictorian or salutatorian honors, a student must:

Promotion and course credit shall be based on mastery of the curriculum and compliance with attendance requirements. [See also FEC (LOCAL)] Expectations and standards for promotion shall be established for each grade level, content area, and course, and shall be coordinated with compensatory, intensive, and/or accelerated services. [See EHBC]

The District shall comply with applicable state and federal requirements when determining methods for students with disabilities [see FB] or students who are English language learners [see EHBE and EKBA] to demonstrate mastery of the curriculum.

Any modified promotion standards for a student receiving special education services shall be determined by the student’s admission, review, and dismissal (ARD) committee and documented in the student’s individualized education program (IEP). [See EHBA series and EKB]

In addition to the factors in law that must be considered for promotion, mastery shall be determined as follows:

1. Prekindergarten: A majority of the items contained in theTexas Education Agency (TEA) Prekindergarten Guidelinesshall be marked on the District progress monitoring report as“Satisfactory Understanding.” “Connecting – Ready toApply.” On areas that are on a rating scale of 1 to 53, themajority of the items shouldshall be marked at 3 or higherbythe final marking period.

2. Kindergarten: A majority of the items listed in theKindergarten Report Card shouldshall be marked at 3 and/or4.

3. Grades 1-12: Course assignments and unit evaluationsaligned to District curricular standards shall be used todetermine student grades in a subject. An average of 70 orhigher shall be considered a passing grade.

4. Mastery of the skills necessary for success at the next levelshall be validated by assessments that may either beincorporated into unit, six-week, nine-week, and final exams,or may be administered separately. Mastery of at least 70percent of the objectives shall be required.

The total numerical scores shall be used in determining promotion, course credit, and maintenance of a grade of 70 for participation in secondary extracurricular and other activities.

To ensure students remain successful in completing their graduation requirements, any deviation in the high school course sequence must be approved by the chief academic officer.

Students in prekindergarten shall not be retained.

Students in kindergarten shall not be retained unless the Grade Placement Committee (GPC) unanimously determines that, if promoted, it would be detrimental to the student’s academic success.

In grades 1–5, to be promoted to the next level, a student must attain an average of 70 or above in language arts and mathematics. In addition, the overall average of 70 or above must be achieved by utilizing the final numerical grades for social studies, science, language arts, and mathematics. In accordance with current state promotion guidelines, mastery of grade 5 reading and mathematics is required in addition to any other necessary academic information, as determined by the District.

In grades 6–8, to be promoted to the next grade level, a student must attain the following:

1. An average of 70 or above in language arts (including reading improvement if it is required),

2. An average of 70 or above in mathematics (including mathematics improvement if it is required),

3. An average of 70 or above in science (including science improvement, if applicable),

4. An average of 70 or above in social studies (including social studies improvement, if applicable), and

5. Any other necessary academic information, as determined by the District.

Parental permission for promotion or retention shall not be required.

In accordance with Texas Education Code Section 28.021, a student may be promoted only on the basis of academic achievement or demonstrated proficiency.

In grades 9–12, to receive credit for a course, a student must maintain a proficiency of 70 or above in the subject matter or grade level. The District awards credit semester by semester.

Grade-level advancement for students in grades 9–12 shall be earned by course credits. Changes in grade-level classification shall be made at the beginning of the fall semester.

Students in high school shall be classified as freshmen, sophomores, juniors, or seniors based on the number of semester credits earned prior to the first day of the school year as follows:

Additionally, students in grades 5 and 8 shall be subject to all provisions of GRADE ADVANCEMENT TESTING, below. [See EHBC(LOCAL)]

Except when a student will be assessed in reading or mathematics above his or her enrolled grade level, students in grades 5 and 8 must meet the passing standard on the applicable state-mandated assessments in reading and mathematics to be promoted to the next grade level, in addition to the District’s local standards for mastery and promotion.

For purposes of this policy and decisions related to grade advancement requirements, a student’s “parent” shall be defined to include either of the student’s parents or guardians; a person designated by the parent, by means of a power of attorney or an authorization agreement as provided in Chapter 34 of the Family Code, to have responsibility for the student in all school-related matters [see FD]; a surrogate parent acting on behalf of a student with a disability; a person designated by the parent or guardian to serve on the GPC for all purposes; or in the event that a parent, guardian, or designee cannot be located, a person designated by the Superintendent or designee to act on behalf of the student. [See EIE(LEGAL)]

The Superintendent or designee shall select from the state-approved list, if available, for each applicable subject an alternate assessment instrument that may be used for the third testing opportunity. Each student’s GPC shall decide whether he or she shall be given the statewide assessment instrument or the applicable alternate instrument for the third testing opportunity. The committee’s decision shall be based on a review of the student’s performance in the previous testing opportunities, local assessments, and any other circumstances it deems appropriate.

If a parent initiates an appeal of his or her child’s retention following the student’s failure to demonstrate proficiency after the third testing opportunity, the GPC shall review all facts and circumstances in accordance with law.

The student shall not be promoted unless:

1. All members of the GPC agree that the student is likely to per-form on grade level if given additional accelerated instruction during the following school year in accordance with the educational plan developed by the GPC; and

2. The student has completed required accelerated instruction inthe subject area for which the student failed to demonstrateproficiency.

Whether the GPC decides to promote or to retain a student in this manner, the committee shall determine an accelerated instruction plan for the student for the following school year, providing for in-terim reports to the student’s parent and opportunities for the parent to consult with the teacher or principal as needed. The principal or designee shall monitor the student’s progress during the following school year to ensure that he or she is progressing in accordance with the plan.

State law requires a student to be in attendance for at least 90 percent of the days a class is offered in a year in order to be promoted from grade to grade. A campus-level attendance committee of at least three staff members shall be appointed by each school principal annually to review all cases in which a student has accumulated any combination of excused or unexcused absences that has resulted in the student being in class(es) for less than 90 percent of the days a class is offered. When a student in a grade designated by the state transfers into the District having failed to demonstrate proficiency on applicable assessment instruments after one testing opportunity, the District shall provide appropriate accelerated instruction prior to the next state-designated testing date. This provision shall apply to students who missed a testing opportunity, were absent, or otherwise do not have valid test results.

When a student transfers into the District having failed to demonstrate proficiency on applicable assessment instruments after two testing opportunities, a GPC shall convene for that student. The GPC shall review any available records of decisions regarding testing and accelerated instruction from the previous district and determine an accelerated instruction plan for the student.

If a parent initiates an appeal for promotion when a student transfers into the District having failed to demonstrate proficiency after three testing opportunities, the GPC shall review any available records of decisions regarding testing, accelerated instruction, retention, or promotion from the previous district and issue a decision in accordance with the District’s standards for promotion.

EXPLANATION OF ITEM Spring ISD is requesting Annexation into Harris County Water Control and Improvement District 99 of the Spring HS and Spring Night Grade Center Track of land, the McNabb Elementary Tract, and the Old Transportation Tract of Land. Along with the annexation of land, there would be a cost associated with Annexation and reimbursement cost to WCID 99 for improvements done at the water plant and wastewater plant.

Currently, Spring HS, Spring HS 9th Grade Center, and McNabb Elementary are served for water and wastewater treatment through Harris Control Water Control and Improvement District 99 (WCID 99). There is no current agreement between WCID 99 and SISD, service is provided through consent. WCID 99 has asked SISD to contribute to the ongoing maintenance and upgrades to the WCID’s facilities. Previously SISD had not paid for any of these costs. SISD has requested Annexation into WCID 99 as a condition of payment. SISD is currently using 33% to 35% of the WCID 99 capacity. Annexation into WCID 99 would secure this capacity to SISD. In addition to the two school sites being served by WCID 99, SISD is asking that the Old Transportation Center on Hardy Road (currently housing Maintenance and the Nagy Pavilion) be included in the Annexation agreement, and permanent water be provided to this site by WCID 99.

CAPITAL CONTRIBUTION AND SERVICE AGREEMENT

HARRIS COUNTY WATER CONTROL AND IMPROVEMENT DISTRICT

NO. 99 of Harris County, Texas, a body politic and corporate and political subdivision of the

State of Texas, organized and existing under the provisions of Article XVI, Section 59 of the

Constitution of the State of Texas and operating pursuant to Chapters 49 and 51, Texas Water

Code, as amended (the "District"), and SPRING INDEPENDENT SCHOOL DISTRICT, a

political subdivision of the State of Texas, organized and operating pursuant to the Constitution

and Chapter 11 of the Texas Education Code and other laws of the State of Texas, ("SISD") (the

District and SISD are collectively the "Parties") mutually desire to enter into this Capital

Contribution and Service Agreement (the "Agreement") effective as of the Effective Date ("as

hereinafter defined") for the purpose of contracting for the contribution by SISD of its share of

the current value and future capital costs in the water and wastewater capacity of the District and

for the provision by the District of water and sewage service to the Property (as hereinafter

defined).

RECITALS

1. The District and SISD are authorized pursuant to Sections 49.213 of the Texas

Water Code and 11.1151 of the Texas Education Code, respectively, with further authority under

Section 791.026 of the Texas Government Code, to execute this Agreement;

2. The District has constructed a water production and distribution system and a

wastewater collection and treatment system to serve the area within the District (the "Facilities")

and is continuing to construct additional such utility facilities within the District and areas which

may in the future become part of the District (the "Future Facilities");

3. SISD presently owns the Property, more particularly described as Exhibit "A",

attached hereto, and located outside the boundaries of the District as generally shown on the

Location Map attached hereto as Exhibit "B," on which it has constructed a high school,

elementary school, a football stadium and a transportation facility (the "Improvements" as

specifically identified on Exhibit "C," attached hereto");

4. The Parties are in the process of annexing the Property into the District;

5. SISD desires to have the availability of the services provided by the District's

Facilities to the Property and Improvements on the terms and conditions set forth in this

Agreement; and

6. The District is willing to provide the services delivered by the District's Facilities

on the terms and conditions set forth in this Agreement.

NOW, THEREFORE, for and in consideration of the mutual covenants, agreements and

benefits to the parties herein named, the District and SISD agree as follows:

AGREEMENT

1. Definitions. Capitalized terms shall have the following meanings:

"Capacity" means Water Capacity and Wastewater Capacity, as hereinafter defined.

"Capital Contribution Costs" means any Initial Capital Cost or Future Capital cost.

"Costs of Operation" means an amount equal to the amount prescribed in any rate

category in the District's Regulations created by the District applicable to SISD or customers

similarly situated.

"District" means Harris County Water Control and Improvement District No. 99, its

successors and assigns.

"Effective Date" means the date on which this Agreement is approved by both Parties.

"ESFCs" means equivalent single-family connections.

"Future Capital Costs" means future extensions, expansions, replacements and capital

maintenance of the District's Facilities, as further defined in paragraph 4, below.

"Improvements" means the current buildings and vertical improvements located on the

Property, as depicted on Exhibit "C", attached hereto.

"Initial Capital Cost" means SISD's share of the capital cost of the District's existing

Facilities as of the date of this Agreement as determined by the District's Engineer and more

particularly described in Exhibit "D", attached hereto and made a part hereof for all purposes.

"Property" means three (3) tracts totaling 94.29 acres, including the 63.97 acre Spring

High School Tract (the "High School Tract"), the 14.70 acre McNabb Elementary Tract (the

"McNabb Tract"); and the 15.53 acre SISD Transportation Center Tract (the "Bus Center

Tract") each as described in Exhibit "A" and made a part hereof for all purposes.

"Regulations" means the provisions of the District's Consolidating Order Regarding

Water and Sewer Connections, Rates and Use, as it may be amended from time to time, and any

other rules or regulations of the District, as amended from time to time.

"SISD" means Spring Independent School District, its successors and assigns.

"Spring ISD Revenue" on Exhibit "E," until maturity, or the December 1, 2050 payment.

"Wastewater Capacity" means wastewater treatment capacity, as specified in

paragraph 2.

"Water Capacity" means water capacity, as specified in paragraph 2.

2. Capacity in Facilities. The District hereby commits to provide SISD with 250

ESFCs, or 72,500 gallons per day ("gpd"), of Water Capacity and 250 ESFCs, or 62,500 gpd, of

Wastewater Capacity to the Improvements on the Property. In the event the Water Capacity or

Wastewater Capacity requirements or usage of the Property increase or exceed the respective

capacities granted herein, the District shall have the right to recalculate separately the amount of

Water Capacity and Wastewater Capacity utilized or required by the Property, and SISD shall

pay the amount calculated to be due for any such extra capacity within thirty (30) days after

receiving written notice of such amount. Should SISD become aware of a need for additional

building or school facilities which could reasonably require additional capacity in the Facilities,

SISD shall promptly notify the District's Engineer in writing of any proposed additions to the

Improvements. The District's Engineer shall then recalculate the amount of water and

wastewater capacity to be utilized or required by the Property after such expansion or addition,

and SISD shall pay the amount calculated to be due for such extra capacity within thirty (30)

days after receiving written notice of such amount. Any additions to the Capacity from time to

time shall be considered as part of the Capacity. The Capacity reserved in this Agreement on

behalf of SISD is not ownership of any portion of the District's Facilities, but a right to reserve

service for a designated quantity. The District reserves the right to reserve or grant capacity to

any other customer or entity in any amount so long as the capacity or service to SISD is not

impaired.

3. Initial Capital Contribution. SISD shall pay the Initial Capital Cost by making

monthly payments of principal and interest in an amount equal to the amounts shown on the

amortization schedule shown on Exhibit "D-1", commencing April 1, 2021 and continuing

monthly on the first day of each month thereafter until paid in full. The interest rate indicated on

Exhibit "D-1" will automatically adjust to the actual interest rate on the District's Series 2021

Bonds (defined below), which is in the process of issuance. At that time, the District will

recalculate the amortization schedule, deliver it to SISD and the Parties agree that the new

schedule will replace Exhibit "D-1" for all purposes under this Agreement.

4. Future Capital Contributions.

a. 2021 Capital Contribution. The District has received approval from the Texas

Commission on Environmental Quality ("TCEQ") for the issuance of the District's bonds to

maintain, repair and replace portions of the Facilities (the "Series 2021 Bonds"). The District

has calculated that the SISD share of current reserved capacity in the District's Facilities to be

financed by the Series 2021 Bonds is thirty-five (35%) percent. Accordingly, SISD shall pay

thirty-five (35%) percent of the payments due on the Series 2021 Bonds, and shall make monthly

payments, commencing April 1, 2021, in an amount equal to the amounts shown on Exhibit "E",

attached hereto, until maturity. At the time of issuance of the Series 2021 Bonds the District

shall deliver replacement Exhibit "E" to SISD, which shall be the payment schedule until the

SISD payments are made in full when due. The payment schedule on Exhibit "E" shall be

applicable notwithstanding any prepayment or refunding of the Series 2021 Bonds by the

District. The effect of any schedule attached to this Agreement as an Exhibit "E," is that on

August 1 of each calendar year, the District will have received payment from SISD of an amount

equal to 100% of the SISD portion of the service payment due for the following year.

b. Future Capital Contributions Financed by Bonds. In the event the District

determines to make additional major repairs or construct additions or replacements to the

District's Facilities which are financed by the future issuance of the District's bonds, and which

the District determines are necessary to serve or benefit SISD after the date of this Agreement

and the issuance of the Series 2021 Bonds, the District shall provide to SISD a general scope of

work and cost estimates, including engineering, interest, and soft costs, as applicable, the

District's Engineer shall calculate the applicable reserve capacity percentage of SISD in the

District's Facilities as of the date of the projected bond issuance, and upon delivery by the

District to SISD of a payment schedule showing District payments of the bonds and the amounts

due for payment by SISD, SISD shall pay to the District an amount equal to the amounts on the

schedule when due for payment. Any such payment schedule shall be attached to this Agreement

as Exhibit "E-1", "E-2", etc., and shall be considered by the Parties to be a part of this Agreement

for all purposes. The effect of any schedule attached to this Agreement as an Exhibit "E," is that

on August 1 of each calendar year, the District will have received payment from SISD of an

amount equal to 100% of the SISD portion of the service payment due for the following year.

c. Future Capital Contributions Not Financed by Bonds. In the event the

District determines to make any capital repairs, additions or replacements to the District's

Facilities which are not to be financed by the future issuance of the District's bonds, which the

District determines are necessary to serve or benefit SISD after the date of this Agreement, the

District shall provide to SISD a general scope of work and cost estimates, including engineering

and other costs, as applicable, the District's Engineer shall calculate the applicable reserve

capacity percentage of SISD in the District's Facilities as of the date of the projected project, and

upon delivery by the District to SISD written notice of the cost amount of the project and the

SISD share thereof, SISD shall pay to the District an amount equal to the amount due for

payment in the notice. Any amount not paid within thirty (30) days after notice shall be added to

the next bill for Costs of Operation.

d. Capital Cost of Connection to Bus Center Tract. The District shall plan,

design, construct, maintain, and own the water line from the District's Facilities to the meter at

the Bus Center Tract and the wastewater line from the connection point on the Bus Center Tract

to the District's Facilities (the "Bus Center Lines"), all as shown on Exhibit "B". The District

shall provide SISD with a compilation of all costs of the Bus Center Lines to the Bus Center

Tract. At the end of the project, the District will deliver to SISD a schedule showing the total

cost of the project and a payment schedule stating the dates and amounts of payments due to

reimburse the District for all such costs (the "Bus Center Payment Schedule"). Costs shall be

amortized over twenty (20) years and shall bear interest at the rate on the Series 2021 Bonds and

paid by SISD to the District according to the Bus Center Payment Schedule. The Bus Center

Payment Schedule shall be attached as Exhibit "F" hereto and shall be considered by the Parties

to be a part of this Agreement for all purposes.

In the event the District permits additional connections to be made to the Bus Center

Lines, the District's Engineer shall recalculate capacity in the Bus Center Lines, prepare a new

Bus Center Payment Schedule reducing the payments due from SISD to the District by an

amount equal to the percentage of the of the Bus Center Lines which are reserved for any new

connections on the Bus Center Lines.

5. Costs of Service.

a. In addition to the payment of Capital Costs as described in Paragraph 4, above,

and any other payments due by SISD to the District from time to time, SISD shall pay the Costs

of Operation. The District shall create a water and sewer customer category in the District's

Regulations for SISD and other customers similarly situated which shall include the Costs of

Operation. The District may amend the District's Regulations from time to time in its sole

discretion.

b. With respect to any new connections to the District's Facilities, SISD shall make

any connection in accordance with the District's Regulations and pay any tap or connection fees

required by the District's Regulations and the cost of any extensions of lines in connection

therewith, except as provided by Paragraph 4.d., above. Points of connection to the District's

Facilities are shown on Exhibit "B", attached hereto.

6. District Rate Order and other Regulations. The services provided hereby shall

be subject to the Regulations of the District that may be in force from time to time. In the event

of conflict between the Regulations and this Agreement, this Agreement shall govern.

7. Consent to Annexation. As additional consideration for the provision of

Capacity and water and wastewater treatment services by the District to SISD, SISD hereby

irrevocably consents to the annexation of the Property into the District. SISD also warrants and

represents that it is the owner of the Property and that no liens are outstanding on the Property.

SISD further agrees to assist the District and to provide all documentation as requested by the

District to complete the annexation.

8. Failure to Pay and other Violations of this Agreement.

a. In the event SISD shall fail to make any payment required to be made hereunder

or violate any provision of the District's Regulations, the District shall be entitled to any remedy

available to it at law or in equity, including, but not limited to termination of water and sewer

service to the Property in the manner provided in the District's Regulations, limitation of the

Capacity assigned to the Property and the imposition any fines, fees, remedies or charges

provided by the District's Regulations, including any costs of collection.

b. In the event any payment is not made in accordance with Exhibit "D,"

Exhibit "E", or Exhibit "F" attached hereto, in addition to the remedies in paragraph 8.a. above,

the District may, in its sole discretion, (i) accelerate the principal of any amounts due under

Exhibit "D," Exhibit "E," and/or Exhibit "F," require payment of all principal amounts and

delinquent interest due within thirty (30) calendar days, and, (ii) to the extent not paid within

thirty (30) days, add and collect additional interest on any amount so due for payment in an

amount equal to ten (10%) percent per annum from the due date to the date the delinquent

amount is paid in full.

9. Records. Each party and its authorized representatives shall have the right to

review all books, records, vouchers and documents of whatever nature related to the Property

and the setting of any rate or fee required or permitted to be paid or assessed under this

Agreement.

10. No Assignment. No party hereto shall make, in whole or in part, any assignment

of this Agreement or any obligation hereunder without the prior written consent of the other

party, provided, however, in the event the District is annexed and dissolved by the City of

Houston, the City of Houston shall accede to all the rights and obligations of the District.

11. Entire Agreement. This instrument contains the entire Agreement between the

parties relating to the rights herein granted and the obligations herein assumed. Any

modifications concerning this instrument shall be of no force and effect excepting a subsequent

modification in writing, signed by all parties hereto.

12. Notices. All notices and communications under this Agreement shall be mailed by

certified mail, return receipt requested, or delivered, to the District at the following address, until

changed as hereinafter provided:

Each party shall have the right at any time to change its respective address and each shall

have the right to specify as its address any other address in the State of Texas by giving at least

fifteen (15) days written notice of such change to the other party.

13. Severability and Interpretation. The provisions of this Agreement are

severable, and if any provision or part of this Agreement or the application thereof to any person

or circumstances shall ever be held by any court of competent jurisdiction to be invalid or

unconstitutional for any reason, the remainder of this Agreement and the application of such

provision or part of this Agreement to other persons or circumstances shall not be affected

thereby. This Agreement shall be interpreted broadly in order to accomplish the purposes of the

parties, namely, to provide water and wastewater utility service to SISD and to ensure that the

District is reimbursed and paid for the SISD share of all Capital Costs of the Facilities and all of

FUTURE CAPITAL COST AMORTIZATION TABLE(S)

SERIES 2021 BONDS*

[Note: Exhibit "E" will be calculated as follows:

1. Payments from April 1 – July 1, 2021 shall be 25% of the projected Calendar

Year 2021 payments under Spring ISD Revenue, or approximately $10,409.00 per

month.

2. On August 1, 2021, an additional payment of the 2022 debt service payment shall

be paid in an amount equal to $83,272.

3. Beginning September 1, 2021, SISD shall make a monthly payment on the first of

each month in an amount equal to one-twelfth (1/12) of the "Spring ISD

Revenue" for 2023, and each year thereafter until maturity.

4. After the Series 2021 Bonds are issued, the District will replace the pro-forma

Re: Letter oflntent for the Proposed Annexation of three (3) tracts, including the 63.97 acre Spring High School Tract, the 14.70 acre McNabb Elementary Tract (the "McNabb Tract"); and the 15.53 acre SISD Transportation Center Tract (the "Bus Center Tract") (collectively the High School Tract, the McNabb Tract and the Bus Center Tract shall be known as the "Property" as located on the Location Map attached hereto as Exhibit "A" and in the aggregate totaling 94.29 acres, as more particularly described in Exhibit "B," attached hereto, into Harris County Water Control Improvement District No. 99 (the "District")

Dear Mr. Hutton:

In response to the request of Spring Independent School District ("SISD"), that the District annex the Property into the District, we are forwarding this Letter of Intent to provide you with a copy of the District's policies regarding annexation and to confirm SISD's acknowledgment of the required procedures. Please note that SISD will be responsible for all costs incurred by the District during the application process.

The District's Board of Directors has authorized me to inform you that the District hereby agrees to pursue annexation conditioned upon receipt of the following:

1. The completed Application for Water and Sewer Service (attached to the enclosed Order Amending Consolidating Order Regarding Water and Sewer Connections, Rates and Use);

2. This Letter of Intent, fully executed by SISD;

3. Two (2) originals of the fully executed Capital Contribution and Service Agreement, a copy of which is enclosed;

4. Receipt by the District of your $15,000 deposit for the costs of the annexation;

Furthermore, before we can prepare the Petitions for the annexation of the Property, we must receive the following items:

5. A current title company commitment or report reflecting the current ownership of the Property and any liens, encumbrances, mineral interests, or other matters affecting title to the Property. The metes and bounds and acreage description incorporated into the commitment must be exactly the same as the metes and bounds and acreage description of the Property proposed to be annexed;

6. A Harris County certified copy of the recorded deed(s) tracing ownership of the Property from previous owners to the current owners if the ownership has changed in the last two (2) years (in order to update the Harris County tax records, if necessary);

7. Certified copy of the recorded plat of each Tract;

8. Four ( 4) executed originals of each of the Petition for Annexation and Petition for City Consent to Annex (to be prepared by the District upon receipt of the deed(s) and metes and bounds description(s) of the Property);

9. Executed letter by the authorized representatives stating there are no lienholders or residents on the Property . If lienholders exist, written consent of such lienholders, if any, to the annexation of the Property will be required (to be prepared by the District); ifresidents exist, an election may be required; and

10. Documents, resolutions and certificates of authority for all signatory parties. You will be responsible for securing the execution and acknowledgments for all landowners and lienholders that are needed on all documents relating to the proposed annexation to be prepared by the District.

The District will process the annexation on the condition that SISD pay all costs and expenses relating to the annexation, including, but not limited to, attorneys fees, engineering fees, filing fees, copying costs, and all other related costs or fees. It is currently anticipated that the final annexation costs will be approximately $15,000 - $20,000. Immediately prior to the time that the District adopts an Order Adding Land and Redefining District Boundaries, which officially annexes the Property into the District, SISD will be billed for the final annexation costs representing the difference between the deposits and the total costs involved in the annexation, should the costs exceed the deposit amount. If the actual costs of the annexation are less than the deposit amount, you will be refunded the difference. No action will be taken by the Board of Directors until all payments are received.

This Letter of Intent is not a guarantee that the Property will be annexed into the District; however, it is an expression of the District's good faith effo11s to annex the Property provided the
